REPUBLIK INDONESIA
MEMORANDUM SALING PENGERTIAN ANTARA KEMENTERIAN ENERGI DAN SUMBER DAYA MINERAL REPUBLIK INDONESIA DAN KEMENTERIAN ENERGI FEDERASI RUSIA MENGENAI KERJA SAMA ENERGI

Kementerian Energi Federasi Rusia (selanjutnya secara individual disebut sebagai "Pihak" dan secara bersama-sama disebut sebagai "Para Pihak");
MENIMBANG kepentingan bersama dalam mengembangkan kerja sama energi
antara Republik Indonesia dan Federasi Rusia, berdasarkan prinsip kesetaraan dan saling menguntungkan;
MENYADARI potensi besar Para Pihak untuk bekerjasama dalam sektor energi,
terutama dalam bidang keamanan energi, teknologi energi bersih, dan peningkatan kapasitas dalam rangka mencapai pembangunan energi yang berkelanjutan;
MERUJUK pada Perjanjian antara Pemerintah Republ ik Indonesia dan Pemerintah
Federasi Rusia mengenai Kerja Sarna Ekonomi dan Teknik yang ditandatangani di Jakarta pada 12 Maret 1999;
TELAH MENCAPAI pengertian-pengertian sebagai berikut:
I. Tujuan
Para Pihak akan meningkatkan kerja sama di sektor energi antara Negara Para Pihak melalui fasilitasi kerja sama antara organisasi, termasuk badan usaha, sesuai
dengan undang-undang Federasi Rusia serta undang-undang dan peraturan yang berlaku di Republik Indonesia.
II. Bidang Kerja Sarna
Para Pihak akan mendukung organisasi-organisasi yang relevan dari Negara Para Pihak dalam kerja sama jangka panjang pada - tetapi tidak terbatas pada - bidangbidang energi sebagai berikut: a. Minyak dan gas; b. Batubara; c. Listrik; d. Sumber energi terbarukan; e. Efisiensi energi.
Ill. Bentuk-bentuk Kerja Sarna
Kerja sama sebagaimana dimaksud dalam pasal 2 Memorandum Saling Pengertian ini akan dilakukan dalam bentuk sebagai berikut: a. Penelitian ilmiah dan teknis bersama; b. Peningkatan kapasitas;. c. Pelatihan personil, konferensi , lokakarya, dan ceramah; d. Transfer teknologi; e. Pertukaran informasi dan pengalaman; f. Promosi kegiatan investasi dan usaha; g. Bentuk kerja sama lainnya sebagaimana disetujui oleh Para Pihak.
IV. Kelompok Kerja bidang Energi
1. Untuk mengkoordinasikan
kerja sama atas dasar Memorandum
Saling
Pengertian ini, Para Pihak akan membentuk Kelompok Kerja Energi yang akan mencakup perwakilan dari Para Pihak dan organisasi terkait dari Negara Para Pihak. 2. Kelompok Kerja akan menentukan rencana kerja serta mekanisme penerapan dan evaluasi Memorandum Saling Pengertian, mengidentifikasi potensi proyek
bersama yang akan dilaksanakan. mengembangkan program kerja sama yang komprehensif dan menyampaikannya untuk disetujui masing-masing Pihak. 3. Kelompok Kerja akan bertemu satu kali dalam setahun secara bergiliran di Federasi Rusia dan Republik Indonesia, diketuai bersama oleh perwakilan dari masing-masing Pihak, dalam rangka merangkum hasil kerja, mengevaluasi dan menentukan langkah-langkah dan kegiatan untuk dimuat dalam program kerja sama. Pertemuan Kelompok Kerja luar biasa dapat diselenggarakan di tempat
lain dengan persetujuan Para Pihak. 4. Kelompok

melapor kepada
Komisi
Bersama
Kerja
Sama
Perdagangan, Ekonomi dan Teknik Indonesia- Rusia.
V. Hak Kekayaan lntelektual
Para Pihak menghargai pentingnya perlindungan hak kekayaan intelektual yang
mungkin timbul dari penerapan Memorandum Saling Pengertian dan hak kekayaan intelektual dimaksud akan diatur secara terpisah antara organisasi-organisasi terkait dari Negara Para Pihak.
VI. Penerapan
1. Para Pihak dapat menentukan program kerja sama spesifik dan/atau teknis atas
dasar Memorandum Saling Pengertian ini dalam pengaturan yang terpisah. 2. Para Pihak dapat menunjuk organisasi-organisasi terkait dari Negara Para Pihak untuk bertanggung jawab atas proyek-proyek potensial yang akan dilaksanakan secara bersama. 3. Berdasarkan perrnintaan dari organisasi-organisasi dimaksud, Para Pihak akan mempertimbangkan kelayakan dan bentuk keterlibatan proyek.
VII. Kerahasiaan
1. Tanpa berpraduga apapun terhadap undang - undang Federasi Rusia serta hukum dan peraturan perundang-undangan yang berlaku di Republik Indonesia, Para Pihak setuju untuk mengawasi, apabila dibutuhkan, kerahasiaan dokumen, informasi dan data lain yang diterima atau diberikan atas dasar Memorandum

Pengertian
ini
atau
pengaturan
lain
yang
dibuat
berdasarkan
Memorandum Saling Pengertian. 2. Jika salah satu Pihak ingin mengirimkan data rahasia atau informasi kepada pihak ketiga sebagaimana dimaksud dalam ayat 1 pasal ini, pengiriman tersebut harus harus memperoleh izin terlebih dahulu dari Pihak lainnya, sebelum mengirimkan data atau informasi apapun. 3. Para Pihak akan senantiasa mematuhi kerahasiaan sebagaimana dimaksud dalam ayat 1 pasal ini meskipun penerapan Memorandum Saling Pengertian ini telah berakhir.
VIII. Pendanaan
Para Pihak akan menanggung sendiri-sendiri semua biaya yang berhubungan dengan penerapan Memorandum Saling Pengertian ini, kecuali disepakati lain oleh Para Pihak.
IX. Status Hukum
Memorandum Saling Pengertian ini bukanlah perjanjian internasional dan tidak menciptakan hak dan/atau kewajiban yang diatur oleh hukum internasional.
X. Amandemen
Memorandum Saling Pengertian ini dapat diubah berdasarkan persetujuan bersama para pihak secara tertulis melalui saluran diplomatik. Amandemen tersebut akan menjadi bagian tidak terpisahkan dari Memorandum Saling Pengertian ini.
XI. Penyelesaian Perbedaan
Perbedaan
antara
Para
Pihak
mengenai
penafsiran
dan/atau
Memorandum Saling Pengertian ini akan diselesaikan melalui konsultasi.

XII. Mulai Berlaku, Jangka Waktu, dan Pengakhiran 1. Penerapan Memorandum Saling Pengertian ini mulai berlaku pada tanggal
penandatanganannya; 2. Memorandum Saling Pengertian akan tetap berlaku selama 5 (lima) tahun dan akan diperpanjang secara otomatis untuk jangka waktu 5 (lima) tahun kecuali salah satu Pihak memberitahukan Pihak lainnya secara tertulis paling lambat 6 (enam) bulan sebelumnya untuk tidak memperpanjang penerapan Memorandum Saling Pengertian sebelum masa berlakunya berakhir. 3. Masing-masing Pihak dapat mengakhiri Nota Kesepahaman ini setiap saat dengan memberikan pemberitahuan tertulis kepada Pihak lainnya minimal 6 (enam) bulan sebelum tanggal yang dimaksudkan untuk mengakhiri penerapan Memorandum Saling Pengertian ini. 4. Pengakhiran Memorandum Saling Pengertian ini tidak akan mempengaruhi keabsahan dan durasi setiap program atau proyek yang sedang berlangsung berdasarkan Memorandum Saling Pengertian ini sampai penyelesaiannya kecuali disepakati sebaliknya oleh Para Pihak. MEMORANDUM OF UNDERSTANDING BETWEEN THE MINISTRY OF ENERGY AND MINERAL RESOURCES OF THE REPUBLIC OF INDONESIA AND THE MINISTRY OF ENERGY OF THE RUSSIAN FEDERATION ON
ENERGY COOPERATION The Ministry of Energy and Mineral Resources of the Republic of Indonesia and the Ministry of Energy of the Russian Federation (hereinafter individually referred to as the "Party" and collectively referred to as the "Parties");
CONSIDERING their mutual interest in developing energy cooperation
between the Republic of Indonesia and the Russian Federation, based on the principles of equality and mutual bene'fits;
REALISING the vast potential of the Parties for energy collaboration,
particularly in energy security, clean energy technologies, and energy capacity
building
in
order
to
achieve
the
sustainable
energy
development;
REFERRING TO the Agreement between the Government of the
Republic of Indonesia and the Government of the Russian Federation on
Economic and Technical Cooperation signed in Jakarta on March 12,
1999;
HAVE REACHED the following understandings:
I. Objective
The Parties will promote cooperation between the States of Parties in the field of the energy through facilitation of collaboration between organizations of the States of the Parties, including business entities, in accordance with the legislation of the Russian Federation and prevailing laws and regulations of the Republic of Indonesia.
II. Areas of Cooperation
The Parties will support relevant organizations of the States of the Parties in their long-term cooperation in the following -
but is not
limited to - energy areas: a. Oil and gas; b. Coal; c. Electricity; d. Renewable energy sources; e. Energy efficiency.
Ill. Forms of Cooperation
The Cooperation referred to in section 2 of the present Memorandum of Understanding will be conducted in the following forms: a. Joint scientific and technical research; b. Capacity building; c. Training of personnel, conferences, workshops, and lectures;
d. Transfer of technology; e. Exchange of information and experience; f.
Promotion of investment and business activities;
g. Other forms of cooperation as may be agreed by the Parties.
IV. Working Group on Energy
1. To coordinate cooperation under the present Memorandum of Understanding, the Parties will establish Working Group on Energy which will include representatives of the Parties and relevant organizations of the States of the Parties. 2. The Working Group will define work plans and a mechanism for application
and
evaluation
of the
present
Memorandum
of
Understanding, identify potential joint projects to be implemented, develop a comprehensive cooperation program and submit it for approval of the respective Parties. 3. The Working Group will meet once a year in turns the Russian Federation
and
the
Republic
of
Indonesia
co-chaired
by
representative of each of the Parties, in order to summarize work results, evaluate and define measures and events to be included in the cooperation program . As may be agreed by the Parties, any extraordinary Working Group meeting may be held in other places. 4. The Working Group will report to the Indonesia - Russia Joint Commission on Trade, Economic and Technical Cooperation.
V. Intellectual Property Rights
The Parties value the importance of the protection of intellectual property rights that may arise from the application of the Memorandum of Understanding and such intellectual property rights will be subject to a separate arrangement between the relevant organizations of the States
of the Parties.
VI. Application
1. The Parties can define specific and/or technical cooperative programs under the present Memorandum of Understanding in a separate arrangement. 2. The Parties may denote relevant organizations of the States of the Parties in charge of potential projects to be jointly implemented. 3. Based on the requests of these organizations, the Parties will consider the feasibility and forms of the project involvement.
VII. Confidentiality
1. Without any prejudice to the legislation of the Russian Federation and prevailing laws and regulations of the Republic of Indonesia, the Parties agree to observe, when necessary, the confidentiality of documents, information and other data received or supplied under the
present
Memorandum
of
Understanding
or
any
other
arrangement made pursuant to the present Memorandum of Understanding. 2. If one of the Parties wishes to transmit to a third party confidential data or information referred to in the Paragraph 1 of this section, such transmission will be subject to prior written consent of the other Party, before transmitting any data or information . 3. The Parties will continue to observe confidentiality referred to in Paragraph 1 of this section after termination of application of the present Memorandum of Understanding.
VIII. Funding
The Parties will bear all the expenses connected with application of the present Memorandum of Understanding on their own, unless otherwise agreed upon by the Parties.
IX. Legal Status
The present Memorandum of Understanding is not an international treaty and does not create any rights and/or obligations governed by the international law.
X. Amendment
The present Memorandum of Understanding may be amended upon written consent of the Parties through diplomatic channels. Such amendment will form integral part of the present Memorandum of Understanding.
XI. Settlement of Differences
Any differences between the Parties concerning the interpretation and/or application of the present Memorandum of Understanding will be settled through consultation.
XII. Entry into Effect, Duration, and Termination
1. The application of the present Memorandum of Understanding comes into effect on the date of its signing ; 2. The present Memorandum of Understanding will remain applicable for 5 (five) years and will be automatically extended for the periods of
5 (five) years un less either Party notifies the other Party in writing at least 6 (six) months in advance of its intention not to extend the application of the present Memorandum of Understanding prior to its expiry. 3. Either Party may terminate this Memorandum of Understanding at any time by giving written notification to the other Party at least 6 (six) months in advance of its intented date of termination of application of this Memorandum of Understanding. 4. Termination
of application
of the
present
Memorandum
of
Understanding will not affect the validity and duration any ongoing programs
or
projects
under
the
present
Memorandum
of
Understanding until their completion unless otherwise agreed upon by the Parties.
