MEMORANDUM SALING PENGERTIAN ANTARA PEMERINTAH KOTA SURABAYA PROVINS! JAWA TIMUR REPUBLIK INDONESIA DAN PEMERINTAH KOTA KITAKYUSHU PREFEKTURFUKOUKAJEPANG MENGENAI KERJASAMA KOTA BERSAUDARA BIDANG LINGKUNGAN
Pemerintah Kota Surabaya , Provinsi Jawa Timur Republik Indonesia dan Pemerintah Kota Kitakyushu, Prefektur Fukouka Jepang, (selanjutnya disebut secara tunggal sebagai "Pihak", dan secara bersama sebagai "Para Pihak");
Berkeinginan untuk mendorong persahabatan dan saling pengertian serta hubungan yang saling menguntungkan antara masyarakat dan lembaga pemerintah Para Pihak;
Mengakui pentingnya prinsip-prinsip kesetaraan dan saling menguntungkan;
Memperhatikan Deklarasi Bersama pada Konferensi Kitakyushu tentang Kerjasama Lingkungan antara Kota-Kota di Wilayah Asia pada tanggal 15 Oktober 1997;
Mengingat Pernyataan Bersama tentang Kemitraan Lingkungan Strategis antara Kota Surabaya Republik Indonesia dan Kota Kitakyushu Jepang yang ditandatangani
di
Kitakyushu
pada
tanggal
15
Maret
2011;
' Menimbang implementasi yang konstruktif dari Memorandum Saling Pengertian
antara Pemerintah Kota Surabaya, Provinsi Jawa Timur Republik Indonesia dan Pemerintah Kota Kitakyushu , Prefektur Fukouka Jepang , mengenai Kerjasama Kota Bersaudara Bidang Lingkungan yang ditandatangani pada tanggal 12 November 2012.
Sesuai dengan hukum dan peraturan perundang-undangan yang berlaku di
masing-masing negara;
Telah mencapai pengertian sebagai berikut:

Pasal 1

Tujuan
Tujuan dari Memorandum Saling Pengertian (MSP) ini adalah untuk membentuk Kerja Sama Kota Bersaudara Bidang Lingkungan dalam rangka mendorong dan memperluas
kerjasama
yang
efektif
dan
saling
menguntungkan
bagi
pembangunan kedua kota.
Pasal2 Lingkup kerjasama
Para Pihak akan melaksanakan MSP ini sesuai dengan hukum dan peraturan perundang-undangan yang berlaku di masing-masing negara dalam bidangbidang lingkungan sebagai berikut: a.
Lingkungan Rendah Karban ;
b.
Daur Ulang Sumber Daya;
c.
Peningkatan Kapasitas pejabat masing-masing kota;
d. Bidang-bidang kerjasama lain yang disepakati oleh Para Pihak secara tertulis.

Pasal3 Pengaturan Teknis
1.
Untuk memfasilitasi pelaksanaan MSP ini , Para Pihak dapat membuat
pengaturan-pengaturan sesuai dengan ketentuan MSP ini , yang akan mencakup bidang-bidang sebagaimana tersebut pada Pasal 2.
2.
Pengaturan menjelaskan
tersebut
harus
program
atau
sesuai jadwal
dengan
MSP
ini, dan
proyek, personel
yang
harus terlibat,
pengaturan keuangan, tanggung jawab Para Pihak serta hal-hal rinci yang diperlukan lainnya; 3.
Para
Pihak
dapat
mengundang
pihak
ketiga
yang
sesuai
untuk
berpartisipasi dalam pelaksanaan MSP dalam bidang-bidang lingkungan sebagaimana tersebut pada Pasal 2 serta pengaturan keterlibatan pihak ketiga pada tiap program untuk menciptakan kerjasama yang saling menguntungkan bagi kedua kota.
Pasal4 Pengaturan Finansial
1.
Pelaksanaan kegiatan di bawah MSP ini tergantung pada ketersediaan dana dan personel dari Para Pihak;
2.
Kecuali disepakati lain oleh Para Pihak, masing-masing Pihak harus menanggung biaya pelaksanaan dari MSP ini.
Pasal5 Kelompok Kerja Bersama
1.
Para
Pihak
merencanakan,
dapat
membentuk
menyiapkan
dan
Kelompok
Kerja
merekomendasikan
Bersama program
untuk serta
mengawasi dan mengevaluasi perkembangan kerja sama di bawah MSP ini;
2.
Anggota dari Kelompok
Kerja
Bersama
tersebut
harus
terdiri
dari
perwakilan masing-masing pemerintah. Kelompok Kerja Bersama dapat mengundang pihak swasta untuk mengambil bagian dalam pertemuan , jika

atau sebagaimana
disepakati , secara bergantian di Surabaya ataupun Kitakyushu . Apabila pertemuan tahunan tidak dapat dilaksanakan karena keadaan tertentu, dokumen-dokumen dapat dipertukarkan sebagai

Pasal6 Hak Atas Kekayaan lntelektual
1.
Masing-masing Pihak harus melindungi hak atas kekayaan
intelektual
Pihak lain sesuai dengan hukum dan peraturan perundang-undangan dalam negeri yang berlaku di masing-masing Negara;

Dalam hal pengaturan khusus, program atau proyek yang menghasilkan

kekayaan intelektual, kekayaan tersebut harus menjadi milik bersama,

dan Para Pihak harus membuat pengaturan terpisah untuk mengatur

kekayaan tersebut sesuai dengan hukum dan perundang-undangan di

masing-masing Negara;

Jika salah satu pihak berkeinginan untuk membuka data dan atau informasi rahasia yang diberikan oleh Pihak lainnya atau dibuat oleh Para Pihak dalam pelaksanaan MSP ini, Pihak yang membuka tersebut harus

mendapatkan persetujuan tertulis dari Pihak lainnya sebelum pembukaan

data dan informasi dimaksud dilakukan.

Pasal7 Pembatasan Kegiatan Personel
Para Pihak harus memastikan bahwa personelnya yang terlibat dalam kegiatan di bawah MSP ini harus menghormati dan patuh pada hukum dan peraturan perundang-undangan yang berlaku di negara pihak tuan rumah , berkewajiban untuk tidak mencampuri urusan dalam negeri negara dari pihak tuan rumah dan menghindari melakukan kegiatan- kegiatan yang tidak sesuai dengan tujuan dari MSP ini.
Pasal8 Penundaan
Setiap Pihak memiliki hak, karena alasan keamanan dan kepentingan nasional , ketertiban umum dan kesehatan masyarakat, untuk menunda sementara, baik seluruhnya ataupun sebagian, pelaksanaan MSP ini. Penundaan tersebut akan berlaku segera setelah pemberitahuan resmi diberikan kepada Pihak lainnya.
Pasal 9 Penyelesaian perbedaan

Setiap perbedaan yang timbul dalam penafsiran dan pelaksanaan MSP ini akan diselesaikan secara bersahabat melalui konsultasi dan/atau negosiasi antara Para Pihak.
Pasal10 Peru bah an
1.
MSP ini dapat direvisi atau diubah setiap saat secara tertulis melalui persetujuan bersama oleh Para Pihak. Revisi atau perubahan tersebut berlaku sejak tanggal yang ditentukan oleh Para Pihak dan merupakan bagian yang tidak terpisahkan dari MSP ini;

2.
Revisi, modifikasi , atau perubahan apapun tidak mengurangi hak dan kewajiban yang timbul atau didasarkan pada MSP ini sebelum atau sampai dengan tanggal dilakukannya revisi , modifikasi, atau perubahan.
Pasal 11 Masa berlaku, Jangka waktu, dan Pengakhiran
1.
MSP ini berlaku sejak tanggal penandatanganannya .
2.
MSP ini berlaku untuk jangka waktu 3 (tiga) tahun dan dapat diperpanjang atas kesepakatan bersama Para Pihak melalui jalur formal;
3.
MSP ini dapat diakhiri
oleh
pemberitahuan

tertulis
salah
(enam)
satu bulan
Pihak dengan sebelumnya
memberikan
kepada
Pihak
lainnya . Apabila MSP ini diakhiri, maka pengaturan atau kegiatan- kegiatan yang masih berlangsung yang dibuat berdasarkan MSP ini tetap berlaku sampai selesai kecuali disepakati oleh Para Pihak.
SEBAGAI BUKTI , yang bertandatangan di bawah ini, telah diberi kuasa oleh Pemerintahnya masing-masing, telah menandatangani MSP ini.
DIBUAT dalam rangkap dua di Kitakyushu pada tanggal satu bulan September tahun dua ribu enam belas dalam bahasa Indonesia, Jepang, dan lnggris, semua naskah adalah memiliki kekuatan hukum yang sama. Dalam hal terjadi perbedaan penafsiran , maka naskah dalam Bahasa lnggris yang akan berlaku .

MEMORANDUM OF UNDERSTANDING BETWEEN THE CITY GOVERNMENT OF SURABAYA EAST JAVA PROVINCE OF THE REPUBLIC OF INDONESIA AND THE CITY GOVERNMENT OF KITAKYUSHU FUKUOKA PREFECTURE OF JAPAN CONCERNING GREEN SISTER CITY COOPERATION
The City Government of Surabaya, East Java Province of the Republic of Indonesia and The City Government of Kitakyushu , Fukuoka Prefecture of Japan, (hereinafter referred to singularly as the "Party" and collectively as "the Parties");
Desiring to promote friendship and mutual understanding as well as beneficial relations between the people and the governmental institutions of the Parties;
Recognizing the importance of the principles of equality and mutual benefit;
Taking into account the Joint Declaration of the Kitakyushu Conference on Environmental Cooperation among Cities in the Asian Region on October 15th,
1997; Recalling the Joint Statement on Strategic Environmental Partnership between City of Surabaya of the Republic of Indonesia and City of Kitakyushu of Japan signed in Kitakyushu on March 15th, 2011
Considering the constructive implementation of the Memorandum
of
Understanding between the City Government of Surabaya, East java Province of the Republic of Indonesia and the City Government of Kitakyushu , Fukuoka Perfecture of Japan concerning Green Sister City Cooperation, signed on November 12th, 2012 I!
Pursuant to the prevailing laws and regulations of the respective countries;
Have reached an understanding as follows:
Article I Objective
The objective of this Memorandum of Understanding (MoU) is to establish Green Sister City Cooperation in order to promote and expand effective and mutually beneficial cooperation in the development of the two cities.
Article 2 Scope of Cooperation
The parties shall undertake to implement this MoU in accordance with the laws and regulation of their respective countries in the environmental fields as follows: a.
Low Carbon Society;
b.
Resource recycling;
c.
Capacity Building for the officials of each city;
d.
Other fields of cooperation as mutually agreed upon by the Parties in writing
Article 3 Technical Arrangements
1.
To facilitate the implementation of this MoU, the Parties may conclude arrangements within the terms of this MoU, which shall cover the fields as provided in Article 2 ;

Such arrangements shall be in conformity with this MoU , and shall describe program or project schedule, personnel involved, financial arrangements, responsibilities undertaken by the Parties and other necessary details;
3.
The Parties may invite the relevant third party to take part in implementation of the MoU in the environmental fields as stated in article 2 as well as arrangement of the involvement of the third party in each program to create the mutually beneficial cooperation in both cities.
Article 4 Financial Arrangements
1.
The implementation of the activities under this MoU is subject to the availability of funds and personnel of the Parties;
2.
Unless otherwise agreed by the Parties, each Party shall bear its own costs in the implementation of this MOU.
Article 5 Joint Working Group
1.
The Parties may establish a Joint Working Group to plan, prepare and recommend programs as well as to monitor and evaluate the progress of cooperation under this MoU;
2.
The members of the Joint Working Group shall consist of representatives of the respective governments. The Joint Working Group may invite the private sector to take part in its deliberation, if necessary and subject to mutual consent of the Parties;
3.
The Joint Working Group shall meet annually or otherwise as agreed, alternately in Surabaya or in Kitakyushu. If the annual meeting could not be held in certain circumstances, documents shall be exchanged in lieu of such meeting.

Article 6 Intellectual Property Rights
I!
1.
Each Party shall protect intellectual property rights of the other Party in accordance with the relevant domestic laws and regulations in force in their respective country;
2.
In case of specific arrangements, program or project result in the intellectual property, such property shall be jointly owned, and the Parties shall conclude a separate arrangement to govern such property in accordance with the laws and regulations of the respective countries;
3.
If either Party wishes to disclose confidential data and or information furnished by the other party or created by the Parties in the implementation of this MoU , the disclosing Party shall obtain written consent from the other Party prior to the disclosure of such data and or information.
Article 7 Limitation of Personnel Activities
The Parties shall ensure that their personnel engaged in activities under this MoU shall respect and comply with the laws and regulations of the host party's country, shall have the obligation to not interfere the domestic affairs of the country of the host party and shall refrain from conducting activities inconsistent with the objective of this MoU .
Article 8 Suspension
Each Party reserves the right, for reasons of national security, national interest, public order or public health, to suspend temporarily, either in whole or in a part, the implementation of this MoU. The suspension shall take effect immediately after formal written notification has been given to the other Party.

Article 9 Settlement of Disputes
1 ;
Any differences arising out of the interpretation or implementation of this MoU shall be settled amicably through consultation and/or negotiation between the Parties.
Article 10 Amendment
1.
This Memorandum of Understanding may be revised or amended at any time in writing by mutual consent of the Parties. Such revision or amendments shall come into effect on such date as may be determined by the Parties and shall form as an integral part of this MoU ;
2.
Any revision, modification or amendment shall not prejudice the rights and obligations arising from or based on this MoU before or up to the date of such revision, modification or amendment.
Article 11 Entry Into Force, Duration, and Termination
1.
This MoU shall come into force on the date of its signing;
2.
This MoU shall be in force for a period of 3 (three) years and may be extended by mutual consent of the Parties through formal channel;
3.
This MoU may be terminated by either Party by giving 6 (six) months prior notice to the other Party. Should this MoU be terminated , the arrangement or ongoing program and activities made under this MoU shall be in effect until their completion unless agreed otherwise by the Parties.

IN WITNESS WHEREOF, the undersigned , being duly authorized thereto by their respective Governments, has signed this MoU .
DONE in duplicate in Kitakyushu on September 1st in the year two thousand and sixteen in Indonesian, Japanese, and English languages, all texts being equally authentic. In case of any divergences of interpretation of this MoU , the English texts shall prevail.
