MEMORANDUM SALING PENGERTIAN ANT ARA KEMENTERIAN PERINDUSTRIAN REPUBLIK INDONESIA DAN KEMENTERIAN PERDAGANGAN & PERINDUSTRIAN REPUBLIK LIBERIA MENGENAI KERJASAMA TEKNIK DI SEKTOR INDUSTRI
Kementerian Perindustrian Republik Indonesia dan Kementerian Perdagangan dan Perindustrian Republik Liberia selanjutnya masing-masing disebut sebagai
"Pihak", dan secara bersama-sama disebut sebagai "Para Pihak";
BERKEINGINAN
untuk lebih
memperkuat dan meningkatkan hubungan
kerjasama industri dan ekonomi antar kedua negara;
BERHARAP untuk menemukan pendekatan dan strategi baru untuk melakukan
konsolidasi, perluasan, dan memperdalam pengembangan area ekonomi, investasi, dan kerjasama industri di antara kedua negara dengan fokus utama pada bidang pengembangan lndustri Kecil dan Menengah (IKM);
MERUJUK pada Memorandum Saling Pengertian antara Pemerintah Republik
Indonesia dan Pemerintah Republik Liberia tentang Pembentukan Komisi Bersama untuk Kerjasama Bilateral ditandatangani di Monrovia pada 31 Januari 2013;
SESUAI DENGAN hukum dan peraturan perundang-undangan yang berlaku di
masing -masing negara;
TELAH MENCAPAI pengertian sebagai berikut:
PASAL 1 TUJUAN KERJASAMA
Tujuan Memorandum Saling Pengertian ini adalah untuk melaksanakan kerjasama teknik di sektor industri diantara para Pihak khususnya dalam lingkup pengembangan industri kecil dan menengah
PASAL 2 LINGKUP KERJASAMA
Lingkup kerjasama dalam Memorandum Saling Pengertian ini harus meliputi bidang-bidang sebagai berikut: a. lndustri agro, termasuk peralatan perikanan dan pertanian; b. lndustri tekstil dan garmen; dan c. lndustri furnitur.
PASAL 3 BENTUK-BENTUK KERJASAMA
Guna mencapai tujuan Memorandum Saling Pengertian ini, Para Pihak setuju untuk melaksanakan kerjasama teknik, sebagai berikut: 1. Kerjasama dalam proyek alih teknologi dan rantai pasokan; dan 2. Kerjasama dalam penyelenggaraan pelatihan (termasuk pelatihan untuk para pelatih), pendidikan, dan pengiriman tenaga ahli
PASAL 4 PENGATURANPELAKSANAAN
Setiap kegiatan kerjasama berdasarkan Memorandum Saling Pengertian ini harus diuraikan dalam suatu pengaturan pelaksanaan yang tertulis dalam waktu dekat yang terdiri atas rencana kerja, durasi, biaya, skema pendanaan, dan ketentuan lain yang diperlukan oleh kegiatan kerjasama ini.
PASAL 5 LOKASI PROYEK
Para Pihak setuju untuk melaksanakan kerjasama di Jakarta, Monrovia dan lokasi proyek lainnya berdasarkan kesepakatan tertulis dari kedua Pihak.
PASAL 6 KEWAJIBAN -KEWAJ I BAN
1. Kewajiban
masing-masing
Pihak
akan
diuraikan
dalam
pengaturan
pelaksanaan dalam li ngkup Memorandum Saling Pengertian ini.
2. Masing-masing Pihak berkewajiban untuk memonitor dan mengevaluasi secara berkala kegiatan yang dilaksanakan berdasarkan Memorandum Saling Pengertian ini. PASAL 7 HAK ATAS KEKAYAAN INTELEKTUAL
1. Para pihak setuju setiap hak kekayaan intelektual yang timbul dari pelaksanaan Memorandum Saling Pengertian ini harus dimiliki bersama, dan: a. Masing-masing Pihak harus diijinkan untuk mengg unakan kekayaan intelektual
tersebut
untuk
tujuan
pemeliharaan,
penyempurnaan kekayaan intelektual terkait;
adaptasi,
dan
b. Dalam hal hak kekayaan intelektual digunakan oleh salah satu Pihak dan/atau lembaga atas nama Pihak tersebut untuk tujuan komersial, Pihak lainnya harus memperoleh royalti yang adi l;
c. Masing-masing Pihak harus bertanggung jawab atas setiap tuntutan yang dibuat oleh pihak ketiga yang berkaitan dengan kepemilikan dan legalitas dari penggunaan hak kekayaan intelektual yang dibawa oleh Pihak tersebut di atas untuk pelaksanaan setiap kegiatan kerjasama berdasarkan Memorandum Saling Pengertian ini.
2. Para Pihak harus menjamin satu sama lain bahwa hak kekayaan intelektual yang dibawa oleh salah satu Pihak kedalam wil ayah Pihak lain untuk pelaksanaan
pengaturan proyek dari
kegiatan tidak
dihasilkan
dari
pelanggaran atas hak pihak ketiga lain yang sah.
3. Jika salah satu Pihak berkeinginan untuk mengungkap data dan/atau lnformasi
rahasia yang
dihasilkan dari kegiatan kerjasama berdasarkan
Memorandum Saling Pengertian ini kepada pihak ketiga, Pihak yang mengungkap data harus memperoleh ijin terlebih dahulu dari Pihak lainnya sebelum pengungkapkan dimaksud dilakukan.
4. Bilamana salah satu Pihak membutuhkan kerjasama dari pihak ketiga diluar kedua negara untuk kegiatan komersial yang dihasilkan dari kekayaan intelektual yang diatur oleh Memorandum Saling Pengertian ini, Pihak tersebut harus memberikan preferensi terlebih dahulu kepada Pihak lainnya berdasarkan Memorandum Saling Pengertian ini.
PASAL 8 KERAHASIAN
1.
Masing-masing Pihak haru s menjaga kerahasiaan dokumen, informasi, dan data lainnya yang diterima dari atau diberikan kepada Pihak lain selama periode pelaksa naan Memorandum Saling Pengertian ini atau perjanjian lainnya yang dibuat berdasarkan Memorandum Saling Pengertian ini.
2.
Para Pihak setuju bahwa ketentuan Pasal ini akan terus berlaku dengan tidak
mengabaikan
adanya
pengakhiran
atas
Memorandum
Saling
Pengertian ini.
3. Ketentuan Pasal ini tidak boleh mengabaikan hukum dan peraturan perundang-undangan yang berlaku dari Para Pihak.
PASAL 9 PERLINDUNGAN EKSPRESI BUDAYA TRADISIONAL
Para Pihak harus menghargai nilai ekspresi budaya tradisional dan mencegah adanya penyalahgunaan dan pemanfaatan secara tidak patut dari ekspresi budaya tradisional dari salah satu Pihak
PASAL10 PEMBATASAN KEGIATAN PERSONIL
Setiap orang yang terlibat dalam kegiatan yang dilaksanakan berdasarkan Memorandum Saling Pengertian ini haru s menghormati kemerdekaan politik, kedaulatan, dan integ ritas teritorial dari negara tuan rumah, dan harus menghindari kegiatan yang tid ak sesuai dengan tujuan dan maksud dari Memorandum Saling Pengerti an ini.
PASAL 11 AMAN DEM EN
Memorandum
Saling
Pengertian
ini
dapat diamandemen
setiap waktu
berdasarkan kesepakatan Para Pihak melalui nota diplomatik. Amandemen tersebut akan berlaku pada tanggal yang ditentukan oleh Para Pihak dan menjadi bagian yang tidak terpi sahkan dari Memorandum Saling Pengertian ini.
PASAL 12 PENYELESAIAN SENGKETA
Setiap sengketa di antara Para Pihak yang terkait dengan penafsiran dan/atau implementasi dari Memorandum Saling Pengertian ini harus diselesaikan secara bersahabat melalui konsultasi atau perundingan antara Para Pihak.
PASAL13 MULAI BERLAKU, MASA BERLAKU, DAN PENGAKHIRAN
1. Memorandum
Saling
Pengertian
ini
akan
berlaku
sejak
tanggal
penandatanganan dan akan tetap berlaku untuk jangka waktu 5 (lima) tahun. Memorandum Saling Pengertian ini dapat diperpanjang berdasarkan kesepakatan tertulis dari Para Pihak.
2. Salah satu pihak dapat mengakhiri Memorandum Saling Pengertian ini dengan
memberitahukan
kepada
Pihak lainnya
mengenai
tersebut secara tertulis 6 (enam) bulan sebelumnya
keinginan
melalui saluran
diplomatik.
3. Dalarn hal terjadi
pengakhiran,
ketentuan dari
Memorandum Saling
Pengertian ini harus tetap berlaku bagi program-program yang tengah berjalan berdasarkan Memorandum ini hingga selesainya program-program tersebut, kecuali Para Pihak menyatakan sebaliknya.
SEBAGAI BUKTI, yang bertanda tangan di bawah ini, telah menandatangani
Memorandum Saling Pengertian ini.
DIBUAT dalam dua naskah as li di Jakarta pada 25 Maret 2013 dalam bahasa lnggris dan Indonesia. Seluruh naskah memiliki kea bsahan yang sama.

MEMORANDUM OF UNDERSTANDING BETWEEN THE MINISTRY OF INDUSTRY OF THE REPUBLIC OF INDONESIA AND THE MINISTRY OF COMMERCE & INDUSTRY OF THE REPUBLIC OF LIBERIA ON TECHNICAL COOPERATION IN INDUSTRIAL SECTOR
The Ministry of Industry of the Republic of Indonesia and the Ministry of Commerce and Industry of the Republic of Liberia, hereinafter referred to singularly as "the Party" and collectively as "the Parties",
DESIRING to further strengthen and promote industrial and economic interrelations
between the two countries;
WISHING to find new approaches and strategies for consolidating, expanding and
deepening areas of economic development, investm ents, and industrial cooperation between two countries with specific focu s on development of the Small and Medium Industries (SMls);
REFERRING to the Memorandum of Understanding between the Government of the
Republic of Indonesia and the Governm ent of the Republic of Liberia on the Establishment of Joint Commission for Bilateral Cooperation signed in Monrovia on 31 January 2013;
PURSUANT to the prevailing laws and reg ulation s of their respective countries;
HAVE REACHED the following understanding :
ARTICLE 1 OBJECTIVES OF COOPERATION
The objective of this Memorandum of Understanding is to conduct technical cooperation in the industrial sector between the Parties especially in the scope of small and medium industries development.
ARTICLE 2 SCOPE OF COOPERATION
The scope of cooperation of this Memorandum of Understanding shall include the following fields:
1. Agro industry, including fisheri es and agricultural equipment;
2. Textiles and garment industry; and
3. Furniture industry.
ARTICLE 3 AREAS OF COOPERATION
To achieve the objectives of this Memorandum of Understanding, the Parties agreed to carry out the technical cooperation, as follows:
1. Cooperation in the areas of technology transfer and supply chain; and
2. Cooperation in training (including training of trainers), education, and dispatch of experts.
ARTICLE 4 IMPLEMENTING ARRANGEMENT
Each cooperation activity under thi s Memorandum of Understanding shall be defined in due course in a written implementing arrangement which shall consist of statement of work, duration, cost, funding scheme, and other necessary terms of cooperation activities.
ARTICLE 5 PROJECT LOCATION
The Parties agree to cooperate in Jakarta, Monrovia and other project locations as mutually agreed in writing by both Parti es.
ARTICLE 6 OBLIGATIONS
1. The obligation of each Party would be defin ed in implementing arrangement within the scope of this Memorandum of Understanding
2. Each Party shall be obliged to monitor and evaluate periodically activities conducted under this Memorandum of Understanding.
ARTICLE 7 INTELLECTUAL PROPERTY RIGHTS
1. The Parties agreed that any intellectual property rights arising under the implementation of this Memorandum of Understanding shall be jointly owned and:
a.
Each Party shall be allowed to use intellectual property for the purpose of maintaining, adapting and improving the relevant property;

b.
In the event the intellectual property rights is used by a Party and/or institution on behalf of that Party for commercial purpose, the other Party shall be entitled to obtain equitable portion of royalty;
c.
Each Party shall be liable for any claim made by any third party on the ownership and legality of the use of intellectual property rights which is brought in by the aforementioned Party for the implementation of the cooperation activities under this Memorandum of Understanding.
2. The Parties shall indemnify each other that the intellectual property rights brought by a Party into the territory of the other Party for the implementation of any project arrangement of activities is not resulted from any infringement of the third party's legitimate rights.
3. If either Party wishes to disclose confidential data and/or information resulting from the cooperation activities under this Memorandum of Understanding to any third party, the disclosing Party must obtain prior consent from the other Party, before any disclosure can be made.
4. Whenever either Party requires the cooperation of a third party outside both countries for any commercial undertaking resulting from intellectual property covered by this Memorandum of Understanding, that Party will give first preference of the cooperation to the other Party under this Memorandum .of Understanding.
ARTICLE 8 CONFIDENTIALITY
1. Each Party shall undertake to observe the confid entiality and secrecy of documents, information and other data received from or supplied to the other Party during the period of the implementation of this Memorandum of
Understanding or any other agreements made pursuant to this Memorandum of Understanding.
2. The Parties agreed that the provision of this Article shall continue to be binding between the Parties notwithstanding the termination of this Memorandum of Understanding.
3. The Provision of this Article shall not prejudice the prevailing laws and regulations of the Parties.
ARTICLE 9 PROTECTION OF TRADITIONAL CULTURAL EXPRESSIONS
The Parties shall recognize the value of traditional cultural expressions and prevent any misappropriation and misuse of such traditiona l cultural expressions of either Party.
ARTICLE 10 LIMITATION OF PERSONNEL ACTIVITIES
Any person engaged in activities to this Memorandum of Understanding shall respect political independence, sovereignty, and territorial integrity of the host country, and shall avoid any activities inconsistent with the purposes and objectives of this Memorandum of Understanding.
ARTICLE 11 AMENDMENT
This Memorandum Understanding may be amended at any time by mutual consent of the Parties through diplomatic notes. Such amendment shall enter into force on such a date as may be determined by the Parties and shall form an integral part of this Memorandum of Understanding.
ARTICLE 12 DISPUTES SETTLEMENT
Any dispute between the Parties relating to the interpretation and/or implementation of this Memorandum of Understanding shall be resolved amicably through consultation or negotiation between the Parti es.
ARTICLE 13 ENTRY INTO FORCE, DURATION AND TERMINATION
1.
This Memorandum of Understand ing shall enter into force on the date of its signing and shall remain in force for period of 5 (five) years. This Memorandum of Understanding may be extended based on mutual written consent of the Parties.
2.
Either Party at any time may termin ate this Memorandum of Understanding by giving notification to other Party of such intention in writing 6 (six) months in advance through diplomatic channels.
3.
In the event of termination, the provisions of this Memorandum of Understanding shall remain applicable to ongoing programmes made under this Memorandum until their completion, unless the Parties agree otherwise.
IN WITNESS WHEREOF the undersigned , have signed this Memorandum of
Understanding.
DONE in two originals at Jakarta on March 251h, 2013 in English and Indonesian languages. All texts being equally authentic.
