UMUM a.

1. GENERAL

Pendirian dan Informasi Umum

a.

Establishment and General Information

PT Sorini Agro Asia Corporindo Tbk (“Perseroan”) didirikan dalam rangka Undang-Undang Penanaman Modal Dalam Negeri No. 6 tahun 1968 dengan akta notaris Sastra Kosasih, SH, No. 11 tanggal 7 Februari 1983. Akta pendirian ini disetujui oleh Menteri Kehakiman dengan No. C26815-HT.01.01.Th.85 tanggal 25 Oktober 1985 dan diumumkan dalam Tambahan No. 1473 pada Berita Negara No. 97 tanggal 3 Desember 1985. Anggaran Dasar Perseroan telah mengalami beberapa kali perubahan.

PT Sorini Agro Asia Corporindo Tbk (the “Company”) was established under Domestic Capital Investment Laws No. 6 year 1968 by deed of notary public Sastra Kosasih, SH, No. 11 dated 7 February 1983. The establishment deed was approved by Minister of Justice under No. C2-6815-HT.01.01.Th.85 on 25 October 1985 and published in Supplement No. 1473 to State Gazette No. 97 of 3 December 1985. The Company’s Articles of Association have been amended several times.

Perubahan selanjutnya dilakukan dengan akta notaris Mala Mukti, S.H., LL.M. No. 106 tanggal 28 November 2014 mengenai penambahan kegiatan usaha Perseroan berupa menyewakan mesin dan peralatan yang menunjang kegiatan produksi Perseroan dan afiliasinya dan menjalankan kegiatan usaha perdagangan besar. Akta ini disetujui oleh Menteri Hukum dan Hak Asasi Manusia dengan No. AHU-0131022.40.80. 2014 tanggal 15 Desember 2014.

Further amendment was effected by deed of notary public Mala Mukti, S.H., LL.M. No. 106 dated 28 November 2014 regarding additions to the Company’s operation activities to include rental of machinery and equipment to support the Company or its affiliated production and engage in large scale trading. Further amendment was effected by deed of notary public Mala Mukti, S.H., LL.M. No. 66 dated 24 November 2015 regarding the changes in Articles of Association to comply with Financial Service Authority Regulation Number 32/POJK.04/2014. Based on notarial deed Untung Darnosoewirjo SH, No. 125 dated 17 April 1996, General Meeting of Shareholders decided to split the stock from Rp 1,000 (whole Rupiah) per share to Rp 500 (whole Rupiah) per share and to distribute bonus shares amounting to Rp.50,000 which were taken from additional paid-in capital from the first limited public offering in 1994 with the condition that each shareholder owning four old shares would get five bonus shares. The consolidated statement of cash flows presents the changes in cash and cash equivalents from operating, investing and financing activities and is prepared using the direct method. The Company and subsidiary consider short-term time deposits with maturities of not more than three months at the date of acquisition to be cash equivalents. Bank overdrafts that are repayable on demand and form an integral part of the Company and subidiary’s cash management are included as a component of cash and cash equivalents for the purpose of the consolidated statement of cash flows.

Perseroan mengendalikan entitas ketika Perseroan terekpos dengan, atau memiliki hak atas, imbal hasil variabel dari keterlibatan Perseroan dengan entitas, dan memiliki kemampuan untuk mempengaruhi imbal hasil tersebut melalui kekuasaan Perseroan di entitas.

The consolidated financial statements include the financial statements of the Company and its subsidiary. A subsidiary is an entity controlled by the Company. The Company controls an entity when it is exposed to, or has rights to, variable returns from its involvement with the entity, and has the ability to affect those returns through its power over the entity.

Significant intercompany balances and transactions of the Company and subsidiary, including assets and liabilities, equity, income, expenses and dividends, are eliminated in full. Unrealized gains and losses resulting from intercompany transactions of the Company and subsidiary are eliminated in the consolidated financial statements.

Non-controlling interests are presented in the consolidated statement of financial position within equity, separately from the equity attributable to the owners of the Company. Profit or loss and each component of other comprehensive income are attributed to the owners of the Company and to the non-controlling interests based on the ownership interest proportionally.

Derivative financial instruments are measured at fair value and recognized as either assets or liabilities in the consolidated statements of financial position. Changes in the fair value of derivative instruments are recognized in either earnings or other comprehensive income depending on the designated purpose of the derivative instruments and whether they qualify for hedge accounting. As of 31 May 2016 and 2015, none of the Company’s derivative financial instruments qualify for hedge accounting.

Changes in the impairment provision are recognized in profit or loss.

Upon initial recognition, the leased asset is measured at an amount equal to the lower of its fair value and the present value of minimum lease payments. The balance of the present value of unpaid minimum lease payments is presented as finance lease obligation. Minimum lease payments made under finance lease are apportioned between the finance costs and the reduction of the outstanding obligation. The finance costs are allocated to each period during the lease term so as to produce a constant periodic rate of interest on the remaining balance of the obligation. Subsequent to initial recognition, a leased asset is accounted for in accordance with the accounting policy applicable to that asset.

This method also requires the recognition of future tax benefits, such as tax loss carry forwards, to the extent that realization of such benefits is probable.

In determining the amount of current and deferred tax, the Company and subsidiary take into account the impact of uncertain tax positions and any additional taxes and penalties. Management believes that the accruals for tax liabilities are adequate for all open tax years based on its assessment of many factors, including interpretations of tax law and prior experience. The assessment relies on estimates and assumptions and may involve judgments about future events. New information may become available that causes management to change its judgment regarding the adequacy of existing tax liabilities. Such changes to tax liabilities will impact tax expense in the period that such determination is made.

Treasury shares When share capital issued is repurchased, the amount of the consideration paid, which includes directly attributable costs, net of any tax effects, is recognised as a deduction from equity. Repurchased shares are classified as treasury shares and are presented as a reduction of the share capital for the nominal value of the treasury shares. Any excess of the consideration paid over the nominal value of the treasury shares is recorded as additional paid-in capital in the equity section. When treasury shares are sold or reissued subsequently, the amount received is recognised as an increase in equity, and the resulting surplus or deficit on the transaction is included in additional paid-in capital in the equity section.

Liabilitas yang diakui di laporan posisi keuangan konsolidasian adalah nilai kini liabilitas imbalan pasti pada tanggal laporan posisi keuangan sesuai dengan UU 13/2003 tentang ketenagakerjaan, dimana Perseroan dan entitas anak wajib memberikan imbalan kepada karyawannya pada saat pemutusan hubungan kerja atau pada saat karyawan pensiun. Imbalan kerja ini diberikan berdasarkan masa kerja dan kompensasi karyawan pada saat pemutusan hubungan kerja atau pensiun.

The liabilities recognized in consolidated statement of financial position are the present value of the defined benefit obligation as at the statement of financial position date in accordance with Law 13/2003 relating to labor regulations, in which the Company and subsidiary are required to provide benefits to their employees when their employment is terminated or when they retire. These benefits are primarily based on years of service and employees’ compensation at termination or retirement.

Liabilitas atas imbalan pasca-kerja dihitung sebesar nilai kini dari estimasi jumlah imbalan pasca-kerja di masa depan yang timbul dari jasa yang telah diberikan oleh karyawan pada masa kini dan masa lalu. Perhitungan dilakukan oleh aktuaris independen dengan metode projected unit credit.

The obligation for post-employment benefits is calculated at the present value of estimated future benefits that the employees have earned in return for their services in the current and prior periods. The calculation is performed by an independent actuary using the projected unit credit method.

Atas penerapan PSAK No. 24 “Imbalan Kerja”, efektif 1 Juni 2012, Perseroan memilih untuk mengakui seluruh keuntungan dan kerugian aktuarial dari program imbalan pasti segera dalam penghasilan komprehensif lain dan seluruh beban yang berhubungan dengan imbalan dalam laba rugi.

As part of adopting PSAK No. 24, “Employee Benefits, effective 1 June 2012, the Company elected to recognize all actuarial gains and losses arising from a defined benefit plan immediately in other comprehensive income and all expenses related to the benefits in profit or loss.

Pengukuran kembali kewajiban imbalan pasti (misalnya keuntungan dan kerugian aktuarial) diakui segera dalam penghasilan komprehensif lainnya. Beban jasa lalu diakui pada laba rugi pada saat perubahan atau kurtailmen program terjadi.

Remeasurements on the net defined benefit liability (for example, actuarial gains and losses) is recognized immediately in other comprehensive income. Past service costs is recognized in profit or loss when the amendment or curtailment of the program occurred.

Pada bulan September 2013, Perseroan menerima Surat Ketetapan Pajak Lebih Bayar (SKPLB) untuk pajak penghasilan badan 2011/2012 yang mengindikasikan koreksi dari rugi fiskal sebesar Rp 11.159 menjadi laba kena pajak sebesar Rp 29.666 dan lebih bayar atas pajak penghasilan sebesar Rp 12.798. Pada bulan November 2013, Perseroan telah menerima restitusi atas pajak penghasilan tersebut sebesar Rp 12.798. Pada bulan Maret 2015, Perseroan telah menyampaikan surat banding dengan mengklaim rugi fiskal sebesar Rp 5.442 dan lebih bayar pajak penghasilan badan sebesar Rp 12.945.

In September 2013, the Company received an Overpayment Tax Assessment Letter for 2011/2012 corporate income tax indicating adjustment from tax loss of Rp 11,159 to taxable income of Rp 29,666 and an overpayment of corporate income tax amounting to Rp 12,798. In November 2013, the Company received the tax refund of Rp 12,798. In March 2015, the Company submitted an appeal letter claiming tax loss of Rp 5,442 and an overpayment of corporate income tax of Rp 12,945.

Pada bulan Januari 2015, Perseroan telah menerima restitusi atas pajak penghasilan badan tersebut sebesar Rp 1.407. Perseroan juga menerima Surat Ketetapan Pajak Kurang Bayar (SKPKB) pajak penghasilan pasal 23 2012/2013 sebesar Rp 2.331 dan Pajak Pertambahan Nilai sebesar Rp 354. Pada bulan Maret 2016, Perseroan menerima surat keputusan atas keberatan yang diajukan oleh Perseroan terhadap SKPKB pajak penghasilan pasal 23 2012/2013 dan pajak pertambahan nilai yang mengabulkan sebagian dari keberatan atas pajak pertambahan nilai sebesar Rp 145. Pada bulan April 2016, Perseroan telah menerima restitusi atas pajak pertambahan nilai sebesar Rp 69. Pada bulan Mei 2016, Perseroan telah menyampaikan surat banding atas keputusan keberatan SKPKB tersebut.

Manajemen berkeyakinan bahwa Perseroan dapat mempertahankan posisi pajak Perseroan dan merealisasikan seluruh saldo klaim atas restitusi pajak.

Management believes that the Company can sustain its tax positions and recover all of its outstanding balance of claims for tax refunds.

Sesuai peraturan perpajakan di Indonesia, Perseroan dan entitas anak melaporkan/menyetorkan pajak untuk setiap entitas sebagai suatu badan hukum yang terpisah berdasarkan sistem self-assessment. Fiskus dapat menetapkan atau mengubah pajak-pajak tersebut dalam batas waktu yang ditentukan sesuai dengan ketentuan yang berlaku.

h. Under the taxation laws of Indonesia, the Company and subsidiary submit/pay tax returns for each legal entity on the basis of self- assessment. The tax authorities may assess or amend taxes within the statute of limitations, under prevailing regulations.

Perseroan dan Entitas Anak memiliki beberapa bidang tanah yang terletak di Desa Ngerong, Gempol, Pasuruan, Desa Cangkring Malang, Beji, Pasuruan, Desa Tambah Subur, Way Bungur, Lampung Timur, Cikande, Serang, Jawa Barat dan Desa Kepulungan, Gempol, Pasuruan dengan total seluas 1.365.285 m2 (tidak termasuk tanah yang diklasifikasikan sebagai aset yang tidak digunakan dalam operasi) (31 Mei 2015: 1.457.751 m2) bersertifikat Hak Guna Bangunan yang berjangka waktu 20 tahun, 25 tahun, dan 30 tahun, yang akan jatuh tempo antara tahun 2024 dan 2040. Per 31 May 2016, sertifikat Hak Guna Bangunan atas tanah baru di Desa Kepulungan, Gempol dan Desa Ngerong, Gempol dengan total seluas 42.868 m2 masih dalam proses. Perseroan memperoleh fasilitas kredit dari Deutsche Bank AG sebesar USD 52.500.000 atau setaranya sebagai bagian dari pooling agreement, yang terdiri dari fasilitas pinjaman jangka pendek, cerukan, LC, pembayaran dimuka, pembelian wesel ekspor, penerbitan surat kredit siaga, dan garansi bank. The facility agreement includes certain restrictions, among other things, on compliance with certain administrative requirements.

Fasilitas kredit ini dijamin oleh corporate guarantee dari Cargill Incorporated, USA. dan Mitsubishi Shoji Foodtech Co., Ltd. masing-masing sebesar 50%. Fasilitas ini berlaku sampai dengan tanggal 30 Juni 2016, dan diperpanjang sampai dengan tanggal 30 Juni 2017.

The Subsidiary has a working capital credit facility from The Bank of Tokyo - Mitsubishi UFJ Ltd. amounting to USD 12,500,000. The credit facility is secured by corporate guarantees from Cargill Incorporated, USA. and Mitsubishi Shoji Foodtech Co., Ltd., each for 50%. This facility is available through 30 June 2016, and is extended to 30 June 2017.

The credit agreement contains covenants which require the subsidiary to send written notice to the bank before the subsidiary can, among others, change the composition of its shareholders, declare or pay dividends, lend loan to or obtain a loan from another party, and acquire or lease any assets except in the ordinary course of its business. Written consents from the bank must also be obtained by the subsidiary to, among others, merge with other parties, act as guarantor against any third party’s obligation, and/or sell, lease or transfer substantial assets except in its ordinary course of business.

The Company has a revolving credit facility from Cargill Asia Pacific Treasury Ltd., Singapore with a total facility amount of USD 75,000,000, at interest rate p.a. of LIBOR plus a country risk premium. The facility is secured by a corporate guarantee from Cargill Incorporated, USA. The Company shall repay each loan principal and interest thereon on the respective loan maturity dates. The parties may agree to extend the term or roll over such amounts of the loan and/or interest thereon. The credit facility may be terminated by mutual agreement between the Company and Cargill Asia Pacific Treasury Ltd.

Capital risk management The primary objective of the Company’s capital management is to ensure that it maintains a healthy capital ratio in order to support its business and maximize shareholder value.

Perseroan dipersyaratkan oleh Undang-undang Perseroan Terbatas No. 40 Tahun 2007 untuk menyisihkan sebagian saldo laba sampai dengan 20% dari modal ditempatkan dan disetor ke dalam dana cadangan yang tidak boleh didistribusikan. Persyaratan permodalan eksternal tersebut akan dipertimbangkan oleh Perseroan dalam Rapat Umum Tahunan Pemegang Saham.

The Company is required by the Limited Liability Corporate Law No. 40 Year 2007 to allocate a portion of its retained earnings to a non-distributable reserve fund until it reaches 20% of the issued and paid-up capital. This externally imposed capital requirements will be considered by the Company in its Annual General Shareholders’ Meeting.

Perseroan mengelola struktur permodalan dan melakukan penyesuaian berdasarkan perubahan kondisi ekonomi. Pada tanggal 30 Mei 2012, Perseroan membeli kembali 6.625.000 saham yang dimiliki oleh masyarakat dengan nilai pembelian sebesar Rp 16.562. Pembelian kembali saham ini adalah sesuai dengan persyaratan pada paragraf 1.c pasal 62 Undang-Undang No. 40 tahun 2007 tentang kewajiban perseroan terbatas sehubungan dengan kegiatan penggabungan usaha entitas anak (SIP dan BTJ) ke dalam Perseroan. Saham yang dibeli kembali diklasifikasikan sebagai saham treasuri dan disajikan sebagai pengurangan modal saham sebesar nilai nominal saham treasuri tersebut Rp 662. Selisih lebih nilai pembelian kembali atas nilai nominal saham treasuri sebesar Rp 15.900 dicatat sebagai pengurangan tambahan modal disetor pada bagian ekuitas.

On 30 May 2012, the Company purchased 6,625,000 shares owned by the public at a total purchase price of Rp 16,562. This purchase was a requirement of the limited liability Company paragraph 1.c of article 62 of the Law No. 40 of 2007 due to the merger of the subsidiaries (SIP and BTJ) to the Company. Their shares are classified as treasury shares and are presented as a reduction of share capital for the nominal value of the treasury shares of Rp 662. The excess of the purchase price over the nominal value of the treasury shares amounting to Rp.15,900 was recorded as a reduction of additional paid-in capital in the equity section.

Liabilitas imbalan pasca-kerja Perseroan dan entitas anak masing-masing dihitung oleh PT Dayamandiri Dharmakonsolindo dan PT Kappa Konsultan Utama, aktuaris independen, dengan menggunakan metode projected unit credit.

Perseroan harus membayar biaya jasa kepada Cargill, Inc. sebesar biaya aktual atas penyediaan jasa yang bersangkutan. Perjanjian ini berlaku efektif sejak tanggal 1 Juni 2012, dan akan tetap berlaku untuk jangka waktu tak terbatas, dengan ketentuan kedua belah pihak dapat mengakhiri perjanjian ini dengan memberikan pemberitahuan tertulis tidak kurang dari 3 bulan.

Pada tanggal 2 September 2014, Perseroan mengadakan Perjanjian Desain, Pembuatan dan Pengembangan ERP TC1 dengan Cargill Incorporated, USA (Cargill Inc.) dimana Cargill Inc. akan membuat desain, pembuatan dan pengembangan ERP SAP untuk mendukung aktivitas operasional utama Perseroan, diantaranya sistem penjualan, pembelian dan pengadaan, dan persediaan, dimana biaya desain/pembuatan dan pengembangan sistem software ini dikapitalisasi oleh Perseroan. Perseroan menyetujui bahwa Cargill Inc. dapat mensub-kontrakan sebagian pekerjaan pengembangan ini kepada perusahaan Cargill lainnya atau pihak ketiga. Biaya terkait ERP ini dibagi menjadi biaya desain/pembuatan dan biaya pengembangan. Alokasi untuk biaya desain/pembuatan dan pengembangan ERP aktual akan berdasarkan pada jumlah pengguna ERP aktual atau potensi yang terkait dengan Perseroan.

On 2 September 2014, the Company entered into TC1 ERP Design/Build and Deployment Agreement with Cargill Incorporated, USA (Cargill Inc.), where Cargill Inc. will provide the design, build and deployment work of SAP Enterprise Resource Planning (ERP) software systems to support the Company’s main operational activities including, among others, sales, procurement, and inventory systems, which the related software system design/build and deployment costs will be incorporated as the Company’s capitalized items. The Company agrees that Cargill Inc. may subcontract the performance of part of the ERP work to other members of the Cargill Group or to third parties. The ERP charges will be divided into ERP design/build and deployment costs. The allocation the actual ERP design/build and deployment costs will be based of actual or potential ERP users associated with the Company.

Credit risk

Risiko kredit Perseroan dan entitas anak terutama dari simpanan di bank dan risiko kerugian yang muncul apabila pelanggan gagal memenuhi kewajiban kontraktual mereka. Perseroan dan entitas anak meminimalisir risiko kredit dari piutang dengan memastikan penjualan barang dilakukan kepada pelanggan yang dapat dipercaya dengan sejarah kredit yang baik. The credit risk of the Company and subsidiary mainly arise from deposits with banks and risk of loss if customers fail to discharge their contractual obligations. The Company and subsidiary minimize credit risk from receivables by ensuring that the sales of goods are made to creditworthy customers with appropriate credit history. This risk is also managed by ongoing monitoring over the balance and collectability of the receivables.

As of 31 May 2016, trade receivables amounted to Rp 70,768 (31 May 2015: Rp 39,124) were past due but not impaired. These accounts relate to a number of customers with whom there was no recent history of default and/or there was a commitment to settle the receivables.

Liquidity risk

Perseroan dan entitas anak dapat terekspos risiko likuiditas apabila terdapat perbedaan waktu yang signifikan antara penerimaan piutang dan penyelesaian utang dan pinjaman. Perseroan dan entitas anak mengelola risiko likuiditas dengan pengawasan proyeksi dan arus kas aktual secara berkesinambungan, serta menjaga kecukupan kas dan setara kas dan fasilitas pinjaman yang tersedia. Risiko ini juga diminimalisir dengan mengelola berbagai sumber pembiayaan dari para pemberi pinjaman yang dapat diandalkan.

The Company and its subsidiary would be exposed to liquidity risk if there is a significant mismatch in the timing of receivables collection and the settlement of payables and borrowings. The Company and its subsidiary manage the liquidity risk by on going monitoring over the projected and actual cash flows, as well as the adequacy of cash and cash equivalents and available credit facilities. This risk is also minimized by managing diversified funding resource from reliable high quality lenders.

Pada tanggal 31 Mei 2016, Perseroan memiliki rasio lancar sebesar 0,79 (31 Mei 2015: 1,11). Cargill Incorporated, USA juga telah mengkonfirmasikan untuk menyediakan bantuan keuangan yang diperlukan yang memungkinkan Perseroan untuk membayar hutangnya, pada saat dan ketika jatuh tempo, dan menyediakan dana bagi Perseroan untuk menjalankan bisnisnya, secara berkesinambungan, selama 12 bulan ke depan, efektif dari 1 Juni 2016 hingga 31 Mei 2017, yang mengurangi ketidakpastian atas kemampuan Perseroan untuk melanjutkan kelangsungan usahanya.

As of 31 May 2016, the Company has current ratio of 0.79 (31 May 2015: 1.11). Cargill Incorporated USA has also confirmed to continue providing the financial support necessary to enable the Company to meet its debts, as and when they fall due, and providing the necessary funding for the Company to carry on its business for at least the next twelve months, effective from 1 June 2016 to 31 May 2017, which alleviates the uncertainty about the Company’s ability to continue as a going concern.

Risiko tingkat bunga Perseroan dan entitas anak berasal dari pinjaman bank dan pinjaman dari pihak berelasi yang didasarkan pada tingkat bunga mengambang. Oleh karena itu, Perseroan dan entitas anak terekspos dengan fluktuasi arus kas yang diakibatkan oleh perubahan tingkat bunga.

The interest rate risk of the Company and subsidiary is from bank loans and loans from related party which are based on floating interest rates. Accordingly, the Company and subsidiary are exposed to fluctuation in cash flows due to changes in interest rates.

Perseroan dan entitas anak meminimalisir risiko tingkat bunga dari pinjaman bank dan pinjaman dari pihak berelasi dengan mendapatkan fasilitas kredit dari berbagai pemberi pinjaman dan pengawasan terhadap pergerakan tingkat bunga pasar.

The Company and subsidiary minimize the interest rate risk from bank loans and loans from related party by maintaining credit facilities from diversified lenders and monitoring the market interest rate movement.

Perubahan 0,2% pada tingkat bunga atas pinjaman Dolar Amerika Serikat dan perubahan 2% pada tingkat bunga atas pinjaman Rupiah di akhir periode pelaporan, dimana semua variabel lain tetap sama, akan mengakibatkan peningkatan atau penurunan ekuitas dan laba setelah pajak penghasilan masing-masing sebesar Rp 1.319 dan Rp 6.000 pada tanggal 31 Mei 2016.

A change of 0.2% in interest rate on the outstanding loans in USD and a change of 2% in interest rate in the outstanding loan in Rupiah at the end of the reporting period, with all other variables remain constant, would have increased or decreased equity and profit after income tax by Rp 1,319 and Rp 6,000 at 31 May 2016, respectively.

Pinjaman dan transaksi pembelian aset tetap dan persediaan menyebabkan Perseroan dan entitas anak terekspos risiko nilai tukar mata uang asing, terutama dari liabilitas dalam mata uang Dolar Amerika Serikat. Risiko ini dikurangi dengan melakukan penjualan ekspor dalam mata uang Dolar Amerika Serikat.

Loans and purchases of fixed assets and inventories expose the Company and subsidiary to foreign currency exchange rate risk, primarily arising from USD liabilities. The risk is, to some extent, reduced by carrying out export sales in US Dollar.

Perseroan dan entitas anak memonitor dan mengelola risiko ini dengan menyepadankan liabilitas keuangan dalam mata uang asing dengan aset keuangan dalam mata uang asing terkait, mengadakan kontrak berjangka valuta asing (Catatan 27), dan melakukan pembelian atau penjualan mata uang asing, saat diperlukan.

A strengthening/weakening of the Rupiah, as indicated below, against the US Dollar at 31 May 2016 would have increased/decreased equity and profit or loss after income tax by the amounts shown below. This analysis has considered the foreign currency forward contracts (Note 27) and is based on US Dollar rate variances that the Company and subsidiaries considered to be reasonably possible at the reporting date. The analysis assumes that all other variables, in particular interest rates, remain constant and ignores any impact of forecasted sales and purchases.

Commodity price risk

Perseroan dan entitas anak menghadapi eksposur terhadap risiko harga komoditas terutama yang berhubungan dengan pembelian bahan baku utama. Harga-harga bahan baku dipengaruhi secara langsung oleh harga komoditas yang berfluktuasi dan tingkat permintaan dan penawaran dalam pasar.

The Company and subsidiary exposure to commodity price risk relates primarily to the purchase of major raw materials. The prices of these raw materials are directly affected by commodity price fluctuations and the level of the demand and supply in the market.

Kebijakan Perseroan dan entitas anak untuk meminimalkan risiko yang muncul dari fluktuasi harga komoditas dengan memelihara tingkat persediaan optimum dari starch untuk produksi yang berkelanjutan.

The Company and subsidiary’s policy is to minimize the risks arising from the fluctuations in the commodity prices by maintaining the optimum inventory level of starch for a continuous production.

Pada tanggal 12 Agustus 2016, Perseroan mengajukan surat kepada Otoritas Jasa Keuangan dan PT Bursa Efek Indonesia mengenai rencana untuk melakukan perubahan status Perseroan dari perusahaan terbuka yang tercatat menjadi perusahaan tertutup (“Go Private”). Sebagai akibat dari rencana tersebut, tergantung pada diperolehnya persetujuan dari pemegang saham dan penyelesaian proses penawaran tender, Perseroan akan melakukan Go Private dan melakukan penghapusan pencatatan sahamnya di Bursa Efek Indonesia (“BEI”) (“Delisting”). Untuk menghindari spekulasi perdagangan terhadap sahamsaham Perseroan, Perseroan mengajukan permohonan penghentian sementara perdagangan efek kepada BEI atas perdagangan saham-saham Perseroan efektif sejak sesi perdagangan pertama pada tanggal 15 Agustus 2016. Merujuk surat Perseroan ini dan Ketentuan III.2.6 Peraturan Bursa Nomor I-I tentang Penghapusan Pencatatan (“Delisting”) dan Pencatatan Kembali (“Relisting”) Saham di Bursa, BEI melalui surat BEI No. S-05032/BEI.PP3/08-2016 tertanggal 12 Agustus 2016 memutuskan untuk melakukan penghentian sementara perdagangan saham Perseroan di seluruh pasar mulai sesi perdagangan pertama pada tanggal 15 Agustus 2016.

On 12 August 2016, the Company submitted a letter to the Financial Service Authority and Indonesia Stock Exchange regarding plan to change its status from a publicly listed company into a private company (Go Private). Consequently, subject to obtaining the necessary shareholders’ approval and completion of a tender offer process, the Company will go private and delist its shares from the Indonesia Stock Exchange (“IDX”) (Delisting). To avoid speculative trading of the Company’s shares, the Company requested the IDX for the temporary suspension of trading of the shares of the Company effective the 1st trading session of 15 August 2016. In accordance with this letter and the Regulation III.2.6 the Exchange Regulation Number I-I regarding Delisting and Relisting Stock at the Exchange, the IDX through the IDX letter No. S-05032/BEI.PP3/08-2016 dated 12 August 2016, decided to temporary suspend the Company’s shares trading at all market starting the 1st trading session of 15 August 2016.

Pada tanggal 16 Agustus 2016, Perseroan mengajukan surat kepada Kepala Eksekutif Pengawas Pasar Modal Otoritas Jasa Keuangan mengenai keterbukaan informasi Perseroan atas penghentian sementara perdagangan saham Perseroan sehubungan dengan rencana Perseroan untuk menjadi perusahaan tertutup (Go Private) dan Delisiting dari Bursa.

On 16 August 2016, the Company submitted a letter to the Executive Chairman of the Capital Market Supervisory Financial Service Authority regarding the Company’s open information on the temporary suspension of the Company’s stock trading in relation to its plan to become a private company (Go Private) and Delisting from the Exchange.

The Annual General Shareholders’ Meeting of the subsidiary on 8 June 2016 (minutes prepared by notary public Siti Nurul Yuliami, S.H., M.kn by deed No. 81 dated 27 June 2016 resolved to declare cash dividends amounting to Rp 70,000 (Rp 933,333 (whole Rupiah) per share).
