PERSETUJUAN ANT ARA PEMERINTAH REPUBLIK INDONESIA DENGAN PEMERINTAH REPUBLIK KOREA MENGENAI PENINGKATAN DAN PERLINDUNGAN ATAS PENANAMAN MODAL
Pemerintah Republik Indonesia dan Pemerintah Republik Korea (selanjutnya di dalam Persetujuan ini
disebut sebagai
"Para
Pihak"}; Mengingat hubungan kerjasama dan
persahabatan yang
ada
diantara kedua negara dan bangsa; Dengan
maksud
penanaman modal Pihak
lainnya
menciptakan
iklim
yang
oleh para investor dari berdasarkan
persarnaan
menguntungkan
satu Pihak di
kedaulatan
dan
untuk
wilayah
keuntungan
bersama; dan Mengakui bahwa peningkatan dan perlindungan atas penanaman modal akan menimbulkan dorongan bagi inisiatif usaha swasta dan meningkatkan kemakmuran di kedua negara; telah bersepakat sebagai berikut Pasal 1 Definisi Untuk tujuan Persetujuan ini, yang dimaksud dengan . rahasia dagang dan narna dagang, dan goodwill; (e) hak izin usaha yang diberikan oleh Undang-undang atau rnenurut Persetujuan yang berhubungan dengan penananam modal, termasuk izin usaha untuk meneliti, rnengolah,

(a) dalam hubungan dengan Republik Indonesia orang-orang yang menurut Undang-undang Republik Indonesia adalah warganegara-warganegara Indonesia. (b) dalam hubungan dengan Republik Korea orang-orang yang dianggap sebagai warganegara Republik Korea menurut Undang-undang Republik Korea . (4) "Perusahaan" adalah (a) dalam hubungan dengan Republik Indonesia, setiap Perseroan Terbatas

asosiasi, apakah yang mencari keuntungan atau tidak, yang didirikan di wilayah Republik Korea dan berada di bawah Undang-undang yang berlaku. (5) "Keuntungan" atau "Penghasilan" adalah
jumlah uang yang
berasal dari suatu penanaman modal dan khususnya, walaupun
tidak
terbatas
pada,
termasuk
keuntungan,
bunga, keuntungan dari penjualan barang modal, deviden, royalti atau uang jasa. (6) "Wilayah" adalah (a) dalam
hubungan
dengan
Republik
Indonesia,
wilayah
Republik Indonesia sebagaimana diatur di dalam hukum nasionalnya dan bagian-bagian dari
"continental
shelf" dan laut-laut yang berdampingan aLas mana Republik Indonesia mempunyai kedaulatan, berdaulat atau
hak-hak

- 4 Pasal 2 Peningkatan dan Perlindungan atas Penanaman Modal (1) Masing-masing Pihak harus mendorong dan menciptakan iklim yang menguntungkan bagi para investor Pihak lainnya
untuk
mengizinkan

penanaman
modal

Pasal 3 Ruang Lingkup Persetujuan Persetujuan ini berlaku bagi penanaman modal oleh para investor dari Republik Korea di dalam wilayah Republik Indonesia yang telah diberikan izin menurut Undang-undang No.
1 tahun
1967
mengenai Penanaman Modal Asing dan peraturan perundang-undangan apapun yang mengubah atau menggantikannya dan pada penanaman modal oleh para investor Republik Indonesia di wilayah Republik Korea yang telah di berikan i zin menu rut Undang-undang Pendorong Modal Asing sebagaimana diubah pada bulan Desember 1983 dan peraturan
perundang-undangan
menggantikannya
baik
pada
apapun
saat
atau
yang
mengubah
setelah
dan
berlakunya
Persetujuan.
Pasal 4 Perlakuan (1)
Tidak satu Pihakpun di dalam wilayahnya boleh memberikan penanaman modal
yang dilakukan dan penghasilan yang
diperoleh oleh para investor dari Pihak lainnya,
diberikan

perlakuan yang kurang menguntungkan dibandingkan dengan yang diberikannya kepada penanaman modal lainnya yang dilakukan, dan penghasilan yang diperoleh oleh para investor dari suatu negara ketiga . (2)
Tidak satu Pihakpun di dalam wilayahnya boleh memberikan para
investor
dari
Pihak
manajemen,
penggunaan,
penanaman
modal
pemilikan
mereka,
berhubungan dengan
lainnya, serta
penanaman
berkenaan
atau
dengan
penguasaan
atas
kegiatan
apapun
yang
mereka,
per lakuan
yang
modal
kurang menguntungkan dibandingkan dengan yang
diberikannya
kepada para investor dari suatu negara ketiga.
(3)
Tanpa mempersoalkan
ayat-ayat
tersebut di atas, penanaman
modal yang dilakukan oleh para investor dari satu Pihak di dalam wilayah Pihak lainnya harus diberikan perlakuan yang adil dan layak yang tidak kurang menguntungkan dibandingkan dengan yang diberikan oleh Pihak yang disebutkan belakangan kepada warganegara atau perusahaan sendiri sesuai peraturanperaturan perundang-undangan yang berlaku.

Perlakuan yang disebutkan di atas tidak berlaku pada keuntungan atau hak istimewa yang diberikan kepada para in vestor dari suatu negara ketiga oleh salah satu Pihak berdasarkan keanggotaan Pihak itu di dalam suatu "Custom Union"
(Persetujuan antar negara yang membebaskan bea-cukai
untuk barang-barang yang diekspor dari
suatu negara ke
negara lainnya di dalam Persetujuan itu), pasar bersama, zona
perdagangan

multilateral,
atau berdasarkan suatu Persetujuan yang dibuat antara Pihak itu dengan suatu negara ketiga mengenai Penghindaran Pajak Berganda atau berdasarkan pengaturan perdagangan lintas batas.

Pasal 5 Ganti Rugi atas Kerusakan dan Kerugian Para investor dari

Pasal 6 Pengambilalihan { 1)

Pasal 7 Repatriasi Penanaman Modal
(1)
Masing-masing Pihak harus dalam lingkup peraturan-peraturan perundang-undangannya berkenaan dengan penanaman modal oleh para investor dari Pihak lainnya memberikan kepada para investor itu,
tanpa penundaan yang tidak wajar dan setelah
mereka memenuhi kewajiban-kewajiban pajak mereka, izin untuk mengirim sebagai berikut : (a) modal dan tambahan yang d igunakan untuk mengadakan dan perluasan penanaman modal; (b) keuntungan-keuntungan operasi netto termasuk dividen dan bunga sebanding dengan pemilikan saham peserta asing; (c) pembayaran kembali berkenaan sejauh

hasil-hasil

oleh
investor
dalam
hal
likuidasi; (i) penghasilan warganegara-warganegara satu Pihak yang diizinkan untuk bekerja sehubungan dengan penanaman modal di wilayah Pihak lainnya. ( 2)
Sejauh suatu investor dari
salah satu Pihak belum membuat
Persetujuan dengan pihak yang berwenang dari Pihak lainnya di
wilayah siapa penanaman modal investor itu terletak,
transfer mata uang yang dilakukan menurut ayat 1 dari pasal ini harus diizinkan dalam mata-uang penanaman modal aslinya atau dalam mata-uang lainnya yang dapat secara bebas ditukar. Transfer itu harus dilakukan dengan nilai tukar yang
berlaku pada tanggal
transfer
berkenaan dengan
transaksi-transaksi yang sedang berlangsung
dalam mata-uang
yang akan ditransfer. ( 3)
Tanpa mempersoalkan ayat-ayat di atas, boleh
memakai
peraturan-peraturan
masing-masing Pihak
perundang-undangan
yang
mewajibkan laporan-laporan mengenai transfer mata uang.
Pasal 8 Subrogasi Apabila salah satu Pihak atau memberikan
suatu
jaminan
wakilnya
terhadap
yang
ditunjuk
risiko-risiko
non
telah
komersial
berkenaan dengan suatu penanaman modal oleh investornya di dalam wilayah Pihak lainnya dan telah melakukan pembayaran kepada investor
itu menurut
jaminan
tersebut,
Pihak
lainnya
harus
mengakui pengalihan hak investor itu kepada Pihak yang disebutkan terdahulu atau yang manapun dari wakilnya yang ditunjuk.

Subrogasi dari Pihak yang disebutkan belakangan
tidak boleh
melebihi hak-hak asli investor tersebut. Mengenai pengalihan pembayaran-pembayaran yang harus dilakukan kepada Pi hak berdasarkan subrogasi
tersebut sesuai dengan
Pasal
lainnya 6
dan

berlaku dari Persetujuan ini.
Pasal 9 Penyelesaian Perselisihan an tar a Para Investor dengan Para Pihak (1)
Perselisihan apapun yang timbul antara salah satu Pihak dengan investor dari pihak lainnya haru s diselesaikan secara damai.
(2)
Apabila perselisihan itu tidak dapat diselesaikan dalam waktu dua belas bulan diantara Para Pihak yang berselisih melalui upaya penyelesaian setempat,
maka investor yang
bersangkutan boleh mengajukan perselisihan i tu kepada "the International Disputes"

Apabila suatu perselisihan di antara Para Pihak tidak dapat diselesaikan dengan cara tersebut di atas,

Pasal 11 Penerapan Ketentuan-Ketentuan Lain Manakala suatu masalah diatur oleh Persetujuan ini dan oleh suatu persetujuan lainnya dimana keduanya adalah Para Pihak, ketentuan ketentuan yang lebih menguntungkan berlaku pada para investor.
Pasal 12 Mulai Berlaku, Masa Berlaku dan Pengakhiran (1)
Persetujuan ini mulai berlaku pada tanggal ketika Para Pihak saling memberi tahukan bahwa segala persyaratan hukum untuk mulai berlakunya Persetujuan telah dipenuhi.
(2)
Persetujuan
ini
akan
tetap berlaku
untuk
jangka
waktu
sepuluh tahun dan akan terus berlaku setelah itu untuk jangka
waktu
kecuali
sepuluh
tahun
berikutnya
dan
seterusnya,
apabila salah satu Pihak memberitahukan
secara
tertulis mengenai maksudnya untuk mengakhiri Persetujuan ini satu tahun sebelum masa berlakunya berakhir . (3)
Persetujuan ini dapat diubah atas
kesepakatan bersama .
Perubahan atau pengakhiran Persetujuan ini harus dilakukan tanpa mengurangi hak atau kewajiban apapun yang ada atau timbul menurut Persetujuan ini sebelum tanggal mulai berlakunya perubahan atau pengakhiran tersebut . Se bagai

AGREEMENT BETWEEN THE GOVERNMENT OF THE REPUBLIC OF INDONESIA AND THE GOVERNMENT OF THE REPUBLIC OF KOREA OF THE PROMOTION AND PROTECTION OF INVESTMENT
The Government of the Republic of Indonesia and the Government of the Republic of Korea
(hereinafter
referred to as "Parties"); Bearing
in mind

friendly
and cooperative
relations existing between the two countries and their peoples; Intending to create favourable conditions for investments by investors of one Party in the territory of the other Party on the basis of sovereign

Article l Definitions For the purpose of this Agreement (1) "Investments" means every kind of asset invested by (a)
investors, including but not exclusively · movable and
immovable
property and any other
rights such as mortgages, liens or pledges; (b)
shares stocks and debentures of companies wherever incorporated or interests in the property of such companies:
( c)
claims to money or to any performance related to investment having an financial value;
(d)
intellectual copyright,
property
commercial
rights
trade
including
mark,
pa ten ts,
industrial designs, know-how, trade secrets and trade names, and goodwill; (e)
business concessions conferred by law or under contract

or exploit natural resources . (2) "Investors" means nationals or who

Article 2 Promotion and Protection of Investment ( 1) Either Party shal 1 encourage and create favourable conditions

Article 4 Treatment (1) Neither Party shall

Article 7 Repatriation of Investment (1) Each Party shall regulations in

Article 9 Settlement of Disputes between Investors and the Parties (1) Any dispute arising between a Party and the investor of the other shall be settled amicably. (2) In the event that such a dispute cannot be settled within twelve months between the Parties to the dispute through pursuit of local remedies,

investor affected may submit the dispute to the "International
Center
for
the
Settlement
of
Investment Disputes", for the application of the arbitration
procedures
provided
by
the
Washington

Convention of 18th March 1965 on the "Settlement of Investment Disputes between States and Nati6nals of other States".
Article 10 Settlement of Dispute between the Parties Concerning Interpretation and Application of the Agreement (1) Disputes
