PERSETUJUAN MENGENAI PENINGKATAN DAN PERLINDUNGAN TIMBAL BALIK PENANAMAN MODAL ANTARA PEMERINTAH REPUBLIK INDONESIA DAN PEMERINTAH REPUBLIK SERBIA
Pemerintah Republik Indonesia dan Pemerintah Republik Serbia selanjutnya masingmasing disebut sebagai "Para Pihak". BERMAKSUD meningkatkan kerjasama ekonomi yang lebih besar antara Para Pihak, terutama terkait dengan penanaman modal oleh penanam modal dari salah satu Pihak di wilayah Pihak lainnya; MENGAKUI persetujuan atas perlakuan yang diberlakukan kepada penanaman modal akan mendorong aliran modal dan teknologi dan pengembangan ekonomi Para Pihak; MENYETUJUI bahwa perlakuan adil dan seimbang terhadap penanaman modal diinginkan untuk memelihara kerangka penanaman modal yang stabil dan pemanfaatan maksimum sumber ekonomi secara efektif; SESUAI dengan peraturan perundang-undangan yang berlaku di negara Para Pihak; TELAH MENYETUJUI HAL-HAL SEBAGAI BERIKUT :
Pasal1 DEFINISI Untuk maksud Persetujuan ini : 1. lstilah "penanaman modal" ad a ~lah setiap bentuk benda atau aset yang diinvestasikan secara langsung oleh penanam modal salah satu Pihak di wilayah Pihak lain sesuai dengan peraturan perundang-undangan Pihak lainnya (selanjutnya disebut sebagai Pihak penerima), mencakup, tetapi tidak terbatas, berikut ini: a. benda bergerak dan tidak bergerak serta hak kebendaan lainnya yang terkait dengan benda tersebut; b. saham, surat hutang atau bentuk sekuritas lainnya dan setiap bentuk partisipasi dalam perusahaan; c. tagihan atas uang atau setiap prestasi kerja yang memiliki nilai finansial; d. hak kekayaan intelektual, termasuk hak cipta dan hak yang terkait, paten, desain industri, merek, nama dagang, rahasia dagang dan bisnis, proses teknik, pengetahuan, reputasi, hak varietas tanaman, indikasi asal atau indikasi geografis dan desain tata letak sirkuit terpadu; e. konsesi-konsesi yang dilindungi oleh hukum, aturan administratif atau berdasarkan kontrak dengan instansi berwenang, termasuk konsesi-konsesi
untuk mencari, mengembangkan, mengurai atau mengeksploitasi sumber daya alam. 2. Penanaman modal tidak termasuk tagihan atas uang yang hanya timbul dari: a. kontrak-kontrak dagang untuk penjualan barang atau jasa oleh penanam modal di wilayah satu Pihak kepada warga negara atau perusahaan di wilayah Pihak lain, atau b. kredit yang diberikan sehubungan dengan kontrak dagang tersebut. Setiap perubahan bentuk yang sah terhadap aset yang ditanamkan atau ditanamkan kembali tidak akan mempengaruhi karakteristiknya sebagai penanaman modal. 3.
lstilah "penanam modal" merujuk pada: a. orang perorangan, yang berdasarkan peraturan perundang-undangan salah satu Pihak, memiliki kewarganegaraan Pihak tersebut dan menanamkan modalnya di wilayah Pihak lain; b. badan hukum salah satu Pihak yang didirikan atau dibentuk berdasarkan peraturan perundang-undangan Pihak tersebut, mem iliki kantor pusat dan kegiatan ekonomi nyata di wilayah Pihak tersebut dan melakukan penanaman modal di wilayah Pihak lain.
4. lstilah "pendapatan" merujuk pada jumlah yang dihasilkan s,e cara sah oleh penanaman modal dan secara khusus harus meliputi, tetapi tidak terbatas pada, keuntungan, bunga, nilai tambah, dividen, royalti dan imbalan. 5.
lstilah "wilayah": a. Dalam kaitan dengan Republik Indonesia: wilayah Republik Indonesia sebagaimana ditetapkan dalam hukumnya termasuk bagian dari landas kontinen dan wilayah laut yang berbatasan dimana Republik Indonesia memiliki kedaulatan, hak-hak berdaulat atau yurisdiksi sesuai dengan ketentuan dari Konvensi Perserikatan Bangsa-Bangsa mengenai Hukum Laut 1982. b. Dalam kaitan dengan Republik Serbia: seluruh area diatas mana Republik Serbia melaksanakan, sesuai dengan hukum nasional dan peraturan dan hukum internasional, hak kedaulatan atau yurisdiksi.

lstilah "mata uang yang digunakan secara bebas" merujuk pada mata uang yang digunakan secara bebas sebagaimana ditentukan oleh Dana Moneter lnternasional berdasarkan "Article of Agreement" beserta perubahan-perubahannya.
Pasal2 PROMOSI DAN PERLINDUNGAN PENANAMAN MODAL 1. Masing-masing Pihak wajib mendorong penanaman modal yang dilakukan oleh para penanam modal dari Pihak lain di wilayahnya dan wajib menyetujui penanaman modal tersebut sesuai dengan peraturan perundang-undangan di negaranya. 2. Penanaman modal yang dilakukan oleh penanam modal salah satu Pihak di wilayah Pihak lain wajib, setiap saat, diperlakukan secara adil dan seimbang serta mendapat perlindungan dan keamanan secara penuh. 3. Kecuali kebijakan yang diperlukan untuk kepentingan publik, Pihak manapun wajib di dalam wilayahnya untuk tidak mengganggu, baik dalam peraturan perundangundangan maupun pelaksanaannya, melalui tindakan yang sewenang-wenang atau kebijakan yang diskriminatif terhadap manajemen, pemeliharaan, penjualan,
pengoperasian, penggunaan, kepemilikan, perluasan, likuidasi atau pengakhiran lainnya penanaman modal dari penanam modal di wilayah Pihak lain.
Pasal3 PERLAKUAN NASIONAL DAN PERLAKUAN PENANAMAN MODAL ANTAR NEGARA
1. Masing-masing Pihak wajib memperlakukan penanaman modal yang dilakukan oleh penanam modal dari Pihak lain, perlakuan yang tidak kurang menguntungkan dibandingkan dengan perlakuan terhadap penanaman modal yang dilakukan penanam modalnya sendiri di wilayahnya atau penanaman modal yang dilakukan oleh penanam modal dari Negara ketiga di wilayahnya, manapun yang lebih menguntungkan. 2. Masing-masing Pihak wajib memperlakukan para penanam modal dari Pihak lain, perlakuan yang tidak kurang menguntungkan dibandingkan dengan perlakuan terhadap penanam modalnya sendiri atau penanam modal dari Negara ketiga, manapun yang lebih menguntungkan. 3. Tidak satu pun ketentuan dalam Persetujuan ini dapat ditafsirkan yang mengharuskan satu Pihak untuk memperluas manfaat yang saat ini atau yang akan datang terhadap perlakuan bagi penanam modal dari Pihak lain dan terhadap penanaman modalnya, preferensi atau keistimewaan yang muncul dari keanggotaan dalam wilayah perdagangan bebas, kesatuan pabean, pasar bersa ma, komunitas ekonomi atau suatu perjanjian multilateral atau regional yang mendirikan komunitas tersebut, atau perjanjian di bidang penanaman modal lainnya.
Pasal4 PENGECUALIAN TERHADAP PERSETUJUAN
Ketentuan dari Persetujuan ini tidak berlaku untuk hal yang terkait dengan perpajakan di wilayah masing-masing Pihak. Hal tersebut wajib diatur oleh hukum dan peraturan perundang-undangan nasional dari masing-masing Pihak dan ketentuan perjanjian manapun yang terkait dengan perpajakan yang dibuat oleh Para Pihak.
Pasal5 EKSPROPRIASI
1. Masing-masing Pihak wajib untuk tidak menerapkan suatu kebijakan ekspropriasi atau nasionalisasi atau kebijakan lain apapun yang mengakibatkan dampak sama dengan nasionalisasi dan ekspropriasi (selanjutnya disebut "ekspropriasi") di wilayahnya , kecuali untuk kepentingan umum. 2. Apabila dengan alasan kepentingan umum mengakibatkan penyimpangan dari ketentuan Ayat 1 dari Pasal ini, kebijakan wajib: a. dilakukan berdasarkan proses hukum dan sesuai dengan hukum; b. tidak diskriminasi; dan c. disertai dengan ketentuan pembayaran kompensasi yang wajar, efektif dan memadai sesuai dengan Ayat 3 dan 4 dari Pasal ini.
3. Kompensasi wajib: a. dibayar tanpa penundaan yang semena-mena. Dalam hal terjadi penundaan, kerugian apapun yang diakibatkan oleh selisih kurs yang timbul dari penundaan ini wajib ditanggung oleh negara penerima penanaman modal. b. sesuai dengan harga pasar sebelum ekpropriasi terjadi atau sebelum ekpropriasi yang akan datang diketahui oleh umum, yang mana terjadi lebih dahulu. Harga pasar yang wajar ini tidak mencerminkan perubahan nilai yang terjadi karena ekspropriasi telah diketahui oleh umum sebelumnya. c. dibayar dan dapat ditransfer secara bebas sesuai Pasal 7 Persetujuan ini ke negara tujuan oleh penanam modal dan dalam mata uang negara dimana penanam modal merupakan warga negara atau dalam mata uang yang bebas digunakan yang disetujui oleh penanam modal. d. termasuk bunga dengan tingkat komersiil yang ditentukan oleh pasar untuk pembayaran kompensasi sejak ekspropriasi dilakukan hingga tanggal pembayaran nyata dilakukan. 4. Penanam modal dari satu Pihak yang menuntut terpengaruh ekspropriasi oleh Pihak lain berhak untuk melakukan evaluasi ulang, termasuk penilaian penanaman modalnya dan pembayaran kompensasi berdasarkan dengan ketentuan dalam Pasal ini, melalui otoritas peradilan atau otoritas independen lainya dari Pihak yang disebut terakhir.
Pasal6 KOMPENSASI KERUGIAN
1. Penanam modal dari satu Pihak, yang penanaman modalnya berada di wilayah Pihak lain, yang mengalami kerugian disebabkan karena perang atau konflik bersenjata lain, revolusi, negara dalam keadaan darurat, pemberontakan, kerusuhan, huru hara, atau kejadian sejenis atau keadaan kahar di wilayah Pihak yang disebut terakhir, wajib diberikan perlakuan oleh Pihak yang disebutkan terakhir dalam bentuk restitusi, indemnifikasi, kompensasi atau penyelesaian lain, jika ada, tidak kurang menguntungkan dibanding yang diberikan kepada penanam modal nasional atau penanam modal dari negara lain, yang mana lebih menguntungkan terhadap penanam modal dimaksud. 2. Penanam modal dari satu Pihak yang mengalami kejadian manapun sebagaimana disebutkan pad a Ayat (1) menderita kerugian diakibatkan: a. penguasaan penanaman modal atau sebagian dari penanaman modalnya oleh kekuatan atau otoritas dari Pihak lain, atau b. kerusakan penanaman modal atau sebagian dari penanaman modalnya oleh kekuatan atau otoritas dari Pihak lain, yang tidak dipersyaratkan oleh kondisi seharusnya. wajib, dalam suatu kasus diberikan oleh Pihak yang disebutkan terakhir, restitusi atau kompensasi yang wajar, memadai dan efektif serta, kompensasi yang wajib memenuhi Pasal 5 Ayat (3) dan Ayat (4) Persetujuan ini.
Pasal7 TRANSFER
1. Masing-masing Pihak wajib, terhadap pembayaran fiskal dan kewajiban keuangan lain dari penanam modal negara penerima penanaman modal, memberikan jaminan kepada penanam modal dari Pihak lain kebebasan melakukan transfer seluruh pembayaran yang terkait dengan penanaman modal, termasuk secara khusus, tetapi tidak terbatas pada:
a. jumlah yang wajar untuk pendirian, pemeliharaan atau perluasan penanaman modal; b. jumlah yang wajar untuk pembayaran dalam suatu kontrak, termasuk jumlah yang wajar untuk pembayaran kembali pinjaman, bunga, royalti, biaya manajemen dan pembayaran lainnya yang dihasilkan dari lisensi, waralaba, konsesi dan hak lainnya yang serupa, serta gaji pegawai asing; c. penghasilan d. hasil dari seluruh atau sebagian likuidasi penanaman modal, termasuk keuntungan modal atau kenaikan modal yang telah ditanamkan; e. kompensasi yang dibayarkan menurut Pasal 5 dan Pasal 6 dari Persetujuan ini; f. pembayaran yang berasal dari penyelesaian sengketa, sesuai dengan Pasal 11 dari Persetujuan ini. 2. Warga negara dari masing-masing Pihak yang telah memiliki hak bekerja di wilayah Pihak lain sehubungan dengan penanaman modal wajib diberikan izin mentransfer bagian yang wajar atas penghasilan dan renumerasi lainnya ke negara asalnya. 3. Transfer dilakukan dalam mata uang yang bebas digunakan dengan nilai yang berlaku pada saat transfer dilakukan untuk menempatkan transaksi dalam nilai mata uang yang digunakan. 4. Masing-masing Pihak wajib menerbitkan otorisasi yang diperlukan untuk menjamin bahwa transfer dilakukan tanpa penundaan yang tak semestinya, dengan tidak ada tambahan biaya selain biaya perbankan yang lazim dikenakan. 5. Tanpa mengurangi makna Ayat 1, 2, 3, dan 4 dari Pasal ini, satu Pihak dapat mencegah transfer secara layak, tanpa diskriminasi dan itikad baik terhadap pelaksanaan hukumnya yang terkait dengan : a. kepailitan, ketidakmampuan bayar atau perlindungan hak kreditur; b. penerbitan, perdagangan atau transaksi sekuritas; c. kriminal atau tindak pidana; d. pelaporan transfer mata uang atau alat moneter lainnya; e. penjaminan dari kepuasan atas putusan dalam proses peradilan; f. perpajakan; atau g. kewajiban terkait dengan tenaga kerja.
Pasal8 KEBIJAKAN PENGAMANAN SEMENTARA
1. Salah satu Pihak dapat menerapkan atau mempertahankan kebijakan yang tidak sejalan dengan kewajiban sebagaimana diatur dalam Pasal 3 terkait dengan transaksi modallintas negara dan Pasal 7 dari Persetujuan ini: a. dalam hal terjadinya kesulitan neraca pembayaran yang serius dan keuangan eksternal atau ancaman lainnya; atau b. dalam hal terdapat, dalam situasi khusus, perpindahan modal atau ancaman yang mengakibatkan kesulitan serius terhadap manajemen ekonomi makro, khususnya, kebijakan moneter dan nilai tukar; 2. Kebijakan sebagaimana pad a Ayat (1) : a. wajib konsisten dengan Articles of Agreement dari Dana Moneter lnternasional sepanjang salah satu Pihak yang mengambil kebijakan merupakan Pihak yang disebutkan pada Pasal dimaksud. b. wajib tidak melebihi kebutuhan yang wajar guna mengatasi keadaan sebagaimana disebutkan pada Ayat (1 );
c. bersifat sementara dan bisa dihapus segera setelah keadaan memungkinkan; dan d. wajib segera diberitahukan kepada Pihak lain. 3. Tidak satu pun ketentuan dari Pasal ini dianggap mengubah hak yang dinikmati dan kewajiban yang dilaksanakan oleh salah satu Pihak sebagai pihak dari Dana Moneter Internasional.
Pasal9 SUBROGASI
1. Apabila penanaman modal dari penanam modal suatu Pihak dipertanggungkan terhadap resiko non komersial, setiap subrogasi dari penanggung atau penanggung kembali atas hak-hak dari penanam modal sesuai syarat-syarat pertanggungan tersebut yang dibuat berdasarkan hukum atau transaksi sah dari Pihak tersebut wajib diakui oleh Pihak lain, namun dengan syarat penanggung atau penanggung kembali tidak wajib diberi hak untuk melaksanakan suatu hak selain dari hak-hak yang dapat dilakukan oleh penanam modal. 2. Pihak atau lembaga yang ditunjuk wajib memberitahukan cakupan pengaturan tuntutan bersama penanam modalnya kepada Pihak lain pada saat pelaksanaan hak subrogasinya.
Pasal10 PENERAPAN REGULASI
Apabila ketentuan hukum dari salah satu Pihak atau kewajiban-kewajiban berdasarkan hukum internasional yang berlaku pada saat ini atau yang dibentuk setelahnya antara Para Pihak atau perjanjian internasional lainnya dimana Para Pihak menjadi penandatangannya memuat ketentuan-ketentuan, baik um um maupun khusus, yang memberikan hak penanaman modal bagi penanam modal dari Pihak lain untuk perlakuan yang lebih menguntungkan daripada yang diatur dalam Persetujuan ini, maka ketentuan-ketentuan yang lebih menguntungkan tersebut yang berlaku dibanding Persetujuan ini.
Pasal 11 PENYELESAIAN SENGKETA ANTARA SATU PIHAK DAN PENANAM MODAL DARI PIHAK LAIN
1. Setiap sengketa terkait suatu penanaman modal antara penanam modal dari satu Pihak dengan Pihak lain wajib diselesaikan, sedapat mungkin melalui perundingan damai, diberitahukan secara tertulis oleh penanam modal kepada Pihak lainnya. 2. Dalam hal sengketa sebagaimana diatur dalam Ayat ( 1) dalam Pas aI ini tidak dapat diselesaikan dalam waktu enam bulan sejak tanggal pemberitahuan tertulis, sengketa atas permintaan penanam modal harus diajukan kepada: a. pengadilan yang berwenang atau pengadilan administratif dari Pihak dimana investasi dilakukan; atau b. arbitrase oleh the International Center for Settlement of Investment Disputes (ICSID), yang didirikan berdasarkan Convention of the Settlement of Investment Disputes between States and Nationals of other States, terbuka untuk ditandatangani di Washington D.C. pada tanggal 18 Maret 1965 (untuk selanjutnya disebut "Pusat"), atau
c.
suatu mahkamah arbitrase ad hoc yang dibentuk berdasarkan Arbitration Rules of the United Nation Commission on International Trade Law (UNCITRAL); atau d. institusi ad hoc lainnya yang dibentuk berdasarkan panel abritrase yang disepakati bersama oleh kedua Pihak. 3. Bila penanam modal telah mengajukan masalah kepada pengadilan yang berkompeten dari Pihak penerima penanaman modal atau kepada salah satu prosedur arbitrase sebagaimana disebutkan pada Ayat 2 (b); 2 (c) dan 2 (d) dari Pasal ini, pemilihan prosedur tersebut bersifat final. 4. Untuk maksud ini, masing-masing Pihak sepakat terlebih dahulu dan tidak dapat dibatalkan untuk melakukan penyelesaian suatu sengketa melalui arbitrase tersebut. Kesepakatan tersebut menunjukkan bahwa Para Pihak melepaskan haknya untuk menuntut bahwa semua upaya hukum administratif atau peradilan nasional telah digunakan. 5. Putusan arbitrase bersifat final dan mengikat Para Pihak dan wajib dilaksanakan sesuai dengan hukum nasional salah satu Pihak dimana wilayah putusan dilaksanakan, oleh otoritas yang berwenang dari salah satu Pihak, pada tanggal yang ditentukan dalam putusan. 6. Pada setiap tahap pelaksanaan arbitrase atau pelaksanaan putusan arbitrase, tidak satu pun dari Para Pihak yang terlibat sengketa berhak mengajukan keberatan atau perlawanan terhadap fakta bahwa penanam modal yang menjadi pihak lawan dalam sengketa telah menerima seluruh atau sebagian kompensasi untuk menutup kerugiannya sesuai dengan kebijakan penjaminan (insurance policy) atau jaminan yang diberikan pada Pasal 9 dari Persetujuan ini .
Pasal12 PENYELESAIAN SENGKETA ANTARA PARA PIHAK 1. Setiap sengketa diantara Para Pihak mengenai interpretasi atau penerapan Persetujuan ini wajib, bila memungkinkan, diselesaikan dengan konsultasi melalui jalur diplomatik. 2. Dalam hal sengketa tidak dapat diselesaikan dalam waktu enam bulan sejak tanggal dimana salah satu Pihak meminta diadakan negosiasi, atas permintaan salah satu Pihak, sengketa ini wajib diajukan kepada Mahkamah Arbitrase. 3. Mahkamah arbitrase tersebut wajib dibentuk berdasarkan kasus tersendiri dengan cara berikut. Dalam waktu dua bulan sejak menerima permintaan untuk arbitrase, masing-masing Pihak wajib menunjuk satu anggota Mahkamah. Kemudian kedua anggota Mahkamah tersebut wajib memilih seorang warga negara dari Negara ketiga yang berdasarkan persetujuan Para Pihak akan ditetapkan sebagai ketua mahkamah. Ketua wajib ditunjuk dalam waktu empat bulan sejak tanggal penunjukan oleh dua anggota Mahkamah lainnya. 4. Dalam hal penunjukan tidak dapat dilakukan dalam jangka waktu sebagaimana diatur dalam Ayat (3) Pasal ini, salah satu Pihak dapat, dalam hal tidak terdapat Perjanjian lain, meminta Presiden dari Mahkamah lnternasional untuk membuat penunjukan yang diperlukan. Jika Presiden adalah seorang warga negara dari salah satu Pihak atau jika yang bersangkutan dilarang untuk melakukan fungsi dimaksud, Wakil Presiden wajib diminta untuk membuat penunjukan yang diperlukan. Jika Wakil Presiden adalah seorang warga negara dari salah satu Pihak atau yang bersangkutan juga dilarang untuk melaksanakan tugasnya, anggota Mahkamah
lnternasional selanjutnya berdasarkan senioritas yang bukan warga negara salah satu Pihak wajib diminta untuk membuat penunjukan yang diperlukan. Namun demikian, Ketua Mahkamah Arbitrase harus merupakan seorang warga negara yang mempunyai hubungan diplomatik dengan Para Pihak. 5. Mahkamah arbitrase harus mengambil keputusan berdasarkan suara terbanyak. Diputuskan berdasarkan pada ketentuan Persetujuan ini serta prinsip-prinsip umum yang telah diterima dan aturan-aturan hukum internasional. Keputusan demikian wajib mengikat Para Pihak. 6. Masing-masing Pihak wajib menanggung biaya dari anggota Mahkamah yang ditunjuknya dan perwakilannya dalam berperkara di arbitrase; biaya Ketua dan biaya lainnya wajib ditanggung dalam porsi yang sama oleh Para Pihak. Mahkamah dapat, bagaimanapun, dalam keputusannya menetapkan porsi yang lebih besar yang wajib ditanggung oleh salah satu Pihak, dan keputusan bersifat mengikat kepada Para Pihak. Mahkamah wajib menetapkan prosedurnya sendiri.
Pasal13
TRANSPARANSI 1. Para Pihak wajib, sepanjang memungkinkan, memastikan peraturan perundangundangannya dan peraturan administratif yang mengatur penerapan secara umum terkait dengan segala hal yang diatur oleh Persetujuan ini, segera dipublikasikan atau jika tidak disediakan dalam bentuk yang dapat diperoleh untuk dipahami oleh pihak yang berkepentingan dan Pihak lain. 2. Tidak satu pun dalam Persetujuan ini mewajibkan satu Pihak untuk memberikan atau mengizinkan akses terhadap sesuatu yang rahasia atau informasi kepemilikan termasuk informasi mengenai penanam modal atau penanaman modal tertentu, keterbukaan tersebut dapat menghambat penegakan hukum atau bertentangan dengan hukum perlindungan kerahasiaan atau kepentingan komersial penanam modal tertentu.
Pasal14
KONSULTASIDANPERUBAHAN 1. Salah satu Pihak dapat meminta konsultasi untuk dilakukan terhadap segala hal terkait dengan Persetujuan ini. Pihak lain wajib memberikan pertimbangan yang bersahabat terhadap usulan tersebut dan wajib memberikan kesempatan konsultasi terse but. 2. Persetujuan ini dapat diubah setiap saat, bila diperlukan, dengan persetujuan tertulis oleh Para Pihak. Pemberlakuan dari perubahan ini wajib menurut ketentuan Pasal 16 Ayat ( 1) untuk Persetujuan ini.
Pasal15
PENERAPANPERSETUJUAN Persetujuan ini wajib berlaku terhadap seluruh penanaman modal yang dilakukan oleh penanam modal masing-masing Pihak di wilayah Pihak lainnya, baik yang dibuat sebelum atau sesudah diberlakukannya Persetujuan ini, dan ketentuan ini wajib diterapkan sejak tanggal pemberlakuan, tetapi tidak dapat diterapkan terhadap setiap

REPUBLIK INDO ESIA AGR EEMENT ON PROMOTI'O N AND RECIPROCAL PROTECTfON OF INVESTM ENTS BETWEEN THE GOVERNMENT OF THE REPUBLIC OF INDONESIA AN D THE GOVERNM ENT OF THE REPUBLIC OF SERBIA
The Government of the Republic of Indonesia and The Government of the Republic of Serbia hereinafter referred to as the ~~contracting Parties~~; DESIRI NG to promote greater econom ic cooperation between them, particularly with respect to investments by investors of one Contracting Party in the terr1 itory of the other Contracting Party; RECOGNIZING agreement upon the treatment to be accorded to such investment will stimulate the flow of capital and technoilogy and the economic development of the Parties; AG REEING that fair and equitable treatment of investments is desirable in order to maintain a stable framework for investment and maximum effective utilization of economic resources; PURSUANT to the national laws and regulations of the Contracting Parties HAVE AGREED AS FOLLOWS:
Article 1 DEFIN ITIONS
For the purposes of this Ag,reem ent: 1. The term ~~investment" refers to every kind of property or asset, invested by the investors of one Contracting Party in the territory of the other Contracting Party in accordance with the laws and regulations of the other Contracting Party (hereinafter referred to as the "host Contracting Party") including, though not exclusively, the following: a. moveable and immovable property as well as other property rights related thereto; b. shares, debentures or other form of securities as well as any kind of participation in com panies; c. claims to money or to any performance having financial value, d. intellectual property rights, including copyrights and rellated rights, patents. industrial designs, trade-marks, trade-names, trade and business secrets, technical processes, know-how, goodwill, plant variety rights, indications of source or geographical indications and lay out design of integrated circuit; e. concessions conferred by law, by an administrative act or under a contract by a competent authority, including concessions to search for, develop, extract or exploit natural resources;
2. Investment does not include claims to money arising solely from: a. commercial contracts, for the sale of goods or services by investors in the territory of a Contracting Party to nationals or com panies in the territory of the other Contracting Party, or b. credits granted in relation with this kind of commercial contracts. Any change in the legal form in which assets are invested or reinvested does not affect their character as investments. 3. The term "investors" refers to: a. natural persons who, according to the laws and regulations of either Contracting Party, have the nationality of that Contracting Party and invest in the territory of the other Contracting Party; b. legal persons of either Contracting Party which are established or otherwise duty organized under the laws and regulations of that Contracting Party having their headquarters and their real economic activities located in the territory of that Contracting Party and making investments in the territory of the other Contracting Party. 4. The term "returns" refers to the amounts legally yielded by an investment and shall include in particular, though not exclusively, profits, interests, capital gains, dividends, royalties and fees. 5. The term "territory": a. With the respect of the Government of the Republic of Serbia: The area over which the Republic of Serbia exercises in accordance with its national laws and regulations and international law, sovereign rights or jurisdiction. b. With the respect of the Government of the Republic of Indonesia: Its territory as defined in its laws including part of the continental shelf and adjacent seas over which the Republic of Indonesia has sovereignty, sovereign rights or jurisdiction in accordance with the provision of the United Nation Convention on the law of the sea 1982. 6. The term "freely usable currency" means a freely usable currency as determined by the International Monetary Fund under its 11 Artide of Agreement" and any amendments thereto.
Article 2 PROMOTION AND PROTECTION OF INVESTM ENTS 1. Each Contracting Party shall promote investments in its territory by investors of the other Contracting Party and shall admit such investments in accordance with its laws and regulations. 2. Investments made by investors of one Contracting Party in the territory of the other Contracting Party shall, at all times be accorded fair and equitable treatment and full protection and security. 3. Except for measures req uired to maintain public order, neither Contracting Party shall in its territory impair, either in law or in practice, by arbitrary or discriminatory measures the management, maintenance, sale, operation, use, possession, expansion, liquidation or other disposal of investments of investors of the other Contracting Party.
Article 3 NATIONAL TREATMENT AND MOST FAVORED NATIONS
1. Each Contracting Party shall accord to investments by investors of the other Contracting Party, treatment no less favorable than that which it accords to investments in its territory by its own investors or to investments of investors of any third State, whichever is more favorable. 2. Each Contracting Party shall accord to investors of the other Contracting Party, treatment no less favorable than that it accords to its own investors or to investors of any third State, whichever is more favorable. 3. No provision of this Agreement shall be construed as to oblige one Contracting Party to extend to the investors of the other Contracting Party and to their investments the present or future benefits of any treatment, preference or privilege resulting from any membership in a free trade area, customs union, common market, economic community or any multilateral or regional agreement establishing such union, or any agreement on investment.
Article 4 EXCEPTIONS TO THE AGREEMENT
The Provision of this Agreement shall not apply to matters of taxation in the territory of either Contracting Party. Such matters shall be governed by the domestic laws and regulations of each Contracting Party and the provisions of any agreement relating to taxation concluded between the Contracting Parties.
Article 5 EXPROPRIATION
1. Each Contracting Party shall not adopt any measure of expropriation or nationalization or any other measure having the effect equivalent to nationalization and expropriation (hereinafter referred to as "expropriation") in its territory, except for a public purpose. 2. If reasons of public purpose require a derogation from the provisions of paragraph 1 of this Article, the measures shall be: a. taken under due process of law and in accordance with the law; b. non discriminatory; and c. accompanied by provisions for the payment of an adequate, effective and prompt compensation in accordance with paragraph 3 and 4 of this Article. 3. This compensation shall: a. be paid without undue delay. In case of delay, any exchange rate loss arising from this delay shall be borne by the host country; b. be equivalent to the fair market value of the expropriated investment immediately before the expropriation occurred or before the impending expropriation became public knowledge, whichever is the earlier. This fair market value shall not reflect any change in value occurring because the expropriation had become publicly known earlier; c. be paid and made freely transferable in accordance with Article 7 of this Agreement to the country designated by the claimants concerned and in the
currency of the country of which the claimants are nationals or in any freely usable currency accepted by claimants; d. include interest at a commercial rate established on a market basis for the currency of payment from the date of expropriation until the date of actual payment. 4. An investor of a Contracting Party which claims to be affected by expropriation by the other Contracting Party shall have the right of prompt review of its case, including the valuation of its investment and the payment of compensation in accordance with the provision of this Article, by a judicial authority or another independent authority of the latter Contracting Party.
Article 6 COMPENSATION FOR LOSSES
1. Investors of one Contracting Party, whose investments in the territory of the other Contracting Party suffer losses owing to war or other armed conflict, revolution, a state of national emergency, revolt, insurrection, civil disturbance, riot or any other similar event, or force majeure in the territory of the latter Contracting Party, shall be accorded by the latter Contracting Party treatment as regards restitution, indemnification, compensation or any other settlement, if any, not less favorable than that which the latter Contracting Party accords to its own investors or investors of any other state, whichever is more favorable to the investors concerned. 2. An investor of a Contracting Party who in any of the events referred to in Paragraph 1 suffer loss resulting from: a. requisitioning of its investment or part thereof by the forces or authorities of the other Contracting Party, or b. destruction of its investment or part thereof by the forces or authorities of the other Contracting Party, which was not required by the necessity of the situation, shall in any case be accorded by the latter Contracting Party restitution or compensation which in either case shall be prompt, adequate and effective and, with respect to compensation, shall be in accordance with Article 5 Paragraph 3 and 4 of this Agreement.
Article 7 TRANSFERS
1. Each Contracting Party shall, upon payment of all fiscal and other financial obligations of investors of the host Contracting Party, grant to investors of the other Contracting Party the free transfer of all payments relating to an investment, including in particular, though not exclusively: a. amounts necessary for establishing, maintaining or expanding the investment; b. amounts necessary for payments under a contract, including amounts necessary for repayment of loans, interest, royalties, management fees and other payments resulting from licenses, franchises, concessions and other similar rights, as well as salaries of expatriate personnel; c. returns; d. proceeds from the total or partial liquidation of investments, including capital gains or increases in the invested capital; e. compensation paid pursuant to Article 5 and 6 of this Agreement; f. payments arising out of a settlement of a dispute, in accordance with Article 11 of this Agreement.
2. The nationals of each Contracting Party who have been authorized to work in the territory of the other Contracting Party in connection with an investment shall also be permitted to transfer an appropriate portion of their earnings and other remunerations to their country of origin. 3. Transfers shall be made in a freely usable currency at the rate applicable on the day transfers are made to spot transactions in the currency used. 4. Each Contracting Party shall issue the authorizations required to ensure that the transfers can be made without undue delay, with no other expenses than the usual banking costs. 5. Notwithstanding paragraphs 1, 2, 3, and 4 of this Article, a Party may prevent a transfer through the equitable, non-discriminatory and good faith application of its laws relating to: a. bankruptcy, insolvency or the protection of the rights of creditors; b. issuing, trading or dealing in securities; c. criminal or penal offences; d. the reporting of transfer of currency or other monetary instruments; e. ensuring the satisfaction of judgments in adjudicatory proceedings; f. taxation; or g. severance entitlement of employees.
Article 8 TEMPORARY SAFEGUARD MEASURES
1. A Party may adopt or maintain measures not conforming with its obligations under Article 3 relating to cross-border capital transactions and Article 7 of this Agreement; a. in the event of serious balance of payment and external financial difficulties or threat thereof; or b. in case where, in exceptional circumstances, movements of capital cause or threaten to cause serious difficulties for macroeconomics management, in particular, monetary and exchange rate policies; 2. Measures referred to in Paragraph 1: a. shall be consistent with the Articles of Agreement of the International Monetary Fund as long as the Contracting Party taking the measures is a Party to the said Article; b. shall not exceed those necessary to deal with the circumstances set out in Paragraph 1; c. shall be temporarily and shall be eliminated as soon as conditions permit; and d. shall be promptly notified to the other Party. 3.
Nothing in this Article shall be regarded as altering the rights enjoyed and obligations undertaken by a Party as a Party of the International Monetary Fund.
Article 9 SUBROGATION
1. If the investment of an investor of one Contracting Party are insured against noncommercial risk, any subrogation of the insurer or re-insurer to the rights of the said investors pursuant to the terms of such insurance made in accordance with the law or legal transaction of that Contracting Party shall be recognized by the other Contracting Party, provided, however, that the insurer or the re-insurer shall not be
entitled to exercise any rights other than the rights which the investor would have been entitled to exercise. 2. The Contracting Party or any Agency it designates shall disclose the coverage of the claims arrangements with its investors to the other Contracting Party at the moment of the exercise of the subrogation rights.
Article 10 APPLICABLE REGULATIONS
If the provisions of law of either Contracting Party or obligations under international law existing at present or established hereafter between the Contracting Parties or other international agreement whereof the Contracting Parties are signatories, contain provisions, whether general or specific, entitling investments by investors of the other Contracting Party to a treatment more favorable than is provided by the present Agreement, such provisions shall to the extent that they are more favorable, prevail over the present Agreement.
Article 11 SETTLEMENT OF DISPUTES BETWEEN A CONTRACTING PARTY AND INVESTOR(S) OF THE OTHER CONTRACTING PARTY
1. Any dispute relating to an investment between an investor of one Contracting Party and the other Contracting Party shall be settled, as far as possible through amicable negotiations, notified in writing by the investors to the other Contracting Party. 2. If the dispute referred to in paragraph 1 of this Article cannot be settled within six months from the date of written notification, the dispute shall be at the request of the investors concerned, be submitted to: a. the competent courts or administrative tribunal of the Contracting Party in whose territory the investment is made; or b. arbitration by the International Center for Settlement of Investment Disputes (ICSID), established pursuant to the Convention of the Settlement of Investment Disputes between States and Nationals of other states, opened for signature at Washington DC on 18 March 1965 (hereinafter referred as the "Center"); or c. an ad hoc arbitral tribunal to be established under the Arbitration Rules of the United Nation Commission on International Trade Law (UNCITRAL); or d. other ad-hoc or institutional procedures established under any arbitration tribunals as mutually agreed by both parties. 3. Once the investors has submitted the dispute to the competent court of the host Contracting Party or to one of the arbitration procedures stipulated in paragraph 2 (b); 2 (c) and 2 (d) of this Article, the choice of the procedure is final. 4. To this end, each Contracting Party agrees in advance and irrevocably to the settlement of any dispute by this type of arbitration. Such consent implies that both Parties waive the right to demand that all domestic administrative or judiciary remedies be exhausted. 5. The arbitral award shall be final and binding on both Parties to the disputes and shall be executed in accordance with national law of the Contracting Party in whose territory the award is relied upon, by the competent authorities of the Contracting Party, by the date indicated in the award.
6. At any stage of the arbitration proceedings or of the execution of an arbitral award, none of the Contracting Parties involved in a dispute shall be entitled to raise as objection or as defense to a claim the fact that the investor who is the opposing party in the dispute has received compensation totally or partly covering his losses pursuant to an insurance policy or to the guarantee provided for in Article 9 of this Agreement.
Article 12 SETTLEMENT OF DISPUTES BETWEEN THE CONTRACTING PARTIES
1. Any disputes between the Contracting Parties concerning the interpretation or application of this Agreement should, if possible, be settled by consultations through diplomatic channels. 2. If the dispute cannot be settled within six months following the date on which either Contracting Party requested such negotiations, it shall at the request of either Contracting Party be submitted to an Arbitral Tribunal. 3. Such an arbitral tribunal shall be constituted for each individual case in the following way. Within two months of receipt of the request for arbitration, each Contracting Party shall appoint one member of the Tribunal. Those two members shall than select a national of a third State whom on approval by the Contracting Parties shall be appointed chairman of the tribunal. The chairman shall be appointed within four months from the date of appointment of the other two members. 4. If the necessary appointment has not been made within the periods specified in paragraph 3 of this Article, either Contracting Party may, in the absence of any other Agreement, invite the President of the International Court of Justice to make any necessary appointment. If the President is a national of either Contracting Party or if he is otherwise prevented from discharging the said function, the Vice President shall be invited to make necessary appointment. If the Vice President is a national of either Contracting Party or if he is also prevented from discharging the said function, the member of the International Court of Justice next in seniority that is not a national of either Contracting Party shall be invited to make the necessary appointment. However, the Chairman of Arbitral Tribunal shall be national of a state having diplomatic relations with both Contracting Parties. 5. The arbitral tribunal shall reach its decision by a majority of votes. It shall decide on the basis of the provisions of this Agreement as well as on the generally accepted principles and rules of international law. Such decision shall be binding on both Contracting Parties. 6. Each Contracting Party shall bear the cost of its own members of the Tribunal and its representation in the arbitral proceedings: the cost of the Chairman and the remaining cost shall be borne in equal parts by the Contracting Parties. The Tribunal may, however, in its decision direct that a higher proportion of costs shall be borne by one of the two Contracting Parties, and its award shall be binding on both Contracting Parties. The Tribunal shall determine its own procedure.
Article 13 TRANSPARENCY
1. Each Party shall, to the extent possible, ensure its laws, regulations and administrative ruling of general applications respecting any matter governed by this Agreement are promptly published or otherwise made available in such a manner as to enable interested persons and the other Party to become acquainted with them. 2. Nothing in this Agreement shall oblige a Contracting Party to furnish or allow access to any confidential or proprietary information, including information concerning particular investors or investments, the disclosure of which would impede law enforcement or be contrary to its law protecting confidentiality or prejudice legitimate commercial interest of particular investors.
Article 14 CONSULTATION AND AMENDMENT
1. Either Contracting Party may request that consultation to be held on any matter concerning this Agreement. The other Party shall accord sympathetic consideration to the proposal and shall afford opportunity for such consultation. 2. This Agreement may be amended at any time, if deemed necessary, by written approval of both Contracting Parties. The entry into force of this amendment shall be in accordance with the provision of Article 16 (1) of this Agreement.
Article 15 APPLICABILITY OF THIS AGREEMENT
This Agreement shall apply to all investment made by investors of either Contracting Party in the territory of the other Contracting Party, whether made before or after the entry into force of this Agreement, and its provisions shall be applicable from the date of its entering into force, but shall not apply to any dispute concerning an investment that arose or any claim that was settled before its entry into force.
Article 16 ENTRY INTO FORCE, DURATION AND TERMINATION
1. This Agreement shall enter into force thirty days after the last date of the receipt of the diplomatic note indicating that the constitutional requirements for entry into force of this Agreement have been fulfilled. This Agreement shall remain in force for a period of ten years from the date of its entry into force. 2. Unless notice of termination is given by either Contracting Party at least six months before the expiry of its period of validity, this Agreement shall be tacitly extended each time for a further period of ten years. 3. Investments made prior to the date of termination of this Agreement shall be covered by the provisions of this Agreement for a period of ten years from the date of termination.
