PERSETUJUAN ANTARA PEMERINTAH REPUBLIK INDONESIA DAN PEMERINTAH KERAJAAN MAROKO MENGENAI PENINGKATAN DAN PERLINDUNGAN ATAS PENANAMAN MODAL
Pemerintah Republik Indonesia dan Pemerintah Kerajaan Maroko (selanjutnya disebut sebagai "Para Pihak"); Mengingat persahabatan dan hubungan kerjasama yang telah terjalin antara ked ua negara dan rakyatnya; Bermaksud untuk menciptakan kondisi yang menguntungkan untuk kerjasama ekonomi yang lebih luas antara Para Pihak dan khususnya melalui penanaman modal olf'h penanam modal dari satu Pihak di wilayah Pihak lainnya; MP.ngakui pentingnya peningkatan dan perlindungan atas penanaman modal ddn bermanfaat untuk rnendorong arus modal serta kegiatan usaha dan untuk meningkatkan kesejahter3an di kedua Negara: Telah menyE:tujui sebagai berikut :

I
DEFINISI
Untuk tujuan Pers2tuj:..ian ini :
1.

e.
konsesi usaha yang diberikan oleh undang-undang atau sesuai kontrak, termasuk konsensi untuk mencari, mengolah atau mengeksploitasi sumber daya alam.
Setiap perubahan dalam bentuk hukum di mana aset ditanamkan atau ditanam kembali tidak akan mempengaruhi bentuknya sebagai penanaman modal dalam pengertian Persetujuan ini. 2.
lstilah "penanam modal" berarti bagi masing-masing Pihak: (i)
setiap orang yang memiliki kewarganegaraan Maroko atau Indonesia sesuai dengan hukum yang berlaku pada setiap Pihak;
(ii)
setiap badan hukum atau organisasi yang dibentuk sesuai dengan hukum yang berlaku pada setiap Pihak dan yang memiliki aktivitas ekonomi di wilayah Pihak dimaksud;
3.
lstilah "Penghasilan" berarti jumlah setelah pembayaran pajak yang dihasilkan dari penanaman modal dan khu~usnya, tetapi tidak terbatas, termasuk laba, bunga, keuntungan modal, div:den, royalti atau biaya.
4.
lstilah ''tanpa penundaan" harus dianggap teiah d ipenuhi jika suatu transfer d ilakukan dalam jangka waktu yang iaz1m dipersyaratkan dalam praktek keuangan internasional.
5.
"Wilayah" berarti: a.
Dalam hubungan dengan Republik Indonesia: Wilayah Republik Indonesia diartikan sebagai wilayah yang ditetapkan dalam perundang-undangannya.
b.
Dalam hubungan dengan Kerajaan Maroko: Wilayah Kerajaan Maroko, termasuk setiap kawasan maritim yang terletak dalam batas wilayah perairan Kerajaan Maroko dan yang te lah atau mungkin di rnasa depan diatur dalam hukum Kerajaan Maroko sesuai dengan hukum internasional sebagai kawasannya di mana Kerajaan Maroko melal
3 dengan dasar laut dan tanah di bawahnya serta sumber-sumber
a lam.
PASAL
II
PENINGKATAN DAN PERLINDUNGAN AT AS PENANAMAN MODAL
1.
Masing-masing Pihak harus mendorong dan menciptakan iklim yang menguntungkan bagi penanam modal dari Pihak lain untuk menanam modal di w ilayahnya, serta harus mengakui penanaman modal tersebut sesuai dengan peraturan dan perundang-undangan yang berlaku.
2.
Penanaman modal oleh penanam modal dari salah satu Pihak setiap saat harus d iperlakukan secara wajar dan seimbang, serta tunduk terhadap langkah-langkah tegas yang diperlukan, untuk memelihara ketertiban umum, dan harus memperoleh perlindungan dan keamanan yang memadai di wilayah Pihak lain.
3.
(a)
Perluasan pemilikan atau perubahan suatu penanaman modal yang sesuai dengan peraturan dan perundang-undangan yang berlaku di negara penerima diperlakukan sebagai penanaman modal baru .
(b)
Penghasilan penanaman modal, dalam hal penanaman modal kembali sesuai dengan hukurn yang berlaku pada salah satu Pihak, harus memperoleh perlindungan yang sama sesuai dengan penanaman modal awal.
PASAL Ill PERLAKUAN ATAS PEN AN AMAN MODAL
1.
Masing-masing Pihak di wila.yahnya harus memberikan kepada penanarr.an moda! o leh para penar.am modal ~ ih ak lainnya perlakuan yang tidak bole11 kurang menguntungkan daripada yang diperoleh penanaman modal oleh para penana.m modal dari setiap Negara Ketiga, perlakuan yang paling menguntungkan akan diberikan.
2.
Masing-masing Pihak di wilayahnya harus me111berikan kepada penanam modal Pihak lainnya, yang berkaita·n dengan manajemen, pemeliharaan, penggunaan, pemilikan atau pengaturan penanaman modalnya, perlakuan tidak boleh kurang mengu11tungkan daripada yang diperoleh
4 penanam modal setiap Negara menguntungkan akan diberikan.
3.
Ketiga,
perlakuan
yang
paling
Ketentuan dalam Persetujuan ini yang berkaitan dengan pemberian perlakuan tidak boieh kurang menguntungkan daripada yang diberikan kepada penanam modal dari salah satu. Pihak atau setiap Negara Ketiga harus tidak dipandang sebagai kewajiban satu Pihak untuk memberikan kepada penanam modal Pihak lainnya keuntungan dari setiap perlakuan, preferensi atau hak keistimewaan hasil dari: a.
setiap kesatuan ekonomi atau pabean atau suatu kawasan perdagangan bebas atau suatu pasar bersama, atau setiap persetujuan internasional sejenis atau setiap bentuk organisasi ekonomi regional di mana salah satu Pihak menjadi atau kemungkinan akan menjadi pihak;
b.
setiap persetujuan internasional atau pengaturan yang berkaitan dengan perpajakan baik secara menyeluruh maupun sebagian.
PASAL
IV
PENGAMBIL-ALIHAN DAN GANTI RUGI
1.
Tindakan-tindakan nasiona!isasi, pengambil-a!ihan atau setiap tindakan lainnya yang memiliki akibat yang serupa, selanjutnya disebut sebagai suatu pengambi!-alihan, yang mungkin dapat dilakukan oleh satu Pihak terhadap penanaman mod~I dari penanam modal Pihak lainnya harus tidak diskriminat1f atau tidak dilaksar.aka11 kecualt untuk kepentingan urn um.
2.
Pihak yang mengambil tindakan tersebut harus memberikan ganti rugi secara adil da.n seimbang. Ganti rugi tersebut harus dalam jumlah yang sesuai nilai pasar yar1g berlaku ~tas penanaman modal yang diambil-alih pada tanggal pengambii-alihan atau ;Jer~gambil-alihan diketahui oleh masyarakat luas.
3.
Jumlah ganti rugi tersebut haru<> c;ecara efektif dapat dilakukan, dan harus dibayar tanpa penundaan dan paling tidak dalam batas waktu 3 (tiga) bulan sejak pelaksanaan tindakan dimaksud. Jika terjadi kelambatan pembayaran, bunga s2suai tingkat bunga komersil yang wajar berdasar kesepakatan bersam3 harus diperliitungkan Scjak tanggal keterlambatan pembayaran hingga tanggal pemb~:yaran ciiiakukan. Ganti rugi harus
5 dibayarkan kepada penanam modal dalam bentuk mata uang yang dapat dipertukarkan dan dapat secara bebas ditransfer.
PASAl V GANTI RUGI ATAS KERUGIAN
Penanam modal dari satu Pihak, yang menanamkan modalnya mengalami kerugian akibat perang atau konfli k bersenjata, revolusi, negara dalam keadaan darurat, pemberontakan, atau kejadian lain yang sejenis di wilayah Pihak lainnya, harus mendapatkan perlakuan tidak boleh kurang menguntungkan daripada yang diberikan oleh Pihak yang disebut terakhir kepada penanam modalnya sendiri atau kepada penanam modal dari setiap Negera Ketiga, yang mana perlakuan lebih menguntungkan sebagai restitusi, indemnifikasi, ganti rugi atau bentuk penyelesaian lainnya yang berkaitan dengan kerugian dimaksud.
PASAl VI TRANSFER
1.
Masing-masing Pihak harus menjamin penanam modal dari Pihak lainnya untuk melakukan transfer bebas, setelan pembayaran pajak, sesuai peraturan dan perundang-undangan, dari modal yang ditanamkan, terutama tetapi tidak terbatas pada, termasuk: a.
modal yang ditanamkan dan setiap penambahan jumlah yang dipergunakan urituk pemeliharaan atau perluasan dari penanaman modal,
b.
laba, dividen, bunga, royalti, atau per:ghasilan lainnya;
c.
jumlah dana yang diperlukan untuk pernbayaran pinjaman yang berkaitcn dengan penanaman modal;
d.
hasil penjualan 21tau likuidasi dari seluruh atau sebagian dari penanaman modal;
e.
pembayaran ganti rugi yang berkaitan dengan Pasal IV dan V;
f.
gaji, upah dan remunerasi lainnya yang diterima oleh penanam modal salah satu Pihak yang diperoleh di wilayah Pihak lainnya yang berk11itan· dEngan ijin kerja pada penanaman modal, yang

sesuai dengan peraturan nilai tukar yang berlaku di masing-masing Pihak. 2.
Transfer yang disebut pada paragraf (1) harus di lakukan tan pa penundaan dalam mata uang yang dapat dipertukarkan sesuai dengan nilai tukar yang berlaku pada tanggal dilakukannya transfer.
PASAL
VII
SUB ROGAS I
1.
Jika pembayaran suatu pengganti kerugian telah diberikan kepada penanam modal dari satu Pihak sesua1 asuransi yang sah terhadap resiko non-komersil terhadap penanaman modal di wilayah Pihak lainnya, Pihak yang disebut terakhir harus mengakui penanggung subrogasi atas penanam modal dalam semua hak dan tuntutan ganti-rugi.
2.
Berkaitan dengan asuransi yang diberikan kepada penanaman modal terkait, penanggung berhak untuk melakukan haknya sesuai dengan hak yang diberikan oleh penanam modal.
3.
Perselisihan antara satu Pihak dan penanggung atas penanaman modal dari Pihak lainnya harus diselesaikan sesuai dengan ketentuan pada Pasal VIII Persetujuan ini.
PASAL
VIII
PENYELESAIAN PERSEUSiHAN ANTARA PENANAM MODAL DAN Pl HAK
1.
Perselisihan antara salah satu Pihak dan penanam modal dari Pihak lainnya, yang berkaitan dengan penanaman modal, harus disel~sa ikan sedapat mungkin secara damai, melalui konsultasi dan perundingan antara para pihak yang berselisih.
2.
Jika perselisihan ini tidak dapat diselesaikan nie!alui cara tersebut diatas dalam waktu enam bu lan sejak tanggal pemberitahuan tertulis, perselisihan dapat diajukan, sesuai pil ihan penanam modal: a.
baik kepada badan peradilan yang kornpeten dari Pihak dimana penanaman modal di wilayah:iya dilakukan;

atau kepada arbitrasi dan Pusat Penyelesaian Penanaman Modal lnternasionai (International Centre for Settlement of Investment Disputes/ICSID) yang dibentuk oleh Konvensi Penyelesaian Perselisihan Penanaman Modal antara Negara dan Penanam Modal (Convention on Settlement of Investment Disputes Between States and Nationals of other States), yang ditandatangani di Washington pada tangga l 18 Maret 1965.
Apabila salah satu Pihak telah mengajukan perselisihannya kepada badan peradilan yang kompeten dari Pihak di mana penanaman modal di wilayahnya dilakukan atau kepada badan peradilan internasional, maka keputusannya tersebut tidak dapat diubah kembali. 3.
Tidak satu Pihak yang berselisih dapat mengajukan keberatannya pada setiap tahap dari proses atau pelaksanaan hasil peradilan karena penanam modal adalah Pihak lain yang berselisih telah menerima, suatu ganti rugi baik seluruhnya atau sebagian atas kerugiannya yang berkaitan dengan dengan kontrak asuransi.
4.
Peradilan arbitrasi harus mendasarkan keputusannya pada hukum nasional dari Pihak yang terlibat dalam perselisihan di mana penanaman modal d i w ilayahnya dilakukan, termasuk peraturan-peraturan yang berkaitan dengan hukum perselisihan, ketentuan dalam Persetujuan ini; ketentuan persetuj uan tertentu yang berkaitan dengan penanaman modal dan ketentuan huhim intPrnasional.
5.
Putusan peradilan haruc; bersifat final dan mengika.t c;eluruh pihak yang berselisih. Setiap Pihak terikat ketentuan untuk melaksanakan putusan tersebut sesual dengan hukum nasional yang berlaku.
PASAl lX PENYELESAIAN PERSEi.JSIHAN ANlAR PIHAK
1.
Perselisihan antar Pihak mengcnai penafsiran ~tau penerapan Persetujuan ini, jika mungkin, harus diself'saikan melalui S;:tluran dip!omatik.
2.
Apabila perselisinan antar Pihak tidak dapc.t diselesaikan dalam Jangka waktu 6 (enam~ bulan, maka harns atas perrnintaan salah satu Pihak dapat mengajukan kepada peradi lan arbitrasi sesua1 persetujuan dari Pihak lainnya.
3.
Peradilan arbitrasi tersebut harus dibentuk untuk setiap kasus, dengan cara sebagai berikut:
8 Dalam waktu 3 (tiga) bulan setelah menerima permintaan untuk arbitrasi, setiap Pihak harus menunjuk satu anggota peradilan. Kedua anggota tersebut kemudian harus menunjuk seorang warga negara dari Negara Ketiga yang disetujui oleh kedua Pihak harus ditunjuk sebagai Ketua Peradilan. Ketua harus ditunjuk dalam jangka waktu 2 (dua) bulan dari tangga l penunjukkan kedua anggota lainnya.
4.
Jika dalam jangka waktu yang disebutkan pada paragraf 3 Pasal ini penunjukkan tidak dapat dilakukan, salah satu Pihak, dalam tidak adanya persetujuan lainnya, mengundang Ketua Makamah lnternasional untuk melakukan penunjukkan . Apabila Ketua itu adalah warga negara salah satu Pihak atau yang bersangkutan berhalangan untuk melaksanakan fungsi tersebut, Wakil Ketua harus diminta untuk melakukan penunjukan yang diperlukan dimaksud. Jika Wakil Ketua tersebut adalah warga negara salah satu Pihak atau apabila yang bersangkutan berhalangan melaksanakan fungsi tersebut, anggota senior berikutnya dari Mahkamah lnternasional yang bukan warga negara salah satu Pihak harus diminta untuk melakukan penunjukan yang diperlukan.
5.
Peradi Ian arbitrasi tersebut harus mengambii keputusan dengan suara terbanyak. Keputusan tersebut harus fina! dan mengikat kedua belah Pihak. Masing-rnasing Pihc.k harus menanggung biaya anggota peradilannya sendiri dan wakil-wakiinyadalam ::>roses peradilan arbitrasi; biaya ketua dan sisa biaya harus ditanggung sama besarnya oleh para Pihak. Peradilan harus menentukan prosedurnya sendiri.
PASAL X PEMBERLAKUAN PERSHUJUAN
1.
Persetujuan ini berlaku terhadap penanaman modal oleh para penanam modal dari Republik Indonesia di wi layah Kerajaan 1\1\aroko yang telah mendapat izin sebelumnya sesuai dengan L!ndang-undang mengenai penanaman modal d.~ n setiap undang-unda.ng yang mengubah atau menggantikannya, dan terhadap penanaman modal o leh penanam modal dari Kerajaan M~roko di wilayah Republik Indonesia yang telah mendapatkan izin sesuai dengan undang-undang mengenai penanaman modal asing dan set iap undang-ur.dang ya;ig mengubah atau menggantikannya.

Persetujuan ini harus mencakup, mengenai pelaksanaan yang akan datang, penanaman modal yang d ilakukan dalam mata uang yang dapat dipertukarka!l ~ebelum mulai masa berlaku Persetujuan ini oleh penanam modal dari salah satu Pihak di wilayah P.ihak lainnya sesuai dengan peratura~ dan perundang-undangan dari Pihak yang disebut terakhir. Namun Persetujuan ini harus tidak berlaku bagi persel isihan yang mungkin muncul sebelum masa berlaku Per$etujuan ini.
PASAL XI PENERAPAN KETENTUAN-KETENTUAN LAIN
Jika ketentuan hukum dari salah satu Pihak atau kewajiban berdasarkan hukum internasional yang berlaku saat ini atau dibuat di masa depan antar Pihak sebagai tambahan terhadap Persetujuan ini yang memuat peraturan, baik um um maupun khusus, yang memberi hak penanaman modal o leh penanam modal dari Pihak lainnya untuk suatu perlakuan yang lebih menguntungkan daripada Persetujuan ini, maka peraturan yang lebih menguntungkan. akan berlaku.
PASAL XII KONSULTASI DAN PERUBAHAN
1.
Masing-masing pihak dapat meminta diselenggarakannya konsultasi mengenai setiap masaiah yang menyangkut Persetujuan ini. Pihak lain harus memberika11 pertimbangan simpati atas usulan tersebut dan mengupayakan peluang yang mernadai untuk konsuitasi dimaksud.
2.
Persetujuan ini dapat diubah set1ap waktu, jika dianggap perlu, dengan kesepakatan bersama.
PASAL XIII ,MUlAi BERlAKU 1 JANGKA WAKTU DAN PE:NGAKHIRA~
1.
Persetujuan ini mulai ber!aku 30 (tiga pu luh) hari terhitung setelah tanggal penerimaan pemberitahuan terai
2.
Persetujuan ini ~aru s tetap berlaku L!ntuk masa 10 (sepuluh) tahun dan akan terus bu iaku <-:ntuk p1:;riode yang sama kecuaii salah satu Pihak memberitahukan Pihak lain.1yd seca1·d tertulis mengenai maksud untuk
10 pengakhiran Persetujuan ini selambat-lambatnya 6 (enam) bu Ian sebelum berakhirnya Persetujuan in i. 3.
Dalam hubungannyadengan penanaman modal yangdilakukan sebelum tanggal pengakhiran Persetujuan ini, ketentuan-ketentuan Persetujuan ini harus tetap berlaku untuk jangka waktu 10 (sepu luh) tahun berikutnya terhitung sejak tanggal pengakhiran Persetujuan ini.
SEBAGAI BUKTI, yang bertandatangan di bawah in i yang diberi kuasa penuh oleh Pemerintah masing-masing te lah menandatangani Persetujuan in i. DIBUAT di ..~.~9.!".~~........ pada hari ~~~.~.\:: .. tanggal .'.'i.. M~f~.~ 1997 dalam rangkap dua dalam Bahasa Indonesia, Arab dan lnggris, semua naskah mempunyai kekuatan hukum yang sama. Jika terdapat perbedaan mengenai penafsiran, maka naskah dalam bahasa lnggris harus berlaku.

AGREEMENT BETWEEN THE GOVERNMENT OF THE REPUBLIC OF INDONESIA AND THE GOVERNMENT OF THE KINGDOM OF MOROCCO FOR THE PROMOTION AND PROTECTION OF INVESTMENTS
The Government of the Republic of Indonesia and the Government of the Kingdom of Morocco (hereinafter referred to as the "Contracting Parties"); Bearing in mind the friendly and cooperative relations existmg between the two countries and their peoples; Desiring to create favourable conditions for greater economic cooperation between the Contracting Parties and in particular through investments by investors of on~ Contracting Party in the territory of the other Contracting Party; Recognising the importance of the promotion and protection of investments and its contribution to stimulate inflows of capital and business initiative and to increase prosperity in both countries; Have agreed as follows:
ARTJCLF I DEFINITIONS
For the purposes of this Agreement: 1.
The term "investments" shall roc:;in any kind of asset in-vested by investors of one Contra.cting Paity in the territory of the other Contracting Party, in C(mformity with the lz.ws a Pd 1egulations of tbc latter, including, but n,)t cxclusiveiy : a.

intellectual and· industrial property rights, patents, industrial marks and designs, trademarks, goodwill, know-how and any other similar nghts;
e.
business concess10ns conferred by law or under contract, including concessions to search for, extract or exploit natural resources.
Any change in the legal form in which assets are invested or remvested does not affect their character as investments in the meaning of this Agreement. 2.
The term "investors" means in respect of each Contracting Party: a.
any physical person having Moroccan or Indonesian nationality under the law in force in each of the Contracting Parties;
b.
any legal person or entity constituted under the law in force in each of the Contracting Parties and having effective economic activity m the territory of that Contracting Party.
3.
"Returns" means the amounts after payment of tax yielded by such investments and in particular, though not exclusively, includes profits, interest, capital gains, dividends, royalties or fees.
4.
The term "without delay" shall be deemed to be fulfilled if a transfer is made within such period as is normally required by international financial practices.
5.
"Territory" means: a.
in respect of the Republic of Indonesia : the territory of the Republic of Indonesia as defmed in its laws;
b.
in respect of the Kingdom of Morocco: the territory of the Kingdom of Morocco, includmg any maritime area situated beyond the territorial waters of the Kingdom of Morocco and which has been or might in the future be designated by the laws of the Kingdom of Morocco in accordance with international law as an area within which the Kingdom of Morocco may exercise rights with regard to the sea-bed and subsoil and the natural resources.

ARTICLE II PROMOTION AND PROTECTION OF INVESTMENTS
1.
Either Contracting Party shall encourage and create favourable conditions for investors of the other Contracting Party to invest in its territory, and shall admit such investment in accordance with its laws and regulations.
2.
Investments of investors of either Contracting Party shall at all times be accorded fair and equitable treatment and subject to the strictly necessary measures to maintain the public order shall enjoy adequate protection and security in the territory of the other Contracting Party.
3.
(a)
Extension, alteration or change of an investment made accordmg to law and regulation in force in the reception country are considered as a new investment.
(b)
Returns of investments, in case of their reinvestment in accordance with the law in force in each of the Contracting Parties, shall enjoy the same protection accorded to the initial investment.
ARTICLE III TREATMENT OF INVESTMENTS
1.
Each Contracting Party shall in its territory accord to investments of investors of the other Contracting Party treatment no less favourable than that it accords to investments of investors of any third State, the most favourable treatment being retained.
2.
Each Contracting Party shall in its territory accord to investors of the other Contracting Party, as regards management, maintenance, use, enjoyment or disposal of their investments, treatment no less favourable than that it accords to investors of any third State, the most favourable treatment being retained.
3.
The provisions in this Agreement relative to the grant of treatment not less favorable than that accorded to the investors of either Contracting Party or any third State shall not be construed so as to oblige one Contracting Party to extend to the investors of the other the benefit of any treatment, preference or privilege resulting from : (a)
any economic or customs union or a foe trade area or a common market, or any similar international agreement or any form of regional

economic organization to which either of the Contracting Parties is or may become a party; (b)
any international agreement or arrangement relating wholly or mainly to taxation.
ARTICLE IV EXPROPRIATION AND COMPENSATION
1.
Measures of nationalisation, expropriation or any other measures having an equivalent effect, hereinafter referred to an expropriation, that might be taken by one of the Contracting Parties against the investments of investors of the other Contracting Party must be neither discriminatory nor taken other than for a public purpose.
2.
The Contracting Party takes such a measure shall give a fair and equitable compensation. Such compensation shall amount to the market value of the investment expropriated on the date of expropriation or expropriation became public knowledge.
3.
The amount of the said compensation shall be effectively realizable, and shall be paid without delay and at the latest within three months of the date of implementation of the said measure. In case of a late payment, an interest at a normal commercial rate as mutually agreed shall be calculated from the due date until the date of payment. Compensation shall be paid to investors in convertible currency and be freely transferable.
ARTICLE V COMPENSATION FOR LOSSES
Investors of one of the Contracting Parties whose investments are affected by losses as a result of, war or armed conflict, revolution, a state of national emergency, revolt, insurrection or other similar events in the territory of the other Contracting Party, shall receive treatment no less favourable than that which the latter Contracting Party accords to its own investors or to investors of any third State; whichever is the more favourable treatment being adopted as regards restitution, indemnification, compensation or other settlement in respect of the said losses.

ARTICLE VI TRANSFERS

Each Contracting Party shall guarantee to investors of the other Contractmg Party the free transfer, after payment of tax, within the scope of its laws and regulations, of their assets invested, in particular though not exclusive1y, included: a.
capital invested and any additional amount used to maintenance or extension of the investment;
b.
profit, dividends, interests, royalties or other current revenue;
c.
amounts necessary to repay loans accorded in connection with investments;
d.
proceeds from sale or liquidation of all or any part of an investment;
e.
compensation payable pursuant to article 4 and 5;
f.
salaries, wages and other remunerations received by the nationals of one Party who have obtained in the territory of the other Party the corresponding work permits relative to an investment, pursuant to the exchange regulations in force in each Contracting Party.
Transfers mentioned in paragraph (i) shall be effected without delay in convertible currenr-y at the rate of exchange applicable on the date of transfer.
ARTICLE VII SUBROGATION
1.
. If a payment under an indemnity !ia5 given to an investor of one of the Contracting Party under a legal insurance against non-commercial risks in respect of an investment in the territory of the other Contracting Party, the latter Contracting Party shall recognise to the insurer the subrogation to the investor in all the indemnified rights and claims.

In virtue of the insurance accorded to the concerned investment, the insurer is entitled to exercise all rights which the investor would have been entitled to exercise.

3.
Dispute between one of the Contracting Parties and an insurer of an investment of the other Contracting Party shall be settled in accordance with the provisions of Article VIII of this Agreement.
ARTICLE VIII SETTLEMENT OF DISPUTES BETWEEN INVESTORS AND THE CONTRACTING PARTY

Disputes between one Contracting Party and an investor of the other Contracting Party, in connection with investment, shall be settled, as far as possible amicably, by consultations and negotiations between the parties in dispute.

If these disputes cannot be settled in this way within six months fo11owing the date of a written notification, the dispute can be submitted, as the investor may choose:
a.
either to a competent court of the Contracting Party in whose territory the investment was made;
b.
or for arbitration to the International Center for Settlement of Investment Disputes (ICSID) set up by the (Convention on Settlement oflnvestment Disputes Between States and Nationals of other States), opened for signature at Washington on March 18th 1965.
Once the Party of dispute has submitted the dispute to a competent court of the Contracting Party in whose territory the investment was made or to international arbitration, that election shall be final. 3.
Neither of the Contracting Party of dispute may raise as an objection at any stage of proceedings or enforcement of an arbitral award because of the investor which is the other party to the dispute has received, an indemnity covering wholly or partially his losses in pursuance to an insurance contract.

The arbitral tribunal shall base its decision on the national law of the Contracting Party involved in dispute in whose territory the investment was made, including the rules relative to conflicts of law, the provisions of this · Agreement; the provisions of particular agreements relative to investment and provisions of international ]aw.

The arbitration award shall be final and binding for all parties in dispute. Each Contracting Party commits itself to execute the award according to its national law.
ARTICLE IX SETTLEMENT OF DISPUTES BETWEEN THE CONTRACTING PARTIES
1.
Disputes between the Contracting Parties concerning the interpretation or application of this Agreement should, if possible, be settled through diplomatic channels.
2.
If a dispute between the Contracting Parties thus cannot be settled within 6 (six) months, it shall upon the request of either Contracting Party be submitted to an arbitral tribunal as agreed upon by the Contracting Parties.

Such an arbitral tribunal shall be constituted for each individual case in the following way: Within 3 (three) months of the receipt of the request for arbitration, each Contracting Party shall appoint one member of the tribunal. Those two members shall then select a national of third State who on approval by the two Contracting Parties shall be appointed chairman of the tribunal. The Chairman shall be appomted within 2 (two) months from the date of the appointment the other two members.

If within the period specified in Paragraph 3 of this Article the necessary appointment has not been made, either Contracting Party may, in the absence of any other agreement, invite the President of the International Court of Justice to make any necessary appointments. If the President is a national of either Contracting Party or if he is othe:~wise prevented from discharging the said function, the Vice-President shall be invited to make the necessary appointments. If the Vice-President is a national of either Contracting Party or if he too is prevented from discharging the said function, the member of the International Court of Justice next in seniority who is not a national of either Contracting Party shall be invited to make the necessary appointment.

The tribunal shall reach its decisions by a majority of votes. Such decision shall be final and binding on both Contracting Parties. Each Contracting Party

shall bear the cost of its own member of the tribunal and of its representation in the arbitral proceedings; the costs of the chairman and the remaining cost shall be borne in equal parts by the Contracting Parties. The tribunal shall determine its own procedure.
ARTICLE X APPLICABILITY OF THIS AGREEMENT
1.
This Agreement shall apply to investments by investors of the Republic of Indonesia in the territory of the Kingdom of Morocco which have been previously granted admission in accordance with the law concerning foreign investment and any law amending or replacing it, and to investments by investors of the Kingdom of Morocco in the territory of the Republic of Indonesia which have been granted admission in accordance with the Law concerning Foreign Investment and any law amending or replacing it.

This Agreement shall also covers, concerning its future application, investments made in convertible currencies before its entry into force by investors of one Contracting Party in the territory of the other Contracting Party in accordance with the law and regulation of this latter. But this Agreement shall not apply to disputes which would arise before its entry into force.
ARTICLE XI APPLICATION OF OTHER PROVISIONS
If the provisions of law of either Contracting Party or obligations under international law existing at present or established hereafter between the Contracting Parties in addition to the present Agreement contain a regulation, whether general or specific, entitling investments made by investors cf the other Contracting Party to a treatment more favourable than is provided for by the present Agreement, such regulation shall to the extent that it is more favourable pre·vail over the present Agreement.
ARTlCLE XII CONSl;LTATION A1'"'D AMENDMENT
1.
Either Contracting Party may request that consultations be held on any matter concerning this Agreement. 1 he other Party shall accord sympathetic consideration to the proposal e.nd shall afford adequate opportunity for such consultations.

2.
This Agreement may be amended at any time, if deemed necessary, by mutual consent.
ARTICLE XIII ENTRY INTO FORCE, DURATION AND TERMINATION
J.
This Agreement shall enter into force on the thirtieth day after the date of receipt of later notification by which the Contracting Parties have notified each other that their constitutional requirements for the entry into force of this Agreement have been fulfilled.
2.
This Agreement shall remain in force for a period of ten (10) years and shall continue in force thereafter for similar period unless either Contracting Party notifies the other Contracting Party in writing of its intention to terminate this Agreement at least six months before its expiration.
3.
With respect of investments made prior to the date of termination of this Agreement, the provisions of this Agreement shall continue to be effective for a period of ten (10) years from the date of termination.
