PERSETUJUAN ANTARA PEMERINTAH REPUHLIK INDONESIA DAN PEMERINTAH REPUBLIK SUDAN MENGENAI PENINGKATAN DAN PERLINDUNGAN ATAS PENANAMAN MODAL
Pemerintah Republik Indonesia dan Pemerintah Republik Sudan (selanjutnya disebut sebagai "Para Pihak"); Mengingat persahabatan dan hubungan kerjasama yang telah terjalin antara kedua negara dan rakyatnya; Bermaksud untuk menciptakan kondisi yang menguntungkan bagi penanaman modal oleh para penanam modal dari satu Pihak didasarkan atas persamaan kedaulatan dan saling menguntungkan; dan Mengakui bahwa Persetujuan Peningkatan dan Perlindungan atas Penanaman Modal tersebut akan mendorong untuk merangsang kegiatan investasi di kedua Negara; Telah menyetujui sebagai berikut :
PASAL I DEFINISI Untuk tujuan Persetujuan ini : 1.
Istilah "penanaman modal" harus diartikan sebagai segala bentuk aset yang ditanam oleh para penanam modal dari satu Pihak di wilayah Pihak lainnya, sesuai dengan peraturan hukum dan perundang-undangan yang berlaku, mencakup tetapi tidak terbatas pada: 1

a.
benda bergerak dan tidak bergerak termasuk hak-hak lain seperti hipotek, hak istimewa, danjaminan serta hak-hak serupa lainnya;
b.
hak-hak yang diperoleh dari saham, surat obligasi, atau setiap bentuk lainnya dari kepentingan dalam perusahaan atau usaha patungan di wilayah Pihak lain;
c.
tagihan atas uang atau atas setiap pelaksanaan yang mempunyai nilai keuangan;
d.
hak atas kekayaan intelektual, proses teknik, muhibah, dan keahlian;
e.
konsesi usaha yang diberikan oleh undang-undang atau berdasarkan kontrak yang berkaitan dengan penanaman modal termasuk konsesi untuk mencari atau mengeksploitasi sumber daya al am.
Istilah "penanam modal" bagi masing-masing Pihak, terdiri dari: (i) (ii)
seseorang yang mempunyai kewarganegaraan dari satu Pihak; badan hukum yang sah sesuai dengan hukum yang berlaku dari satu Pihak;

Istilah "tanpa penundaan" dianggap telah dipenuhi jika suatu transfer dilakukan dalamjangka waktu yang lazim dipersyaratkan dalam praktek keuangan intemasional.
4.
"Wilayah" harus diartikan sebagai: a.
Dalam hubungan dengan Republik Indonesia: Wilayah Republik Indonesia seperti ditetapkan dalam perundangundangannya; 2
b.
Dalam hubungan dengan Republik Sudan: Wilayah Republik Sudan seperti ditetapkan dalam perundangundangannya.
PASAL II PENINGKATAN DAN PERLINDUNGAN ATAS PENANAMAN MODAL
1.
Masing-masing Pihak harus mendorong dan menciptakan iklim yang menguntungkan bagi penanam modal dari Pihak lain untuk menanam modal di wilayahnya, serta mengizinkan penanaman modal tersebut sesuai dengan hukum dan peraturan yang berlaku.
2.
Penanaman modal oleh penanam modal dari masing-masing Pihak setiap waktu harus diperlakukan secara wajar dan seimbang serta harus mendapat perlindungan dan keamanan yang memadai di wilayah Pihak lain.
PASAL III KETENTUANPERLAKUANNEGARASAHABAT 1.
Masing-masing Pihak harus menjamin perlakuan yang wajar dan seimbang bagi penanarnan modal dari penanam modal Pihak lain dan harus tidak merugikan dengan tindakan yang tidak beralasan atau diskriminasi, pelaksanaan, manajernen, pemeliharaan, penggunaan, pemilikan atau pengaturan oleh penanam modal tersebut. Masing-masing Pihak harus menjamin penanaman modal tersebut pengamanan dan perlindungan fisik yang memadai.

Lebih khusus, rnasing-masing Pihak harus memperlakukan penanaman modal tersebut perlakuan yang dalam hal apapun harus tidak boleh 3
kurang menguntungkan daripada yang diberikan kepada penanaman modal yang dilakukan para penanam modal dari Negara Ketiga. 3.
Jika satu Pihak memberikan perlakuan khusus kepada penanam modal dari Negara Ketiga berdasarkan persetujuan mengenai pembentukan kesatuan pabean, kesatuan ekonomi, kesatuan moneter atau bentuk sempa lainnya, atau berdasarkan persetujuan sementara lainnya yang mengarah pada bentuk penyatuan institusi tersebut, maka Pihak dimaksud tidak wajib memberikan perlakukan khusus kepada penanam modal dari Pihak lainnya.
PASAL IV PENGAMBIL-ALIHAN
Masing-masing Pihak hams tidak melakukan tindakan apapun yang bempa pengambil-alihan, nasionalisasi atau segala bentuk pencabutan hak milik lainnya, yang berakibat sama dengan nasionalisasi atau pengambil-alihan terhadap penanaman modal dari penanam modal dari Pihak lainnya kecuali berdasarkan syarat-syarat di bawah ini: (a)
tindakan dilakukan untuk maksud yang dibenarkan secara hukum atau kepentingan umum dan sesuai dengan proses hukum;
(b)
tindakan tidak berdasarkan diskriminasi;
(c)
tindakan yang disertai dengan ketentuan untuk pembayaran ganti mgi yang cepat, memadai dan efektif. Besamya ganti mgi harus sesuai dengan harga pasar yang pantas tanpa penundaan sebelum tindakan pencabutan hak milik diumumkan. Harga pasar tersebut hams ditentukan sesuai praktek-praktek dan metode-metode yang diakui secara internasional atau, bilamana harga pasar yang pantas tidak dapat ditetapkan, ganti mgi tersebut hams mempakan jumlah yang wajar sebagaimana disetujui bersama antara para Pihak, dan jumlah tersebut 4
harus dapat ditransfer secara bebas dalam bentuk mata uang yang dapat dipergunakan secara bebas dari Pihak yang bersangkutan.
PASAL V GANTI RUGI ATAS KERUGIAN
1.
Penanam modal dari satu Pihak, yang penanaman modalnya di wilayah Pihak lain mengalami kerugian karena perang atau konflik bersenjata, revolusi, negara dalam keadaan darurat, pemberontakan, kerusuhan atau huru-hara di wilayah Pihak lainnya, harus diberikan oleh Pihak tersebut terakhir perlakuan yang berkenaan dengan restitusi, indemnifikasi, ganti rugi atau penyelesaian lainnya.
2.
Perlakuan tersebut harus tidak boleh kurang menguntungkan daripada yang diberikan oleh Pihak tersebut terakhir kepada penanam modal sendiri atau penanam modal negara ketiga, yang mana lebih menguntungkan bagi penanam modal yang bersangkutan.
PASAL VI TRANSFER
1.
Masing-masing Pihak harus menjamin berdasarkan hukum dan peraturannya yang berkaitan dengan penanamam modal oleh penanam modal dari Pihak lainnya, memperkenankan penanam modal tersebut tanpa penundaan, setelah membayar kewajiban-kewajiban keuangan dan pajak jika ada, untuk melakukan transfer atas: a.
laba, bunga, dividen dan penghasilan lainnya;

b.

dana-dana yang dibutuhkan (i)
untuk akuisisi bahan baku atau bahan pembantu, barang setengah jadi ataupun barang jadi, atau
(ii)
untuk mengganti aset modal kesinambungan penanaman modal;
guna
melindungi
c.
dana tambahan yang dibutuhkan untuk pengembangan penanaman modal;
d.
dana pembayaran kembali pinjaman;
e.
royalti atau biaya;
f.
pendapatan perorangan yang berkaitan dengan penanaman modal;
g.
hasil penjualan atau likuidasi dari penanaman modal;
h.
ganti rugi atas kerugian;
I.
ganti rugi atas pengambil-alihan.
Transfer tersebut harus dilakukan sesuai dengan nilai tukar yang berlaku pada tanggal transfer dilakukan dengan memperhatikan transaksi berjalan dalam mata uang yang akan ditransfer.
PASAL VII SUBROGASI
Jika penanaman modal dari penanam modal Pihak lainnya diasuransikan untuk risiko non-komersial sesuai sistem yang dibentuk berdasarkan undang-undang, setiap subrogasi dari penjamin atau penjamin-ulang atas hak penanam modal 6
sesuai dengan ketentuan atas j aminan tersebut,harus diakui Pihak lainnya, tetapi, bagaimana pun, penjamin atau penjamin-ulang tidak berhak melaksanakan hak selain daripada hak penanam modal yang telah diberikan.
PASAL VIII PENYELESAIAN PERSELISIHAN ANTARA PENANAM MODAL DAN PIHAK
1.
Setiap perselisihan antara satu Pihak dan penanam modal Pihak lainnya, mengenai penanaman modal pihak yang disebut terakhir di wilayah yang disebut sebelumnya, harus diselesaikan secara damai melalui konsultasi dan negosiasi.
2.
Jika perselisihan tersebut tidak dapat diselesaikan dalam waktu enam bulan sejak tanggal pemberitahuan tertulis oleh salah satu Pihak yang meminta penyelesaian secara damai, perselisihan tersebut atas permintaan penanam modal yang bersangkutan harus disampaikan melalui prosedur hukum yang berlaku di Pihak yang bersangkutan atau kepada arbitrasi intemasional atau konsiliasi.
3.
Masing-masing Pihak setuju untuk menyerahkan setiap perselisihan yang timbul antara Pihak dan penanam modal dari Pihak lainnya mengenai penanaman modal dari penanam modal tersebut di wilayah Pihak terdahulu kepada Pusat Penyelesaian Perselisihan Penanaman Modal Intemasional (International Centre for Settlement of Investment Disputes/ICSID) untuk penyelesaian melalui konsiliasi atau arbitrasi berdasarkan Konvensi Penyelesaian Perselisihan Penanaman Modal antara Negara dengan Penanam Modal dari Negara-Negara Lain (Convention on the Settlement of Investment Disputes between States and National of Others States) yang terbuka untuk ditandatangani di Washington, D.C., pada tanggal 18 Maret 1965.

PASALIX PENYELESAIAN PERSELISIHAN ANTAR PIHAK MENGENAI PENAFSIRAN DAN PENERAPAN PERSETUJUAN
Perselisihan antar Pihak mengenai penafsiran atau penerapan Persetujuan ini, j ika mungkin, diselesaikan melalui saluran diplomatik.
PASAL X PEMBERLAKUAN PERSETUJUAN
Persetujuan ini berlaku terhadap penanaman modal oleh para penanam modal dari Republik Sudan di wilayah Republik Indonesia yang telah mendapat izin sebelumnya sesuai dengan Undang-undang Republik Indonesia No. 1 tahun 1967 mengenai Penanaman Modal Asing dan setiap undang-undang yang mengubah atau menggantikannya, dan terhadap penanaman modal oleh penanam modal dari Republik Indonesia di wilayah Republik Sudan yang telah mendapatkan izin sesuai dengan undang-undang dan peraturan Pihak terakhir.
PASAL XI PENERAPAN KETENTUAN-KETENTUAN LAIN
Apabila ketentuan-ketentuan hukum dari salah satu Pihak atau kewajiban berdasarkan hukum intemasional yang berlaku sekarang atau dibuat di masa depan antar Pihak sebagai tambahan terhadap Persetujuan ini yang memuat peraturan, baik umum maupun khusus, yang memberi hak penanaman modal oleh penanam modal dari Pihak lainnya yang lebih menguntungkan daripada persetujuan ini, maka peraturan yang lebih menguntungkan yang berlaku.

PASAL XII KONSULTASI DAN PERUBAHAN
1.
Masing-masing pihak dapat meminta diadakannya konsultasi mengenai setiap masalah yang menyangkut Persetujuan ini. Pihak lain harus mempertimbangkan usulan tersebut dan mengupayakan kesempatan untuk berkonsultasi.
2.
Persetujuan ini dapat diubah setiap waktu, jika dianggap perlu, dengan kesepakatan bersama.
PASAL XIII MULAI BERLAKU, JANGKA W AKTU DAN PENGAKHIRAN
1.
Persetujuan ini mulai berlaku 3 (tiga) bulan terhitung sejak tanggal pemberitahuan terakhir oleh setiap Pihak setelah penyelesaian prosedur ratifikasi masing-masing Pihak. Persetujuan ini berlaku untuk masa 10 tahun dan akan terns berlaku 10 tahun berikutnya dan seterusnya, kecuali salah satu pihak memberitahukan secara tertulis tentang pengakhirannya satu tahun sebelum masa Persetujuan ini berakhir.
2.
Dalam hubungannya dengan penanaman modal yang dilakukan sebelum tanggal pengakhiran Persetujuan ini, ketentuan-ketentuan dari Pasal I sampai XII akan tetap berlaku untuk jangka waktu 10 tahun berikutnya terhitung sejak tanggal pengakhiran Persetujuan ini.

SEBAGAI BUKTI, yang bertandatangan di bawah ini yang diberi kuasa penuh oleh Pemerintah masing-masing telah menandatangani Persetujuan ini. DIBUAT dalam rangkap dua di Khartoum, pada tanggal/Df~998 dalam Bahasa Indonesia, Arab, dan Inggris. Semua naskah mempunyai kekuatan hukum yang sama. Jika terdapat perbedaan mengena1 penafsiran, maka naskah dalam bahasa Inggris harus berlaku.

AGREEMENT BETWEEN THE GOVERNMENT OF THE REPUBLIC OF INDONESIA AND THE GOVERNMENT OF THE REPUBLIC OF THE SUDAN CONCERNING THE PROMOTION AND PROTECTION OF INVESTMENTS
The Government of the Republic of Indonesia and the Government of the Republic of the Sudan (hereinafter referred to as "Contracting Parties"); Bearing in mind the friendly and cooperative relations existing between the two countries and their peoples; Intending to create favourable conditions for investments by nationals of one Contracting Party on the basis of sovereign equality and mutual benefit; and Recognizing that the Agreement on the Promotion and Protection of such Investments will be conducive to the stimulation of investment activities in both countries; Have agreed as follows :
ARTICLE I DEFINITIONS For the purpose of this Agreement :
1.
The term "investments" shall mean any kind of asset inves.ted by nationals of one Contracting Party in the territory of the other Contracting Party, in conformity with the laws and regulations of the latter, including, but not exclusively :

a.
movable and immovable property as well as other rights such as mortgages, privileges, and guarantees and any other similar rights;
b.
rights derived from shares, bonds or any other form of interest in companies or joint venture in the territory of the other Contracting Party;
c.
claims to money or to any performance having a financial value;
d.
intellectual property rights, technical processes, goodwill and know-how;
e.
business concessions conferred by law or under contract related to investment including concessions to search for or exploit natural resources.
The term "national" shall comprise with regard to either Contracting Party : (i)
natural persons having the nationality of that Contracting Party;
(ii)
legal persons constituted under the law of that Contracting Party;
3.
The term "without delay" shall be deemed to be fulfilled if a transfer is made within such period as is normally required by international financial practices.
4.
"Territory" shall mean : a.
In respect of the Republic of Indonesia : The Territory of the Republic of Indonesia as defined in its laws.
b.
In respect of the Republic of the Sudan : The Territory of the Republic of the Sudan as defined in its laws.

ARTICLE II PROMOTION AND PROTECTION OF INVESTMENTS
1.
Either Contracting Party shall encourage and create favourable conditions for nationals of the other Contracting Party to invest in its territory, and shall admit such capital in accordance with its laws and regulations.
2.
Investments of nationals of either Contracting Party shall at all times be accorded fair and equitable treatment and shall enjoy adequate protection and security in the territory of the other Contracting Party.
ARTICLE III MOST-FAVOURED-NATION PROVISIONS
1.
Each Contracting Party shall ensure fair and equitable treatment of the investments of nationals of the other Contracting Party and shall not impair, by unreasonable or discriminatory measures, the operation, management, maintenance, use, enjoyment or disposal thereof by those nationals. Each Contracting Party shall accord to such investment adequate physical security and protection.
2.
More particularly, each Contracting Party shall accord to such investments treatment which in any case shall not be less favourable than that accorded to investments of nationals of any third state.
3.
If a Contracting Party has accorded special advantages to nationals of any third state by virtue of agreements establishing customs unions, economic unions, monetary unions or similar institutions, or on the basis of interim agreements leading to such unions of institutions, that Contracting Party shall not be obliged to accord such advantages to nationals of the other Contracting Party.

ARTICLE IV EXPROPRIATION Each Contracting Party shall not take any measures of expropriation, nationalization or any other dispossession, having effect equivalent to nationalization or expropriation against the investments of a national of the other Contracting Party except under the following conditions : (a)
the measures are taken for a lawful purpose or public purpose and under process of law;
(b)
the measures are non discriminatory;
(c)
the measures are accompanied by provisions for the payment of prompt, adequate and effective compensation. Such compensation shall amount to the fair market value without delay before the measure of dispossession became public knowledge. Such market value shall be determined in accordance with internationally acknowledged practices and methods or, where such fair market value cannot be determined, it shall be such reasonable amount as may be mutually agreed between the Contracting Parties hereto, and it shall be freely transferable in freely usable currencies from the Contracting Party.
ARTICLE V COMPENSATION FOR LOSSES 1.
Nationals of one Contracting Party, whose investments in the territory of the other Contracting Party suffer losses owing to war or other armed conflict, revolution, a state of national emergency, revolt, insurrection or riot in the territory of the latter Contracting Party, shall be accorded by the latter Contracting Party treatment, as regards restitutions, indemnification, compensation or other settlement. 4
2.
The treatment shall not be less favourable than that which the latter Contracting Party accords to its own nationals or nationals of any third state, whichever is more favourable to the nationals concerned.
ARTICLE VI TRANSFER
1.
Either Contracting Party shall guarantee within the scope of its laws and regulations in respect to investments by nationals of the other Contracting Party grant to those nationals without delay, after duely paying its legal financial and tax commitments if there is any, the transfer of: a.
profits, interests, dividends and other current income;
b.
funds necessary (i) for the acquisition of raw or auxiliary materials, semi fabricated or finished products, or (ii)
to replace capital assets in order to safeguard the continuity of an investment;
c.
additional funds necessary for the development of an investment;
d.
funds in repayment of loans;
e.
royalties or fees;
f.
earnings of natural persons;
g.
the proceeds of sale or liquidation of the investment;

2.
h.
compensation for losses;
1.
compensation for expropriation.
Such transfer shall be made at the prevailing rate of exchange on the date of transfer with respect to current transaction in the currency to be transferred.
ARTICLE VII SUBROGATION If the investments of a national of the one Contracting Party are insured against non-commercial risks under a system established by law, any subrogation of the insurer or re-insurer to the rights of the said national pursuant to the terms of such insurance shall be recognized by the other Contracting Party, provided, however, that the insurer or the re-insurer shall not be entitled to exercise any rights other than the rights which the national would have been entitled to exercise.
ARTICLE VIII SETTLEMENT OF DISPUTES BETWEEN NATIONAL AND THE CONTRACTING PARTY 1.
Any dispute between a Contracting Party and a national of the other Contracting Party, concerning an investment of the latter in the territory of the former, be settled amicably through consultations and negotiations.
2.
If such a dispute cannot be settled within a period of six months from the date of a written notification either party requested amicable settlement, the dispute shall, at the request of the national concerned, be 6
submitted either to the judicial procedures provided by the Contracting Party concerned or to international arbitration or conciliation. 3.
Each Contracting Party hereby consents to submit any dispute arising between that Contracting Party and a national of the other Contracting Party concerning an investment of that national in the territory of the former Contracting Party to the International Center for Settlement of Investment Disputes for settlement by conciliation or arbitration under the Convention on the Settlement of Investment Disputes between States and Nationals of other States opened for signature at Washington, D.C., on 18 March 1965.
ARTICLE IX SETTLEMENT OF DISPUTES BETWEEN THE CONTRACTING PARTIES CONCERNING INTERPRETATION AND APPLICATION OF THE AGREEMENT Disputes between the Contracting Parties concerning the interpretation or application of this Agreement should, if possible, be settled through diplomatic channels.
ARTICLEX APPLICABILITY OF THIS AGREEMENT This Agreement shall apply to investments by nationals of the Republic of the Sudan in the territory of the Republic of Indonesia which have been previously granted admission in accordance with the Law No. 1 of 1967 concerning Foreign Investment and any law amending or replacing it, and to investments by nationals of the Republic of Indonesia in the territory of the Republic of the Sudan which have been granted admission in accordance with the laws and regulations of the latter.

ARTICLE XI APPLICATION OF OTHER PROVISIONS If the provisions of law of either Contracting Party or obligations under international law existing at present or established hereafter between the Contracting Parties in addition to the present Agreement contain a regulation, whether general or specific, entitling investments by nationals of the other Contracting Party to a treatment more favourable than is provided for by the present Agreement, such regulation shall to the extent that it is more favourable prevail over the present Agreement.
ARTICLE XII CONSULTATION AND AMENDMENT 1.
Either Contracting Party may request that consultations be held on any matter concerning this Agreement. The other Party shall accord sympathetic consideration to the proposal and shall afford adequate opportunity for such consultations.
2.
This Agreement may be amended at any time, if deemed necessary, by mutual consent.
ARTICLE XIII ENTRY INTO FORCE, DURATION AND TERMINATION 1.
The present Agreement shall enter into force three months after the date of the latest notification by any Contracting Party of the accomplishment of its internal procedures of ratification. It shall remain in force for a period of ten years and shall continue in force thereafter for another period of ten years and so forth unless denounced in writing by either Contracting Party one year before its expiration. 8
2.
ln respect of investments made prior to the date of termination of this Agreement becomes effective, the provisions of Article I to XII shall remain in force for a further period of ten years from the date of termination of the present Agreement.
IN WITNESS WHEREOF, the undersigned, duly authorized thereto by their respective Governments, have signed this Agreement. Done in duplicate at Khartoum, on/.Q.~,,.~fu Indonesian, Arabic, and English languages. All texts are equally authentic. If there is any divergence concerning the interpretation, the English text shall prevail.
