Disclosure in accordance with the listing standards of the New York Stock Exchange (NYSE) Delhaize Group, as a non-U.S. company listed on the New York Stock Exchange (“NYSE”), is permitted to follow home country practice in lieu of certain corporate governance provisions of the NYSE applicable to U.S. domestic companies listed on the NYSE. In accordance with SEC and NYSE requirements, Delhaize Group must disclose any significant ways in which its corporate governance practices differ from those followed by U.S. domestic companies under NYSE listing standards. Delhaize Group believes that its corporate governance practices are consistent with those followed by U.S. domestic companies under NYSE listing standards, but notes that two members of the Remuneration and Nomination Committee, Richard Goblet d’ Alviella and Hugh G. Farrington, do not satisfy the independence requirements of the Belgian Company Code applicable to Delhaize Group because Mr. Goblet d’Alviella has served on the Board of Directors as a non-executive director for more than three consecutive terms and Mr. Farrington has been compensated formerly as an executive of our subsidiary Hannaford Brothers. While the NYSE listing standards require that such committee be composed entirely of independent directors, the NYSE listing standards do not specify a length of service on the Board of Directors that would disqualify a director from being deemed independent. The NYSE listing standards also do not indefinitely disqualify a director from being deemed independent as a result of being compensated formerly as an executive of the listed company or any subsidiary thereof.
Compliance with the Belgian Code on Corporate Governance In line with the “comply-or-explain” principle of the Belgian Code on Corporate Governance, the Company concluded that the best interests of the Company and its shareholders are served by variance from the Code in a limited number of specific cases. These variances are explained below: • Provision 4.5 of the Belgian Code on Corporate Governance states, among other things, that directors should not consider taking more than five directorships in listed companies. In the opinion of the Board of Delhaize Group, the mere fact that a person is a director of more than five listed companies should not automatically disqualify this person as board member of Delhaize Group. Rather, this situation should be reviewed on a case-by-case basis to determine if it is likely to affect the performance of the services of this person as director of Delhaize Group. For this reason, the Board of Delhaize Group reserves the right to grant a waiver to this rule upon request of a non-executive director. When making its decision, the Board will consider, among other factors, the amount of time the non-executive director will likely have to devote to the Company. The Board of Directors granted such a waiver to Baron Vansteenkiste and Count Goblet d’Alviella, who both serve on the Boards of more than five listed companies. • Provision 8.8 of the Belgian Code on Corporate Governance prescribes that the level of shareholding for the submission of proposals by a shareholder to the General Meeting of Shareholders should not exceed 5% of the share capital. Even though the Company’s management or the Board of Directors will always consider any proposal submitted by shareholders in the best interest of the Company, the Board is of the opinion that the threshold of 5% of the share capital is currently too low to oblige the Company to put a proposal of any nature on the agenda of the General Meeting of Shareholders. The Board of Directors therefore retains the principles in this context as prescribed by Article 30 of the Company’s Articles of Association which foresees the right of shareholders holding more than 20% of the share capital to ask the Board to convene a General Meeting of Shareholders. • Provision 5.4./1 of Appendix E to the Belgian Code on Corporate Governance states, among other things, that a majority of the members of the Remuneration and Nomination Committee should be independent. All of the members of this Committee were independent pursuant to the Belgian Company Code, the Belgian Code on Corporate Governance and the NYSE rules until May 27, 2010. As of that date, half of them were independent since Count Goblet d’Alviella and Mr. Robert J. Murray lost their independence under the criteria of the Belgian Company Code because they have served on the Board of Directors as non-executive director for more than three consecutive terms. The Board believed that the experience gained by Messrs. Goblet and Murray on the complex and important matters related to
compensation through their prior service on the Remuneration and Nomination Committee provided substantial benefit for the Board as a whole, and outweighed concerns related to their independence qualifications. Effective January 1, 2011, a majority of the members of the Remuneration and Nomination Committee are independent pursuant to the Belgian Company Code, the Belgian Code on Corporate Governance and the NYSE rules because Mr. Robert J. Murray resigned as member of the Remuneration and Nomination Committee as of that date. The composition of the Remuneration and Nomination Committee can be found in the table on page 53 of the 2010 annual report.
Information communiquée en vertu des normes de cotation du New York Stock Exchange (NYSE) Le Groupe Delhaize, en tant que société non américaine cotée sur le New York Stock Exchange (“NYSE”) est autorisée à suivre les pratiques de son pays d’origine au lieu de certaines dispositions du NYSE en matière de gouvernance d’entreprise applicables aux sociétés américaines cotées sur le NYSE. Conformément aux exigences de la SEC et du NYSE, le Groupe Delhaize doit signaler les différences importantes entre les pratiques du Groupe Delhaize en matière de gouvernance et celles qui doivent être suivies à cet égard par les sociétés américaines en vertu des normes de cotation du NYSE. Le Groupe Delhaize estime que ses principes en matière de gouvernance d’entreprise correspondent à ceux suivis par les sociétés américaines en vertu des normes de cotation du NYSE mais constate que deux membres du Comité de Rémunération et de Nomination, Richard Goblet d’Alviella et Hugh G. Farrington, ne répondent pas aux critères d’indépendance du Code belge des Sociétés applicables au Groupe Delhaize vu que Monsieur Goblet d’Alviella a siégé au conseil d'administration en tant qu'administrateur non exécutif pendant plus de trois mandats successifs et que Monsieur Farrington a reçu une rémunération précédemment en tant que membre du personnel de direction d’une de nos filiales, Hannaford Brothers. Bien que les normes de cotation du NYSE exigent que ces comités soient composés uniquement d’administrateurs indépendants, les normes de cotation du NYSE ne spécifient pas l’ancienneté dans les fonctions d’administrateur qui exclue indéfiniment les administrateurs d'être qualifiés d'indépendants. Les normes de cotation du NYSE n’excluent pas indéfiniment un administrateur d’être qualifié indépendant pour avoir été rémunéré précédemment en tant que membre du personnel de direction d’une société cotée ou d’une de ses filiales. Respect du Code belge de Gouvernance d’Entreprise Suivant le principe « se conformer ou expliquer » du Code belge de Gouvernance d’Entreprise, la société a conclu que pour servir au mieux les intérêts de la société et de ses actionnaires, il convient de s’écarter du Code dans un nombre restreint de cas spécifiques. Ces écarts sont décrits ci-dessous: • La disposition 4.5 du Code belge de Gouvernance d’Entreprise stipule notamment que les administrateurs ne devraient pas envisager d’accepter plus de cinq mandats d’administrateurs dans des sociétés cotées. Selon le Conseil d’Administration du Groupe Delhaize, le simple fait qu’une personne ait un mandat d’administrateur dans plus de cinq sociétés cotées en bourse ne devrait pas la disqualifier automatiquement en tant que membre du Conseil d’Administration du Groupe Delhaize. Cette situation devrait plutôt être examinée au cas par cas afin de déterminer si elle pourrait affecter le niveau de performance des services de cette personne en tant qu’administrateur du Groupe Delhaize. Pour cette raison, le Conseil d’Administration du Groupe Delhaize se réserve le droit de déroger à cette règle à la demande d’un administrateur non exécutif. Au moment de prendre sa décision, le Conseil prendra notamment en considération le temps effectif probable que l’administrateur non exécutif devra consacrer à la société. Le Conseil d’Administration a accordé une telle dérogation au Baron Vansteenkiste et au Comte Goblet d’Alviella, qui siègent tous deux au Conseil de plus de cinq sociétés cotées en bourse. • La disposition 8.8 du Code belge de Gouvernance d’Entreprise stipule que le seuil à partir duquel un actionnaire peut soumettre des propositions à l’Assemblée Générale des Actionnaires ne devrait pas dépasser 5% du capital. Même si le management de la société ou le Conseil d’Administration prendra toujours en considération toute proposition soumise par les actionnaires dans le meilleur intérêt de la société, le Conseil d’Administration estime que le seuil de 5% du capital social est actuellement trop bas pour obliger la société à mettre à l’ordre du jour de l’Assemblée Générale des Actionnaires toute proposition de quelque nature qu’elle soit. De ce fait, le Conseil d’Administration continuera à se référer dans ce contexte aux principes stipulés par l’article 30 des statuts de la société qui prévoit le droit pour les actionnaires représentant 20% du capital social de demander au Conseil de convoquer une Assemblée Générale des Actionnaires. • La disposition 5.4./1 de l’annexe E du Code belge de Gouvernance d’Entreprise stipule, notamment, qu’une majorité au moins des membres du Comité de Rémunération et de Nomination doit être indépendante. Tous les membres de ce Comité étaient indépendants au regard du Code belge des Sociétés, du Code belge de Gouvernance d’Entreprise et des règles du New York Stock Exchange
jusqu’au 27 mai 2010. A partir de cette date, la moitié d’entre eux étaient encore indépendants étant donné que le Comte Goblet d’Alviella et M. Robert J. Murray ont perdu leur indépendance au sens du Code belge des sociétés parce qu’ils ont siégé au Conseil d’Administration en tant qu’administrateurs non exécutifs pendant plus de 3 mandats consécutifs. Le Conseil d’Administration pensait en effet que l’expérience acquise par MM. Goblet et Murray en tant que membres du Comité de Rémunération et de Nomination dans des sujets complexes et importants liés à la rémunération constituait un avantage majeur pour le Conseil d’Administration dans son ensemble, et l’emportait sur les préoccupations quant à leur qualité d’indépendants. Depuis le 1er janvier 2011, la majorité des membres du Comité de Rémunération et de Nomination sont indépendants selon le Code belge des Sociétés, le Code belge de Gouvernance d’Entreprise et les règles du New York Stock Exchange étant donné que M. Robert J. Murray a quitté le Comité de Rémunération et de Nomination à cette date. Bekendmaking in overeenstemming met de noteringsvoorwaarden van de New York Stock Exchange (NYSE) Delhaize Groep, als niet-Amerikaanse onderneming, genoteerd op de New York Stock Exchange (“NYSE”) mag de normen volgen van haar thuisland in plaats van bepaalde corporate governancebepalingen van de NYSE die worden gevolgd door Amerikaanse ondernemingen onder de noteringsvoorwaarden van de NYSE. Overeenkomstig de normen van de SEC en NYSE moet Delhaize Groep de belangrijke verschillen tussen de praktijkten van Delhaize Groep corporate governanceprincipes en deze van de Amerikaanse ondernemingen onder de noteringsvoorwaarden van de NYSE vermelden. Delhaize Groep is van mening dat zijn corporate governance-principes overeenstemmen met de normen die worden gevolgd door Amerikaanse ondernemingen onder de noteringsvoorwaarden van de NYSE, maar stelt vast dat twee leden van het Vergoedings- en Benoemingscomité, Richard Goblet d’ Alviella en Hugh G. Farrington, aan de onafhankelijkheidscriteria overeenkomstig het Belgische Wetboek van Vennootschappen van toepassing op Delhaize Groep niet meer voldoen sinds de Heer Goblet d’Alviella gedurende meer dan drie opeenvolgende mandaten als niet-uitvoerend bestuurder in de Raad van Bestuur heeft gezeteld en de Heer Farrington voordien een vergoeding heeft ontvangen van onze dochtervennootschap Hannaford Brothers vroeger als lid van de directie. Terwijl de noteringsvoorwaarden van de NYSE eisen dat deze comités alleen maar onafhankelijke bestuurders tellen, vermelden de noteringsvoorwaarden van de NYSE niet het aantal dienstjaren in de Raad van Bestuur die een bestuurder zouden diskwalificeren als onafhankelijk bestuurder. De noteringsvoorwaarden van de NYSE diskwalificeren niet eindeloos een bestuurder als onafhankelijk bestuurder ingevolge een vroeger ontvangen vergoeding als uitvoerend bestuurder van een genoteerde vennootschap of dochtervennootschappen ervan.
Naleving van de Belgische Corporate Governance Code In lijn met het “toepassen of verklaren”- principe van de Belgische Corporate Governance Code, besloot de vennootschap dat het in het beste belang van de vennootschap en haar aandeelhouders is om in een beperkt aantal specifieke gevallen af te wijken van de Code. Deze afwijkingen worden hierna uitgelegd: • Bepaling 4.5 van de Belgische Corporate Governance Code vermeldt o.a. dat bestuurders niet meer dan 5 bestuursmandaten in beursgenoteerde vennootschappen zouden mogen aanvaarden. Naar de mening van de Raad van Bestuur van Delhaize Groep, mag de persoon niet uitgesloten worden als lid van de Raad van Bestuur van Delhaize Groep, om de loutere reden dat deze persoon reeds bestuurder is in vijf andere beursgenoteerde vennootschappen. Deze situatie dient echter geval per geval onderzocht te worden om te bepalen of deze mogelijks de prestaties van de diensten van deze persoon als bestuurder van Delhaize Groep zou aantasten. De Raad van Delhaize Groep houdt zich het recht voor een afwijking toe te staan op deze regel op verzoek van een niet-uitvoerende bestuurder. Bij het nemen van zijn beslissing zal de Raad o.a. rekening houden met de tijd die de niet-uitvoerende bestuurder waarschijnlijk zal moeten besteden aan de vennootschap. De Raad heeft een dergelijke afwijking toegestaan voor Baron Vansteenkiste en Graaf Goblet d’Alviella.Beiden maken deel uit van de Raden van Bestuur van meer dan 5 beursgenoteerde vennootschappen. • Bepaling 8.8 van de Belgische Corporate Governance Code schrijft voor dat het vereiste percentage aandelen dat een aandeelhouder moet bezitten om voorstellen te kunnen indienen voor de Algemene Vergadering van Aandeelhouders niet hoger mag liggen dan 5% van het maatschappelijk kapitaal. Hoewel het management van de vennootschap of de Raad van Bestuur altijd elk voorstel ingediend door aandeelhouders in het belang van de vennootschap in overweging nemen, is deRaad van mening dat de drempel van 5% van het maatschappelijk kapitaal te laag is om de vennootschap te verplichten om eender welk voorstel op de agenda van de Algemene Vergadering van Aandeelhouders te plaatsen. Daarom houdt de Raad van Bestuur in dit opzicht vast aan de principes zoals voorgeschreven door artikel 30 van de statuten van de vennootschap en door artikel 532 van het Belgisch Wetboek Vennootschappen, die het recht voorzien voor aandeelhouders die 20% aanhouden van het maatschappelijk kapitaal om de Raad te verzoeken een Algemene Vergadering van Aandeelhouders samen te roepen.
• Bepaling 5.4./1 van bijlage E bij de Belgische Corporate Governance Code bepaalt, onder andere, dat de meerderheid van de leden van het Vergoedings- en Benoemingscomité onafhankelijk moet zijn. Alle leden van dit Comité waren onafhankelijk overeenkomstig het Belgisch Wetboek Vennootschappen, de Belgische Corporate Governance-Code en de NYSEregels tot 27 mei 2010. Vanaf die datum was de helft van hen onafhankelijk aangezien Graaf Goblet d’Alviella en dhr. Robert J. Murray hun onafhankelijkheid hebben verloren overeenkomstig het Belgisch Wetboek Vennootschappen aangezien ze meer dan drie opeenvolgende termijnen deel hebben uitgemaakt van de Raad van Bestuur als niet-uitvoerend bestuurder. De Raad gelooft dat de ervaring van de heren Goblet en Murray met complexe en belangrijke verlonings-gerelateerde zaken, verworven terwijl ze deel uitmaakten van het Vergoedings- en Benoemingscomité, een aanzienlijk voordeel betekent voor de Raad als geheel, en zwaarder doorwoog dan het probleem betreffende hun onafhankelijkheidskwalificatie. Vanaf 1 januari 2011 is een meerderheid van de leden van het Vergoedingsen Benoemingscomité onafhankelijk overeenkomstig het Belgisch Wetboek Vennootschappen, de Belgische Corporate Governance-Code en de NYSE-regels omdat dhr. Robert J. Murray op die datum afgetreden is als lid van het Vergoedings- en Benoemingscomité.
