Company Establishment

PT Pyridam Farma Tbk (“Perusahaan”) didirikan berdasarkan akta Notaris No. 31 tanggal 27 November 1976 dari Tan Thong Kie, S.H., Notaris di Jakarta. Akta pendirian Perusahaan telah disahkan oleh Menteri Kehakiman Republik Indonesia dalam Surat Keputusan No. YA 5/118/3 tanggal 17 Maret 1977, serta diumumkan dalam Lembaran Berita Negara Republik Indonesia No. 102 tanggal 23 Desember 1977, Tambahan No. 801.

PT Pyridam Farma Tbk “the Company” was established based on the Notarial deed No. 31 dated 27 November 1976 of Tan Thong Kie, S.H., Notary in Jakarta. The deed of establishment was approved by the Ministry of Justice of the Republic of Indonesia in his Decision Letter No. YA 5/118/3 dated 17 March 1977, and was published in the State Gazette of the Republic of Indonesia No. 102 dated 23 December 1977, Supplement No. 801.

Anggaran Dasar Perusahaan telah mengalami beberapa kali perubahan, yang terakhir dengan akta Notaris No. 61 tanggal 19 Mei 2008 dari Johny Dwikora Aron, S.H., Notaris pengganti dari Rachmat Santoso, S.H., Notaris di Jakarta, mengenai penyesuaian Anggaran Dasar Perusahaan sesuai dengan Undang-Undang No. 40 Tahun 2007 tentang Perseroan Terbatas. Perubahan ini telah disetujui oleh Menteri Hukum dan Hak Asasi Manusia Republik Indonesia dalam Surat Keputusan No. AHU-71824.AH.01.02 Tahun 2008 tanggal 9 Oktober 2008 dan telah diumumkan dalam Berita Negara Republik Indonesia No. 31 tanggal 16 April 2010, Tambahan No. 3549.

The Company’s Articles of Association has been amended several times, most recently by Notarial deed No. 61 dated 19 May 2008 of Johny Dwikora Aron, S.H., substitute Notary of Rachmat Santoso, S.H., Notary in Jakarta, concerning the amendment of the Company’s Article of Association in order to comply with Law No. 40 Year 2007 regarding the Limited Liability Company. The amendment has been approved by the Ministry of Law and Human Rights in Decision Letter No. AHU-71824.AH.01.02 Tahun 2008 dated 9 October 2008 and published in State Gazette of the Republic of Indonesia No. 31 dated 16 April 2010, Supplement No. 3549.

Berdasarkan Anggaran Dasar Perusahaan, ruang lingkup kegiatan usaha Perusahaan meliputi industri obat-obatan, plastik, alat-alat kesehatan dan industri kimia lainnya, serta melakukan perdagangan, termasuk impor, ekspor dan antar pulau, dan bertindak selaku agen, grosir, distributor dan penyalur dari segala macam barang.

Based on its Articles of Association, the scope of activities of the Company is mainly to engage in the industry of pharmaceutical products, plastics, medical equipment and other chemicals industry; and also trading, including import, export and inter – islands trading; and acting as an agent, wholesaler, distributor and supplier of all kinds of goods.

Kegiatan usaha Perusahaan saat ini meliputi produksi dan pengembangan obat-obatan (farmasi) serta perdagangan alat-alat kesehatan.

Currently, the Company’s activities are engaged in the production and development of pharmaceutical products and trading of medical equipment as well.

Perusahaan berdomisili di Jakarta dan pabriknya berlokasi di Desa Cibodas, Pacet, Cianjur, Jawa Barat. Kantor pusat Perusahaan berlokasi di Jalan Kemandoran VIII No. 16, Jakarta. Perusahaan memulai operasi komersialnya pada tahun 1977. Pabrik Perusahaan yang berlokasi di Desa Cibodas, Puncak, Jawa Barat, mulai dibangun pada tahun 1995 dan mulai beroperasi pada bulan April 2001.

The Company is domiciled in Jakarta and its plant is located in Desa Cibodas, Pacet, Cianjur, West Java. The head office is located at Jalan Kemandoran VIII No. 16, Jakarta. The Company started its commercial operations in 1977. The Company’s plant located at Desa Cibodas, Puncak, West Java, built in 1995 and started operations in April 2001.

Perusahaan telah melakukan perubahan nilai nominal saham dari Rp 1.000.000 per saham menjadi Rp 100 per saham (stock split) pada tanggal 25 April 2001. Di samping itu, Perusahaan telah menawarkan sahamnya kepada masyarakat melalui pasar modal di Indonesia sejumlah 120.000.000 saham dengan nilai nominal Rp 100 per saham dengan harga Rp 105 per saham yang efektif pada tanggal 27 September 2001. Pada saat yang sama, Perusahaan juga telah menerbitkan 60.000.000 Waran Seri I yang menyertai seluruh saham yang ditawarkan (waran lekat) dengan harga pelaksanaan Rp 125 per saham. Jangka waktu pelaksanaan Waran dilakukan mulai tanggal 16 April 2002 sampai dengan tanggal 15 Oktober 2004 dengan ketentuan setiap pemegang dua (2) saham baru mendapatkan satu (1) Waran Seri I dimana setiap satu (1) Waran Seri I memberikan hak kepada pemegangnya untuk membeli satu (1) saham baru Perusahaan yang dikeluarkan dari portepel. Saham tersebut bersama dengan saham pendiri sejumlah 400.000.000 saham telah dicatatkan pada Bursa Efek Indonesia pada tanggal 16 Oktober 2001. Pada tanggal 21 November 2002, Perusahaan telah menerbitkan dividen saham sejumlah 15.080.000 saham dengan harga pasar Rp 300 per saham. Setelah pembagian dividen saham tersebut, jumlah waran yang beredar menjadi 61.740.000 waran dan harga pelaksanaan waran menjadi 121 per saham. The Company has changed the nominal value of share from Rp 1,000,000 per share to Rp 100 per share (stock split) on 25 April 2001. In addition, the Company has offered its shares to public through the capital market in Indonesia totaling 120,000,000 shares with nominal value of Rp 100 per share at a price of Rp 105 per share effective 27 September 2001. At the same time, the Company has also issued 60,000,000 Series I Warrants covered all the offered shares with exercise price of Rp 125 per share. The exercise period of the warrants started on 16 April 2002 up to 15 October 2004 with the condition that each holder of two (2) new shares received one (1) Series I Warrant wherein each Series I Warrant entitles its holder the right to buy one (1) new share of the Company. These shares together with the shares of the founder stocks totaling 400,000,000 shares have been listed on the Indonesia Stock Exchange on 16 October 2001. On 21 November 2002, the Company has issued stock dividends totaling 15,080,000 shares at the market value of Rp 300 per share. After this issuance of stock dividends, the total warrants which has been issued became 61,740,000 warrants with the exercise price of warrants became 121 per share. No warrants were exercised until 15 October 2004.

Basis of Preparation of the Financial Statements

Laporan keuangan pada tanggal dan untuk tahun berakhir pada 31 Desember 2013 dan 2012 disusun sesuai dengan Standar Akuntansi Keuangan di Indonesia yang diterbitkan oleh Ikatan Akuntan Indonesia (IAI) dan Peraturan Bapepam-LK No. VIII.G.7 tentang “Pedoman Penyajian Laporan Keuangan” yang terdapat dalam Lampiran Keputusan Ketua Bapepam No. KEP-06/PM/2000 tanggal 13 Maret 2000 dan perubahannya, Keputusan Ketua Bapepam-LK No. KEP-347/BL/2012 tanggal 25 Juni 2012.

The financial statements as of and for the years ended 31 December 2013 and 2012 are prepared in accordance with Indonesian Financial Accounting Standards as issued by the Indonesian Institute of Accountants (IAI) and the Bapepam-LK Regulation No. VIII.G.7 regarding “Financial Statements Presentation Guidelines” as included in the Appendix of the Decision Decree of the Chairman of Bapepam No. KEP-06/PM/2000 dated 13 March 2000 and its amendment, the Decision Decree of the Chairman of Bapepam-LK No. KEP-347/BL/2012 dated 25 June 2012.

Laporan keuangan disusun berdasarkan konsep harga perolehan yang dimodifikasi dengan aset dan liabilitas keuangan (termasuk instrumen derivatif) pada nilai wajar melalui laporan laba rugi, dan menggunakan dasar akrual, kecuali untuk laporan arus kas.

The financial statements have been prepared under historical cost concept as modified by the financial assets and financial liabilities (including derivative instruments) at fair value through profit and loss, and using the accrual basis, except for the statement of cash flows.

Laporan arus kas disusun dengan menggunakan metode langsung (direct method) dengan mengklasifikasikan arus kas sebagai aktivitas operasi, investasi dan pendanaan.

The statements of cash flows have been prepared based on the direct method by classifying the cash flows on the basis of operating, investing and financing activities.

Transaksi-transaksi yang termasuk dalam laporan keuangan diukur dengan mata uang lingkungan ekonomi utama dimana Perusahaan beroperasi (mata uang fungsional). Laporan keuangan disajikan dalam Rupiah, yang merupakan mata uang fungsional dan penyajian Perusahaan.

Items included in the financial statements are measured using the currency of primary economic environment in which the Company operates (the functional currency). The financial statements are presented in Rupiah, which is the Company’s functional and presentation currency.

Standar akuntansi baru atau penyesuaian atas standar akuntansi yang wajib diterapkan untuk pertama kalinya untuk tahun buku yang dimulai 1 Januari 2013, yang relevan terhadap Perusahaan adalah penyesuaian atas PSAK 60 (Revisi 2010), “Instrumen Keuangan: Pengungkapan”. The classification depends on the purpose which the financial assets are acquired. Management determines the classification of its financial assets at initial recognition.

Perusahaan mencatat penyisihan untuk imbalan kerja karyawan sesuai dengan Undang-Undang Ketenagakerjaan No. 13/2003 tanggal 25 Maret 2003. Berdasarkan Undang-Undang tersebut, Perusahaan diharuskan untuk membayar uang pesangon, penghargaan masa kerja, dan penggantian hak kepada karyawan apabila persyaratan yang ditentukan dalam Undang-Undang terpenuhi.

The Company recognizes provisions for employee benefits in accordance with the Labor Law No. 13/2003 dated 25 March 2003. Based on the Labor Law, the Company is required to pay separation, gratuity and compensation benefits to their employees if the conditions specified in the Labor Law are met.

Berdasarkan PSAK No. 24 (Revisi 2010), biaya untuk imbalan kerja berdasarkan Undang-Undang ditentukan dengan menggunakan metode penilaian aktuaria “Projected Unit Credit”. The cost of property, plant and equipments is depreciated on a declining balance over the assets’ estimated useful economic lives. Management estimates the useful lives of these property, plant and equipments to be between 4 to 20 years. Changes in the expected level of usage and technological development could impact the economic useful lives and the residual values of these assets, and therefore future depreciation charges could be revised. The net book value amount of property, plant and equipment of the Company’s disclosed in Note 8.

Penentuan provisi imbalan pasca-kerja tergantung pada pemilihan asumsi tertentu yang digunakan oleh aktuaris dalam menghitung jumlah provisi tersebut. Asumsi tersebut termasuk antara lain tingkat diskonto, tingkat kenaikan gaji, dan tingkat kematian. Realisasi yang berbeda dari asumsi Perusahaan diakumulasi dan diamortisasi selama periode datang dan akibatnya akan berpengaruh terhadap jumlah biaya serta provisi yang diakui di masa datang. Walaupun asumsi Perusahaan dianggap tepat dan wajar, namun perubahan signifikan pada kenyataannya atau perubahan signifikan dalam asumsi yang digunakan dapat berpengaruh secara signifikan terhadap provisi imbalan kerja Perusahaan.

The determination of provision for employee benefits is dependent on selection of certain assumptions used by actuaries in calculating such amounts. Those assumptions include among others, discount rate, rate of salary increase, and mortality rate. Persediaan telah diasuransikan terhadap risiko kebakaran dan risiko kerugian lainnya kepada PT Asuransi Wahana Tata dengan nilai pertanggungan sebesar Rp 21.000.000.000 pada tahun 2013 dan 2012. Manajemen Perusahaan berpendapat jumlah pertanggungan tersebut mencukupi untuk mengantisipasi kemungkinan terjadinya kerugian.

Inventories are insured against fire and other risks to PT Asuransi Wahana Tata with coverage amounting to Rp 21,000,000,000 in 2013 and 2012. The Company’s management believes the amount of coverage is sufficient to anticipate the possibility of loss.

Berdasarkan penelaahan terhadap kondisi fisik persediaan pada akhir tahun, manajemen Perusahaan berpendapat bahwa kerugian penurunan nilai persediaan usang tidak diperlukan pada tanggal 31 Desember 2013 dan 2012.

Based on the observation of the physical condition of the inventories at the end of the year, the Company’s management believes that decline impairment losses for inventory obsolescence are not required as of 31 December 2013 and 2012.

Persediaan senilai Rp 6,25 miliar pada tahun 2013 telah dijaminkan untuk utang bank PT Bank OCBC NISP Tbk (Catatan 10).

Inventories amounting to Rp 6.25 billion in 2013 are collaterized for bank loan of PT Bank OCBC NISP Tbk (Note 10).

Sampai dengan 31 Desember 2013, hak atas tanah yang berlokasi di Desa Cibodas, Pacet, Cianjur, Jawa Barat, dengan total luas 41.481 meter persegi berupa Hak Guna Bangunan (HGB) atas nama Perusahaan yang berakhir antara tahun 2015 sampai dengan tahun 2034, tetapi dapat diperpanjang.

Until 31 December 2013, the landrights is located in Cibodas Village, Pacet, Cianjur, West Java, covering total area of 41,481 square meters represent Hak Guna Bangunan (HGB) under the Company’s name and will expire between year 2015 until year 2034, but it is extendable.

Aset dalam penyelesaian berupa renovasi bangunan pabrik dan penambahan bangunan baru dimulai sejak Mei 2012 dan telah diselesaikan pada September 2013.

Construction-in-progress consist of factory building renovation and additional of new building started in May 2012 and has been completed in September 2013.

Tanah dengan luas 34.325 meter persegi dan bangunan pabrik yang berlokasi di Desa Cibodas, Pacet, Cianjur, Jawa Barat atas nama Perusahaan digunakan sebagai jaminan atas utang bank yang diperoleh dari PT Bank OCBC NISP Tbk (Catatan 10 dan 16).

Landright with total area 34,325 square meters and buildings is located in Cibodas Village, Pacet, Cianjur, West Java under the Company’s name are used as collateral to the bank loan obtained from PT Bank OCBC NISP Tbk (Notes 10 and 16).

Based on Notarial deed No. 80 dated 27 November 2000 of Mellyani Noor Shandra, S.H., Notary in Jakarta, the Company received loan facilities from PT Bank OCBC NISP Tbk (NISP), an Overdraft Loan (KRK) with maximum credit of Rp 4.2 billion, Demand Loan Facility 1 (DL1) with maximum credit of Rp 9.8 billion dan Demand Loan Facility 2 (DL2) with a maximum credit of USD 200,000.

Akta di atas telah mengalami beberapa kali perubahan terakhir dengan akta Notaris No. 36 tanggal 27 November 2013 dari Agnes Angelika, S.H., M.Kn., Notaris di Jakarta dimana NISP menyetujui untuk mengubah syarat-syarat dalam perjanjian kredit diantaranya mengenai perubahan jumlah maksimum pinjaman DL1 menjadi Rp 14,8 miliar.

The above deed has been amended several times, most recently with Notarial deed No. 36 dated 27 November 2013 of Agnes Angelika, S.H., M.Kn., Notary in Jakarta, where NISP agreed to amend several terms in the credit agreement facilities including the maximum credit of DL1 to Rp 14.8 billion.

Pinjaman ini dikenakan bunga sebesar 11,5% per tahun dan 10,5% per tahun masing-masing pada tahun 2013 dan 2012.

These loans bears interest of 11.5% per annum and 10.5% per annum in 2013 and 2012, respectively.

Pinjaman ini dijamin dengan tanah milik Perusahaan seluas 3,4 hektar dengan hak legal atas tanah berupa SHGB No. 1/Cibodas yang berlokasi di Desa Cibodas, Pacet, Cianjur, Jawa Barat, berikut bangunan di atas tanah tersebut (Catatan 8 dan 16) dan tambahan jaminan fidusia atas persediaan sebesar Rp 6,25 miliar pada tahun 2013 (Catatan 6).

These loans are collateralized by the Company’s landrights covering an area of 3.4 hectares with legal rights over the land in the form of SHGB No. 1/Cibodas located in Cibodas Village, Pacet, Cianjur, West Java, including the buildings located on the land (Notes 8 and 16) and additional fiduciary of inventory amounting to Rp 6.25 billion in 2013 (Note 6).

Perjanjian kredit meliputi syarat-syarat tertentu, antara lain, mensyaratkan Perusahaan untuk meminta persetujuan dari kreditur sebelum mengubah struktur organisasi baik melalui penggabungan usaha, penyatuan, konsolidasi, reorganisasi, maupun mengubah anggaran dasar, susunan pemegang saham, direksi dan komisaris, membayar dividen. Di samping itu, Perusahaan juga harus mempertahankan rasio keuangan tertentu.

The credit agreements include certain limitations, among others, requiring the Company of obtaining the approval from the creditors before changing the organization structure through merger, acquisition, consolidation and reorganization, amending the articles of association, composition of shareholders, directors and commissioners. In addition, the Company is also required to maintain certain financial ratios.

Pada tanggal 3 September 2007, Perusahaan telah menandatangani perjanjian fasilitas korporasi dengan The Hongkong and Shanghai Banking Corporation Limited, Jakarta (HSBC) untuk fasilitas:

On 3 September 2007, the Company signed a Corporate Facility Agreement with The Hongkong and Shanghai Banking Corporation Limited, Jakarta (HSBC) for the following facilities:

Fasilitas Pembiayaan Piutang dengan jumlah Rp 6.000.000.000, jangka waktu 90 hari dan tingkat bunga sebesar 2,25% di bawah Bunga Pinjaman Terbaik dari HSBC per tahun serta diskon 90% dari nilai jaminan.

Receivables Financing facility with an amount of Rp 6,000,000,000 and tenor of 90 days with interest rate of 2.25% below the Best Lending Rate from HSBC per annum and discount of 90% of the invoice face value.

b. Fasilitas Treasury atas transaksi lindung nilai terhadap limit eksposur terhadap risiko (weighted) nilai tukar transaksi valuta asing/ foreign exchange option dengan jumlah USD 300.000 dengan jangka waktu maksimum 180 hari.

b. Treasury Facility for hedging transactions against exposure risk limit (weighted) exchange foreign currency transactions/ foreign exchange option with amount of USD 300,000 and maximum maturity for 180 days.

Fasilitas tersebut dijamin dengan transfer fidusia atas piutang usaha sebesar Rp 9.000.000.000 (Catatan 5).

These facilities are secured by fiduciary transfer over receivable for amount of Rp 9,000,000,000 (Note 5).

Berdasarkan akta Notaris Rismalena Kasri, S.H., No. 23 tanggal 10 September 2012, fasilitas Pembiayaan Piutang ditingkatkan menjadi Rp 9.000.000.000, jangka waktu 90 hari dan bunga 2,25% di bawah Bunga Pinjaman Terbaik dari HSBC sebesar 13,55% per tahun dan 11,85% per tahun, masing-masing pada tahun 2013 dan 2012 serta diskon 90% dari nilai jaminan. Jaminan transfer fidusia atas piutang usaha juga ditingkatkan menjadi Rp 12.000.000.000 (Catatan 5).

Atas fasilitas tersebut Perusahaan harus memenuhi beberapa pembatasan antara lain dilarang membayar dividen, mengagunkan atau membuat hipotik atas aset Perusahaan dan mengubah pemegang saham pengendali. Selain itu, Perusahaan juga diharuskan memenuhi beberapa rasio keuangan tertentu.

The above agreements contain certain covenant which among others, restrict the Company to provide dividend, create any mortgage or pledge the Company’s property and change the controlling shareholder. In addition, the Company is also required to maintain certain financial ratios.

Fasilitas perbankan korporasi ini dapat ditinjau kembali, setiap saat dan dalam kondisi apapun paling lambat tanggal 31 Juli 2014.

The corporate banking facilities are subject to review, at any time and in any event by 31 July 2014.

Pada tahun 2013 dan 2012, Fasilitas Treasury atas lindung nilai dari HSBC masih belum digunakan oleh Perusahaan.

16. LONG-TERM BANK LOAN

Berdasarkan akta Notaris Perjanjian Pinjaman No. 63 tanggal 12 April 2012 dari Mellyani Noor Shandra S.H., Notaris di Jakarta, Perusahaan memperoleh fasilitas pinjaman dari PT Bank OCBC NISP Tbk (NISP) berupa Term Loan dengan jumlah pokok yang tidak melebihi Rp 35.000.000.000 dengan tujuan untuk membiayai renovasi dan penyelesaian akhir interior pabrik sesuai dengan persyaratan ketentuan dari Badan Pengawasan Obat dan Makanan (BPOM) Republik Indonesia. Pinjaman ini dikenakan beban bunga sebesar 11,5% per tahun dan 10,5% per tahun masing-masing pada tahun 2013 dan 2012, dengan jangka waktu pelunasan 52 bulan sampai dengan tahun 2017. Sesuai dengan Adendum Perjanjian Pinjaman No. 073/CBL/ADD/HN/ IV/2013, pembayaran angsuran pokok dan bunga dilakukan setiap tanggal 26 dimulai bulan April 2013.

Based on the Notarial deed of Loan Agreement No. 63 dated 12 April 2012 of Mellyani Noor Shandra S.H., Notary in Jakarata, the Company obtained a loan facility from PT Bank OCBC NISP Tbk (NISP) in the form of Term Loan with a principal amount not to exceed Rp 35,000,000,000 in order to finance the renovation and finishing factory interior in accordance with the term from BPOM of the Republic of Indonesia. This loan bears interest cost of 11.5% per annum and 10.5% per annum in 2013 and 2012, respectively with a installment period of 52 months up to the year 2017. In accordance with the Loan Agreement Addendum No. 073/CBL/ADD/HN/IV/2013, the principal and interest payment due on 26 every month starting on April 2013.

Total rent expense which is charged to operations amounting to Rp 600,000,000 in 2013 and 2012 and presented as “Rent Expense” in the “General and Administrative Expenses” account in the statements of comprehensive income (Note 24).

Eksposur risiko kredit Perusahaan terutama dalam mengelola piutang usaha, terkait dengan kegagalan pelanggan memenuhi kewajiban kontraktualnya kepada Perusahaan. Perusahaan melakukan pengawasan kolektibiltias piutang sehingga dapat diterima penagihannya secara tepat waktu dan juga melakukan penelaahan atas masing-masing piutang pelanggan secara berkala untuk menilai potensi timbulnya kegagalan penagihan dan membentuk pencadangan berdasarkan hasil penelahaan tersebut.

The Company exposure to credit risk arise primarily from managing trade receivables, related to the customers fail to fulfil their contractual obligations to the Company. The Company monitors receivables so that these are collected in a timely manner and also conduct reviews of individual customer accounts on a regular basis to asses the potential for uncollectibiltiy and forms allowance based on the review results.

Perusahaan mengelola risiko likuiditas dengan menjaga kecukupan arus kas dan fasilitas bank dengan terus memonitor arus kas perkiraan dan aktual. Perusahaan juga menerapkan manajemen risiko likuiditas yang berhati-hati mempertahankan saldo kas yang cukup yang berasal dari penagihan hasil penjualan dan menempatkan kelebihan dana kas dalam instrumen keuangan dengan tingkat risiko yang rendah namun memberikan imbal hasil yang memadai serta mempertahankan reputasi dan kredibilitas lembaga keuangan.

The Company manages liquidity risk by maintaining sufficient cash flows and bank facilities and continously monitoring projected cash flows and availibility of funds. The Company also implements prudent liquidity risk management to maintain sufficient cash balances arising from revenue collection, places the excess cash in lowrisk financial instruments that provide adequate returns, and pay close attention to the reputation and credibility financial institutions

The Company applies liquidity risk management by establishing sufficient cash balances from collection of customer’s receivables or other fund sources.

iii. Foreign Currency Risk

Risiko mata uang asing adalah risiko nilai wajar arus kas masa depan yang berfluktuasi karena perubahan kurs pertukaran mata uang asing.

Foreign currency risk is the risk that the fair value of future cash flows of a financial instrument will fluctuate because of changes in foreign exchanges rate.

Mata uang pelaporan adalah Rupiah. Kinerja keuangan Perusahaan dipengaruhi oleh fluktuasi dalam nilai tukar mata uang USD, AUD dan GBP. Hal ini dikarenakan Perusahaan membeli alat-alat kesehatan dan bahan baku dalam mata uang asing.

The reporting currency is Rupiah. The Company’s financial performance is influenced by the fluctuation in the exchange rate between USD, AUD and GBP.The Company purchases medical equipment and raw materials using foreign currencies.

Perusahaan akan menghadapi risiko mata uang asing jika pendapatan dan pembelian Perusahaan dalam mata uang asing tidak seimbang dalam hal jumlah atau pemilihan waktu.

The Company has exposure to foreign currency risk if the revenue and purchases of the Company denominated in foreign currencies are not evently matched in terms of quantity or timing.

Saat ini, Perusahaan tidak mengimplementasikan kebijakan formal lindung nilai untuk laju pertukaran mata uang asing. Untuk mengurangi risiko ini, Perusahaan merencanakan pembelian mata uang asing yang cukup untuk pembelian produk impor, pemantauan mata uang asing yang insentif serta perencanaan waktu pembelian yang tepat.

Currently, the Company does not implement any formal hedging policy for foreign exchange exposure. The Company plans for the proper buying of foreign currencies for the import purchases, intensive foreign currency monitoring and proper timing in purchasing to reduce the foreign currency risk.

Pada tanggal 31 Desember 2013, jika nilai tukar Rupiah terhadap USD, AUD dan GBP melemah/menguat sebanyak 1% dengan semua variable konstan, laba sebelum pajak penghasilan untuk tahun yang berakhir pada tanggal 31 Desember 2013 akan lebih rendah/tinggi sebesar Rp 1,469 miliar, terutama sebagai akibat kerugian/keuntungan translasi kas dan bank dan utang usaha.

As of 31 December 2013, if the exchange rate of Rupiah against USD, AUD and GBP had depreciated/appreciated by 1% with all other variables held constant, income before income tax for the year ended 31 December 2013 would have been Rp 1,469 billion lower/higher, mainly as a result of foreign exchange losses/gains on the translation of cash on hand and in banks and trade payables.

Risiko tingkat bunga yang dihadapi Perusahaan berasal dari utang bank, utang pembelian kendaraan dan utang sewa pembiayaan.

The Company interest rate risk arise from bank loans, payables on purchase of vehicle and finance lease payables.

Kebijakan manajemen dalam mengelola risiko tingkat bunga ini dengan melakukan analisa pergerakan suku bunga dan jika diperlukan melakukan transaksi interest rate swap.

Management’s policy to manage the interest rate risk by analyzing movements in interest rates and if needed enters into interest rate swaps in specific circumstances.

b. Nilai Wajar Instrumen Keuangan Manajemen berpendapat bahwa nilai tercatat aset dan liabilitas keuangan yang dicatat sebesar biaya perolehan diamortisasi dalam laporan keuangan mendekati nilai wajarnya karena jatuh tempo dalam jangka pendek atau menggunakan suku bunga pasar yang berlaku. c. Risiko Manajemen Permodalan Dalam mengelola permodalannya, Perusahaan senantiasa mempertahankan kelangsungan usaha serta memaksimalkan manfaat bagi pemegang saham dan pemangku kepentingan lainnya.

Fair Value of Financial Instruments Management considers that the carrying amounts of financial assets and liabilities recorded at amortized cost in the financial statements approximate their fair values either because of their short-term maturities or their carry prevailing market interest rates. c. Capital Risk Management In managing capital, the Company safeguards its ability to continue as a going concern and to maximize benefits to the shareholders and other stakeholders.

Perusahaan secara aktif dan rutin menelaah dan mengelola permodalannya untuk memastikan struktur modal dan pengembalian yang optimal bagi pemegang saham, dengan mempertimbangkan efisiensi penggunaan modal berdasarkan arus kas operasi dan belanja modal, serta mempertimbangkan kebutuhan modal di masa yang akan datang.

The Company actively and regularly reviews and manages its capital to ensure the optimal capital structure and return to the shareholders, taking into the consideration the efficiency of capital use based on operating cash flow and capital expenditures and also consideration of future capital needs.

Credit Facility PT Bank Central Asia Tbk

Pada tanggal 13 Mei 2003, Perusahaan memperoleh fasilitas pinjaman rekening koran/cerukan dari PT Bank Central Asia Tbk dengan batas maksimum sebesar Rp 1,25 miliar.

On 13 May 2003, the Company obtained an overdraft facility from PT Bank Central Asia Tbk with maximum amount of Rp 1.25 billion.

Fasilitas pinjaman ini telah beberapa kali dirubah dan diperpanjang, terakhir nilai pinjaman maksimum menjadi sebesar Rp 1,5 miliar dan dikenakan bunga sebesar 12,25% per tahun pada 2013 dan 2012, dan akan jatuh tempo pada tanggal 17 Februari 2014.

This facility has been amended and extended several times, most recently the maximum credit is amounting to Rp 1,5 billion and bears interest at the rates of 12.25% per annum in 2013 and 2012 and will due on 17 February 2014.

Pinjaman ini dijamin dengan dua (2) bidang tanah di Jalan Kemandoran VIII No. 24 dan 25, Grogol Utara, Jakarta atas nama Ir. Sarkri Kosasih dan Rani Tjandra, pemegang saham dan komisaris Perusahaan (Catatan 27b). Pada tanggal laporan posisi keuangan, saldo cerukan berjumlah nihil.

This loan is collateralized by two (2) parcels of land located at Jalan Kemandoran VIII No. 24 and 25, Grogol Utara, Jakarta, under the names of Ir. Sarkri Kosasih and Rani Tjandra, shareholders and commissioners of the Company (Notes 27b). As of statements of financial position date, the overdraft balance is nil.

Sampai dengan tanggal laporan auditor independen, perubahan atas fasilitas pinjaman ini masih dalam proses.

As of the date of the independent auditors’ report, the amended agreement still in process.

b. Pada tahun 2013 dan 2012, Perusahaan mengadakan perjanjian distribusi dengan berbagai distributor untuk mendistribusikan dan memasarkan produk Perusahaan. Promosi atas produk tersebut ditangani oleh masing-masing distributor tersebut. Perjanjian ini berlaku selama satu (1) tahun dan dapat diperpanjang secara otomatis untuk satu (1) tahun berikutnya apabila tidak ada pemberitahuan tertulis dari salah satu pihak untuk mengakhirinya.

The promotion of the products is handled by each distributor. These agreements are valid for one (1) year and are extendable automatically for the next one (1) year if there is no written notification from one of the parties to terminate them.

Pada tahun 2013 dan 2012, Perusahaan melakukan kerjasama jasa maklon (masuk) dengan berbagai pihak yang berlaku selama satu (1) sampai empat (4) tahun. Perjanjian tersebut dilakukan dengan PT Genero Pharmaceuticals, PT Dankos Farma, PT Ethica Industri Farmasi, PT Lapi Laboratories, PT Pradja Pharin, PT Actavis Indonesia dan PT Phapros.

Had the above foreign exchange rates prevailing on 10 March 2013 (the completion date of the financial statements) been used to restate the balances of the Company’s foreign currency denominated monetary assets and liabilities as of 31 December 2013, the above foreign currency denominated net liabilities would have decreased by approximately Rp 88,175,104.

32. CONTINGENCY

Pada tanggal 14 Juli 2011, sesuai dengan gugatan Nomor 396/Pdt.G/2011/PN.JKT Sel, Perusahaan dan pihak tergugat lainnya digugat di Pengadilan Negeri Jakarta Selatan oleh pihak penggugat yang merupakan pemilik “Toko Obat Sehat Jaya” karena merasa dirugikan atas penarikan obat yang diproduksi oleh Perusahaan.

On 14 July 2011, based on lawsuit No. 396/Pdt.G/ 2011/PN.JKT Sel, the Company and other defendants sued in South Jakarta District Court by party claiming who is the owner of “Toko Obat Sehat Jaya” feel disfavoured by the withdrawal product which produced by the Company.

Berdasarkan gugatan tersebut, pihak-pihak tergugat digugat dengan nilai tuntutan ganti rugi sebesar Rp 18.929.351.000. Perusahaan sudah menunjuk pengacara untuk mewakili mereka dalam hal ini.

Based on the legal case, the defendants are being sued with a value of claims amounting to Rp 18,929,351,000. The Company has appointed a lawyer to represent them in this case.

Telah diputuskan oleh Ketua Majelis Hakim Pengadilan Negeri Jakarta Selatan bahwa gugatan pihat penggugat ditolak oleh Majelis Hakim pada tanggal 6 Desember 2012 dengan berkas putusan tertanggal 24 Juni 2013.

It has been decided by the Chief Justice District Court of South Jakarta that claim rejected by the judge on 6 December 2012 with decision files dated on 24 June 2013.
