Charter of The Board of Directors (BoD) PT Bali Towerindo Sentra Tbk (“The Company”)

LANDASAN HUKUM 1) Peraturan Otoritas Jasa Keuangan No. 33/POJK.04/2014 tentang Direksi dan Dewan Komisaris Emiten atau Perusahaan Publik. (“POJK No. 33”) 2) Anggaran Dasar Perseroan serta ketentuan peraturan perundangan lainnya yang berlaku di bidang Pasar Modal.

LEGAL BASIS 1) Regulation of the Indonesia Financial Services Authority No. 33 / POJK.04 / 2014 of the Directors and Board of Commissioners of Issuer or Public Company. ("POJK No. 33") 2) Articles of Association of the Company and the prevailing provisions of other laws and regulations in the Capital Market. INTRODUCTION Working guidelines for the Directors are necessary for conducting its maximum duties, functions and roles. The guidelines were established and approved by the Directors as a basic foundation in conducting its duties and obligations in accordance with the roles of each position.

II. PENGANTAR Dalam menjalankan tugas, fungsi serta peranan yang optimal maka perlu disusun suatu pedoman kerja bagi Direksi Perusahaan. Pedoman ini disusun dan telah disetujui oleh Direksi Perseroan sebagai landasan dasar dalam menjalankan tugas dan kewajiban yang harus dijalankan sesuai peranan masingmasing jabatan. III. DEFINITION OF POSITION III. Seorang anggota Direksi berhak mengundurkan diri dari jabatannya dengan memberitahukan secara tertulis kepada Perseroan; Dalam hal anggota Direksi mengundurkan diri sehingga mengakibatkan jumlah anggota Direksi menjadi kurang dari 2 (dua) orang, maka pengunduran diri tersebut sah apabila ditetapkan oleh Rapat Umum Pemegang Saham dan telah diangkat anggota Direksi yang baru sehingga memenuhi persyaratan minimal anggota Direksi. Setiap anggota Direksi dapat diberhentikan untuk sementara waktu dari jabatannya oleh Dewan Komisaris berdasarkan keputusan Rapat Dewan Komisaris; Masa jabatan anggota Direksi dengan sendirinya berakhir, apabila anggota Direksi tersebut:

1. dinyatakan pailit atau ditaruh di bawah pengampuan berdasarkan suatu keputusan pengadilan; atau 2. tidak lagi memenuhi persyaratan perundang-undangan yang berlaku; atau 3. meninggal dunia; atau 4. diberhentikan karena keputusan Rapat Umum Pemegang Saham; j) Gaji, uang jasa dan tunjangan lainnya anggota Direksi (jika ada) ditetapkan oleh Rapat Umum Pemegang Saham dan wewenang tersebut oleh Rapat Umum Pemegang Saham dapat dilimpahkan kepada Dewan Komisaris; k) Bilamana jabatan seorang anggota Direksi lowong karena sebab apapun yang mengakibatkan jumlah anggota Direksi kurang dari 2 (dua) orang, maka selambat-lambatnya 45 (empat puluh lima) hari setelah terjadi lowongan itu, harus diadakan Rapat Umum Pemegang - Saham untuk mengisi lowongan tersebut dengan memperhatikan peraturan perundang-undangan yang berlaku di bidang Pasar Modal; l) Apabila jabatan Direktur Utama lowong dan selama masa penggantinya belum diangkat atau belum memangku jabatannya, maka salah seorang Direktur yang ditunjuk oleh Rapat Direksi akan menjalankan kewajiban sebagai Direktur Utama dan mempunyai wewenang serta tanggung jawab yang sama sebagai Direktur Utama. Dalam hal seluruh anggota Direksi lowong, maka berlaku ketentuan dalam Anggaran Dasar Perseroan. 2) PERSYARATAN KEANGGOTAAN Persyaratan menjadi anggota Direksi Perseroan harus memenuhi persyaratan sebagai berikut : a) Mempunyai akhlak, moral, dan integritas yang baik; b) Cakap melakukan perbuatan hukum; c) Dalam 5 (lima) tahun sebelum pengangkatan dan selama menjabat: 1. Tidak pernah dinyatakan pailit; 2. Tidak pernah menjadi anggota Direksi dan/atau anggota Dewan

dismissed because of the decision of the General Meeting of Shareholders; Salaries, service fees and other allowances for members of the Directors (if any) shall be determined by the General Meeting of Shareholders and the authority by the General Meeting of Shareholders may be delegated to the Board of Commissioners; Where the position of a member of the Directors is vacant for any reason which resulting in the number of members of the Directors of less than 2 (two) people, then no later than 45 (forty five) days after such vacancy, there should be held the General Meeting of Shareholders to fill the vacancy by complying with the prevailing laws and regulations in the Capital Market; If the post of President Director is vacant and during his/her vacant position, there has not been an appointed successor, then one of the Directors appointed by the Directors Meeting will conduct the duties and obligations as the President Director and has the authority and the same rights and obligations as the President Director. In terms of all of the Directors positions are vacant, then the provisions of the Articles of Association will be applicable.

2) MEMBERSHIP REQUIREMENTS Requirements to become a member of the Directors must meet the following requirements: a) Having a good character, morals, and integrity; b) Proficient in conducting legal actions; c) Within five (5) years prior to appointment and during his/her term: 1. Not been declared bankrupt; 2. Never be a member of the Directors and / or member of the

Pertanggungjawabannya sebagai anggota Direksi dan/atau Dewan Komisaris pernah tidak diterima oleh RUPS atau pernah tidak memberikan pertanggungjawaban sebagai anggota Direksi dan/atau Dewan Komisaris kepada RUPS; iii. Pernah menyebabkan perusahaan yang memperoleh izin persetujuan, atau pendaftaran dari Otoritas Jasa Keuangan tidak memenuhi kewajiban menyampaikan laporan tahunan dan/atau laporan keuangan kepada Otoritas Jasa Keuangan; d) Memiliki komitmen untuk mematuhi peraturan perundang-undangan; e) Memiliki pengetahuan dan/atau keahlian di bidang yang dibutuhkan Perseroan 3) DIREKTUR INDEPENDEN / TIDAK TERAFILIASI a) Dengan memperhatikan peraturan Bursa Efek Indonesia Nomor I-A tentang Pencatatan Saham Atau Efek Bersifat Ekuitas Selain Saham Yang Diterbitkan Oleh Perusahaan Tercatat (Lampiran I Keputusan Direksi PT Bursa Efek Indonesia Nomor : Kep00001/BEI/01-2014), Direktur Independen berjumlah paling kurang 1 (satu) orang dari jajaran anggota

Never be a member of the Directors and / or the Board of Commissioners that during his/her term: i. Ever not holding Annual General Meeting of Shareholders; ii. Accountability as members of the Directors and / or Board of Commissioners is not accepted by the GMS or had not been accountable as members of the Directors and / or Board of Commissioners to the General Meeting of Shareholders; iii. Ever lead companies that obtain a permit approval, or registration from the Financial Services Authority do not fulfill the obligation to submit annual reports and / or financial statements to the Financial Services Authority; d) Having the commitment to comply with laws and regulations; e) Having knowledge and / or expertise in the fields required by the Company.

3) INDEPENDENT DIRECTOR / NOT AFFILIATED a) By complying with the regulation of Indonesia Stock Exchange number I-A about Registration of Shares or Equity Instrument other than Shares Issued by Listed Companies (Appendix I Decision of the Directors of Indonesia Stock Exchange Number: Kep-00001 / BEI / 01-2014), Independent Director consisted of at least 1 (one) person in the members of the Directors with the following requirements:

Tidak mempunyai hubungan afiliasi dengan Pengendali Perusahaan Tercatat yang bersangkutan paling kurang selama 6 (enam) bulan sebelum penunjukan sebagai Direktur Independen. 2. Tidak mempunyai hubungan afiliasi dengan Komisaris atau Direksi lainnya dari Calon Perusahaan Tercatat. 3. Tidak bekerja rangkap sebagai Direksi pada perusahaan lain. 4. Tidak menjadi Orang Dalam pada lembaga atau Profesi Penunjang Pasar Modal yang jasanya digunakan oleh Calon Perusahaan Tercatat selama 6 (enam) bulan sebelum penunjukan sebagai Direktur. 5. Masa jabatan Direktur Independen paling banyak selama 2 (dua) periode berturutturut. b) Fungsi dan tugas Pokok Direktur Independen / Tidak Terafiliasi adalah : 1. Menjamin perlindungan terhadap kepentingan pemegang saham minoritas. 2. Menjamin keberlangsungan prinsip-prinsip tata kelola perusahaan yang baik. 4) KETENTUAN RANGKAP JABATAN Anggota Direksi dapat merangkap jabatan sebagai: a) Anggota Direksi paling banyak pada 1 (satu) emiten atau perusahaan publik lain; b) Anggota Dewan Komisaris paling banyak pada 3 (tiga) emiten atau perusahaan publik lain; dan/atau c) Anggota komite paling banyak pada 5 (lima) komite di emiten atau perusahaan publik dimana yang bersangkutan juga menjabat sebagai anggota Direksi atau anggota Dewan Komisaris;

PELAKSANAAN TUGAS, TANGGUNG JAWAB DAN WEWENANG 1) TUGAS DAN TANGGUNG JAWAB

Not affiliated with the relevant Controlling Interest of the Listed Company for at least six (6) months prior to the appointment as Independent Director. 2. Having not affiliate relationship with the Commissioners or other Directors from the Candidate Listed Company. 3. Is not working as a Director in another company. 4. Not being an Insider in the institution or Supporting Profession of the Capital Market which services are applied by the Candidate Listed Company for six (6) months prior to the appointment as a Director. 5. The term of office of Independent Director is, at maximum, for two (2) consecutive periods. b) Principal functions and duties of Independent Director / Not Affiliated Director are: 1. Ensuring the protection of the interests of minority shareholders. 2. Ensuring the sustainability of the principles of good corporate governance.

4) TERMS OF DUAL POSITION Member of the Directors may hold dual positions as: a) Member of the Directors at no more than 1 (one) other issuer or public company; b) Members of the Board of Commissioners at no more than 3 (three) other issuers or another public companies; and / or c) Committee members at no more than 5 (five) committees in issuers or listed companies in which he/she is also a member of the Directors or the Board of Commissioners; V.

IMPLEMENTATION OF DUTIES, RESPONSIBILITIES AND AUTHORITY 1) DUTIES AND RESPONSIBILITIES

a) Direksi bertanggung jawab penuh dalam melaksanakan tugasnya untuk kepentingan Perseroan dalam mencapai maksud dan tujuannya. b) Direksi wajib dengan itikad baik dan penuh tanggung jawab menjalankan tugasnya dengan mengindahkan peraturan perundang-undangan yang berlaku. c) Melakukan pengawasan strategis: 1. Melakukan pengawasan dengan mengarahkan, memantau dan mengevaluasi kegiatan dan kebijakan Perusahaan. 2. Menindaklanjuti temuan audit dan rekomendasi dari satuan kerja Internal Audit ataupun Eksternal Audit d) Pengawasan Perusahaan, khususnya dalam hal memastikan terselenggaranya pelaksanaan tata kelola perusahaan yang baik pada setiap kegiatan Perusahaan. e) Direksi bertanggung jawab secara tanggung renteng atas kerugian Perseroan yang disebabkan oleh kesalahan atau kelalaian anggota Direksi dalam menjalankan tugasnya. f) Dalam hal Direksi mengundurkan diri, sebelum pengunduran diri berlaku efektif, anggota Direksi yang bersangkutan tetap berkewajiban menyelesaikan tugas dan tanggungjawabnya sesuai dengan anggaran dasar dan peraturan perundangundangan yang berlaku. Pembebasan tanggung jawab anggota Direksi yang mengundurkan diri diberikan setelah Rapat Umum Pemegang Saham Tahunan membebaskannya; 2) WEWENANG a) Direksi berwenang untuk mewakili Perseroan secara sah dan secara langsung, baik di dalam maupun di luar pengadilan tentang segala hal dan dalam segala kejadian, mengikatkan Perseroan dengan pihak lain dan pihak lain dengan Perseroan serta menjalankan segala tindakan, baik yang mengenai kepengurusan maupun kepemilikan. b) 2 (dua) orang anggota Direksi, dimana salah satunya adalah Direktur Utama

Following up on audit findings and recommendations from the internal audit or external audit. d) Supervision of the Company, particularly in ensuring the implementation of good corporate governance in all of its activities. e) The Directors are jointly liable for the losses of the Company caused by errors or omissions of members of the Directors in carrying out its duties. f) In the event that the Directors resign, before the resignation becomes effective, the relevant member of the Directors remains obliged to complete tasks and responsibilities in accordance with the articles of association and prevailing laws and regulations. Discharge of members of the Directors who resign is granted after the General Meeting of Shareholders releases;

2) AUTHORITY a) The Directors is authorized to represent the Company legally and directly, both inside and outside the court on all matters and in any event, binding the Company with the other parties and the other parties with the Company and to execute all actions, both concerning the management and ownership. b) 2 (two) members of the Directors, one of whom is the President Director or other members of the Directors

Meminjam atau meminjamkan uang atas nama Perseroan; 2. Menjual/ mengalihkan/ melepaskan hak atas barang tak bergerak milik Perseroan; 3. Melakukan penyertaan modal atau melepaskan penyertaan modal dalam perusahaan lain tanpa mengurangi ijin yang berwenang; 4. Mengikat Perseroan sebagai penjamin untuk kepentingan pihak lain/ badan hukum lain; 5. Mengalihkan, melepaskan hak atau menjadikan jaminan utang harta kekayaan (aktiva) Perseroan dengan nilai kurang atau sampai dengan 50% (lima puluh persen) dari harta kekayaan (aktiva) Perseroan; 6. Melakukan transaksi atau tindakan-tindakan lainnya yang menyebabkan terjadinya perubahan atau penurunan (dilusi) jumlah kepemilikan/ penyertaan saham di Perseroan. 7. Mengubah kegiatan usaha Perseroan. e) Dalam mewakili Perseroan, Direksi harus mendapatkan persetujuan dari Rapat Umum Pemegang Saham untuk melakukan tindakan-tindakan sebagai berikut: 1. Perbuatan hukum untuk mengalihkan, melepaskan hak atau menjadikan jaminan utang seluruh atau dengan nilai sebesar 100% (seratus persen) maupun

Bind the Company as guarantor for the benefit of another party / other legal entity; 5. Transfer, relinquish rights or bind as collateral of debts, wealth (assets) of the Company with a value of less than or up to 50% (fifty percent) of the wealth (assets) of the Company; 6. Conduct transactions or other actions that cause a change or a decrease (dilution) of the ownership / shareholding in the Company. 7. Change the Company's business activities. e) In representing the Company, the Directors must obtain the approval of the General Meeting of Shareholders to perform actions as follows: 1. Legal action to divert , divest the title or bind as collateral of debts the whole or with value of 100 % (one hundred percent) or most of it that is worth more than 50 % ( fifty percent) of all net assets of the Company in one financial year in a transaction or some transactions that stands alone or pertaining to one another. 2. Legal actions to perform material transactions as stipulated in the

Perbuatan hukum berupa transaksi yang memuat benturan kepentingan antara kepentingan ekonomis pribadi Direksi, anggota Dewan Komisaris, atau pemegang saham dengan kepentingan ekonomis Perseroan sebagaimana dimaksud dalam Peraturan Badan Pengawas Pasar Modal dan Lembaga Keuangan No. IX.E.1 tentang Transaksi Afiliasi dan Benturan Kepentingan Transaksi Tertentu. VI. ETIKA KERJA 1) NILAI-NILAI a) Setiap anggota Direksi wajib mematuhi kode etik yang berlaku, menjalankan tugasnya dengan itikad baik, penuh tanggung jawab dan kehati-hatian dengan selalu mengindahkan peraturan perundang – undangan yang berlaku, yang diantaranya terkait dengan pelaksanaan Good Corporate Governance dan Anggaran Dasar Perusahaan, serta wajib menegakkan standar integritas tertinggi dan menghindari kondisi benturan kepentingan. b) Setiap anggota Direksi wajib menjaga kerahasiaan pembahasan dan kebijakan ataupun keputusan Manajemen dan atas informasi yang diperolehnya dalam rapat, kecuali ditentukan lain oleh Presiden Direktur atau jika informasi tersebut telah

Tidak mengambil dan atau menerima keuntungan pribadi dari Perusahaan selain dari fasilitas yang ditetapkan sesuai dengan ketentuan yang berlaku. 3. Mengungkapkan seluruh fasilitas yang diterima dalam laporan tata kelola perusahaan yang baik (Good Corporate Governance). d) Setiap anggota Direksi dilarang baik langsung maupun tidak langsung membuat pernyataan tidak benar mengenai fakta yang material atau tidak mengungkapkan fakta yang material agar pernyataan yang dibuat tidak menyesatkan mengenai keadaan Perusahaan yang terjadi. 2) WAKTU KERJA Setiap Direksi wajib menyediakan waktu yang cukup untuk melaksanakan tugas dan tanggung jawabnya secara optimal sesuai dengan hari kerja yang ditetapkan Perusahaan VII. VII. KEBIJAKAN RAPAT 1) Direksi wajib mengadakan rapat Direksi secara berkala paling kurang 1 (satu) kali dalam setiap bulan, kecuali apabila dianggap perlu oleh salah seorang anggota Direksi atau atas permintaan tertulis 1 (satu) pemegang saham atau lebih yang bersama – sama mewakili 1/10 (satu persepuluh) bagian dari jumlah seluruh saham yang telah ditempatkan oleh Perseroan dengan hak suara yang sah. 2) Direksi wajib mengadakan rapat Direksi bersama dengan Dewan Komisaris secara berkala paling kurang 1 (satu) kali dalam 4 (empat) bulan. 3) Pemanggilan rapat Direksi dilakukan oleh anggota Direksi yang berhak mewakili

Direksi yang tertera pada Anggaran Dasar Perusahaan. Pemanggilan untuk Rapat Direksi wajib diberikan secara tertulis (surat tercatat), dikirimkan langsung dengan mendapat tanda terima atau dengan telegram, faksimile, yang ditegaskan dengan surat tercatat pemanggilan mana harus dikirimkan kepada para anggota Direksi selambat-lambatnya 14 (empat belas) hari kalender sebelum Rapat tersebut diadakan atau dalam waktu yang lebih singkat dalam keadaan yang mendesak yaitu selambat-lambatnya 3 (tiga) hari kalender sebelumnya, dengan tidak memperhitungkan tanggal pemanggilan dan tanggal rapat, yang ditetapkan oleh Direktur Utama. Pemanggilan tersebut harus mencantumkan acara Rapat, tanggal, waktu dan tempat Rapat. Rapat Direksi diadakan di tempat kedudukan Perseroan atau di tempat kedudukan Bursa Efek di tempat mana saham-saham Perseroan dicatatkan, asal saja dalam wilayah Republik Indonesia, Apabila semua anggota Direksi hadir atau diwakili, pemanggilan terlebih dahulu tersebut tidak disyaratkan dan Rapat Direksi dapat diadakan dimanapun juga dan berhak mengambil keputusan yang sah dan mengikat. Rapat Direksi dipimpin oleh Direktur Utama atau Wakil Direktur Utama. Dalam hal Direktur Utama atau Wakil Direktur Utama tidak ada atau berhalangan untuk menghadiri Rapat Direksi, hal mana tidak perlu dibuktikan kepada pihak ketiga, maka salah seorang anggota Direksi yang hadir dan dipilih dalam Rapat tersebut dapat mengetuai Rapat. Seorang anggota Direksi dapat diwakili dalam Rapat Direksi hanya oleh seorang anggota Direksi lain berdasarkan surat kuasa. Rapat Direksi adalah sah dan berhak mengambil keputusan yang — mengikat apabila dihadiri atau diwakili oleh seluruh anggota Direksi. Keputusan Rapat Direksi harus diambil berdasarkan musyawarah untuk mufakat. Dalam hal keputusan musyawarah untuk mufakat tidak tercapai, maka keputusan

Apabila suara yang tidak setuju dan suara yang setuju sama berimbang, maka Direktur Utama selaku pimpinan Rapat yang memutuskan. a) Setiap anggota Direksi yang hadir berhak mengeluarkan 1 (satu) suara dan tambahan 1 (satu) suara untuk setiap anggota Direksi lainnya yang diwakilinya. b) Setiap anggota Direksi yang secara pribadi dengan cara apapun baik secara langsung maupun secara tidak langsung mempunyai kepentingan dalam suatu transaksi, kontrak atau kontrak yang diusulkan, dalam mana Perseroan menjadi salah satu pihaknya harus menyatakan sifat kepentingan dalam suatu Rapat Direksi dan tidak berhak untuk ikut dalam pengambilan suara mengenai hal-hal tersebut, kecuali jika Rapat Direksi menentukan lain. c) Pemungutan suara mengenai orang dilakukan dengan surat suara tertutup tanpa tanda-tangan sedangkan pemungutan suara mengenai hal-hal lain dilakukan secara lisan kecuali ketua rapat menentukan lain tanpa keberatan dari yang hadir. Berita acara atau risalah Rapat Direksi harus ditandatangani oleh seluruh anggota Direksi yang hadir dan/atau diwakili dalam rapat, dan disampaikan kepada seluruh anggota Direksi. Berita acara atau risalah Rapat Direksi yang dilakukan bersama dengan Dewan Komisaris sebagaimana dimaksud angka 2 pasal ini, harus ditandatangani oleh seluruh anggota Direksi dan anggota Dewan Komisaris yang hadir dan/atau diwakili dalam rapat, serta disampaikan kepada seluruh anggota Direksi dan anggota Dewan Komisaris. Berita acara Rapat Direksi yang dibuat sesuai dengan ketentuan angka 13 dan 14 pasal ini merupakan bukti yang sah mengenai keputusan - keputusan yang diambil dalam Rapat Direksi yang bersangkutan, baik untuk para anggota

and an additional one (1) vote for each other member of the Directors represented. b) Each member of the Directors who personally in any way, either directly or indirectly has an interest in a transaction, contract or proposed contract, in which the Company is a party must state the nature of the interest in a meeting of the Directors and is not entitled to participate in decision voting on such matters, unless the Meeting of the Directors decides otherwise. c) A vote on the ballot enclosed done without signatures while voting on other things made orally unless the chairman of the meeting decides otherwise without objection from the attendants. Minutes of meeting of the Directors shall be signed by all members of the Directors present and / or represented at the meeting, and submitted to all members of the Directors. Minutes of meeting of the Directors held jointly with the Board of Commissioners as mentioned in item 2 of this article, must be signed by all members of the Directors and the Board of Commissioners who are present and / or represented at the meeting, and submitted all of the members of the Directors and the Board of Commissioners. Direksi, anggota Dewan Komisaris, maupun untuk pihak ketiga. 16) Direksi dapat juga mengambil keputusankeputusan yang sah dan mengikat tanpa mengadakan Rapat Direksi, dengan ketentuan bahwa semua anggota Direksi telah diberitahukan secara tertulis tentang usul- usul yang bersangkutan dan semua anggota Direksi memberikan persetujuan mengenai usul yang diajukan secara tertulis serta menandatangani persetujuan tersebut. Keputusan yang diambil dengan cara demikian mempunyai kekuatan yang sama dengan keputusan yang diambil dengan sah dalam rapat Direksi. VIII. PELAPORAN DAN PERTANGGUNGJAWABAN Setiap Direksi wajib mempertanggung jawabkan pelaksanaan tugasnya kepada pemegang saham melalui Rapat Umum Pemegang Saham (RUPS). IX. KETENTUAN PENUTUP 1) Untuk ketentuan lain yang mengatur secara rinci tentang Direksi yang tidak termaktub dalam Pedoman ini, akan merujuk pada Anggaran Dasar Perusahaan, Peraturan Otoritas Jasa Keuangan (POJK) serta ketentuan peraturan perundangan lainnya yang berlaku di bidang Pasar Modal. 2) Pedoman ini berlaku pada tanggal ditetapkan sampai dengan adanya perubahan susunan anggota Direksi berikutnya untuk disesuaikan. 3) Kecuali bila dianggap perlu, Pedoman ini dapat dirubah sewaktu-waktu dengan memperhatikan ketentuan yang ada serta mendapat persetujuan penetapan dari seluruh anggota anggota Direksi. 4) Dalam hal terdapat perbedaan penafsiran Bahasa dalam piagam ini, maka Bahasa yang digunakan adalah Bahasa Indonesia. VIII. REPORTING AND RESPONSIBILITY Each Board of Directors shall be responsible performance of its duties to shareholders by the General Meeting of Shareholders (GMS).

IX. CLOSING PROVISIONS 1) For other provisions that regulate the details of the Directors are not set forth in this Guidelines, shall refer to the Company's Articles of Association, Rules of the Financial Services Authority (POJK) as well as the provisions of other laws and regulations in force in the Capital Market. 2) These guidelines apply to the specified date until the next change in the composition of the Directors to be adjusted. 3) Except when deemed necessary, these guidelines can be amended at any time subject to the existing provisions and approved by all members of the Directors. 4) If there are differences in the language interpretation of this charter, the language used is Indonesian.
