Those who manage the assets of others have a responsibility which extends beyond realizing a good return. It is also important that this management is carried out in a morally responsible way and with integrity. Integrity, both in terms of the client and in terms of other interested parties. But what exactly is integrity? First and foremost integrity requires the asset manager to comply with all the legislatory and regulatory requirements. This, of course, goes without saying. It is merely a precondition and is, in itself, not sufficient. Although the legislation and regulations are becoming increasingly extensive, new rules are likely to create new grey areas at the same time as removing the old ones. This is why it is necessary for asset managers to operate using a clearly formulated set of their own corporate values, standards and principles to safeguard integrity. These principles are, in fact, what should bring the regulations to life, and force the asset manager to critically assess his actions whatever the circumstances, particularly in situations which the regulations do not cover. These principles are intended to ensure that the interests of clients are fully taken into account. At times when conflicts of interest occur, the interests of the client should always be put first or an independent party should act on behalf of the client. This can be realized in a number of ways. An excellent example is that of the concept of trustees as employed by our American subsidiary Harbor Capital Advisors. On pages 18 through 21 you can see how the interests of Harbor’s clients are safeguarded by a board of trustees. In the last few years two other developments have occurred which are closely related to integrity. First, the increasing interest in sustainability: there are more and more investors - not only institutional ones – who expect their money to be invested not only in a responsible way in terms of the investment techniques used but also in a socially responsible way. Socially responsible in the sense that humanitarian and environmental restrictions should be set for the investments. Do we want to receive dividends which stem

Deze principes dienen te garanderen dat het belang van de klant volwaardig tot zijn recht komt. Bij conflicterende belangen dient het belang van de klant altijd voorop te staan, dan wel te worden behartigd door een onafhankelijke partij. Dat kan op een aantal manieren. Een prachtig voorbeeld biedt onze Amerikaanse dochter Harbor Capital Advisors. Op pagina 18 tot en met 21 leest u hoe de belangen van de klant daar zijn gewaarborgd via een ‘board of trustees.’
Integriteit vraagt allereerst van de vermogensbeheerder dat hij zich aan alle wet- en regelgeving houdt. Dat is echter vanzelfsprekend en niet meer dan een randvoorwaarde. Het is in ieder geval niet voldoende. Hoewel de wet- en regelgeving steeds uitgebreider worden, zullen er immers altijd grijze gebieden blijven. Daarom is het noodzakelijk dat vermogensbeheerders opereren op basis van een duidelijk geformuleerd stelsel van eigen normen en waarden, van principes waarmee de integriteit gewaarborgd wordt. Het zijn juist de principes die de regels tot leven moeten brengen, en die de vermogensbeheerder dwingen om onder alle omstandigheden zelf kritisch te blijven, ook – of juist – in situaties waar de regels niet in voorzien.
De afgelopen jaren hebben we twee andere ontwikkelingen gezien die veel te maken hebben met integriteit. Allereerst de groeiende aandacht voor duurzaamheid. Steeds meer beleggers – en niet alleen maar institutionele – verwachten dat hun geld niet slechts op een beleggingstechnisch verantwoorde wijze wordt belegd, maar ook op een manier die maatschappelijk verantwoord is. Maatschappelijk verantwoord in de zin dat voor de beleggingen grenzen worden gesteld op het gebied van mens en milieu. Willen wij dividenden ontvangen die voortkomen uit kinderarbeid of uit het vervaardigen van verslavende middelen? Of dividenden van bedrijven die hun kosten laag houden ten koste van het milieu? Deze vraagstukken zijn complex, emotioneel van aard en divers. Elk geval is weer anders. Om die reden zal

from child labor or drug production or dividends from companies which keep their costs down at the expense of the environment? These issues are complicated, emotional in nature and wide-ranging. Every case is different. For this reason certainly not everyone will reject all controversial investments. However there are limits, and where these limits lie is the question that we must answer. Robeco is convinced that corporate social responsibility is not only a question of morality but that, in the long term, it will contribute to better investment results and to increased motivation amongst both clients and employees. This view was the reason why Robeco began developing investment products which focus on this issue, for example a sustainable private-equity product which we introduced in 2005 for our institutional clients. You can read more about Robeco Sustainable Private Equity on pages 72 through 75. Last year we were also one of the first companies to introduce an engagement overlay: on behalf of the institutional clients who opt for this service we participate in a dialogue with the companies in which we invest. The aim is to promote good corporate governance and a socially responsible corporate policy. You can read more about this on pages 8 through 11. These are, incidentally, just a few of the steps we have taken in the area of sustainability. A more complete picture can be found on our website. In addition to sustainability, the issues of corporate governance and voting at shareholders’ meetings are also becoming increasingly popular. In the Netherlands, Robeco fulfils a pioneering role in these areas and already votes for practically all of its funds, both institutional and private. We focus here on four aspects: transparency of management, shareholder control, management remuneration and the position of the company in society. An asset manager’s main task remains that of realizing a good return. However, the way in which this is done is becoming increasingly important. We live in a global economy, with global problems. We cannot just wait until governments solve ‘our’ problems. We must take action ourselves. We will make the most of every opportunity that we are given to do this in carrying out our work and we are convinced that in the end integrity will be rewarded. George Möller, ceo robeco group

Vorig jaar introduceerden wij ook als een van de eerste een ‘engagement overlay’: namens institutionele klanten die voor deze service kiezen, gaan wij de dialoog aan met ondernemingen waarin wordt belegd. Het doel hiervan is het bevorderen van een goede corporate governance en een maatschappelijk verantwoord ondernemingsbeleid. Hierover leest u meer op pagina 8 tot en met 11. Behalve duurzaamheid mogen ook corporate governance en stemmen op aandeelhoudersvergaderingen zich verheugen in een toenemende belangstelling. Robeco vervult in Nederland een voortrekkersrol en stemt inmiddels voor nagenoeg alle fondsen, institutioneel en particulier. Hierbij letten wij op vier aspecten: transparantie van het bestuur van de onderneming, zeggenschap van aandeelhouders, beloningen van de topbestuurders en de positie van de onderneming in de samenleving. Het realiseren van een goed rendement blijft de primaire taak van een vermogensbeheerder. De manier waarop dit gebeurt, wordt echter steeds belangrijker. We leven in een mondiale economie, met problemen van wereldformaat. We kunnen niet alleen maar wachten tot overheden ‘onze’ problemen oplossen. We moeten er ook zelf wat aan doen. Shareholder engagement
Betrokken aandeelhouderschap De publiek opinie verwacht steeds meer van bedrijven dat zij hun maatschappelijke verantwoordelijkheid nemen. Institutionele beleggers krijgen op dit vlak een steeds grotere rol toebedeeld.Vermogensbeheerders nemen, al dan niet in gezamenlijkheid, deze handschoen op. Robeco is de eerste Nederlandse vermogensbeheerder die op grote schaal gebruik maakte van haar stemrecht. De ontwikkelingen op het gebied van corporate governance en duurzaamheid zijn zeer snel gegaan. Zo is er nu ook een duidelijke trend waar te nemen naar meer dialoog tussen beleggers en bedrijven, het zogenaamde shareholder engagement. In 2005 zagen we een lager percentage aan aandeelhoudersbesluiten als agendapunt op vergaderingen van aandeelhouders, met name in Noord-Amerika. Voor ons is dit een aanwijzing dat de dialoog met bedrijven toeneemt en dat kwesties buiten de vergadering worden opgelost. Robeco neemt hieraan actief deel. Robeco is bijvoorbeeld als eerste niet-pensioenfonds lid geworden van Eumedion, de stichting die voor pensioenfondsen en institutionele beleggers de belangen met betrekking tot corporate governance behartigt. Tevens is Robeco medeoprichter van het

Deminor governance platform. Dit platform heeft als doel de dialoog aan te gaan met bedrijven over hun corporate governance. Maatschappelijk verantwoord beleggen kent een lange historie. Engagement is de derde generatie. − 1e generatie: absolute uitsluitingscriteria. Hierbij worden bepaalde beleggingen bij voorbaat uitgesloten. Het gaat hier om uitsluiting op basis van product zoals alcohol, wapens en gokken. − 2e generatie: relatieve uitsluitingscriteria. De tweede generatie werkt op basis van positieve criteria. Deze criteria richten zich op niet op het product, maar op het gedrag van ondernemingen. Ondernemingsgedrag wordt getoetst aan andere ondernemingen en/of maatschappelijke waarden. Alleen de ‘best in class’ bedrijven komen in aanmerking voor de beleggingsportefeuille. Aandeelhouders vragen niet actief om gedragsverandering, maar als een bedrijf bepaald gedrag verbetert, kan het vervolgens wel voor belegging in aanmerking komen. − 3e generatie. Door actief in dialoog te gaan, willen (institutionele) beleggers ondernemingen waarin zij beleggen actief bewegen tot maatschappelijk bewuster gedrag op verschillende gebieden. Er vinden op voorhand geen
Public opinion increasingly demands that companies meet their social responsibilities. Institutional investors, as owners of these companies, have been given an important role in this field. Asset managers, either individually or collectively, have taken up the challenge. Robeco was the first Dutch asset manager to exercise its voting rights on a large scale. But things are moving swiftly in the field of corporate governance and sustainability. There is a clear trend towards more dialog between investors and businesses, a process known as ‘shareholder engagement’. In 2005 we witnessed a lower percentage of shareholder resolutions on the agenda’s of shareholder meetings, especially in North America. To us an indication that dialogue with companies is increasing and issues are resolved outside shareholders meetings. Robeco has been actively involved. Indeed, Robeco has become the first non-pension fund member of Eumedion, the foundation which protects the interests of pension funds and institutional investors regarding corporate governance. Robeco was also a co-founder of the Deminor governance platform, whose objective is to initiate a dialogue with companies about their corporate governance. Socially responsible investing has a long history. Engagement is the third generation. 1st generation: absolute exclusion criteria. Certain investments were prohibited in advance, on a product
basis, including alcohol, arms and gambling. 2nd generation: relative exclusion criteria. The second
generation uses positive criteria. These are not focused on the product, but on corporate behavior. This is measured against other businesses and/or social values. Only the best-in-class companies are eligible for inclusion in the investment portfolio. Shareholders do not actively demand a change of conduct, but if a company improves its performance in a particular area, it can then become eligible. 3rd generation: engagement. By initiating a dialogue, private and institutional investors want to actively encourage more socially responsible behavior in various areas by the companies in which they invest. There are no exclusions to the investment universe in advance, as is the case in the first and second generations of socially responsible investing. In order to reflect market developments and enable its clients to express their sense of social responsibility, Robeco is the first Dutch provider to introduce an engagement overlay. The product started for the initial group of clients at the beginning of 2006. Robeco defines engagement as a strategy whereby institutional investors initiate an active dialogue with the companies in which they invest on issues relating to social responsibility and corporate governance. Robeco bases its analysis of the sustainability and corporate

uitsluitingen plaats in het beleggingsuniversum, zoals het geval is bij de eerste en tweede generatie van maatschappelijk verantwoord beleggen. E E N N I E U W P R O D U C T: R O B E C O E N G AG E M E N T S E RV I C E
Om in te spelen op de ontwikkeling in de markt en haar klanten in staat te stellen hun maatschappelijke verantwoordelijkheid vorm te geven, heeft Robeco als eerste Nederlandse aanbieder een engagement overlay gelanceerd. Met ingang van 2006 zal het product voor de eerste klanten van start gaan. Robeco definieert engagement als een strategie waarbij institutionele beleggers actief in dialoog gaan met de ondernemingen waarin ze beleggen over onderwerpen op het gebied van maatschappelijke verantwoordelijkheid en corporate governance. Robeco zal zich bij het analyseren van de duurzaamheid en corporate governance van de ondernemingen baseren op internationaal geaccepteerde codes. Het gaat hier om de ICGN-richtlijnen voor corporate governance op basis waarvan de lokale corporategovernancecodes dienen te worden gerespecteerd, de GRI-richtlijnen voor transparantie en de Global Compact voor duurzaamheid.

Het engagementproduct wordt aangeboden als een overlay. Dat wil zeggen dat de dienstverlening over de bestaande portefeuille wordt gelegd. Robeco selecteert de bedrijven waarmee een dialoog wordt aangegaan op basis van een aantal criteria: − er spelen belangrijke duurzaamheids- of corporate-governancezaken die impact hebben op de bedrijfsvoering; − het aandeel is een groot belang in de portefeuille; − Robeco heeft een substantieel belang in het bedrijf; − het management moet in staat zijn om invloed uit te oefenen om verbetering door te kunnen voeren. Wanneer één of meer van deze criteria van toepassing is, kan een dialoog worden aangegaan. V E R S C H I L L E N D E M A N I E R E N VA N E N G AG E M E N T
Robeco onderscheidt drie manieren van engagement. Ten eerste zal Robeco één keer per kwartaal een duurzaamheids- of corporate-governancethema onderzoeken. Het eerste doel hiervan is kennisopbouw over het thema. Deze kennis zal gedeeld worden met de beleggingsafdeling en de klanten van de engagement overlay. Op basis van de gegevens die voortkomen

governance of businesses on internationally accepted codes. These are the ICGN directives for corporate governance, on the basis of which local corporate governance codes should also be observed in countries were Robeco is active, the GRI directives for transparency and the Global Compact for sustainability. The engagement product is offered as an overlay. This means that the service will be applied to the existing portfolio. Robeco selects the companies with which a dialogue is to be initiated based on certain criteria: there are important sustainability or corporate governance issues that are affecting the performance of the business; the stock is a large position in the portfolio; Robeco has a substantial investment in the company; management must be in a position to act in response to influence to be able to realize improvements. If one or more of these criteria applies, a dialogue can be initiated.
Nuclear energy was particularly in the spotlight because of the rising oil price and the fact that it generates hardly any CO2 emissions. It should be clear, however, that there are other problems with the use of nuclear energy. Robeco has obtained better understanding of these problems, the public’s opinion of them and the economic assumptions on which investment decisions are based. The second level of engagement is known as basic engagement at Robeco. At regular visits to Robeco by company management teams, Robeco will raise sustainability and corporate governance issues. If there are issues that materially affect business operations, a third phase can be initiated, in which engagement becomes deeper. Robeco has already addressed a number of issues in 2005, such as Hunter Douglas (standing up for minority shareholders), VNU (corporate governance) and Total (environmental policy). Robeco distinguishes three levels of engagement. First, Robeco will investigate one sustainability or corporate-governance issue per quarter. The first objective is to gain knowledge about the issue. This knowledge will be shared with the investment department and the engagement-overlay clients. Based on the information obtained in the investigation, a dialogue can be initiated with one or more companies. In 2005, Robeco has for example investigated nuclear energy.
Engagement gives investors a new range of possibilities, in addition to buying or selling a stock. The guiding principle is that Robeco always carefully considers what resources to employ at what moment. This process considers costs, effectiveness, impact and reputation risk. The interests of the long-term shareholders, Robeco’s clients, are the main priority. A discussion with the management or e-mail correspondence has a different effect than an official exchange of letters.

Robeco heeft door dit onderzoek meer inzicht gekregen in deze bezwaren, de publieke opinie hierover en de economische veronderstellingen die ten grondslag liggen aan de investeringsbeslissingen.
UITBREIDING INSTRUMENTARIUM VAN DE BELEGGER
Een tweede manier van engagement wordt door Robeco basisengagement genoemd. Bij de reguliere bezoeken van management van ondernemingen aan Robeco zullen vragen over corporate governance en duurzaamheid gesteld worden. Indien er zaken zijn die een materiële invloed op de bedrijfsvoering hebben, kan een derde fase in gegaan worden. In deze fase zal de engagement verdiept worden. In 2005 heeft Robeco al een aantal zaken aan de hand gehad, zoals Hunter Douglas (opkomen voor minderheidsaandeelhouders),VNU (corporate governance) en Total (milieubeleid).
Er kan ook gezocht worden naar andere partijen in de markt die hetzelfde doel voor ogen hebben. Voordelen hiervan zijn het delen van de werklast en de kosten. Voorts kan een sterkere vuist gemaakt worden richting het bedrijf en een eenduidige visie naar voren gebracht worden. Mocht het bedrijf hiervoor niet open staan, dan kan de belegger nog een aantal andere wegen bewandelen. Het opstellen van een aandeelhoudersresolutie is hier één van. Tevens kan er gesproken worden op een aandeelhoudersvergadering.Vanwege het risico van een negatieve beïnvloeding van een constructieve dialoog, zal Robeco zich gedurende het engagementproces terughoudend opstellen richting de media.

The composition of the Supervisory Board was changed in 2005. At the General Meeting of Shareholders on 14 April 2005, Mr. J. Kremers relinquished his position as supervisory director, having reached the statutory retirement age. A successor has yet to be found. Mr. Kremers has been a member of the Supervisory Board since 1997. The board is extremely grateful for his important contribution to the exercise of its advisory and supervisory duties throughout this period. At the same meeting Mr. Ph. Lambert was appointed as supervisory director of the company with immediate effect, to fill the vacancy arising from the departure of Mr. C.E.M. Beckers. In the same meeting, Mr. J.C. ten Cate, vice chairman of the Supervisory Board, was reappointed as supervisory director and vice chairman of the Supervisory Board. According to schedule, Mr. D.J.M.G. Baron van Slingelandt will resign at the General Meeting of Shareholders to be held in April 2006. Mr. Van Slingelandt is available for reappointment. It is proposed that he be reappointed as supervisory director. It will also be proposed to the General Meeting of Shareholders to appoint Mr. P.J.A. van Schijndel, member of the Executive Board of Rabobank Nederland, as supervisory director. Following the reappointment of Mr. Van Slingelandt and the appointment of Mr. Van Schijndel, there will be two vacancies on the Supervisory Board. All supervisory directors, except Messrs. Ten Cate en Van Slingelandt, are independent within the meaning of the Dutch corporate-governance code. Delen van de vergaderingen zijn ook bijgewoond door het hoofd Compliance en het hoofd Risk Management. De commissie heeft uitvoerig gesproken over diverse onderwerpen. De organisatorische opzet van de afdeling Compliance en een aantal compliance-aangelegenheden is besproken, zoals de voortgang van het Global Compliance-project, het Compliance-charter, het Compliancemasterplan en de resultaten van de Compliance & Integrity-questionnaire. Aan de audit- & remuneratiecommissie is gerapporteerd over lopende compliance kwesties. Het Internal Audit-charter is vastgesteld, het Audit-plan 2005 besproken en geaccordeerd, terwijl aan de hand van kwartaalrapportages van Internal Audit uitvoerig van gedachten is gewisseld. From its members, the Supervisory Board has appointed a combined Audit & Remuneration Committee, consisting of three supervisory directors; these are Messrs. Van den Hoek (chairman), Ten Cate and Izeboud. The regulations established by the Supervisory Board on 12 December 2002 describe the composition, role and responsibilities of the Audit & Remuneration Committee. The Audit & Remuneration Committee met four times in 2005. Representatives of the external auditor, Ernst & Young, and the head of the Internal Audit department attended when subjects relating to audit were discussed in these meetings. Parts of the meetings were also attended by the head of Compliance and the head of Risk Management. The committee held extensive discussions about various subjects, such as the organizational structure of the Compliance department, and several compliance issues such as the progress of the Global Compliance project, the Compliance charter, the Compliance master plan, and the results of the Compliance & Integrity questionnaire. Current compliance issues were reported to the Audit & Remuneration Committee. The Audit & Remuneration Committee approved the Internal Audit charter, and discussed and approved the Audit plan for 2005, while it held extensive discussions on the basis of the Internal Audit department’s quarterly reports. With regard to risk management, the supervisory directors have discussed on-balance limits and exposures on the basis of a presentation by the head of Risk Management, as well as the limits and control structure. The Audit & Remuneration Committee received reports on various projects, such as the Deltaplan AO/IC project and Business Continuity Management. It also extensively discussed the changes in the remuneration structure (see the remuneration report). In the annual General Meeting of Shareholders of 14 April 2005 it was decided to grant the assignment to audit the 2005 financial statements to Ernst & Young Accountants. Gedurende 2005 is de raad van commissarissen vijf keer in vergadering bijeen geweest. Deze vergaderingen zijn bijgewoond door de directie. De leden van de directie zijn niet aanwezig geweest bij de bespreking van hun functioneren en bezoldiging. De heer Möller heeft, met uitzondering van de bespreking van zijn eigen functioneren en beloning, deze bespreking wel bijgewoond. Evenals in het vorige verslagjaar vergaderde de raad van commissarissen in oktober in New York. Naast de formele commissarissenvergadering zijn uitvoerige presentaties over uiteenlopende aangelegenheden gegeven door het management van Robeco Investment Management en van Harbor Capital Advisors, waarmee door de raad van commissarissen nader van gedachten is gewisseld. Voorafgaand aan de commissarissenvergadering van 7 september 2005 heeft de raad van commissarissen een bezoek gebracht aan Transtrend. Het management van Transtrend heeft een presentatie gegeven, waarna met hen van gedachten is gewisseld. The Supervisory Board met five times in 2005. These meetings were attended by the Management Board. The members of the Management Board were not present when their performance and remuneration were discussed. With the exception of the discussion on his own performance and remuneration, Mr. Möller did attend these discussions. As in the previous financial year, the Supervisory Board met in New York in October for a formal Supervisory Board meeting. The management of Robeco Investment Management (RIM) and Harbor Capital Advisors (HCA) gave extensive presentations on various subjects and the Supervisory Board exchanged ideas with the management of RIM and HCA. The Supervisory Board visited Transtrend’s offices before the meeting of 7 September 2005. Transtrend’s management gave a presentation, after which they exchanged ideas with the Supervisory Board. The Supervisory Board discussed its own performance and that of its individual members in addition to its profile, composition and competences. It also discussed the performance and remuneration of the members of the Management Board. On the basis of frequent and detailed reports, the Supervisory Board discussed the company’s results with the Management Board. The company’s strategic direction and the related organizational structure were the main subjects of these discussions. The Supervisory Board approved the strategic plan for 2005-2009. It also held extensive discussions on the developments at the international offices in Europe and the US. Within the framework of the Company’s general policy the Supervisory Board discussed subjects such as the risk related to the investment policy and the instruments used to control this risk, the investment results and the development of assets under management. In its meetings, the Supervisory Board paid particular attention to both domestic and international developments in the area of industry supervision, and the relationships with regulators. The issues discussed concerned Robeco Groep N.V. and all its operating subsidiaries, and also the investment institutions for which management services are provided.

Beloningsbeleid Robeco 2005-2006
De systematiek van het beloningsbeleid voor de leden van de directie sluit aan bij het algemene beloningsbeleid van Robeco Groep N.V. Het doel van het beloningsbeleid is om Robeco Groep N.V. een goede, concurrerende positie in de internationale asset-managementmarkt te bieden, waardoor de voor hun taak berekende medewerkers kunnen worden aangetrokken en behouden. Het beloningsbeleid wil daarbij rekening houden met het gericht belonen van de bijdrage aan de groepsresultaten. Daarnaast zijn de arbeidsvoorwaarden en beloningssystemen zo ingericht dat sprake is van meerjarige binding aan de organisatie. De individuele arbeidsvoorwaarden voor de directie worden vastgesteld door de audit- & remuneratiecommissie van de raad van commissarissen. De beloning is als volgt onder te verdelen: vaste beloning, variabele beloning, Equity notes en secundaire arbeidsvoorwaarden.

Robeco’s remuneration policy 2005-2006
The structure of the remuneration policy for members of the Management Board is in line with Robeco Groep N.V.’s general remuneration policy.The objective of the remuneration policy is to give Robeco Groep N.V. a good competitive position in the international assetmanagement market, enabling it to attract and retain employees who perform well. It aims to take specific remuneration for contributions to the group results into account. The employment package and remuneration systems are also structured to promote a longterm relationship with the organization. The Supervisory Board’s Audit & Remuneration Committee decides on the employment benefits for the individual members of the Management Board. The remuneration package consists of the following components: fixed remuneration, variable remuneration, Equity notes and fringe benefits. Fixed remuneration
The fixed remuneration component aims to provide a good and competitive remuneration basis relative to the international asset-management market, and take into account the relevant function’s level of responsibility, results and competences. The level of responsibility is established using the Hay function-valuation system. Variable remuneration
For the Management Board the variable remuneration component depends on the organization’s results and the payment of this variable remuneration depends on Robeco Groep N.V.’s gross result (worldwide). For Management Board members who are responsible for a business unit, this component is also linked to the relevant business unit’s results. The ratio between the actual gross result and the budgeted gross result determines the level of the eventual payment. Any bonus payments are made in three installments. 60% is paid in the first year (after the applicable financial year), 30% in the second year and 10% in the third year. If the recipient is no longer employed by Robeco Groep N.V. at the time of payment, the right to this remuneration component and any deferred payments lapses.
Vaste beloning
De vaste beloning is gericht op het bieden van een goede en concurrerende beloningsbasis binnen de internationale asset-managementmarkt, gekoppeld aan de zwaarte van de functie, resultaten en competenties. De zwaarte van de functie is gebaseerd op de Hay-functiewaarderingssystematiek. Variabele beloning
Voor de directie is de variabele beloning gekoppeld aan de resultaten van de organisatie. De uitkering van de variabele beloning is afhankelijk van het brutoresultaat van Robeco Groep N.V. (wereldwijd). De directieleden die verantwoordelijk zijn voor een business unit worden bovendien geïncentiveerd op basis van de resultaten van deze business unit. De verhouding tussen het werkelijke brutoresultaat en het gebudgetteerde brutoresultaat bepaalt het percentage van de uiteindelijke uitkering. De eventuele uitbetaling van de bonus geschiedt in drie tranches. In het eerste jaar (na het toepasselijke boekjaar) wordt 60% uitgekeerd, in het tweede jaar 30% en in het derde jaar 10%. Zodra betrokkene niet meer in dienst is van Robeco

Groep N.V. op het moment van uitkeren van de bonus, vervalt het recht op die bonus en eventuele uitgestelde uitkeringen. Equity notes (E-notes)
Door middel van virtuele aandelen in Robeco Groep N.V. wordt een beperkte groep medewerkers (minder dan 4% van het totale personeelsbestand), waaronder de directie, de mogelijkheid geboden om direct te participeren in de toekomstige waardeontwikkeling van Robeco. E-notes maken het mogelijk om medewerkers die de kerncompetenties van Robeco (d.i. investment en distributie) vertegenwoordigen aanvullend te belonen en op lange termijn te binden. De toekenning van E-notes vindt jaarlijks plaats en is een discretionaire beslissing. In het geval van de directie bepaalt de audit- & remuneratiecommissie de eventuele toekenning van E-notes en de omvang daarvan. Voor de overige medewerkers beslist de directie over de eventuele toekenning. De individuele toekenning van E-notes is gekoppeld aan de individuele resultaten van betrokkene. Daarnaast is er een koppeling met de bijdrage aan de realisatie van de strategische doelstel-

A limited group of employees (less than 4% of the total workforce), including the Management Board, are given the opportunity to participate directly in Robeco’s future value development through virtual shares in Robeco Groep N.V. E-notes are a way of additionally rewarding employees who represent Robeco’s core competences (i.e. investment and distribution) and increasing their long-term commitment to the group. E-notes are granted annually at the discretion of either the Audit & Remuneration Committee or the Management Board. In the case of the Management Board, the Audit & Remuneration Committee decides on whether or not to grant E-notes and on the quantity to be granted. In the case of all other employees, the Management Board decides on whether or not to grant E-notes. The individual allocation of E-notes is linked to the employee’s individual performance. There is also a link to the contribution to the realization of the strategic targets of the Robeco Group as a whole and the individual’s own business unit. The E-notes represent a value that directly corresponds to the value of Robeco Groep N.V., the valuation of which is based on ‘profit from continuing operations adjusted downward for the expenses related to the long-term incentive plans and adjusted for the results related to the foreign-currency hedge’. E-notes have a minimum life of 4 years and a maximum life of 6 years. During this life, dividend is generated. The intention is to expand the Enotes scheme with an Investment notes (I-notes) scheme in 2006. This scheme would enable employees who were granted E-notes to invest in the progress of Robeco Groep N.V. Holders of E-notes will be given the opportunity to subscribe for I-notes. Like E-notes, the I-notes are linked to the value/earnings development of Robeco Groep N.V. Fringe benefits
Robeco offers a competitive package of fringe benefits, which includes a lease car, expense allowance, insurance, supplementary mortgage benefit, and a pension plan made up of a final-salary plan and a defined-contribution scheme. Recommendation to adopt the annual financial statements

Secundaire arbeidsvoorwaarden

Corporate governance in Amerikaanse fondsdirecties Harbor Capital Advisors, een van Robeco’s grotere dochtermaatschappijen in de VS, levert advies- en beheerdiensten aan de Harbor Fund-fondsen, wat voor deze onderneming nagenoeg de grootste bron van inkomsten is. Harbor Capital Advisors en zijn dochtermaatschappijen doen aanbevelingen voor portefeuillemanagers aan de 14 Harbor-fondsen, brengen de fondsen op de markt en verlenen de administratieve diensten die nodig zijn voor het efficiënt beheren van beleggingsfondsen. One of Robeco’s larger US subsidiaries, Harbor Capital Advisors, receives almost all of its revenues from advising the Harbor Fund family of mutual funds and providing other services to the funds. On the surface, the businesses of Robeco and the Robeco funds and Harbor Capital Advisors and Harbor funds appear very similar. When it comes to the corporate governance of Harbor Fund, there is a significant difference. While Harbor Capital Advisors has a traditional corporate structure which reports up through Robeco, Harbor Fund has its own board of trustees (or directors). The Harbor Fund board is controlled by independent trustees who have no affiliation with Harbor Capital Advisors or Robeco. Under US law, the trustees of Harbor Fund have one primary obligation: to act as fiduciaries solely in the best interests of Harbor Fund and Harbor Fund shareholders. The independent trustees have no obligation to Harbor Capital Advisors or Robeco. The fiduciary concept with a fund board controlled by independent trustees is mandated by the Investment Company Act of 1940 (40 Act) under which mutual funds operate in the US In addition, the Securities and Exchange Commission (SEC), which regulates mutual funds, has
issued numerous rules under the 40 Act that establish additional responsibilities for trustees. One recent rule requires each mutual fund to have a chief compliance officer (CCO). The rule requires the CCO to report directly to the trustees, not to the fund president. Some observers might question how well the U.S. mutual fund governance structure works given the few, widely publicized scandals in 2003. Yet in almost every situation where there was a major regulatory lapse, the U.S. adviser either had not properly informed the independent trustees of inappropriate activities or the board was not being diligent in its responsibilities. There are over 600 mutual fund boards in the U.S. and in almost every case the governance structure has worked successfully. Where the board is dedicated, as it is at Harbor Fund, and the mutual fund’s adviser shares a similar fiduciary focus, as it does at Harbor Capital Advisors, the corporate governance process works superbly to protect the interests of mutual fund shareholders. Although the independent trustees have no responsibility for the operations of Harbor Capital Advisors, every step taken by the trustees to act in the best interests of Harbor Fund shareholders directly affects Harbor Capital Advisors and Robeco. Superior long term investment performance is the single most important consideration for a trustee in fulfilling his or her fiduciary responsibility. Trustees receive detailed performance information about each fund and

portfolio manager every quarter. Trustees also meet with the portfolio managers individually twice per year for in depth, in person reviews of performance. The trustees have the authority to replace existing managers with portfolio managers from other firms. Since Harbor Fund is 100% sub advised, the latitude of the trustees to approve a replacement manager promptly enables a fund to remove an underperforming manager if necessary. Harbor Fund trustees can aid performance and help meet their fiduciary obligations by limiting the size of a fund where appropriate. As long as a fund is large enough to be economically viable, the trustees would prefer that the fund be closed before it reaches a size where the manager may have difficulty meeting the objective of superior long term performance. Harbor’s largest fund, the Harbor International Fund, was closed for seven years between 1993 and 2000 until trustees were comfortable the international markets had become sufficiently liquid for the portfolio manager to handle additional assets. Two of Harbor’s 14 funds are closed today. Trustees also approve all of the fees that Harbor Fund shareholders pay Harbor Capital Advisors and its subsidiaries. Fees are approved annually on a fund by fund basis only after a careful evaluation of each fund’s performance, the portfolio manager’s performance, the performance of Harbor Capital Advisors in evaluating and monitoring the

managers and a careful review of competitive fee levels with an objective to keep fees as low as practicable. Management fees are never raised although they may be lowered occasionally. Because the trustees of Harbor Fund approve all fees paid to Harbor Capital Advisors and its subsidiaries, the trustees have a direct influence on the revenues of Harbor Capital Advisors and Robeco. The trustees also expect that Harbor Fund shareholders will receive a high level of service from Harbor Capital Advisors and its subsidiaries. The service levels are evaluated by the trustees in detail annually and periodically throughout the year. The Harbor Fund board consists currently of three independent trustees and one trustee employed by Harbor Capital Advisors who is not independent. A pending rule in the U.S. requires that at least 75% of a mutual fund board’s members be independent, a standard the Harbor Fund board has met since shortly after its inception in 1986. The Harbor Fund board is considering adding a couple of new independent trustees. While all trustees have the same fiduciary responsibilities, the 40 Act anticipated the possible conflicts if a trustee was not independent. On all material votes, the independent trustees must vote separately and approve a matter before the full board votes. If the independent trustees do not

Every Harbor Capital Advisors’ employee is a fiduciary with a focus to act in the best interests of Harbor Fund shareholders and other investors. With that fiduciary focus in alignment with the focus of the trustees, superior long term investment performance, low cost and good service become operating imperatives for Harbor Capital Advisors. Since Harbor Fund was founded in 1986, its trustees, officers and employees have consistently followed the principle that operating in the best interests of fund shareholders is the only way to conduct business.

In 2005 corporate governance remained a widely discussed subject. Although Robeco Groep N.V. is not a listed company and, as such, is not bound by the Dutch Corporate Governance Code (hereafter referred to as the Code), Robeco Groep N.V. does find it important to comply with the Code’s principles and best-practice provisions where possible. It should be noted here that the shares of Robeco Groep N.V. are all held by one shareholder, the Coöperatieve Centrale Raiffeisen-Boerenleenbank B.A. (‘Rabobank Nederland’). As a result several of the Code’s principles do not apply or are irrelevant. Below you will find a list of the issues included in the Code that are most relevant to Robeco Groep N.V. Furthermore, the principles and best-practice provisions of the Code that are not or cannot be applied by Robeco Groep N.V. and the current corporategovernance structure are described and explained. As indicated in the 2004 annual report, Robeco Groep N.V.’s corporate-governance structure will be adapted if necessary. The corporate-governance structure was not changed in 2005, but it should be noted that the recommendations of the Committee for Modernising Investment Schemes (known as the ‘Winter Committee’) have been only partially converted into regulations. We are also waiting for further recommendations regarding fund governance.

COMPLIANCE AND ENFORCEMENT OF THE CODE
The corporate governance of Robeco Groep N.V. is established in the Company’s Articles of Association and in the shareholder agreement between Robeco Groep N.V. and Rabobank Nederland, which was made in 1997 and amended in 2004. Within this framework, Robeco Groep N.V.’s Management and Supervisory Boards are responsible for the Company’s corporate-governance structure and compliance with the Code. They are accountable to Robeco Groep N.V.’s only shareholder, Rabobank Nederland. Although Robeco Groep N.V. is not listed on the stock-exchange, and as such, is not bound by the Code, the Company intends to comply as fully as possible with the Code. II

Robeco Groep N.V. is managed by a Management Board, currently consisting of five board members (one vacancy). The Management Board is supervised by the Supervisory Board. According to the appointment procedure, the General Meeting of Shareholders puts forward a proposal which should be approved by the Supervisory Board before the General Meeting of Shareholders actually appoints a member of the Management Board. The Supervisory Board has undertaken that proposals for appointments will not be rejected without good reason. On account of the abovementioned nature of the Company the maximum four-year membership term for board members as recommended by the Code is not complied with and members of the Management Board of Robeco Groep N.V. are appointed for an indefinite period. After prior consultation with the Supervisory Board, the General Meeting of Shareholders appoints one of the members of the Management Board as chairman. The General Meeting of Shareholders is also authorized to suspend or dismiss any member of the Management Board at any time. Dismissal arrangements for Management Board members are determined reasonably and fairly on a case-by-case basis. The Management Board is responsible for managing the Company meaning that, among other things, it is responsible for realizing the Company’s targets, strategy and policy and the resulting performance. The Management Board reports to the Supervisory Board and to the General Meeting of Shareholders on this. Furthermore, the Management Board is also responsible for compliance with all relevant legislation and regulations, operationalrisk management and for the Company’s financing. Finally, the Management Board is responsible for the provision of information, relating to the Company and the Robeco

De algemene vergadering van aandeelhouders wijst, na voorafgaand overleg met de raad van commissarissen, uit de leden van de directie een voorzitter aan en is, te allen tijde, bevoegd de leden van de directie te schorsen of te ontslaan. Vertrekregelingen voor leden van de directie worden per geval in redelijkheid vastgesteld. De directie is verantwoordelijk voor het besturen van de Vennootschap, wat onder meer inhoudt dat zij verantwoordelijk is voor de realisatie van de doelstellingen, de strategie en het beleid en de daaruit voortvloeiende resultatenontwikkeling van de Vennootschap. De directie legt hierover verantwoording af aan de raad van commissarissen en aan de algemene vergadering van aandeelhouders. Daarnaast is de directie verantwoordelijk voor de naleving van alle relevante wet- en regelgeving, het beheersen van de risico’s verbonden aan de ondernemingsactiviteiten en voor de financiering van de Vennootschap. Tot slot is de directie ervoor verantwoordelijk dat de raad van commissarissen van alle informatie betreffende de Vennootschap en de Robeco Groep wordt voorzien, om zijn taak naar behoren te kunnen uitoefenen.

As recommended by the Code, Robeco Groep N.V.’s regulatory environment and its riskmanagement structure are explained on pages 62 through 65 respectively of the Report of the Management Board. The remuneration policy for members of the Management Board is explained in the Report of the Supervisory Board. The way in which it was implemented in this reporting period is explained in the notes to the annual financial statements. The remuneration policy for the coming years (as included in the remuneration report) was changed at the end of the reporting period and will soon be published on the Company’s website. The remuneration per individual board member is found in the notes to the annual financial statements. The value of the options granted to the Management Board and staff is also given here together with an explanation of how this value is determined. As explained in the remuneration report, members of the Management Board and a number of employees are granted E-notes in lieu of the profit-sharing plan (terminated) and the management option scheme (which will no longer apply to the Management Board). Employees, except those participating in the E-notes scheme, are granted options on shares in several Robeco Group investment institutions. The granting of options is based on the employee’s income. The exercise price is based on the price of the underlying shares at the time when the options are granted. The Company does not grant loans or guarantees to members of the Management Board. Robeco Direct N.V., a 100% subsidiary of Robeco Groep N.V. and a credit institution, can grant loans to members of the Management Board under the same conditions that apply to other Robeco employees. In the opinion of the Management Board there was no conflict of interests or semblance thereof between the Company and the members of the Management Board in 2005. Robeco Groep N.V. does not have separate regulations covering securities transactions by members of the Management Board. The applicable ‘Rules and regulations regarding private investment transactions by employees and insiders of Robeco Nederland B.V.’, which are based on the regulations of the Dutch 1995 Act on the Supervision of the Securities Trade, is published on the Company’s website. These rules should guarantee that any insider trading or a semblance thereof, and any mixing of business and private interests is avoided.

profit-sharing plan (dat is ingetrokken) en het managementoptieprogramma (dat voor de directie afloopt). Aan het personeel, met uitzondering van hen die in aanmerking komen voor het E-notesprogramma, worden opties toegekend op aandelen van een aantal beleggingsinstellingen van de Robeco Groep. De toekenning van de opties geschiedt op basis van de hoogte van het inkomen van de medewerker. De uitoefenprijs is gebaseerd op de koers van de onderliggende aandelen op het moment van toekenning. De Vennootschap verstrekt de leden van de directie geen leningen of garanties. Robeco Direct N.V., een 100% dochtermaatschappij van Robeco Groep N.V. en tevens kredietinstelling, kan aan leden van de directie leningen verstrekken tegen dezelfde voorwaarden als die voor de overige werknemers van Robeco gelden. In 2005 was er naar het oordeel van de directie geen sprake van een vorm of schijn van belangenverstrengeling tussen de Vennootschap en de leden van de directie.

The Company took various measures to adapt its internal risk-management and control systems during the reporting period (see section 7 of the report of the Management Board). These efforts will continue in 2006. Against this background, the Management Board considers it premature to provide a statement as referred to in best-practice provision II.1.4. III
T H E S U P E RV I S O RY B OA R D
It is the duty of the Supervisory Board to supervise the Management Board’s activities and the general developments at the Company and its affiliated enterprises. The Supervisory Board also advises the Management Board. Robeco Groep N.V. has laid down the specific tasks of the Supervisory Board in the Articles of Association of the Company and in the abovementioned shareholder agreement. These tasks are thus not laid down in separate regulations. Information about the Supervisory Board’s activities in the past financial year and the information required by the Code can be found in the Report of the Supervisory Board on pages 13 through 17. The Robeco Groep N.V.’s Supervisory Board consists of nine persons: four supervisory directors A, four supervisory directors B and one chairman. There are currently three vacancies. The chair cannot be a supervisory director B nor an employee of Rabobank Nederland. Supervisory directors A cannot be or have been supervisory directors B, nor can they be employees of Rabobank Nederland. The General Meeting of Shareholders appoints the supervisory directors and is authorized to dismiss any supervisory director at any time. Supervisory directors will be appointed on the basis of a binding proposal consisting of at least two persons, formulated by the Supervisory Board. The Supervisory Board is structured in such a way that it can satisfactorily fulfill its task and that its members can operate critically and independently of each other, the Management Board and any other participating interests. It should be noted that two supervisory directors are employed by Rabobank Nederland. In line with the principle of the Code, each Robeco Groep N.V. supervisory director is able to assess the general overall policy and has the necessary expertise to fulfill his task. The Code recommends that the Board provides a profile of its composition and size. Robeco is still considering making such a profile and then publishing it on the Company’s website. The Supervisory Board meets the Code’s recommendation to have at least one financial expert as supervisory director; please refer to the short CVs of the supervisory directors on page 6. De raad van commissarissen heeft tot taak toezicht te houden op het beleid van de directie en op de algemene gang van zaken in de Vennootschap en de met haar verbonden ondernemingen, en staat daarnaast de directie

De specifieke taken van de raad van commissarissen zijn bij Robeco Groep N.V. niet vastgelegd in een reglement, maar in de statuten van de Vennootschap en de hiervoor genoemde aandeelhoudersovereenkomst. In het verslag van de raad van commissarissen, te vinden op pagina 13 tot en met 17, doet de raad van commissarissen verslag van zijn werkzaamheden over het afgelopen boekjaar en wordt de informatie die op grond van de Code in het verslag van de raad van commissarissen opgenomen dient te worden, verstrekt. Robeco Groep N.V. heeft een raad van commissarissen bestaande uit negen personen: vier commissarissen A, vier commissarissen B en een voorzitter. Er zijn momenteel drie vacatures. De voorzitter kan geen commissaris B zijn noch werkzaam zijn voor Rabobank Nederland. De raad van commissarissen is zodanig samengesteld dat hij zijn taak naar behoren kan vervullen en dat de leden ten opzichte van elkaar, de directie en ieder ander deelbelang onafhankelijk en kritisch kunnen opereren. Hierbij wordt aangetekend dat twee commissarissen werkzaam zijn bij Rabobank Nederland. Elke commissaris van Robeco Groep N.V. is, conform het principe van de Code, geschikt om de hoofdlijnen van het gehele beleid te kunnen beoordelen en beschikt over de specifieke deskundigheid die nodig is voor de vervulling van zijn taak. In de Code wordt de aanbeveling gedaan dat de raad voor zijn samenstelling en omvang een profielschets opstelt. Robeco beraadt zich nog over het maken van een dergelijke profielschets om deze vervolgens beschikbaar te stellen op de website van de Vennootschap. a proper insight into the Company and the activities of Robeco Groep N.V. every newly appointed member of the Supervisory Board follows a customized introduction program. All members of the Supervisory Board also meet the recommendation regarding the maximum number of supervisory directorships at Dutch listed companies (please refer to the information regarding supervisory directors on page 6) and all the supervisory directors (except for Messrs. Ten Cate and Van Slingelandt) are independent within the meaning of the Code. In accordance with the Articles of Association and the recommendation of the Code, the Supervisory Board has drawn up a retirement schedule. According to this schedule, supervisory directors should, in principle, resign on the day of the General Meeting of Shareholders four years after they were appointed. Reappointment can take place with immediate effect but only after careful consideration and not if the person involved has reached or will reach the age of 72 in that year. No maximum term is applied for supervisory directors, as recommended by the Code. The Company will publish the retirement schedule on its website. In close consultation with and after approval by the Supervisory Board, the General Meeting of Shareholders appoints a chairman and one of the supervisory directors B as vice chairman. As mentioned above, the chairman may not be a supervisory director B or an employee of Rabobank Nederland. The chairman chairs the meetings of the Supervisory Board and ensures that the Supervisory Board functions satisfactorily. Furthermore, the chairman of the Supervisory Board has regular contact with the CEO on all issues relating to the responsibilities of the Supervisory Board. The secretary of the Company assists the chairman of the Supervisory Board with the actual organization of the meetings of the Supervisory Board. In mid-2004 a presidium was formed consisting of the chairman and the vice chairman of the Supervisory Board. The vice chairman is a supervisory director B who, in contrast to a supervisory director A, may be an employee of Rabobank Nederland. This is indeed currently the case. The CEO, in particular, keeps the presidium informed and discusses issues with them. Prior to the meetings of the Supervisory Board and the Audit & Remuneration Committee the items on the agenda are discussed with the presidium. The Supervisory Board has appointed an Audit & Remuneration Committee from among its members. The Audit & and Remuneration Committee consists of three persons.

Contrary to the recommendations of the Code, the chairman of the Supervisory Board is also chairman of the Audit & Remuneration Committee. This is due to the chairman’s special position, as recorded in the Articles of Association of Robeco Groep N.V. The Audit & Remuneration Committee has taken on the tasks as described in the recommendations of the Code. The regulations of the Audit & Remuneration Committee will be published on the Company’s website in 2006. The Report of the Supervisory Board gives details about the composition of the Audit & Remuneration Committee, the number of meetings and the main items discussed in these meetings. Appointments by the shareholder are prepared by the Supervisory Board’s presidium and the CEO and subsequently presented to the complete Supervisory Board. There is therefore no need for a separate selection and appointment committee. In the opinion of the Supervisory Board there was no conflict of interests or semblance thereof between the Company and the members of the Supervisory Board in 2005. The General Meeting of Shareholders determines the remuneration for the supervisory directors. This remuneration is independent of the results of the Company. The notes to the annual financial statements contain the information required by Dutch law (articles 2:383c through 2:383e of the Dutch Civil Code) about the level and structure of the remuneration for each supervisory director. The supervisory directors of Robeco Groep N.V. do not receive shares and/or rights to shares in the Company as remuneration. The Company does not grant loans or guarantees to its supervisory directors. IV
SHAREHOLDERS AND THE GENERAL MEETING OF SHAREHOLDERS
Each year within six months of the close of the financial year the General Meeting of Shareholders of Robeco Groep N.V. is held in Rotterdam to discuss the reports of the Management and Supervisory Boards, to adopt the annual financial statements and to take decisions on the dividend proposal and other items on the agenda. The minutes of the General Meeting of Shareholders are available for the shareholders within three months of the meeting, in accordance with the Code’s recommendations. As Robeco Groep N.V. has only one shareholder, the recommendations of the Code relating to proxy voting are irrelevant. The other recommendations of the Code relating to dividend and discharge are followed. The recommendations of the Code with regard to supply of information to the General Meeting of Shareholders relating to price-sensitive information or analysts’ reports do not apply, as Robeco Groep N.V. is not a listed company.

In this report clients find both the value growth and their personal fund performance. The Personal Portfolio Report is accompanied by a personal newsletter containing articles written specially for the client. POSITIVE MARKET DEVELOPMENTS
After a difficult period of four years, 2005 marked a positive turning point in the European investment fund industry, especially in terms of the equity market. New cash flow and better market performance caused confidence to return to the market and enabled European fund market assets to grow. Despite the recessionary nature of the last few years, the compound annual growth rate for the European asset management market has been around 9%. In the Netherlands, on the other hand, the market for Dutch-domiciled funds experienced substantial outflow. This was partly caused by a shift to structured products and the relocation of Dutch funds to Luxembourg. In 2005, straightforward equity investments outperformed most other asset classes in Europe, including alternatives. There was especially strong demand for special Equity sectors, such as Emerging Markets and Japanese Equities. The majority of institutional investors seek index-tracking strategies with very low fees and specialty products with a favorable risk/return profile. The tendency towards open or guided architecture continued in 2005. It is evident that only a limited number of top ‘brands’ are actually successful in third-party distribution, and that they are only successful with one or two of their star products, not with their total product range. The brands that are successful are mostly Anglo-Saxon asset managers. Robeco, as a more continental European brand, is determined to be part of that successful group. As far as performance is concerned, we see important improvements across the board. In 2005 98%1 of Robeco’s equity assets outperformed their benchmark as our US overseas operations in Boston and Harbor Capital Advisors in Toledo continued to perform strongly and the performance of our domestic business unit in Rotterdam recovered considerably. After the very strong years of 2003 and 2004, which made Robeco one of the top bond houses in Europe, 2005 became another year in which more than 95% off the fixed-income assets outperformed over the three-year period.

Dit werd deels veroorzaakt door een verschuiving naar gestructureerde producten en deels door de verhuizing van Nederlandse fondsen naar Luxemburg. In 2005 boekten zuivere aandelenbeleggingen in Europa een beter resultaat dan de meeste andere beleggingscategorieën, waaronder alternatives. Met

name de vraag naar specifieke aandelensectoren als opkomende markten en Japan was erg groot. Het merendeel van de institutionele beleggers koos voor indexvolgende strategieën met erg lage kosten en specialty products met een gunstig risico-rendementsprofiel. De tendens richting open of geleide architecturen hield in 2005 aan. Het is duidelijk dat slechts bij een beperkt aantal ‘topmerken’ de distributie via derden een succes is en dan nog alleen voor een of twee topproducten en niet voor het totale productassortiment. De merken die succes boeken zijn hoofdzakelijk Amerikaanse en Engelse vermogensbeheerders. Als meer continentaal Europees merk is Robeco vastbesloten om deel uit te gaan maken van deze succesvolle groep.

At the end of 2005 Robeco’s assets under management totaled eur 131.6 billion, an increase of 18.5% from the 2004 level. As in 2004, this increase is the result of a positive investment result stemming from the very strong performance of the capital markets in 2005 and from net inflow via clients. The Robeco group cash flow target, however, was not realized, partially because of the disappointing cash flow in part of our US operations. Despite this we have made significant progress and in some areas records have been broken. Examples of these are the cross-border sales success of Lux-o-rente and the successful business performance and strong cash flow of Harbor Capital Advisors, our Toledo-based mutual fund operations. In terms of cash flows from retail clients, Robeco realized eur 5.0 billion in net sales. Robeco also had notable successes with its structured products in Europe, both at retail and institutional levels which had a positive effect on operating profit which improved by 48% to eur 233.6 million.

Robeco has translated its mission into a number of core values and our ambition for the coming years. The core values are: client focus, result orientation, quality orientation, integrity and cooperation. We have also stated that cooperation and result orientation are crucial for the successful execution of our strategy. We operate in an industry that is based on trust and which is being increasingly stringently supervised. Everything related to administrative processes, regulation and business continuity must be double-checked and be completely watertight. We must and will act in the interests of the customer. We have also formulated our ambition, outlining that in 2009 we want Robeco: ‘To be a leading international asset manager with a strong pan-European base and prominent operations in the US, which serves its clients by delivering best-in-class asset management capabilities in the major financial centers and selected emerging markets worldwide.’ We have committed ourselves to realizing this ambition through organic growth, which may include specific acquisitions funded from our own cash flow. In 2004, we also drew up our plans for the coming five years. In recent months, we have taken a critical look at the strategy in the light of current trends and developments in the world, in the market and in our industry and concluded that the strategic actions we listed at the end of 2004 are still as relevant as ever. Robeco has considerably strengthened its European institutional sales force. Several changes have been made to the organization in order to facilitate the execution of the strategy. The most important are mentioned below. Implementation of Rabo-Robeco strategic relationship. Rabobank is one of our main distribution networks and is consequently a relationship which needs to receive top priority. It is crucial that Rabobank receives the right service and that the relationship is maintained at a level which is conducive to business growth. For this reason, we have developed a totally integrated strategic client approach for Rabobank. In 2005, Robeco reviewed the option to outsource its back-office for fund administration. However, in June it was decided that Robeco Fund Administration Services should remain part of Robeco as it appeared that outsourcing would not on balance be advantageous to our business. Robeco Japan branch registered in Tokyo. In Japan Robeco and Rabobank share offices situated in the center of Tokyo’s financial district of Otemachi. The Robeco office in Bahrain relocated to new premises in November 2005. Robeco Investment Management moved to a new office in mid-town Manhattan, New York which coincided with Robeco Sage moving from White Planes to New York and becoming integrated into the Robeco organization there. These moves reflect our efforts to further improve the integration, synergy and cooperation of our international offices.

Jaap van Duijn retired on 1 October 2005. His career at Robeco started in 1983 when he became a member of the Board of Directors of the Robeco Group. He was a member of the highest management body until 2003, the year in which he resigned as member of the Management Board. On 1 December 2005, Lex Hoogduin took over as Robeco’s new Chief Economist. Lex also continues to be active as Professor of Monetary Economics and Financial Institutions at the Universiteit van Amsterdam, the Netherlands. Management board member, Stefan Bichsel left Robeco at the end of 2005, to pursue a great opportunity with a Swiss private bank in Geneva. Robeco is in the process of looking for a successor. Hans van der Koogh, who has worked for 29 years at Robeco and held a number of different positions, most recently as member of the Management Board, left the company in February 2005. We are grateful for the contribution of our former colleagues to the succes of Robeco, which they made in their various capacities, and wish them all the best. Professor Th. M. Scholten passed away on 22 July 2005 after a short illness. He was 78. From 1978 to 1987, Theo Scholten was Robeco’s CEO, and he stayed on with the organization as a supervisory director until 1997. The Management Board remembers Mr. Scholten and his significance for Robeco with gratitude.

Op 1 oktober 2005 trad Jaap van Duijn terug. Zijn carrière begon in 1983 toen hij lid werd van de directie van de Robeco Groep. Hij was lid van het hoogste bestuursorgaan tot 2003, het jaar waarin hij aftrad als lid van de directie. Op 1 december 2005 nam Lex Hoogduin zijn taken over als nieuwe Chief Economist van Robeco. Lex blijft bovendien actief als hoogleraar monetaire economie en financiële instellingen aan de Universiteit van Amsterdam. Stefan Bichsel, lid van de directie, verliet Robeco eind 2005 om zijn carrière voort te zetten bij een Zwitserse particuliere bank in Genève, waar hem een grote kans werd geboden. Robeco is op dit moment op zoek naar een opvolger. Hans van der Koogh heeft Robeco in februari 2005 verlaten na 29 jaar in dienst te zijn geweest in verscheidene posities, laatstelijk als lid van de directie.

STRONG EQUITY PERFORMANCE
In 2005 98% of Robeco’s assets in equity outperformed their benchmark as the result of the continued strong performance of our overseas business units and a solid recovery of the performance of our European business unit. Over a three-year period 54% of the assets managed in Europe show outperformance. At corporate level this percentage is 75%. Over 2005 the excess return above the benchmark is 4.9% on average for all Robeco equity assets. The fund Robeco (eur 7.2 billion) outperformed its benchmark by 2.3%, Rolinco (eur 1.6 billion) beat its benchmark by no less than 7.8% and Robeco Emerging Markets Equities (eur 1.3 billion) exceeded its benchmark by 5.5%. The usd 8.3 billion Capital Appreciation fund and the usd 11.8 billion International fund (both managed by Harbor Capital Advisors) realized considerable positive excess returns versus their benchmarks of 9.1% and 7.4% respectively in 2005. Robeco North American Equities (eur 0.8 billion), which has been managed out of New York by Robeco Investment Management since August 2004, has enjoyed an outperformance of 3.7% since that time. After the very strong years of 2003 and 2004, which led Robeco to become one of the top bond houses in Europe, 2005 was another year where excess value was added relative to the benchmarks. The extent of the average excess return was 0.6%. The three-year track record is therefore excellent and this is reflected by the average Morningstar rating2 of 3.7 (on a scale of 1 to 5) for our bond funds. No less than 95% of the fixed- income assets have outperformed over the three-year period. Over 2005 flagships Rorento (eur 3.1 billion) and Lux-o-rente (eur 4.1 billion) outperformed their benchmarks by 1.4% and 0.9% respectively. The Harbor Bond fund (usd 2.0 billion) outperformed by 0.7%.

The managed futures program of Transtrend showed respectable returns in 2005. The enhanced risk diversified trend program (eur 1.0 billion) had a return of 6.0% in 2005, an average of 9.1% per annum over last three years. Our Hattrick bond product, successfully launched in March 2005, has had a difficult start. In terms of the NAV Robeco Hattrick Bond achieved a lower-than-expected -0.15% return over its first nine months. However, we do not have any reason to doubt our long-term expectations for Robeco Hattrick Bond. Robeco Sage, which manages funds of hedge funds, also continued to perform well, despite the difficult year the funds of hedge funds industry faced in 2005. The Robeco-Sage International fund had an absolute return of 8.4% in 2005, resulting in an excess return of 0.9% above its peer group average.

Robeco’s assets under management showed an increase of 18.5% in 2005. This increase is the result of a significant market appreciation and inflow from clients. The investment result amounted to eur 18.8 billion, of which eur 7.2 billion is related to the appreciation of the US dollar. Despite the disappointing over all cash-flow result, Robeco has made significant progress and our position in Europe, both retail and institutional, has improved. In some areas records have also been broken. Clear examples are the cross-border sales success of Lux-o-rente, the cash-flow success of structured products in Japan, and the successful business performance and very strong cash flow of Harbor Capital Advisors. The cash outflow in 2005 was mainly experienced in the first half of the year. As the year progressed mutual funds especially showed a strong improvement. Our Equity funds in particular showed a positive cash-flow trend in the last quarter of 2005. Overall, by yearend 2005 the outlook for positive cash flow for our equity funds and institutional products strongly improved and we expect that this trend will continue in 2006. The fixed-income funds maintained their excellent track record and experienced a substantial inflow through third-party distributors. Robeco Lux-o-rente exceeded the eur 4 billion level for the first time ever with 2005 inflow of eur 1.1 billion which was primarily generated via fund distribution channels in Spain, Switzerland and Belgium. Although other product categories such as equities have shown significant improvements in investment performance, we have not been able to translate this into significant cash inflow. In the US eur 4.3 billion net outflow was recorded. Despite a continued strong investment performance, we saw significant net cash outflow at the beginning of 2005. A large part of this outflow can be attributed to the departure of an investment team and the closure of the private-client business. These outflows occurred in low-fee generating institutional mandates. We have been able to generate considerable gross cash inflow, but this was more than offset by withdrawals. The reasons for these withdrawals vary from hurricane Katrina to the reallocation of assets under management to managers with capabilities Robeco Investment Management does not offer. On a net basis, cash flow did generate additional revenues.

In 2005, Robeco improved its operating profit by 48% to eur 233.6 million. The increase was caused by several factors. First of all, positive developments on the stock markets in 2005 and the improving average USD rate had a positive impact on the operating income. As a consequence of these factors the assets under management increased by 18.5% in 2005. Robeco was also successful in introducing more profitable structured products in 2005, contributing to a further growth in the alternative investment business. During 2005 Robeco maintained a tight control on costs and as result of the transfer of several departments to Rabobank, the absolute expense level showed a decrease compared to 2004. The effective corporate tax rate amounted to 32% in 2005 and 24% in 2004. This was primarily caused by a number of one-off tax benefits in 2004. IFRS
As stated in the basis of preparation, Robeco’s consolidated financial statements are prepared in accordance with IFRS. These accounting policies have been applied in preparing the financial statements for the year ended 31 December 2005, the comparative information presented for the year ended 31 December 2004 and in the preparation for the opening balance sheet at 1 January 2004 (Robeco’s date of transition). In preparing its opening IFRS balance sheet at 1 January 2004, Robeco adjusted its shareholders’ equity upwards by eur 152.4 million to eur 496.3 million. At 31 December 2004 the shareholders’ equity increased by eur 182.4 million to eur 547.1 million. The upward adjustment of equity primarily comes from a revaluation of the deferred tax assets and part of the securities portfolio, related to Robeco’s banking operations. Both revaluations are directly linked to the application of the IFRS standards.

Under Dutch GAAP Robeco presented a net profit of eur 145.5 million for the year 2004. Under IFRS the net profit amounted to eur 127.9 million for the year 2004. The difference is mainly due to higher taxes, related to the IFRS treatment of the deferred tax assets. BALANCE SHEET
Shareholders’ equity amounted to eur 738.8 million at year-end 2005, which represents an increase of eur 191.7 million. This increase was to a large extent realized through the net result and the reversal of a valuation allowance on deferred tax assets. The latter relates to the implementation of a new tax structure for Robeco’s US subsidiaries. Part of the increase in equity was also caused by a positive revaluation of the portion of Robeco’s investment portfolio, which is classified as ‘available for sale’. Robeco is exposed to currency risks, in particular the US dollar. These exposures relate to assets, liabilities, revenues and expenses. In terms of hedging the aforementioned exposure, Robeco focuses on the hedging of currency exposure on balance sheet items and the intrayear currency risk. Robeco uses derivatives to hedge currency and interest-rate risks. In line with IFRS standards, derivatives are recognized at fair value. Changes in fair value are recognized in the income statement either contemporaneously or, in case hedge accounting is applied, at the moment that the hedged item impacts the income statement. In the case of derivatives used for hedging, only the net investment hedge for assets and liabilities, denominated in US dollar, qualifies for hedge accounting for IFRS purposes. In 2005 this hedge proved to be effective. For all other hedges, no hedge accounting is applied. For the year 2006, Robeco will also apply hedge accounting for the net investment hedges for the USD-denominated assets and liabilities and has entered into foreign exchange forward agreements for its main currency exposure in order to mitigate the expected income statement exposure to these currencies. For the latter, no hedge accounting will be applied.

Robeco is firmly committed to developing quality products and services and to carefully complying with laws and regulations. Ultimately, this responsibility lies with the Management Board and the management of the business units. Compliance, Internal Audit and Risk Management support the management by developing and implementing policies, methodologies and infrastructures to monitor, measure and report on a wide range of risk types. These internal control functions reduce or minimize the risk of loss of reputation, loss of clients, fines or other sanctions from regulators, and other financial losses for both Robeco and its clients. With regard to financial reporting risks, we declare that the riskmanagement and control systems provide reasonable assurance that the financial reporting is free of material misstatements and that these systems have functioned satisfactorily in the reporting period. DEVELOPMENTS 2005
During 2005, both external and internal developments made it necessary to further strengthen the internal control functions. The development and implementation of new regulations (Capital Requirement Directive, Market Abuse Act, Further Regulations, the Dutch Corporate Governance Code and Sarbanes Oxley) led to an increased pressure on monitoring and oversight capacity. The ever increasing complexity of financial instruments continued to require high-quality models, controls and oversight. During the year, Compliance, Internal Audit and Risk Management also further rolled out their global mandates by appointing local officers or contact persons and developing a global approach. Policies and methodologies were aligned throughout the organization but continue to respect differences in local laws and regulations. During 2005 several projects were initiated in order to strengthen the controls in the organization. These projects include a specific project for documenting administrative procedures and related measures of internal control.

There is strong collaboration in the development and implementation of different dimensions of the operational risk management framework, most notably operational incident reporting and analysis and risk & control assessments. Compliance and Risk Management also work together in supporting the Management Board in controlling reputation risk when introducing new products. Robeco introduced a Product Quality Committee which evaluates all product proposals across business units to ensure the quality and consistency of the assessment of new products group-wide. Robeco is represented in many countries throughout the world and operates in heavily regulated environments. Although Robeco products and services may differ per country, high standards of integrity and conduct are always imperative regardless of the business unit or country involved. These high-level principles are outlined in further detail in several corporate compliance policies, which have been approved by the Robeco Management Board. International and national rules and legislation have formed the basis for these policies.

In order to enhance awareness of compliance at all levels in the Robeco organization, an extended training program has been developed and executed. During the workshops, which were attended by all personnel, practical cases on how to handle integrity dilemmas and compliance issues were discussed. Apart from these general compliance workshops several dedicated workshops and seminars have been organized for certain groups of employees, such as those on the recently introduced regulations on Market Abuse. Finally a new internal Compliance website has been developed and implemented to make all the necessary information about compliance available to all employees. On this dedicated website all corporate compliance policies, compliance news and trends and other subjects are easily accessible to all employees. INTERNAL AUDIT
Robeco has strengthened its Internal Audit department worldwide by increasing the number of employees from five to twelve and by starting to work as a global team. A renewed Internal Audit charter was drafted and approved by both the Management Board and the Audit & Remuneration Committee and a global audit approach was developed and documented in detail in the Internal Audit Manual. To present its global approach clearly, audit files and audit reports were standardized worldwide using the audit management tool TeamMate. Internal Audit started to work with Measures of Improvement instead of recommendations. These have the advantage of being clear actions with defined deadlines and ownerships that are to be agreed upon with management at the end of every audit or review. They add value in further mitigating risk exposure and are mostly operational and compliance related. In the course of 2005 Internal Audit implemented a quarterly follow-up on the Measures of Improvement, providing important management information. During 2005, Internal Audit developed a strong working relationship with both Ernst & Young and Audit Rabobank Group.

Through a stronger collaboration with Rabobank, Robeco has further improved the quality of risk oversight for its trading and investment books. More specifically, Robeco has decided to implement internal models to comply with the most advanced approaches for credit risk and operational risk in the new Basel Accord and Capital Requirement Directive. Based on detailed models for different risk types, Risk Management is in the process of developing bottom-up models for economic capital and performance measurement (RAROC) to support the Robeco Management Board in its strategic capital allocation. During 2005, significant progress was made in the roll out and further formalization of the operational risk management framework. More specifically, a new operational incident registration policy was designed and adopted. For most entities local operational risk contact persons have been appointed and these contact persons are in close contact with the Global Risk Management operational team. Operational risk is now a standard agenda item for the risk management committees of most business units. Robeco puts significant effort into the further improvement of the quality of business process descriptions across business units and corporate departments. This consistent approach towards the description of processes and controls, and its integration with the incident reporting process provides a strong foundation for next steps in the operational risk process. In 2006, operational risk and Business Continuity Management activities will be further integrated to ensure consistency.

For years Robeco has expected all its employees to take individual responsibility, both as professionals and as private citizens. As a consequence of this basic principle, positions were also established at operating level with responsibility in this area. However, the world does not stand still. The impact that companies have on society with their core products and processes is highly significant. In order to sufficiently anticipate the extent of this impact, Robeco’s CEO is responsible for the overall policy with regard to corporate social responsibility (CSR). Robeco has also formulated two key objectives for 2006: to strengthen its reputation in the field of socially responsible investing (SRI) and to increase the SRI assets under management, such as SRI niche and overlay products, and increase the transparency of products and processes. At operational level several other objectives with regard to environmental and social policy and social involvement were also formulated. In 2005 Robeco made progress in terms of CSR for its existing products and services in a variety of areas. It developed a new product, ‘engagement’, in 2005. Engagement means having an active dialog on corporate governance and sustainability with the management of the companies in which Robeco invests. This product will be rolled out to the first clients in 2006 and you can find more information about it elsewhere in this report.

Robeco also aims to exercise its voting right on stocks in the portfolios of its investment funds throughout the world. Robeco does this because it is convinced that good corporate governance in the longer term is beneficial to shareholder value and thus also beneficial to its clients. Assets under voting increased from eur 10 billion in 2004 to eur 18 billion at the end of 2005. Robeco now votes for more than 95% of its Rotterdam-based retail and institutional equity funds. A summary and a full account of Robeco’s voting behavior per fund are published quarterly on Robeco’s website. IRIS (Institute for Research and Investment Services) studied several social themes in 2005 in terms of their relevance for private investors. These themes included obesity, sustainable tourism and micro-finance. It also started a pilot project focusing on extra-financial research. Extra-financial issues are issues that are not primarily financial in nature but do have a significant financial impact. Examples are corporate governance, human capital, brand value, sustainability, innovation. If the pilot is successful, it will be continued in 2006.

In addition to Robeco Duurzaam Aandelen and Robeco Groen CDO, 2005 saw the first closing of Robeco Sustainable Private Equity, a fund for institutional investors. With this fund, Robeco has developed a landmark product that applies the People, Planet, Profit concept to the specific discipline of private equity. Robeco also feels its fees and terms of delivery should be transparent. In 2005 a Product Quality Committee was established to ensure that new products meet several quality requirements, such as clearly defined conditions, a clear objective, a transparent and reasonable fee structure, and relevant product information. Integrity is vital for a financial institution. Robeco has therefore established codes of conduct, covenants and control mechanisms, such as Robeco’s Code of Ethics and rules and regulations regarding private investment transactions. Robeco also devoted much attention to integrity, security and reliability in 2005, for instance via the compliance workshop for all employees (see also ‘Compliance, Risk Management & Audit’).

Robeco voelt zich verantwoordelijk voor haar rol in de maatschappij. Het is de ambitie om toonaangevend te zijn op het gebied van beleggingskennis en vermogensbeheer. Het maatschappelijke beleid is gericht op deze elementen. Een voorbeeld hiervan is het programma voor kennisdeling, Robeco Center of Knowledge (ROCK). In 2005 zijn er stages verzorgd voor onder andere Spaanse fund-of-fundsmanagers en pensioenfondsen uit Chili en Peru. Daarnaast zijn er onder meer trainingen verzorgd voor de State Bank of Pakistan en de Kuwait Investment Authority. Tevens heeft Robeco een serie presentaties georganiseerd voor Nederlandse pensioenfondsen waarin de visie en hulp van Robeco werd aangeboden in de discussie rond de nieuwe regelgeving voor pensioenfondsen in Nederland.

Within the confines of a reasonable investment, Robeco continually strives to reduce its environmental footprint. Energy use was reduced by 10% in 2005, and paper use by 11%. Gas consumption remained more or less stable in 2005. SOCIAL POLICY
Robeco feels responsible for its role in society. Its ambition is to play a leading role in the area of investment knowledge and asset management. Its social policy focuses on these elements. An example is the knowledge-dissemination program, Robeco Center of Knowledge (ROCK). Within the framework of this program, Robeco organized workshops for Spanish fund-of-funds managers and pension funds from Chile and Peru in 2005 and arranged training courses for the State Bank of Pakistan and the Kuwait Investment Authority. Robeco also organized a series of presentations for Dutch pension funds in which it offered its support in, and presented its views on, the debate surrounding the new pension-fund regulations in the Netherlands.

ROBECO IN 2006
The Management Board’s outlook for 2006 is a positive one, not only from an external market perspective, but also from an internal Robeco point of view. We expect the markets to continue on their upward trend this year, albeit less steeply. Guided architecture will continue to take shape in Europe, which will give Robeco many new distribution opportunities outside the Netherlands. The appetite for ‘Traditional’ funds will further recover, and specifically emerging markets – such as the ‘BRIC’ countries (Brazil, Russia, India and China) - will continue to become increasingly popular with private investors. Finally, structured or guaranteed products will also remain popular in Europe in 2006, especially in the Netherlands, Belgium and Spain. The healthy performance of Robeco’s funds and the reinforcements in sales staff and account management make us positive that there will be a recovery in group cash flow in 2006. In our home markets we will fire on all cylinders using: Rabobank, third-party distribution, institutional sales and direct distribution. Internationally the priority will be on third-party distribution and institutional sales. To summarize, some important initiatives for the next 12 months are: Europe and US: execution of business plans Continuing investment performance, packaging and sales External search for specific investment engines Expansion abroad together with Rabo International

We verwachten dat de markt de opwaartse trend dit jaar zal voortzetten, zij het minder steil dan voorheen. Geleide architectuur zal steeds meer vorm krijgen in Europa, hetgeen veel nieuwe distributiekansen buiten Nederland oplevert voor Robeco. The world is entering a particularly innovative period, caused by the inevitable transformation of current production and consumption patterns into more sustainable alternatives. Environmental legislation and changing consumer preferences are accelerating this transformation process. The ongoing incorporation of social and environmental costs into the economic equation, through legally enforceable environmental compliance systems and product standards, is increasingly affecting companies’ financial performance. Hence a move towards more sustainable production and consumption alternatives is becoming an economic necessity and a matter of corporate survival. The private-equity industry is well positioned to capitalize on these fundamental and attractive developments by investing in innovative companies that have successfully incorporated the new rules and market opportunities into their business strategies. Over the past decades, private equity has become increasingly established as a valuable addition to the investment portfolios of many institutional investors. Private equity is the collective name for investing in equity or equity-linked investments in non-listed enterprises. Private equity is often used to develop new products and technologies, to expand working capital, to make acquisitions, or to strengthen a company’s balance sheet. The private-equity approach can be described as one of active involvement which facilitates
transformation and adds value. A private-equity investment is generally sold by an investor only after a number of years. This timeframe is necessary to develop the full potential value of portfolio companies. Exits usually occur through selling the holdings to a strategic buyer or through a flotation on a stock exchange. In a traditional risk and return framework, the main reason for investing in private equity is performance. This can be characterized as the provision of attractive returns with a relatively low risk and a relatively low correlation with other asset classes. SUSTAINABLE INVESTING CONTINUES ITS GROWTH
Since the publication of the Brundtland Report by the World Commission on Environment and Development of the United Nations, the expressions “sustainable development” and “sustainability” have become increasingly interpreted and accepted as all-encompassing concepts which are vital in ensuring the continuity of our planet. Sustainable development is defined as development that meets the needs of the present without compromising the ability of future generations to meet their own needs. As an economic necessity, sustainable development has inspired new legislation geared to incorporating social and environmental costs, both at the supranational level as well as in national jurisdictions worldwide. This irreversible trend is gradually changing the economics in important supply chains and has made social and environmental criteria important factors in business decisions. As a result, sustainability is also rapidly

Until recently, sustainable investing had been associated with investments in public equity and, to a limited extent, bonds. A well-diversified institutional investment portfolio, however, also includes other asset classes, such as private equity. It is, therefore, a natural progression for socially and environmentally conscious investors to expand their investment portfolios with sustainable private-equity investments. The concept of sustainability fits very well with the privateequity asset class. This is because most investors in private companies are, in contrast to most investors in public companies, very actively involved in these companies. The reason for this is that many companies are often in a growth mode, and do not always have the necessary knowledge, ideas, or network to actually achieve such growth. A private-equity manager will therefore develop a strategic plan, together with the management, that includes corporate responsibility-related elements. Because private-equity investors are often controlling shareholders in companies, they are able to truly change a company and redirect it towards a more sustainable future.

Sustainability is gaining momentum in the private-equity industry. The evidence for this is the increasing number of so-called clean technology funds coming to the market. These funds capitalize on the fact that there are a number of economic, technological, political, social and environmental trends that create a strong tail wind for clean technologies. These trends include the sharp rises in raw material prices, including oil, technological advances in clean technologies, changing consumer preferences in favour of green products, and an increased focus on mitigating environmental pollution. Moreover, valuations for many companies operating in the clean technology field are currently attractive, implying that the market offers significant opportunities. At present, over 100 clean technology funds exist worldwide, a few dozen of which can be considered to be of institutional quality. Clean technology funds typically focus on new forms of energy, new food and nutrition technologies and new ways of utilizing resources, including water. Looking at the market for new energy technologies, there is, for example, a strong demand for innovative energy technology solutions in the fields of renewable energy (biomass, solar, wind and hydro) and decentralized generation systems (such as fuel cells and micro-turbines). The potential for private-equity investments in the water sector is also considerable, given that the demand for water will continue to

The fund, which is the first sustainable private-equity fund-of-funds in the world, capitalizes on key trends by investing in the new sustainability stars. Robeco Emerging markets Beleggen in opkomende markten roept voor sommigen wellicht het romantische idee op van beleggers die in verre landen speuren naar onbekende bedrijven. De werkelijkheid bij Robeco is minder avontuurlijk. Beleggingsbeslissingen worden gewoon in het Rotterdamse Robeco-gebouw genomen. Dat neemt niet weg dat de opkomende markten hun eigen specifieke karakter hebben met een daarop aangepast beleggingsbeleid.

Het belangrijkste kenmerk van opkomende markten is dat ze sterk gedreven worden door land-specifieke ontwikkelingen. De landen kennen een hoog groeipotentieel, maar veelal ook een minder stabiele economie en politieke situatie. Binnenlandse macroeconomische en politieke ontwikkelingen spelen dan ook een belangrijke rol op de beurs. Ook zijn de financiële markten vaak minder geïntegreerd in de wereldwijde markten, waardoor lokale marktpartijen en lokaal sentiment een grotere invloed
De grotere invloed van landen betekent ook dat lokale kennis en informatie belangrijk is. Dit betekent niet dat de fondsmanager ook ter plaatse gevestigd zou moeten zijn of continu over de wereld moet reizen. Voor langetermijnbeleggers geeft de afstand juist een goed perspectief en overzicht. De verschillen in economische situatie en lokaal sentiment bieden extra kans op een hoger rendement. When thinking of investing in emerging markets some people may get the romantic idea of fund managers traveling to remote countries in search of unknown companies. Reality at Robeco is less adventurous. Investment decisions are usually taken in the Robeco head office in Rotterdam. However, this does not mean that emerging markets do not have their own specific characteristics and their own investment policy. TO P - D OW N I N V E S T M E N T P R O C E S S
The main feature of emerging markets is that they are strongly driven by country-specific developments. Emerging countries have high growth potential, but they are usually also less stable economically and politically. Domestic macroeconomic and political developments therefore play an important role in terms of the stock market. Their financial markets are also usually less well integrated into the global markets than those of developed markets, as a result of which local players and local sentiment have a bigger impact. This more important role that country-specific development plays is reflected in the structure of our investment process and so we adopt a top-down country approach when investing in emerging markets. The allocation across countries is determined first, and then the stock selection per country. Countries also play a leading role in how the investment team is structured. The six portfolio managers are divided into three subteams per region (Asia, Latin America and EMEA) and each portfolio manager is primarily responsible for a certain number of countries.

The potentially greater impact that countries can have means that knowledge of and information about the local situation are important. This does not mean that the fund manager has to actually be located there or has to continually travel all over the world. For long-term investors, distance actually helps in giving a good perspective and overview. The differences in the economic situation and local sentiment offer extra opportunities for higher returns while the distances allow investors to take advantage of the differences in local sentiment without being directly influenced by them. It is important to bear in mind that emerging economies themselves now also have well-developed financial markets. Modern information technology has made most information quickly available, most companies report results in accordance with IAS or US GAAP and countries and companies are tracked by many international and local analysts. Of course personal contact will always be important, but this can be achieved through regular visits to the countries and companies in which Robeco invests. The use of quantitative models for emerging markets is still generally rather limited. Robeco is however an exception to this as it uses a combination of fundamental analysis and quantitative models for emerging markets, just as it does for many other investment decisions. Robeco uses a model that

worden. Belangrijk hierbij is om op te merken dat ook opkomende markten inmiddels goed ontwikkelde financiële markten hebben. Zo is via de moderne informatietechnologie veel informatie snel beschikbaar, rapporteren de meeste bedrijven hun resultaten conform internationale standaarden en worden de landen en bedrijven door vele internationale en lokale analisten gevolgd. Natuurlijk blijft persoonlijk contact ook belangrijk, maar dit kan prima door regelmatig een bezoek te brengen aan de landen en bedrijven waarin wordt belegd. Voor opkomende markten is het gebruik van kwantitatieve modellen in het algemeen nog beperkt. Robeco vormt hierop een uitzondering. Net als bij veel andere beleggingsbeslissingen, hanteert Robeco ook voor opkomende markten een combinatie van fundamentele analyse en kwantitatieve modellen. Binnen Robeco wordt een model gebruikt dat aandelen selecteert op basis van waardering, winstrevisies en momentum. Uit onderzoek is gebleken dat deze factoren niet alleen in ontwikkelde markten succes-

vol zijn, maar ook in opkomende markten. Enige tijd geleden is ook een kwantitatief model voor landenallocatie geïntroduceerd. Gezien het belang van deze beslissing was hier al eerder onderzoek naar gedaan, maar de resultaten lieten te wensen over. Het meest recente onderzoek, dat ook macro-economische variabelen meeneemt en een langere datahistorie gebruikt, was wel succesvol. Het model bestaat uit marktgeoriënteerde variabelen als waardering, momentum en revisies (analoog aan het aandelenselectiemodel) en economische variabelen zoals het saldo op de lopende rekening, de hoogte van de internationale reserves en de wisselkoersbeweging op de lange termijn. Het toenemende belang van modellen betekent niet dat er minder aandacht voor fundamentele analyse is. Robeco gelooft op het gebied van Opkomende markten in de combinatie van fundamenteel en kwantitatief. Op hoofdlijnen is de fundamentele analyse gelijk aan die voor ontwikkelde markten, maar er zijn voor opkomende markten wel specifieke aandachtspunten.

A quantitative model for country allocation was recently introduced. Given the importance of this decision, extensive research had already been carried out in the past, but had not produced any satisfactory results. However, the most recent study, which also included macroeconomic variables and used a longer data history, was successful. The model uses of market-oriented variables such as valuation, momentum and revisions (analogous to the stock-selection model) and economic variables such as the current-account balance, international reserve levels and long-term exchange-rate movements. The increasing importance of models does not, however, mean that we are focusing less on fundamental analysis. Robeco believes in a combination of fundamental and quantitative analysis when it comes to emerging markets. In general, fundamental analysis for emerging markets is identical to that for developed markets, although there are certain distinguishing factors.

Country allocation has always been an important part of the process for emerging markets. However, more attention has been devoted to improving our stock-selection process in recent years. The introduction of the quantitative model in 2000 was a first step. Then associated supporting tools were also introduced to give a better insight into the model’s underlying variables. The process is now more structured, partly due to the use of fundamental ratings, a framework for assessing the fundamental outlook for companies. This framework was originally created for developed markets but has been adopted for emerging markets. However, we devote extra attention to two aspects that are particularly important for emerging markets: sensitivity to macroeconomic developments and corporate governance. These developments outlined above have ensured that stock selection has become as important an element as country allocation in emerging-markets investment policy.

The fundamental factors that Robeco looks at for country allocation are macroeconomy, earnings development, valuation, technical picture, and sentiment and supply/ demand. Given the importance of country allocation for emerging markets, portfolio managers devote a relatively

Van oudsher is de landenallocatie een belangrijk onderdeel van het proces voor opkomende markten. In de afgelopen jaren is er echter extra focus geweest om het proces voor aandelenselectie te verbeteren. De introductie van het kwantitatieve model in 2000 was een eerste stap. Vervolgens zijn ook bijbehorende ondersteunende tools geïntroduceerd die meer inzicht geven in de onderliggende variabelen van het model. Verder is het proces meer gestructureerd opgezet, mede door het gebruik van de zogenaamde

Emerging markets are a fascinating investment area. On the one hand, there have been the crises that have occurred on a regular basis throughout their past and, on the other hand, there are countries with spectacular growth such as, at the
current time, India, Russia and of course China. This diversity offers extra potential for higher returns. Robeco takes advantage of this with a top-down investment policy with which it selects the most attractive countries and stocks using fundamental analysis and quantitative models At the end of 2005, just over 10 years after Robeco’s emerging-market funds were established, the team was managing more than EUR 3 billion. The team has an extremely successful record, with a return of 127% over the last 5 years, outperforming its benchmark, the S&P IFC Emerging Markets Investable Index, by more than 8%. In 2005 the team generated a return of 64%, outperforming the benchmark by more than 5%.
The sponsorship of the projects is paid from the fees that team members receive for their contribution to ‘Achter de cijfers’, a column that appears every Friday in Dutch financial newspaper Het Financieele Dagblad and which is written once every three weeks by Robeco’s Emerging Markets team. The Emerging Markets team invests in people in emerging markets! Over the last few years the team has contributed to a variety of projects all over the world, such as an orphanage in Nepal, a school in India, an organization for women in deprived neighborhoods in Brazil. In each case these projects are aimed at helping to improve the lives of the less fortunate people in emerging markets.

The emerging-markets team’s most important task is, of course, to generate the best possible return for the clients. To achieve this, we invest the capital entrusted to us in the stock markets of 25 emerging countries, including China, India, Brazil and Turkey. In addition to these investments the emerging-markets team also feels a commitment to the many poor citizens in these emerging markets who are unfortunately still living in poverty. This is why we invest every year in projects designed to help the less well-off people in these emerging markets. In many cases the members of the team have personally come into contact with these projects, for example during visits to the countries concerned.

Het Emerging Markets-team investeert in mensen in opkomende markten! De afgelopen jaren heeft het team aan diverse projecten over de gehele wereld bijgedragen; een weeshuis in Nepal, een school in India, een corporatie voor vrouwen in achterstandsbuurten in Brazilië en een medisch project gericht op arme kinderen in Peru. In alle gevallen zijn deze projecten erop gericht de minderbedeelden in opkomende markten een eindje op weg te helpen.
