1. General

1. Obecná ustanovení

DUB Investments Ltd (hereinafter, the “Company”) is a member of the Investor Compensation Fund (ICF) for the clients of Cyprus Investment Firms (CIFs), according to the Investment Services and Activities and Regulated Markets Law of 2007 (Law 144(I)/2007, as amended or replaced) (“the Law”).

Společnost DUB Investments Ltd (dále jen „Společnost“) je členem Kompenzačního fondu pro investory (Investor Compensation Fund; dále jen „ICF“) pro klienty kyperských investičních firem, a to v souladu se zákonem o investičních službách, činnostech a regulovaných trzích z roku 2007 (zákon č. 144(I)/2007, ve znění pozdějších předpisů), (dále jen „Zákon“).

2. Objective The objective of the ICF is to secure any claims of the covered clients against members of the ICF. The main essence of the ICF is to compensate covered clients for any claims arising from the failure of a member of the ICF to fulfil its obligations towards its clients despite whether that obligation arises from the legislation, the client agreement or from wrongdoing on the part of the member of the ICF.

5. Non-Covered Clients 5.1. The ICF shall pay no compensation to individuals against whom criminal proceedings under the provisions of the Prevention and Suppression of the Legalization of Proceeds from Criminal Activities Law of 2007, as amended or replaced, are pending.

(g) Investoři, kteří mají v subjektech propojených se Společností, a – obecně – patřících do skupiny společností, do které patří i Společnost, pozice nebo povinnosti odpovídající těm, které jsou uvedeny v bodech (e) a (f) tohoto odstavce. (h) Příbuzní druhého stupně a manželé/manželky osob uvedených v bodech (e), (f) a (g) tohoto odstavce, případně třetí strany jednající na účet těchto osob. (i) Kromě investorů odsouzených pro trestný čin podle zákona o prevenci a potlačování legalizace výnosů

(f) Shareholders of the Company whose participation directly or indirectly in the capital of the Company amounts to at least 5% of its share capital, or its partners who are personally liable for the obligations of the Company, as well as persons responsible for the carrying out of the financial audit of the Company as provided by the Law, such as qualified auditors. (g) Investors having in enterprises connected with the Company and, in general, of the group of companies, to which the Company belongs, positions or duties corresponding to the ones listed in sub-paragraphs (e) and (f) of this paragraph. (h) Second-degree relatives and spouses of the persons listed in subparagraphs (e), (f) and (g) of this

paragraph as well as third parties acting for the account of these persons. (i) Apart from investors convicted of a criminal offence pursuant to the Prevention and Suppression of Money Laundering Activities Law of 2007, as amended or replaced, investors-clients of the Company responsible for facts pertaining to the Company that have caused its financial difficulties or have contributed to the worsening of its financial situation or which have profited from these facts. (j) Investors in the form of a company which, due to its size, is not allowed to draw a summary balance sheet in accordance with the Companies Law or a corresponding law of a Member Stateof the European Union.

V případech uvedených v bodech (e), (f), (g) a (g) odstavce 5.2 ICF pozastaví výplatu kompenzace a bude o tom příslušné strany informovat, a to do doby, než dojde k finálnímu rozhodnutí o tom, zda se dané případy skutečně uplatní.

5.3. In the cases of sub-paragraphs (e), (f), (g) and (g) of paragraph 5.2., the ICF suspends the payment of compensation informing the interested parties accordingly, until it reaches a final decision as to whether such cases apply.

6. Proces výplaty kompenzace 6.1. ICF poskytuje kompenzaci zajištěným klientům s ohledem na pohledávky vyplývající ze zajištěných služeb poskytovaných Společností, pokud byla zjištěna neschopnost Společnosti plnit její závazky (rovněž viz níže uvedené odstavce 6.2, 6.3 a 6.4).

6. Compensation Payment Process 6.1. The ICF compensates the covered clients for claims arising from the covered services provided by the Company, as long as failure by the Company to fulfil its obligations has been ascertained (see also paragraphs 6.2., 6.3. and 6.4. below).

6.2. Následující případy představují situace, kdy Společnost není schopna plnit své závazky: (a) Aby svým zajištěným klientům vrátila prostředky, které jim patří, ale které jsou nepřímo v držení Společnosti v rámci poskytování zajištěných služeb předmětným klientům, pokud o jejich vrácení klienti Společnosti požádali na základě uplatnění svého příslušného práva; nebo

The following constitutes failure by the Company to fulfil its obligations: (a) Either to return to its covered clients funds which belong to them but are held by the Company indirectly in the framework of the provision by the Company to the said clients of covered services, and which the latter requested the Company to return, in exercise of their relevant right; or

(a) Kyperská komise pro cenné papíry a burzu (Cyprus Securities and Exchange Commission - CySEC) na základě usnesení určila, že Společnost není schopna plnit své závazky, které vyplývají na základě pohledávek klientů v souvislosti s poskytovanými investičními službami, pokud se takováto neschopnost přímo týká finančních okolností Společnosti, kdy nelze předvídat realistické vyhlídky na zlepšení v blízké budoucnosti, přičemž komise vydala své rozhodnutí o zahájení procesu výplaty kompenzace ze strany ICF a toto rozhodnutí zveřejnila v Úředním věstníku Kyperské republiky i na svých webových stránkách.

6.3. The ICF initiates the compensation payment process in one of the following situations: (a) The Cyprus Securities and Exchange Commission (CySEC) has determined by resolution that that the Company is unable to meet such of its duties as arise from its clients’ claims in connection with the investment services it has provided, as long as such inability is directly related to its financial circumstances with respect to which no realistic prospect of improvement in the near future seems foreseeable, and has issued its decision on the commencement of the compensation payment procedure by the ICF as well as has published the said decision in the Official Gazette of the Republic of Cyprus as well as on its website on the Internet.

Komise CySEC může takovéto rozhodnutí vydat, pokud je splněn alespoň jeden z následujících předpokladů: (i) Společnost předložení ve prospěch ICF nebo komise CySEC písemné prohlášení, ve kterém oznámí svou neschopnost plnit závazky vůči svým klientům; nebo (ii) Společnost podá návrh na likvidaci v souladu s ustanoveními části V kyperského zákona o obchodních společnostech; nebo (iii) Komise CySEC odebrala či pozastavila oprávnění Společnosti na poskytování investičních služeb, přičemž zjistí, že nelze očekávat, že Společnost bude v blízké budoucnosti schopna plnit své závazky vůči svým klientům, a to z důvodů, jež se netýkají dočasného nedostatku likvidity, které by bylo možné neprodleně řešit. (b) Soudní orgán na základě dostatečných důvodů, jež se přímo týkají finančních okolností Společnosti, vydal rozhodnutí, které pozastavuje možnost investorů

CySEC can issue such decision when at least one of the following preconditions is fulfilled: (i) the Company submits to the ICF or to CySEC a written statement declaring its failure to fulfil its obligations towards its clients; or (ii) the Company files an application for liquidation in accordance with the provisions of Part V of the Companies Law of Cyprus; or (iii) CySEC has revoked or suspended the Company’s authorization to provide investment services and ascertains that the Company is not expected to be in a position to fulfil its obligations toward its clients in the near future, for reasons which do not concern a temporary lack of liquidity which can be dealt with immediately. (b) A judicial authority has, on reasonable grounds directly related to the financial circumstances of the

Company, issued a ruling which has the effect of suspending the investors’ ability to lodge claims against it.

6.4. Na základě vydání rozhodnutí soudu nebo komise CySEC o zahájení procesu výplaty kompenzace ICF alespoň ve třech (3) celonárodních denících zveřejnění výzvu pro zajištěné klienty, aby vznesli své pohledávky vůči Společnosti. Příslušná výzva nastiňuje postup pro předložení příslušných žádostí o kompenzace, a to včetně lhůty pro podání takovýchto žádostí a jejich obsahu.

6.4. Upon issuance of a decision to initiate the compensation payment process by a Court or by CySEC, the ICF publishes, in at least three (3) newspapers of national coverage, an invitation to the covered clients to make their claims against the Company. The invitation outlines the procedure for submission of the relevant compensation applications, including the deadline for submission and the content of such applications.

6.7. The Administrative Committee rejects the compensation application in case the claimant does not fulfil the conditions referred to in paragraph 6.6. above, or if at the Administrative Committee’s discretion, at least one of the following reasons exists:

(i) Žadatel použil podvodné prostředky, aby si zajistil výplatu kompenzace ze strany ICF, především pokud vědomě předložil nepravdivé důkazy; (ii) Škoda, kterou žadatel utrpěl, v podstatě vycházela ze současné nedbalosti nebo provinění na straně žadatele v souvislosti se škodou žadatele a v souvislosti s výchozí příčinou takovéto škody.

(i) The claimant used fraudulent means in order to secure the payment of compensation by the ICF, especially if it knowingly submitted false evidence (ii) The damage suffered by the claimant substantially derived from concurrent negligence or offence on its behalf in relation to the damage it suffered and to its underlying cause.

6.8. Po dokončení posouzení ICF: (i) Vyhotoví zápis, ve kterém uvede seznam klientů Společnosti, jež jsou příjemci kompenzace, a to spolu s částkou, na kterou mají jednotliví klienti nárok, a tento zápis poskytne ve prospěch komise CySEC a Společnosti do pěti (5) pracovních dnů od jeho vyhotovení; a (ii) Uvědomí jednotlivé poškozené klienty o svém nálezu nejpozději do patnácti (15) dnů od vyhotovení výše uvedeného zápisu, přičemž určí výše kompenzací, na které mají jednotliví klienti nárok.

6.8. Upon completion of the valuation, the ICF: (i) Issues minutes listing the clients of the Company which are compensation beneficiaries along with the amount of money each one of them is entitled to receive, and, communicates it to CySEC and the Company within five (5) working days from its issue; and (ii) Communicates to each affected client its finding no later than fifteen (15) days from the issue of the aforementioned minutes determining the total compensation amount this client is entitled to receive.

7. Výše kompenzace 7.1. Výše kompenzace splatné ve prospěch jednotlivých zajištěných klientů je vypočítána v souladu se zákonnými a smluvními podmínkami upravujícími vztah zajištěného klienta a Společnosti, s výhradou pravidel zápočtu aplikovaných na výpočet pohledávek mezi zajištěným klientem a Společností.

7. Amount of Compensation 7.1. The amount of compensation payable to each covered client is calculated in accordance with the legal and contractual terms governing the relation of the covered client with the Company, subject to the rules of setoff applied for the calculation of the claims between the covered client and the Company.

7.2. Výpočet splatné kompenzace vychází z celkové výše stanovených pohledávek zajištěného klienta vůči Společnosti v souvislosti se všemi zajištěnými službami poskytovanými Společností, a to bez ohledu na počet účtů, jejichž beneficientem zákazník je, a bez ohledu na měnu a místo poskytování takovýchto služeb.

7.2. The calculation of the payable compensation derives from the sum of total established claims of the covered client against the Company, arising from all covered services provided by the Company and regardless of

the number of accounts of which the customer is a beneficiary, the currency and place of provision of these services.

7.3. Celková splatná kompenzace ve prospěch jednotlivých zajištěných klientů Společnosti nesmí přesáhnout částku dvacet tisíc euro (EUR 20.000,-), bez ohledu na počet vedených účtů, měnu a místo nabídky investičních služeb.

7.3. The total payable compensation to each covered Client of the Company may not exceed the amount of twenty thousand Euros (EUR 20,000), irrespective of the number of accounts held, currency and place of offering the investment service.

7.4. V případě, kdy jsou beneficienti společného účtu Společnosti většinově zajištěnými klienty:

7.4. In the case whereby beneficiaries of a joint account of the Company are in their majority covered clients:

(a) Maximální výše splatné kompenzace ve prospěch všech dílčích beneficientů jednoho účtu činí dvacet tisíc euro (EUR 20.000,-); a

(a) the maximum amount payable to all co-beneficiaries of the account comes up to the amount of twenty thousand Euros (EUR 20,000); and

(b) Kompenzace je stanovena v celkové výši pro všechny dílčí beneficienty společného účtu a rozdělena mezi tyto osoby způsobem, který bude stanoven ve smlouvě mezi těmito dílčími beneficienty a Společností. Pokud nebude takováto smlouva existovat, bude kompenzace mezi tyto osoby rozdělena rovnoměrně.

(b) the compensation is fixed on the whole for all co-beneficiaries of the joint account and is divided amongst them, in the way determined in the agreement between the cobeneficiaries and the Company; otherwise, in the absence of such agreement, it is divided equally amongst them.
