Terms and Conditions Human Models Article 1. General 1- These terms and conditions form an integral part of all offers from Human Models and all agreements relating to the models of Human Models; 2- Unless agreed otherwise in writing, the terms and conditions below apply to all situations in which a booking agreement was made between the client and models of Human Models. The client acknowledges and accepts that these Terms and Conditions prevail in case of a conflict between these Terms and Conditions and the client’s Terms and Conditions. Article 2. Bookings 1 - A booking agreement is an agreement between the client and the model. Human Models stresses that Human Models is not a party in any agreement between the client and the model and that Human Models can never be held liable for any action by the model for which the model can be held accountable, in the execution of the agreement; 2- The booking agreement is reached when a client, through Human Models, commits itself to (hereafter ‘books’) the model to use the service and publication rights for a certain amount of money (‘invoice amount’). The model agrees to render certain services on a certain date (‘booking date’) and to distance her/himself from the publication rights to the client; The client agrees to pay the agreed amount to Human Models for the rendered services by the model and Human Models. The model declares that he/she agrees with the rates that Human Models maintains at all times. This applies to the booking rates as well as the surcharges; 3- The booking is confirmed by a confirmation mail from Human Models to the client. The client shall confirm this conformation mail before the start of the agreed booking time for approval. Article 3. Options The model can give the client the right of priority to book the model for a certain date (‘option’) through Human Models. Options are to be turned into definitive bookings at least 24 hours prior to the booking date if the assignment is to be executed in The Netherlands and at least 48 hours if it is to be executed outside The Netherlands. The option will automatically cease to exist if the options are not confirmed within aforementioned time frame. If another client wants to book the same model for the same period, the holder of the option will have to decide without delay whether or not to make the definitive booking. If this is not done immediately, the option will cease to exist and the other client will be able to book the model for that period. Article 4. Rates 1- The services of a model that are offered by Human Models to the client are based on an hourly, half-daily, or daily rate; 2- All rates and surcharges are excluding an agency fee and turnover tax. Human Models charges an agency fee of 20% of the standard rates, royalties and surcharges (including the model’s travel time), that are declared by the model; 3- The total sum of the amounts mentioned in the previous paragraph, equals the total amount which the client owes plus any surcharges and this amount, together with the legal turnover tax, forms the total invoice amount; 4- The standard rates consist of a fee for the services and publication rights expressed in: Daily rate: this rate is charged for bookings of a day. The model will be available to client for 8 hours. If film recordings are involved, the model will be available for 10 hours. Half day rate: this comprises 4 hours (film recordings 5 hours) and ends before 13.00, or starts after 14.00; 5- Fitting and rehearsals: In case of a fitting before a booking, 50% of the hourly rate is charged for the first hour. After the first hour, the standard hourly rate applies;

6- Casting: When models are requested to attend a casting, the only costs that will be charged are travel costs. However, when five or more models are booked for a casting, administration costs will be charged; 7- For photo assignments, the client will obtain the publication rights over the material for 1 (one) year after the booking date within the country where the booking took place, upon payment of the standard rate. This authorizes the client to publish the material made on the booking date in day- and weekly magazines and advertisement folders with a maximum of 850.000 prints. For use in relation to article 5, surcharges apply. For use in deviation of this paragraph and in relation to article 6 in particular, a separate agreement must be made; 8- The client is obliged to inform Human Models in case any changes regarding sub 3 occur and the publication rights are used differently than what was agreed upon between the client and the model in writing. Article 5. Surcharges In case of the following services and or publication rights, additional charges will be applied on top of the published standard charges by the models. - For work done between 24.00 and 8.00, the surcharge is 200% of the standard amount - For naked recordings, the surcharges are to be determined by Human Models. - For lingerie ad/or underwear recordings, the surcharge is 50% of the standard amount. - For use abroad, the amounts will be provided upon request -For billboards, abri’s, trams,buses, affiches, posters and displays etc.: amounts will be provided upon request. -For commercials on Dutch TV, such as RTL 4, 5, 7, Net 5, TMF, SBS 6, Veronica ad foreign TV channels, amounts will be provided upon request. -After the period mentioned under article 4 paragraph 7 has elapsed, the client will obtain the publication rights for another year following that period, for The Netherlands for a surcharge of 100% over the originally agreed amount plus an inflation correction of 5 %, totalling 105% -If the print mentioned under article 4 paragraph 7 is higher than the maximum, the surcharge will be 100% of the standard amount plus other surcharges for the publication right of a maximum of the double print; -If any surcharge is owed per calendar year and or per another term or amounts of broadcasts, the client will have to pay the entire period, regardless of whether the material or facility was used for the whole period or not. The client is obliged to inform Human Models of any changes relating to matters mentioned under paragraph 1 of this article, where the model and or publication rights are used differently than originally agreed between client and the model in writing. Article 6. Special Surcharges 1- For deviation from the use in the sense of article 4 paragraph 7 and or 4 paragraph 5, a separate written agreement is to be made between client and the model (through Human Models), determining the usage and the costs thereof. The model is entitled to a surcharge which is to be determined, for the use of the following: • CD-covers, book covers, calendars, stickers, displays etc.; • Packaging; • Cinema commercials or similar messages; • Video/TV/film/CD-I recordings, or other recording media; for the recordings which are to be used for the TV commercials, a separate surcharge only applies, if this deviates from article 4 paragraph 1; • Live-shows, presentations in any form, whether to be used for TV/video or not; • Exclusivity of the model is desired by the client; • Campaigns with a duration of more than 12 months; • Internet; • All media that is not mentioned above / media that is unknown at this point; • More than one medium, for instance the use of existing material, such as Packaging in a TV commercial; • Conversion from one medium to another medium; • More than one subject of the material;


2- The client is obliged to inform Human Models of matters relating to any changes or conversions relating to 6 paragraph 1, where the model and/or the material and/or the publication rights are used in deviation from the written agreement between client and the model (through Human Models). Article 7. Travel 1- For the travel time, to be calculated from The Hague centre to the location of the recording(s), 50% of the standard amount will be charged to the client, hours being rounded up to whole hours. For a day booking within the municipality of The Hague, no travel costs will be charged; 2- If the model’s work takes place outside the municipality of The Hague, the client will be charged the full amount: if the model travels by train, based on a first-class NS ticket, if by car, a compensation per kilometre, the amount per kilometre equalling the maximum of what can be compensated tax free in that particular year, if the model travels by plane, the ticket price based on economy class. Taxi costs will also be charged to the client; 3- Travel- and accommodation expenses for foreign trips are to be paid in advance and in full before the trip commences; 4- Travel- and accommodation expenses for models living or staying abroad will be charged to the client in full. Article 8. Payment 1- Human Models will invoice the client in name of the model and will collect the payment in name of the model; 2- The client is to take care of the full payment of the invoice within 14 days of the invoice date. Payments are to be made into the following account no.152911480 , stating the invoice number; 3- In case of delayed or non-payment of the invoice and/or other due amounts, notwithstanding client’s obligation arising from article 11, the out-of-court collection costs, are preliminarily set at 15% of the invoice amount; 4- After the period mentioned in paragraph 2, the model and /or Human Models are entitled to charge 4% over the owed invoice amount per month, or part of the month, counting from 30 days from the invoice date, without further notice of default or judicial intervention being required; 5- All costs that are made in order to effectuate the model’s and/ or Human Models’ rights, as well as all out-of-court (collection) costs, are to be paid by the client without further notice of default or judicial intervention being required; Aforementioned out-of-court (collection) costs will be a minimum of 15% of the to be collected amount with a minimum of €70,-, plus postage costs per each separately claimed invoice amount. 6- If costs (including out-of-court and any other costs) are made by the model and/or Human Models to prove that client has not complied with the booking conditions, these costs will be charged to the client only if non-compliance was proved; 7- If the client does not provide a motivated protest in writing within 8 days after the invoice date, the content of the invoice will be considered to be uncontested. After this period, the client will not be able to cancel his obligations based on any protest; 8- The client will be responsible and liable for payment of the invoice at all times. Article 9. Weather-permitting bookings 1- If the client has made it clear whilst booking, that the booking is provisional to a certain type of weather (‘Weather-permitting booking’), such a booking may be cancelled free of charge, once; 2- If the weather -permitting booking is repeated and is cancelled for the second time, half of the invoice amount is owed. When a weather-permitting booking is cancelled for the third time, the full invoice amount is owed, regardless of the time that has elapsed since the previous cancellation.


Article 10. Cancellations 1- If the client cancels the booking more than 48 hours in advance, and in case the model lives or is staying abroad, over 72 hours in advance, no costs will be charged. Regardless of whose fault it is, a surcharge of 50% of the total invoice amount will apply when bookings are cancelled within 48 and 72 hours and there will be a surcharge of 100% of the total invoice amount when cancelled on the same day or not at all; 2- For bookings of more than one day, paragraph 1 also applies, in the sense that the cancellation term is just as long as the booking term. Article 11. Fine clause The client acknowledges that if the client neglects the obligations mentioned in article 4, 5 and 6 and / or fails to pay, Human Models is authorized to demand immediate payment of a fine of 5 (five) times the amount of the invoice, with each omission. Article 12. Liability 1- Human Models is only liable for direct damage that is suffered by the client as a result of the malice or gross negligence by Human Models up to the amount that the insurance company pays out in that situation; 2- The right to compensation mentioned in paragraph 1, is subject to client’s notification in writing to Human Models as soon as the damage has appeared but in any case within 8 days after this date. The client releases Human Models from any future third party liability claims to Human Models, in particular claims of the model due to damage suffered by the model on the location where the assignment is executed, unless caused by malice or gross negligence by Human Models. The location means the location where the photographs are made or where the film recordings and other recordings are done. Article 13. Third parties 1- If the client enters an agreement with any third party, pertaining to the use of any kind of material mentioned in the aforementioned articles, the period of that agreement shall not exceed the agreement which was reached with the model, unless the model has agreed in writing (through Human Models) prior to reaching this agreement; 2- In case of violation of article 13 paragraph 1, the client the model a fine of five times the invoice amount per violation, without a notice being required; 3- Besides the aforementioned fine, the client remains fully liable for damage resulting from matters in the sense of 13 paragraph 1; 4- Client commits vis-à-vis the model, to apply a fine clause in its agreements with third parties in case the third parties use the material after the agreement with the client has ended. This fine will be five times the invoice amount per violation which will be owed by the third party directly to the model; 5- All payments of fines go through Human Models, who will ensure that the amounts will be paid into the model’s account. Failure to comply with this article will be fined with five times the invoice amount per violation. Article 14. Dispute settlement The Dutch law applies to these Terms and Conditions. Any and all disputes that might arise from a booking agreement will be settled according to Dutch law and are to be brought before the competent Dutch court. Human Models reserves the right to change these Terms and Conditions as it wishes and at all times. Human Models, in name of the models.


Algemene Voorwaarden Human Models Artikel 1. Algemeen 1- Deze voorwaarden maken integraal onderdeel uit van de aanbiedingen van Human Models en opdrachten aan en overeenkomsten met de modellen van Human Models. 2- Tenzij schriftelijk anders overeengekomen gelden, in alle gevallen waarin een boekingsovereenkomst tot stand komt tussen een opdrachtgever en model(len) van Human Models, onderstaande boekingsvoorwaarden en accepteert opdrachtgever dat deze boekingsvoorwaarden prevaleren ook indien de opdrachtgever algemene voorwaarden hanteert. Artikel 2. Boekingen 1- Een boekingsovereenkomst is een overeenkomst tussen de opdrachtgever en het model. Human Models benadrukt dat zij geen partij is bij de overeenkomst tussen opdrachtgever en model en ook nimmer aansprakelijk kan worden gesteld voor een toerekenbare tekortkoming door het model in de uitvoering ervan. 2- De boekingsovereenkomst komt tot stand wanneer een opdrachtgever zich via Human Models met het model verbindt (hierna ‘boeken’) tot afname van deze diensten en publicatierechten voor een bepaald bedrag (hierna ‘factuurbedrag’). Het model verbindt zich tot het verlenen van enkele diensten op een bepaalde datum (hierna ‘boekingsdatum’) en het afstaan van publicatierechten voor bepaalde tijd aan de opdrachtgever; de opdrachtgever verbindt zich tot de betaling aan Human Models voor verleende diensten door model en Human Models. Het model verklaart zich te allen tijde akkoord met de door Human Models gehanteerde tarieven zowel voor de boeking zelf als de toeslagen. 3- De boeking wordt bevestigd middels een door Human Models opgestelde e-mail aan de opdrachtgever. De opdrachtgever dient deze boekingsbevestigings e-mail vóór aanvang van het tijdstip van de boeking, per e-mail, voor akkoord te bevestigen. Artikel 3. Opties Het model kan via Human Models aan de opdrachtgever/optant het voorrangsrecht (verder ’optie’) verlenen om het model voor een bepaalde datum te boeken. Opties dienen meer dan 24 uur, en voor in het buitenland woonachtige of verblijvende modellen 48 uur, voor de boekingsdatum te worden omgezet in een boeking. De optierechten komen automatisch te vervallen bij niet-tijdige bevestiging. Indien een andere opdrachtgever het betreffende model voor dezelfde dag(en) wil boeken, moet de optant op dat moment beslissen om de optie in een boekingsovereenkomst om te zetten. Indien de optie dan niet in een boekingsovereenkomst wordt omgezet, vervalt de optie en kan de andere opdrachtgever het model voor die betreffende datum boeken. Artikel 4. Tarieven 1- De diensten van een model verstrekt door Human Models aan de opdrachtgever worden vastgesteld door Human Models en berekend op basis van een uur, dagdeel of dagtarief. 2- Alle tarieven en toeslagen zijn exclusief een agency fee en omzetbelasting. Human Models berekent een agency fee van 20% over de door het model gedeclareerde standaardtarieven, royalties, en bijzondere toeslagen inclusief de reistijd van het model. 3- De som van de in het vorige lid genoemde bedragen is het totaal van de door opdrachtgever verschuldigde tarieven plus eventuele toeslagen en vormt, tezamen met het wettelijk verplicht daarover te berekenen percentage aan omzetbelasting, het factuurbedrag. 4- De standaardtarieven bestaan uit een vergoeding voor werkzaamheden en publicatierechten uitgedrukt in: • Dagtarief: dit tarief wordt in rekening gebracht bij boekingen van 1 dag. Het model staat in dit geval feitelijk 8 uur ter beschikking van de opdrachtgever. Indien het filmopnamen betreft, staat het model feitelijk 10 uur ter beschikking van de opdrachtgever; • Dagdeel tarief: een dagdeel bestaat uit 4 uur (filmopnamen 5 uur) en dient in ieder geval te eindigen voor 13.00 uur, dan wel aan te vangen na 14.00 uur; • Uurtarief: dit tarief wordt als minimum berekend bij elke boeking, bij boekingen van 1 uur of minder wordt steeds een toeslag van € 25,= berekend.


5- Doorpas en repetities: In geval van een doorpas voorafgaand aan een boeking wordt voor de eerste twee uur 50% van het overeengekomen uurtarief voor de boeking in rekening gebracht; daarna geldt het normale boekingstarief per uur. 6- Casting: Wanneer modellen worden gevraagd voor een casting zijn daaraan slechts de reiskosten van het model verbonden, tenzij meer dan vijf modellen worden gevraagd. In dat geval worden administratiekosten aan opdrachtgever in rekening gebracht. 7- Bij foto-opdrachten verkrijgt de opdrachtgever tegen betaling van het standaardtarief het publicatierecht om gedurende een periode van 1 jaar na de boekingsdatum binnen Nederland, het fotomateriaal gemaakt op de boekingsdatum te publiceren in dagen weekbladen en reclamefolders met een maximale oplage van 850.000 gedrukte exemplaren. Voor gebruik als genoemd onder artikel 5 gelden toeslagen. Voor afwijkend gebruik en met name het gebruik genoemd onder artikel 6 dient een aparte overeenkomst te worden gesloten. 8- De opdrachtgever heeft een meldplicht aan Human Models wat betreft enige wijziging en/of aanpassing en/of omzetting van het in het derde lid genoemde, waarbij het model en/of het materiaal en/of de publicatierechten anders worden gebruikt dan schriftelijk is overeengekomen tussen de opdrachtgever en het model. Artikel 5. Toeslagen 1- In geval van de volgende diensten en/of publicatierechten worden bovenop de gepubliceerde standaardtarieven door de modellen de volgende toeslagen berekend, al dan niet uitgedrukt in percentages van het standaardtarief: • Voor werkzaamheden tussen 24.00 en 8.00 uur bedraagt de toeslag twee maal het standaardtarief; • Bij naaktopnamen gelden toeslagen die nader worden bepaald door Human Models; • Voor lingerie en/of ondergoed opnamen bedraagt de toeslag 50% van het standaardtarief; • Voor gebruik in andere landen tarieven op aanvraag; • Voor billboards, abri’s, trams, bussen, affiches, posters en displays etc.: tarieven op aanvraag; • Voor commercials op de Nederlandse zenders, zoals RTL 4, 5, 7, Net 5, TMF, SBS 6, Veronica en buitenlandse zenders tarieven op aanvraag; • Indien de onder artikel 4 lid 7 genoemde termijn verstreken is, verkrijgt de opdrachtgever tegen betaling van een toeslag van 100% van het overeengekomen bedrag met een inflatiecorrectie van 5%, tezamen 105%, de publicatierechten voor nog een jaar in Nederland, aansluitend op de genoemde periode; • Indien de onder artikel 4 lid 7 genoemde oplage hoger is dan het genoemde maximum, bedraagt de toeslag 100% van het standaardtarief plus andere toeslagen voor het publicatierecht op maximaal de dubbele oplage; • Indien enigerlei toeslag per kalenderjaar en/of andere termijn en/of aantal uitzendingen is verschuldigd, dient de opdrachtgever de gehele daarvoor geldende toeslag te voldoen, ook al wordt niet gedurende de gehele periode van de faciliteit of het materiaal gebruik gemaakt. 2- De opdrachtgever heeft een meldplicht aan Human Models wat betreft enige wijziging en/of aanpassing en/of omzetting van het in het eerste lid genoemde, waarbij het model en/of materiaal en/of de publicatierechten anders worden gebruikt dan schriftelijk is overeengekomen tussen de opdrachtgever en het model. Artikel 6. Bijzondere toeslagen 1- Voor de afwijkingen van het gebruik als genoemd in artikel 4 lid 7 en/of artikel 5, moeten terzake van het afwijkend gebruik en de tarifering hiervan een aparte schriftelijke overeenkomst worden gesloten tussen de opdrachtgever en het model (via Human Models). Het model is gerechtigd tot een nader overeen te komen toeslag, met name voor het gebruik voor: • Cd-hoezen, boekomslagen, kalenders, stickers, displays etc.; • Verpakkingen; • Bioscoopcommercials of soortgelijke boodschappen;


• Video/tv/film/CD-I opnamen, of andere nieuwe opnamemedia; bij de voor tv commercials te gebruiken opnamen geldt een aparte toeslag enkel, indien deze afwijkt van hetgeen in artikel 4 lid 1 onder f staat vermeld; • Live-shows, presentaties in welke zin dan ook, al dan niet voor tv/video bestemd; • Exclusiviteit van het model door opdrachtgever gewenst; • Campagnes langer dan 12 maanden; • Internet; • Hierboven niet genoemde media/tot op heden nog onbekende media; • Meer dan één medium, bijvoorbeeld het gebruik van bestaand materiaal, zoals een verpakking in een tv-commercial; • Omzetting van het ene medium in een ander medium; • Meer dan één onderwerp van het materiaal. 2- De opdrachtgever heeft een meldplicht aan Human Models wat betreft enige wijziging en/of aanpassing en/of omzetting van het in het eerste lid genoemde, waarbij het model en/of het materiaal en/of de publicatierechten anders worden gebruikt dan schriftelijk is overeengekomen tussen de opdrachtgever en het model (via Human Models). Artikel 7. Reizen 1- Voor de reistijd, te berekenen vanaf Den Haag centrum naar de opnamelocatie, wordt 50% van het standaardtarief aan de opdrachtgever in rekening gebracht met een afronding naar hele uren. Bij een hele dag boeking wordt bij boekingen in de randstad geen reistijd in rekening gebracht. 2- Indien de werkzaamheden van een model plaatsvinden buiten Den Haag, dient de opdrachtgever de volledige reiskosten te vergoeden: in geval van vervoer per trein op basis van het tarief van de eerste klas van de NS, althans in geval van vervoer per auto een kilometervergoeding, waarbij het bedrag per kilometer gelijk is aan het maximum wat dat jaar belastingvrij mag worden vergoed; althans in geval van vervoer per vliegtuig op basis van toeristenklasse; de opdrachtgever dient ook de gemaakte taxikosten te vergoeden. 3- Reis- en verblijfkosten voor buitenlandse reizen dienen voor aanvang van de reis door de opdrachtgever volledig te worden vergoed. 4- Reis- en verblijfkosten voor in het buitenland wonende of verblijvende modellen worden volledig in rekening gebracht aan de opdrachtgever. Artikel 8. Betalingen 1- Human Models factureert de opdrachtgever namens het model en int namens het model de door opdrachtgever aan het model verschuldigde betaling. 2- De opdrachtgever dient, binnen 14 dagen na de op de factuur vermelde datum, het factuurbedrag overgemaakt te hebben op de rekening van Human Models, rekeningnummer 152911480 (Rabobank) onder vermelding van het factuurnummer. 3- Ingeval van niet of niet tijdige betaling van het verschuldigde factuurbedrag en/of andere verschuldigde bedragen worden - onverminderd opdrachtgevers gehoudenheid tot de boete(s) als bedoeld in artikel 11 - de buitengerechtelijke kosten tussen de partijen, vooruitlopend op de vaststelling van de werkelijke kosten, voorlopig gefixeerd op een bedrag gelijk aan 15% van het factuurbedrag. 4- Indien de betalingstermijn is verstreken, zijn het model en/of Human Models onverminderd de rechten die hieruit voortvloeien, zonder nadere ingebrekestelling gerechtigd een vertragingsrente te berekenen van 4% over het verschuldigde bedrag per maand, of gedeelte van de maand te berekenen vanaf 30 dagen na de datum vermeld op de factuur. 5- Alle kosten welke door het model en/of Human Models worden gemaakt ter effectuering van de rechten van het model en/of Human Models, alsmede alle (buiten)gerechtelijke (incasso)kosten zijn door de opdrachtgever verschuldigd zonder nadere sommatie of ingebrekestelling. Voorgenoemde (buiten)gerechtelijke(incasso) kosten bedragen tenminste 15% van het te vorderen bedrag met een minimum van € 70,vermeerderd met portokosten per afzonderlijk gevorderd factuurbedrag. 6- Indien er door het model en/of Human Models kosten, (buiten) gerechtelijke of andere terzake dienende kosten, gemaakt moeten worden om aantoonbaar te maken dat


opdrachtgever zich niet aan de boekingsvoorwaarden houdt, alleen indien dit laatste ook blijkt, dan komen deze kosten voor rekening van de opdrachtgever. 7. Indien de opdrachtgever niet binnen 8 dagen na de factuurdatum schriftelijk en gemotiveerd zal reclameren, wordt hij geacht volledig in te stemmen met de inhoud van de ontvangen factuur. De opdrachtgever is alsdan niet gerechtigd zijn verplichtingen op grond van eventuele reclames op te schorten. 8. De opdrachtgever blijft te allen tijde aansprakelijk voor de betaling van de factuur. Artikel 9. ‘Mooi weer’ boekingen 1- Indien de opdrachtgever bij zijn boeking duidelijk te kennen heeft gegeven, dat deze alleen geldt onder de voorwaarde dat het weer goed is(verder ‘mooi-weer boeking’), dan kan een dergelijke boeking eenmaal kosteloos worden geannuleerd. 2- Indien deze mooi-weer boeking wordt herhaald en voor de tweede maal wordt geannuleerd, is de helft van het factuurbedrag verschuldigd. Bij een derde annulering is het gehele factuurbedrag verschuldigd ongeacht de tijd die is verstreken na de voorafgaande annulering. Artikel 10. Annuleringen 1- Indien de opdrachtgever meer dan 48 uur, en voor in het buitenland verblijvende of woonachtige modellen meer dan 72 uur, voor de boekingsdatum de boeking annuleert, zijn er geen kosten verschuldigd. Ongeacht of de annulering de opdrachtgever verweten of aangerekend kan worden, is indien er binnen de termijn van 48 uur c.q. 72 uur wordt geannuleerd, 50% van het volledige, overeengekomen factuurbedrag verschuldigd en 100% is verschuldigd als er op de boekingsdatum zelf wordt geannuleerd. 2- Bij meerdaagse boekingen is lid 1 overeenkomstig van toepassing, met dien verstande dat de annuleringstermijn even lang is als de boekingstermijn Artikel 11. Boetebeding Indien de opdrachtgever in de nakoming van zijn in de artikelen 4, 5 en 6 omschreven meldplicht en/of betalingsplicht tekortschiet, verbeurt de opdrachtgever, zonder dat ingebrekestelling is vereist, ten gunste van het model en Human Models een direct opeisbare boete van vijf maal het factuurbedrag bij elk verzuim door de opdrachtgever. Artikel 12. Aansprakelijkheid 1- Human Models is uitsluitend aansprakelijk voor directe schade geleden door opdrachtgever ten gevolge van verwijtbare niet-behoorlijke uitvoering van de opdracht door Human Models tot maximaal het bedrag dat de schadeverzekeraar ter zake uitkeert. 2- Voorwaarde voor het ontstaan van enig recht op schadevergoeding als in lid 1 bepaald is steeds dat Human Models na het ontstaan van de schade zo spoedig mogelijk maar uiterlijk binnen 8 dagen door opdrachtgever schriftelijk op de hoogte zijn gesteld. 3- Opdrachtgever vrijwaart Human Models tegen aanspraken van derden, in het bijzonder tegen aanspraken van het model wegens schade geleden door het model op de locatie waar uitvoering gegeven wordt aan de opdracht. Onder locatie wordt voor deze bepaling bedoeld de plaats waar wordt gefotografeerd, gefilmd of anderszins opnamen gemaakt. Artikel 13. Derden 1- Indien de opdrachtgever op enigerlei wijze met derden overeenkomt omtrent het gebruik van enig in de bovenstaande voorwaarden genoemd materiaal, zal de duur van die overeenkomst de duur van de met het model gesloten overeen komst niet overtreffen, behoudens zijn/haar voorafgaande, schriftelijke toestemming (via Human Models). 2- Bij overtreding van het eerste lid verbeurt de opdrachtgever ten gunste van het model een direct opeisbare boete van vijf maal het factuurbedrag zonder dat ingebrekestelling is vereist. 3- Naast de in lid 2 genoemde boete blijft de opdrachtgever jegens het model volledig schadeplichtig terzake van overtredingen van lid 1.


4- Opdrachtgever verbindt zich jegens het model op verbeurde van een boete van vijf maal het factuurbedrag om een met derde te sluiten overeenkomst, als bedoeld in lid 1, een boeteclausule op te nemen voor het geval deze derde(n) zonder toestemming van opdrachtgever gebruik maakt/maken van het materiaal nadat de met opdrachtgever gesloten overeenkomst is beëindigd. Deze boete dient vijf maal het factuurbedrag te bedragen per overtreding en is door deze derde direct verschuldigd aan het model. 5- Alle betalingen van de boetes verlopen via Human Models die er zorg voor draagt dat de gelden aan het desbetreffende model worden overgemaakt. Artikel 14. Geschillenregeling Op deze boekingsvoorwaarden is het Nederlandse recht van toepassing. Alle uit een met het model gesloten (boekings) overeenkomst voortvloeiende geschillen worden beoordeeld naar Nederlands recht en dienen te worden gebracht voor de bevoegde rechter te Den Haag. Artikel 15. Wijzigingen Het staat Human Models vrij om deze algemene voorwaarden naar eigen inzicht en op welk moment dan ook te wijzigen.Human Models, namens de modellen
