General Terms and Conditions BookYou (English) Article 1 – Definitions Application: Web-based internet applications and underlying software developed by BookYou to provide automated services, as detailed on the website www.bookyou.com. Connection: the possibility to make use of the Service and access to the Server (s) of BookYou. Booking: the (automatic) processing and scheduling of an appointment. BookYou: (BookYou) Hoogoorddreef 131, 1101 BB, Amsterdam. Content: through, or in conjunction with, the Service, or additional services by BookYou, or products offered by third parties, which can contain, amongst others, text, audio, data and/or image files and software applications. Service: making the Application available and keeping it on BookYou’s Server, at a fee, for the (automated) processing of Bookings. Customer: a natural person or a legal entity who enters into an agreement with BookYou to provide services. Agreement: the agreement to supply the Service by BookYou to the Customer. The prices and general conditions of BookYou are part of the agreement. Server: computer(s) managed by BookYou and related hardware, web server apparatus, the Application, supporting software and/or database software, which are accessible through the internet. Access code: access code that, together with the user name, gives access to the Server. Article 2 –General provisions and applicability 2.1 2.2 2.3

The Customer is aware of the contents of these general terms and conditions and accepts the applicability of these general terms and conditions to the Agreement with BookYou. These general terms and conditions apply to all offers, Agreements for the delivery of the Service by BookYou, as well as to all (legal) actions that reasonably precede them. The Agreement for services between the parties can be entered into either in writing or verbally. During the verbal conclusion of the agreement, information relevant to the parties can be included in whole or in part (by telephone). The Customer may use additional services offered by BookYou. These general terms and conditions are applicable to these additional services. Additional conditions may apply to additional services. These general conditions can be changed unilaterally by BookYou. The applicability of purchasing, or other conditions of the Customer, are hereby explicitly excluded. Deviations from and additions to these general terms and conditions by the Customer will only be valid if explicitly agreed upon in writing. These general terms and conditions are registered at the Chamber of Commerce in Amsterdam under number (34187327).

BookYou will implement the agreed services to the best of their ability and understanding. All services by BookYou are implemented based on a best endeavours obligation. The Customer must adhere to the requirements that are (can be) made to the reasonable use of the Service(s). BookYou is authorized to have the services implemented by third parties without consent of the Customer, providing that this does not affect the agreed upon quality. BookYou can provide access codes or grant authorizations for the Service(s). Provided Access Codes and/or authorizations are not transferable and strictly personal and exclusively for use within the organization of the Customer. The Customer must protect the access codes and/or authorizations against cognisance or use by unauthorized persons. The Customer is responsible for all use, with or without the consent of the Service(s) and the Access Code(s) or authorizations made available to him. When there is a (suspected) unauthorized use, BookYou is entitled to block access codes or authorizations immediately. BookYou can change the Access Code(s) at its sole discretion after which they will inform the Client timely about this. BookYou can deactivate the Access Code(s) or suspend the service if they have a serious suspicion that it is used in
The Agreement is concluded for an initial contract period of 12 months. The Agreement will tacitly be extended by 12 months after the expiry of the initial contract period. The Customer may terminate the Agreement at the expiry of the contract period by means of a written notice to BookYou (Hoogoorddreef 131, 1101 BB /

Article 5 –Decommissioning and termination

It is forbidden to copy, distribute or manipulate the technical information, software and security of the Service without prior written permission by BookYou. The Service makes use of the internet and the IT infrastructure of the Customer that is not supplied by BookYou. Malfunctions can thus occur caused by external sources or by third parties on which the parties are dependent. BookYou cannot always guarantee the quality of a connection and the availability of the Service. BookYou therefore does not provide any assurance in this regard.

BookYou can decommission the Service or supplementary service offered to the Customer wholly or partially without notice: a) if the customer fails to comply with his/her obligations under the Agreement or does not comply with the requirements that could be expected for a reasonable use, b) if the Customer has provided wrong or incomplete information to BookYou at or after the conclusion of the Agreement. The decommissioning takes place without the Customer being entitled to any compensation. The decommissioning ends once BookYou has determined that the Customer has fulfilled all his/her obligations. The costs of decommissioning, as well as of the re-establishment, will be borne by the Customer. The decommissioning of the Service does not relieve the Customer from his/her obligations under the Agreement. If BookYou determines that the Customer has not yet fulfilledhis/her obligations within a period of 14 days after being requested in writing by BookYou, then BookYou can terminate the Agreement, whereby the claims of the Client towards BookYou will lapse. The Customer is liable for all damages, including lost income for the remaining term of the Agreement, which BookYou suffers as a result of the failure of the Customer and the subsequent dissolution of the Agreement. BookYou is entitled to terminate the Agreement in the event of a bankruptcy application, a request for a suspension of payments, a discontinuation of the activities of the Customer, attachment, debt restructuring or a declaration of lack of capacity of the Customer. In case of dissolution by BookYou under this Article, the Customer is immediately liable for all remaining payments under the Agreement for the remaining minimum contract period. A remigration of the Service occurs upon termination of the Agreement. BookYou will make the user data, e-mail- and application data and the business-specific software of the Customer available to the Customer. Costs incurred by BookYou due to the remigration of the service will be charged to the Customer based on the actual costs. There is no (legal) retention period for BookYou regarding the data and information supplied by the Customer. BookYou is entitled to remove and destroy data that, with the help of the Service, have been stored, prepared, processed or otherwise entered, from the Server immediately and without prior notice upon termination of the Agreement, unless indicated that he/she (the Customer) wished for the data to be transferred immediately after the termination of the Agreement.
Article 6 – Rates and payment 6.1
During the duration of the agreement, the Customer is liable for the remuneration as included in the BookYou price lists, or elsewhere in the Service's prices and conditions made known

appropriately. BookYou is entitled to change its rates, unless otherwise agreed in writing by the parties involved. BookYou has the right to collect subscription fees and other amounts that the Customer owes under this Agreement in advance by means of a direct debit, or to collect the amount by means of other electronic payment systems (iDeal or similar payment systems). The Customer is in any case obliged to pay the amounts due within the period stated on the invoice, in the manner that was agreed upon. Complaints regarding the invoice must be reported to BookYou before the expiry of the payment period. The mere filing of a complaint does not suspend the payment by the Customer. The Customer is legally in default, without further notice, after expiry of the payment period. In such a case BookYou is entitled to charge the monthly statutory default interest from the expiry of the payment period, as well as administrative and extrajudicial costs.

The Parties are in agreement regarding the use of the Service for a limited number of user licenses. The license provides the Customer with a limited right of use of the Application in accordance with the delivered Service(s) for a specific duration. The Customer is not entitled, without prior written permission by BookYou, to transfer the license to third parties. The right of use is regarded as the functional use of the Application in the framework of the normal activities of the Customer. If and insofar BookYou provides software of third parties to the Customer, the terms and conditions of those third parties’ software will apply, provided BookYou has informed the Customer about this in writing or electronically.

The client will in no way infringe on the intellectual property rights of BookYou and/or third parties. If data, by using the Service(s) of BookYou, is stored, prepared, processed or otherwise unlawfully entered with regards to third parties, then BookYou is entitled to remove this information from the Server and destroy it immediately without prior notice. The Customer already grants BookYou permission to remove and destroy all offending data from the server. BookYou will in no case be liable for any damages resulting from this action. The Customer is responsible for the availability and functioning of the (peripheral) hardware and software, help applications, configuration and internet connection that he/she uses and for maintaining a connection to the energy network and other connections needed for access to and use of the Service. BookYou is also not responsible neither liable for any loss or damage of Content or Data that is stored in the memory of the hardware or on other media where the Customer stores Content or Data. BookYou is neither responsible nor liable for the content and operation of Content and Content Services that the Customer obtains from third parties. The Customer is not entitled to correct nor have independent errors corrected in the software of the Service(s), to make any adjustments, to transfer to other hardware, to interface with other hardware and software, to expand functionality independently, to change parameters or remove securities.

BookYou will endeavour to let the functioning of the agreed Service(s) run properly and strive to maximize the availability, quality and security of the Service. However, BookYou does not give any guarantee in this regard. BookYou reserves the right to modify the technical characteristics of the Application, or to have them modified in the interim, in order to improve the functionality and to repair eventual errors, or have them repaired, or to comply with rules under, or laid down by, the law. BookYou endeavours to trace eventual errors in the Application and correct them, or have them
The liability of BookYou, due to accountability shortcomings in fulfilling the agreed service, arises only if the Customer places BookYou immediately and properly in default by claiming a reasonable period to restore the shortcomings and BookYou, after that period, remains accountable for not fulfilling its obligations. BookYou facilitates the BookYou Application, not the actual Booking or other possible payments of the delivery obligations of the Customer to third parties or co-users of the Application. The total liability of BookYou, on whichever grounds, is limited to the remuneration of direct damages up to the maximum amount paid for the annual fee of the delivered Service (excluding VAT). Direct damage is exclusively understood as: a. damage to software and hardware as a result of defective or malfunctioning of the Service; b. material damage to other properties of the other party and/or third parties. Liability by BookYou for indirect damage, which includes consequential damages, lost profits, staff costs, loss of goodwill, lost savings, loss of information, corruption or loss of data, delays in delivery of goods and services, damage due to business interruptions, damage due to claims of customers of the Customer and inertia, is always excluded. BookYou is not liable for damages to the Customer and/or third parties that arise from the unauthorized use of the Access Code(s) and/or authorizations. The liability restrictions contained in this Article do not apply if there is intent or gross negligence. The condition for the emergence of any right to compensation still remains that the Customer must report the damage as soon as possible (no later than one month) after the occurrence thereof in writing to BookYou. The limitations of liability mentioned in this article apply to all indemnities. The Customer bears the risk for damage caused by defects or unsuitability of goods or services that come from him or that are supplied or prescribed by him. BookYou is never liable for damages of any nature whatsoever that arise from or are caused by improper, careless or incompetent use, or used for other than the normal use of the services provided by BookYou. If, as a result of an event referred to in this Article, more than one debt arises and the combined claims mentioned in Article 10.2 are in excess of the prescribed limits per occurrence, BookYou is required only to comply in proportion to the extent of the claims.

If a material defect in the functionality of the Application occurs because of such an amendment, BookYou will notify the Customer of this in writing or electronically. BookYou can, for the benefit of maintenance, decommission the Application in whole or in part. BookYou will give notice of this decommissioning timely and in advance, unless it pertains to short or limited interruptions. BookYou will never be held liable to pay any compensation to the Customer because of such a decommissioning of the Service. Eventual malfunctions will be examined by BookYou as soon as possible. BookYou will endeavour to rectify the fault as soon as possible. The technical characteristics of the Service and/or the Application can be amended by BookYou.

In the event of force majeure, BookYou is not compelled to fulfil its obligations to the Customer; respectively the obligation is suspended for as long as the force majeure lasts. Force majeure includes any circumstance beyond the control of BookYou, thus preventing the fulfilling of its obligations to the Customer in whole or in part. Force majeure is regarded in particular as: terrorism, strikes, fires, business disturbances, power failures, telecommunications failures, no or late delivery by suppliers or other engaged third parties and the absence of any necessary permit and/or license that must be obtained. If there is any force majeure, BookYou will attempt to limit the inconvenience to the customer as much as possible by finding an appropriate (alternative) solution in consultation with the
Customer. Article 12 – Escrow 12.1

The parties could agree to lodge the (technical) specifications of the Service(s) of BookYou at a designated escrow agent appointed jointly by the parties. The costs that are incurred will be borne by the Client as the beneficiary. If BookYou has entered into an agreement with a professional (semi) active escrow for all the relevant service(s) before, the parties may agree to declare the Customer as a third beneficiary.

All offers, tenders and price quotations by BookYou and all agreements between the Customer and BookYou, as well as these general terms and conditions and eventual additional conditions, are governed by Dutch law. If necessary, disputes will therefore be submitted to the competent Dutch court in Amsterdam. If any provision of these terms and conditions or of an agreement is invalid, illegal or unenforceable, the remaining provisions of these terms and conditions will remain in full force.

The processing of your data is necessary for the handling of applications, the use of the Application, the sending of notices, collecting remunerations, newsletters, user statistics and commercial customer communications. Without processing your data, we cannot deliver our services to you. Secondly, your data are also used for doing research and the performing of analysis, or to have it done, with the objective to improve our service(s) and the website.

Collecting of information What data are processed? Personal information is information that can be traced to individual natural persons. BookYou processes your personal data first when you sign up as a Customer. That is when BookYou requests, amongst other things, your name, address, city, bank account number and e-mail address. In order to make use of the services that BookYou offers, a BookYou account must be created. When such an account is created, the account holder will provide certain information. Not all data are hereby required: contact person, country, city, postal code, telephone number, gender, username, e-mail address and password are compulsory. These data are sufficient to be able to use BookYou. When creating the BookYou account, other fields can also be filled out directly in “user data”, with the objective to be able to carry out accurate communication. All information provided is processed by BookYou. BookYou collects information that is automatically generated regarding the use of BookYou by a user. This information

includes the IP address, browser type, the pages visited and “cookies”, whose use will be explained below: To implement the service, BookYou makes use of cookies that are stored by the web browser onto a computer. Cookies are pieces of information that the BookYou server sends to the user web browser that are linked back to the BookYou’s server at a next visit. Cookies cannot damage a computer or the files that are stored on your computer. The cookies store information to make a subsequent use of BookYou easier. This information contains, besides your IP address, no name or address or other personal information. The web browser can be set so that no cookies are received, in which case it may happen that the user cannot use all the features of BookYou, or has no access to (subsections of) BookYou. If the user makes use of cookies, he should log out after leaving a public computer. If a user has multiple accounts with BookYou, the computer may not differentiate correctly between the information. BookYou advises these users to work with different browsers, such as Internet Explorer, Google Chrome and Firefox. If a change in the page design is not directly visible on the associated site, the user must reload the page by pressing “control + F5” and the link “renew”, at the bottom left of the page. BookYou also sells its services via its selected partners. For this purpose, BookYou can provide your personal information to its partners. Conversations between the Customer and BookYou can be recorded. These recordings have the objective of being processed with respect to the unambiguous and transparent commitment of services agreed upon between the parties and service-related appointments and requested and provided service information. This recorded information can be provided to the Customer at the Customer’s request. Protection of personal data BookYou will take appropriate technical and organizational measures to protect (personal) data against loss or against any form of unlawful processing, in accordance with the Data Protection Act (WBP) The user has the right to truthfully change personal data in the BookYou account. If BookYou has recorded information about an account that cannot be changed by a user, we refer you to our contact form. Responsibility BookYou reserves the right to place hyperlinks on the website, whereby the user will be transferred to the website of another party. This other party could have other regulations, therefore BookYou does not accept any responsibility or liability for (the operation and/or content of) third party websites. The user can authorize other applications to make use of the information from BookYou. BookYou has no influence on the operation of these applications, or what happens to the data of a user, if use is made of such an application. If a user gives permission for the use of personal data, it also falls outside the responsibility of BookYou. This given permission can always be withdrawn.

Market research and marketing- and sales activities BookYou will process your personal data for market research and marketing- and sales activities (also after termination of the contract) for the benefit of BookYou’s own services and BookYou affiliates. Retention periods BookYou will not store your data longer than legally permissible and necessary for the realization of the purposes for which your data is processed. How long certain data are stored depends on the nature of the data and the purposes for which they are processed. The retention period per data can therefore differ. De Klant heeft kennisgenomen van de inhoud van deze algemene voorwaarden en accepteert de toepasselijkheid van deze algemene voorwaarden op de Overeenkomst met BookYou. Deze algemene voorwaarden zijn van toepassing op alle aanbiedingen, Overeenkomsten tot het leveren van de Dienst door BookYou, alsmede op alle (rechts)handelingen, die daaraan redelijkerwijs voorafgaan. De Overeenkomst tot dienstverlening kan tussen partijen schriftelijk of mondeling worden afgesloten. Bij het mondeling sluiten van de overeenkomst kan de voor partijen relevante informatie geheel of gedeeltelijk (telefonisch) worden opgenomen. De Klant kan gebruikmaken van aanvullende diensten die worden aangeboden door BookYou. Deze algemene voorwaarden zijn van toepassing op deze aanvullende diensten. Op aanvullende diensten kunnen daarnaast aanvullende voorwaarden van toepassing zijn. Deze algemene voorwaarden kunnen door BookYou eenzijdig worden gewijzigd. De toepasselijkheid van inkoop- of andere voorwaarden van de Klant worden hierbij uitdrukkelijk uitgesloten. Afwijkingen en aanvullingen van deze algemene voorwaarden door de Klant zijn slechts geldig indien deze uitdrukkelijk en schriftelijk zijn overeengekomen. Deze algemene voorwaarden zijn gedeponeerd bij de Kamer van Koophandel te Amsterdam onder nummer (34187327).

BookYou zal de overeengekomen dienstverlening naar beste kunnen en inzicht uitvoeren. Alle diensten van BookYou worden uitgevoerd op basis van een inspanningsverbintenis. De Klant dient zich te houden aan de eisen die aan een redelijk gebruik van de Dienst(en) gesteld (kunnen) worden. BookYou is bevoegd, zonder toestemming van de Klant, de dienstverlening uit te laten voeren door derden, indien zulks geen afbreuk doet aan de overeengekomen kwaliteit. Voor de Dienst(en) kan BookYou toegangscodes verstrekken of autorisaties verlenen. Verstrekte Toegangscodes en/of autorisaties zijn niet overdraagbaar en strikt persoonlijk en
De Overeenkomst wordt aangegaan voor een initiële contractperiode van 12 maanden. De Overeenkomst wordt na het verstrijken van de initiële contractperiode telkenmale stilzwijgend verlengd met 12 maanden. De Klant kan de Overeenkomst tegen het verstrijken van de contractperiode schriftelijk opzeggen via BookYou (Hoogoorddreef 131, 1101 BB /
[email protected]) onder vermelding van de datum van opzegging, dit met inachtneming van een opzegtermijn van 2 maanden.
Artikel 5 – Buitengebruikstelling en ontbinding 5.1

Artikel 3 – Uitvoering en gebruik van de Dienst 3.1
uitsluitend voor gebruik binnen de organisatie van de Klant. De Klant dient de toegangscodes en/of autorisaties te beschermen tegen kennisname of gebruik door onbevoegden. De Klant is verantwoordelijk voor elk gebruik, met of zonder zijn toestemming van de Dienst(en) en van de aan hem beschikbaar gestelde Toegangscode(s) of autorisaties. Bij (een vermoeden van) onbevoegd gebruik, is BookYou gerechtigd toegangscodes of autorisaties onverwijld te blokkeren. BookYou kan de Toegangscode(s) naar eigen inzicht wijzigen waarna zij Opdrachtgever hiervan tijdig op de hoogte zal stellen. BookYou kan de Toegangscode(s) buiten gebruik stellen of de dienstverlening opschorten indien zij een ernstig vermoeden heeft dat deze gebruikt wordt in strijd met het bepaalde in deze algemene voorwaarden en/of deze Aanvullende. De verplichting tot betaling blijft gedurende een dergelijke buitengebruikstelling bestaan. Het is verboden de technische informatieve, software en beveiligingen van de Dienst zonder voorafgaande schriftelijke toestemming van BookYou te kopiëren, te verspreiden of te manipuleren. De Dienst maakt gebruik van het internet en van de IT infrastructuur van de Klant die niet door BookYou worden geleverd. Zodoende kunnen er storingen ontstaan door externe bronnen of door derden waarvan partijen afhankelijk zijn. BookYou kan de kwaliteit van een verbinding en de beschikbaarheid van de Dienst niet altijd waarborgen. BookYou verstrekt dan ook geen garantie dienaangaande.

BookYou kan, zonder ingebrekestelling, de aan de Klant aangeboden Dienst of aanvullende dienst geheel of gedeeltelijk buiten gebruik stellen: a) indien de Klant zijn/haar verplichtingen uit hoofde van de Overeenkomst niet nakomt of zich niet houdt aan de eisen die aan een redelijk gebruik gesteld kunnen worden, b) indien de Klant bij of na het sluiten van de Overeenkomst verkeerde of onvolledige informatie aan BookYou heeft verstrekt. De buitengebruikstelling vindt plaats zonder dat de Klant aanspraak kan maken op enige vergoeding. De buitengebruikstelling eindigt wanneer BookYou vaststelt dat de Klant alsnog al zijn/haar verplichtingen is nagekomen. De kosten van buitengebruikstelling alsook van het opnieuw in dienst stellen zijn voor rekening van de Klant. Het buiten gebruik stellen van de Dienst ontheft de Klant niet van haar verplichtingen onder de Overeenkomst. Indien BookYou vaststelt dat de Klant binnen een periode van 14 dagen na daartoe door BookYou schriftelijk te zijn verzocht haar verplichtingen niet alsnog is nagekomen, dan kan BookYou de Overeenkomst beëindigen, waarbij de aanspraken van de Klant jegens BookYou komen te vervallen. De Klant is aansprakelijk voor alle schade, waaronder gederfde inkomsten resterende looptijd van de Overeenkomst, die BookYou lijdt als gevolg van de tekortkoming van de Klant en de daaropvolgende ontbinding van de Overeenkomst. BookYou is gerechtigd de Overeenkomst te ontbinden in het geval van aanvraag faillissement, aanvraag surseance van betaling, staking van de activiteiten van de Klant, beslag, schuldsanering dan wel ondercuratelestelling van de Klant. Bij ontbinding door BookYou ingevolge dit artikel is de Klant per direct alle resterende vergoedingen uit hoofde van de Overeenkomst voor de resterende minimale contractperiode verschuldigd.

Bij beëindiging van de Overeenkomst vindt een remigratie van de Dienst plaats. BookYou zal de gebruikersdata, e-mail- en applicatiedata en de bedrijfsspecifieke software van de Klant beschikbaar stellen aan de Klant. Kosten die door BookYou worden gemaakt ten gevolge van de remigratie van de dienstverlening zullen op basis van nacalculatie aan de Klant in rekening worden gebracht. Op BookYou rust geen (wettelijke) bewaartermijn voor de door de Klant ingevoerde data en gegevens. Bij beëindiging van de Overeenkomst is BookYou gerechtigd gegevens die met behulp van de Dienst worden opgeslagen, bewerkt, verwerkt of anderszins ingevoerd per direct, zonder voorafgaande mededeling, van de Server te verwijderen en te vernietigen, tenzij de onverwijld na het beëindigen van de Overeenkomst heeft aangegeven dat hij overdracht van de gegevens wenst.

Gedurende de looptijd van de overeenkomst is de Klant de vergoedingen verschuldigd zoals opgenomen in de BookYou prijslijsten of elders op voor de Dienst geëigende wijze kenbaar gemaakte tarieven en voorwaarden. BookYou is gerechtigd haar tarieven te wijzigen, tenzij door partijen anders schriftelijk is overeengekomen. BookYou heeft het recht om abonnementsgelden en andere bedragen die de Klant onder deze Overeenkomst verschuldigd is vooruit te incasseren doormiddel van automatische incasso of de bedragen doormiddel van andere elektronische betalingssystemen te incasseren (iDeal of vergelijkbare betalingssystemen). De Klant is in elk geval gehouden de verschuldigde bedragen te betalen binnen de termijn als op factuur vermeld, op de wijze zoals overeengekomen. Klachten betreffende de factuur dienen voor het verstrijken van de betalingstermijn aan BookYou gemeld te worden. Het louter indienen van een klacht schort de betalingsverplichting van de Klant niet op. Na het verstrijken van de gestelde betalingstermijn is de Klant van rechtswege zonder nadere ingebrekestelling in verzuim. BookYou is in dat geval gerechtigd om vanaf het verstrijken van de betalingstermijn de wettelijke vertragingsrente maandelijks in rekening te brengen, alsmede administratiekosten en buitengerechtelijke kosten.

Partijen komen voor gebruik van de Dienst een gelimiteerd aantal gebruikslicenties overeen. De licentie voorziet de Klant in een beperkt gebruiksrecht van de Applicatie in overeenstemming met de geleverde Dienst(en) voor een bepaalde tijdsduur. De Klant is niet gerechtigd om zonder voorafgaande schriftelijke toestemming van BookYou het gebruiksrecht aan derden over te dragen. Het gebruiksrecht ziet op het functioneel gebruik van de Applicatie in het kader van de normale activiteiten van de Klant. Indien en voor zover BookYou programmatuur van derden aan de Klant ter beschikking stelt, zullen, mits zulks door BookYou schriftelijk of elektronisch aan de Klant is meegedeeld, voor wat betreft die programmatuur de voorwaarden van die derden van toepassing zijn.
Opdrachtgever zal op geen enkele wijze inbreuk maken op intellectuele eigendomsrechten van BookYou en/of derden. Indien gegevens met behulp van Dienst(en) van BookYou worden opgeslagen, bewerkt, verwerkt of anderszins ingevoerd onrechtmatig zijn jegens derden, dan is BookYou gerechtigd deze gegevens per direct, zonder voorafgaande mededeling, van de Server te verwijderen en te vernietigen. Reeds nu voor alsdan verleent de Klant toestemming aan BookYou om alle
BookYou zal zich inspannen om de overeengekomen Dienst(en) steeds naar behoren te doen functioneren en streeft naar een zo hoog mogelijke beschikbaarheid, kwaliteit en beveiliging van de Dienst. BookYou geeft echter geen enkele garantie ter zake. BookYou behoudt zich het recht voor om de technische eigenschappen van de Applicatie tussentijds te (laten) wijzigen om de functionaliteit te verbeteren en om eventuele fouten te (laten) herstellen of om te voldoen aan bij of krachtens de wet gestelde regels. BookYou spant zich in om eventuele fouten in de Applicatie op te sporen en te (laten) herstellen, echter BookYou kan niet garanderen dat alle fouten worden hersteld. Indien door een dergelijke wijziging een materiële afwijking in de functionaliteit van de Applicatie optreedt, zal BookYou de Klant daarvan schriftelijk of elektronisch op de hoogte stellen. BookYou kan ten behoeve van het onderhoud de Applicatie geheel of gedeeltelijk buiten gebruik stellen. BookYou zal deze buitengebruikstelling tijdig en van tevoren kenbaar maken, tenzij het gaat om korte of beperkte onderbrekingen. BookYou zal wegens zodanige buitengebruikstelling van de Dienst nimmer tot enige schadevergoeding jegens de Klant gehouden zijn. Eventuele storingen zullen zo spoedig mogelijk door BookYou worden onderzocht. BookYou zal zich ertoe inspannen om de storing zo spoedig mogelijk op te lossen. De technische eigenschappen van de Dienst en/of de Applicatie kunnen door BookYou gewijzigd worden.
Artikel 10 - Aansprakelijkheid 10.1

inbreukmakende gegevens van de Server te verwijderen en te vernietigen. BookYou zal in geen enkel geval aansprakelijk zijn voor enige schade die voortvloeit uit dit handelen. De Klant is zelf verantwoordelijk voor het beschikbaar hebben en functioneren van de door hem gebruikte (rand)apparatuur en software, hulpapplicaties, configuratie en internetverbinding en voor de instandhouding van een aansluiting op het energienetwerk en andere aansluitingen die nodig zijn voor de toegang tot en gebruik van de Dienst. Tevens is BookYou niet verantwoordelijk noch aansprakelijk voor verlies of beschadiging van Content of Data die is opgeslagen in het geheugen van de apparatuur of op andere dragers waarop de Klant de Content of Data bewaart. BookYou is niet verantwoordelijk noch aansprakelijk voor de inhoud en werking van Content en Contentdiensten die de Klant van derden afneemt. De Klant is niet gerechtigd zelfstandig fouten in de software van de Dienst(en) te (doen) corrigeren, er aanpassingen in aan te brengen, over te brengen naar andere apparatuur, te koppelen met andere apparatuur en software, zelfstandig de functionaliteit uit te breiden, parameters te wijzigen of beveiligingen te verwijderen.

De aansprakelijkheid van BookYou wegens toerekenbare tekortkoming in de nakoming van de overeengekomen dienstverlening ontstaat slechts indien de Klant BookYou onverwijld en deugdelijk schriftelijk in gebreke stelt, stellende daarbij een redelijke termijn ter zuivering van de tekortkoming en BookYou ook na die termijn toerekenbaar in de nakoming van zijn verplichtingen tekort blijft schieten. BookYou faciliteert de BookYou Applicatie, niet de feitelijke Boekingen of mogelijke overige betaling of leveringsverplichtingen van de Klant naar derden of medegebruikers van de Applicatie. De totale aansprakelijkheid van BookYou, uit welke hoofde dan ook, is beperkt tot vergoeding van directe schade tot maximaal het betaalde bedrag van de jaarlijkse vergoeding van de geleverde Dienst (exclusief BTW). Onder directe schade wordt uitsluitend verstaan: a schade aan programmatuur en apparatuur als gevolg van gebrekkig of niet functioneren van de Dienst; b materiële schade aan andere eigendommen van de andere partij en/of derden; Aansprakelijkheid van BookYou voor indirecte schade, daaronder begrepen gevolgschade, gederfde winst, personeelskosten, verminderde goodwill, gemiste besparingen,

verlies van gegevens, verminking of verlies van data, vertraging in de levertijd van goederen en diensten, schade door bedrijfsstagnatie, schade als gevolg van aanspraken van afnemers van De Klant, en leegloop, is te allen tijde uitgesloten. BookYou is niet aansprakelijk voor schade bij de Klant en/of derden die is ontstaan door onbevoegd gebruik van de Toegangscode(s) en/of autorisaties. De in dit artikel opgenomen beperkingen van aansprakelijkheid gelden niet indien sprake is van opzet of grove schuld. Voorwaarde voor het ontstaan van enig recht op schadevergoeding is steeds dat de Klant de schade zo spoedig mogelijk (uiterlijk een maand) na het ontstaan daarvan schriftelijk bij BookYou meldt. De beperkingen van de aansprakelijkheid genoemd in dit artikel zijn van overeenkomstige toepassing op vrijwaringen. De Klant draagt het risico voor schade veroorzaakt door gebreken of ongeschiktheid van zaken of diensten die van hem afkomstig zijn dan wel door hem zelf worden afgenomen of worden voorgeschreven. Voor schade van welke aard dan ook, die is ontstaan of veroorzaakt door onjuist, onzorgvuldig of ondeskundig gebruik, of door gebruik voor andere dan normale doeleinden van door BookYou geleverde diensten, is BookYou nimmer aansprakelijk. Indien als gevolg van een gebeurtenis als bedoeld in dit artikel meer dan één vordering ontstaat en de gezamenlijke vorderingen de in artikel 10.2 per gebeurtenis gestelde maxima te boven gaan, is BookYou slechts verplicht de vorderingen naar evenredigheid van de omvang daarvan te voldoen.

Door acceptatie van dit privacy statement geeft u ondubbelzinnig toestemming voor de verwerking van de genoemde persoonsgegevens voor het doel zoals omschreven in dit document. Dit privacy statement kan van tijd tot tijd wijzigen indien nieuwe ontwikkelingen daartoe aanleiding geven. Het meest actuele privacystatement vind je altijd op www.bookyou.com. Wat doet BookYou? BookYou stelt een online boekingsapplicatie beschikbaar.

Informatie toepassingen en doeleinden Book You verwerkt je persoons-, verkeers- en locatiegegevens in de eerste plaats om de diensten aan je te kunnen leveren en de betaling te realiseren. Voor het in behandeling nemen van aanvragen, het gebruik maken van de Applicatie, het versturen van nota, het incasseren van vergoedingen, nieuwsbrieven, gebruikersstatistieken, commerciële klantcommunicatie, is verwerking van je gegevens noodzakelijk. Zonder verwerking van je gegevens kunnen wij onze diensten niet aan je leveren. Je gegevens worden daarnaast gebruikt voor het doen van onderzoek en het (laten) uitvoeren van analyses, met als doel om onze dienst(en) en website te verbeteren.

In geval van overmacht is BookYou niet gehouden haar verplichtingen jegens de Klant na te komen, respectievelijk wordt de verplichting opgeschort zolang de overmacht duurt. Onder overmacht wordt verstaan elke van BookYou haar wil onafhankelijke omstandigheid, waardoor nakoming van haar verplichtingen jegens de Klant geheel of ten dele wordt verhinderd. In het bijzonder geldt als overmacht: terrorisme, stakingen, brand, bedrijfsstoringen, energiestoringen, telecommunicatiestoringen, niet of niet tijdige levering van toeleveranciers of andere ingeschakelde derden en het ontbreken van enige te verkrijgen noodzakelijke vergunning en/of licentie. BookYou zal indien er sprake is van overmacht, de overlast voor de Klant zoveel mogelijk proberen te beperken, door in overleg met de Klant een passende (alternatieve) oplossing te vinden.

Artikel 12 – Escrow 12.1

Partijen kunnen overeenkomen om de (technische) specificaties van de Dienst(en) van BookYou bij een gezamenlijk door partijen aan te wijzen escrow agent onder te brengen. Kosten die daarmee zijn gemoeid komen voor rekening van de Klant als begunstigde. Indien BookYou voordien al voor de betreffende dienst(en) een professionele (semi) actieve escrow overeenkomst is aangegaan, dan kunnen partijen overeenkomen om de Klant als derde-gerechtigde aan te melden.

Artikel 13 - Toepasselijk recht 13.1

Alle aanbiedingen, offertes en prijsopgaven van BookYou en alle tussen de Klant en BookYou gesloten overeenkomsten, alsmede deze algemene voorwaarden en eventuele aanvullende voorwaarden, worden beheerst door het Nederlands recht. Geschillen zullen derhalve indien noodzakelijk worden voorgelegd aan de bevoegde Nederlandse rechter in Amsterdam. Indien enige bepaling van deze algemene voorwaarden of van een overeenkomst ongeldig, onwettig of niet afdwingbaar is, zullen de overige bepalingen van deze voorwaarden volledig van kracht blijven.

Informatieverzameling Welke gegevens worden verwerkt? Persoonsgegevens zijn gegevens die zijn te herleiden tot individuele natuurlijke personen. Book You verwerkt persoonsgegevens van je in de eerste plaats als je je aanmeldt als Klant. Book You vraagt dan onder meer je naam, adres, woonplaats, giro- of bankrekeningnummer, e-mailadres. Om gebruik te kunnen maken van de diensten die Book You aanbiedt, moet een BookYou account worden aangemaakt. Wanneer een dergelijk account wordt gecreëerd, worden er door de accountnemer bepaalde gegevens verstrekt. Niet alle gegevens zijn hierbij verplicht: contactpersoon, land, woonplaats, postcode, telefoonnummer, geslacht, gebruikersnaam, email en wachtwoord zijn verplicht. Deze gegevens zijn voldoende om van Book You gebruik te kunnen maken. Bij creatie van het Book You account zijn overige velden ook direct in te vullen onder “gebruikersgegevens”, met als doel om een nauwkeurige communicatie uit te kunnen dragen. Alle verstrekte gegevens worden door Book You verwerkt. Book You verzamelt automatisch gegenereerde informatie over het gebruik van Book You door een gebruiker. Deze informatie omvat het IP-adres, het browsertype, de bezochte pagina, en “cookies” waarvan het gebruik hieronder zal worden toegelicht: Ter uitvoering van de dienst maakt BookYou gebruik van cookies die door de webbrowser worden opgeslagen op een computer. Cookies zijn stukjes informatie die de BookYou server naar de door de gebruiker gebruikte webbrowser stuurt, die bij een volgend bezoek worden teruggekoppeld naar de server van BookYou. Cookies kunnen een computer of de bestanden die op je computer staan niet beschadigen. De cookies slaan informatie op om een volgend gebruik van BookYou te vergemakkelijken. Deze informatie bevat naast je IP-adres, geen naam- of adresgegevens of andere persoonlijke gegevens. De webbrowser is zo in te stellen dat cookies niet ontvangen worden, in dat geval kan het gebeuren dat de gebruiker niet gebruik kunt maken van alle mogelijkheden van BookYou, of geen toegang heeft tot (onderdelen van) BookYou . Indien de gebruiker gebruik maakt van cookies, dient deze uit te loggen na verlaten van een openbare computer. Indien een gebruiker meerdere accounts bezit bij BookYou kan de computer informatie mogelijk niet juist onderscheiden. BookYou adviseert deze gebruikers om te werken met verschillende browsers als Internet Explorer, Google Chrome en Firefox.

Indien een wijziging in het paginadesign niet direct op de bijbehorende site zichtbaar is dient de gebruiker de pagina opnieuw te laden middels de toetsen “control + F5” en de link “vernieuwen” linksonder aan de pagina. Book You verkoopt haar diensten ook via door haar geselecteerde partners. Voor dit doel kan Book You persoonsgegevens aan haar partners verstrekken. Gesprekken tussen de Klant en Book You kunnen worden opgenomen. Deze opnames hebben het doel om te worden verwerkt ten aanzien van de ondubbelzinnige en transparante vastlegging van tussen partijen overeengekomen dienstverlening en dienstgerelateerde afspraken en gevraagde en verstrekte service-informatie. Deze vastgelegde informatie kan op verzoek van de Klant aan de Klant worden verstrekt.
Bescherming persoonsgegevens BookYou zal passende technische en organisatorische maatregelen nemen om (persoons)gegevens te beveiligen tegen verlies of tegen enige vorm van onrechtmatige verwerking, conform de Wet Bescherming Persoonsgegevens (WBP) De gebruiker heeft het recht, waarheidsgetrouw, persoonsgegevens te wijzigen binnen het account van BookYou. Als BookYou gegevens over een account heeft vastgelegd die niet door een gebruiker te veranderen zijn verwijzen wij u naar ons contactformulier. Verantwoordelijkheid BookYou behoudt zich het recht hyperlinks te plaatsen op de website, waarmee de gebruiker op de website van een wederpartij terecht komt. Deze wederpartij kan een andere regelgeving voeren, derhalve accepteert BookYou geen enkele verantwoordelijkheid of aansprakelijkheid voor (de werking en/of inhoud van) websites van derden. De gebruiker kan andere applicaties toestemming geven om gebruik te maken van informatie van BookYou. BookYou heeft geen invloed op de werking van deze applicaties of wat er met de gegevens van een gebruiker gebeurt, indien er gebruik wordt gemaakt van een dergelijke applicatie. Indien een gebruiker toestemming geeft voor het gebruik van persoonsgegevens, valt dit ook buiten de verantwoordelijkheid van BookYou. Deze gegeven toestemming is altijd weer in te trekken.

Marktonderzoek en marketing- en verkoopactiviteiten Book You verwerkt je persoonsgegevens ten behoeve van marktonderzoek en marketing- en verkoopactiviteiten (ook na beëindiging van het contract) ten behoeve van eigen dienstverlening van Book You en aan Book You gelieerde ondernemingen. Je gegevens worden verwerkt voor het doen van (gezamenlijke) aanbiedingen, zowel schriftelijk, telefonisch als elektronisch (onder meer e-mail).

Bewaartermijnen Book You bewaart je gegevens niet langer dan wettelijk is toegestaan en noodzakelijk is voor de verwerkelijking van de doeleinden waarvoor je gegevens worden verwerkt. Hoe lang bepaalde gegevens worden bewaard is afhankelijk van de aard van de gegevens en de doeleinden waarvoor zij worden verwerkt. De bewaartermijn kan dus per gegeven verschillen. Gedurende de dienstverlening van Book You worden je gegevens in ieder geval tenminste gedurende de looptijd van de overeenkomst bewaard.
