UMUM

1.

GENERAL

PT. Garuda Maintenance Facility Aero Asia (Perusahaan) didirikan berdasarkan akta No. 93 tanggal 26 April 2002 dari Arry Supratno, SH, notaris di Jakarta. Akta pendirian ini telah disahkan oleh Menteri Kehakiman dan Hak Asasi Manusia Republik Indonesia dalam Surat Keputusannya No. C-11688 HT.01.01.TH.2002 tanggal 25 Juni 2002, serta diumumkan dalam Berita Negara Republik Indonesia No. 78 tanggal 27 September 2002, Tambahan No. 11677. Anggaran dasar Perusahaan telah mengalami beberapa kali perubahan, terakhir dengan akta No. 308 tanggal 31 Juli 2008 dari Arry Supratno, SH, notaris di Jakarta, mengenai perubahan anggaran dasar sesuai dengan Undang-undang Perseroan Terbatas No. 40 Tahun 2007. Akta perubahan ini telah diterima Menteri Hukum dan Hak Azasi Manusia Republik Indonesia dengan Suratnya No. AHU-53074-AH.01.02.TH.2008 tanggal 20 Agustus 2008.

PT. Garuda Maintenance Facility Aero Asia (the Company) was established based on deed No. 93 dated April 26, 2002 of Arry Supratno, SH, notary in Jakarta. The deed of establishment was approved by the Minister of Justice and Human Rights of the Republic of Indonesia in his Decision Letter No. C-11688 HT.01.01.TH.2002 dated June 25, 2002, and was published in State Gazette No. 78 dated September 27, 2002, Supplement No. 11677. The Company’s article of association has been amended several times, most recently by deed No. 308 dated July 31, 2008 of Arry Supratno, SH, notary in Jakarta concerning amendment of Article of Association to comply with Limited Liability Company Law No. 40 Year 2007. This amendment was acknowledged by the Minister of Law and Human Rights of the Republic of Indonesia in his Letter No. AHU-53074AH.01.02.TH.2008 dated August 20, 2008.

Sesuai dengan pasal 3 anggaran dasar Perusahaan, ruang lingkup kegiatan Perusahaan adalah dalam bidang jasa perawatan pesawat terbang, perawatan komponen dan kalibrasi, perawatan engine, pembuatan dan perawatan sarana pendukung, serta jasa engineering.

In accordance with article 3 of the Company’s articles of association, the scope of its activities is to engage in aircraft maintenance, component and calibration maintenance, engine maintenance, installation and maintenance of supporting infrastructure, and engineering services.

Kantor pusat Perusahaan berkedudukan di Gedung Manajemen Garuda Indonesia, Bandara Soekarno Hatta, Cengkareng, Tangerang. Berdasarkan Surat Keputusan Menteri Keuangan Republik Indonesia No. 387/KMK.04/2002 tanggal 30 Agustus 2002 lokasi Perusahaan ditetapkan sebagai kawasan berikat.

The Company’s head office is located at Gedung Manajemen Garuda Indonesia, Bandara Soekarno Hatta, Cengkareng, Tangerang. Based on the Decision Letter of the Minister of Finance of the Republic of Indonesia No. 387/KMK.04/2002 dated August 30, 2002 the Company’s location was approved as a bonded area.

Perusahaan mempunyai 18 kantor perwakilan domestik dan 3 kantor perwakilan internasional. Pada tanggal 31 Desember 2008 dan 2007, Perusahaan mempunyai karyawan tetap masing-masing 2.339 karyawan dan 2.362 karyawan.

The Company has 18 domestic outstations and 3 international outstations. On December 31, 2008 and 2007, the Company had total number of permanent employees of 2,339 and 2,362, respectively.

Standar dan Interpretasi yang Berlaku Efektif pada Tahun Berjalan

ADOPTION OF REVISED STANDARDS a.

Standards and Interpretation Effective in the Current Period

Pada tahun berjalan, Perusahaan menerapkan Pernyataan Standard Akuntansi Keuangan (“PSAK”) revisi dan Interpretasi Standar Akuntansi Keuangan (“ISAK”) yang berlaku untuk laporan keuangan dimulai atau setelah 1 Januari 2008 sebagai berikut:

In the current year, the Company adopted the following revised Statements of Financial Accounting Standards (“PSAK”) and Interpretation of Financial Accounting Standards (“ISAK”) which are effective for financial statements beginning on or after January 1, 2008:

PSAK 13 (Revisi 2007), Properti Investasi

PSAK 13 (Revised 2007), Investment Property

PSAK 13 revisi tidak berpengaruh terhadap kebijakan akuntansi Perusahaan tahun sebelumnya. Dalam standar ini, Perusahaan diijinkan menggunaan model nilai wajar atau model biaya dalam mengukur properti investasi setelah pengukuran awal, tidak berdampak pada laporan keuangan karena Perusahaan tidak memiliki aset yang memenuhi syarat sebagai properti investasi.

The revisions to PSAK 13 have had no impact on the Company’s prior year accounting policy. Under this standard, the Company is allowed the use of fair value or cost model in measuring investment property subsequent to initial recognition, has no impact on these financial statement as the Company had not any qualified assets as investment property.

PSAK 16 (Revised 2007), Property, Plant and Equipment

PSAK 16 revisi mengijinkan penggunaan model revaluasi atau model biaya dalam pengukuran aset tetap setelah pengakuan awal dan mengharuskan antara lain pendekatan komponenisasi dalam menyusutkan aset serta mereview nilai residu, masa manfaat dan metode penyusutan aset tetap minimum setiap akhir tahun buku.

The revised PSAK 16 permits the use of revaluation or cost model in measuring property and equipment subsequent to initial recognition, and requires among other things the component approach in depreciating the asset and a review at least annually of the residual value, useful life of the asset and depreciation method.

Pada penerapan awal manajemen telah memilih untuk terus menggunakan model biaya. Manajemen juga menelaah kegunaan yang diharapkan atas aset tetap tertentu dan menetapkan bahwa masa manfaat aset tersebut seharusnya lebih lama berdasarkan pengalaman manajemen pada masa lalu dan fakta bahwa Perusahaan memiliki aset sejenis yang telah disusutkan penuh akan tetapi masih digunakan dalam operasi. Oleh karena itu, Perusahaan mengubah taksiran masa manfaat aset tersebut secara prospektif. Pengaruh dari telaah masa manfaat aset tertentu ini, dengan anggapan aset dimiliki hingga akhir masa manfaat aset yang baru, telah mengakibatkan penurunan beban penyusutan tahun berjalan sebesar Rp 1.098.553.592. Pengaruh perubahan tersebut tidak material, sehingga Manajemen memutuskan tidak mengungkapkan pengaruhnya terhadap periodeperiode yang akan datang.

On initial adoption the management has chosen to continue using the cost model. Management also reviewed the expected utilization of certain property and equipment and has determined that the useful lives of such assets should be longer based on the management’s prior year’s experience and the fact that the Company has fully depreciated the similar assets still in use in operations. Accordingly, the Company has changed the estimated useful lives of certain property and equipment, prospectively. The effect of assessment of the useful lives of certain property and equipment, assuming the assets are held until the end of their new estimated useful lives, is to decrease depreciation expense in the current period amounting to Rp 1,098,533,592. Since such effect of change is not material, therefore the Management decided not to disclose the effect of such change on the future periods.

PSAK 30 (Revisi 2007), Sewa dan ISAK 8 – Penentuan Apakah Suatu Perjanjian Mengandung Suatu Sewa dan Pembahasan Lebih Lanjut Ketentuan Transisi PSAK 30 (Revisi 2007)

PSAK 30 (Revised 2007), Leases and ISAK 8 – Determining Whether an Arrangement Contains a Lease and Further Discussion on The Stipulation of PSAK 30 (Revised 2007) Transition

Penerapan PSAK 30 revisi dan ISAK 8 tidak berpengaruh terhadap kebijakan akuntansi sewa Perusahaan. Dalam standar ini pengklasifikasian perjanjian antara sewa pembiayaan dan sewa operasi tergantung dari pengalihan risiko dan manfaat. Manajemen menetapkan bahwa tidak terdapat perjanjian sewa operasi yang signifikan pada saat penerapan standar revisi yang diklasifikasikan menjadi sewa pembiayaan.

The adoptions of the revised PSAK 30 and ISAK 8 have had no impact on the Company’s accounting policy for leases. Under this standard, a lease is classified as finance or operating lease arrangement depending on the transfer of risks and rewards. Management has determined that there are no significant operating leases on initial adoption that would have been classified as finance lease under the revised standard.

Pada bulan September 2008, DSAK mengeluarkan PSAK 14 (Revisi 2008), Persediaan, menggantikan PSAK 14 (1994). Standar ini harus diterapkan untuk laporan keuangan periode yang dimulai pada atau setelah tanggal 1 Januari 2009.

In September 2008, DSAK issued PSAK 14 (Revised 2008), Inventories, which supersedes PSAK 14 (1994). This standard should be applied for financial statements covering the periods beginning on or after January 1, 2009.

Standar ini menggantikan prinsip-prinsip dasar pengakuan dan pengukuran aset keuangan yang dijelaskan dalam standar akuntansi yang diterbitkan sebelumnya. Standar ini harus diterapkan secara prospektif untuk laporan keuangan periode yang dimulai pada atau setelah tanggal 1 Januari 2010. Penerapan lebih dini diperkenankan.

In December 2006, DSAK issued PSAK 55 (Revised 2006), Financial Instruments: Recognition and Measurement. This standard supersedes the principles of financial instruments recognition and measurement prescribed in certain previously issued accounting standards. This standard should be applied prospectively for financial statements covering the periods beginning on or after January 1, 2010. Earlier application is permitted.

Laporan keuangan disusun dengan menggunakan prinsip dan praktek akuntansi yang berlaku umum di Indonesia.

The financial statements have been prepared using accounting principles and reporting practices generally accepted in Indonesia, and are not intended to present the financial position, results of operations and cash flows in accordance with accounting principles and reporting practices generally accepted in other countries and juridictions.

Dasar penyusunan laporan keuangan, kecuali untuk laporan arus kas, adalah dasar akrual. Mata uang pelaporan yang digunakan untuk penyusunan laporan keuangan adalah mata uang Rupiah (Rp), yang pengukurannya disusun berdasarkan nilai historis, kecuali beberapa akun tertentu disusun berdasarkan pengukuran lain sebagaimana diuraikan dalam kebijakan akuntansi masingmasing akun tersebut.

The financial statements, except for the statements of cash flows, are prepared under the accrual basis of accounting. The reporting currency used in the preparation of the financial statements is the Indonesian Rupiah (Rp), while the measurement basis used is the historical cost, except for certain accounts which are measured on the bases described in the related accounting policies.

The cost of maintenance and repairs is charged to operations as incurred. Costs incurred subsequently to add to, replace part of, or service an item of property and equipment, are recognized as asset if, and only if it is probable that future economic benefits associated with the item will flow to the Company and the cost of the item can be measured reliably. When assets are retired or otherwise disposed of, their carrying values and the related accumulated depreciation and any impairment loss are removed from the accounts and any resulting gain or loss is reflected in the current operations.

Akumulasi keuntungan dan kerugian aktuarial bersih yang belum diakui yang melebihi 10% dari nilai kini kewajiban imbalan pasti diakui dengan metode garis lurus selama rata-rata sisa masa kerja yang diprakirakan dari para pekerja dalam program tersebut. Biaya jasa lalu dibebankan langsung, apabila imbalan tersebut menjadi hak atau vested, dan sebaliknya diakui sebagai beban dengan menggunakan metode garis lurus berdasarkan periode rata-rata sampai imbalan tersebut menjadi vested.

The cost of providing post-employment defined benefits is determined using the Projected Unit Credit Method. The accumulated unrecognized actuarial gains and losses that exceeded 10% of the present value of the Company’s defined benefit obligations are recognized on straight-line basis over the expected average remaining service years of the participating employees. Past service cost is recognized immediately to the extent that the benefits are already vested, and otherwise is amortized on a straight-line basis over the average period until the benefits become vested.

INVENTORIES UNDER EXCHANGE AGREEMENT

Berdasarkan Perjanjian Tambahan tanggal 29 September 2006, Perusahaan dan Aero Inventory (UK) Limited (AI) mengadakan perjanjian pembelian dan pertukaran suku cadang pesawat terbang dengan harga keseluruhan sebesar US$ 23 juta dengan daftar harga tertentu. Dalam waktu 15 bulan sejak perjanjian tambahan, suku cadang tersebut dapat ditukar dengan suku cadang milik AI berdasarkan kualifikasi Perusahaan. Bila pertukaran tersebut tidak mungkin dilakukan dengan suku cadang milik AI, mulai bulan ke 16 sampai dengan bulan ke-24, AI akan mengadakan suku cadang tersebut dari pihak luar sesuai dengan kebutuhan Perusahaan berdasarkan daftar harga yang sama dengan yang diperjanjikan.

Based on Side Letter dated September 29, 2006, the Company and Aero Inventory (UK) Limited (AI) entered into the aircraft parts purchase and exchange agreement for a total value of US$ 23 million at certain list price. Within 15 months starting from the date of Side Letter, such parts can be exchange with AI’s parts based on the Company’s qualifications. If it is not possible to do this completely from AI’s parts, starting from the sixteenth month until twenty fourth month, AI undertakes to supply parts from outside sources suitable for the Company’s requirements and with the same list price as stipulated in the agreement.

Dalam hal suku cadang yang diperjanjikan hilang atau kondisi tidak dapat digunakan, AI akan mengganti suku cadang tersebut. AI juga bertanggung jawab untuk mendapatkan daftar harga yang akurat atas suku cadang tersebut, untuk selanjutnya sebagai dasar persetujuan Perusahaan. Pada tanggal 17 Januari 2008, Perusahaan dan AI menandatangani perjanjian resmi (the Materials Management Services Agreement) atas perjanjian tambahan ini.

In the event the parts stated in the agreement is found to be missing or in unserviceable condition when it is required for use, AI will replace the parts missing or unserviceable. AI is also responsible to discover the accurate list price of the parts involved and submits those prices to the Company for approval. On January 17, 2008, the Company and AI signed the formal agreement (the Materials Management Service Agreement) of the Side Letter.

Pada tahun 2008 dan 2007, Perusahaan telah membeli dan menukar persediaan dalam perjanjian pertukaran masing-masing sebesar US$ 13.122.461 dan US$ 8.882.676.

In 2008 and 2007, the Company had purchased and exchanged the inventories under the exchange agreement amounting to US$ 13,122,461 and US$ 8,882,676, respectively.

Pada tanggal 31 Desember 2008 dan 2007, saldo persediaan dalam perjanjian pertukaran masing-masing sebesar US$ 994.863 dan US$ 14.117.324. Pada tanggal 28 Januari 2009, AI dan Perusahaan sepakat untuk menukarkan sisa saldo persediaan dalam perjanjian pertukaran pada tahun 2009.

On December 31, 2008 and 2007, balance of the inventories under exchange agreement amounted to US$ 994,863 and US$ 14,117,324, respectively. On January 28, 2009, AI and the Company agreed to exchange the remaining balance of inventories under exchange agreement in 2009.

Effect of Change in Income Tax Rates

Pada tanggal 23 September 2008, Pemerintah Republik Indonesia menerbitkan Undang-undang Pajak Penghasilan No. 36 Tahun 2008, yang menetapkan antara lain perubahan tarif pajak penghasilan bertingkat menjadi tarif pajak penghasilan yang bertahap menurun menjadi 28% tahun 2009 dan 25% tahun 2010 dan seterusnya. Undang-undang ini menggantikan Undangundang Pajak Penghasilan No. 17 Tahun 2000 dan berlaku mulai tanggal 1 Januari 2009. Aset dan kewajiban pajak tangguhan disesuaikan dengan tarif pajak yang berlaku pada periode ketika aset direalisasikan dan kewajiban diselesaikan berdasarkan tarif pajak yang akan ditetapkan.

On September 23, 2008, Government of Republic of Indonesia issued New Income Tax Regulation No. 36 Year 2008 on which, among others determining the graduated corporate income tax rate is changed into phased-in tax rates decreasing to become at 28% in 2009 and 25% in 2010 and thereafter. The new regulation superseded Income Tax Regulation No. 17 Year 2000 and is effective on January 1, 2009. Accordingly, deferred tax assets and liabilities has been adjusted to the tax rates that are expected to apply at the period when the asset is realized or liability is settled based on the tax rates that will be enacted.

Perusahaan menyelenggarakan program pensiun iuran pasti untuk seluruh karyawan tetapnya. Program pensiun tersebut dikelola oleh Dana Pensiun Garuda Indonesia (DPGA), yang akta pendiriannya telah disahkan oleh Menteri Keuangan Republik Indonesia dengan Surat Keputusan No. KEP-403/KM.17/1999 tanggal 15 Nopember 1999. Iuran dana pensiun berjumlah 7,5% dari gaji dasar karyawan dimana sebesar 2% ditanggung karyawan dan sisanya ditanggung Perusahaan.

The Company established a defined contribution pension plan for all its permanent employees. The pension plan is managed by Dana Pensiun Garuda Indonesia (DPGA), whose deed of establishment was approved by the Minister of Finance of the Republic of Indonesia in his Decision Letter No. KEP-403/KM.17/1999 dated November 15, 1999. The pension fund contributions are equivalent to 7.5% of employees’ base salaries wherein 2% are assumed by the employees and the difference is assumed by the Company.

Perusahaan juga menyelenggarakan program pemeliharaan kesehatan bagi pensiunan dan keluarganya yang memenuhi syarat. Program ini didanai melalui kontribusi Perusahaan sebesar 4% dan iuran karyawan sebesar 2% dari gaji dasar karyawan yang bersangkutan, dan dikelola oleh Yayasan Kesejahteraan Pegawai Garuda Indonesia (YKPGA).

The Company also provides a post retirement healthcare plan for all its pensioners and their eligible dependants. This plan is funded by contribution from the Company of 4% and contribution from employees of 2% of their basic salary, and managed by Yayasan Kesejahteraan Pegawai Garuda Indonesia (YKPGA).

Pada tanggal 31 Maret 2008, Perusahaan dan Garuda menyepakati perubahan perjanjian, antara lain (1) sewa-lanjut atas tanah PT (Persero) Angkasa Pura II diubah menjadi sewa langsung (2) perubahan luas bangunan yang disewa (3) pembayaran lebih dahulu biaya-biaya Garuda oleh Perusahaan meliputi biaya Pajak Bumi dan Bangunan, listrik, dan air (4) Perjanjian berlaku mulai dari 1 Januari 2008.

The Company entered into agreement with Garuda in relation to lease of land and building (consisting of hangar and building each for 40 years and 20 years) to the Company located in SoekarnoHatta Airport, Cengkareng, Tangerang. (4) The agreement was effective from January 1, 2008.

Pada tanggal 25 Januari 2008, Perusahaan mengadakan Perjanjian Pemanfaatan Tanah dan Konsesi Usaha dengan PT (Persero) Angkasa Pura II sehubungan dengan pemanfaatan tanah 2 seluas ± 900.000 m untuk digunakan dalam kegiatan usaha pemeliharaan pesawat di Bandara Udara Soekarno-Hatta, Cengkareng, Tangerang. Perjanjian ini berlaku sampai dengan 31 Desember 2011 dengan kompensasi dan konsesi sesuai dengan tarif yang disepakati. Perusahaan wajib memberikan jaminan bank yang diterbitkan oleh bank untuk menjamin pembayaran kompensasi tersebut. Masa berlaku jaminan tersebut selama 1 tahun dan diperpanjang setiap tahunnya sampai berakhirnya perjanjian ini.

The Company entered into agreement with Mandira relating to lease of operational vehicles to the Company. The term of this agreement is for the period starting June 1, 2005 until June 30, 2008. The Company extended the lease with Mandira by entering into a new agreement on October 20, 2008 for the period starting October 1, 2008 until September 30, 2011.

PT Jakadara Aircraft Services for the provision of material handling vehicle. The term of this agreement is for the period starting July 1, 2006 until June 30, 2008.

Land Utilization and Business Concession Agreements with PT (Persero) Angkasa Pura II in relation to land utilization measuring approximately 900,000 square meters used for aircraft maintenance business activities in Soekarno-Hatta Airport, Cengkareng, Tangerang. The term of this agreement was effective until December 31, 2011, wherein compensation and concession are based on agreed tariffs. The Company obliged to provide bank guarantee which is issued by a bank to secure the payment of such compensation. The term of such guarantee is 1 year and will be amended until the end of term of this agreement.

Dalam perjanjian-perjanjian sewa operasi tersebut terdapat review sewa, penggunaan minimum serta opsi pembaruan sewa yang diperjanjikan. Perusahaan tidak memiliki opsi untuk membeli aset yang disewa pada akhir masa sewa. Perjanjian tersebut juga memuat ketentuan yang dapat mengakibatkan pengakhiran perjanjian sebelum masa sewa berakhir.

The operating lease arrangements contain rent review, minimum utilization and option to renew the arranged lease. The Company does not have an option to purchase such assets at the expiry of the lease period. The lease arrangements include certain conditions that may cause the leases to be terminated prior to the expiry of the lease periods.

25. IKATAN

25. COMMITMENTS

a.

Perusahaan melakukan perjanjian jangka panjang untuk pemeliharaan dan perbaikan pesawat dengan Garuda, PT Sriwijaya Air, Hellenic Imperial Airways, Yemen Airways, International Air Parts Pty Ltd, Gatewick Aviation Service, dan Southern Air. Perusahaan memperoleh pendapatan atas jasa ini sesuai tarif yang disepakati dalam perjanjian.

The Company entered into long-term agreements for aircrafts repair and maintenance with Garuda, PT Sriwijaya Air, Hellenic Imperial Airways, Yemen Airways, International Air Parts Pty Ltd, Gatewick Aviation Service, and Southern Air. The Company recognize revenue from this service based on agreed tariff in the agreements.

b.

Perusahaan memiliki bank garansi sebesar Rp 1.165.354.635 and US$ 15.775 yang digunakan sebagai jaminan pelaksanaan pekerjaan. Bank garansi tersebut diterbitkan oleh Bank Negara Indonesia dengan jangka waktu berkisar 3-6 bulan yang ditempatkan pada bank yang sama. Bank garansi dijamin dengan kas dalam jumlah yang sama.

The Company has bank guarantees amounting to Rp 1,165,354,635 and US$ 15,775 which were used as work performance guarantee. The bank guarantee were issued by Bank Negara Indonesia with periods ranging from 3 to 6 months. The bank guarantees are secured by cash deposits on the same bank account which is equivalent to same amount.

Perusahaan memiliki komitmen untuk pengadaan aset tetap sebesar Rp 1.589.000.000 pada tanggal 31 Desember 2008.

26. KASUS DAN PERKARA HUKUM a.

26. CASE AND LITIGATIONS

Pada tanggal 8 Agustus 2008, Perusahaan, Garuda dan Menteri Negara Badan Usaha Milik Negara menghadapi gugatan ganti rugi dari PT Metro Batavia (MB) untuk (1) siklus tidak terpakai sebesar US$ 73.215.579 (atau setara Rp 673.583.333.330) (2) kerugian material sebesar Rp 500.000.000 setiap hari dan US$ 50,000 (atau setara Rp 460.000.000) setiap bulan sejak tanggal 23 Oktober 2007 sampai pesawat dapat beroperasi (3) kerugian imaterial sebesar US$ 10.000.000 (atau setara Rp 92.000.000.000) (4) memperbaiki mesin yang rusak. Tuntutan ganti rugi timbul karena Perusahaan tidak memperbaiki mesin pesawat dalam periode garansi pemeliharaan.

In August 8, 2008, the Company, Garuda and State Minister of State-owned Enterprise faced a lawsuit claim from PT Metro Batavia (MB) for (1) for unused cycles amounting to US$ 73,215,579 (or equivalent to Rp 673,583,333,330) (2) material loss amounting to Rp 500,000,000 each day and US$ 50,000 (or equivalent to Rp 460,000,000) every month starting October 23, 2007 until the aircraft is able to be operated (3) immaterial loss amounting to US$ 10,000,000 (or equivalent to Rp 92,000,000,000) (4) repairs on engine failure. The lawsuit claims arise from the Company’s nonperformance of its obligation to repair the aircraft engine during the warranty period.

Pada tanggal 25 September 2008, Perusahaan menuntut balik ganti rugi dari MB atas (1) pembayaran hutang MB kepada Perusahaan sebesar US$ 1.191.615 (2) bunga hutang MB sebesar 6% per tahun dari hutang sejak tanggal 15 Juli 2008 sampai dengan keputusan ditetapkan (3) membayar kerugian sebesar US$ 200.000.000.

On September 25, 2008, the Company has filed counterclaims to MB for (1) payment of MB’s debt to the Company amounting to US$ 1,191,615 (2) interest on MB’s debt amounting to 6% per annum on debts starting July 15, 2008 until the judgment is final and binding (3) payment of loss amounting to US$ 200,000,000.

Pada tanggal 4 Maret 2009, Pengadilan Negeri Jakarta Pusat telah menetapkan sita jaminan untuk tuntutan Perusahaan kepada MB. Selanjutnya, pada tanggal 11 Maret 2009, Pengadilan Negeri Jakarta Pusat juga memutuskan untuk menolak tuntutan MB kepada Perusahaan. Manajemen berkeyakinan bahwa tuntutan ganti tersebut tidak berpengaruh signifikan terhadap laporan keuangan dan kegiatan usaha Perusahaan.

On March 4, 2009, the District Court of Central Jakarta has issued the decision on the execution to seize guarantee for the Company’s claim for MB. Further on March 11, 2009, the District Court of Central Jakarta has also rejected MB’s claims to the Company. Management believes that such claims has no significant impact to the Company’s financial statements and operation.

Perusahaan telah mengajukan klaim tagihannya kepada kurator PT Adam Skyconnection Airline (Adam) yang dinyatakan bangkrut berdasarkan Putusan No. 26/Pailit/PN.Niaga.Jkt.Pst tanggal 9 Juni 2008. Sampai dengan tanggal penerbitan laporan keuangan, kebangkrutan Adam masih dalam proses dan pemulihan klaim belum dapat ditentukan.

28. RECLASSIFICATION OF ACCOUNTS Trade accounts receivable in the 2007 financial statements amounting to Rp 8,598,450,706 was reclassified to gross payable to customers account to conform with the 2008 financial statements presentation and to better reflect the nature of transaction.

Piutang usaha pada laporan keuangan tahun 2007 sebesar Rp 8.598.450.706 telah di reklasifikasi ke akun hutang bruto kepada pelanggan untuk menyesuaikan dengan laporan keuangan 2008 dan agar lebih mencerminkan sifat dan transaksi yang bersangkutan. 29. KRISIS EKONOMI GLOBAL

29. ECONOMIC GLOBAL CRISIS

Keuangan global dan pasar modal mengalami kegentingan dan pergolakan kredit yang sangat hebat. Kemampuan pelanggan Perusahaan untuk mempertahankan operasi dan menghasilkan keuntungan dan membayar hutang jatuh tempo mungkin bergantung pada keefektifan kebijakan fiskal dan tindakan lainnya adalah di luar kendali mereka, yang dilakukan untuk mencapai pemulihan ekonomi.

The global financial and capital markets have experienced severe credit crunch and volatility. The ability of the Company’s customers to maintain operations and profitability and to pay their debts as they mature may be dependent to a large extent on the effectiveness of the fiscal measures and other actions, beyond their control, undertaken to achieve economic recovery.

Perkiraan dan proyeksi Perusahaan, dengan mempertimbangkan perubahan yang mungkin terjadi pada kinerja penjualan, memperlihatkan bahwa Perusahaan seharusnya dapat beroperasi dengan kemampuannya sekarang. Perusahaan juga memelihara sejumlah sumber daya keuangan bersamaan dengan kontrak yang memadai dengan sejumlah pelanggan dan pemasok. Manajemen memiliki harapan yang beralasan bahwa Perusahaan berada dalam posisi baik untuk mengelola risiko usaha walaupun terdapat ketidakpastian keadaan ekonomi sekarang.

The Company’s forecasts and projections, taking account of reasonably possible changes in trading performance, show that the Company should be able to operate within the level of its current facility. The Company also maintains considerable financial resources, together with adequate contracts with a number of customers and suppliers. The management has a reasonable expectation that the Company is well placed to manage its business risks despite the current uncertain economic outlook.

Berdasarkan faktor di atas, manajemen memiliki pengharapan wajar bahwa Perusahaan mempunyai sumber daya yang memadai untuk melanjutkan operasi yang diperkirakan di masa datang. Oleh karena itu, Perusahaan melanjutkan penerapan asumsi kelangsungan usaha di dalam penyusunan laporan keuangan.

Based on the above factors, the management has a reasonable expectation that the Company has adequate resources to continue in operational existence for the foreseeable future. Accordingly, the Company continues to adopt the going concern basis in preparing financial statements.
