ForFarmers liet een uitstekend 2014 zien met hogere volumes, hogere bruto marge en hogere operationele winst. Voor 2015 voorzien wij een afzwakkende groei in de operationele winst. Inclusief lagere financiële lasten, zal de nettowinst verder stijgen. Op lange termijn zijn verdere besparingen mogelijk. Verder zal de aanscherping van de strategie (Horizon 2020) de concurrentiepositie verbeteren. Het plan om de AVA 2016 goedkeuring te vragen voor notering van de certificaten op Euronext, zal institutionele beleggers (bv pensioenfondsen) de mogelijkheid geven om te investeren in ForFarmers, een aandeel met groei- en dividendkenmerken. Onze doelkoers wordt verhoogd naar EUR 6.11 (was EUR 5.16).
De 2014 resultaten vertoonden een gezonde 1,8% volumegroei (exclusief acquisities) en 4,5% bruto winstgroei (1,1% exclusief acquisities). De operationele winst steeg sterk met 36% als gevolg van 1) lagere lasten voor slechte schulden, 2) een vermindering van de operationele kosten, en 3) de positieve effecten van overnames. Exclusief bijzondere posten, schatten we dat de operationele winst met 10% is gestegen.
Voor 2015 voorzien we lagere volumes in het Verenigd Koninkrijk als gevolg van de verslechterde concurrentiepositie voor de boeren tgv het duurdere Pond Sterling. In Continentaal Europa kunnen de volumes echter stijgen door de verbeterde exportpositie van landbouwers (agv de zwakte van de Euro) en door de beëindiging van de melkquota. Operationele kosten kunnen verder omlaag. De integratie van CountryWide (VK) leidt echter tot extra kosten, waardoor de totale operationele winst zeer gering zal stijgen tot EUR 60m. In 2016 moet de integratie van de verworven CountryWide activiteiten aan de winst bijdragen. Op lange termijn zien we verdere kostenbesparingen, acquisitiekansen en/of verhoging van het dividend.
ForFarmers heeft de strategie 'Route 2016' aangescherpt in 'Horizon 2020 richting ‘total feed’ concept'. Nieuwe elementen zijn een intensieve focus op Europese marketing concepten voor verschillende dier- en productgroepen. Wij zijn positief over de duurzaamheidsstrategie. Deze is zeer belangrijk in de voerindustrie.
Het bestuur wil de AVA in april 2016 goedkeuring vragen voor een notering op Euronext in de loop van 2016. ForFarmers hoeft geen nieuwe aandelen uit te geven. Een Euronext notering zal een betere waarde creëren voor bestaande aandeelhouders aangezien pensioenfondsen dan ook in de aandelen kunnen beleggen. Op basis van een 50/50 weging op basis van contante waarde en peergroep, zou op Euronext een koers van EUR 6.11 mogelijk zijn.

2014: Zeer sterke marge-ontwikkeling 2014 resultaten en kaspositie waren beter dan verwacht De netto-omzet daalde met 7,3% naar EUR 2.3 mrd als gevolg van lagere grondstofkosten die werden doorgegeven aan klanten. De volumegroei zonder acquisities verbeterde van 1% in 1H14 tot + 1,8% in 2014 als geheel. Belangrijkste reden voor de versnelde groei van het volume in 2H was dat in 1H14 de jaar-op-jaar vergelijking moeilijk was door het winterweer in 1H13 in het Verenigd Koninkrijk en in Noordwest Europa, wat leidde tot hoger verkopen van mengvoer (in 1H13).

Per land waren er aanzienlijke verschillen in de groei van de omzet: In Nederland daalde de netto-omzet met 13%, maar volumes stegen met 1,4%. DML (droog/liquide) diervoeders vertoonden groei, terwijl de mengvoeders daalden. In mengvoer daalden alle sectoren met uitzondering van vleeskuiken-voer. De brutowinst stabiliseerde (EUR 180m). In Duitsland steeg het volume met 9%. Varkens- en legkippenvoer deed het goed. Ook de betere verkoopafdeling droeg bij. De brutowinst is gestegen tot EUR 58m. In België steeg het volume met 2,5%, voornamelijk in varkens- en rundervoer. De brutowinst steeg tot EUR 24m, ook door betere voorlichting. In het Verenigd Koninkrijk steeg het volume met 8%, maar zonder acquisities was er sprake van een daling van 2%. De daling was voornamelijk het gevolg van bovengenoemde moeilijke vergelijkingsbasis. De brutowinst (EUR 146m) daalde autonoom, maar steeg als gevolg van overnames en wisselkoerseffecten. De totale brutowinst steeg met 4,5% tot Euro 408.1 miljoen (+1.1% organisch). Deze stijging van 4,5% was zwakker dan de 6% in 1H14, gedeeltelijk door margedruk in the Britse DML-business contracten. De operationele winst steeg met 36% tot EUR 59.1m. De sterke toename was het gevolg van beter-dan-verwachte bijdrage van overnames, valuta (Pond Sterling) en daling van de operationele kosten. Extra logistieke kosten werden gemaakt in verband met vogelgriep in bepaalde delen van Nederland. Echter, in 2H13 waren er extra grote eenmalige kosten ivm afboeking voor slechte debiteuren (EUR 9 m). Financiële lasten stegen als gevolg van extra kosten (EUR 1,5m) om de oude syndicaatslening af te wikkelen. In 2014 sloot ForFarmers een nieuwe, goedkopere, lening voor al haar Europese activiteiten. Financieringslasten werden ook beïnvloed door EUR 1,8m ivm het Britse pensioenfonds. Dit zal ook gebeuren in 2015. Het nettoresultaat steeg 25% naar EUR 39m. De winst per aandeel steeg 25% naar EUR 0.37 en dividend is 29% hoger (nu EUR 0.176). Op de balans was de netto-kaspositie eind 2014 EUR 24m (2013: netto-schuld EUR 9m). ForFarmers toonde zich gedisciplineerd in kapitaalsinvesteringen en wist het nettowerkkapitaal fors te verlagen.
‘Horizon 2020’: de opvolger van ‘Route 2016’: Het ‘total feed’ concept ForFarmers scherpt de strategie aan, en noemde deze ‘Horizon 2020’, dat is een opvolger en update van 'Route 2016'. Belangrijkste punten van Horizon 2020: De focus op groeisegmenten wordt versterkt. Dit lijkt logisch, maar het betekent meer productsegmentatie in diergroepen en meer intensieve Europese marketing concepten op elke segment. Een grote groep klanten verlangt standaardoplossingen, maar een groeiende groep van grote klanten wil specifieke oplossingen. Partnerschappen en samenwerkingen: een belangrijk voorbeeld is de samenwerking met Nutreco om de productportefeuille voor boeren te verbeteren. Dit betekent meer aandacht voor bv speciale voeding en additieven die de FCR (feed conversion rate) kunnen verbeteren en/of de noodzaak van antibiotica verlagen. Overnames gaan door en deze zullen volgens ons worden gericht op versterking van de posities in Duitsland en België. Het management blijft ook geïnteresseerd in een vijfde markt in Europa of in aangrenzende gebieden. Echter eerst zal de

overname van de voeractiviteiten van Countrywide (totale verkoop > EUR 160m, en EUR 75m met uitzondering van interne verkoop) worden afgerond in 2Q15. Deze activiteiten moeten worden geïntegreerd in de bestaande organisatie. Een sterkere professionele organisatie. Dit is nodig om processen te verbeteren en risico’s te verkleinen. Horizon 2020 moet bijdragen aan een winstgevendheid die de beste in de industrie vormt.
Duurzaamheid: meer focus ForFarmers heeft ook haar duurzaamheids-doelstellingen voor 2020 geherformuleerd: Inkoop van soja en palmolie moet voor 100% uit duurzame bronnen in 2020. 10% vermindering van het gebruik van energie (tov 2013). Transport: >10% meer kilometers per liter brandstof. Verbetering van de feed-efficiëntie: 1% per jaar. Verdere vermindering van verontreiniging in diervoeders. Programma's ter verbetering van het dierenwelzijn. >70% vermindering van ongevallen en meer maatschappelijke projecten.
Overgang naar Euronext notering De ledenraad van de coöperatie FromFarmers (de coöperatie met een meerderheidsbelang in ForFarmers) heeft in maart 2015 het voorstel van de Raad van Bestuur en de Raad van Commissarissen goedgekeurd om een notering van de certificaten op Euronext te bewerkstelligen. Dit is in het belang van ForFarmers en van alle andere belanghebbenden. De belangrijkste argumenten voor dit voorstel zijn extra waarde-creatie voor de leden certificaathouders (het huidige handelsplatform heeft nadelen), en, gerelateerd hieraan, een betere toegang voor institutionele beleggers om in ForFarmers te beleggen. Andere argumenten zijn: een betere naamsbekendheid, financierings-flexibiliteit, en de mogelijkheid om getalenteerd personeel aan te trekken. Het tijdschema is als volgt: goedkeuring van de aandeelhouders zal worden gevraagd in april 2016 op de AVA, waarna de Euronext notering in de loop van dat jaar zou moeten plaatsvinden.

Vooruitzichten: 2015 en verder In deze sectie analyseren we hoe ForFarmers' financiële cijfers zich zullen ontwikkelen in 2015 en wat de mogelijkheden zijn na 2015, met inbegrip van verdere acquisities.
2015: vertraging van operationele winstgroei ForFarmers zegt dat het als gevolg van onzekerheden op volumes en prijzen, een specifieke winstuitspraak voor 2015 niet mogelijk is. Wij verwachten een groei in de 2015 winst per aandeel, hoewel we denken dat deze relatief gematigd is. In de omzet zal de appreciatie van US Dollar en Pond Sterling leiden tot hogere omzet omdat 1) de kosten in Euro zullen stijgen en 2) de omrekening van de Britse resultaten hoger uitvalt. De appreciatie van Pond Sterling zal leiden tot een zwakkere exportpositie, zeker voor de kleinere Britse boeren. Echter, inclusief acquisities, zal het totale volume in het Verenigd Koninkrijk moeten stijgen. De handelskwestie EU-Rusland zal in 1H15 een negatief jaar-op-jaar effect hebben op ForFarmers’ klanten. De impact op ForFarmers als leverancier aan de boeren is indirect en is waarschijnlijk beperkt. De zwakte van de Euro leidt tot een verbetering van de concurrentiepositie van EUlandbouwers, in een mondiale context. Ook zal het einde van de melkquota per 1 april 2015 leiden tot hogere volumes op grote veeteeltbedrijven. Het effect van overnames op omzet- en brutowinst zal positief zijn vooral als gevolg van de per mei 2015 over te nemen CountryWide activiteiten (> EUR 160m, of EUR 75m exclusief interne verkoop). Als gevolg van integratiekosten bestaat er echter geen positief effect op de winst per aandeel in 2015. De brutowinst per ton kan als gevolg van de uitrol van het ‘total feed’ concept, stijgen in Duitsland en België. Operationele kosten kunnen dalen als gevolg van benchmarking op basis van verbeterde IT-platforms. We verwachten een minder gunstige vrije kasstroom-ontwikkeling dan in 2014. In Euro termen zijn de input/verkoop prijzen omhoog en dus ook de waarde van de voorraad en de vorderingen. Enig tegenwicht kan komen van verbeterd debiteuren accountbeheer. Wij verwachten EUR 25m investeringen, iets hoger dan in 2014. Met inbegrip van de overnameprijs van Euro 21m voor de voer-activiteit van CountryWide zal de netto-kas positie kunnen verbeteren met c. Euro 10m. Financiële lasten in 2015 kunnen dalen omdat de extra kosten van vernieuwing van de syndicaat-lening afwezig zijn. Onze winstverwachting voor 2015 is als volgt (zie ook de tabellen verderop): Voor het 2015 operationele resultaat (inclusief bijzondere posten), verwachten wij slechts een kleine stijging naar EUR 60m tov 2014 (EUR 59m). Wij veronderstellen EUR 3m reorganisatiekosten in 2015 (in de EBIT) versus -EUR 0,1 m (herstructurering en boekwinst) in 2014. Mede als gevolg van lagere netto financiële kosten (EUR 2m tegenover EUR 6m in 2014) voorzien wij een netto winst van EUR 42.4m (tegenover EUR 39m) in 2014.

Markten en duurzaamheid
De vlees- en zuivelindustrie markten in West-Europa zijn relatief volwassen aan de vraagzijde. Er is meer dynamiek aan de aanbodzijde door de exportpotentie. Het volume rundveevoer kan verder toenemen als gevolg van het einde van de melkquota in 2015. Binnen sub-segmenten van varkens- en pluimveevoeders, verwachten we niet veel groei afgezien van enkele wijzigingen in de concurrentieposities tussen landen. Dit betekent dat ForFarmers’ belangrijkste groei moet komen van winst in marktaandeel. Dit is de reden dat de focus ligt op het concept 'total feed' en op de integratie van duurzaamheids-oplossingen. Duurzaamheidsproblemen kunnen worden opgelost door verbeteringen in de toeleveringsketen zoals soja uit duurzame bronnen en verlaging van de CO2/methaanuitstoot in productie- en distributie. De uitrol/integratie van Nutreco’s specialiteit- en additieve producten kan hierbij helpen.
Acquisities
Na drie acquisities in 2014/15 in het Verenigd Koninkrijk verwachten we dat de overnamefocus vanaf nu gericht zal zijn op België/Duitsland. In de relevante regio's in deze landen heeft ForFarmers nog steeds nummer 2 of 3 posities. Deze posities moeten geografisch worden versterkt en ook het 'total feed' concept moet verder worden ingevuld. ForFarmers financiële balans biedt ruime mogelijkheden voor overnames. In 2014 vernieuwde ForFarmers zijn syndicaatslening via een multi-valuta faciliteit met ABN Amro, Rabo, Lloyds en BNP Paribas. Het potentiële effect van overnames (zonder uitgifte van nieuwe aandelen) kan leiden tot een stijging van de winst per aandeel met 80%. De netto schuld/EBITDA is dan 2,5X, wat lager is dan de 3.0X die in het bankconvenant staat maar dit is nodig om rekening te houden van de volatiliteit van de prijzen van grondstoffen.
Bench-marking
Op basis van de verder verbeterde professionele organisatie, voorzien wij ruime benchmarking kansen voor ForFarmers, zowel intern als extern. ForFarmers is actief in vier landen en heeft in totaal 42 fabrieken en daaraan gerelateerde logistieke en distributiestromen.
Pensioenfonds in Verenigd Koninkrijk: een risico?
ForFarmers heeft nog steeds een oude pensioenverplichting in het VK van netto EUR 40m. Jaarlijks wordt nu circa EUR 2m betaald en op deze manier, alsmede op basis van de sterke balans, is dit probleem goed te managen..
Mogelijkheid extra dividend
Zonder acquisities zou de netto-kaspositie in 2020 hoger zijn dan EUR 200m. Inclusief leencapaciteit van EUR 275m in 2020, zou ForFarmers dan EUR 4.48 per aandeel aan de aandeelhouders kunnen uitkeren.

Waardering: opwaarts potentieel Wij waarderen de certificaten van ForFarmers op twee manieren: Contante waarde van de bestaande activiteiten (DCF = Discounted Cash Flow) en de peer groep vergelijking. We houden geen rekening met waarde-creatie uit toekomstige acquisities, hoewel dit de kersop-de-taart zou kunnen zijn. Op dit moment worden de ForFarmers certificaten verhandeld op een multilaterale handelsfaciliteit en is de meerderheid in handen van de coöperatie FromFarmers. Echter, het management vraagt op de AVA in 2016 goedkeuring voor een notering op Euronext. Dit is een technische procedure; ForFarmers hoeft niet over te gaan tot uitgifte van nieuwe aandelen, omdat het een netto-kaspositie zal hebben. De overgang naar Euronext vergroot de mogelijkheid voor institutionele beleggers om te investeren in ForFarmers en het biedt de huidige aandeelhouders (voornamelijk leden) om een betere waarde te creëren. Wij verwachten dat de AVA zal besluiten voor een beursgang en daarom passen wij onze doelkoers aan. Voor onze doelkoersberekening geven wij een gewicht van 40/60% aan de contante waarde respectievelijk de peer groep waardering (deze laatste inclusief een 10% korting omdat ForFarmers relatief klein is tov andere peer groep leden zoals ADM, Bunge). Wij geven geen gewicht aan een waardering op basis van consolidatie. Nieuwe doelkoers EUR 6.11 per aandeel.

ESN Recommendation System The ESN Recommendation System is Absolute. It means that each stock is rated on the basis of a total return, measured by the upside potential (including dividends and capital reimbursement) over a 12 month time horizon. The ESN spectrum of recommendations (or ratings) for each stock comprises 5 categories: Buy, Accumulate (or Add), Hold, Reduce and Sell (in short: B, A, H, R, S). Furthermore, in specific cases and for a limited period of time, the analysts are allowed to rate the stocks as Rating Suspended (RS) or Not Rated (NR), as explained below. Meaning of each recommendation or rating:
Buy: the stock is expected to generate total return of over 20% during the next 12 months time horizon Accumulate: the stock is expected to generate total return of 10% to 20% during the next 12 months time horizon Hold: the stock is expected to generate total return of 0% to 10% during the next 12 months time horizon. Reduce: the stock is expected to generate total return of 0% to -10% during the next 12 months time horizon Sell: the stock is expected to generate total return under -10% during the next 12 months time horizon Rating Suspended: the rating is suspended due to a capital operation (takeover bid, SPO, …) where the issuer of the document (a member of ESN) or a related party of the issuer is or could be involved or to a change of analyst covering the stock Not Rated: there is no rating for a company being floated (IPO) by the issuer of the document (a member of ESN) or a related party of the issuer SNS Securities Ratings Breakdown
