Profiel VastNed Offices/Industrial N.V. VastNed Offices/Industrial N.V., opgericht in 1984, is een (closed-end) vastgoedbeleggingsmaatschappij met veranderlijk kapitaal. De maatschappij belegt duurzaam in een goed verhuurde vastgoedportefeuille bestaande uit kantoren, logistieke centra en bedrijfsruimten in de eurozone. De uitgifte en inkoop van aandelen vindt plaats bij besluit van de directie met inachtneming van de door de raad van commissarissen vast te stellen grenzen en condities. VastNed Offices/Industrial kwalificeert als fiscale beleggingsinstelling als bedoeld in artikel 28 van de Wet op de Vennootschapsbelasting 1969, waardoor in Nederland geen vennootschapsbelasting is verschuldigd, mits aan de daarvoor gestelde eisen van de Wet op de Vennootschapsbelasting 1969 is voldaan. Voorts heeft VastNed Offices/ Industrial een vergunning als bedoeld in de Wet toezicht beleggingsinstellingen. De vastgoedportefeuille van dit gespecialiseerde beleggingsfonds vertegenwoordigde per 30 juni 2005 een waarde van € 1.110 miljoen en was op dat moment als volgt samengesteld: – 74% kantoren; – 26% logistieke centra en bedrijfsruimten. De geografische spreiding van de vastgoedportefeuille (inclusief vastgoed in renovatie en in pijplijn) zag er per 30 juni 2005 als volgt uit (in %):

Halfjaarbericht 2005 Inleiding In de eerste helft van 2005 heeft in de landen alwaar VastNed Offices/Industrial actief is, Nederland en België, de verwachte economische groei niet plaatsgevonden. Deze groei en een daarmee samenhangende verbetering van de werkgelegenheid is essentieel voor het weer aantrekken van de verhuurmarkt van kantoren en bedrijfsruimten. Er zullen diverse jaren sterke groei nodig zijn om weer tot een gezonde bezettingsgraad te geraken. Ondanks de marktomstandigheden op de verhuurmarkt is op de beleggersmarkt meer positivisme ontstaan. In de beleggers- en ontwikkelingsmarkt zijn partijen actief die bereid zijn lege objecten te verwerven. Dit wijst op een toegenomen vertrouwen op het terrein van de kantoor- en bedrijfsruimtenmarkt. Voorts is de beleggersmarkt voor langjarig verhuurde objecten gezond en worden momenteel hogere prijsniveaus waargenomen op basis van lagere aanvangsrendementen.

Resultaten eerste halfjaar 2005 Implementatie IFRS VastNed Offices/Industrial publiceert vanaf 1 januari 2005 haar cijfers op basis van International Financial Reporting Standards (IFRS). In het jaarverslag 2004 en bij de publicatie van de eerste kwartaalcijfers is al uitvoerig ingegaan op de voornaamste wijzigingen als gevolg van deze nieuwe waarderingsgrondslagen. De aard van deze wijzigingen en de effecten ervan op eigen vermogen en resultaat zijn daarin uitvoerig beschreven. Ook is hierbij een beschrijving van de onder IFRS door VastNed Offices/ Industrial gehanteerde waarderingsregels opgenomen. In dit kader verwijzen wij naar onze website www.vastned.nl (sectie investor information -> publicaties). Van een aantal standaarden bestaat nog geen eenduidige interpretatie. Als gevolg hiervan kunnen de uiteindelijk in de jaarrekening 2005 op te nemen cijfers nog afwijken van de hier opgenomen informatie. De opgenomen financiële informatie is, tenzij anders vermeld, door accountants beoordeeld. In onderstaande tabellen zijn de effecten op eigen vermogen en resultaat als gevolg van de implementatie van IFRS samengevat. Resultaten per aandeel eerste halfjaar 2005 (Tussen haakjes eerste halfjaar 2004; de vergelijkende cijfers zijn voor zover van toepassing voor vergelijkingsdoeleinden aangepast)

Per aandeel bedroeg het direct beleggingsresultaat € 0,85 (€ 1,13). Het indirect beleggingsresultaat per aandeel kwam uit op € 0,67 negatief (€ 0,44 negatief). Het totaal beleggingsresultaat per aandeel kwam uit op € 0,18 (€ 0,69). De overige mutaties bedroegen € 0,03 negatief (€ 0,12 negatief). Het eigen vermogen aandeelhouders VastNed Offices/Industrial per aandeel bedroeg per 30 juni 2005 € 22,24 (30 juni 2004: € 24,79). De resultaten per aandeel zijn berekend over het gemiddeld aantal geplaatste gewone aandelen. Beleggingsresultaat toekomend aan aandeelhouders VastNed Offices/Industrial Het beleggingsresultaat bedroeg € 3,4 miljoen (€ 13,1 miljoen). VastNed Offices/ Industrial heeft in het eerste halfjaar van 2005 een direct beleggingsresultaat € 16,3 miljoen (€ 21,5 miljoen) geboekt. Het indirect beleggingsresultaat over het eerste halfjaar bedroeg € 12,9 miljoen negatief (€ 8,4 miljoen negatief).

Brutohuuropbrengsten De brutohuuropbrengsten bedroegen in het eerste halfjaar 2005 € 44,4 miljoen (€ 48,5 miljoen). Deze lagere huuropbrengsten vloeien voort uit aanzienlijke verkopen in het boekjaar 2004 en een gedaalde gemiddelde bezettingsgraad.

Niet doorberekende servicekosten De niet doorberekende servicekosten bedroegen € 1,0 miljoen (€ 0,7 miljoen). De niet doorberekende servicekosten zijn voornamelijk een resultante van leegstand in de vastgoedportefeuille. Hierdoor moet de verhuurder een aantal kosten voor algemene voorzieningen van objecten voor eigen rekening nemen. De afgenomen bezettingsgraad heeft tot hogere niet doorberekende servicekosten geleid.


Netto-opbrengsten uit vastgoedbeleggingen

Exploitatiekosten De exploitatiekosten namen af tot € 6,4 miljoen (€ 7,1 miljoen). Dit is met name het gevolg van eerder genoemde verkopen en relatief hoge onderhoudsuitgaven in 2004 met betrekking tot de Belgische vastgoedportefeuille. Uitgedrukt in een percentage van de brutohuuropbrengsten daalden de exploitatiekosten gering tot 14,4% (14,7%). Waardemutaties vastgoedbeleggingen De (ongerealiseerde) waardemutaties vastgoedbeleggingen bedroegen in het eerste halfjaar 2005 € 18,0 miljoen negatief (€ 14,3 miljoen negatief). De waardemutaties op de vastgoedportefeuille in exploitatie bedroegen in het eerste kwartaal € 10,4 miljoen negatief en in het tweede kwartaal € 1,0 miljoen negatief. Hier lijkt een stabilisatie van waarden plaats te vinden. In het tweede kwartaal heeft evenwel een afwaardering van de vastgoedportefeuille in pijplijn plaatsgevonden van € 5,6 miljoen negatief. Dit betrof afwaarderingen op het project TriNovium te Nieuwegein en het project te Vilvoorde. In het eerste kwartaal vond een afwaardering plaats op het project Cosunpark te Breda van € 1,0 miljoen. In totaal bedroegen de afwaarderingen in het eerste halfjaar 2005 op vastgoedbeleggingen in pijplijn € 6,6 miljoen negatief. Nettoverkoopresultaat vastgoedbeleggingen Het nettoverkoopresultaat vastgoedbeleggingen bedroeg in totaal € 2,1 miljoen positief (2,3 miljoen positief). De verkopen van direct vastgoed in het eerste halfjaar 2005 bedroegen in totaal € 39,1 miljoen, waarop een verkoopresultaat van € 1,3 miljoen werd geboekt. Tevens werden 234.556 aandelen Intervest Offices verkocht waarop een verkoopresultaat van € 0,8 miljoen is gerealiseerd. Lasten Nettofinancieringskosten De nettofinancieringskosten zijn in het eerste halfjaar 2005 gestegen tot € 11,7 miljoen (€ 10,4 miljoen). Deze post bestaat uit financiële opbrengsten en kosten. De opbrengsten zijn gedaald tot € 0,3 miljoen (€ 2,6 miljoen) als gevolg van het niet langer activeren van bouwrente op het project TriNovium te Nieuwegein. De financiële kosten daalden als gevolg van de in 2004 gerealiseerde verkopen van € 13,0 miljoen naar € 12,1 miljoen voor het eerste halfjaar 2005. Algemene kosten De algemene kosten bedroegen € 2,5 miljoen (€ 2,7 miljoen). Over de verslagperiode verschuldigde belastingen naar de winst De over de verslagperiode verschuldigde belastingen naar de winst bedroegen in het eerste halfjaar 2005 € 0,3 miljoen (€ 0,4 miljoen). Deze daling is te danken aan het feit dat nagenoeg alle Belgische beleggingen zijn ondergebracht in het belastingvrije vehikel Intervest Offices. Het resterende bedrag heeft nagenoeg geheel betrekking op actueel over de verslagperiode verschuldigde dividendbelasting. Mutatie latente belastingverplichtingen De mutatie latente belastingverplichtingen bedroeg nihil (€ 0,5 miljoen). Beleggingsresultaat toekomend aan minderheidsbelangen Het beleggingsresultaat toekomend aan derden die minderheidsbelangen hielden in dochtermaatschappijen van VastNed Offices/Industrial bedroeg in het eerste halfjaar 2005 € 3,1 miljoen (€ 1,5 miljoen). Dit houdt in dat een groter deel van het beleggingsresultaat voor rekening komt van derden dan in de vergelijkbare periode vorig jaar. Dit is te wijten aan enerzijds een procentuele toename van het belang van derden in Intervest Offices door verkopen van aandelen Intervest Offices door VastNed Offices/ Industrial en anderzijds door minder sterke negatieve waardemutaties in de vastgoedportefeuille van Intervest Offices.

Vastgoedportefeuille De omvang van de vastgoedportefeuille bedroeg per 30 juni 2005 € 1.110 miljoen (30 juni 2004: € 1.210 miljoen). De gemiddelde financiële bezettingsgraad van de vastgoedportefeuille in het eerste halfjaar 2005 bedroeg 81,3% (84,1%). De commerciële spotbezettingsgraad – overeengekomen maar nog niet ingegane verhuringen meenemend – per 30 juni 2005 bedroeg 81,8%. Nederland Bezettingsgraad De bezettingsgraad van de Nederlandse vastgoedportefeuille bedroeg in het eerste halfjaar 2005 80,8% (86,9%). De commerciële bezettingsgraad per 30 juni 2005 bedroeg 81,0% (31 maart 2005: 82,7%). In het eerste halfjaar 2005 is enerzijds door verhuringen en verkoop van geheel of gedeeltelijk leegstaande objecten de bezettingsgraad verbeterd. Anderzijds zijn de objecten TriNovium 1.1 en 1.2 onverhuurd in exploitatie genomen, hetgeen de bezettingsgraad heeft verslechterd. Verkopen VastNed Offices/Industrial heeft in het eerste halfjaar 2005 in het kader van verbetering van het risicorendementsprofiel en de vermindering van leegstand voor € 39,1 miljoen aan verkopen gerealiseerd. Dit betrof de volgende objecten: de bedrijfsruimte Edisonweg 10 in Woerden, het kantoorpand Catharijnesingel 28-32 in Utrecht, het logistiek centrum ‘De Goudse Poort’ in Gouda, het kantoorpand Marconistraat 2 in Rotterdam, een logistiek centrum aan de Distriboulevard 25 te Moerdijk en het kantoorpand Tadingastraat 1 te Leeuwarden. Dit betrof objecten met gemiddeld 72% leegstand. Het verkoopresultaat bedroeg € 1,3 miljoen positief. Waardemutaties Op grond van de taxaties bedroegen de ongerealiseerde waardemutaties € 11,1 miljoen negatief (€ 4,2 miljoen negatief). De waardemutaties hadden in het eerste kwartaal 2005 voor € 5,9 miljoen negatief betrekking op de vastgoedportefeuille in exploitatie. In het tweede kwartaal 2005 bleven de waardemutaties van de vastgoedportefeuille in exploitatie beperkt tot € 0,2 miljoen negatief. De afwaardering van de vastgoedportefeuille in pijplijn bedroeg in het eerste kwartaal 2005 € 1,0 miljoen negatief en in het tweede kwartaal 2005 € 4,0 miljoen negatief. België Bezettingsgraad De bezettingsgraad van de Belgische vastgoedportefeuille bedroeg in het eerste halfjaar 2005 81,7% (80,3%). De commerciële bezettingsgraad per 30 juni 2005 bedroeg 82,5%. Verkopen In het eerste halfjaar 2005 hebben geen verkopen plaatsgevonden. Waardemutaties Op grond van de taxaties bedroegen de ongerealiseerde waardemutaties € 6,9 miljoen negatief (€ 10,1 miljoen negatief). De waardemutaties hadden in het eerste kwartaal 2005 voor € 4,4 miljoen negatief betrekking op de vastgoedportefeuille in exploitatie. In het tweede kwartaal 2005 bleven de waardemutaties van de vastgoedportefeuille in exploitatie beperkt tot € 0,9 miljoen negatief. De afwaardering van de vastgoedportefeuille in pijplijn bedroeg in het eerste kwartaal 2005 nihil en in het tweede kwartaal 2005 € 1,6 miljoen negatief en had betrekking op een afwaardering van het project in Vilvoorde.

Financiering met eigen en vreemd vermogen Dividend Op de algemene vergadering van aandeelhouders van 5 april 2005 is het dividend over het boekjaar 2004 vastgesteld op € 2,13 per aandeel. Het verplichte contante dividend bedroeg € 1,88 en het keuzedeel bedroeg € 0,25 contant of per 78 bestaande aandelen 1 nieuw aandeel ten laste van de agioreserve. In dit kader is voor 46,0% (2004: 70,4%) gebruik gemaakt van de mogelijkheid om te opteren voor stockdividend en zijn 113.713 nieuwe aandelen uitgegeven. Solvabiliteit en financiering met vreemd vermogen Het eigen vermogen uitgedrukt in een percentage van de vastgoedbeleggingen bedroeg op 30 juni 2005 50,6% (30 juni 2004: 49,3%). De ratio lang vreemd vermogen/ kort vreemd vermogen bedroeg per 30 juni 2005 69/31 (30 juni 2004: 62/38). Het totaal aantal geplaatste gewone aandelen bedroeg per 30 juni 2005 19.387.617 stuks (30 juni 2004: 19.273.904).

Ontwikkelingen en vooruitzichten 2005 Het verdere verloop van 2005 zal naar verwachting worden gekenmerkt door magere economische groeiperspectieven. Dit zal ertoe leiden dat de kantoor- en bedrijfsruimtenmarkten, zowel gemeten naar bezettingsgraad naar huurniveau’s onder druk blijven staan. Verkopen ter verbetering van het risicorendementsprofiel zullen in de tweede helft van 2005 worden voortgezet. Verwachting is dat de rente op aantrekkelijke niveaus blijft. Rekening houdend met het bovenstaande en verondersteld dat onverwachte gebeurtenissen zoals faillisementen van huurders e.d. uitblijven, wordt voor 2005 een direct beleggingsresultaat van circa € 1,71 per aandeel voorzien. Beoordelingsverklaring Opdracht Wij hebben de in dit halfjaarbericht opgenomen halfjaarcijfers over de periode 1 januari 2005 tot en met 30 juni 2005 bestaande uit de geconsolideerde balans, de geconsolideerde winst- en verliesrekening, het verkort kasstroomoverzicht alsmede de toelichting daarop, van VastNed Offices/Industrial N.V. te Rotterdam beoordeeld. De halfjaarcijfers zijn opgesteld onder verantwoordelijkheid van de directie van de vennootschap. Het is onze verantwoordelijkheid een beoordelingsverklaring inzake de halfjaarcijfers over de periode 1 januari 2005 tot en met 30 juni 2005 te verstrekken.

Werkzaamheden Onze werkzaamheden bestonden, overeenkomstig de International Standard on Review Engagements 2400 met betrekking tot beoordelingsopdrachten, in hoofdzaak uit het inwinnen van inlichtingen bij functionarissen van de vennootschap en het uitvoeren van cijferanalyses met betrekking tot de financiële gegevens. Door de aard en de omvang van onze werkzaamheden kunnen deze slechts resulteren in een beperkte mate van zekerheid omtrent de getrouwheid van de halfjaarcijfers. Deze mate van zekerheid is lager dan die welke aan een accountantsverklaring kan worden ontleend.

Oordeel Op grond van onze beoordeling is ons niets gebleken op basis waarvan wij zouden moeten concluderen dat de halfjaarcijfers over de periode 1 januari 2005 tot en met 30 juni 2005, volgens de International Financial Reporting Standards en de wettelijke bepalingen inzake de jaarrekening zoals opgenomen in Titel 9 Boek 2 BW en de Wet toezicht beleggingsinstellingen, geen getrouw beeld geeft van de grootte en de samenstelling van het vermogen op 30 juni 2005 en van het resultaat over de periode 1 januari 2005 tot en met 30 juni 2005. Profile VastNed Offices/Industrial N.V. VastNed Offices/Industrial N.V., founded in 1984, is a (closed-end) property investment company with variable capital. The company makes long-term investments in a well-let property portfolio consisting of offices, logistics centres and industrial premises in the eurozone. The issuing and buying of shares takes place at the decision of the board of management, within limits and conditions to be set by the supervisory board. VastNed Offices/Industrial qualifies as a fiscal investment institution as referred to in Section 28 of the Netherlands Corporate Income Tax Act. As a result, the company is exempted from paying corporate income tax providing the relevant requirements of the Netherlands Corporate Income Tax Act are fulfilled. Furthermore, VastNed Offices/ Industrial has a licence as referred to in the Netherlands Act on the Supervision of Investment Institutions. The property portfolio of this specialised investment fund as per June 30, 2005 represented a value of € 1,110 million and at that time was composed as follows: – 74% offices; – 26% logistics centres and industrial premises. Interim report 2005 Introduction In the first half of 2005 the expected economic growth did not materialise in the countries where VastNed Offices/Industrial is active, the Netherlands and Belgium. This growth and the related improvement in employment is essential to an improvement of the letting market for offices and industrial premises. Several years of strong growth are needed to return to a healthy occupancy rate. Despite the circumstances on the letting market, more positive sentiments have emerged on the investment market in the first half of 2005. Parties are active in the investment and development market who are prepared to acquire vacant properties. This implies an improved confidence in the office and industrial market. In addition, the investment market for properties on long-term leases is healthy; currently higher price levels are being observed based on lower initial yields.

Results first half year 2005 IFRS implementation Since January 1, 2005 VastNed Offices/Industrial publishes its figures based on International Financial Reporting Standards (IFRS). In the 2004 annual report and in the publication of the first quarter results, extensive attention has been given to the main changes caused by these new accounting principles. The character of these changes and their impact on shareholders’ equity and the result have been described in detail there. A description of the accounting principles as applied by VastNed Offices/ Industrial under IFRS was also given. In this context we refer to our website www.vastned.nl (section investor information -> publications). The interpretation of some of the standards is not yet unequivocal. As a result the figures to be included in the 2005 annual accounts may deviate from the information included in this interim report. The direct investment result per share amounted to € 0.85 (€ 1.13). The indirect investment result per share came to € 0.67 negative (€ 0.44 negative). The total investment result per share came to € 0.18 (€ 0.69). The other movements amounted to € 0.03 negative (€ 0.12 negative). Equity shareholders VastNed Retail per share amounted to € 22.24 as per June 30, 2005 (June 30, 2004: € 24.79). The results per share have been calculated on the average number of ordinary shares in issue. Investment result attributable to VastNed Offices/Industrial shareholders The investment result amounted to € 3.4 million (€ 13.1 million). In the first half year of 2005 VastNed Offices/Industrial realised a direct investment result of € 16.3 million (€ 21.5 million). The indirect investment result (share VastNed Offices/Industrial) for the first half year amounted to € 12.9 mllion negative (€ 8.4 million negative).

Net service charge expenses Net service charge expenses amounted to € 1.0 million (€ 0.7 million). The net service charge expenses are mainly caused by vacancy in the portfolio, forcing the lessor to bear some costs for general facilities of properties. The reduced occupancy rate has led to higher net service charge expenses.


Gross rental income Gross rental income in the first half year of 2005 amounted to € 44.4 million (€ 48.5 million). This lower rental income is the consequence of significant sales in the 2004 financial year, and to a lower average occupancy rate.

Operating expenses Operating expenses fell to € 6.4 million (€ 7.1 million). This is in particular the result of the aforementioned sales and to relatively high maintenance costs in 2004 associated with the Belgian property portfolio. Expressed as a percentage of gross rental income, the operating expenses showed a modest decrease to 14.4% (14.7%). Value movements investment properties The (un)realised value movements of investment properties in the first half year of 2005 amounted to € 18.0 million negative (€ 14.3 million negative). Value movements of the property portfolio in operation in the first quarter amounted to € 10.4 million negative and € 1.0 million negative in the second quarter. Values appear to be stabilising. In the second quarter, however, a write-down of the property portfolio in pipeline took place of € 5.6 million. This concerned write-downs on the TriNovium project in Nieuwegein and on the project in Vilvoorde. In the first quarter a write-down took place on the Cosunpark project in Breda of € 1.0 million negative. The write-downs on investment properties in the first half year 2005 in pipeline amounted to € 6.6 million negative in total. Net result on disposals of investment properties The net sales result on investment properties amounted to € 2.1 million positive in total (€ 2.3 million positive). In the first half year of 2005 sales of direct property amounted to € 39.1 million in total, on which a sales result of 1.3 million was realised. Also, 234,556 Intervest Offices shares were sold, on which a net sales result of € 0.8 million was realised. Expenditure Net financing costs In the first half year of 2005 net financing costs rose to € 11.7 million (€ 10.4 million). This entry consists of financial income and expenditure. Income fell to € 0.3 million (€ 2.6 million) due to no longer capitalising the interest on the TriNovium project in Nieuwegein. Financial expenditure fell from € 13.0 million to € 12.1 million for the first half year of 2005 due to the sales realised in 2004. General expenses General expenses amounted to € 2.5 million (€ 2.7 million). Current income tax expenses Taxes on income in the first half year of 2005 amounted to € 0.3 million (€ 0.4 million). This decrease was due to the fact that virtually all Belgian investments have been incorporated in the tax-exempt entity Intervest Offices. The remaining sum is virtually entirely related to dividend withholding tax currently due on the reporting period. Investment result attributable to minority interests The investment result attributable to third parties who held minority interests in subsidiary companies of VastNed Offices/Industrial in the first half year of 2005 amounted to € 3.1 million (€ 1.5 million). This means that a larger part of the investment result is due to third parties than in the comparable period of last year. This is caused on the one hand by a relative increase of third party interests in Intervest Offices due to sales of Intervest Offices shares by VastNed Offices/Industrial and on the other by lesser negative value movements in the Intervest Offices property portfolio.

Property portfolio The size of the property portfolio as per June 30, 2005 amounted to € 1,110 million (June 30, 2004: € 1.210 million). The average financial occupancy rate of the property portfolio in the first half year of 2005 was 81.3% (84.1%). The commercial spot occupancy rate – leases that have been agreed but have not yet taken effect – amounted to 81.8% as per June 30, 2005. Netherlands Occupancy rate The occupancy rate of the Dutch property portfolio in the first half year of 2005 amounted to 80.8% (86.9%). The commercial occupancy rate amounted to 81.0% as per June 30, 2005 (March 31, 2005: 82.7%). In the first half year of 2005 the occupancy rate improved due to on the one hand lettings and sales of fully or partly vacant properties. On the other hand the properties TriNovium 1.1 and 1.2 were taken into operation unlet, which negatively impacted the occupancy rate. Sales In the first half year of 2005 in the context of improving the risk return profile and of reducing vacancy, sales were realised totalling € 39.1 million. This concerned the following properties: the industrial premises 10 Edisonweg in Woerden, the office property 28-32 Catharijnesingel in Utrecht, the logistics centre ‘De Goudse Poort’ in Gouda, the office property 2 Marconistraat in Rotterdam, a logistics centre on 25 Distriboulevard in Moerdijk and the office property 1 Tadingastraat in Leeuwarden. The average vacancy of these properties was 72%. The sales result was € 1.3 million positive. Value movements Based on the appraisals, the unrealised value movements amounted to € 11.1 million negative (€ 4.2 million negative). € 5.9 million negative of the value movements in the first quarter related to the property portfolio in operation. In the second quarter of 2005 the value movements of the property portfolio in operation remained limited to € 0.2 million negative. The write-down of the property portfolio in pipeline in the first quarter of 2005 amounted to € 1.0 million negative and in the second quarter to € 4.0 million negative. Belgium Occupancy rate The occupancy rate of the Belgian portfolio in the first half year of 2005 amounted to 81.7% (80.3%). The commercial occupancy rate as per June 30, 2005 amounted to 82.5%. Sales In the first half year of 2005 no sales took place. Value movements Based on appraisals, the unrealised value movements were € 6.9 million negative (€ 10.1 million negative). € 4.4 of the value movements in the first quarter of 2005 concerned the property portfolio in operation. In the second quarter of 2005 the value movements in the property portfolio remained limited to € 0.9 million negative. The write-down on the property portfolio in pipeline in the first quarter of 2005 was nil and in the second quarter 2005 amounted to € 1.6 million negative, concerning a write-down on the project in Vilvoorde.

Financing with equity and loan capital Dividend At the general meeting of shareholders of April 5, 2005 the dividend for the 2004 financial year was declared at € 2.13 per share. The mandatory cash dividend amounted to € 1.88 and the optional part was € 0.25 in cash or 1 new share per 78 existing shares, charged to the share premium reserve. In this context holders of 46.0% (2004: 70.4%) of the shares opted for stock dividend, and 113,713 new shares were issued. Solvency and financing with loan capital Shareholders’ equity expressed as a percentage of the property investments amounted to 50.6% as per June 30, 2005 (June 30, 2004: 49.3%). The ratio of long-term loan capital vs. short-term loan capital amounted to 69/31 as per June 30, 2005 (June 30, 2004: 62/38). The total number of ordinary shares in issue was 19,387,617 as at June 30, 2005 (June 30, 2004: 19,273,904).

Developments and outlook 2005 The remainder of 2005 is expected to be characterised by meagre economic growth perspectives. This will cause the office and industrial premises markets to remain under pressure, both measured in terms of occupancy rate and rental levels. Sales aimed at improving the risk return profile will continue in the second half of 2005. It is anticipated that the interest rate will remain at an attractive level. Taking the above into account and assuming no unexpected negative events, such as for instance tenant bankruptcies, a direct investment result of approximately € 1.71 per share is anticipated for 2005. Review report Introduction We have reviewed the semi-annual figures for the period January 1, 2005 up to and including June 30, 2005 of VastNed Offices/Industrial N.V. in Rotterdam, consisting of the accompanying consolidated balance sheet, consolidated income statement, the summarised cash flow statement and related notes thereto. These semi-annual figures are the responsibility of the company’s management. Our responsibility is to issue a report on the semi-annual figures for the period January 1, 2005 up to and including June 30, 2005 based on our review.

Scope We conducted our review in accordance with the International Standard on Review Engagements 2400 applicable to review engagements. This standard requires that we gather information from company personnel and perform analyses of financial data. Due to the character and scope of our activities, these can only provide a limited degree of assurance regarding the fairness of the semi-annual figures. This degree of certainty is lower than that which an auditor’s statement would offer.
