Voorwoord
In Nederland worden veel mooie initiatieven ontwikkeld op het gebied van innovatie vanuit toegepast onderzoek, ook wel valorisatie genoemd. Nederland kent daarbij een zeer gedegen onderzoekssysteem met uitmuntende wetenschappers die publiceren in vooraanstaande bladen. Echter, als we kritisch naar het vermarkten van deze research kijken, stellen wij dat dit naar een hoger niveau getild kan worden. Nederland barst van de wetenschappelijke kennis, maar krijgt (kennis)valorisatie en commercialisatie ervan niet op gang. De oplossing is een integrale benadering. Met een integrale benadering bedoelen we de specifieke bundeling van kennis en kunde tussen wetenschap en de markt om zo de introductie en doorgroei van innovaties binnen Universitair Medische Centra (UMC’s) te verbeteren. Ons rapport richt zich met name op dit zo genaamde ‘Healthcare Ecosysteem’ en is bedoeld voor iedereen die (mede)verantwoordelijk is voor innovatie en valorisatie binnen een UMC. Een UMC is daarbij de spin in het web. Om dat goed te laten functioneren, moet een aantal randvoorwaarden worden opgesteld, namelijk: openstaan voor co-creatie, organiseren van kapitaal (Venture Capital), aantrekken van talent en betrekken van ‘launching customers’ om valorisatie succesvol te maken. Deze randvoorwaarden vormen ook de basis van de visie van Deloitte: het toepassen van een integrale valorisatiebenadering in plaats van separaat ingaan op een van de valorisatie elementen.
In het Healthcare Ecosysteem is de praktijk nog wel eens weerbarstig. Dit uit zich aan de uitvoeringskant door een complex samenspel tussen aan de ene kant intellectual property (wetenschap) en aan de andere kant strategische partners en de markt. Het rapport biedt een handreiking om deze kloof tussen de wetenschap en de markt gestroomlijnder vorm te geven. Het geeft handvatten en zorgt ervoor dat investeringsrisico’s binnen de perken gehouden kunnen worden. Het geeft eveneens inzicht in de manier waarop een UMC strategische kennis – en technologievalorisatie kan omarmen en toe kan passen in het Healthcare Ecosysteem. Vanuit internationale universitaire (medische) centra, waaronder KUL, Harvard, MIT en Cambridge zijn inzichten en ervaringen verkregen door interviews met experts op verschillende onderzoeksgebieden. Het rapport bestaat uit drie sporen. In spoor 1 gaat het over de inrichting van de valorisatie-organisatie. Aansluitend wordt in spoor 2 een innovatie proces vormgegeven door de inzet van goed portfoliomanagement. Spoor 3 gaat over financieringsopties vanuit een ecosysteem gedachte en wordt afgesloten met een investeerdersportfoliomatrix. Zonder medewerking van diverse mensen, organisaties en partners was dit rapport niet tot stand gekomen. Wij danken ieder die heeft meegewerkt aan de totstandkoming van dit rapport: de verschillende experts in het veld, de Universitair Medische Centra, Technology Transfer Offices en het Pontes Medical Centrum Utrecht.

Wetenschappelijke en commerciële kansen binnen Life Sciences en Healthcare • Dubbele vergrijzing en de toename van Multi-morbiditeit en chronische ziektes zijn wereldwijd drivers voor de groei in de Life Sciences en Healthcare sector (LSH). Mede hierdoor en gelet op bredere ontwikkelingen binnen LSH markt liggen er grote wetenschappelijke en commerciële kansen richting de toekomst voor onderzoekscentra en de industrie • In een periode waarin de overheid snijdt in traditionele budgetten zien Universitair Medische Centra (UMC’s) in Nederland hun 1e en 2e geldstromen flink onder druk komen te staan; meer met minder middelen doen, lijkt het credo voor de komende jaren. Additionele geldstromen benodigd zijn om toekomstig onderzoek te blijven financieren
• Nederland kent een zeer gedegen onderzoekssysteem met uitmuntende wetenschappers die publiceren in vooraanstaande tijdschriften. Als het gaat om het vermarkten (lees de vercommercialisering) van deze research, dan is verbeterpotentieel mogelijk. Kortom: Nederland barst van de wetenschappelijke kennis, maar krijgt (kennis)valorisatie en commercialisatie ervan niet voldoende en snel opgang • Additionele geldstromen zijn nodig voor de gehele sector om toekomstig (toegepaste) wetenschappelijke en klinisch concrete ideeën naar de markt te brengen en ter overbrugging van de onvermijdelijke ‘Valley of Death’; het verankeren van een goed ingericht valorisatieplatform binnen UMC’s in Nederland is noodzakelijk • We zien in de huidige praktijk dat Technology Transfer Offices (TTO) en Incubators – nu primair verantwoordelijk voor valorisatie en het vermarkten – van UMC’s bij het vormgeven van de valorisatie-inrichting tegen tal van uitdagingen aanlopen
Invulling geven aan financieringsbehoefte van onderzoek en de valorisatie-uitdaging • Valorisatie is een complex samenspel tussen ‘Onderzoek, klinische behoefte en de 1. Dit alles met een transparant valorisatieproces en innovaties moeten eerder geïdentificeerd worden (samen met de Industrie) en er duidelijke governancestructuur moet gericht geïnvesteerd worden (bv. in spin-offs/projecten). UMC’s moeten dús 2. Hiermee invulling aan een professionele funnel en valorisatie waardeontwikkeling 3. Waarom kiest Deloitte voor Life Sciences en Healthcare
Dubbele vergrijzing, de toename van Multi-morbiditeit en chronische ziektes zijn wereldwijd drivers voor de groei in de Life Sciences en Healthcare sector... Toelichting
Wereldbevolking jonger dan 5 en ouder dan 65 jaar
• Wereldwijd is het percentage ouderen (65+) ten opzichte van de totale bevolkingsopbouw de afgelopen jaren flink gestegen terwijl ze ook een hogere leeftijd bereiken; we spreken ook wel over dubbele vergrijzing • De trend die wordt waargenomen over dubbele vergrijzing, zet zich ook de komende jaren verder door • Als gevolg hiervan nemen ook het aantal chronisch zieken toe en tevens het aantal complexe ziektes (obesitas/diabetes/kanker/artritis etc.) welke zich al dan niet gecombineerd manifesteren (Multi-morbiditeit) bij ouderen • Dit draagt bij aan de groeiende (binnen de politiek wordt vaak gesproken over ‘onhoudbare zorgkosten’) zorgkosten op macroniveau met als gevolg dat zorgpremies blijven stijgen (zonder interventie) en ook de bijdragen voor de langdurige zorg; de bijdrage vanuit het inkomen aan de AWBZ (in Nederland een extra effect door het feit dat zorgkosten t.o.v. BNP blijven toenemen – gaat naar 15% van BNP – terwijl dit wereldwijd afneemt naar ongeveer 10%.) • Bovenstaande elementen vormen belangrijke drivers voor groei, verdere professionalisering en verbetering van efficiency en effectiviteit binnen Life Sciences en Healthcare Sector (LSH)

• Sinds de ontwikkeling van de stoommachine halverwege de 19e eeuw heeft de mensheid verschillende periodes van exponentiële groei gekend mede door technologische vernieuwing en ontwikkelingen • Begin jaren 90 maakten de grote dot.coms – in Silicon Valley – hun opmars waarna de ontwikkelingen op het gebied van ICT en toepassingen niet stil hebben gestaan • LSH zal de komende 50 jaar een dominante en omvangrijke markt zijn gezien het tempo en grootte van de technologische en maatschappelijke ontwikkelingen • Deze ontwikkelingen gaan gepaard met een toenemende mate van integratie en afhankelijkheden tussen verschillende (medisch/technische) wetenschappelijke disciplines (zie onderste deel van de figuur) • Echter, de financieel/economische crisis heeft grote impact op benodigde investeringen voor (cross-disciplinaire) R&D en het uitblijven van structurele wijzigingen zorgt voor scepsis bij zowel Industrie als Banken om dáádwerkelijk te investeren • Deze impasse en toename van strikte regulering (i.c. ontwikkeling van medicijnen, diagnostiek en devices worden duurder en tijdsintensiever) zorgt er voor dat de sector voor een grote uitdaging staat • Voor start-ups (met innovatieve producten/ideeën) - zowel binnen kennisinstellingen als daarbuiten - betekent dit dat zij voor een grote uitdaging staan om de ‘Valley of Death’ * te overbruggen

• Nederlandse investeerders hebben de voorkeur voor een LSH profolio waaronder Medtech en Biotech innovaties • Tussen 2008 en 2011 steeg het aantal bedrijven met 46, met name door start-ups en/of spin-offs. De meeste bedrijven hebben minder dan 50 werknemers • Ondanks de economisch mindere tijd bleef de totale omzet van de sector redelijk stabiel en kwam in 2011 uit op EUR 17,8 miljard • 2011 kende ook een sterke stijging van private investeringen in start-ups in de Life Sciences sector. • De Nedederlandse Life Sciences & Healthcare markt (resp. 3.29 en 3.83) wordt door Venture Capital als zeer aantrekkelijk gezien • Venture Capital zien investeringen in Nederlandse BioPharma en Medtech als ‘betrouwbaar’ • De betrouwbaarheidsindicator geeft aan dat Venture Capital geldstromen naar deze industry zullen stromen en een boost van de LSH-sector geeft

Uitdaging voor kennisinstituten, overheid en bedrijfsleven Als land ben je sterk als de zwakste schakel in de keten. Een zwakke schakel leidt tot disbalans en uiteindelijk onvoldoende economisch rendement. Nederland heeft als land de ambitie om bij de top 5 te behoren. • De figuur hiernaast laat zien dat de onderlinge verhouding tussen het onderwijsdeel en het onderzoeksdeel van de Rijksbijdragen de afgelopen tien jaar aanzienlijk gewijzigd is. Bij een waarde van 2 is het onderzoekdeel twee maal zo groot als het onderwijsdeel. Bij een waarde van 1 zijn onderzoekdeel en onderwijsdeel gelijk aan elkaar. De ratio is in de periode 1998-2012 vrijwel gehalveerd. Dit komt primair door groei van studentenaantallen, overheveling van onderzoeksmiddelen naar de tweede geldstroom en bezuinigingen in het onderzoek • Bevindingen onderzoek door Deloitte naar Valorisatie bij 16 kennisinstellingen o.b.v. publieke bronnen: –– Aan 3e/4e geldstroom wordt door alle instellingen verschillend invulling aan gegeven. Als gevolg daarvan zijn de instellingen nauwelijks te vergelijk op de output van de 3e/4e geldstroom; dus ook niet op valorisatie –– Landelijk is er geen eenduidige definitie van valorisatie, elke instelling formuleert zijn eigen definitie/ambitie, hierdoor is valorisatie output nauwelijks te achterhalen of alleen kwalitatief verantwoord door desbetreffende instellingen –– Contractresearch, contractonderwijs, valorisatie, deelnemingen in spinoffs, subsidies etc. wordt door de meeste instellingen als één cluster gepresenteerd en onvoldoende op detail uitgewerkt inclusief business cases en verdienmodellen –– De diversiteit van de mate van het belang van valorisatie (op basis van presentatie in jaarverslagen, websites etc.) is groot; dit varieert van een instelling die geen aandacht geeft aan valorisatie tot instellingen die te vergelijken zijn met top instituten in het buitenland

Toelichting • Naast traditionele bekostigingsstromen (1e en 2e geldstroom, wetenschappelijke bekostiging) is behoefte aan additionele geldstromen binnen de basisinrichting van het UMC-ecosysteem • Centraal binnen deze basisinrichting staat het Commercialisatie Center (CC) als spin-in-het-web binnen het ecosysteem. Geldstromen als gevolg van Patented IP/Non-patented IP met de industrie en mogelijke spin-outs lopen via het CC. Onderzoekers en/of teams kunnen in dit systeem een bonus krijgen bij licentie(deals) en aandelen bij spin-offs/spin-outs (of wel succesvolle valorisatie). In het laatste geval kunnen ook Venture Capitalists (VCs) betrokken worden. Ca. 85% van het inkomen dat niet bij het Commercialisatie Center terechtkomt, wordt verdeeld tussen het UMC (lees afdeling/Faculteiten en individuele onderzoeker(s)) en de industrie (indien relevant). Deze relaties kunnen gebruikt worden voor gerichte kennis- en competentie-uitwisseling. Dit draagt bij aan de opbouw van relaties en mogelijk toekomstige investeringen tbv nieuw onderzoek * In het basismodel is geen rekening gehouden met een Academisch Fund zoals beschreven op pagina 41, dit heeft namelijk effect op hoe bepaalde inkomstenstromen lopen, hoe de interne bekostiging loopt en impact op de governancestructuur. ** De wetenschapper is niet verplicht te vercommercialiseren via het CC. Voor het CC is het de uitdaging zo aantrekkelijk mogelijk te zijn voor wetenschappers om altijd de route van het CC te verkiezen boven eigen wegen. Uiteraard blijft het IP van het UMC zelf, ook als de wetenschapper een alternatieve route kiest. 26

Elke wetenschappelijk team (faculteit) of speerpunt is een Research Developer aangesteld die zicht houd op de wetenschappelijke onderzoeken in zijn/haar domein en de linkin pin is naar het CC (specifieke cluster) Elk CC-cluster werkt met verschillende marktpartijen in een vroeg stadium in het development-en commercialisatieproces.
Subsidies • Op strategisch niveau moet de aansluiting gemaakt worden naar (Europese) Grants/subsidies; • Het VSC ondersteunt bij de praktische uitwerking/verkrijgen van een Grant/subsidie; • Het VSC doet dit in nauwe samenwerking met externe organisaties, aangezien de complexiteit sterk zal toe noemen op dit vlak, met name bij Europese Grants/Subsidies en de samenwerking met Europese partners.
Toelichting • Binnen het CC richten ‘Clusters’ zich op specifieke inhoudelijke domeinen (MedTech, Diensten, Health IT en Life Sciences). Op deze wijze kan de meeste meerwaarde worden gegenereerd door aansluiting van specifieke kennis en expertise op speerpunten en thema’s van het Universitair medisch centrum • Een duidelijke afbakening tussen het CC (commerciële focus) en het Valorisatie Service Center (VSC) – gericht op beheer van IP, afwikkeling contractonderzoek, subsidies en juridische verankering – zorgt voor scherpe focus en duidelijke afbakening van taken, verantwoordelijkheden en bevoegdheden. Gezamenlijk bedienen ze de speerpunten/afdelingen. Decentrale Research Developers (DRD’s) regisseren hierbinnen samen met de afdelingen/onderzoekers de projecten (indien deze door de quick scan zijn gekomen, zie pagina 34) • De Wetenschapsportal (zowel een online portal waar ideeën vroegtijdig kunnen worden aangedragen als een fysiek aanspreekpunt/persoon die contacten en relaties onderhoud in het UMC) is een hulpmiddel om ideeën in een vroeg stadium te identificeren • Alle innovaties worden ondergebracht in de Incubator zodat onderzoek en doorontwikkeling daarnaast gewoon doorgang vindt (bij de onderzoekers). Het Center for Entrepreneurship heeft een magneetfunctie voor het bouwen van een community of practice en rondom het aantrekken van ondernemers • Deze generieke opzet (gebaseerd op scherpe focus, aansluiting bij thema’s/speerpunten en decentrale regie) leent zich tevens voor valorisatie binnen Universiteiten en HBO’s en kan worden opgeschaald Wetenschap als aanjager van groei 27

• De grafieken tonen de relatieve verhouding (in %) tussen cumulatieve kosten en opbrengsten op instellingsniveau • Uitgangspunten hierbij zijn defensief gekozen: –– Trendlijnen zijn leidend op basis van gemiddeld genomen gezonde verhoudingen aangenomen dat er in eerste instantie geen/weinig inkomsten zijn –– Betreft een ‘startsituatie’ waarbij situationeel invulling gegeven wordt aan opbrengsten –– Inkomsten betreft een mix van licensing, spin-off etc. –– CC-kosten gaan initieel uit van 5% van het totaal en nemen vervolgens jaarlijks met 3% per jaar toe (voor groei en benodigde resources) –– Investering/reservering van een Academisch Fund (zie pagina 41) bedraagt de eerste vier jaar 2,5% en neemt vervolgens af; deze wordt vervolgens (deels) gefinancierd vanuit de inkomstenstroom • Alternatieve geldstroom – de cumulatieve inkomsten - moeten significant zijn, wil het op instellingsniveau van betekenis zijn (lees NIET budgetneutraal) • De insteek moet dus zijn: wetenschappelijk kapitaliseren en op eigen speerpunten investeren en minder afhankelijk zijn van teruglopende Rijksbijdrage(n) –– Randvoorwaarde hiervoor is organisatorisch verankering en vormgeving proces van het valorisatieproces (zoals geschetst op pagina’s 32, 35 and 36) –– Bekostiging van het CC dient jaarlijks vanuit de RvB gealloceerd te zijn; niet commercieel uit inkomsten –– Ook dient de RvB middelen te reserveren voor een Academisch Fund. Hierbij gaan wij uit van een initieel benodigde 10% verspreid over 4 jaar –– Vanuit de opbrengsten uit het CC zullen ook de kosten van het Valorisatie Service Center gedekt moeten worden
UMC’s houden regie binnen het CC tot het moment de proof-of-principle fase is afgerond. Vanuit een Academisch Fonds (conform een early stage VC fund) zou voor de beste toegepaste wetenschappelijke ideeën de Valley of Death overbrugd moeten worden Het valorisatieproces op hoofdlijnen
