Telematics Service Information about Collection, Processing and Use of Data You are subscribing to our Telematics Service (“Service”) as defined in the John Deere Telematics Service Contract. This document contains important information regarding how we collect, process and use data, including personal data in connection with the Service. 1.
Data controller As a part of the Service, Deere & Company, located at One John Deere Place, Moline, IL 61265 (“John Deere” or “we”) as a data controller analyzes the use of your machine and provides you with individual performance reports.

Data collection, processing and use During and after the operation of your machine, we collect, process and use the following categories of data (together: “Performance Data”): (1) - Operational status data, including, but not limited to, machine fuel level and machine speed, - Productivity and performance data, including, but not limited to, machine hours and machine idle time, machine diagnostics, remote servicing and machine component software updates etc. - GPS location and movement data, including, but not limited to, proximity to landmarks and virtual boundaries. The Performance Data are automatically transferred to a data processing centre operated by John Deere in the United States of America via a cellular network. Access to the cellular network is provided by a third-party mobile network operator licensed in Germany. Access to the cellular network is accomplished by a radio module (SIM-Card) built into the hardware-box in your machine. The data centre consolidates and analyzes the Performance Data and creates reports, related to parameters such as fuel consumption, operational status, usage/non-usage, usage efficiency etc. (“Performance Reports”). You can access the Performance Reports on our Internet site at: www.jdlink.com. The provision of internet access is not part of the Service.

Purposes of data collection, processing and use Based on your consent provided below, we collect, process and use the Performance Data and the Performance Reports for the purposes of providing you with the Service,

Poland: This may include personal data within the meaning of the Data Protection Law (Journal of Laws 2002 no 101, item 926). Slovakia: The provision of your data, Performance Data and Performance Reports occurs on a voluntary basis. Our collection, processing and use of this data will be based on this document and your consents granted herein. Italy: The data may be processed through electronic and also non electronic (paper) means as below specified under logics and procedures defined according to the purposes sought and in compliance with the Privacy Code, including security issues.

Data transfers to third parties We may transfer your Performance Data and Performance Reports to one or more John Deere dealers and to third-party service providers engaged by us in connection with the Service, including but not limited to mobile network operators (together: “Third Parties”). You may request from your dealer a list of Third Parties who have access to your Performance Data and Performance reports. Third Parties will process and use your Performance Data and Performance Reports for the same purposes as we do (see Sec. 3). You may remove access by John Deere dealers to your Performance Data and Performance reports at www.jdlink.com.Third Parties are contractually bound by us to protecting the confidentiality and the security of your Performance Data and Performance Reports and to adhering to applicable data protection laws.

Customer contact and customer’s data protection rights(2) If you have any questions or queries regarding the collection, processing and use of your Performance Data and Performance Reports, please contact your local dealer.
You may exercise your statutory data protection rights and seek other legal remedies, including inter alia the right to access any data we hold about you, including the Performance Data and Performance Reports, to have them updated, amended, corrected, blocked or removed.(3) You may at any time object to their further processing by revoking your consent. We will maintain physical, technical and organizational measures to protect your data against accidental, unauthorized or unlawful access, copying, use, processing, disclosure, alteration, transfer, loss or destruction. We will retain your Performance Data and Performance Reports for at least one (1) year, or one year after the end of the contract at the longest.

Romania: According to the provisions of the Romanian Data Protection Law no. 677/2001 you are hereby informed that you have the following rights in connection to the processing of your data: (i) to be informed about the processing of your data; (ii) to have access to your data; (iii) to be in control over your data; (iv) to object to the processing of your data; (v) to request the erasure of your data; (vi) to not being submitted to an individual decision based on automated processing; (v) to address to the courts of law in case your rights provided by the Romanian Data Protection Law are not observed. JOHN DEERE TELEMATICS SYSTEM CONTRACT By clicking the “Accept” button, below, you (“Customer”) enter into this John Deere Telematics System Contract (the “Contract”) with the entity listed in Table 1, below (“John Deere”), for the location in which your headquarters is located if you are entering into this Contract on behalf of a corporate entity or your place of residence if you are entering into this contract as an individual (the “Contract Jurisdiction”). This Contract is effective as of the date you click the Accept button (the “Effective Date”). John Deere has developed and markets various telematics systems consisting of telematics hardware, software, and services (the “Systems”) and distributes the Systems through John Deere dealers or other designated parties (“Dealers”). This Contract sets forth the terms governing Customer’s use of the John Deere Telematics Systems, including access to and usage of the John Deere Telematics Web Service. 1.
PARTIES
1.1 parties. This agreement is concluded between Deere & Company represented by ETIC, Strassburgerallee 5, Kaiserslautern (John Deere) and the customer. 2.
SUBJECT and SERVICE.
2.1 Subject and Service. The subject of this agreement is the provision of Telecommunication and web services in conjunction with the German Telecommunication Act (Telekommunikationsgesetz – TKG) as provided for machine to machine communication devices using the mobile network. The service may be available in other European countries using roaming services with local provider. Coverage and signal intensity may change from location to location and subject to local provider coverage and signal intensity. John Deere does not warrant any particular coverage or signal intensity. The Systems include a proprietary web-based solution (the “Web Service”) resident on one or more servers (each a “Server”) and a telecommunication service. The Web Service allows Customer to use Customer’s computer to view and manage data stored on the Servers that has been obtained from the System Hardware. The Systems also include a two-way terrestrial or satellite-based (if offered in customer’s location), mobile data messaging and position location reporting service (the "JDLink Service") that enables the transfer of data from the System Hardware to the John Deere Servers. The terrestrial or satellitebased service will be provided through a telecommunication provider. The Web Service and the JDLink Service shall be collectively referred to as the Service. Customer may not resell or otherwise transfer the Service, or any portion thereof, to any third party without John Deere´s consent. The Agreement do not entitle the customer to use the SIM cards provided by John Deere as a provider of telecommunication service himself nor to offer machine to machine communication services to third parties as this requires the conclusion of a separate agreement between the third party and John Deere. In case of resale of pre-installed or used equipment customer shall inform the purchaser of the obligation to conclude a new telecommunication contract with John Deere. 2.2. Telecommunication service. Subject to technical and operational feasibility John Deere will offer to the customer a machine to machine telecommunication service. To this aim John Deere will provide the customer with a SIM card. The SIM card shall be used exclusively for a machine to machine communication as well for data transmission exclusively in connection with a terminal equipment that may be purchased exclusively at Deere´s authorized dealers or pre-installed on John Deere machines. 2.3 Use of Web Service. During the Term, Customer will have access to and use of the Web Service. John Deere will assign to Customer user name(s) and password(s) for Customer’s use of the Web Service. Customer shall control access to and use of the user name(s) and password(s) by Customer’s employees, and Customer shall promptly notify John Deere of any unauthorized use of the user name(s) or password(s). Customer shall not permit access via their user name and/or password by any third parties other than John Deere or an authorized Dealer, or assign or transfer access to the Web Service or use the Web Service except as set forth in this Contract. If Customer desires to provide access to Customer’s account to a third party, Customer may create another user name and password for such third party. However, Customer assumes full responsibility for the actions of any such third party with respect to the System. To use the Web Service, Customer shall contract with an Internet Service Provider (“ISP”) and have a computer and connection to the Internet that both meet or exceed any specifications or minimum requirements published by John Deere, if any. Customer shall be solely responsible for the choice of its ISP and for any ISP fees, maintenance support, and other ISP expenses. John Deere shall not have any responsibility for the ISP connection or any Internet communications link between Customer’s computer and the Servers. Customer’s use of an ISP does not permit John Deere to provide backup for access to the Web Service in the event of a failure of the ISP or Internet, and John Deere shall not have any liability for any interruption or break in the Web Service as a result of downtime or failure of any Internet or ISP connection. 2.4. JDLink Service. To enable Customer to use the JDLink Service on a particular Terminal, the JDLink Service for that Terminal must first be activated. Such activation may be accomplished via John Deere’s support website: stellarsupport.deere.com. The activation may be performed by the John Deere authorized dealers acting on behalf of the customer. At the time of activation, the JDLink Service and the associated service rates and/or fees shall commence for each activated Terminal and shall continue in effect for the remainder of the subscription period chosen by the Customer for that
Terminal. Upon expiration of a JDLink Service subscription period for a Terminal the JDLink Service for that Terminal will cease unless Customer elects to purchase an additional JDLink Service subscription period at the then current rates. If any terms and conditions are presented to Customer by John Deere at the time of purchase or activation of a JDLink Service subscription period on or after the Effective Date, Customer shall be bound by such terms. In the event of any conflict between such terms and the terms of this Contract, the terms presented to Customer by John Deere at the time of purchase or activation of the JDLink Service subscription period shall apply. As part of the provision of the JDLink Service, each Terminal may be assigned a unique mobile or satellite communication number. Customer acknowledges that Customer has no property right in such number, and John Deere may change or reassign such numbers in John Deere’s sole discretion. If Customer elects to receive short message service (“SMS”) alerts to Customer’s mobile device as part of the JDLink Service, Customer hereby authorizes John Deere to send SMS messages to Customer. Furthermore, Customer acknowledges that Customer has the option for the Term of this Contract to optin or opt-out of receiving SMS messages. 2.5. Unauthorized Use of the Service. Customer shall not use the Service for any Unauthorized Purpose or in such a manner as to interfere with use by other customers of the System. "Unauthorized Purpose" includes: (i) use with intent to avoid payment of charges due under this Contract, (ii) access to, use of, alteration of, or destruction of the System Data files, programs, procedures, or information related to Customer or any other John Deere customer, (iii) use with the intent to reverse engineer or clone the System, (iv) use for any unlawful, illegal or fraudulent purpose, or (v) Bypass. For purposes of this section, “Bypass” means, for Systems including satellite communication functionality, (i) any mechanisms, including pricing differentials, intended to divert to any destination other John Deere’s satellite communication provider’s (the “Satellite Provider”) U.S. gateway any inbound Satellite Traffic originating from a Public Switched Telephone Network (“PSTN”) and currently routed to the Satellite Provider’s U.S. gateway and then forwarded to Satellite Provider subscribers or (ii) any mechanisms intended to bypass Satellite Provider gateways for routing of calls through the various PSTN, PLMN, PTT or IXC providers or (iii) any other mechanisms which the Satellite Provider determines in its sole judgment constitutes network abuse or otherwise have a potentially damaging effect, including abnormal wear and tear, on the Satellite Provider’s communications system or cause or could potentially cause abnormal call service performance or call and/or network congestion. For purposes of this section, “Satellite Traffic” includes any voice or data call that is originated from the Satellite Provider’s authorized product or device including attempted calls to a +8816 or +8817 number which is destined to terminate or be routed through the Satellite Provider’s gateway or any carrier, ISC or IXC on behalf of the Satellite Provider. John Deere may, without liability to John Deere, discontinue the Service to prevent use for an Unauthorized Purpose or in response to an order from any court of competent jurisdiction or governmental authority. Customer shall not be credited any charges for Service interruptions resulting from John Deere’s actions under this Section. 3.
HARDWARE AND SOFTWARE.
3.1 Hardware and Software. To collect and transfer data from Customer’s machine, Customer must have at least one activated John Deere-compatible telematics terminal (“Terminal”). Terminals, together with ancillary equipment such as cables, harnesses, and antenna, shall be referred to herein as the “System Hardware.” The system hardware shall be purchased separately at authorized dealers.premises. Customer’s use of the System Hardware is subject to all terms of this Contract and any other terms presented to Customer at the time of purchase of the System Hardware. The System Hardware may include a removable subscriber identity module card (“SIM Card”). The SIM card remains property of Deere. All rights including the granting of rights to use software installed on the SIM cards remains at John Deere. In case of defaults John Deere will be entitled to replace or modify the SIM card. Customer shall only use the SIM Card as part of the System, for the purpose of utilizing the JDLink Service, and as defined by John Deere. Customer shall notify John Deere immediately if any portion of the System Hardware becomes lost, stolen, unserviceable due to damage, or has been misused in any way. Customer shall include as a condition in any sale, rental, lease or other transfer of the System Hardware by Customer to any third party the requirement that such third party abide by all terms of this Contract. 3.2 Software. Telematics software, modem software, and other software and/or firmware are resident on the System Hardware ("System Software"). The System Software contains proprietary code of John Deere or third parties licensed under the terms of this section and may include third party code separately licensed as specified in any documentation (e.g. a CD) accompanying the System Hardware. During the Term of this Contract, John Deere grants to Customer a non-exclusive, revocable license to use the System Software solely (i) in conjunction with use of the System, and (ii) with System Hardware installed and used on Customer's machines or independent contractors' machines who are contracting with Customer. John Deere further grants Customer the right to transfer its license to use the System Software (the System Software do not include the web service and the telecommunication service) during the useful life of the System Hardware in conjunction with the transfer of its ownership. John Deere may condition its agreement to provide the Service to any transferee upon John Deere’s approval of transferee’s creditworthiness, the payment by transferee of a re-licensing fee and/or the upgrade of System Hardware at transferee's expense. Customer agrees that John Deere may update the System Software on any of Customer’s System Hardware during the Term of this Contract as often as is deemed appropriate by John Deere. 4.
DATA.
4.1. Machine Data, Web Service Data, and System Data. Any data that is generated by the use of, collected by, or stored in John Deere machinery and equipment, including the System Hardware and any hardware or devices interfacing with John Deere machinery and equipment, shall be considered "Machine Data". A subset of Machine Data is accessible via the Web Service. This subset of Machine Data and any other data added to the Web Service by Customer shall be collectively referred to as the “Web Service Data”. Machine Data and Web Service Data shall be collectively referred to as “System Data”. 4.2. Data Access and Usage by John Deere and Dealers. Subject to authorization by the customer John Deere shall provide access to and use of System Data to the Dealer who sold Customer the System. Customer may authorize or remove
access to Dealers via the Web Service. Customer agrees that John Deere and authorized Dealers acting on behalf of John Deere, may access and use System Data notwithstanding any other provisions herein. John Deere and authorized Dealers may use System Data for their business purposes, including, but not limited to,: (a) to provide services to Customer, (b) to check, maintain or repair Customer’s Equipment, (c) for John Deere’s internal research and product development and improvement audits, (d) to help Customer manage a fleet, (e) to identify new usage types of Equipment, (f) to comply with or enforce legal or contractual requirements, excluding the rejection of Customer’s warranty claims, (g) to offer Customer products or services, (h) to comply with a request from Customer, or (i) to disclose the System Data to a third party necessary to accomplish (a) through (h). Customer as provided in the authorization form acknowledges that it has been notified of John Deere’s data collection practices and agrees that John Deere may use the System Data as described herein. Customer acknowledges and agrees that the System Data may be transferred out of the country where the System Data is generated to other destinations, including but not limited to the United States of America. Customer warrants that it has obtained the necessary consent from its employees to comply with any applicable privacy laws or contractual agreements with such employees. Customer shall not use the System to track the location of any person unless Customer has first obtained any necessary approvals from such person to permit Customer, John Deere and all authorized Dealers to track such location. 4.3. Data Retention Policy. John Deere will store the Web Service Data for a minimum of one (1) year provided such data storage is in compliance with all applicable federal, state, provincial and local laws and regulations, including, but not limited to, applicable international laws. John Deere shall have the right, but not the obligation, to store the Web Service Data indefinitely, or to delete the Web Service Data at any time upon expiration of the above-stated retention periods provided such data storage is in compliance with all applicable federal, state, and local laws and regulations, including, but not limited to, applicable international laws. Customer acknowledges and agrees that messaging and position Web Service Data deleted from the Server(s) cannot be retrieved or re-created. In addition, the wireless network provider for the JDLink Service may generate call data records (“CDRs”) for billing and invoicing purposes, and the wireless network provider may retain the CDRs for longer than a ninety (90) day period. The last position of each Terminal will be stored on the Terminal. If Customer transfers ownership of a Terminal to another party, Customer will no longer have access to the Web Service Data affiliated with the Terminal. 5.
INVOICING AND PAYMENT.
5.1. Payment. Customer agrees to pay all applicable JDLink Service fees and Web Service fees in form of a pre-paid flat fee. Such fees will be paid via the payment method selected by Customer and communicated to John Deere. If Customer fails to make any portion of such payment, a late charge of the lesser of 1.5% per month or the maximum amount permitted by law may be charged to Customer. All reasonable costs and expenses, including but not limited to attorneys' fees, court costs and service charges incurred by John Deere in collecting payment will be an expense of and charge to Customer. John Deere may change payment terms at any time. If Customer becomes delinquent in the payment of any sum due, John Deere shall not be obligated to continue performance under this Contract. All prices and rates affiliated with the Service or System Hardware include sales, use, excise or similar taxes assessed at any time. 6.
TERM AND TERMINATION.
6.1. Term. The term of this Contract (the “Term”) shall commence upon the Effective Date and shall continue in effect until the expiration of Customer’s license term to the Web Service, unless earlier terminated in accordance with the terms of this Section 5. The term of Customer’s license to the Web Service shall expire upon the later of i) the one year anniversary of the expiration of the last expiring JDLink Service Terminal subscription of a Terminal in Customer’s account or ii) the expiration of the term of Customer’s account license to the Web Service, if such a license is offered by John Deere. The term of a JDLink Service Terminal subscription for a Terminal in Customer’s account shall be in accordance with the terms presented to Customer when Customer purchased the JDLink Service Terminal subscription from John Deere. 6.2. Termination. The occurrence of a good cause shall constitute a material default and breach of this Contract and shall allow the non-defaulting party to terminate this Contract and/or the applicable JDLink Service Terminal subscription without any notice. A good cause will arise if the customer substantially infringes the obligation specified in this contract. Any further claim for damages shall be based on legal provisions. 7.
OTHER TERMS.
7.1. Confidentiality of Contract and Information. The terms of this Contract, including its pricing, are confidential information of John Deere. Any business, operations, or technical information furnished by John Deere which is marked with a confidential or proprietary data legend shall be deemed to be the confidential information of John Deere (“Information”). During the Term and for a period of three (3) years thereafter, Customer shall (a) hold all Information received from John Deere in confidence, (b) use such Information only for the purpose of performance under this Contract, (c) reproduce such Information only to the extent necessary for such purpose, (d) restrict disclosure of such Information to its employees and consultants with a need to know in the course of fulfilling their scope of work, and (e) not disclose such Information to any third party, without prior written approval of John Deere. The restrictions on Customer's use and disclosure of Information shall not apply to any Information which Customer can demonstrate: (i) is wholly and independently developed by Customer without the use of Information of John Deere; (ii) is or has become generally available to the public without breach of this Contract by Customer; (iii) at the time of disclosure, was known to Customer to be free of restriction; (iv) is approved for release by written authorization of John Deere, or (v) is disclosed in response to a valid order of a court or other governmental body in the country in which Customer is located, but only to the extent of and for the purposes of such order; provided, however, that Customer shall first notify John Deere in writing of the order and permit John Deere to seek an appropriate protective order, unless such notification is otherwise prohibited by law. Upon the termination or earlier cancellation of this Contract, Customer shall promptly return to John Deere or destroy (and certify such destruction) all confidential or proprietary information received. If the parties have executed a separate confidentiality
agreement for the protection of confidential or proprietary information, the terms and conditions of such agreement shall take precedence over this Section. 7.2 Limitation of Liability and Remedies. John Deere shall be fully liable for any intentional damages or for damages caused by gross negligence. In case of slight negligence John Deere will be fully liable for injury to life or harm to health. If as a result of slight negligence Deere fails to perform its service on time, if it has become impossible to provide the service or if Deere has failed to comply to substantial obligation, liability for any damage to property or pecuniary liability will be limited to foreseeable damage that is tipical for the agreement and the nature of the service but no more than 12.500 Euro per customer. If the duty to pay damages results from an uniform act ar an event causing uniform damage to multiple users, and this is not based on willful intent, then the duty to pay damages is limited to a maximum total of 500.000 Euro nothwithstanding the per end user limit above. If the compensation exceeds the maximum amount payable to several parties due to the same event the damages shall be reduced proportionally of the total of all claims to the maximum amount. The parties, furthermore, agree that substantial obligation is considered such obligation whose fulfillment is a prerequisite for the performance of this agreement. Failure to a substantial obligation is considered any infringement that menace the achievement of the purposes of the agreement and upon whose compliance the customer can rely in normal condition and for similar services. The Liability for any other damage shall be excluded. Liabilities pursuant to the German Product Liability Act (Produkthaftungsgesetz) as well as any applicable law remain unaffected. 7.3. Language, Choice of Law and Venue. The contract language shall be English. A courtesy translation may be provided from case to case. In case of doubts in the wording the English version shall prevail. This Contract shall be governed by and construed according to the German laws. All disputes arising under this Contract shall be heard only by a court of competent jurisdiction in Kaiserslautern, and Customer submits to the jurisdiction of such courts for the purpose of litigating such disputes. The rights and obligations of the parties under this Contract shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods (“CISG”) and the parties hereto expressly exclude the applicability of the CISG to this Contract. 7.4. Assignability. Neither this Contract, nor any rights, duties or interest herein, shall be assigned, transferred or sublicensed by Customer without John Deere’s prior written consent, not to be unreasonably withheld. Any such action shall be void and shall constitute a material default entitling John Deere to terminate this Contract. 7.5. Severability; Waiver. If any of the provisions of this Contract is determined to be unenforceable, the enforceability of the remaining provisions shall not in any way be affected or impaired, and the parties shall substitute for the affected provision an enforceable provision which approximates the intent and economic effect of the affected provision as closely as possible. The waiver by any party of a breach of any of the provisions of this Contract shall not operate as a waiver of any subsequent breach. 7.7. Notices. All notices must be in writing and shall be deemed given if delivered by registered or certified mail to: ETIC, Strassburgerallee 5, Kaiserslautern. 7.8. Force Majeure. Except for the payment of money, neither party shall be liable to the other for failure or delay in the performance of a required obligation if such failure or delay is caused by acts of God, natural disasters, strikes, acts of terrorism, civil disturbances, compliance with governmental laws or orders, or other events which are beyond the reasonable control of such party, provided that such party gives prompt written notice of such condition and resumes its performance as soon as possible, and provided that the other party may terminate this Contract if such condition continues for a period of ninety (90) days without demonstration by the non-performing party of the ability to resume performance of its obligations within a reasonable period. 7.9 Import and Export Compliance. Customer acknowledges that all System Hardware, System Software, proprietary data, know-how, or other data or information (herein referred to as "Products") obtained from John Deere may be subject to the import and/or export control laws of one or more countries and, accordingly, their import, export and re-export, may be restricted or prohibited. Customer, therefore, agrees not to directly or indirectly import, export, re-export, or cause to be imported, exported or re-exported, any such Products to any destination, entity, or persons prohibited or restricted under any law or regulation, unless it shall have first obtained prior written consent of John Deere and any applicable governmental entity, either in writing or as provided by applicable regulation, as the same may be amended from time to time. Customer agrees that no Products received from John Deere will be directly employed in missile technology, sensitive nuclear, or chemical biological weapons end uses or in any manner transferred to any party for any such end use.
7.10. Entire Contract. This Contract contains the entire understanding, agreement and representations of the parties. This Contract supersedes all prior writings, discussions and understandings concerning the subject matter. Any additional or different terms or conditions proposed by Customer or contained in any purchase order are rejected and shall be of no force and effect unless expressly agreed to in writing by John Deere.

Telematics Service Informatie over het verzamelen, verwerken en gebruiken van gegevens U abonneert zich op onze Telematica Service (“Service”) zoals gedefinieerd in het John Deere Telematica Service Contract. Dit document bevat belangrijke informatie over hoe wij gegevens verzamelen, verwerken en gebruiken, met inbegrip van persoonlijke gegevens in verbinding met de Service. 1.
Data controller Als deel van de Service analyseert Deere & Company, gevestigd in One John Deere Place, Moline, IL 61265 (“John Deere” of “wij”) als data controller het gebruik van onze machine en stelt voor u individuele performance rapporten op.

Verzamelen, verwerken en gebruiken van gegevens Tijdens en na het bedrijf van uw machine verzamelen, verwerken en gebruiken wij de volgende gegevenscategorieën (samen: “Performance Data”): (1) - Bedrijfstatus, met inbegrip van, maar niet beperkt tot het brandstofpeil en de snelheid van de machine, - Productiviteit en performance, met inbegrip van, maar niet beperkt tot machineuren en machinerusttijden, machinediagnose, remote servicewerken en updates van softwarecomponenten voor de machine, etc. - GPS locatie- en bewegingsgegevens, met inbegrip van, maar niet beperkt tot de nabijheid tot markeringspunten en virtuele grenzen. De Performance Data worden automatisch doorgestuurd naar een gegevensverwerkingcenter dat door John Deere bedreven wordt in de Verenigde Staten van Amerika via een mobiel net. Toegang tot het mobiele net wordt verstrekt door een derde mobiele netwerkoperator met licentie in Duitsland. Toegang tot het mobiele net wordt verwezenlijkt door een radiomodule (SIM kaart) die in de hardwarebox in uw machine ingebouwd is. Het datacenter consolideert en analyseert de Performance Data en maakt rapporten met betrekking tot parameters zoals brandstofverbruik, bedrijfsstatus, gebruik/niet-gebruik, gebruiksefficiëntie, etc. (“Performance Rapporten”). U kunt toegang krijgen tot de Performance Rapporten

Gegevensoverdracht naar derden Wij hebben het recht uw Performance Data en Performance Rapporten naar een of meer John Deere dealers en naar derde service providers te sturen waarop wij in verband met de Dienst beroep doen, met inbegrip van, maar niet beperkt tot mobiele netwerk operators (samengevat: “Derden”). U kunt aan uw dealer een lijst met Derden vragen die toegang hebben tot uw Performance Data en Performance Rapporten. Derden zullen uw Performance Data en Performance Rapporten verwerken en gebruiken zoals wij dit doen (zie Deel 3). U kunt de toegang door John Deere dealers tot uw Performance Data en Performance Rapporten verwijderen op www.jdlink.com. Derden zijn tegenover ons contractueel verplicht om het vertrouwelijke karakter en de beveiliging van uw Performance Data en Performance Rapporten te beschermen en om de van toepassing zijnde wetten op de bescherming van de privacy na te leven.
5.
Klantencontact en de rechten van de klanten op bescherming van de privacy(2) Indien u vragen of twijfel heeft over het verzamelen, verwerken en gebruiken van uw Performance Data en Performance Rapporten neem dan contact op met uw plaatselijke dealer.
U kunt uw rechten op bescherming van de privacy uitoefenen of andere wettelijke maatregelen zoeken, inclusief inter alia het recht op toegang tot de gegevens die wij over u bijhouden, met inbegrip van de Performance Data en Performance Rapporten, deze te updaten, te wijzigen, te corrigeren, te vergrendelen of te verwijderen.(3) U (2)

JOHN DEERE TELEMATICA SYSTEEM CONTRACT Door op de “Accepteren” knop te drukken sluit u (“Klant”) dit Deere Telematica Systeem Contract (het “Contract”) af met de entiteit vermeld in Tabel 1 (“John Deere”), voor de vestiging van uw centrale indien u dit contract afsluit in naam van een rechtspersoon of uw woon- of verblijfplaats indien u dit contract als een natuurlijk persoon afsluit (de “Contract Jurisdictie”). Dit contract treedt in werking op de datum waarop u op de Accepteren knop drukt (de “Effectieve datum”). John Deere heeft verschillende telematicasystemen ontwikkeld en verkocht bestaande uit telematica hardware, software, en diensten (de “Systemen”) en verdeelt de systemen door middel van John Deere dealers of andere hiervoor benoemde partijen (“Dealers”). Dit contract bepaalt de voorwaarden voor het gebruik door de klant van de John Deere Telematica Systemen, met inbegrip van toegang tot en gebruik van de John Deere Telematica Web Service. 1. PARTIJEN 1.1 PARTIJEN. Deze overeenkomst wordt afgesloten tussen Deere & Company, vertegenwoordigd door ETIC, Strassburgerallee 5, Kaiserslautern (John Deere) en de klant. 2. INHOUD en DOEL. 2.1 Inhoud en doel. Het doel van deze overeenkomst bestaat in het verstrekken van Telecommunicatie- en webdiensten in verbinding met de Duitse Wet op de Telecommunicatie (Telekommunikationsgesetz – TKG) voorzien voor communicatietoestellen voor machines die gebruik maken van het mobiele net. De dienst kan beschikbaar zijn in andere Europese landen met behulp van roaming diensten met plaatselijke providers. Dekking- en signaalintensiteit kan van plaats tot plaats variëren en is onderhevig aan de dekking en signaalintensiteit van plaatselijke providers. Jong Deere garandeert geen bijzondere dekking of signaalintensiteit. De systemen bevatten een door John Deere gemaakte web-based oplossing (de “Web Service”), ingevoerd op een of meerdere servers (elk een “Server”) en een telecommunicatiedienst. De Web Service maakt het de klant mogelijk zijn computer te gebruiken om op de server opgeslagen gegevens, verkregen van de systeemhardware, te bekijken en te beheren. De systemen bevatten eveneens een twee-weg land- of satellietgebaseerde (indien aangeboden in de locatie van de klant) mobiele data messaging en positie rapporteringdienst (de "JDLink Service") waardoor gegevens van de systeemhardware naar de John Deere servers gezonden kunnen worden. De land- of satellietgebaseerde dienst zal verstrekt worden door middel van een telecommunicatie provider. De Web Service en de JDLink Service worden samen als de Service omschreven . De klant mag de Service, of delen ervan, niet aan andere verkopen of afstaan, zonder de toestemming van John Deere. De overeenkomst geeft de klant niet het recht om de SIM kaarten die door John Deere als provider van telecommunicatiediensten verstrekt worden zelf te gebruiken of om communicatiediensten voor machines aan derden aan te bieden, aangezien hiervoor een separate overeenkomst tussen de derde en John Deere nodig is. In geval van doorverkoop van vooraf geïnstalleerde of gebruikte uitrustingen moet de klant de koper informeren over de plicht om een nieuw telecommunicatiecontract met John Deere af te sluiten. 2.2. Telecommunicatiedienst. Afhankelijk van technische en operationele doenbaarheid zal John Deere de klant een telecommunicatiedienst voor machine tot machine aanbieden. Hiervoor zal John Deere de klant een SIM kaart verstrekken. De SIM kaart moet exclusief gebruikt worden voor de machine-tot-machine communicatie en voor gegevensoverdracht, uitsluitend in verbinding met een terminal uitrusting die exclusief gekocht kan worden bij de bevoegde dealers van John Deere of uitsluitend vooraf op John Deere machines geïnstalleerd wordt. 2.3 Gebruik van de Web Service. Tijdens de duur van de overeenkomst zal de klant toegang hebben en gebruik maken van de Web Service. John Deere zal de klant een gebruikersnaam/gebruikersnamen en een wachtwoord/wachtwoorden voor gebruik van de klant van de Web Service toekennen. De klant moet de toegang tot en het gebruik van de gebruikersnaam/gebruikersnamen en het wachtwoord/wachtwoorden door bedienden van de klant controleren, en de klant moet John Deere onmiddellijk informeren over eventueel onbevoegd gebruik van de gebruikersnaam/gebruikersnamen en wachtwoord/wachtwoorden. De klant mag geen toegang via zijn gebruikersnaam en/of wachtwoord door derden, die niet John Deere of een bevoegde dealer is, noch toegang tot de Web Service toekennen of overdragen of de Web Service gebruiken, behalve in de gevallen beschreven in dit contract. Indien de klant toegang tot zijn account aan een derde wenst te verlenen dan kan de klant een andere gebruikersnaam of wachtwoord voor dergelijke derde maken. De klant neemt echter de volledige verantwoordelijkheid voor de acties van deze derde met betrekking tot het Systeem op zich. Om gebruik te maken van de Web Service moet de klant een contract afsluiten met een Internet Service Provider (“ISP”) en een computer en een aansluiting op het Internet hebben die beide de specificaties en minimum vereisten, door John Deere gepubliceerd, vervullen en overschrijden. De klant zal de enige verantwoordelijke zijn voor de keuze van zijn ISP en voor eventuele ISP tarieven, onderhoudssupport, en andere ISP kosten. John Deere aanvaardt geen verantwoordelijkheid voor de ISP verbinding of Internet communicatielinks tussen de computer van de klant en de servers. Het gebruik van de klant van een ISP geeft John Deere niet de toestemming om een back-up te maken voor toegang tot de Web Service in geval van een storing van de ISP of het internet, en John Deere zal geen enkele aansprakelijkheid aanvaarden voor eventuele onderbrekingen in de Web Service die het resultaat zijn van een storing van de internet- of ISP-verbinding. 2.4. JDLink Service. Opdat de klant gebruik zou kunnen maken van de JDLink Service op een bepaalde terminal moet de JDLink Service voor deze terminal eerst geactiveerd worden. Dergelijke activering kan tot stand gebracht worden via de support website van John Deere: stellarsupport.deere.com. De activering kan uitgevoerd worden door bevoegde dealers van John Deere die in naam van de klant actief zijn. Bij de activering beginnen de JDLink Service en de daarmee verbonden servicetarieven voor elke geactiveerde terminal, en zullen verder gaan voor de rest van de abonnementsperiode gekozen door de klant voor die terminal. Na beëindiging van een JDLink Service abonnement voor een terminal zal de JDLink Service voor die terminal stoppen behalve indien de klant een bijkomende JDLink Service abonnementsperiode koopt aan de op dat ogenblik geldende tarieven. Indien voorwaarden aan de klant door John Deere opgelegd worden op het ogenblik van de aankoop of activering van een JDLink Service abonnementsperiode dan zal de klant gebonden zijn aan deze voorwaarden. In geval van een conflict tussen deze voorwaarde van het contract zullen de aan de klant door John Deere op het ogenblik van de aankoop of activering van de JDLink Service abonnementsperiode opgelegde voorwaarden van toepassing zijn. Als deel van de JDLink Service kan aan elke terminal een uniek mobiel of satelliet communicatienummer toegekend worden. De klant aanvaardt dat hij geen eigendomsrechten op dat nummer heeft, en John Deere kan deze nummers naar goeddunken veranderen of opnieuw toekennen. Indien de klant ervoor kiest om short message service (“SMS”) waarschuwingen van het mobiele toestel van de klant te ontvangen als deel van de JDLink Service dan geeft de klant hiermee toestemming aan John Deere om SMS berichten naar de klant te sturen. Verder bevestigt de klant dat hij de optie heeft voor de duur van dit contract om deze SMS berichten dienst te activeren of te deactiveren. 2.5. Onbevoegd gebruik van de service. De klant mag de service niet op onbevoegde wijze gebruiken of zodanig dat hij hierdoor andere klanten van het systeem stoort. "Onbevoegd gebruik" bevat: (i) gebruik met als doel betaling van kosten conform onderhavig contract te vermijden, (ii) toegang tot, gebruik van, wijziging van, of vernietiging van de systeem datafiles, procedures, of informatie verbonden met de klant of andere 1
John Deere klanten, (iii) gebruik om het systeem aan reverse engineering te onderwerpen of te klonen, (iv) gebruik voor onwettige, onrechtmatige of fraudulente doelstellingen, of (v) bypass. Voor de inhoud van dit deel betekent “bypass” voor systemen die over een satellietcommunicatie functie beschikken, (i) alle mechanismen, met inbegrip van prijsverschillen, bedoeld om uit te wijken naar bestemmingen die niet overeenstemmen met de satellietcommunicatie provider van John Deere (de “Satelliet provider”), U.S. gateway en binnenlands Satellietverkeer gegenereerd door een “Public Switched Telephone Network” – “Openbaar Bedreven Telefoonnetwerk” (“PSTN”) en op dat ogenblik gezonden naar de U.S. gateway van de satelliet provider en daarna naar de leden van de satelliet provider of (iii) andere mechanismen die de satelliet provider naar eigen goeddunken bepaalt, betekent misbruik van het netwerk of een ander potentieel beschadigend effect, met inbegrip van abnormale slijtage, aan het communicatiesysteem van de satelliet provider of overbelasting van het netwerk. Voor het doel van dit deel bevat “Satellietverkeer” alle voice of data gesprekken die gegenereerd worden vanaf het toegestane product of toestel van de satelliet provider met inbegrip van verbindingspogingen met een +8816 of +8817 nummer bestemd voor de gateway van de satelliet provider of andere carriers, ISC of ICX in naam van de satelliet provider. John Deere kan, zonder dat de firma hiervoor aansprakelijk gesteld kan worden, de service onderbreken om het gebruik voor onbevoegde doelen te voorkomen of als reactie op een bevel van een bevoegde rechtbank of regeringsinstantie. De klant zal geen kosten aangerekend worden voor serviceonderbrekingen die te wijten zijn aan acties van John Deere. 3.
HARDWARE EN SOFTWARE.
3.1 Hardware en Software. Om gegevens van de machine van de klant te verzamelen en door te sturen moet de klant minstens een geactiveerde, met John Deere compatibele telematicaterminal (“Terminal”) hebben. Terminals, samen met periferie-uitrusting zoals kabels, behuizingen, en antennes, worden vanaf nu de “Systeemhardware" genoemd. De systeemhardware moet apart gekocht worden bij bevoegde dealers. Het gebruik van de systeemhardware van de klant is onderworpen aan alle voorwaarden van dit contract en aan alle andere clausules die aan de klant op het ogenblik van aankoop van de systeemhardware voorgelegd worden. De systeemhardware kan een verwijderbare identiteitsmodulekaart (“SIM kaart”) bevatten. De SIM kaart blijft het eigendom van Deere. Alle rechten, inclusief het recht om op de SIM kaarten geïnstalleerde software te gebruiken, blijven het eigendom van John Deere. In geval van fouten zal John Deere het recht hebben om de SIM kaart te vervangen of te veranderen. De klant mag de SIM kaart uitsluitend gebruiken als deel van het systeem, voor het gebruik van de JDLink Service, en zoals gedefinieerd door John Deere. De klant moet John Deere onmiddellijk informeren indien een deel van de systeemhardware verloren gaat, gestolen wordt, niet langer gebruikt kan worden wegens schade, of in geval van misbruik. De klant moet als voorwaarde voor eventuele verkoop-, huur-, lease- of andere overdrachtafspraken van de systeemhardware door de klant aan een derde de vereiste invoegen dat de derde alle voorwaarden van dit contract moet naleven. 3.2 Software. Telematica software, modem software, en andere software en/of firmware zijn geïntegreerd in de systeem software ("Systeem software"). De systeem software bevat de eigendomscode van John Deere of derden die conform de voorwaarden van dit deel gelicentieerd zijn en kunnen een code voor derden bevatten die apart gelicentieerd wordt, zoals gespecificeerd in de documentatie (bijvoorbeeld een CD) die samen met de systeem hardware geleverd wordt. Tijdens de duur van dit contract verstrekt John Deere aan de klant een niet-exclusieve, herroepbare licentie om de systeem software uitsluitend te gebruiken (i) in verband met het gebruik van het systeem en (ii) met systeem hardware geïnstalleerd en gebruikt op machines van de klant of op machines van onafhankelijke aannemers die voor de klant werken. Verder verleent John Deere aan de klant het recht om zijn licentie over te dragen om de systeem software te gebruiken (de systeem software bevat niet de web service en de telecommunicatieservice) tijdens de levensduur van de systeem hardware in verbinding met de overdracht van zijn eigendom. John Deere kan de overeenkomst ondergeschikt maken aan de eis om de service te verstrekken aan overgedragen partijen indien John Deere akkoord gaat met de kredietwaardigheid van de partij aan wie de overdracht gaat plaatsvinden, de betaling door deze partij van een nieuw licentiebedrag en/of de upgrade van systeem hardware op kosten van de partij aan wie de overdracht plaatsvindt. De klant gaat ermee akkoord dat John Deere de systeem software op de systeem hardware van de klant kan updaten tijdens de duur van dit contract, en dit telkens wanneer John Deere dit noodzakelijk acht. 4.
DATA.
4.1. Machinedata, Web Service data, en systeemdata. Gegevens die gegenereerd worden door het gebruik van, verzameld door, of opgeslagen in de machines en uitrusting van John Deere, met inbegrip van de systeem hardware en hardware of toestellen die verbonden zijn met de machines en uitrusting van John Deere, zullen beschouwd worden als "Machinedata". Een subset van machinedata is toegankelijk via de Web Service. Deze subset van machinedata en andere data die door de klant bij de Web Service gekocht wordt zal collectief omschreven worden als de “Web Service Data”. Machinedata en Web Service Data zullen collectief omschreven worden als “Systeemdata”. 4.2. Toegang tot en gebruik van data door John Deere en Dealers. Afhankelijk van de toestemming door de klant zal John Deere toegang tot en gebruik van systeemdata aan de dealer verstrekken die het systeem aan de klant verkocht heeft. De klant kan de toegang voor dealers via de Web Service goedkeuren of verwijderen. De klant gaat ermee akkoord dat John Deere en bevoegde Dealers die in naam van John Deere optreden toegang krijgen tot systeemdata en deze systeemdata gebruiken, onverminderd andere bepalingen in deze overeenkomst. John Deere en bevoegde dealers kunnen systeemdata voor hun zaken gebruiken, met inbegrip van, maar niet beperkt tot: (a) diensten aan de klant verstrekken, (b) uitrusting van de klant controleren, onderhouden of repareren, (c) voor intern onderzoek en productontwikkeling en verbeteringsauditis van John Deere (d) de klant helpen bij het beheren van een vloot, (e) nieuwe gebruikstypes van uitrustingen identificeren (f) wettelijke of contractuele vereisten vervullen of opleggen, uitzondering gemaakt voor het afwijzen van garantieclaims van de klant, (g) de klant producten of diensten aanbieden, (h) een aanvraag van de klant beantwoorden, of (i) de systeemdata aan een derde onthullen indien nodig om (a) door (h) te verwezenlijken. De klant, zoals vermeld in het toestemmingsformulier, bevestigt dat hij ingelicht is over het verzamelen van data door John Deere en gaat ermee akkoord dat John Deere de systeemdata gebruikt zoals in dit contract beschreven. De klant bevestigt en gaat ermee akkoord dat de systeemdata vanuit het land waar de systeemdata gegenereerd worden naar andere bestemmingen overgedragen kunnen worden, met inbegrip van, maar niet beperkt tot de Verenigde Staten van Amerika. De klant garandeert dat hij de noodzakelijke toestemming van zijn bedienden gekregen heeft om van toepassing zijnde wetten op de bescherming van de privacy of contractuele overeenkomsten met dergelijke bedienden te vervullen. De klant zal het systeem niet gebruiken om personen te zoeken, behalve indien de klant op voorhand de noodzakelijke goedkeuringen van dergelijke persoon gekregen heeft opdat de klant, John Deere en alle bevoegde dealers deze locatie zouden kunnen zoeken. 4.3. Dataretentiebeleid. John Deere zal de Web Service Data minimaal gedurende een (1) jaar bijhouden, op voorwaarde dat dergelijke opslag in overeenstemming is met alle van toepassing zijnde federale, nationale, provinciale en plaatselijke wetten en voorschriften, met inbegrip van, maar niet beperkt tot internationale wetten. John Deere heeft het recht, maar niet de plicht, om de Web Service Data voor onbeperkte duur op te slaan, of de Web Service Data op elk ogenblik na beëindiging van de hierboven vermelde retentieperiode te wissen, op voorwaarde dat deze opslag in overeenstemming is met alle van toepassing zijnde federale, nationale, provinciale en plaatselijke wetten en voorschriften, met inbegrip van, maar niet beperkt tot internationale wetten. De klant bevestigt en gaat ermee akkoord dat het versturen en positioneren van Web Service Data die van de server(s) gewist zijn niet hersteld of opnieuw aangemaakt kunnen worden. Bovendien kan de draadloze netwerk provider voor de JDLink 2
Service datarecords (“CDRs”) aanmaken voor betalings- en facturatiedoeleinden, en kan de draadloze netwerk provider de CRS langer dan negentig (90) dagen bijhouden. De laatste positie van elke terminal zal op de terminal opgeslagen worden. Indien de klant het eigendom van een terminal aan een andere partij overdraagt dan zal de klant niet langer toegang hebben tot de Web Service Data die met de terminal verbonden zijn. 5.
FACTURATIE EN BETALING.
5.1. Betaling. De klant gaat ermee akkoord alle van toepassing zijnde JDLink Service tarieven en Web Service tarieven te betalen in de vorm van een vooraf betaald forfaitair bedrag. Dergelijke tarieven zullen betaald worden via de betalingsmethode die door de klant gekozen en aan John Deere meegedeeld wordt. Indien de klant een deel van dergelijke betaling niet uitvoert kan de klant een supplement van minstens 1,5M per maand of het maximale bedrag dat door de wet toegelaten is, aangerekend worden. Alle redelijke kosten, met inbegrip van, maar niet beperkt tot advocatenhonoraria, gerechtskosten en servicekosten die John Deere gedragen heeft bij het innen van de betaling gaan ten laste en voor rekening van de klant. John Deere kan betalingsvoorwaarden op elk gewenst ogenblik veranderen. Indien de klant in vertraging komt met de betaling van verschuldigde bedragen is John Deere niet langer verplicht de contractueel vastgelegde prestaties uit te voeren. Alle prijzen en tarieven die verbonden zijn met de service of systeem hardware bevatten verkoops-, gebruiks-, toepassings- en soortgelijke taksen die eventueel geheven worden. 6.
DUUR EN BEËINDIGING.
6.1. Duur. De duur van dit contract (de “Duur”) zal beginnen op de effectieve datum en zal verder gaan tot de beëindiging van de licentie van de klant, behalve indien vroeger beëindigd in overeenstemming met de voorwaarden van dit Deel 5. De duur van de licentie van de klant voor de Web Service zal eindigen, naargelang wat eerst optreedt i) een jaar na beëindiging van het laatste verstreken abonnement voor de JDLink Service Terminal voor een terminal voor de klant of ii) bij verstrijken van de duur van de accountlicentie van de klant voor de Web Service, indien dergelijke licentie door John Deere aangeboden is. De duur van een JDLink Service Terminal abonnement voor een abonnement voor de klant zal in overeenstemming zijn met de voorwaarden die aan de klant voorgelegd werden bij de aankoop van het JDLink Service Terminal abonnement van John Deere. 6.2. Beëindiging. Een te rechtvaardigen evenement zal een materiële inbreuk op dit contract betekenen, waardoor de partij die de inbreuk niet pleegt recht heeft om dit contract en/of het van toepassing zijnde JDLink Service Terminal abonnement zonder vooropzeg te beëindigen. Een gerechtvaardige reden is bijvoorbeeld indien de klant op aanzienlijke wijze inbreuk pleegt op contractueel vastgelegde plichten. Verdere schadeclaims zullen op wettelijke bepalingen gebaseerd zijn. 7.
ANDERE VOORWAARDEN.
7.1. Vertrouwelijkheid van contract en informatie. De voorwaarden van dit contract, met inbegrip van de prijzen, zijn vertrouwelijke informatie van John Deere. Zaken, handelingen, of technische informatie verstrekt door John Deere, gemarkeerd als zijnde vertrouwelijk, zullen beschouwd worden als vertrouwelijke informatie van John Deere (“Informatie”). Tijdens de duur van het contract en een periode van drie (3) jaar na beëindiging van het contract moet de klant (a) alle informatie, ontvangen van John Deere, vertrouwelijk behandelen, (b) dergelijke informatie enkel voor de uitvoering van onderhavig contract gebruiken, (c) dergelijke informatie enkel in de mate van het noodzakelijke reproduceren, (d) de onthulling van dergelijke informatie aan de bedienden en consultants van de klant die deze informatie nodig hebben om hun werk te kunnen uitvoeren beperken, en (e) dergelijke informatie niet aan derden onthullen, zonder de voorgaande schriftelijke toestemming van John Deere. De beperkingen voor het gebruik en onthulling van informatie door de klant zijn niet van toepassing op informatie waarvan de klant kan aantonen: (i) dat de informatie volledig en onafhankelijk ontwikkeld is door de klant zonder gebruik te maken van informatie van John Deere; (ii) de informatie volledig beschikbaar is of geworden is voor het publiek zonder inbreuk op dit contract door de klant; (iii) de klant, op het ogenblik van de onthulling van de informatie, op de hoogte was van het feit dat de informatie vrij van beperkingen was; (iv) de informatie voor vrijgave goedgekeurd is door een schriftelijke toestemming van John Deere, of (v) de informatie onthuld wordt als antwoord op een geldig bevel van een rechtbank of andere regeringsinstantie in het land waar de klant gevestigd is, maar enkel en alleen voor de inhoud en het doel van dergelijk bevel, echter op voorwaarde dat de klant eerst John Deere schriftelijk zal informeren over het bevel en John Deere zal toelaten een passend beschermingsbevel te zoeken, behalve indien dergelijke mededeling door de wet verboden is. In geval van beëindiging of vroegere annulering van het contract moet de klant alle vertrouwelijke informatie die hij ontvangen heeft zo snel mogelijk aan John Deere terugbezorgen of vernietigen (en deze vernietiging laten bevestigen). Indien de partijen een aparte vertrouwelijkheidovereenkomst afgesloten hebben voor de bescherming van vertrouwelijke informatie dan zullen de voorwaarden van deze overeenkomst voorrang hebben op de inhoud van dit Deel. 7.2 Beperking van aansprakelijkheid en oplossingen. John Deere zal in volle omvang aansprakelijk zijn voor eventuele opzettelijke schade of voor schade veroorzaakt door grove nalatigheid. In geval van lichte nalatigheid zal John Deere in volle omvang aansprakelijk zijn voor persoonlijke verwondingen. Indien, als resultaat van een lichte nalatigheid, John Deere zijn diensten niet tijdig uitvoert, indien het onmogelijk geworden is om de service te verstrekken of indien Deere belangrijke plichten niet nageleefd heeft, zal de aansprakelijkheid voor eventuele schade aan eigendom of de strafrechtelijke aansprakelijkheid beperkt zijn tot de voorzienbare schade die typisch is voor de overeenkomst en de aard van de service, echter niet meer dan 12.500 Euro per klant. Indien de plicht om schadevergoeding te betalen gebaseerd is op een uniforme handeling of een evenement dat een uniforme schade aan verschillende gebruikers veroorzaakt, en dit niet opzettelijk gebeurt, dan is de plicht om schadevergoeding te betalen beperkt tot een maximum totaal bedrag van 500.000 Euro, onverminderd de hierboven vermelde limiet per eindgebruiker. Indien de vergoeding hoger is dan het maximaal te betalen bedrag aan verschillende partijen wegens hetzelfde evenement, dan zal de schadevergoeding evenredig met het totaal van alle claims tot het maximale bedrag verminderd worden. Verder komen de partijen overeen dat de substantiële plicht beschouwd wordt als de plicht wiens vervulling een voorafgaande voorwaarde is voor de uitvoering van de overeenkomst. Indien een substantiële plicht niet vervuld wordt dan wordt dit als een inbreuk beschouwd die de verwezenlijking van de doelstellingen van de overeenkomst in gevaar brengt en op wiens vervulling de klant in normale voorwaarden en voor gelijkaardige diensten kan rekenen. De aansprakelijkheid voor andere schade zal uitgesloten worden. Aansprakelijkheid ten gevolge van de Duitse Wet op de Productaansprakelijkheid (Produkthaftungsgesetz) evenals andere van toepassing zijnde wetten blijven onaangetast.
7.3. Filialen van John Deere. Alle rechten of voordelen van John Deere in overeenstemming met dit contract zullen eveneens van toepassing zijn op ondernemingen, partnerships, of andere instellingen die, rechtstreeks of onrechtstreeks, door John Deere gecontroleerd worden of die onder de controle van John Deere staan, waar controle gedefinieerd wordt als een belang van meer dan vijftig procent (50%) in de onderneming, partnership of ander instelling in kwestie (“Filiaal”).” 7.4. Taal, keuze van de bevoegde rechtbank en rechtspraak. De taal van het contract is het Engels. Van tijd tot tijd kan een vertaling verstrekt worden. In geval van twijfel heeft de Engelse versie voorrang. Dit contract valt onder de Duitse wetten. Alle disputen uit dit contract worden uitsluitend voorgelegd aan de bevoegde rechtbank in Kaiserslautern, en de klant onderwerpt zich aan de rechtspraak van deze rechtbanken om 3
dergelijke disputen te beslechten. De rechten en plichten van de partijen conform dit contract vallen niet onder het Verdrag van de Verenigde Naties voor de Internationale Goederenverkoop (“CISG”) en de contractuele partijen sluiten de toepassing van het GISG voor dit contract uitdrukkelijk uit. 7.5. Overdracht. Dit contract, noch de rechten, plichten of belangen van dit contract, mogen overgedragen, afgestaan of in onderlicentie gegeven worden zonder de voorafgaande schriftelijke toestemming van John Deere. Al deze handelingen zullen ongeldig zijn en zullen een materiële inbreuk betekenen waardoor John Deere het recht krijgt om dit contract te beëindigen. 7.6. Scheidbaarheid; Ongeldigheid. Indien een van de bepalingen van onderhavig contract ongeldig is dan de geldigheid van de andere bepalingen hierdoor niet aangetast worden, en zullen de partijen de ongeldige bepaling vervangen door een bepaling die de intentie en het economische effect van de ongeldige bepaling het dichtste benadert. De afstand door een van de partijen van een inbreuk op de bepalingen van onderhavig contract zal niet beschouwd worden als een afstand voor eventuele volgende inbreuken.
7.7. Mededelingen. Alle mededelingen moeten schriftelijk gebeuren en worden als geleverd beschouwd indien ze per aangetekende brief naar het volgende adres gestuurd worden: ETIC, Strassburgerallee 5, Kaiserslautern. 7.8. Overmacht. Uitzondering gemaakt voor de betaling van geld, zal geen enkele partij aansprakelijk zijn voor de andere voor fouten of vertragingen in de uitvoering van een verplichting indien dergelijke fout of vertraging veroorzaakt wordt door overmacht, natuurrampen, stakingen, terrorisme, onrusten, naleving van wetten of officiële bevelen, of andere gebeurtenissen die buiten de redelijke controle van deze partij liggen, op voorwaarde dat de partij in kwestie deze omstandigheden zo snel mogelijk schriftelijk meedeelt en haar plichten alsnog zo snel mogelijk nakomt, en op voorwaarde dat de andere partij dit contract kan beëindigen indien deze omstandigheden langer duren dan negentig (90) dagen zonder dat de partij die haar plichten niet nakomt aantoont dat zij in staat is om haar plichten binnen een redelijke periode alsnog na te leven. 7.9 Import en export. De klant bevestigt dat alle systeemhardware, systeemsoftware, gegevens, knowhow of andere gegevens of informatie (vanaf nu "Producten") verkregen van John Deere, onderworpen kan zijn aan de import- en/of exportwetten van een of meerdere landen en, dienovereenkomstig kunnen hun import, export en nieuwe export beperkt of verboden zijn. Daarom gaat de klant ermee akkoord om dergelijke producten niet direct of indirect te importeren, exporteren of opnieuw te exporteren of ervoor te zorgen dat dergelijke producten geïmporteerd, geëxporteerd of opnieuw geëxporteerd worden naar een bestemming, instelling, of personen die verboden of beperkt zijn volgens wetten of voorschriften, behalve indien de klant op voorhand de schriftelijke toestemming van John Deere en van eventueel van toepassing zijnde officiële instellingen gekregen heeft, hetzij schriftelijk, hetzij zoals voorzien door de van toepassing zijnde wetgeving. Dit geldt ook van eventuele wijzigingen ter zake. De klant gaat ermee akkoord dat geen producten die van John Deere ontvangen worden rechtstreeks gebruikt zullen worden in missieltechnologie, gevoelige nucleaire, of chemisch biologische wapens of op geen enkele manier voor deze doeleinden aan andere partijen overgedragen worden. 7.10. Compleet contract. Dit contract bevat de volledige instemming, goedkeuring en vertegenwoordigingen van de partijen. Dit contract vervangt alle voorgaande schrijven, besprekingen en afspraken met betrekking tot dit thema. Eventuele bijkomende of verschillende clausules of voorwaarden voorgesteld door de klant of vervat in aankooporders zullen verworpen worden en zullen niet van kracht zijn, behalve indien uitdrukkelijk schriftelijk verklaard door John Deere.
