Voorkomen is beter dan genezen ‘Ik wist het niet’ is geen excuus. Een effectief compliance programme is daarom geboden. De sectie EU & Competition van Houthoff Buruma kan uw huidige compliance beleid toetsen en desgewenst een compliance programme implementeren dat de kans op mededingings overtredingen door uw onderneming minimaliseert. Ons streven is dat u deze brochure daarna niet meer nodig heeft. De sectie EU & Competition van Houthoff Buruma bestaat uit circa 20 juristen verspreid over de vestigingen Amsterdam en Brussel. Deze unit staat onder leiding van Weijer VerLoren van Themaat, Gerard van der Wal en Jaap Doeleman. Het ‘Dawn Raid Team’ van Houthoff Buruma bestaat uit circa 30 juristen verspreid over de vestigingen Amsterdam, Rotterdam en Brussel. Dit team is opgezet met het doel uw onderneming, waar ook in de Benelux gevestigd, ingeval van een bezoek van de Nederlandse Mededingingsautoriteit of de Europese Commissie zo snel mogelijk van deskundige en adequate bijstand te voorzien.

Inleiding De Nederlandse Mededingingsautoriteit (NMa) en de Europese Commissie waken over de handhaving van de mededingingsregels in ons land. Deze regels verbieden het maken van kartelafspraken en het maken van misbruik van een machtspositie. De NMa of de Europese Commissie kunnen ambtshalve of naar aanleiding van een klacht uw onderneming bezoeken voor een inspectie. Dit wordt ook een bedrijfsbezoek, inspectie of, meer populair, een dawn raid genoemd. Zo’n bedrijfsbezoek is meestal onaangekondigd, kan meerdere dagen duren en op meerdere plaatsen tegelijk worden uitgevoerd. Deze brochure heeft vooral betrekking op bedrijfsbezoeken van de NMa. Een bedrijfsbezoek kan plaatsvinden naar aanleiding van een vermoeden dat uw onderneming of ondernemersvereniging de mededingingsregels heeft geschonden. Een bedrijfsbezoek heeft tot doel (nog) meer informatie te verzamelen, in woord of (digitaal) geschrift. Het is ook mogelijk dat een bedrijfsbezoek plaatsvindt in het kader van een onderzoek naar de gehele bedrijfstak, zonder een specifiek vermoeden dat uw onderneming een overtreding heeft begaan. Vaak heeft de NMa dan al een aanzienlijke hoeveelheid informatie over een bepaalde overeenkomst of gedraging verzameld. Bijvoorbeeld in het kader van een clementieverzoek, waarbij één van de karteldeelnemers het kartel heeft aangegeven (zie ook p. 24: Clementieverzoek). In alle gevallen verdient een coöperatieve houding de voorkeur. Dit betekent echter niet dat uw onderneming geen beroep kan doen op rechten die haar toekomen. Wanneer de onderzoeksambtenaren hun bevoegdheid overschrijden, kunt u – zo mogelijk na overleg met uw advocaat – uw bezwaren beleefd doch beslist kenbaar maken. Een goede voorbereiding vergt kennis van uw rechten en plichten. Aan welke verzoeken tot inzage van documenten en databestanden moet u voldoen? En moet u alle vragen beantwoorden? Deze brochure geeft een beknopt overzicht van uw rechten en plichten en een handleiding hoe het best te handelen bij een bezoek van de NMa. De tekst is afgesloten in juni 2011.

Interne organisatie Meestal vindt een bedrijfsbezoek onaangekondigd plaats. Een adequate voorbereiding is daarom wenselijk: • Benoem een ‘woordvoerder’ die voor de duur van het bedrijfsbezoek is aangewezen de onderneming te vertegenwoordigen. De woordvoerder moet, samen met de advocaten, zorg dragen voor het vlotte verloop van het onderzoek. Het is aan te raden tevens een of meer vervangers aan te wijzen voor het geval de woordvoerder niet aanwezig is. De woordvoerders moeten op de hoogte zijn van alle procedures en rechten en plichten van de onderneming in verband met het bedrijfsbezoek (zie bijlage 2). • Verstrek de receptie een checklist met instructies en een lijst met namen van mensen die moeten worden ingelicht (zie bijlage 1). Deze lijst moet in elk geval de namen bevatten van de woordvoerder, diens vervanger, de bestuursleden, bedrijfsjuristen en advocaten. Hierdoor kan op vlotte wijze worden gecommuniceerd. • Verder is het raadzaam een ‘contactsecretaresse’ binnen het bedrijf aan te stellen die (i) het aanspreekpunt vormt voor de advocaten, (ii) de NMa-ambtenaren bijstaat met de organisatie van het kopiëren en (iii) de lijsten bijhoudt van gevorderde documenten en andere zaken.

De inspectie Wie voert de inspectie uit? NMa-ambtenaren kunnen een bedrijfsbezoek uitvoeren op last van de Raad van Bestuur van de NMa, op verzoek van de Europese Commissie of op verzoek van een mededingingsautoriteit van een andere EU-lidstaat. In het eerste geval is het onderzoek Een specialist die behulpzaam is gericht op mogelijke overtredingen van de Nederlandse Mededingingswet en/of bij een dawn raid heeft geen recht Europese mededingingsregels. Hierbij zijn dan (ook) ambtenaren van de Europese Commissie betrokken. Ten slotte kan een mededingingsautoriteit van een andere EU-lidstaat de NMa verzoeken namens haar een inspectie uit te voeren in geval van mogelijke overtredingen die enerzijds de binnenlandse economische activiteiten en anderzijds de grensoverschrijdende economische activiteiten met die lidstaat raken. In alle gevallen kunnen de ambtenaren worden bijgestaan door deskundigen op een bepaald gebied, bijvoorbeeld ICT. Deze deskundigen hebben geen zelfstandige bevoegdheden. Medewerking verlenen Een onderneming en haar werknemers zijn verplicht volledige medewerking te verlenen aan een inspectie. Niet-medewerken of tegenwerken kan op verschillende manieren worden bestraft. Ten eerste kan de NMa bij niet meewerken een boete opleggen van maximaal € 450.000, of, indien dit meer is, 1% van de jaaromzet van uw onderneming of de gezamenlijke jaaromzet van de ondernemingen die deel uitmaken van de ondernemingsvereniging. Een werknemer kan bij niet meewerken een boete krijgen van maximaal € 450.000. Ten tweede kan de NMa een last onder dwangsom opleggen. Ten slotte kan de NMa – bij constatering van een overtreding van de wet – belemmeringen van het NMa-onderzoek door (werknemers van) de onderneming als een verzwarende omstandigheid laten meewegen bij de bepaling van de hoogte van de boete.

Ontvangst van het inspectieteam Het inspectieteam dient vlot en zonder oponthoud te worden ontvangen om geen twijfel te laten bestaan over de bereidwilligheid van uw onderneming om aan een onderzoek mee te werken. Ontvangst door de receptie De receptionist vraagt de ambtenaren naar hun officiële legitimatiebewijzen en verzoekt hen kort te wachten tot zij verder worden ontvangen door de onderneming. De receptionist waarschuwt vervolgens onmiddellijk de woordvoerder of diens vervanger en het management. Op de legitimatiebewijzen staan de naam, foto en functie van de desbetreffende ambtenaar. Men dient alle informatie van de diverse legitimatiebewijzen nauwkeurig te noteren, of een kopie van de legitimatiebewijzen te maken. Ook is het van belang te vragen of de inspectie plaatsvindt op last van de NMa of de Europese Commissie. In het laatste geval moeten de ambtenaren altijd een schriftelijke opdracht bij zich hebben (zie ook bijlage 1). Ontvangst door de woordvoerder De woordvoerder brengt het team naar een vergaderruimte en vraagt naar de reden en het doel van het onderzoek. De NMa-ambtenaren reiken bij aanvang van het bedrijfsbezoek een schriftelijke omschrijving van het doel en het voorwerp van het onderzoek uit. Het is nuttig deze beschrijving zorgvuldig te controleren en vragen te stellen bij onduidelijkheden. Raadpleeg uw juridisch specialisten (intern of extern) Vervolgens meldt de woordvoerder aan het inspectieteam dat hij contact wil opnemen met de interne en/of externe juristen van de onderneming. Ook van deze juristen moet daarom op voorhand een lijst beschikbaar zijn met de namen, (mobiele) telefoon- en faxnummers en e-mailadressen. Als het inspectieteam de reden van de inspectie heeft gegeven, moet deze onmiddellijk worden doorgegeven aan de juristen. Wachten op de komst van de juridisch specialisten De woordvoerder kan het inspectieteam vragen even met de inspectie (waaronder begrepen gesprekken met de directie, de bedrijfsjurist(en) en het overige personeel) te wachten tot de komst van de gewaarschuwde jurist(en).

Tijdens het wachten op de komst van (externe) juridische bijstand wenst de NMa doorgaans maatregelen te treffen om de verwijdering van gegevens en bescheiden te voorkomen. Zo mag worden geëist dat het externe mail- en telefoonverkeer wordt gestaakt, kasten of kamers worden verzegeld of mag men plaatsnemen in ruimten om de gang van zaken te observeren. Wil het inspectieteam de komst van de juridisch specialisten niet (langer) afwachten, dan moet de woordvoerder proberen telefonisch contact te houden met een advocaat en/of bedrijfsjurist. Houthoff Buruma kan vanuit Amsterdam, Rotterdam en Brussel snel gespecialiseerde juristen beschikbaar stellen. In bijlage 2 is een checklist opgenomen voor de woordvoerder. Zodra de juridisch specialisten zijn aangekomen, moet onmiddellijk worden overlegd over de mogelijkheid en wenselijkheid een clementieverzoek in te dienen bij de NMa. Bij dit overleg zal ook aan de orde komen of mogelijk al andere clementieverzoeken (door concurrenten of werknemers) zijn ingediend. (zie ook p. 24: Clementieverzoek)

De bevoegdheden Twee soorten bevoegdheden De NMa beschikt over “toezichthoudende” en “onderzoeksbevoegdheden”. “Toezicht” houdt een algemene controle op de naleving van de Mededingingswet in. Bij deze algemene controle is doorgaans geen sprake van gerichte zoekacties als gevolg van vermoedens dat de wet is overtreden. Zo kan de NMa bijvoorbeeld een bepaalde bedrijfstak in de gaten houden. “Onderzoek” heeft als doel vast te stellen of al dan niet een overtreding is begaan. Bij “onderzoek” is wel sprake van een vermoeden van een overtreding. Dit heeft onder meer tot gevolg dat de ambtenaren de vertegenwoordigers van een onderneming bij een verhoor moeten wijzen op hun zwijgrecht (de zgn. “cautie”). In het kader van de toezichthoudende taak hebben ambtenaren de volgende bevoegdheden: • het betreden en onderzoeken van plaatsen, zo nodig met behulp van de politie, met uitzondering van privé-woningen zonder toestemming van de bewoner; • het vorderen van inlichtingen, onder meer van personeelsleden die kennis hebben van mogelijke overtredingen; Een dawn raid kan • het vorderen van inzage in zakelijke gegevens en bescheiden zich uitstrekken tot en het maken van (digitale) kopieën van deze gegevens en bescheiden; en privéwoningen. • het onderzoeken van transportmiddelen. In het kader van de onderzoeksgerichte taak worden deze bevoegdheden aangevuld met: • het betreden en doorzoeken van privé-woningen, desnoods zonder toestemming van de bewoner, na toestemming van de rechter-commissaris belast met de behandeling van strafzaken bij de rechtbank te Rotterdam (de rechter-commissaris); • de bevoegdheid tot verzegeling van bedrijfsruimten en voorwerpen; en • uitoefening van de bevoegdheden indien nodig met behulp van de politie. De Europese Commissie heeft vergelijkbare onderzoeksbevoegdheden: • het betreden van alle gebouwen, terreinen en vervoermiddelen van de onderneming; • het vragen van mondelinge inlichtingen; • het controleren van de boeken en bescheiden van het bedrijf; • het maken van afschriften of uittreksels van deze boeken en bescheiden; • het bij verzet inschakelen van de politie; • het nemen van maatregelen om het wegmaken, onbruikbaar of onklaar maken of

beschadigen van gegevens te voorkomen; • het doorzoeken van bergplaatsen om gegevens op te sporen waarvan het bestaan van tevoren niet bekend is, na toestemming van de rechter-commissaris belast met de behandeling van strafzaken bij de rechtbank te Rotterdam; • het verzegelen van lokalen en boeken of andere bescheiden van het bedrijf voor de duur van, en voor zover nodig voor, de inspectie; • het verzoeken aan vertegenwoordigers of personeelsleden van de onderneming of ondernemersvereniging om toelichting op feiten of documenten die verband houden met het voorwerp en doel van de inspectie, en het optekenen van hun antwoord; en • het betreden van privé-woningen, -terreinen, en - vervoermiddelen van directeuren, bestuurders en andere personeelsleden van de onderneming, als een redelijk vermoeden bestaat dat boeken of andere bescheiden van het bedrijf en het voorwerp van de inspectie die relevant zijn om een inbreuk te bewijzen, aldaar worden bewaard, na een daartoe strekkend besluit en na toestemming van de ‘nationale rechterlijke instantie’ (in dit geval de rechter-commissaris belast met de behandeling van strafzaken bij de rechtbank te Rotterdam). Algemene begrenzingen van de bevoegdheden Inspectiebevoegdheden van de NMa kennen een belangrijke beperking in de zin dat een ambtenaar zijn bevoegdheden slechts mag gebruiken ‘voor zover dat redelijkerwijs voor de vervulling van zijn taak nodig is’. Het onderzoek moet dus proportioneel zijn ten opzichte van het doel. De bevoegdheden van de NMa bij een zelfstandig onderzoek of een onderzoek op ver zoek van een mededingingsautoriteit van een andere EU-lidstaat worden meer precies begrensd door het doel en voorwerp van de inspectie vastgelegd in de schriftelijke omschrijving die aan het begin van het onderzoek wordt uitgereikt (de onderzoeksomschrijving). In geval van inspecties door de NMa op last van de Europese Commissie zijn de begrenzingen van doel en voorwerp van het onderzoek neergelegd in de – eerder aan de woordvoerder uitgereikte - schriftelijke opdracht of beschikking. Als uit de schriftelijke omschrijving of opdracht blijkt dat de inspectie bijvoorbeeld slechts betrekking heeft op één van de markten waarop de onderneming actief is, kunnen de betrokken ambtenaren niet ook de activiteiten op andere markten onderzoeken. Dit houdt in dat geen mondelinge inlichtingen of stukken met betrekking tot andere activiteiten behoeven te worden verstrekt. Als ze toch – onder dwang – zijn verstrekt, kunnen ze later worden teruggevraagd.

Onderzoek: verzameling van analoge en digitale informatie Verzameling van analoge en digitale informatie door ambtenaren van de NMa geschiedt in twee stappen. Eerst wordt informatie op locatie verzameld, bijvoorbeeld in bedrijfsgebouwen of privé-woningen. Vervolgens wordt deze informatie ten kantore van de NMa verwerkt. De onderneming kan ten aanzien van bepaalde gegevens aan de NMa aangeven dat ze buiten de dataverzameling dienen te blijven.
STAP 1: INFORMATIEVERZAMELING OP LOCATIE Toegang tot alle zakelijke gegevens en bescheiden De ambtenaren hebben in principe toegang tot alle zakelijke gegevens en bescheiden. Dit is een veelomvattend begrip. Zo kunnen de ambtenaren alle officiële en niet-officiële documenten die verband houden met het doel en voorwerp van het onderzoek opvragen en inzien. Dit geldt niet alleen voor papieren dossiers, agenda’s en stukken, maar ook voor digitale bestanden. De ambtenaren mogen daartoe ook fototoestellen, usb-sticks, notebooks en andere (digitale) informatiedragers inspecteren. Eventuele passwords moeten worden vrijgegeven. In principe worden de gebouwen, terreinen en auto’s van de onderneming geïnspecteerd. De ambtenaren zijn ook bevoegd de inhoud van laden, bureaus en archiefkasten in te zien. Zowel de NMa als de Europese Commissie kan ook een inspectie van andere gebouwen, terrein en en vervoermiddelen (met inbegrip van privé-woningen en privé-vervoermiddelen) gelasten. Als de Europese Commissie dit doet is voor een dergelijke inspectie toestemming van de rechtercommissaris vereist. De NMa heeft deze toestemming alleen nodig bij betreding en doorzoeking van privé-woningen. De rechter-commissaris toetst of een dergelijke inspectie niet willekeurig of onevenredig is. De ambtenaren moeten de toestemming van de rechter-commissaris kunnen tonen. Betreft het een inspectie van de NMa, dan moeten de ambtenaren aan de onderneming aangeven welke gegevens zij willen inzien. De NMa mag geen dossiers zelf uit de kast pakken en dient zich bij haar onderzoek te beperken tot de mogelijk relevante documenten. Bij een inspectie op last van de Europese Commissie of een onderzoek van een privé-woning door de NMa mogen de ambtenaren ook zoeken naar gegevens waarvan het bestaan en de vindplaats onbekend zijn. Dit is de zogenaamde ‘doorzoekingsbevoegdheid’. Doorzoeking vereist een voorafgaande machtiging door de rechter-commissaris. Als de ambtenaren specifiek naar bepaalde gegevens, werkplekken of archieven vragen, moet de onderneming deze gegevens overleggen of openstellen. Teneinde de werkzaamheden van de NMa binnen de reikwijdte van het onderzoek te houden is het raadzaam slechts toegang

te geven tot de documenten en plaatsen waar Bedrijfsgeheimen vormen expliciet naar wordt gevraagd en daadwerkelijk geen reden voor het weigeren relevant zouden kunnen zijn voor het onderzoek zoals dat uit de onderzoeksomschrijving blijkt. van een onderzoek. Indien de gevraagde documenten en/of overige informatiedragers niet direct voorhanden zijn, is de onderneming verplicht deze gegevens te zoeken. Als documenten en/of andere informatiedragers bedrijfsgeheimen bevatten, is dit (in tegenstelling tot bij door de NMa meegebrachte deskundigen) geen reden om inzage te weigeren. De ambtenaren hebben immers een geheimhoudingsplicht. Indien een onderneming weigert toegang te verlenen tot kasten of ruimtes, heeft de NMa de mogelijkheid de hulp van de politie inroepen om deze kasten of deuren open te breken. Tijdens het inzien van de gegevens en bescheiden bepalen de ambtenaren ter plekke of deze relevant zijn. Zij toetsen hierbij of de gegevens en bescheiden (naar aard en/of inhoud) redelijker wijs binnen de reikwijdte van het aangekondigde doel en voorwerp van het onderzoek kunnen vallen. Dit kunnen ook gegevens en bescheiden zijn die buiten de aangekondigde onderzochte periode vallen. Kopieën maken van documenten De ambtenaren zullen over het algemeen kopieën maken van de door hen bekeken en relevant geachte documenten. Daarvan wordt een inventarislijst gemaakt. Bij inspecties op last van de NMa mogen ambtenaren ook originele stukken voor korte tijd meenemen. Zij dienen daarbij schriftelijk bewijs te overleggen dat de onderneming deze stukken heeft afgegeven. Op de inventarislijst moet worden aangegeven welke documenten en/of overige informatiedragers zijn meegenomen, en waar deze zich bevonden. Het is raadzaam ervoor te zorgen dat alle mee te nemen documenten telkens in drievoud worden gekopieerd, opdat ook uw onderneming en de advocaat direct over kopieën kunnen beschikken. Hetzelfde geldt voor de inventarislijst. Bij vertrek van de ambtenaren moeten alle gemaakte kopieën zorgvuldig worden gecontroleerd en genummerd. De drie sets kopieën moeten exact gelijk zijn. Laat de ambtenaren de inventarislijst aan het einde van het onderzoek tekenen. Gegevens en bescheiden die buiten de reikwijdte vallen De NMa heeft geen toegang tot geprivilegieerde gegevens en bescheiden en gegevens en bescheiden die buiten de reikwijdte van het onderzoek vallen. Dit laatste betreft niet alleen gegevens en bescheiden die (redelijkerwijs) niet binnen het doel en voorwerp van het onderzoek kunnen vallen, maar ook privé-gegevens en –documenten. Dergelijke gegevens en bescheiden bekijkt de ambtenaar slechts om vast te stellen dat deze inderdaad als zodanig kwalificeren.

Als dat zo is, zal de NMa er geen kopie van maken (zie verder: ‘Toegang tot digitale bestanden’).
De NMa mag geen kopieën maken van vertrouwelijke gegevens.
Als gegevens en/of bescheiden echter in een deelverzameling staan met een omschrijving die rechtstreeks verband houdt met het doel en voorwerp van het onderzoek, merkt de betreffende ambtenaar de gegevens en bescheiden toch aan als binnen de reikwijdte. Dit kan bijvoorbeeld een fysieke of digitale map met een bepaalde titel betreffen. De NMa mag geen kopieën maken van ‘geprivilegieerde’ gegevens en bescheiden. Geprivilegieerd zijn (digitale en analoge) geschriften, brieven, faxen etc. tussen de onderneming en een advocaat over de toepassing van mededingingsregels, al dan niet betreffende het onderwerp van het onderzoek. Dit betreft dus mede documenten waarin een onderneming juridisch advies aan een advocaat vraagt over de toepassing van mededingingsregels. Ook interne bedrijfsdocumenten die een samenvatting bevatten van een advies van een advocaat of die zijn voorbereid ter verkrijging van een dergelijk advies (ongeacht of ze zijn verzonden) zijn geprivilegieerd. Correspondentie tussen de onderneming en haar eigen bedrijfsjurist(en) wordt door de NMa overigens alleen aangemerkt als geprivilegieerd, als de betrokken bedrijfsjurist ook advocaat is en uit het document blijkt dat de bedrijfsjurist als advocaat handelde (ondertekening met vermelding ‘advocaat’). Anders dan de Nederlandse Mededingingswet erkent de Europese Commissie het geprivilegieerde karakter van de (interne) correspondentie tussen de huisadvocaat en de onderneming niet. Het Europese Hof van Justitie heeft dit standpunt van de Commissie bekrachtigd. Wel worden als zodanig herkenbare interne samenvattingen van externe adviezen van advocaten als geprivilegieerde correspondentie aangemerkt. In het algemeen verdient het de aanbeveling om bij interne verslaglegging zoveel mogelijk gebruik te maken van geprivilegieerde correspondentie. Ambtenaren kunnen in principe ook de als ‘geprivilegieerd’ aangemerkte gegevens en/of bescheiden ‘vluchtig’ inzien om te controleren of deze inderdaad geprivilegieerd zijn. Ambtenaren kunnen een nadere motivering vragen. Als het geprivilegieerde karakter niet uit de vluchtige inzage blijkt, zal de ambtenaar de gegevens en/of bescheiden in een verzegelde enveloppe doen. De onderneming heeft het recht te stellen dat zelfs het vluchtig inzien door de NMa het geprivilegieerde karakter schaadt. Indien de onderneming dat doet, zal de ambtenaar een nadere motivering van de onderneming verlangen. Als de ambtenaar de motivering als afdoende

beschouwt, dient hij ook hier de gegevens en/of bescheiden in een verzegelde enveloppe te doen. De ‘functionaris verschoningsrecht’ van de NMa zal zich over de inhoud van de verzegelde enveloppe(n) buigen. Toegang tot digitale bestanden De NMa heeft tijdens een onderzoek het recht computerbestanden, e-mail, de geheugens van mobiele telefoons, faxen en kopieerapparaten, fotomateriaal en (elektronische) agenda’s te onderzoeken. De onderneming dient paswoorden en toegangscodes voor de computer af te geven en onderzoek mogelijk te maken op andere digitale bestanden, zoals het SIM-geheugen van mobiele telefoons of van elektronische agenda’s. Het verdient de voorkeur de ambtenaren te helpen bij het maken van prints van bestanden van niet-vertrouwelijke stukken. Ambtenaren mogen verzoeken bestanden te kopiëren op CD-rom of andere gegevensdragers (bijvoorbeeld e-mails en Excel-bestanden). Het is dan raadzaam de gegevens van dergelijke bestanden (zoals de omvang in Kb’s en de datum van laatste aanpassing van het bestand) goed te noteren. Zorg ook steeds voor kopieën van de meegenomen bestanden. Bij onderzoek naar relevante digitale gegevens en bescheiden maakt de NMa tegenwoordig gebruik van ‘digitale selectiemethoden’: aan de hand van het vooronderzoek worden zoekvragen geformuleerd. Deze zoekvragen (waaronder trefwoorden verband houdende met het onder werp van het onderzoek) houden verband met het aangekondigde doel en voorwerp van het onderzoek en kunnen tijdens het onderzoek ter plaatse worden aangevuld. De NMa verstrekt een lijst met de gehanteerde zoekvragen bij afronding van het onderzoek ter plaatse. De ambtenaar merkt alle digitale gegevens die hij door middel van (één van) de zoekvragen vindt aan als ‘vallend binnen de reikwijdte’. Deze gegevens verzamelt hij in de dataset ‘origineel binnen de reikwijdte’. De verzameling van digitale gegevens waarvan de ambtenaar niet kan uitsluiten dat deze gegevens bevat die buiten de reikwijdte van het onderzoek vallen, worden opgenomen in de dataset ‘mogelijk buiten de reikwijdte’. Dit kunnen ook bestanden zijn die de ambtenaar niet digitaal kan doorzoeken, zoals sommige PDF- of TIFF-bestanden. De onderneming kan tijdens deze zoektocht (gemotiveerd) wijzen op de aanwezigheid van privé-gegevens in één van beide datasets. De ambtenaar zal deze dan eventueel buiten de onderzoeksdata laten. Bij afronding van het onderzoek ter plaatse verstrekt de NMa zowel een lijst met de gehanteerde zoekvragen als een overzicht van (de herkomst van) de verzamelde digitale gegevens per dataset. De ambtenaar dient zich gedurende de digitale zoektocht te houden aan de (hiervoor besproken) regels aangaande geprivilegieerde gegevens en bescheiden.

STAP 2: VERWERKING VERZAMELDE INFORMATIE TEN KANTORE VAN DE NMA Filteren datasets De NMa heeft na afloop van het onderzoek ter plaatse mogelijk de beschikking over twee data sets, nl. (i) de dataset ‘origineel binnen de reikwijdte’ en (ii) de dataset ‘mogelijk buiten de reikwijdte’. Zij verstrekt de onderneming zowel een overzicht als een kopie van de bestanden in deze datasets. Indien nodig ontdoet de NMa de (geëxtraheerde) datasets van materiaal dat zij op voorhand niet relevant acht. Nadere selectie van bestanden Ten aanzien van beide datasets heeft de onderneming de mogelijkheid binnen tien werkdagen na verstrekking gemotiveerd aan te geven welke digitale gegevens en bescheiden geprivilegieerd zijn (zie onder). Tevens heeft de onderneming met betrekking tot de dataset ‘mogelijk buiten de reikwijdte’ de mogelijkheid binnen tien werkdagen na verstrekking gemotiveerd aan te geven welke digitale gegevens en bescheiden volgens de onderneming wel degelijk buiten de reikwijdte van het onderzoek vallen. Naar aanleiding van het verzoek zal een ambtenaar van het onderzoeksteam van de NMa de onderneming in de gelegenheid stellen aanwezig te zijn bij de controle van de juistheid van het verzoek. Ook bij deze controle bekijkt de ambtenaar de gegevens en bescheiden slechts om vast te stellen dat deze buiten de reikwijdte van het onderzoek vallen. Uiteindelijk ontvangt de onderneming schriftelijk bericht van het oordeel van de ambtenaar van het onderzoeksteam. Als de ambtenaar oordeelt dat het verzoek terecht is, zal hij de gegevens en bescheiden niet toevoegen aan het dossier. Als hij daarentegen oordeelt dat het verzoek ten onrechte is gedaan, worden de gegevens en bescheiden wél toegevoegd. Na afronding van de gehele procedure zullen alle digitale gegevens die niet in het rapportdossier zijn opgenomen worden vernietigd, voor zover wettelijk toegestaan. Behandeling van geprivilegieerde gegevens en bescheiden Voor de beoordeling van geprivilegieerde (digitale) bestanden geldt een afzonderlijke procedure waarvoor de NMa een ‘functionaris verschoningsrecht’ heeft aangesteld. Dit is een ambtenaar die niet als toezichthoudend ambtenaar bij het desbetreffende onderzoek betrokken is of zal zijn. Ten aanzien van de gegevens en/of bescheiden die tijdens het onderzoek in (een) verzegelde enveloppe(n) zijn gedaan, verzoekt de betrokken functionaris verschoningsrecht de onderneming binnen tien werkdagen

schriftelijk te motiveren waarom deze gegevens en/of bescheiden geprivilegieerd zijn.
In een afzonderlijke procedure wordt uitgemaakt welke gegevens vertrouwelijk zijn.
Dezelfde functionaris buigt zich vervolgens zowel over deze claim als over een eventuele claim met betrekking tot de aanwezigheid van geprivilegieerde gegevens en/of bescheiden (in één van) de twee datasets. Van het oordeel van deze functionaris ontvangt de onderneming schriftelijk bericht. Als de functionaris oordeelt dat het verzoek terecht is, zal hij de gegevens en bescheiden retourneren of vernietigen. Als hij daarentegen oordeelt dat het verzoek onterecht is, dient hij zijn oordeel te motiveren. De onderneming krijgt dan (nogmaals) de gelegenheid de claim nader toe te lichten.
Naar aanleiding van deze laatste toelichting wordt de onderneming wederom schriftelijk in kennis gesteld van het oordeel van de functionaris. Als de functionaris nu wel oordeelt dat het verzoek terecht is, zal hij de gegevens en bescheiden alsnog retourneren of vernietigen. Als hij echter bij zijn eerdere oordeel blijft, geeft de functionaris in zijn schriftelijke kennisgeving aan dat de toezichthoudende ambtenaar van de NMa niet eerder dan na verloop van vijf werkdagen na verzending van de kennisgeving de gegevens en bescheiden alsnog aan de onderzoeksdata zal toevoegen. Deze periode kan worden gebruikt om rechtsmiddelen aan te wenden. Na afronding van de gehele procedure zal de gehele correspondentie over de geprivilegieerde gegevens en bescheiden worden vernietigd, voor zover wettelijk toegestaan.

Verkrijgen van mondelinge informatie Ter plaatse mondelinge toelichting geven De NMa mag mondeling vragen stellen. Hierbij wordt onderscheid gemaakt tussen enerzijds vragen die nodig zijn voor het vlotte, praktische verloop van het onderzoek (bijvoorbeeld vindplaatsen van documenten, paswoorden, werking van software, functies en werkzaamheden van stafleden) en anderzijds vragen die betrekking hebben op het onderwerp van het onderzoek Ook vraaggesprekken maken (het gedrag van de onderneming). U dient het deel uit van een dawn raid. eerste type vragen altijd te beantwoorden om te voorkomen dat u (of uw onderneming) ervan wordt beschuldigd dat niet aan de medewerkingsplicht is voldaan. Bij vragen aangaande het gedrag van de onderneming heeft u altijd recht op juridische bijstand en, afhankelijk van de strekking van de vraag, het recht om te zwijgen. Bij inspecties op last van de Europese Commissie mogen de ambtenaren vragen naar vindplaatsen van bepaalde documenten en informatiedragers. Voor het overige mogen zij enkel vragen stellen over documenten en informatiedragers, die zij op grond van hun onderzoeksbevoegdheden onder zich hebben gekregen. Voor inspecties van de NMa geldt, op grond van het evenredigheidsbeginsel, hetzelfde. In ieder geval hoeft u géén antwoord te geven op incriminerende vragen. Zie verder onder het kopje ‘het recht om te zwijgen’. Alleen antwoorden in het bijzijn van een jurist Om er zeker van te zijn dat de ambtenaren hun bevoegdheden niet overschrijden tijdens het vraaggesprek, is het aan te raden alleen vragen te beantwoorden in aanwezigheid van een jurist. Als dat absoluut onmogelijk is, moet de ondervraagde zelf de vragen en antwoorden noteren. Vraaggesprekken zullen bij voorkeur plaatsvinden in een afgesloten ruimte. Uitsluitend aangewezen personeel moet vragen beantwoorden Het is verder aan te bevelen dat uitsluitend personeel met voldoende kennis van zaken de vragen van de NMa beantwoordt. Het overige personeel moet hiervan op de hoogte zijn en weten wie van hun collegae de ambtenaren te woord zullen staan zodat zij de ambtenaren kunnen doorverwijzen. Om onjuiste antwoorden te voorkomen, dient men niet te antwoorden in geval van twijfel. Men mag altijd aangegeven dat men later op de vraag zal terug komen. De NMa kan in beginsel een ieder binnen de onderneming ondervragen. Een ieder die kennis draagt van een inbreuk op de Mededingingswet moet beschikbaar zijn om inlichtingen te verstrekken. De weigering aan een ondervraging mee te werken, kan aanleiding zijn voor het opleggen van boetes tot € 450.000 of, indien het een onderneming of ondernemersvereniging betreft en indien dat meer is, 1% van de omzet van de onderneming onderscheidenlijk van de gezamenlijke omzet van de

ondernemingen die van de vereniging deel uitmaken, in het boekjaar voorafgaande aan de beschikking. Het recht om te zwijgen Als sprake is van een redelijk vermoeden van overtreding van de Mededingingswet, gelden de cautieplicht en het zwijgrecht. De cautieplicht houdt in dat de ambtenaar degenen die namens de onderneming Bij het verstrekken van mondelinge bij het onderzoek zijn betrokken op het informatie wordt een afweging zwijgrecht moet wijzen. Dit betekent echter niet dat u helemaal geen vragen meer hoeft te beantwoorden: het zwijgrecht is uitdrukkelijk geen vrijbrief om het verstrekken van belastend materiaal te weigeren! Documenten en andere informatiedragers moeten op verzoek van de ambtenaren worden afgegeven. Verzegeling Als het onderzoek aan het einde van de dag nog niet is afgerond, hebben de ambtenaren van de NMa de bevoegdheid bedrijfsruimten (zoals het directie-secretariaat) en voorwerpen (zoals kasten) te ‘verzegelen’. Dit wordt gedaan om manipulatie of verwijdering van door de NMa nog in te kijken materiaal te voorkomen. Het is de verantwoordelijkheid van de onderneming om te waarborgen dat de verzegeling in tact blijft. Daarom is het aan te raden schoonmaakdiensten, beveiliging en andere derden te wijzen op deze verzegeling. Het is ook aan hen te allen tijde verboden verzegelde ruimtes te betreden. Indien een derde de verzegeling toch verbreekt kan de NMa de onderneming een (forse) boete opleggen (zie ook p. 23: Sancties). De NMa kan deze boete ook opleggen indien de verzegeling niet met opzet is verbroken. Een onderneming of natuurlijk persoon kan alleen aan een boete ontsnappen indien deze geen verwijt kan worden gemaakt. Daarvan is slechts sprake in uitzonderlijke situaties, zoals een noodtoestand.
De NMa kan zelfs een boete opleggen indien de verzegeling niet met opzet is verbroken.

Het einde van de inspectie Het inspectieteam zal gewoonlijk aan het einde van de inspectie een kort verslag opmaken met hierin: • een overzicht van de documenten die zijn meegenomen en/of gekopieerd; • een opsomming van de documenten waarom is verzocht, maar die niet zijn overhandigd of overgelegd, met vermelding van de reden daarvan; • de vragen en antwoorden die respectievelijk zijn gesteld en gegeven, evenals de weigering om bepaalde vragen te beantwoorden met opgaaf van redenen. Degene die met de begeleiding van de inspectie is belast, moet het door de ambtenaren opge maakte rapport zorgvuldig doorlezen en ondertekenen. Maak een kopie voor de onderneming. Als bezwaren bestaan tegen de inhoud, moet daarvan schriftelijk melding worden gemaakt bij ondertekening. Het rapport zal in ieder geval, eventueel onder voorbehoud, moeten worden ondertekend. Voor interne doeleinden moet de onderneming zelf ook een rapport van de inspectie opmaken. In dit rapport moet het volgende duidelijk zijn aangegeven: • welke documenten en andere informatiedragers zijn opgevraagd, gekopieerd of bestudeerd door de betrokken ambtenaren; • waar de desbetreffende documenten en andere informatiedragers zich bevonden; • welke opgevraagde documenten en andere informatiedragers zijn geweigerd met opgaaf van de reden daarvoor (bijvoorbeeld de geprivilegieerde correspondentie met een advocaat of, in het geval van een onderzoek door de NMa, een interne jurist); • met welke ambtenaar is gesproken, de door hem/haar gestelde vragen en de daarop gegeven antwoorden; • elk voorval dat aanleiding gaf tot commentaar of reacties van de zijde van het inspectieteam. Tijdens de nabespreking, direct na afloop van de inspectie, zal opnieuw moeten worden nagedacht over de vraag of het (alsnog) indienen van een clementieverzoek wenselijk is. Zie bijlage 3 voor de checklist gedurende en na het inspectieonderzoek.

Overzicht van Sancties De maximale sanctie die aan ondernemingen of ondernemingsverenigingen kan worden opgelegd voor het overtreden van de kartelbepalingen of het verbod van misbruik van machtspositie op grond van de Mededingingswet is een boete van € 450.000 of, indien dat meer is, een boete van ten hoogste 10% van de jaaromzet van de onderneming. Als het een ondernemingsvereniging betreft is dit 10% van de gezamenlijke omzet van de ondernemingen die van de vereniging deel uitmaken. De maximale sanctie die aan personen kan worden opgelegd is een boete van € 450.000. In sommige lidstaten van de Europese Unie en sommige ‘derde landen’ kunnen ook gevangenisstraffen worden opgelegd. Het Clementieverzoek Boetereductie bij samenwerking met autoriteiten De sancties van overtreding van de mededingingsregels kunnen worden verlaagd of op nihil worden gesteld door clementie te vragen. Clementie kan worden verkregen door aan (het clementiebureau van) de NMa een gedetailleerde verklaring in te dienen over een ‘hardcore’ kartel waaraan is deelgenomen. Een dergelijk clementieverzoek kan worden gedaan door een bij het kartel betrokken onderneming of een daarbij betrokken natuurlijke persoon. Het uiteindelijke kortingspercentage hangt af van de rang en de waarde van de verschafte informatie. De partij die als eerste nieuwe informatie verschaft waaruit blijkt dat het kartel ernstiger was of langer heeft geduurd dan oorspronkelijk aangenomen krijgt boete-immuniteit voor het ‘meerdere.’ De clementieverzoeker dient contact op te nemen met het clementiebureau. Dit kan anoniem, op ‘no names’ basis, gebeuren door middel van een advocaat om te vragen in hoeverre boete-immuniteit (nog) beschikbaar is. In dit geval dient onmiddellijk aansluitend een clementieverzoek te worden ingediend. • NB: een clementieverzoek kan uitsluitend worden ingediend bij het clementiebureau. Indien tijdens een bezoek of dawn-raid van de NMa of de Commissie aan de leden van het inspectieteam informatie wordt overgelegd die het inspectieteam niet zou hebben gevonden of waarnaar het inspectieteam niet op zoek was, geldt deze informatie niet als ingediend in het kader van een clementieverzoek. Deze informatie kan daarna niet meer worden overhandigd in het kader van een clementieverzoek, en kan (en zal) tegen de onderneming worden gebruikt. Het clementieverzoek dient zeer gedetailleerde informatie te bevatten over alle aspecten van het kartel en de deelnemers daaraan (betrokken producten en/of diensten, geografische reikwijdte, duur, werkwijze, betrokken marktvolumes, data, locaties, inhoud en deelnemers aan bijeenkomsten en afspraken etc.). Na het clementieverzoek blijft de verzoeker verplicht op ieder moment volledig mee te werken aan het onderzoek.

Wanneer een kartel in meerdere landen effect heeft (gehad), moet mogelijk in meerdere landen een clementieverzoek worden ingediend. BIJLAGE 1 Checklist receptie: • verzoek de ambtenaren zich te identificeren en een bezoekersformulier in te vullen en vraag wat het doel van hun komst is. Maak bij voorkeur een kopie van de identiteitsbewijzen van de betreffende ambtenaren; • verzoek de ambtenaren plaats te nemen in de wachtruimte in afwachting van de komst van de verantwoordelijke persoon bij de onderneming; en • roep onmiddellijk de verantwoordelijke woordvoerder bij de onderneming op aan de hand van onderstaande telefoonlijst. Indien de ambtenaren naar een medewerker van de onderneming in het bijzonder vragen, dan roept u deze ook op.

BIJLAGE 2 Checklist woordvoerder voor de ontvangst van een inspectieteam: • begeleid de ambtenaren naar een vergaderruimte; • verzoek de ambtenaren zich te identificeren en vraag wat het doel van hun komst is; • indien de ambtenaren het doel opgeven, noteer dit dan; • neem contact op met uw bedrijfsjuristen, bestuur en advocaat; • neem contact op met een secretaresse die het inspectieteam kan assisteren; • zorg dat een delegatie van uw IT-afdeling het inspectieteam assisteert; en • verzoek de ambtenaren te wachten met de inspectie totdat de advocaat is gearriveerd.

BIJLAGE 3 Checklist gedurende en na de inspectie: • zorg ervoor dat de ambtenaren steeds zijn vergezeld van een advocaat, bedrijfsjurist of bestuurslid; • zorg ervoor dat personen van uw eigen IT-afdeling de ambtenaren die onderzoek doen op uw computers in de gaten houden; • als een kopie wordt gemaakt van een document, controleer dan of het document bedrijfs geheimen bevat en dus als vertrouwelijk moet worden aangemerkt. Controleer ook of het document geprivilegieerd is; • als iets moet worden gekopieerd voor de ambtenaren, maak dan ook een kopie voor uzelf en voor de advocaat. Maak ook een inventarislijst van alle gemaakte kopieën en van de vindplaats van de originele documenten; • zorg ervoor dat alleen daartoe bevoegde personen mondelinge vragen van de ambtenaren beantwoorden, liefst in aanwezigheid van de advocaat en/of bedrijfsjurist. Zie onder bijlage 2 voor de lijst van personen die bevoegd zijn om vragen van inspecteurs te beantwoorden; • lees het door de ambtenaren opgemaakte rapport zorgvuldig door en onderteken het. Als er bezwaren bestaan tegen de inhoud moet daarvan schriftelijk melding worden gemaakt bij ondertekening. Maak een kopie voor de onderneming; • controleer of u de CD-rom met forensische images en digitale kopieën heeft ontvangen. Controleer daarbij tevens of u de bij de forensische images of algehele kopieën behorende HASH-waarden heeft ontvangen; • voor interne doeleinden moet u zelf ook een rapport van de inspectie opmaken; • evalueer met de advocaten de gevolgen van het onderzoek en overleg over eventueel verder te ondernemen stappen. Hierbij dient ook de wenselijkheid van een clementieverzoek te worden besproken; • zorg voor een externe strategie (bericht aan bestuur, aandeelhouders, beursautoriteiten en pers).

De belangrijkste artikelen van de Mededingingswet en het Verdrag betreffende de Werking van de Europese Unie Artikel 6 lid 1 van de Mededingingswet (Mw) verbiedt overeenkomsten tussen ondernemingen, besluiten van ondernemersverenigingen en onderling afgestemde gedragingen tussen ondernemingen die ertoe strekken of ten gevolge hebben dat de mededinging op de Nederlandse markt of een deel daarvan wordt verhinderd, beperkt of vervalst. Artikel 101 lid 1 van het Verdrag betreffende de Werking van de Europese Unie (VWEU) bevat een zelfde verbod voor overeenkomsten, besluiten en gedragingen met gevolgen voor de handel tussen lidstaten. Artikel 24 Mw verbiedt misbruik van een economische machtspositie. Ingeval daardoor de handel tussen lidstaten wordt beïnvloedt, is artikel 102 VWEU van toepassing. De NMa en de Commissie kunnen hoge boetes opleggen voor overtreding van deze bepalingen.

Introduction The Netherlands Competition Authority (NMa) and the European Commission monitor and enforce compliance with the competition rules in the Netherlands. These rules prohibit the making of cartel agreements and abuse of a dominant position. The NMa or the European Commission may visit your undertaking in order to conduct an inspection on their own initiative or following a complaint. This is referred to as a company visit or inspection or, more commonly, a dawn raid. A visit of this nature is generally unannounced, can span several days and may be carried out simultaneously at more than one location. This brochure deals primarily with inspections conducted by the NMa. An inspection can occur where there is a suspicion that your undertaking or association of undertakings has infringed the competition rules. The aim of an inspection is to gather (further) additional information. This may be oral or written information, including digital information. An inspection may also be conducted in the context of an investigation of the entire industry or sector, without a specific suspicion that your undertaking has committed any infringement. Frequently, the NMa has already gathered a significant amount of information concerning a certain agreement or specific conduct by the time it conducts an inspection. For example, in the context of a request for leniency, where one of the members of the cartel has reported its existence (see also page 52: Request for leniency). A cooperative attitude is recommended at all times. This does not mean, however, that your undertaking cannot invoke the rights vested in it. If the inspectors exceed the scope of their powers, you may, politely but firmly, make your objections known, possibly after consulting your lawyer. Being well prepared requires you to be aware of your rights and obligations. Which requests to inspect documents and data files must you comply with? And do you have to answer all the questions? This brochure gives a brief summary of your rights and obligations and is intended to serve as a guide on how to act when receiving a visit from the NMa. The text of this guide is based on the situation as per June 2011. Internal organisation Inspections are generally conducted unannounced. Adequate preparation is therefore advisable: • Appoint a ‘spokesperson’ to represent the undertaking for the duration of the inspection. Together with the lawyers, the spokesperson should ensure the smooth progress of the investigation. It is advisable to appoint one or more deputies in case the spokesperson is not present. The spokespersons must be aware of all the procedures as well as the rights and duties of the undertaking in relation to the inspection (see appendix 2). • Provide the reception with a checklist containing instructions and a list of names of people who must be informed (see attachment 1). This list must always include the names of the spokesperson, his/her deputy, the members of the board, corporate counsel and lawyers. This will ensure smooth communication between all parties. • It is also advisable to appoint a ‘contact secretary’ within the undertaking who (i) acts as the contact person for the lawyers, (ii) assists the NMa officials with the process of copying documents and (iii) keeps the lists of requested documents and other matters.

The inspection Who conducts the inspection? In all cases, the officials may be assisted by experts in a specific field, such as ICT, for example. These experts have no independent powers. They may not, therefore, request to inspect data or question employees. Nor is the undertaking obliged to show an expert documents that contain business secrets. Failure to cooperate or obstructing an inspection may be penalised in several ways. Firstly, the NMa can penalise a failure to cooperate with a maximum fine of € 450,000, or 1% of the annual turnover of your undertaking or the joint annual turnover of the undertakings that are part of the association of undertakings if this represents a larger amount. A maximum fine of € 450,000 can be imposed on any employee failing to cooperate with an inspection. Secondly, the NMa can issue a cease and desist order under penalty. Finally, the NMa can – if it concludes that the law has been infringed – consider any obstruction of the NMa’s investigation by the undertaking or its employees as an aggravating circumstance when determining the amount of the fine.

RECEPTION OF THE INSPECTION TEAM The inspection team must be given a smooth and prompt reception in order to leave no doubts as to the willingness of your undertaking to cooperate with an investigation. Reception by the reception desk The receptionist asks the officials for their official proof of identity and requests them to wait briefly until they can be further received by the undertaking. The receptionist then immediately informs the spokesperson or his/her deputy as well as the management. The proof of identity displays the name, photo and position of the official concerned. All the information on the various identity documents should be carefully recorded, or copies of the identity documents should be made. It is also important to ask whether the inspection is taking place at the request of the NMa or the European Commission. In the latter case, the officials must always be able to present a written instruction (see also appendix 1). Reception by the spokesperson The spokesperson should take the team to a meeting room and ask for the reasons and the purpose of the investigation. At the commencement of the visit, the NMa officials will present a written description of the purpose and the subject of the investigation. It is recommended to check this description carefully and to ask for clarification in case anything is unclear. Consult your legal specialists (in-house or external) The spokesperson will then inform the inspection team that he/she wishes to contact the undertaking’s in-house and/or external legal counsel. A list with the names of these lawyers, their mobile and/or landline numbers, fax numbers and e-mail addresses should therefore also be made available in advance. Once the inspection team has stated the reason for the inspection, this must immediately be notified to the lawyers. Awaiting the arrival of the legal specialists The spokesperson can ask the inspection team to await the arrival of the legal specialist(s) who has/have been alerted before commencing the inspection (including interviews with the directors, the corporate lawyer(s) and other members of staff ).

While awaiting the arrival of (external) legal assistance, the NMa will generally want to implement measures to prevent the deletion of data and documents. Inspectors may demand, for instance, that all external e-mail and telephone communication be halted, that cabinets or rooms be sealed, or they may position themselves in areas to observe all movements and activities. If the inspection team does not wish to wait (any longer) for the arrival of the legal specialists, the spokesperson should try to contact a lawyer and/or corporate counsel by phone. Houthoff Buruma can provide specialised lawyers from Amsterdam, Rotterdam and Brussels at short notice. Appendix 2 includes a checklist for the spokesperson. As soon as the legal specialists have arrived, the possibility and desirability of submitting a request for leniency to the NMa should be discussed without delay. The question of whether other requests for leniency may possibly have already been submitted (by competitors or employees) will also be addressed during this discussion. (see also page 52: Request for leniency)

The powers Two types of powers The NMa has both supervisory and investigative powers. Supervisory power entails the general monitoring of compliance with the Competition Act. This general monitoring does not usually involve specific investigations arising from suspicions that the law has been infringed. The NMa may monitor a certain industry or sector, for example. Investigative power is used to determine whether an infringement has or has not occurred. This investigative power is exercised where there is a suspicion of an infringement. This implies, amongst other things, that the officials must advise the spokespersons of an undertaking of their right to remain silent during an interview (the so-called ‘caution’). Based on their supervisory duties, officials have the following powers: • to enter and search locations, if necessary with police assistance, with the exception of private homes if permission has not been granted by the resident; • to demand information, including from staff members who have knowledge of possible infringements; • to demand access to business data and documents A dawn raid can extend and to make (digital) copies of such data and documents; and to private residences. • to examine vehicles and other means of transport. Based on their investigative duties, officials have the following additional powers: • to enter and search private homes, if necessary without permission from the resident, after obtaining authorisation from the examining magistrate responsible for handling criminal cases at the Rotterdam District Court (the examining magistrate); • the power to seal business premises, spaces and objects; and • to exercise their powers, if necessary with police assistance. The European Commission has comparable investigative powers: • to enter all buildings, premises and vehicles and other means of transport of the undertaking; • to request oral information; • to inspect the books and documents of the undertaking; • to make copies of or extracts from these books and documents; • to request police assistance in case of resistance;

• to take measures to prevent the removal, disappearance, rendering unfit for use, disabling or damaging of data; • to search storage spaces or possible hiding places in order to trace data whose existence is not known in advance, after obtaining authorisation from the examining magistrate responsible for handling criminal cases at the Rotterdam District Court; • to seal rooms, premises and books or other documents for the duration of, and as far as required for, the inspection; • to request representatives or staff members of the undertaking or association of undertakings to clarify facts or documents related to the subject and purpose of the inspection, and to record their response; and • to enter the private homes, premises and means of transport/vehicles of directors, board members and other staff members of the undertaking when there is a reasonable suspicion that books or other documents of the company and the subject of the inspection that are relevant to proving an infringement are stored there, after a decision to that effect and having authorisation from a ‘national judicial authority or court’ (in this case the examining magistrate responsible for handling criminal cases at the Rotterdam District Court). General limitations of the powers The inspection powers of the NMa are subject to an important limitation in the sense that an official may only use his/her powers ‘insofar as this is reasonably necessary for the performance of his/her duties’. The investigation should therefore be proportional relative to the purpose. In the case of an investigation conducted independently or an investigation conducted at the request of a competition authority of another EU Member State, the powers of the NMa are more precisely limited by the purpose and the subject of the inspection as stated in the written descrip tion that is issued at the commencement of the investigation (the investigation description). In the case of inspections conducted by the NMa at the request of the European Commission, the limitations of the purpose and subject of the investigation are laid down in the written instruction, or decision or order presented in advance to the spokesperson. If it is evident from the written description or instruction that the inspection only relates to one of the markets on which the undertaking is active, for instance, the officials involved cannot investigate the activities on other markets as well. This means that no verbal information or documents concerning other activities need be provided. If they are nonetheless provided – under duress– you may ask for them to be returned at a later date.

THE Investigation: gathering analogue and digital information The gathering of analogue and digital information by NMa officials takes place in two stages. First, information is collected on site, in company buildings or private residences, for example. This information is then processed at the NMa’s offices. The undertaking can inform the NMa that certain data must be excluded from the data collection.
STAGE 1: GATHERING INFORMATION ON SITE Access to all business data and documents In principle, the officials may have access to all business data and documents. This is a very broad concept. It allows the officials to request and inspect all official and unofficial documents and records that are related to the purpose and subject of the investigation, for example. This applies not only to paper files, diaries and records, but also to digital files. The officials may therefore also inspect cameras, USB sticks, notebooks and other (digital) data carriers. Password-protected equipment and materials must be made accessible. In principle, the undertaking’s buildings, areas and cars will be inspected. The officials are also authorised to inspect the contents of drawers, desks and filing cabinets. The NMa as well as the European Commission can also order an inspection of other buildings, areas and vehicles (including private residences and private vehicles). Where such an order comes from the European Commission, permission from an examining magistrate will be required for such an inspection. The NMa only requires this permission in order to enter and search private residences. The examining magistrate assesses whether such an inspection is not indiscriminate or disproportionate. The officials must be able to present the authorisation from the examining magistrate. In the case of an inspection conducted by the NMa, the officials must inform the undertaking which data they wish to inspect. The NMa is not permitted to take files out of any filing cabinet itself and must limit its inspection to potentially relevant documents. In the case of an inspection conducted on the orders of the European Commission or the searching of a private residence by the NMa, the officials are permitted also to look for data whose existence and location are unknown. This is the so-called ‘search authorisation’. Such a search requires the prior authorisation of an examining magistrate. If the officials ask specifically to inspect certain data, work spaces or archives, the undertaking must provide these data or make the spaces and archives accessible. In order to ensure the NMa’s activities remain within the scope of the investigation, it is advisable only to allow access to the

If the requested documents and/or other data carriers are not immediately available, the undertaking is obliged to search for them. If documents and/or other data carriers contain company secrets, this is no reason to refuse the inspection (unlike in the case of experts accompanying the NMa). This is because the officials are bound by an obligation of secrecy. If an undertaking refuses to allow access to cabinets or areas, the NMa may summon assistance from the police in order to forcibly access these cabinets or areas. While inspecting data and records, the officials will determine on site whether they are relevant. They will assess whether the data and records (in terms of their nature and/or content) may reasonably fall within the scope of the stated purpose and subject of the investigation. This may also include data and records that fall outside of the specified period to which the investigation relates. Making copies of documents The officials will generally make copies of the documents that they have reviewed and which they consider to be relevant. An inventory will be made of these documents. In the case of inspections conducted on the orders of the NMa, officials may also take away original documents for a limited period of time. If they do so, they must provide written proof that the undertaking has surrendered these original documents. The inventory must also show which records and/or other data carriers have been taken away, and where they were taken from. It is advisable to ensure that three copies are also made of all documents that are to be removed so that your undertaking and the lawyer also have copies at their immediate disposal. The same also applies to the inventory. All copies that are made must be carefully checked and numbered on the officials’ departure. The three sets of copies must be identical. You should ensure that the officials sign the inventory at the end of the investigation. Data and records that are out of scope The NMa does not have access to privileged data and records, and to data and records that fall outside the scope of the investigation. This latter relates not only to data and records that cannot (reasonably) fall within the scope of the purpose and subject of the investigation, but also to private data and documents. Such data and documents will only be inspected by the official in order to determine that they do indeed qualify as such. If this is the case, the NMa will not make a copy of them (see also: ‘Access to digital files’).

However, if data and/or records are in a subset with a description that is directly connected with the purpose and subject of the investigation, the official concerned will nonetheless qualify the data and records as within scope. This may relate to a physical or digital folder with a particular title, for example.
The NMa is not permitted to make copies of privileged information.
The NMa is not permitted to make copies of ‘privileged’ data and records. Documents (in digital and analogue format), letters, faxes, etc. between the undertaking and a lawyer concerning the application of competition rules, concerning the subject of the investigation or otherwise, are deemed to be privileged. This therefore also covers documents in which an undertaking requests legal advice from a lawyer concerning the application of competition rules. Internal company documents containing a summary of advice from a lawyer or that have been prepared for the purpose of obtaining such advice (irrespective of whether or not they have been sent) also qualify as privileged information. It should be noted that correspondence between the undertaking and its own corporate counsel will only be considered as privileged by the NMa if the corporate counsel concerned is also a lawyer and it is apparent from the document that the corporate counsel was acting in his/her capacity as a lawyer (signature accompanied by ‘lawyer’). Unlike the Dutch Competition Act, the European Commission does not recognise the privileged nature of the (internal) correspondence between the in-house lawyer and the undertaking. The European Court of Justice has upheld this position of the Commission. Nonetheless, internal summaries of external advice from lawyers that are recognisable as such are deemed to constitute privileged correspondence. It is generally advisable to use privileged correspondence as much as possible for internal reporting purposes. Officials may, in principle, ‘cursorily’ inspect the data and/or records that are considered as ‘privileged’ in order to check whether they are indeed privileged. Officials can request further substantiation. If the privileged nature is not apparent from a cursory inspection, the official will place the data and/or records in a sealed envelope. The undertaking has the right to assert that even the cursory inspection by the NMa violates the privileged nature. If the undertaking does this, the official will demand further substantiation from the undertaking. If the official considers the substantiation to be adequate, he/she is required to place the data and/or records in a sealed envelope in this case also. The ‘Legal Professional Privilege official’ of the NMa will review the contents of the sealed envelope(s).

Access to digital files The NMa has the right to examine computer files, e-mails, the data stored in the memories of mobile telephones, faxes and photocopying machines, photographic material and (electronic) diaries during an investigation. The undertaking must provide computer passwords and access codes and must facilitate the examination of other digital files, such as the SIM card memories of mobile phones or of electronic diaries. It is recommended that the officials be assisted in making copies and prints of files of non-confidential documents. Officials may request to copy files onto CD ROM or other data carriers (for example e-mails and Excel files). It is then advisable to accurately log the details of such files (such as the size in Kbs and the date that the file was most recently edited or updated). You should also ensure that copies are made of files that are taken away. The NMa currently uses ‘digital selection methods’ when conducting an examination of relevant digital data and records: search queries are formulated based on the preliminary investigation. These search queries (including keywords relating to the subject of the investigation) are connected with the stated purpose and subject of the investigation and can be supplemented on the spot during the investigation. The NMa will provide a list with the search queries used on the conclusion of the on-site investigation. The official marks all digital data that he/she found by using (one of ) the search queries as ‘within scope’. He/she collects these data in the data set ‘original, within scope’. The collection of digital data in respect of which the official cannot rule out that these include data which fall outside the scope of the investigation is included in the ‘possibly out-of-scope’ data set. These may also include files that the official cannot search digitally, such as some PDF or TIFF files. During this search the undertaking can point out the presence of private data in either data set, giving its reasons for this assertion. The official may then exclude these data from the examined data. On the conclusion of the on-site investigation, the NMa will provide a list with the search queries used and an overview of (the origin of ) the digital data gathered per data set. The official must comply with the rules concerning privileged data and documents throughout the duration of the digital search (described above).

STAGE 2: PROCESSING GATHERED INFORMATION IN THE NMA OFFICE Filtering data sets Following the conclusion of the on-site investigation, the NMa may have two possible data sets at its disposal: (i) the ‘original, within scope’ data set and (ii) the ‘possibly out-of-scope’ data set. It will provide the undertaking with an overview as well as a copy of the files in these data sets. If necessary, the NMa will remove material from the (extracted) data sets that it considers in advance to be irrelevant. Further selection of files For both data sets, the undertaking has the possibility to indicate, giving reasons, within ten working days after their provision which digital data and documents are privileged (see below). In addition, with respect to the data set ‘possibly out-of-scope’, the undertaking has the possibility to indicate, giving reasons, within ten working days after its provision which digital data and records it considers to fall outside the scope of the investigation. In response to the request, an official from the NMa investigation team will allow the undertaking to be present when the accuracy of the request is assessed. During this assessment also, the official will only inspect the data and documents in order to determine whether they fall outside the scope of the investigation. Eventually, the undertaking receives notification in writing of the opinion of the official of the investigation team. If the official is of the opinion that the request is justified, he/she will not add the data and documents to the file. If, on the other hand, he/she is of the opinion that the request was wrongly made, the data and documents will be added to the file. Following the completion of the entire procedure, all digital data that were not included in the report file will be destroyed, in so far as legally permitted. Treatment of privileged data and documents A separate procedure, for which the NMa has appointed a ‘Legal Professional Privilege official’, applies to the assessment of privileged (digital) files. This Legal Professional Privilege official is an official who is not and will not be involved in the relevant investigation as a supervisory official. With regard to the data and/or documents that have been placed in (a) sealed envelope(s) during the investigation, the Legal Professional Privilege official concerned will request the undertaking to give reasons in writing, within ten working days, why these data and/or documents are privileged.

If the official is of the opinion that the request is justified, he/she will return or destroy the data and documents. The undertaking is then given the opportunity (once again) to explain the claim in further detail. Following this last explanation, the undertaking will once again be notified in writing of the opinion of the official. If the official is now of the opinion that the request is justified, he/she will return or destroy the data and documents at that stage. If, however, he/she maintains his/her earlier opinion, the official will state in his/her written notification that the supervising official of the NMa will not subsequently add the data and documents to the investigation data until five working days after the notification is sent. This period can be used to have recourse to legal remedies. After the completion of the entire procedure, all the correspondence concerning the privileged data and documents will be destroyed, in so far as legally permitted.

OBTAINING ORAL INFORMATION Giving an oral explanation on site The NMa may ask oral questions. A distinction is made in this regard between, on the one hand, questions that are necessary for the smooth, practical running of the investigation (for example the location of documents, passwords, the functionality of software, positions and activities of staff members) and, on the other, questions which relate to the subject of Interviews are also part of a the investigation (the behaviour of the dawn raid. undertaking). You must always answer the first type of question in order to avoid you (or your undertaking) being accused of non-compliance with the obligation to cooperate as to the second type of questions, you always have the right to legal assistance when answering questions concerning the behaviour of the undertaking and, depending on the nature of the question, the right to remain silent. In the case of inspections conducted on the orders of the European Commission, the officials may enquire about the location of certain documents and information carriers. They may otherwise only ask questions concerning the documents and information carriers which they have obtained on the basis of their investigative powers. This also applies, on the basis of the principle of proportionality, to inspections conducted by and for the NMa. You are not required, in any event, to answer any incriminating questions. See also the section headed ‘the right to remain silent’. Only answer in the presence of a legal representative In order to ensure that the officials do not overstep their powers during the interview, it is advisable only to answer questions in the presence of a legal representative. If this is absolutely impossible, the person being interviewed must document the questions and answers. Interviews should preferably take place in a secured area. Only authorised staff members should answer questions It is also recommended that only authorised staff members with adequate knowledge of matters should answer questions put by the NMa. The other members of staff should be aware of this and know which of their colleagues will speak with the officials, so that they can refer the officials to them. In order to avoid incorrect answers being given, questions should not be answered in case of doubt. The person being interviewed may always state that he/she will return to a question at a later time. The NMa may, in principle, interview anyone within the undertaking. Anyone with knowledge of an infringement of the Competition Act must be available to provide information. A refusal to cooperate with an interview may result in the imposition of fines up to € 450,000 or, in the case

of an undertaking or an association of undertakings, 1% of the turnover of the undertaking or the joint turnover of the undertakings that are part of the association of undertakings in the financial year prior to the decision or order, if this represents a larger amount. The right to remain silent Where there is a reasonable suspicion that the Competition Act has been infringed, the duty to caution and the right to remain silent will apply. In principle, all persons within the undertaking have the right to remain silent, so not only the civil-law representatives. However, this does not mean that you are not required to answer any questions at all: the right to remain silent is explicitly not a licence to refuse to provide incriminating material. Documents and other information carriers must be surrendered at the request of the officials. Sealing If the investigation is not completed by the end of the day, the NMa officials have the power to ‘seal’ company areas and rooms (such as the director’s office and company secretariat) and items (such as cabinets). This is done in order to prevent the manipulation or removal of material which still has to be inspected by the NMa. It is the responsibility of the undertaking to ensure that the sealing remains intact. It is therefore advisable to inform the cleaning services, security and other third parties about the existence of the seals. They are also strictly prohibited from entering these areas at any time. If a third party nonetheless breaks a seal, the NMa has the power to impose a (hefty) fine (see also page 51: Sanctions). The NMa can also impose this fine if the seal has been unintentionally broken. An undertaking or natural person can only avoid a fine if no The NMa can impose a fine even if blame can be attributed to them. THE CONCLUSION OF THE INSPECTION On the conclusion of the inspection , the inspection team will usually prepare a short report that includes: • an overview of the documents that have been taken away and/or copied; • a summary of the documents that were requested, but were not handed over or provided, together with the reasons for this; • the questions asked and the answers that were given in response to them, as well as the refusal to answer certain questions, including the reasons for this. The person who is responsible for assisting the inspection is required to carefully read and sign the report drawn up by the officials. A copy should be made for the undertaking. Any objections to the contents of the report must be noted in writing at the time of signing. The report must always be signed, with a reservation where applicable. The undertaking itself must also compile a report of the inspection for internal purposes. The following should be clearly set out in this report: • which documents and other information carriers were requested, copied or studied by the officials concerned; • where the documents and other information carriers concerned were located; • which requested documents and other information carriers were refused, with a statement of the reason for this refusal (for example, the privileged correspondence with a lawyer or, in the case of an investigation by the NMa, in-house legal counsel); • the name(s) of the official(s) with whom there was contact, the questions put by him/her and the answers given to these questions; • each incident which gave rise to comments or responses from the inspection team. During the subsequent evaluation, immediately following the conclusion of the inspection, the question of whether a request for leniency should (then) be submitted should be re-considered. See appendix 3 for the checklist during and after the inspection.

OVERVIEW OF SANCTIONS The maximum sanction that can be imposed on an undertaking or an association of undertakings for infringing the provisions relating to the formation of cartels or for abusing a dominant position under the Competition Act is a fine of € 450,000, or a fine of no more than 10% of the annual turnover of the undertaking if this represents a larger amount. In the case of an association of undertakings, this is 10% of the joint turnover of the undertakings that are part of the association. The maximum sanction that can be imposed on a person is a fine of € 450,000. Prison terms can also be imposed in some Member States of the European Union and in certain non-EU countries. THE REQUEST FOR LENIENCY Reduction of fines in return for cooperation with the authorities The sanctions for infringement of the competition rules can be reduced or set at zero by requesting leniency. Leniency can be obtained by submitting a detailed statement to (the leniency office of ) the NMa concerning a ‘hardcore’ cartel in which one has participated. A request for leniency can be made by an undertaking involved in the cartel or a natural person who is involved with the cartel. A party that is the first to provide information of substantial additional value after the NMa has started an investigation is granted a 60% to 100% reduction of any fine. A party that is the second to provide information of substantial additional value, or the first to provide information, but which has forced other parties to join the cartel, is granted a 10% to 40% reduction of any fine. The percentage of reduction ultimately granted depends on the priority and the value of the information provided. The party that is the first to provide new information showing that the cartel was more serious or persisted for longer than was originally assumed will be granted immunity from fines for this ‘additional’ infringement. The party requesting leniency should contact the leniency office. This can be done anonymously on a ‘no names’ basis, by asking a lawyer to what extent immunity from fines is (still)available. In this case, a request for leniency should be submitted immediately thereafter. • Note: a request for leniency can only be submitted to the leniency office. If, during a visit or dawn raid carried out by the NMa or the European Commission, information is submitted to the members of the inspection team that the inspection team would not have found or that the inspection team was not looking for, this information will not be considered as having being submitted in the context of a request for leniency. This information cannot be subsequently submitted in the context of a request for leniency, and can (and will) be used against the undertaking. The request for leniency must include very detailed information on all aspects of the cartel and its members (products and/or services involved, geographic scope, duration, working methods, market volumes involved, data, locations, contents of and participants in meetings and agreements, etc.). The party submitting the request is required to cooperate fully with the investigation at any time subsequent to the request for leniency.

If a cartel has or has had an impact in several countries, it may be necessary for a request for leniency to be submitted in several countries. APPENDIX 1 Checklist for the reception desk: • request the officials to show proof of identity and to fill in a visitor’s form. Ask about the purpose of their visit. If possible, make a copy of the officials’ proof of identity; • request the officials to take a seat in the waiting area to await the arrival of the responsible person within the undertaking; and • immediately summon the responsible spokesperson for the undertaking using the telephone list below. If the officials request a particular member of staff of the undertaking then you should contact that person as well.

APPENDIX 2 Checklist for the spokesperson for receiving an inspection team: • accompany the officials to a meeting room; • request the officials to show proof of identity and ask about the purpose of their visit; • if the officials state the purpose of their visit, make a note of this; • contact your corporate counsel, board and lawyer; • contact a secretary who can assist the inspection team; • ensure that a delegation from your IT department assists the inspection team; and • request the officials to wait until the lawyer has arrived before commencing their inspection.

APPENDIX 3 Checklist during and after the inspection: • make sure that the officials are always accompanied by a lawyer, corporate counsel or a member of the board; • make sure that people from your own IT department keep an eye on the officials who conduct an examination of your computers; • if a copy is made of a document, check whether the document contains company secrets and should therefore be considered as confidential. Check also whether the document is privileged; • if something needs to be copied for the officials, also make a copy for yourself and for the lawyer. In addition, make an inventory of all copies that are made and the location of the original documents; • ensure that only suitably authorised people answer oral questions from the officials, preferably in the presence of the lawyer and/or corporate counsel. Refer to appendix 2 for the list of people who are authorised to answer questions from inspectors; • read the report that has been compiled by the officials carefully, and sign it. Make a written note of any objections to the contents of the report at the time of signing. Make a copy for the undertaking; • check whether you have received the CD ROM with forensic images and digital copies. Check also whether you have received the HASH values belonging to the forensic images or the full copies; • you must also compile a report yourself of the inspection for internal purposes; • together with the lawyer evaluate the consequences of the investigation and discuss possible further steps to be taken. The desirability of submitting a request for leniency should also be discussed at this stage; • ensure you have an external strategy in place (report to the board, shareholders, exchange authorities and press).

Article 101(1) of the Treaty on the Functioning of the European Union (TFEU) includes a similar prohibition of such agreements, decisions and conduct affecting the trade between Member States. Section 24 of the Competition Act prohibits the abuse of a dominant position. If this affects the trade between Member States, Article 102 of the TFEU applies. The NMa and the Commission can impose hefty fines for any infringement of these provisions.
