Vážení, dostáváte do rukou další číslo našich News. Vstup České a Slovenské republiky do Evropské Unie je ojedinělou událostí nejen z hlediska politického a historického, ale v neposlední řadě též z hlediska právního, neboť v každém z těchto států po vstupu do Unie začne vedle vnitrostátního práva zároveň platit celý další rozsáhlý systém právních norem. Z tohoto důvodu jsme se rozhodli v tomto čísle stručně informovat o některých stěžejních principech evropského práva a seznámit tak čtenáře s tímto právním systémem alespoň v hrubých obrysech. Základním prostředkem k dosažení integrace evropských společenství, včetně hospodářské a měnové unie mezi členskými státy, je vytvoření společného trhu. Obsah tohoto čísla jsme tedy strukturovali podle čtyř základních svobod, na kterých společný trh spočívá, tedy volný pohyb zboží, osob, služeb a kapitálu. Pátá část je pak věnována svobodné hospodářské soutěži, jejíž ochrana je nezbytná k realizaci základních svobod. V každé části se nejprve stručně zabýváme obecnou úpravou evropského práva. Dále upozorňujeme na některé nejvýznamnější změny ze značného množství novelizovaných právních předpisů, ke kterým dochází v České a Slovenské republice v souvislosti s harmonizací v dané oblasti. V první kapitole, která je věnována volnému pohybu zboží, je stručně popsán celní režim, který bude na území ČR a SR platit po 1.5.2004. Dále se zabýváme změnami, které v obou zemích v souvislosti se vstupem nastanou v uplatňování DPH a zařazujeme poznámku o novele zákona o bezpečnosti výrobků v České republice. Ve slovenské části informujeme o novele zákona o lécích a zdravotnických potřebách. Druhá kapitola se týká volného pohybu osob. Po úvodní části upozorňujeme na změny, které v České i Slovenské republice nastanou v cizineckém právu (v obou státech se jedná o změny zákona o pobytu cizinců). Dále informujeme o změnách v oblasti živností, které v SR upravuje již přijatá novela živnostenského zákona; oproti tomu v ČR je novela živnostenského zákona dosud v procesu projednávání v Parlamentu. Ve slovenské části zařazujeme krátkou poznámku týkající se ochrany osobních údajů.
Třetí část je věnována volnému pohybu služeb, pro kterou má velký význam uznávání kvalifikací migrujících poskytovatelů služeb. Proto v této souvislosti upozorňujeme na harmonizační novelu zákona o architektech a autorizovaných inženýrech. Dále stručně zmiňujeme změnu zákona o bankách, která nabude účinnosti k 1.5.2004 a rovněž se věnujeme novele zákona o DPH. V další části zmiňujeme novely slovenských právních předpisů, a to zákona o dohledu nad finančním trhem, zákona o pojišťovnictví, zákona o cenných papírech, zákona o bankách a zákona o DPH. Rovněž se zabýváme novou úpravou uznávání odborných kvalifikací ve slovenském právu. V kapitole čtyři, jejímž tématem je volný pohyb kapitálu, se zabýváme některými změnami devizového zákona v České republice a Slovenské republice. Ohledně českého i slovenského práva pak informujeme o připravovaných změnách zákona o dani z příjmu. Ve slovenské části dále upozorňujeme na změny zákona o burze cenných papírů a zákona o ochraně vkladů. V poslední části, která se týká hospodářské soutěže, se zabýváme v poslední době přijatým nařízením Rady č. 1/2003/ES, které bude od 1.5.2004 účinné i v České republice a Slovenské republice. Dále se stručně zmiňujeme o nařízení Komise č. 1400/2002/ES a jeho aplikaci v českém a slovenském právu a rovněž o přechodných obdobích, která byla pro oba státy v této oblasti vyjednána. L’entrée de la République tchèque et de la République slovaque dans l’Union européenne est un événement remarquable, non seulement du point de vue politique et historique mais également du point de vue juridique, puisqu’un nouveau système très étendu de normes juridiques entrera en vigueur dans ces Etats, parallèlement au droit national. Pour cette raison, nous avons décidé de présenter brièvement certains principes fondamentaux de droit communautaire, afin que nos lecteurs acquièrent certaines connaissances de base concernant ce nouveau système juridique. L’établissement du marché commun est le principal moyen permettant d’atteindre l’intégration des Communautés européennes, ainsi que l’Union économique et monétaire entre les Etats membres. Le présent numéro de notre News est articulé autour des quatre libertés fondamentales sur lesquelles repose le marché commun, à savoir les libres circulations des marchandises, des personnes, des services et des capitaux. Une cinquième partie est consacrée à la libre concurrence dont la protection est indispensable pour la réalisation desdites libertés fondamentales.

Le troisième chapitre est consacré à la libre circulation des services, domaine où l’importance du problème de la reconnaissance des qualifications concernant les prestataires de services se déplaçant au sein des Etats membres de l’UE est essentielle. C’est la raison pour laquelle nous attirons votre attention sur l’amendement d’harmonisation à la loi relative à la profession des architectes et des ingénieurs autorisés. Ensuite, nous signalons brièvement la modification de la loi sur les banques qui entrera en vigueur le 1er mai 2004 et également l’amendement à la loi sur la TVA. Dans la partie suivante, nous présentons les changements de la législation slovaque en ce qui concerne la loi sur le contrôle des marchés financiers, la loi sur les compagnies d’assurance, la loi sur les valeurs mobilières et les services d’investissement, la loi sur les banques et la loi sur la TVA. Nous nous intéressons également à la nouvelle réglementation concernant la reconnaissance des qualifications professionnelles.
Dans chaque chapitre, nous présentons tout d’abord brièvement les dispositions générales du droit communautaire. Puis, nous exposons certaines modifications des droits nationaux résultant des plus importants amendements à la loi récemment adoptés en Républiques tchèque et slovaque, relatifs à l’harmonisation du droit interne par rapport au droit communautaire.
Dans le quatrième chapitre qui porte sur la libre circulation des capitaux, nous abordons les modifications de la loi sur le contrôle des changes en Républiques tchèque et slovaque. En ce qui concerne les droits tchèque et slovaque, nous vous informons également des modifications envisagées des lois relatives à l’imposition des revenus. Dans la partie slovaque, nous attirons votre attention sur la modification de la loi sur la bourse des valeurs mobilières et de la loi sur la protection des dépôts.
Le premier chapitre, qui est consacré à la libre circulation des marchandises, décrit le régime douanier qui sera applicable sur le territoire de la République tchèque et de la République slovaque à compter du 1er mai 2004. Ensuite, sont abordés les changements qui interviendront dans les deux pays en ce qui concerne l’application de la TVA ainsi qu’une remarque au sujet de l’amendement à la loi sur la sécurité des produits en République tchèque. Dans la partie slovaque, nous présentons l’amendement à la loi sur les produits pharmaceutiques et matériaux médicaux.
Dans le cinquième chapitre portant sur le droit de la concurrence, nous nous intéressons au règlement du Conseil n° 1/2003/CE qui sera, à compter du 1er mai 2004, directement applicable en République tchèque et en République slovaque. Nous signalons brièvement le règlement de la Commission n° 1400/2002/CE et son application en droits tchèque et slovaque ainsi que les périodes transitoires qui ont été négociées par les deux Etats.
Le second chapitre porte sur la libre circulation des personnes. Après l’introduction, nous attirons votre attention sur les modifications qui seront apportées dans le droit des étrangers (dans les deux Etats, il s’agit des amendements à la loi sur le séjour des étrangers). Ensuite, nous vous informons des modifications dans le domaine de l’artisanat, régi en République slovaque par la loi sur l’artisanat qui a d’ores et déjà été amendée. Vstup Českej a Slovenskej republiky do Európskej Únie je ojedinelou udalosťou nielen z hľadiska politického a historického, ale v neposlednom rade aj z hľadiska právneho, pretože v každom z týchto štátov po vstupe do Únie začne vedľa vnútroštátneho práva súčasne platiť celý ďalší rozsiahly systém právnych noriem. Z tohto dôvodu sme sa rozhodli v tomto čísle stručne informovať o niektorých zásadných princípoch európskeho práva a zoznámiť tak čitateľov s týmto právnym systémom aspoň v hrubých rysoch. Základným prostriedkom k dosiahnutiu integrácie európskych spoločenstiev, vrátane hospodárskej a menovej únie medzi členskými štátmi, je vytvorenie spoločného trhu. Obsah tohto čísla sme teda zostavili podľa štyroch základných slobôd, na ktorých je spoločný trh založený, teda voľný pohyb tovaru, osôb, služieb a kapitálu. Piata časť je potom venovaná slobodnej hospodárskej súťaži, ktorej ochrana je nevyhnutná k realizácii základných slobôd. V každej časti sa najprv stručne zaoberáme všeobecnou úpravou európskeho práva. The entrance of the Czech and Slovak Republics to the European Union is a unique event not only from a political and historical point of view, but also from a legal point of view because, following entry to the European Union, aside from domestic national law, another extensive system of legal regulations will become applicable in each of these countries. For this reason, in this issue we have decided to detail certain pivotal principles of EU law and thus acquaint readers with the basics of this legal system.
The third part is dedicated to the free movement of services, wherein recognition of the qualifications of migrant providers of services is of great significance. Therefore, in this respect, we have drawn attention to the harmonizing amendment to the Act on Architects and Authorized Engineers. Afterwards, we have briefly mentioned the amendment to the Act on Banks, effective May 1, 2004, and we also address the amendment to the Value Added Tax Act. In the subsequent part, we have noted the amendments to the Slovak legal regulations, such as the Act on Financial Market Supervision, the Insurance Act, the Act on Securities, the Act on Banks, and the Value Added Tax Act. We also address the new legal regulation governing recognition of professional qualification in Slovak law.
The basic means of attaining integration of the European Communities, including the economic and monetary union among the Member States, is by creation of a common market. Therefore, we structured the contents of this Newsletter according to the four basic freedoms that serve as the basis for the common market, i.e., the free movement of goods, persons, services and capital. The fifth part is dedicated to the free economic competition, the protection of which is necessary for implementation of the basic freedoms. In each part, we start with a brief overview of the general rules of European law. Thereafter we have pin-pointed some of the most significant changes of the considerable number of the amended legal regulations being adopted in the Czech and Slovak Republics in connection with the harmonization in the given area. The first chapter, which is dedicated to the free movement of goods, contains a brief description of the customs regime that will be valid in the territory of the Czech and Slovak Republics as of May 1, 2004. We have also addressed the changes in application of VAT brought about by entry of the Czech and Slovak Republics into the EU and a note regarding the amendment to the Act on Safety of Products in the Czech Republic. In the Slovak part, we have presented information on the amendment to the Act on Pharmaceuticals and Medical Products.
In chapter four, the topic of which is the free movement of capital, we have focused on certain changes to the Foreign Exchange Act in both the Czech and Slovak Republics. As to Czech and Slovak laws, we have then detailed the amendment to the Income Tax Act that is being prepared. In the Slovak part, we also draw attention to the amendments to the Stock Exchange Act and the Act on Protection of Bank Deposits. The last part relating to the economic competition, addresses the recently adopted Council Regulation No. 1/2003/EC, which will come into force in both the Czech and Slovak Republics on May 1, 2004. We also briefly mention the Commission Regulation No. 1400/2002/EC and its application in Czech and Slovak law as well as the transition periods that both states negotiated in this area. Úvodem těchto News považujeme za vhodné upozornit na zásadní odlišnost pramenů evropského práva od pramenů jiných právních systémů včetně práva českého a slovenského.

V evropském právu lze rozlišovat tzv. primární právo, které je jakýmsi „ústavním“ právem evropských společenství, a sekundární právo, které slouží k podrobnější úpravě vztahů založených primárním právem.
En droit communautaire, il est nécessaire de distinguer le droit primaire, qui constitue un droit quasi „constitutionnel“ des communautés européennes, et le droit dérivé, qui réglemente plus précisément les relations fondées sur le droit primaire.
Primární právo tvoří smlouvy, kterými byly založeny tři evropská společenství tj. ESUO, EHS a EURATOM, přičemž nejdůležitější z těchto smluv je Smlouva o Evropském hospodářském společenství, později přejmenovaná na Smlouvu o Evropském společenství (SES). Do primárního práva patří i změny těchto zakládacích smluv, tedy např. Amsterdamská smlouva či Nicejská smlouva. Prameny sekundárního práva jsou především nařízení, směrnice a soudcovské právo.
Le droit primaire est constitué par les traités instituant les Communautés européennes, à savoir la CECA, la CEE et l’EURATOM, le plus important étant le Traité instituant la Communauté économique européenne, redéfini postérieurement « Traité instituant la Communauté Européenne (TCE) ». Le droit primaire est également composé des modifications de ces traités, comme par exemple les Traités d’Amsterdam ou de Nice. Les sources du droit dérivé sont principalement les règlements, les directives et la jurisprudence.
Společným rysem zakládacích smluv a všech nařízení je, že jsou bezprostředně závazné ve všech členských státech od okamžiku, kdy vstoupí v platnost, aniž by byly nutné jakékoli kroky ze strany vnitrostátních orgánů.
Le caractère commun des Traités constitutifs et de tous les règlements est leur applicabilité directe dans tous les Etats membres dès leur entrée en vigueur, sans qu’aucune mesure des institutions nationales ne soit nécessaire.
V případě směrnice je však členským státům vždy stanovena určitá lhůta, aby obsah směrnice transponovali do svého vnitrostátního práva. V případě, že členské státy tuto povinnost v dané lhůtě nesplní, mohou se příslušníci členských států za určitých podmínek dovolávat svých práv založených směrnicí samotnou, a to u orgánů členských států popř. i u evropských orgánů.
Les directives fixent toujours un délai afin que les Etats membres transposent le contenu des directives dans leur ordre juridique national. Si les Etats membres ne remplissent pas cette obligation dans le délai prévu, les résidents des Etats membres peuvent, sous certaines conditions, se prévaloir directement des droits issus des directives et ce, devant les institutions compétentes des Etats membres, et éventuellement, devant les institutions communautaires.
Soudcovské právo pak v systému evropského práva zaujímá podstatně významnější úlohu, než je tomu v českém a slovenském právním řádu. Výsledkem činnosti evropských soudních orgánů je značné množství rozhodnutí, kterými tyto soudy významným způsobem dotvářejí systém evropského práva podobně jako soudy v anglosaských zemích.
Dans le système communautaire, le rôle de la jurisprudence est beaucoup plus important que dans l’ordre juridique tchèque et slovaque. L’activité des institutions judiciaires communautaires occasionne un grand nombre de décisions grâce auxquelles l’ordre juridique s’est considérablement développé, à l’image des juridictions des pays anglo-saxons.
V evropském právu platí zásada přednosti, což znamená, že v případě rozporu vnitrostátní normy s normou evropského práva je závazná evropská úprava a vnitrostátní norma se neaplikuje. I z tohoto důvodu je nezbytné věnovat novému právnímu systému náležitou pozornost.
Le droit communautaire est caractérisé par le principe de la primauté qui signifie qu’en cas de divergence entre la norme nationale et la norme communautaire, la norme communautaire prévaut sur la norme nationale. Úvodom týchto News považujeme za vhodné upozorniť na zásadnú odlišnosť prameňov európskeho práva od prameňov iných právnych systémov vrátane práva českého a slovenského.
By way of introduction to this Newsletter, we consider it appropriate to point out the essential difference between the sources of EU law and the sources of other legal systems, including Czech and Slovak laws.
V európskom práve môžeme rozlišovať tzv. primárne právo, ktoré je akýmsi „ústavným“ právom európskych spoločenstiev, a sekundárne právo, ktoré slúži k podrobnejšej úprave vzťahov založených primárnym právom.
In EU law, it is possible to differentiate between the so-called primary legislation that is certain “constitutional“ law of the European Communities, and the secondary legislation that serves the more detailed regulation of relations established by the primary law.

Primárne právo tvoria zmluvy, ktorými boli založené tri európske spoločenstvá tj. ESUO, EHS a EURATOM, pričom najdôležitejšia z týchto zmlúv je Zmluva o Európskom hospodárskom spoločenstve, neskôr premenovaná na Zmluvu o Európskom spoločenstve (SES). Do primárneho práva patria aj zmeny týchto zakladacích zmlúv, teda napr. Amsterdamská zmluva či Zmluva z Nice. Pramene sekundárneho práva sú predovšetkým nariadenia, smernice a sudcovské právo.
The primary legislation comprises the Treaties that established the three European Communities, i.e., ECSC, EEC and EURATOM, of which the most important is the Treaty establishing the European Economic Communities, later renamed the Treaty on European Communities (hereinafter as “EC Treaty”). The primary legislation also comprises amendments to these Treaties, thus, for instance, the Treaty of Amsterdam and the Treaty of Nice. The sources of secondary legislation are, above all, Regulations, Directives and Case Law.
Spoločným rysom zakladacích zmlúv a všetkých nariadení je, že sú bezprostredne záväzné vo všetkých členských štátoch od okamihu, kedy vstúpia v platnosť, bez toho, aby boli nutné akékoľvek kroky zo strany vnútroštátnych orgánov.
A common feature of the Treaties as well as of all Regulations is that they are directly applicable and binding in all Member States commencing at the moment of their effect, without any necessary steps to be taken on the part of the internal bodies.
V prípade smernice je však členským štátom vždy uložená určitá lehota, aby obsah smernice transponovali do svojho vnútroštátneho práva. V prípade, že členské štáty túto povinnosť v danej lehote nesplnia, môžu sa príslušníci členských štátov za určitých podmienok dovolávať svojich práv založených smernicou samotnou, a to u orgánov členských štátov, prípadne aj u európskych orgánov.
As to the Directives, Member States are, nonetheless, always given a certain time period to transpose the contents of the Directive into their national law. Should Member States not fulfill this obligation within the given time period, nationals of Member States can, under certain conditions, invoke their rights established by the very Directive being considered by the bodies of Member States, or even European bodies.
Sudcovské právo potom v systéme európskeho práva zastáva podstatne významnejšiu úlohu, než je tomu v českom a slovenskom právnom poriadku. Výsledkom činnosti európskych súdnych orgánov je značné množstvo rozhodnutí, ktorými tieto súdy významným spôsobom dotvárajú systém európskeho práva podobne ako súdy v anglosaských krajinách.
In the system of EU law, the case law plays a substantially more significant role than it does in Czech and Slovak legal order. The activity of the European judicial bodies results in a considerable number of decisions, whereby these courts significantly develop the system of European law in a similar way as practiced by courts in Anglo-Saxon countries.
V európskom práve platí zásada prednosti, čo znamená, že v prípade rozporu vnútroštátnej normy s normou európskeho práva je záväzná európska úprava a vnútroštátna norma sa neaplikuje. Aj z tohto dôvodu je nevyhnutné venovať novému právnemu systému náležitú pozornosť.

VOLNÝ POHYB ZBOŽÍ Prostředkem k realizaci této svobody je zejména zavedení celní unie. Jedním z hlavních principů celní unie je společná celní politika včetně celního sazebníku, která je uplatňována vůči nečlenským státům.
ČESKÁ REPUBLIKA 1. Celní režim v ČR od 1.5.2004 Od 1.5.2004 budeme v oblasti cel rozlišovat mezi obchodem s členskou zemí EU, tzv. vnitrounijním obchodem, a obchodem s třetími zeměmi. K tomuto datu budou zrušeny veškeré celní kontroly pohybu zboží přes vnitřní hranici, tedy společnou hranici s dalšími členskými státy, a s tím spojená cla a poplatky. Tyto kontroly zůstanou zachovány pouze na mezinárodních letištích při letech mimo území EU.
Režim volného pohybu se vztahuje na veškerý obchod se zbožím, kterým se rozumí výrobky, jenž mohou být předmětem obchodní transakce (tento pojem zahrnuje mj. elektřinu a další druhy energií, odpad, umělecké předměty, léky). Tyto výrobky mohou mít původ v členských státech nebo se může jednat o zboží, které pochází ze třetích zemí, ale bylo propuštěno do volného oběhu v rámci států EU.
Subjektům, jejichž předmětem podnikání je vnitrounijní obchod, bude stanovena povinnost vyplňovat tzv. výkazy INTRASTAT pro potřeby statistiky pohybu zboží v rámci EU. Podle výše vykázaného obratu bude potom výkazová povinnost odstupňována co do detailnosti a periodicity. I když v ČR zatím nebyl přijat právní předpis upravující tuto problematiku, předpokládá se, že tyto výkazy budou podávány celním orgánům, které provedenou prvotní zpracování a získané informace dále předají Českému statistickému úřadu. Průběžně Vás budeme informovat o aktualitách v této oblasti.
V zájmu zajištění této svobody evropské právo definuje nedovolené překážky volného pohybu zboží. Mezi tyto nedovolené překážky se řadí:
(i) cla a jim rovnocenná opatření a vnitřní diskriminační zdanění dovozů, (ii) tzv. kvantitativní omezení, tedy kvóty a rovnocenná opatření, (iii) státní obchodní monopoly, (iv) státní podpory domácímu podnikání včetně diskriminačního zadávání veřejných zakázek.
Zatímco zboží do dalších členských států bude přes hranice volně prováženo, při obchodu s třetími zeměmi bude probíhat celní řízení se všemi celními formalitami. Tyto formality budou ode dne vstupu upraveny předpisy EU, mezi které patří zejména:
Za opatření rovnocenná clům se přitom považují jakékoliv peněžní poplatky bez ohledu na jejich výši a způsob vybírání, kterými je jednostranně zatíženo domácí či zahraniční zboží při přechodu státní hranice, tedy např. poplatky za dovozní licence. Stejně tak jsou zakázány vnitřní diskriminační daně, tj. daně, které v konečném efektu zatěžují více výrobky zahraniční než tuzemské.
– Nařízení Rady č. 2913/92/EHS ze dne 12. října 1992, kterým se vydává celní kodex Společenství ve znění pozdějších předpisů, – Nařízení Komise č. 2454/93/EHS ze dne 2. července 1993, kterým se provádí nařízení Rady č. 2913/92/EHS ze dne 12. října 1992, kterým se vydává celní kodex Společenství ve znění pozdějších předpisů, – Nařízení Rady č. 918/83/EHS ze dne 28. března 1983 o systému Společenství pro osvobození od cla ve znění pozdějších předpisů, – Nařízení Rady č. 2658/87/EHS ze dne 23. července 1987 o celní a statistické nomenklatuře a o Společném celním sazebníku ve znění pozdějších předpisů.
Kvantitativními omezeními se rozumí všechny předpisy a jiná úřední opatření přijatá členskými státy, jež mohou být přímo či nepřímo na překážku obchodu uvnitř EU (za takové jednání se považují např. výzvy k nákupu domácího zboží ze strany úřadů členských států). Všechny výše uvedené kategorie nedovolených překážek jsou vykládány velmi extenzivně s cílem co nejvíce podpořit volný oběh zboží mezi členskými státy. V praxi se ukazuje, že vedle výše uvedených překážek významně brání volnému 3

Výše uvedené předpisy budou ještě před vstupem ČR do EU přeloženy do českého jazyka a zveřejněny. V oblasti cel se v českých právních předpisech neočekává výraznější změna, vzhledem k tomu, že tyto jsou již harmonizovány s evropskou úpravou.
2. při dodání zboží neplátci DPH jiného členského státu se bude jednat o běžné zdanitelné plnění, tzn. že český plátce bude své zboží dodávat za cenu s DPH a tuto operaci zdaní v rámci svého daňového přiznání v ČR,
V této souvislosti upozorňujeme, že v případě přechodu zboží přes hranici území EU (ať už při dovozu nebo vývozu) bude minimálně část celního řízení probíhat u zahraničních celních úřadů.
3. vývoz zboží do nečlenského státu EU bude zdanitelným plněním osvobozeným od DPH s nárokem na odpočet DPH na vstupu, tzn. že český plátce bude své zboží dodávat (plátci či neplátci) za cenu bez DPH a tuto operaci deklarovat ve svém daňovém přiznání jako vývoz zboží. Nárok na osvobození bude nadále prokazován jednotnou celní deklarací potvrzenou celním úřadem. Zboží bude zdaněno v zemi příjemce při přechodu státní hranice, a to podle právní úpravy daného státu,
Např. v případě dovozu zboží ze třetí země, kdy český dovozce dováží zboží ze Senegalu přes přístav v Hamburku, bude mít dovozce na výběr - buď proclí dovezené zboží přímo na celním úřadě v Hamburku nebo mu tento celní úřad propustí zboží do režimu tranzit a do volného oběhu bude zboží propuštěno až českým celním úřadem (clo bude placeno v ČR). Společnosti, které už v současné době dovážejí zboží ze třetích zemí a budou tak činit i po vstupu ČR do EU, mohou porovnat celní sazby uplatňované v EU se současnými sazbami v ČR na internetové stránce http://europa.eu.int/comm/taxation_customs/dds/en/tarhome.htm.
4. za dovoz zboží se bude považovat vstup zboží na území EU z nečlenského státu EU. DPH při dovozu vyměří a vybere celní úřad, dovozce, pokud je plátcem, bude mít nárok na odpočet DPH, který uplatní v daňovém přiznání,
V oblasti cel byla stanovena některá přechodná období, z nichž nejvýznamnější je patrně odklad liberalizace trhu s plynem až k 1.1.2005.
5. při dodání zboží v tuzemsku se bude DPH uplatňovat podobně jako doposud,
2. Uplatňování DPH 6. při pořízení zboží od plátce DPH z jiného členského státu EU bude toto zdanitelné plnění podléhat zdanění u dovozce (českého plátce DPH). Zároveň bude mít český plátce nárok na odpočet DPH na vstupu.
I když pohyb zboží uvnitř EU nepodléhá clu a ostatním poplatkům, neznamená to, že by byl osvobozen od daně z přidané hodnoty. Daň z přidané hodnoty je upravena právními předpisy jednotlivých členských zemí v souladu se směrnicí ES a je příjmem státního rozpočtu těchto zemí. Přestože v ČR zatím nebyla schválena definitivní podoba zákona o DPH účinného po vstupu ČR do EU, budou při uplatňování DPH platit následující zásady:
Sazby DPH by měly zůstat nezměněny, tj. základní sazba 22 %, snížená sazba 5 %. Plátcem daně by se po vstupu do EU měla stát osoba (právnická nebo fyzická), jejíž obrat za předchozích dvanáct po sobě jdoucích kalendářních měsíců překročí částku 1.000.000 Kč.
1. dodání zboží českým plátcem DPH plátci DPH jiného členského státu bude považováno u českého plátce za zdanitelné plnění osvobozené od DPH s nárokem na odpočet DPH na vstupu, tzn. že český plátce bude své zboží dodávat za cenu bez DPH jako vnitrounijní plnění a tuto skutečnost bude uvádět v souhrnném hlášení – daňovém přiznání o uskutečněných vnitrounijních plněních. Aby bylo možné prokázat nárok na osvobození DPH při dodání zboží do jiného členského státu EU, bude okamžikem vstupu do EU Česká Republika zapojena do elektronického systému VIES (VAT Information Exchange System). Prostřednictvím tohoto systému, který bude sloužit k ověření platnosti daňového identifikačního čísla (DIČ) vydaného v jiném členském státě EU, probíhá v rámci EU výměna informací v oblasti DPH. Pro ověření DIČ se čeští plátci DPH budou moci osobně, dopisem, telefonicky, faxem nebo e-mailem 4
– sledovat průběžně vlastnosti výrobků uvedených na trh a provádět testování jejich bezpečnosti, – uchovávat a poskytovat dokumentaci pro zjištění původu výrobku, – informovat příslušné orgány dozoru, že výrobek, který uvedly na trh nebo do oběhu, je nebezpečný.
obrátit na příslušný útvar Ministerstva financí ČR, k dispozici by měla být i internetová aplikace „Registr plátců DPH“. V současné době je možné takové ověření DIČ provést pomocí serveru Komise. Rovněž byla Českou republikou dojednána následující přechodná období:
Orgány dozoru budou nově oprávněny nařídit výrobci nebo distributorovi zpětné převzetí nebezpečného výrobku od spotřebitele. Pokud orgány dozoru získají důkaz, že výrobek je nebezpečný i přesto že splňuje požadavky stanovené právními předpisy, budou oprávněny omezit jeho uvedení na trh popř. nařídit stažení výrobku či jeho zpětné převzetí.
– pro zachování snížené sazby DPH u dodávek tepelné energie do 31.12.2007, – na zdanění dodávek stavebních prací pro účely bydlení do 31.12.2007, – zachování nižších sazeb spotřební daně u cigaret a tabákových výrobků do 31.12.2006, kdy musí být dosaženo hranice zdanění 57%. Dále je v návrhu zákona stanovena výjimka osvobozující osoby registrované k DPH v jiném členském státě od registrace jakožto plátce DPH v ČR, pokud uskutečňují zásilkový obchod do tuzemska osobě, která není plátcem DPH v ČR, a pokud hodnota dodaného zboží nepřesáhne 35.000 EUR.
SLOVENSKÁ REPUBLIKA 1. Colný režim v SR od 1.5.2004 Rovnako ako v Českej republike, obchod s členskou krajinou Európskej únie, tzv. vnútroúnijný obchod, nebude podliehať colnej kontrole, ani clu a poplatkom vyberaným v súvislosti s dovozom a vývozom tovaru. Vykonávanie colných kontrol bude zachované len na hraniciach so štátmi, ktoré nebudú členmi EÚ a na medzinárodných letiskách (rovnako ako je uvedené zhora pre ČR).
3. Zákon č. 102/2001 Sb. o bezpečnosti výrobků Novela uvedeného zákona, která nabývá účinnosti 1.5.2004, má zejména za cíl sjednotit podmínky ochrany spotřebitele z hlediska bezpečnosti výrobků na našem vnitřním trhu s podmínkami platnými ve státech EU.
Dňom vstupu Slovenskej republiky do Európskej únie sa začne uplatňovať aj v Slovenskej republike Spoločná colná tarifa (t.j. Nariadenie Rady č. 2658/87/EHS z 23.7.1987, ktorým sa vydáva colný sadzobník Európskeho spoločenstva).
Dle nové úpravy bude rozšířen okruh výrobků, na které se působnost zákona vztahuje a které tedy musí vyhovovat požadavkům bezpečnosti. Nově se bude jednat také o výrobky, které sice nejsou primárně určeny k nabídce spotřebiteli, ale lze za rozumně předvídatelných podmínek očekávat, že budou spotřebiteli užívány (např. výrobky konstruované pro profesionální užití, které se za určitých okolností mohou dostat na spotřebitelský trh). Zákon se nevztahuje na služby, ale vztahuje se nově též na výrobky, které jsou spotřebitelům dodávány pro použití v souvislosti s poskytováním služby.
V Slovenskej republike bude podobne ako v Českej republike zavedený systém štatistického sledovania INTRASTAT pre potreby štatistiky pohybu tovaru v rámci EÚ. Z pohľadu podnikateľov bude zavedenie systému INTRASTAT znamenať povinnosť nahlasovať údaje o obchodných operáciách realizovaných medzi SR a ostatnými členskými štátmi EÚ na predpísaných formulároch alebo v elektronickej forme. Subjekty budú mať v závislosti od výšky vykázaného obratu odstupňovanú povinnosť nahlasovania štatistických údajov, ktorá bude spočívať v rozdielnej detailnosti štatistických výkazov a v periodicite ich vyplňovania.
Jsou zpřesněny a rozšířeny povinnosti týkající se označování výrobků. Výrobek musí být opatřen údaji potřebnými k identifikaci výrobce a výrobku, popř. série výrobku. V případě, že určitý způsob užívání výrobku může ohrozit spotřebitele a toto nebezpečí není zřejmé, je výrobce nebo distributor povinen na toto nebezpečí upozornit v průvodní dokumentaci.
V prípade dovozu a vývozu tovaru na územie Slovenskej republiky z/do krajín, ktoré nie sú členskými štátmi Európskej únie, sa budú vedľa slovenských noriem uplatňovať aj právne predpisy platné

– návrh súhrnu charakteristických vlastností lieku v kodifikovanej podobe štátneho jazyka určený pre odbornú verejnosť a súhrny charakteristických vlastností lieku schválené v štátoch Európskej únie, v ktorých bol liek už registrovaný, – návrh písomnej informácie pre používateľa v kodifikovanej podobe štátneho jazyka, písomné informácie pre používateľa schválené v štátoch Európskej únie, v ktorých bol liek už registrovaný.
Uplatňovanie týchto predpisov odo dňa vstupu Slovenskej republiky do Európskej únie by nemalo priniesť výraznejšie zmeny vo vykonávaní colných formalít vo vzťahu k tretím štátom, nakoľko súčasná úprava Slovenskej republiky v colnej oblasti je v zásade kompatibilná s uvedenou právnou úpravou Európskej únie. Colná správa je v súčasnom období správcom spotrebnej dane z minerálnych olejov. Vstupom Slovenskej republiky do EÚ prejde na colnú správu aj správa ostatných spotrebných daní z piva, vína, liehu, tabaku a tabakových výrobkov.
Štátny ústav môže pri posudzovaní kvality, bezpečnosti a účinnosti lieku akceptovať posúdenie a závery hodnotiacej správy členského štátu Európskej únie alebo Európskej agentúry na hodnotenie liekov.
2. Uplatňovanie DPH Pri dovoze a vývoze tovaru na území SR budú ohľadne DPH platiť rovnaké princípy ako sú uvedené zhora pre Českú republiku, a to aj vo vzťahu ke štátom EU aj vo vzťahu k tzv. tretím štátom. Zatiaľ čo v Českej republike budú povinnými platiteľmi dane osoby, ktorých obrat za najvyššie dvanásť po sebe idúcich mesiacov presiahne 1.000.000 Kč, podľa slovenského návrhu nového zákona o DPH budú za platiteľov považované ty osoby, ktorých obrat presiahne 1.500.000 Sk za takéto obdobie. S ohľadom na to, že Slovenská republika by podľa návrhu zákona o DPH mala mať zavedenú jednotnú sadzbu DPH vo výške 19%, všetky prechodné obdobia vyjednaná pre zachovanie zníženej sadzby DPH pre niektorý tovar a služby sú bezpredmetná. Rovnako ako v Českej republike, aj na Slovensku bude platiť, že dodávky realizované platiteľmi DPH z iných členských štátov EU neplatiteľom DPH v SR formou zásielkového obchodu nebudú mať povinnosť sa zaregistrovať k DPH v SR, pokiaľ ich ročný obrat z titulu týchto dodávok nepresiahne 1.500.000 Sk (ekvivalent 35.000 EUR.) 3. Zákon o liekoch a zdravotníckych pomôckach Novela tohto zákona č. 256/2003 Z. nadobudla účinnosť 1.8.2003 a implementuje smernice Európske únie týkajúce sa liekov.

Pracovník z členského státu má podle evropského práva nárok na nediskriminační zacházení v jiném členském státě EU, a to v celém průběhu pracovního poměru včetně stejných sociálních a daňových podmínek. Může vstoupit na území kteréhokoli členského státu a na tomto území se volně pohybovat a na něm setrvat, a to nejen za účelem výkonu práce, ale i aktivního ucházení se o práci. Pracovník z jiného členského státu je rovněž oprávněn v členském státě setrvat i po ukončení zaměstnání (např. jako důchodce). Členské státy jsou povinny pracovníkům, kteří předloží potvrzení o zaměstnání, vydat povolení k pobytu na dobu nejméně pěti let. Toto povolení je při splnění příslušných podmínek automaticky obnovitelné.

VOLNÝ POHYB OSOB Úvodem stručně popisujeme, jak je tato základní svoboda upravena v Evropské Unii. Svoboda pohybu osob je v evropském právu chápána především v ekonomickém smyslu, a to jako svoboda pohybu pracovníka a svoboda podnikání. Cílem je umožnit pracovníkům a osobám samostatně výdělečně činným (podnikatelům) výkon hospodářské činnosti na celém území společného trhu.
Obdobná práva pak mají i rodinní příslušníci pracovníků a podnikatelů, a to bez ohledu na to, zda jsou státními příslušníky některého z členských států či nikoliv. Členové rodiny jsou tak oprávněni v členském státě pracovat, studovat a za určitých podmínek též v tomto státě setrvat po ukončení činnosti pracovníka popř. i po jeho smrti.
Práv plynoucích ze zásady volného pohybu osob se může dovolávat především pracovník, tj. státní příslušník členského státu, který po určité časové období vykonává skutečnou ekonomickou činnost pro jinou osobu, a to podle jejích pokynů a za úplatu. Dále se tato svoboda vztahuje i na podnikatele, tedy (i) fyzické osoby, které jsou státními příslušníky některého z členských států a (ii) právnické osoby, pokud jsou zřízeny podle práva některého státu EU a v některém z těchto států mají úředně zaregistrované sídlo.
Výjimky ze svobody volného pohybu pracovníků a podnikatelů jsou povoleny, pokud se jedná o činnost související s výkonem veřejné moci a dále z důvodů veřejného pořádku, veřejné bezpečnosti a ochrany zdraví.
Podnikáním se v této souvislosti rozumí zahájení existence určitého podniku osoby z členského státu EU v jiném členském státě (tj. založením pobočky, zastoupení, dceřinné společnosti atd.) a výkon podnikatelské činnosti. Podnikání resp. podnikatelská činnost je přitom definována jako samostatná výdělečná činnost vykonávaná na vlastní účet a na vlastní odpovědnost podnikatele.
V současné době prochází schvalovacím procesem návrh směrnice, která by v případě přijetí zásadním způsobem zasáhla do výše popsané úpravy volného pohybu osob a která, pokud by byla přijata, by měla být členskými státy transponována do 1.7.2005. Podle návrhu této směrnice se pro příslušníky členských států ruší povinnost žádat o povolení k pobytu a místo toho se zavádí pouhá registrace. Hranicí pro nutnost registrace je pobyt delší než šest měsíců, nikoli tedy tři měsíce, jak stanoví současná úprava. Po čtyřech letech pobytu na území členského státu by registrované osobě automaticky vznikl nárok na trvalý pobyt.
I když jsou oblasti volného pohybu pracovníků a volného pohybu podnikatelů upraveny v evropském právu relativně samostatně, vykazují jejich právní úpravy řadu paralel. Základním principem obou těchto svobod je zákaz diskriminace, což znamená, že pracovníci popř. podnikatelé z jiných členských států jsou postaveni na úroveň tuzemských subjektů (např. znalost jazyka lze vyžadovat, jen pokud příslušné zaměstnání takové požadavky bezpodmínečně předpokládá). Zatímco u pracovníků se tento zákaz vztahuje i na tzv. „pozitivní diskriminaci“ cizinců, u svobody podnikání členské státy za určitých podmínek mohou zvýhodňovat zahraniční podnikatelské subjekty, např. daňově.
Návrh nové směrnice rozšiřuje pojem rodinného příslušníka i na nesezdaného partnera oprávněného a na jeho potomky a předky bez ohledu na věk (dosud se vztahuje pouze na potomky mladší 21 let) a na to, zda jsou na něj odkázáni výživou. Nesezdaný partner i manžel by měli požívat ochrany komunitárního práva i v případě úmrtí oprávněného, rozvodu manželství nebo ukončení partnerského vztahu. 7
ČESKÁ REPUBLIKA Povolení k trvalému pobytu, které se bude vydávat na dobu 10 let, bude možné udělit jen z taxativně stanovených důvodů, které však jsou oproti původní zákonné úpravě ve prospěch občanů EU významně rozšířeny. Občané EU tak navíc budou moci získat trvalý pobyt z titulu zaměstnání (pokud nepřetržitě pobývají v ČR po dobu 3 let), výkonu funkce člena statutárního orgánu (i bez předchozího pobytu v ČR) nebo z titulu podnikání na našem území (i bez předchozího pobytu v ČR) a nebo pokud pobývají na našem území nepřetržitě po dobu minimálně 5 let z jiných než výše uvedených důvodů.
V oblasti volného pohybu pracovníků bylo dojednáno přechodné období na práci českých občanů ve státech EU, které podle uvážení jednotlivých států může trvat maximálně sedm let. Předpokládá se však, že členské státy využijí práva stanovit přechodné období na nejvýše dva roky. Již nyní některé státy (Velká Británie, Irsko, Nizozemsko, Švédsko, Dánsko a patrně i Řecko) deklarovaly, že plně uvolní svůj pracovní trh ke dni vstupu. Na práci občanů členských států EU v České republice se žádné přechodné období nevztahuje. 1. Zákon o pobytu cizinců
Podle nové úpravy zákona o pobytu cizinců mají právo získat zvláštní povolení k pobytu i rodinní příslušníci občanů EU, a to i v případě, že tyto osoby samy nejsou příslušníky některého z členských států.
V České republice reflektuje změny, ke kterým dojde ke dni vstupu do Evropské Unie v souvislosti s komunitární úpravou volného pohybu osob, mj. zákon č. 326/1999 Sb., o pobytu cizinců, který byl v poslední době několikrát novelizován. Tento zákon upravuje problematiku pobytu cizinců na území ČR obecně, a nevztahuje se tedy pouze na volný pohyb pracovníků a podnikatelů.
Pro státní příslušníky třetích zemí zůstane nadále zachován původní režim udělování víz s nepatrnými odchylkami. Vzhledem ke skutečnosti, že novela zákona o pobytu cizinců obsahuje určité nepřesnosti, v jejichž důsledku ze zákona jasně nevyplývá, zda je občan EU v případě pobytu na území ČR delším než tři měsíce oprávněn či povinen získat povolení k pobytu, dá se očekávat, že bude v blízké době schválena další novela daného zákona, která tyto zásadní nejasnosti odstraní.
S účinností ke dni vstupu do EU dojde k rozdělení cizinců vstupujících na území ČR do dvou kategorií – na státní příslušníky některého z členských států EU, kteří budou držiteli zvláštního povolení k pobytu a budou obecně zvýhodněni, a občany z třetích zemí, pro které bude zachován stávající režim udělování víz.
K dalším změnám dojde v budoucnu po přistoupení ČR k tzv. Schengenským dohodám, kdy se nadále bude vydávat tzv. jednotné schengenské vízum pro celé území EU.
Občané EU budou oprávněni vstoupit do ČR na základě pouhého předložení průkazu totožnosti (nebo cestovního pasu) a v zemi setrvat po dobu tří měsíců bez nutnosti jakéhokoliv povolení. Odepření vstupu do ČR takové osobě bude možné pouze z důvodu ohrožení veřejného pořádku nebo zdraví, a to na základě správního rozhodnutí (s možností opravného prostředku a soudního přezkoumání).
2. Živnostenský zákon V současné době se očekává přijetí harmonizační novely živnostenského zákona, který je v českém právu jedním z hlavních veřejnoprávních předpisů upravujících oblast podnikání. Po jeho přijetí Vás o praktických důsledcích této novely budeme informovat podrobněji.
Pobyt občanů EU delší než tři měsíce bude rozlišován na přechodný a trvalý. Žadatelé o udělení přechodného pobytu, kteří na území ČR nebudou pobývat za účelem výkonu funkce statutárního orgánu, podnikání nebo zaměstnání, budou povinni předložit čestné prohlášení o tom, že nebudou v ČR žádat o přiznání dávek sociální péče a tuto podmínku dodržet. Porušení této podmínky by mělo za následek odejmutí povolení k pobytu. Povolení k přechodnému pobytu se bude v zásadě vydávat na dobu 5 let (v případě studia na dobu jednoho roku).
Účelem novely je: – zjednodušení procedury získání oprávnění k podnikání, – zajištění rovného postavení osobám z členských zemí EU tak, aby tyto subjekty mohly získávat živnostenská oprávnění za stejných podmínek jako české osoby.

existence pracovněprávního vztahu odpovědného zástupce s podnikatelem a (iii) prokázání znalosti českého jazyka.
V případech, kdy novela upravuje postavení subjektů EU, aplikují se tato ustanovení i na subjekty s původem ze Švýcarska a států Evropského hospodářského prostoru (EHP), tedy Norska, Lichtenštejnska a Islandu.
V případě, že podnikatel-fyzická osoba z členského státu EU nemá trvalý pobyt na území ČR, nebude již nadále povinen ustavovat odpovědného zástupce v ČR (tato povinnost tedy nadále zůstane jen právnickým osobám pocházejícím z EU).
Především je stanovena svoboda usazování osob z členských států EU. Rovného zacházení ve vztahu k osobám z EU má být dosaženo níže popsanými změnami zákona.
Dále budou všem podnikatelům stanoveny některé nové povinnosti např. podnikatelé-fyzické osoby budou při ohlašování živnosti či při podání žádosti o koncesi muset nově prokazovat, že nemají nedoplatek pojištění na sociální zabezpečení a příspěvek na státní politiku zaměstnanosti (dosud bylo nutné pouze prokazovat, že nemají daňový nedoplatek).
Procedura dokládání odborné způsobilosti u živností, pro které to zákon stanoví, bude zjednodušena (i v návaznosti na připravovaný zákon o uznávání odborné kvalifikace), neboť nadále postačí pouze doklad o uznání odborné kvalifikace, přičemž je možné za určitých podmínek snížit požadovanou délku praxe. Obecně bude dokladům vydaným v členských státech EU nadále přiznána stejná důkazní hodnota jako dokladům vydaným v ČR.
Pro podnikatele z třetích zemí bude stávající právní úprava v živnostenském zákoně změněna pouze minimálně, tedy tyto osoby budou muset nadále prokazovat trvalý pobyt a případné povolení k podnikání obdrží jen na délku tohoto pobytu, atd.
Pro příslušníky členských států EU dojde ke zjednodušení prokazování plnění všeobecných podmínek pro provozování živností a k vytvoření stejných podmínek pro usazování a poskytování služeb. Fyzické a právnické osoby ze států EU tak od vstupu do EU budou moci živnostenskému úřadu předkládat požadované dokumenty pouze s jejich neformálním překladem do českého jazyka (pro ostatní cizince však nadále platí povinnost předložit překlad provedený znalcem nebo tlumočníkem).
Na rozdíl od Slovenské republiky je v ČR zákon o uznávání odborných kvalifikací teprve ve stádiu projednávání v parlamentu, nicméně se jeho přijetí očekává v nejbližší době.
SLOVENSKÁ REPUBLIKA Občania členských štátov budú môcť pracovať po vstupe SR do EÚ na území SR bez akýchkoľvek obmedzení, avšak pre občanov SR bolo dojednané prechodné obdobie, počas ktorého nebude pre občanov SR možné voľne pracovať v EÚ. Toto prechodné obdobie môže byť rovnako ako pre ČR 7-ročné a vzťahuje sa na prácu vo všetkých členských krajinách okrem Švédska, Holandska, Dánska, Írska a Veľkej Británie.
Do budoucna se u osob pocházejících z EU upouští od povinného ověřování pravosti podpisu a otisku razítka, nostrifikace dokladů o vzdělání k ohlášení živnosti či žádosti o koncesi. Rovněž nebude nutné, aby osoby pocházející z EU překládaly doklad o povolení k pobytu, bude stačit pouze předložení dokladu o neexistenci daňových nedoplatků. Dalšími změnami, které by měly zjednodušit zahájení podnikání, bude přeřazení některých živností koncesovaných do živností ohlašovacích, vyloučení některých živností z režimu živností (výroba a rozvod v energetických odvětvích, určité živnosti v oblasti zemědělství, činnost spojená s jadernými zařízeními) a zánik stávajícího členění na živnosti poskytující služby, živnosti výrobní a obchodní.
1. Zákon o pobyte cudzincov Slovenská republika implementovala niektoré princípy komunitárnej úpravy do nového zákona o pobyte cudzincov č. 48/2002 Z. z., ktorý nadobudol účinnosť 1.4.2002. Tento zákon však bude potrebné do vstupu SR do EÚ ešte novelizovať, aby plne rešpektoval európske právo. Tento zákon sa vzťahuje na postavenie všetkých cudzincov v Slovenskej republike, nielen na občanov členských štátov EÚ.
Zjednoduší se postavení odpovědných zástupců subjektů z členských států EU, neboť pro tyto zástupce budou zrušeny podmínky: (i) trvalého pobytu v ČR (ii)
Občania EÚ majú podľa stávajúcej úpravy pri vstupe do SR obdobné postave9
– dokladom o vykonávaní odbornej činnosti vo vedúcom postavení a čase jej vykonávania v členskom štáte, alebo – dokladom o predmete a čase vykonávania nesamostatnej (zamestnaneckej) odbornej činnosti v členskom štáte.
nie ako cudzinci z nečlenských krajín. Na rozdiel od občanov nečlenských štátov EÚ však občania EÚ nepotrebujú povolenie k prechodnému pobytu, stačí im len registrácia (žiadosť o registráciu je možné zamietnuť iba z taxatívne stanovených dôvodov – napr. ochrana verejného poriadku).
Všetky dokumenty sa však budú musieť predložiť spolu s úradne overeným prekladom do slovenského jazyka.
Cudzinec, ktorý je štátnym príslušníkom členského štátu Európskej únie, má podľa tohoto zákona na základe registrácie právo na prechodný pobyt najviac na jeden rok za účelom vykonávania najmä hospodárskej činnosti, zamestnania, štúdia, pedagogickej, vedeckej a umeleckej činnosti atď.
Predchádzajúce vzdelávanie na príslušnú činnosť týkajúce sa jednotlivých živností sa bude preukazovať vysvedčením uznaným členským štátom alebo iným dokladom spolu s potvrdením príslušnej profesijnej alebo obchodnej inštitúcie členského štátu o rovnocennosti tohto vzdelávania.
V prípadoch žiadosti o trvalý pobyt sú podmienky pre cudzincov rovnaké, to znamená, že zákon o pobyte cudzincov v takomto prípade doposiaľ odlišne od Českej republiky nerozlišuje cudzincov na občanov EÚ a občanov iných štátov.
Prevádzkovanie živnosti cudzincom z členského štátu Európskej únie na území SR bude však stále podmienené vydaním živnostenského oprávnenia príslušným živnostenským úradom v Slovenskej republike.
2. Živnostenský zákon Vstupom SR do EÚ bude účinná novela živnostenského zákona, ktorá uľahčí podnikanie cudzincom z členských štátov EÚ. Osobitné ustanovenia tohto zákona sa budú vzťahovať na fyzické osoby, ktoré sú štátnymi príslušníkmi členského štátu s bydliskom v členskom štáte EÚ, a na právnické osoby, ktoré majú sídlo, miesto výkonu alebo hlavnú správu na území členského štátu EÚ.
3. Zákon o ochrane osobných údajov Dňom vstupu SR do EÚ prestanú platiť ustanovenia týkajúce sa cezhraničného toku údajov. Bude platiť prezumpcia, že členské štáty EÚ ako cieľové krajiny zaručujú primeranú úroveň ochrany pre prenos osobných údajov. Prenos osobných údajov sa teda zjednoduší z dôvodu, že už nebude podmienený písomným súhlasom dotknutej osoby s prenosom svojich osobných údajov medzi SR a členskými štátmi EÚ tak, ako tomu bolo doteraz.
Cudzinec z členského štátu EÚ bude môcť splnenie podmienky bezúhonnosti (jedna z podmienok prevádzkovania živnosti) preukázať iba predložením výpisu z registra trestov z domovského členského štátu lebo rovnocennej listiny vydanej príslušným súdnym alebo administratívnym orgánom, ak sa taký výpis v domovskom členskom štáte fyzickej osoby nevydáva (doteraz museli cudzinci tuto podmienku preukazovať aj výpisom z registra trestov SR.) Ak sa takéto doklady nevydávajú, bezúhonnosť bude môct byť preukázaná čestným vyhlásením pred orgánom kompetentným overiť jeho obsah a pravosť podpisu.
Písomný súhlas dotknutej osoby s prenosom osobných údajov sa však bude vyžadovať pre prenos medzi SR a nečlenskými štátmi. Stále je taktiež potrebný súhlas dotknutej osoby so spracovaním osobných údajov.
Odborná spôsobilosť sa v prípade cudzinca z členského štátu EÚ bude preukazovať dokladom o príslušnom vzdelaní a ďalej v závislosti na povahe živnosti najmä niektorým z nasledujúcich dokumentov: – dokladom o predmete a čase vykonávania samostatnej podnikateľskej činnosti v členskom štáte, alebo 10

VOLNÝ POHYB SLUŽEB Přestože právní úprava této svobody je často paralelní s úpravou svobody podnikání, představuje relativně samostatnou oblast společného trhu, a to z následujících důvodů. Podstatou služby je její produkt, tedy výkon, který je poskytován přes hranice členských států. Na rozdíl od svobody podnikání zde není nutné např. přenesení sídla, obecně se jedná o aktivitu přechodnějšího rázu než podnikání.
1. Zákon o výkonu povolání autorizovaných architektů a inženýrů a techniků činných ve výstavbě Aktuální novelou, jejíž většina ustanovení nabude účinnosti ke dni vstupu ČR do Evropské Unie, bude umožněno, aby státní příslušníci jiných států EU mohli v ČR získávat autorizaci k výkonu určitých činností ve výstavbě nebo aby takové činnosti mohli v ČR provádět na základě kvalifikace získané v jiných členských státech.
Svoboda volného pohybu služeb se vztahuje na výkony; tj. nehmotná plnění, která jsou realizována samostatně (na rozdíl od pracovníků) a zpravidla za úplatu. Jedná se např. o služby ve stavebnictví, činnost realitních kanceláří, pojišťoven, činnost lékařů, právníků a architektů poradenské služby, dopravu apod.
Zákonem stanovené orgány, tj. Česká komora architektů a Česká komora autorizovaných inženýrů a techniků ve výstavbě, budou kompetentní posuzovat, jsou-li v konkrétním případě naplněny podmínky uznání kvalifikace a budou mít i určité disciplinární pravomoci.
Opět se však musí jednat o činnost s „evropským prvkem“, tedy o případy, kdy se poskytovatel služby zdržuje na území státu příjemce této služby za účelem jejího poskytnutí nebo naopak. Dále se jedná i o případy, kdy podstata služby samotné má původ v jiném členském státě.
V současné době jsou v Parlamentu projednávány další návrhy zákonů, které se týkají uznávání dosažené kvalifikace, a to jak obecně, tak i konkrétních podmínek pro jednotlivé obory. O dalším vývoji v této oblasti Vás budeme průběžně informovat.
V této oblasti, stejně tak jako v případě volného pohybu osob, má velký význam úprava vzájemného uznávání odborné kvalifikace. Byla přijata řada směrnic, které stanoví podmínky uznávání dosaženého vzdělání a dalších předpokladů pro výkon povolání lékařů, zdravotních sester, farmaceutů, architektů, právnických profesí atd.
2. Zákon o bankách Již dříve přijatá novela č. 126/2002 Sb. zákona o bankách, která však plně nabývá účinnosti až ke dni vstupu ČR do EU, je další z řady harmonizačních novel a měla by přispět k další stabilizaci bankovního sektoru v České republice. Tato novela upravuje především rozšíření bankovního dohledu na základě spolupráce s příslušnými orgány jiných členských států a zavedení konsolidovaného dohledu v přeshraničních vztazích. Zavádí se tzv. jednotná bankovní licence, na jejímž základě banka, která získala licenci v jednom členském státě, bude oprávněna poskytovat bankovní služby po celém území EU, a to prostřednictvím svých poboček, nebo tyto služby poskytovat přes hranice bez vytvoření pobočky ve státě poskytování služby.
Nedovolenými překážkami volného pohybu služeb jsou všechna diskriminační omezení; např. požadavek na sídlo ve státě poskytování služby, vyžadování nepřiměřených nebo duplicitních garancí od poskytovatelů služeb (tj. kaucí, pojistek). Pouze určitá omezení volného pohybu služeb jsou akceptovatelná za předpokladu, že nejsou diskriminační a slouží veřejnému zájmu.
ČESKÁ REPUBLIKA Stanovená přechodná omezení volného pohybu osob (popsaná výše v kapitole 2) se nevztahují na volný pohyb služeb, který v zásadě nijak omezen nebude, s výjimkou některých vyjmenovaných

ČR do EU bude docházet k situacím, kdy plátce DPH v ČR poskytne službu plátci DPH z jiného členského státu EU a naopak. Nově budou tyto služby podléhat zdanění, a to příslušnou sazbou DPH platnou v tuzemsku či v jiném členském státě EU podle toho, komu budou dodávány.
va nebude zdaněna v ČR. Rakouský plátce bude v takovémto případě povinen odvést finančnímu úřadu v Rakousku DPH podle tamních předpisů. Na daňovém dokladu bude muset být uvedeno jeho DIČ.
S účinností od 1.1. 2004 dochází v rámci harmonizace s právem EU a na základě novely zákona o DPH (zákon č. 322/2003 Sb.) k přesunu některých služeb zdaňovaných sazbou DPH 5% do sazby 22%. Jedná se zejména o:
1. Zákon o dohľade nad finančným trhom
SLOVENSKÁ REPUBLIKA
Podľa tohto zákona účinného už od apríla 2002 je zriadený Úrad pre finančný trh (ďalej ako „Úrad“), ktorý vykonáva dohľad nad činnosťou obchodníka s cennými papiermi, pobočky zahraničného obchodníka s cennými papiermi, sprostredkovateľa investičných služieb, burzy cenných papierov, centrálneho depozitára cenných papierov, správcovskej spoločnosti, podielového fondu, poisťovne, pobočky zahraničnej poisťovne, poisťovacieho makléra, ako aj inými dohliadanými subjektami vymenovanými v zákone.
– služby v oblasti nemovitostí, – nájem nemovitostí (není-li osvobozen od DPH), – zpracování dat a související služby, – služby právní, účetnické, vedení účtů, kontroly účtů, daňové poradenství, – služby telekomunikací a služby v oblasti telekomunikací, – průzkum trhu a veřejné mínění, – pátrací a bezpečnostní služby. V této souvislosti si ČR ve Smlouvě o přistoupení k EU vyjednala přechodné období na dodávky stavebních prací týkající se staveb určených pro bydlení, které do 31.12.2007 mohou být zdaňovány 5% sazbou DPH.
Po vstupe SR do EÚ bude Úrad vykonávať dohľad tiež nad horeuvedenými subjektami so sídlom na území členského štátu Európskej únie vykonávajúcich svoju činnosť v Slovenskej republike. 2. Zákon o poisťovníctve
Kromě výše uvedené novely zákona o DPH by měl být přijat nový zákon o DPH platný po vstupu ČR do EU, kterým v ČR budou zavedena pravidla zdanění DPH v EU, mezi něž patří:
Tento nový zákon, ktorého niektoré ustanovenia nadobudnú účinnosť pristúpením SR k EÚ, upravuje vznik pobočiek poisťovní, ktorých sídlo je v niektorom z členských štátov Európskej únie, ako aj dohľad vykonávaný nad týmito pobočkami a ďalšie povinnosti poisťovní po vstupe SR do Európskej únie.
– při poskytování služeb v rámci EU neexistuje osvobození od DPH, ke zdanění dochází buď u dodavatele služby nebo u odběratele, – místo zdanitelného plnění u služeb je obvykle tam, kde se nachází aktivní poskytovatel služby, – toto místo zdanitelného plnění je možné v některých případech přemístit do jiného členského státu EU, pokud je odběratel plátce DPH a sdělí své DIČ poskytovateli služby.
Poisťovňa so sídlom na území SR, ktorá sa rozhodla vykonávať poisťovaciu činnosť v inom členskom štáte EÚ bez zriadenia pobočky, je povinná túto skutočnosť oznámiť písomne Úradu, a to pred vykonaním poisťovacej činnosti. Taktiež zahraničná poisťovňa so sídlom na území členského štátu EÚ môže na území Slovenskej republiky vykonávať poisťovaciu činnosť (prostredníctvom svojej pobočky alebo aj bez jej zriadenia) bez povolenia v prípade, ak má oprávnenie k výkonu poisťovacej činnosti udelené v členskom štáte. Túto činnosť v Slovenskej republike môže vykonávať na základe súhlasného písomného vyjadrenia popr. oznámenia príslušného orgánu dohľadu členského štátu, ktoré je potrebné doručiť Úradu.
Příklad Společnost A s.r.o. - český plátce DPH opraví v Praze počítač rakouského podnikatele – plátce DPH. Rakouský plátce DPH oznámí společnosti A s.r.o. své rakouské DIČ. Služba byla poskytnuta na území ČR a místem zdanitelného plnění je ČR. Vzhledem k tomu, že rakouský plátce sdělil (např. na objednávce) své DIČ, přesouvá se místo uskutečnění zdanitelného plnění do Rakouska a tato opra-

vykonávajú príslušné orgány dohľadu členských štátov v spolupráci s Úradom. Pobočky týchto poisťovní podliehajú tiež opatreniam prijatým príslušným členským štátom v rámci jeho menovej politiky, v prípade štátov, ktoré zaviedli Euro ako svoju menu, takéto pobočky podliehajú opatreniam prijatým Európskou centrálnou bankou.
Dohľad nad pobočkou zahraničnej banky na území SR vykonáva orgán bankového dohľadu príslušného členského štátu (ohľadne likvidity tejto pobočky v spolupráci s Národnou bankou Slovenska (NBS)). Pobočka podlieha opatreniam NBS prijatým v rámci jej menovej politiky. V prípade, ak slovenská banka chce založiť svoju pobočku na území členského štátu, podlieha oznamovacej povinnosti voči NBS. Pokiaľ slovenská banka zamýšľa na území členského štátu vykonávať bankové činnosti bez založenia pobočky, písomne oznámi predpokladané bankové činnosti pred prvým uskutočnením bankového obchodu NBS, ktorá oznámenie zašle orgánu bankového dohľadu príslušného členského štátu.
V prípade, ak príslušný orgán dohľadu členského štátu odoberie zahraničnej poisťovni vykonávajúcej poisťovaciu činnosť na území SR povolenie na výkon tejto činnosti, Úrad, po tom, ako sa dozvie o tejto skutočnosti, vykoná opatrenia na zamedzenie vykonávania poisťovacej činnosti tejto zahraničnej poisťovni. 3. Zákon o cenných papieroch a investičných službách
Dohľad nad pobočkou slovenskej banky založenej na území členského štátu vykonáva NBS (ohľadne likvidity tejto pobočky v spolupráci spolu s orgánom bankového dohľadu príslušného členského štátu).
V rámci slobodného poskytovania služieb bude mať od vstupu SR do Európskej únie aj zahraničný obchodník s cennými papiermi so sídlom na území členského štátu právo poskytovať na území SR investičné služby prostredníctvom svojej pobočky bez povolenia v prípade, ak oprávnenie na ich výkon mu bolo udelené v členskom štáte. Činnosť však môže vykonávať až na základe súhlasného písomného vyjadrenia príslušného orgánu dohľadu členského štátu doručeného Úradu.
5. Zákon o dani z pridanej hodnoty Rovnako ako v ČR sú aj v SR v súvislosti s volným pohybom služieb navrhované zmeny zákona o DPH. Na rozdiel od ČR však na Slovensku nebude dochádzať k preraďovaní tovarov a služieb zo zníženej sadzby dane do základnej, pretože s účinnosťou od 1.1.2004 bude v SR zavedená jednotná sadzba DPH vo výške 19 %.
Pobočkou zahraničného obchodníka s cennými papiermi sa podľa tohoto zákona rozumie organizačná zložka zahraničného obchodníka s cennými papiermi umiestená na území SR, ktorá vykonáva všetky alebo niektoré investičné služby.
Vzhľadom k tomu, že navrhované znenie nového slovenského zákona o DPH, ktoré nadobudne účinnosť 1.5.2004, je založené na princípoch DPH v EU, dovoľujeme si odkázať na českú časť tohto čísla News.
Zahraničný obchodník s cennými papiermi bude môcť poskytovať investičné služby aj bez založenia pobočky, a to po písomnom oznámení orgánu dohľadu príslušného členského štátu Úradu pre finančný trh pred prvým poskytnutím jeho investičnej služby.
6. Zákon o uznávaní odborných kvalifikácií
4. Zákon o bankách
Tento zákon upravuje podmienky uznávania diplomov, vysvedčení a ostatných dokladov o vzdelaní alebo ich súborov vydaných školami, alebo inými príslušnými orgánmi podľa právnych predpisov členských štátov Európskej únie za účelom výkonu regulovaných povolaní a regulovaných odborných činností v Slovenskej republike a má veľký význam aj z hľadiska voľného pohybu osôb.
Dňom vstupu do EÚ nadobudnú účinnosť niektoré ustanovenia zákona o bankách týkajúce sa voľného pohybu služieb v rámci Európskej únie. Zahraničná banka, ktorá nepožíva výhody jedného bankového povolenia podľa európskeho práva (alebo nemá sídlo v štáte, ktorý požíva takejto výhody), nemôže vykonávať na území SR prostredníctvom svojej pobočky bankové činnosti bez bankového povolenia.
Uvedený zákon sa vzťahuje na občanov členských štátov, ktorí chcú vykonávať 13
regulované povolanie v Slovenskej republike ako fyzické osoby oprávnené na výkon podnikateľskej činnosti, alebo v obdobnom postavení, alebo ako zamestnanci okrem povolania lekára, zubného lekára, veterinárneho lekára, farmaceuta, architekta, sestry, pôrodnej asistentky, t.j. odborných činností uvedených v prílohe tohto zákona. Občania členských štátov, ktorým príslušný orgán Slovenskej republiky uznal odbornú kvalifikáciu podľa tohoto zákona, majú na výkon regulovaných povolaní v Slovenskej republike rovnaké právo ako občania, ktorí získali príslušnú odbornú kvalifikáciu v Slovenskej republike.

– fyzické osoby nebudou již povinny plnit oznamovací povinnost (pouze na vyžádání ČNB), – ruší se oznamovací povinnost týkající se stavu účtů a jiných forem vkladů v zahraničí (údaje od právnických osob se budou nadále sledovat jen na základě ročního šetření), – nově se upravuje oznamovací povinnost týkající se objemu emisí dluhopisů vydávaných tuzemci v zahraničí a cizozemci v ČR.

VOLNÝ POHYB KAPITÁLU A PLATEB Vzhledem k tomu, že cílem evropského práva je umožnit volný pohyb zboží a služeb a svobodu podnikání, je zároveň nezbytné mezi členskými státy liberalizovat pohyb kapitálu a platebních prostředků.
Ve vztahu k cizozemcům – občanům EU, kteří nejsou občany ČR, si ČR ve Smlouvě o přistoupení ČR k EU vyjednala následující přechodná období:
Na rozdíl od ostatních svobod je liberalizace pohybu kapitálu a plateb významněji širší, neboť jsou zakázána veškerá omezení, která negativně ovlivňují mezistátní pohyb kapitálu a plateb, a ne tedy pouze omezení diskriminační. Jsou tedy nepřípustné jakékoli povolovací režimy, úmluvy mezi členskými státy o zachování vzájemnosti, systémy přidělování deviz nebo kontroly jejich pohybu apod.
– sedmileté období, kdy nebude možné, aby subjekty z ostatních zemí EU nabývaly zemědělskou půdu a lesy v ČR, – pětileté období, kdy cizinci – občané EU nebudou moci nabývat nemovitosti určené k vedlejšímu bydlení. V souladu s výše uvedeným by podle navrhované novely devizového zákona měla i nadále platit omezení týkající se nabývání nemovitostí cizozemci, kteří nejsou občany ČR (s výjimkami uvedenými v zákoně např. dědictví, společné jmění manželů atd.). Stejně tak jako dosud budou moci právnické osoby - cizozemci nabývat nemovitosti v ČR, pokud umístí v ČR podnik nebo organizační složku a budou v tuzemsku oprávněni podnikat.
Podstatné je, že tato svoboda se jako jediná uplatní též ve vztahu ke třetím státům a oprávněnými tak nejsou pouze subjekty z členských států, ale i subjekty z ostatních zemí. Z této svobody vyplývá, že z hlediska plateb dlužníci mohou na území EU plnit své závazky jakýmkoli způsobem, který je uznávaným platebním prostředkem v některém z členských států, a věřitelé jsou povinni tyto platební prostředky přijmout.
V případě přijetí uvedené novely by od vstupu ČR do EU občané EU, kteří budou mít povolení k trvalému pobytu nebo k přechodnému pobytu v ČR delšímu než 3 měsíce (viz kapitola 2 - zákon o pobytu cizinců), měli mít možnost nabývat nemovitosti v ČR bez omezení. Nevztahovalo by se tedy na ně výše uvedené pětileté přechodné období.
ČESKÁ REPUBLIKA 1. Devizový zákon Pohyb kapitálu a plateb je v České republice již v podstatě liberalizován a česká právní úprava přizpůsobena normám EU. Přesto je tuzemec (fyzická osoba s trvalým pobytem nebo právnická osoba se sídlem na území ČR) povinen oznamovat České národní bance (dále jen „ČNB“) např. vznik a změnu přímé investice, přijetí a splácení finančního úvěru či zřízení a stav účtu v zahraničí. Tuto oznamovací povinnost tuzemec plní na předepsaných formulářích a ve lhůtách stanovených vyhláškou ČNB č. 34/2003 Sb. (blíže viz PL News 1/2003).
Speciální podmínky by však měly být ustanoveny pro nabývání pozemků tvořících zemědělský půdní fond nebo určených k funkcím lesa. Tyto nemovitosti by případně kromě cizozemců s českým státním občanstvím mohli nabývat pouze cizozemci zaevidovaní v evidenci zemědělských podnikatelů u příslušného krajského úřadu v tuzemsku. 2. Zákon o daních z příjmů (dále jen „ZDP“)
Od 1.1.2004 nabude účinnosti novela výše uvedené vyhlášky, podle které:
Podle směrnice Rady č. 2003/48/ES ze 3. června 2003 by se měly příjmy z úspor s účinností od 1.1.2005 zdaňovat v tom státě EU, ve kterém je příjemce (fyzická osoba) tohoto příjmu rezi-
– se oznamovací povinnosti (s výjimkou formuláře FORM 1, 1A, 2 a 3 určené Světové bance) budou plnit až od částky 1.000.000 Kč, 15
dentem. Směrnice obsahuje i přechodné období, během něhož mohou být úroky zdaněny srážkovou daní i v zemi plátce (zprostředkovatele) takového úrokového příjmu.
– příjem mimo stojícího společníka z vyrovnání na základě smlouvy o převodu zisku nebo ovládací smlouvy (mimo stojící společník musí být mateřskou společností ve vztahu k ovládané nebo řízené osobě), – příjmy mateřské společnosti se sídlem v ČR z dividend a jiných podílů na zisku plynoucí od dceřinné společnosti se sídlem v jiném členském státě EU.
Ve výjimečných případech může nastat situace, kdy byla v zahraničí sražena srážková daň z úrokového příjmu v částce vyšší než je uvedená v příslušné mezinárodní smlouvě. Proto navrhovaná novela ZDP obsahuje ustanovení, podle kterého lze o tuto srážkovou daň snížit daňovou povinnost poplatníka českého daňového rezidenta v ČR. Pokud by sražená daň byla vyšší než vykázaná daňová povinnost, vzniká poplatníkovi přeplatek.
SLOVENSKÁ REPUBLIKA Zo strany Slovenskej republiky sa bude rovnako ako v Českej republike sedem rokov po vstupe do Európskej únie uplatňovať prechodné obdobie na nadobúdanie poľnohospodárskej a lesnej pôdy do vlastníctva cudzozemcov. V prípade, že aj po uplynutí sedemročného prechodného obdobia bude na trhu s poľnohospodárskou pôdou pretrvávať nerovnováha, resp. vznikne nebezpečenstvo nerovnováhy, Komisia môže na základe požiadavky SR rozhodnúť o predĺžení prechodného obdobia, a to maximálne o tri roky.
Zároveň s výše uvedenou směrnicí byla přijata i směrnice Rady č. 2003/49/ES, která se týká zdanění úroků z úvěrů a půjček1 a licenčních poplatků mezi spojenými osobami z různých členských států. Podle této směrnice by se již od 1.1.2004 měly tyto příjmy zdaňovat ve státu, v němž je příjemce úroků či licenčních poplatků rezidentem a ve státě zdroje by měly být osvobozeny od daně.
1. Devízový zákon
Implementace této směrnice je součástí právě projednávané novely ZDP. Zatímco osvobození úroků z úvěrů a půjček od zdanění v ČR bude podle této novely možné již od 1.5.2004, účinnost osvobození licenčních poplatků je navrhována až od 1.1.2011. Návrh novely ZDP však obsahuje omezení, zejména pokud má věřitel právo podílet se na zisku dlužníka.
Podľa ustanovení tohto zákona bude môcť na rozdiel od Českej republiky akýkoľvek cudzozemec nadobudnúť vlastnícke právo k nehnuteľnostiam v tuzemsku s nasledujúcimi výnimkami.
Podle směrnice Rady č. 90/435/EHS ze dne 23. července 1990 by měla být výplata podílů na zisku dceřinnou společností mateřské společnosti2 se sídlem ve stejném nebo jiném členském státě EU osvobozena od daně z příjmů vybírané srážkou.
– k nehnuteľnostiam, ktorých nadobúdanie je obmedzené osobitnými predpismi (banský zákon, vodný zákon, zákon o ochrane prírody a krajiny, zákon o pozemných komunikáciách), – k pôde, ktorá tvorí poľnohospodársky pôdny fond a lesný pôdny fond.
Tato směrnice je implementována i do návrhu ZDP3, podle kterého by měly být od daně z příjmů s účinností ode dne 1.5.2004 osvobozeny:
Posledne menované obmedzenie sa neuplatní v prípade ak:
Cudzozemec (aj keď sa bude jednať o občana členského štátu Európskej únie) nebude oprávnený nadobudnúť vlastnícke právo:

– příjmy z dividend a jiných podílů na zisku vyplácené mateřské společnosti dceřinnou společností se sídlem na území ČR, – příjmy mateřské společnosti při snížení základního kapitálu dceřinné společnosti (s určitým omezením), – zisk převáděný řídící nebo ovládající osobě na základě smlouvy o převodu zisku nebo ovládací smlouvy (musí se jednat o příjmy plynoucí od dceřinné společnosti mateřské společnosti), 16
území SR vybavenie (t.j. napr. technické vybavenie, obchodný systém) nevyhnutné na to, aby mal tento obchodník prístup k obchodovaniu na tejto zahraničnej burze alebo na tomto zahraničnom regulovanom verejnom trhu.
– cudzozemec je občanom SR, – cudzozemec je štátnym príslušníkom štátu EÚ, má povolenie k prechodnému pobytu a nadobúda pôdu tvoriacu poľnohospodársky pôdny fond, na ktorej najmenej tri roky po vstupe do EÚ hospodári.
To platí však len vtedy, ak obchodník s cennými papiermi poskytuje investičné služby na základe práva slobodného poskytovania investičných služieb na území členského štátu, v ktorom má sídlo príslušná zahraničná burza alebo organizátor iného zahraničného regulovaného verejného trhu a ak obchodník s cennými papiermi požiadal o prístup alebo členstvo k obchodovaniu na tejto zahraničnej burze alebo na tomto zahraničnom regulovanom verejnom trhu.
Na rozdiel od ČR, kde dojde v prípadoch uvedených v českej časti tohto čísla ku zrušeniu ohlasovanej povinnosti, bude v SR naďalej platiť ohlasovacia povinnosť v plnom rozsahu, t.j. tuzemec a organizačná zložka cudzozemca v tuzemsku (Slovensku) budú aj podľa navrhované novely devízového zákona povinní ohlasovať skutočnosti týkajúce sa: a) inkás a platieb vo vzťahu k tuzemcom v zahraničí a vo vzťahu k cudzozemcom, ktoré sa týkajú priamych investícií a iných investícií, finančných úverov, cenných papierov, operácií na finančnom trhu vrátane operácií vykonávaných prostredníctvom cudzozemcov; b) zriadenia a stavu účtov v zahraničí.
4. Zákon o ochrane vkladov Účelom tohto už skôr (1996) prijatého zákona, ktorým bol zriadený Fond ochrany vkladov (ďalej len „fond“), je úprava ochrany vkladov uložených v bankách a v pobočkách zahraničných bánk a poskytovania náhrad za tieto vklady, ak sa stanú nedostupnými.
Tuzemec - podnikateľ a organizačná zložka cudzozemca v tuzemsku navyše bude povinný ohlásiť skutočnosti týkajúce sa aktív a pasív vo vzťahu k tuzemcom v zahraničí a vo vzťahu k cudzozemcom.
S účinnosťou odo dňa vstupu do EÚ bude za vklad, ktorý je chránený týmto zákonom, a ktorý sa stane nedostupným po vstupe SR do EÚ, poskytovať fond náhradu vo výške 90% z nedostupného vkladu v súhrne jednému vkladateľovi alebo inej osobe oprávnenej podľa tohto zákona, najviac však vo výške sumy, ktorá sa rovná prepočtu 20.000 EUR na slovenské koruny.
Predmetom vyššie uvedených ohlasovacich povinností nie sú vzťahy k organizačnej zložke cudzozemca v tuzemsku. 2. Zákon o daniach z príjmov (ďalej len „ZDP)
V dnešnej dobe fond poskytuje náhradu taktiež vo výške 90% z nedostupného vkladu, pričom však vkladateľovi patrí táto náhrada najviac vo výške štyridsaťnásobku priemernej mesačnej mzdy v SR za posledné štyri štvrťroky podľa zistení Štatistického úradu SR, teda maximálne 12.750 EUR.
Na rozdiel od Českej republiky nie je na Slovensku implementácia smerníc Rady č. 2003/48/ES a č. 2003/49/ES z 3. júna 2003 súčasťou práve prejednávaného nového ZDP. Slovenská republika v tejto oblasti požiadala o prechodné obdobie. Podľa navrhovaného znenia ZDP nebudú podiele na zisku, vyrovnávacie podiele a podiele na likvidačnom ostatku obchodnej spoločnosti s účinnosťou od 1.1.2004 predmetom dane z príjmov, t.j. nebudú zdanené zrážkovou daňou. 3. Zákon o burze cenných papierov Zahraničná burza alebo organizátor iného zahraničného regulovaného verejného trhu, ktorých sídlo je na území členského štátu a ktorých činnosť je v súlade s predpismi Európskej únie, môže na území SR poskytovať obchodníkovi s cennými papiermi so sídlom na 17
státy, budou členské státy aplikovat vnitrostátní předpisy, které mohou stanovit i přísnější pravidla než jaká jsou obsažena v článcích 81 a 82 SES.

Podle dosud platné právní úpravy je veškerá pravomoc v kartelových věcech a zneužití dominantního postavení soustředěna do rukou Komise a soutěžitelé jsou povinni u dohod, které jsou dle článku 81 SES zakázány a současně splňují podmínky uvedené v článku 81 odst. 3 SES, žádat před uzavřením kartelové dohody Komisi o udělení tzv. individuální výjimky z obecného zákazu kartelových dohod.
SOUTĚŽNÍ PRÁVO Evropské soutěžní právo upravuje právní vztahy s tzv. evropským prvkem, tedy takové, které mohou mít nepříznivý dopad na obchod mezi členskými státy a slouží k ochraně jednotného vnitřního trhu. Pokud tento evropský prvek chybí, uplatní se na soutěžní vztahy pouze vnitřní soutěžní právo jednotlivých členských států.
S rostoucím počtem členských států EU se však tato úprava stala neúnosnou, neboť Komise je již delší dobu zahlcena žádostmi o udělení individuálních výjimek. Nejvýznamnější změnou, kterou přináší Nařízení, je tedy zrušení individuálních výjimek a jejich nahrazení tzv. legálními výjimkami.
Tato rozsáhlá oblast právní úpravy zahrnuje zejména kartelové právo, podle kterého jsou zakázány kartely, tj. dohody mezi podniky, rozhodnutí sdružení podniků a jednání ve shodě, které mohou negativně ovlivnit obchod mezi členskými státy a narušit soutěž a rovněž zneužití dominantního postavení podniků, které mají takové postavení na relevantním trhu.
Dohody a jednání, které budou splňovat podmínky stanovené v článku 81 a 82 SES budou považovány za povolené, aniž by k tomu bylo třeba předchozího rozhodnutí Komise. Posouzení, zda je daná dohoda nebo jednání slučitelné s články 81 a 82 SES se tedy přesune z Komise přímo na soutěžitele.
Též sem patří kontrola fúzí, tedy spojení, sloučení nebo splynutí podniků a získání kontroly nad podnikem, dále též právní úprava státních monopolů a veřejných podniků, právo státních podpor atd.
Individuální výjimky, které byly poskytnuté Komisí před 1.5.2004, zůstanou v platnosti, a to až do uplynutí doby, na kterou byly vydány. Žádosti o udělení individuální výjimky, které nebudou posouzeny do 1.5.2004, se stanou bezpředmětnými a Komise se jimi nebude zabývat (po vstupu ČR do EU se toto bude týkat i žádostí o udělení individuální výjimky podaných u českého Úřadu na ochranu hospodářské soutěže).
1. Nařízení Rady č. 1/2003/ES V souvislosti s probíhající reformou evropského soutěžního práva upozorňujeme na přijetí Nařízení Rady č. 1/2003/ES, o implementaci soutěžních pravidel stanovených v článku 81 a článku 82 SES, které nabude účinnosti 1.5.2004 (dále jen „Nařízení“). Nařízení je novým komplexním procesním předpisem v oblasti dohod, rozhodnutí či jednání narušujících hospodářskou soutěž a zneužívání dominantního postavení (Nařízení se nevztahuje na spojování soutěžitelů).
Obecně z nové právní úpravy obsažené v Nařízení vyplývá snaha koncentrovat u Komise pouze řízení o zásadních věcech a v ostatních případech tuto pravomoc přenést na příslušné národní soutěžní úřady. Ty pak budou nadále oprávněny rovněž aplikovat články 81 a 82 SES a vydávat obdobná rozhodnutí jako Komise, tj. zákaz pokračovat v protisoutěžním jednání, nařízení předběžného opatření a uložení sankce. Komise by se měla v souladu se zásadou subsidiarity zabývat pouze případy, které nemohou být efektivně vyřešeny národními soutěžními úřady, a ztrácí tak své výlučné postavení v této oblasti.
Nařízení přináší zejména zefektivnění řízení v kartelových věcech a zneužití dominantního postavení, posílení pravomocí Komise, jakož i přenesení některých pravomocí na národní soutěžní úřady. Nařízení se stane k datu jeho účinnosti bezprostředně aplikovatelné v členských státech a uplatní se vždy, když jednání odporující článkům 81 a 82 SES může ovlivnit obchod mezi členskými státy. V případech, kdy se nebude jednat o narušení hospodářské soutěže mající dopad na obchod mezi členskými
Rozdělení kompetencí mezi Komisi a národní soutěžní úřady bude založeno na principu jejich vzájemné spolupráce. 18
Komisi je však zachováno zvláštní postavení, což se bude projevovat zejména v tom, že národní soutěžní úřady budou povinny informovat Komisi předem o tom, že zahájí řízení podle článku 81 a 82 SES, a před ukončením řízení také informovat Komisi o zamýšleném rozhodnutí, které hodlají přijmout.
– vertikální dohody týkající se koupě nebo prodeje nových motorových vozidel nebo jejich náhradních dílů, – vertikální dohody týkající se poskytování opravárenských a údržbářských služeb pro motorová vozidla.
V případě, že řízení jako první zahájí Komise, odpadá tím automaticky pravomoc národních soutěžních úřadů k projednání takového případu. Pokud však národní soutěžní úřad již učinil v předmětné věci kroky, může Komise zahájit řízení až po konzultaci s tímto národním soutěžním úřadem. Výlučná pravomoc však zůstává Komisi v oblasti udělování blokových výjimek.
České právní předpisy v této oblasti (tj. zejména zákon o ochraně hospodářské soutěže) jsou již určitou dobu s evropskou úpravou harmonizovány. V této oblasti bylo pro ČR dojednáno přechodné období na aplikaci výše uvedeného nařízení Komise č. 1400/2002/ES na udělení blokové výjimky pro určité typy dohod v automobilovém průmyslu, které se v ČR stane účinné až od 1.11.2004.
Komise a jednotlivé soutěžní úřady budou povinny úzce spolupracovat, a to za účelem zajištění jednotné aplikace evropského soutěžního práva. Ke sjednocování rozhodování bude přispívat zejména skutečnost, že národní soutěžní úřady a soudy členských států budou vázány rozhodnutím Komise, pokud budou rozhodovat ve věcech porušení článků 81 a 82 SES.
Je důležité si uvědomit, že soutěžitelé na českém trhu budou v soutěžních věcech nadále podléhat pravomoci nejen Úřadu pro ochranu hospodářské soutěže a českým soudům, které budou od vstupu ČR do Evropské Unie oprávněny aplikovat rovněž evropské soutěžní právo, ale též Komisi, jejíž pravomoci byly rozšířeny výše uvedeným nařízením.

SLOVENSKÁ REPUBLIKA
Současně bude platit pravidlo, že Komise bude při svém rozhodování povinna konzultovat tzv. Poradní výbor, který se skládá ze zástupců národních soutěžních úřadů členských států a který vydává stanoviska především k rozhodnutím Komise.
Slovenská republika vyjednala v danej kapitole tri prechodné obdobia. Prechodné obdobie na poskytovanie štátnej pomoci do konca roku 2008 spoločnosti pôsobiacej v automobilovom priemysle vo výške 30% z oprávnených investičných nákladov. V prípade, že stanovená výška štátnej pomoci bude dosiahnutá pred koncom tohto obdobia, štátna pomoc bude ukončená.
Komise bude oprávněna v případě porušení SES nejen k uložení pokut, ale i k uložení opatření směřujícího ke změně struktury dotčené společnosti. Významnou změnou, kterou přináší Nařízení je, že v případě uložení pokuty soutěžiteli, který je součástí koncernu, budou odpovídat solidárně za zaplacení uložené pokuty i ostatní členové koncernu.
Slovenská republika taktiež získala prechodné obdobie na poskytovanie štátnej pomoci do konca roku 2009 spoločnosti pôsobiacej v oceliarskom priemysle za podmienok, že celková pomoc neprekročí 500 mil. USD, spoločnosť udrží zamestnanosť, nerozšíri rozsah výrobkov a dodrží stanovené limity na výrobu a predaj niektorých výrobkov. Súčasne spoločnosť predloží každého pol roka Komisii správu so všetkými potrebnými údajmi.
Nařízení přinese řadu změn a lze očekávat, že v návaznosti na jeho přijetí dojde v následujících měsících také k novelizaci českého zákona o ochraně hospodářské soutěže. 2. Nařízení Komise č. 1400/2002/ES o použití článku 81 odst. 3 SES
Taktiež sa v SR bude uplatňovať prechodné obdobie týkajúce sa nariadenia Komisie č. 1400/2002/ES o použití článku 81 odst. 3 Zmluvy, ktoré vstúpi do platnosti dňom vstupu SR do EÚ, ale ktorých účinnosť nastane 1.11.2004.
Toto nařízení ze dne 31.7.2002 o aplikaci článku 81 odst. 3 SES na kategorie vertikálních dohod a praktik týkajících se automobilového sektoru se v současné době aplikuje v zemích EU a již jsme o něm informovali v předchozím čísle PL News (k použitelnosti tohoto nařízení v České republice a Slovenské republice viz níže). Nařízení Komise č. 1400/2002/ES se vztahuje na:

LIBRE CIRCULATION DES MARCHANDISES
Les entraves susvisées sont interprétées de façon extensive afin de favoriser au maximum la libre circulation des marchandises entre les Etats membres.
La réalisation de l’union douanière est le moyen permettant de mettre en œuvre cette liberté. La politique douanière commune, instituant notamment un tarif douanier appliqué aux pays tiers, en est l’un des principes essentiels.
En pratique, en plus de ces entraves, la différence de réglementation entre les Etats membres, qui établissent des paramètres techniques pour des produits et des procédures de certification, a des effets négatifs sur la libre circulation des marchandises. Par conséquent, nous traiterons dans cet article de l’amendement actuel à la loi sur la sécurité des produits en République tchèque.
Le régime de la libre circulation s’applique au commerce de toutes les marchandises qui peuvent faire l’objet d’une transaction commerciale (ce terme englobe également l’électricité et les autres types d’énergies, les déchets, les œuvres d’art, les médicaments). Ces marchandises peuvent être d’origine d’un des Etats membres ou il s’agit de marchandises d’un des pays tiers qui ont été mises en libre circulation au sein de l’Union européen.
RÉPUBLIQUE TCHÈQUE 1. Régime douanier en République tchèque à compter du 1er mai 2004 A compter du 1er mai 2004, les échanges de marchandises avec les Etats membres de l’UE, i.e. les échanges intracommunautaires, et les échanges de marchandises avec les pays tiers seront différenciés. A cette date, tous les contrôles douaniers sur les marchandises circulant à travers les frontières internes, i.e. les frontières communes avec les autres Etats membres, seront supprimées, ainsi que les droits de douanes et autres taxes douanières liées à ces contrôles. Les contrôles seront conservés seulement dans les aéroports internationaux, pour les vols à destination ou en provenance d’un pays tiers.
En vue de garantir cette liberté, le droit européen définit les entraves interdites à la libre circulation des marchandises, dont entre autres :
(i) les droits de douanes, les taxes d’effets équivalents et une fiscalité nationale discriminatoire pour les importateurs, (ii) les quotas, les restrictions quantitatives et les mesures aux effets équivalents, (iii) les monopoles nationaux, (iv) les aides d’Etat destinées aux entrepreneurs nationaux, notamment celles entraînant une discrimination dans l’attribution des marchés publics.
Les personnes qui ont pour objet social l’importation et/ou l’exportation de marchandises au sein de l’UE (échange intracommunautaire) devront remplir des déclarations INTRASTAT destinées aux statistiques portant sur la circulation de marchandises au sein de l’UE. Certaines périodes transitoires ont été déterminées, entraînant notamment la suspension de la libéralisation du marché du gaz jusqu’au 1er janvier 2005. 2. Application de la TVA
– le Règlement du Conseil n° 2913/92/CEE du 12 octobre 1992 qui régit le code douanier de la Communauté, – le Règlement du Conseil n° 2454/93/CEE du 2 juillet 1993 sur l’exécution du règlement du Conseil 2913/92/CEE du 12 octobre 1992 qui régit le code douanier de la Communauté, – le Règlement du Conseil n° 918/83/CEE du 28 mars 1983 sur le système de la Communauté relatif aux douanes, – le Règlement du Conseil n° 2658/87/CEE du 23 juillet 1987 sur la nomenclature douanière et statistique et sur le Tarif commun douanier.
Si la circulation de marchandises à l’intérieur de l’UE est libérée de droits de douanes et d’autres taxes douanières, la taxe sur la valeur ajoutée demeure applicable. La taxe sur la valeur ajoutée est régie par les différentes législations internes des Etats membres, selon la directive de la CE applicable et elle bénéficie au budget national de ces Etats. Même si la forme définitive de la loi sur la TVA qui entrera en vigueur à compter de l’entrée de la République tchèque au sein de l’UE n’a pas encore été adoptée, les principes suivants seront applicables : 1. la livraison de marchandises par un assujetti tchèque à un assujetti d’un autre Etat membre sera considérée comme une opération exonérée de TVA ouvrant droit à la déduction de la TVA, i.e. l’assujetti tchèque facturera sa marchandise sans appliquer la TVA en le consignant dans une déclaration récapitulative relative à la réalisation des opérations intracommunautaires. Cette déclaration doit contenir les opérations effectuées au cours du trimestre précédent. La forme provisoire de ladite déclaration est disponible sur le site web de l’Administration fiscale tchèque : http://cds.mfcr.cz, dans la rubrique fiscalité internationale / coopération internationale ;
Les règlements susvisés seront traduits en tchèque et publiés avant l’entrée de la République tchèque dans l’UE. Etant donné que la législation tchèque est harmonisée avec la réglementation européenne, aucune modification essentielle n’est attendue dans ce domaine. Nous attirons votre attention sur le fait qu’en cas de transit de marchandises par des frontières du territoire de l’UE (exportations et importations), une partie de la procédure devra être effectuée auprès des administrations douanières étrangères. Par exemple, en cas d’importation de marchandises en provenance du Sénégal via le port d’Hambourg par un importateur tchèque, ce dernier pourra soit faire dédouaner les marchandises importées par l’administration douanière de Hambourg, soit faire libérer par cette administration la marchandise sous le régime de « transit » puis faire libérer la marchandise sous le régime de « libre-circulation » par l’administration douanière tchèque (les droits de douane seront versés en République tchèque).
2. la livraison de marchandises à un non-assujetti d’un autre Etat membre sera une opération imposable ordinaire, i.e. l’assujetti tchèque facturera sa marchandise en appliquant la TVA et il mentionnera cette opération dans sa déclaration de TVA en République tchèque ; 3. l’exportation de marchandises dans un pays tiers sera une opération exonérée de TVA ouvrant droit à la déduction de la TVA, i.e. l’assujetti tchèque facturera sa marchandise (à un assujetti ou à un non-assujetti) sans appliquer la TVA et il mentionnera cette opération dans sa déclaration de TVA en tant qu’exportation de marchandises. La preuve du droit
Les sociétés qui actuellement importent des marchandises de pays tiers et les importeront également après l’entrée de la République tchèque dans l’UE peuvent comparer les tarifs douaniers applicables au sein de l’UE avec les ta21
à l’exonération sera apportée par la déclaration douanière commune, vérifiée par le bureau douanier. Les marchandises seront soumises à la TVA dans l’Etat de l’importateur lors du passage à la frontière, suivant la législation de l’Etat concerné;
– jusqu’au 31 décembre 2007, pour le maintient du taux réduit sur la vente d’énergie thermique, – jusqu’au 31 décembre 2007, concernant la construction de logements, – jusqu’au 31 décembre 2006, pour le maintient des taux des accises sur les cigarettes et les produits du tabac inférieurs, alors que le taux d’imposition doit atteindre 57 %.
4. l’importation de marchandises en provenance d’un pays tiers sur le territoire de l’UE sera considérée comme une importation de marchandises. Le bureau douanier prescrit et prélève la TVA et l’importateur, s’il est assujetti, aura droit à la déduction de la TVA dans sa déclaration de TVA ;
En outre, le projet de la loi sur la TVA prévoit une exemption permettant aux assujettis à la TVA d‘un autre Etat membre de ne pas s’immatriculer à la TVA en République tchèque s’ils exercent une activité de vente par correspondance destinée à des non-assujettis en République tchèque et si la valeur des marchandises délivrées ne dépasse pas 35.000 EUR.
5. la TVA s’appliquera à la livraison de marchandises au territoire tchèque, comme c’est le cas actuellement ; 6. la livraison de marchandises d’un assujetti d’un autre Etat membre sera soumise à la TVA dans l’Etat de l’importateur (l’assujetti tchèque). Simultanément, l’assujetti tchèque aura droit à la déduction de la TVA.
3. Loi n° 102/2001 Rec. sur la sécurité des produits L’amendement à cette loi qui entrera en vigueur à partir du 1er mai 2004 a pour but d’harmoniser les règles de protection des consommateurs d’un point de vue de la sécurité des produits disponibles sur le marché tchèque avec les règles en vigueur dans l’UE.
Les taux de TVA pourraient rester inchangés, i.e. le taux normal de 22 % et le taux réduit de 5 %. La personne physique ou morale dont le chiffre d’affaires dépassera 1.000.000 CZK dans la période des douze mois précédents, sera assujettie à compter de l’entrée dans l’UE.
Selon la nouvelle réglementation, la gamme des produits auxquels la loi s’applique et qui doivent remplir certaines conditions de sécurité s’élargira. La loi concernera également des produits qui ne sont pas destinés à l’origine aux consommateurs, mais qui peuvent cependant être utilisés par ces derniers (par exemple des produits destinés à une utilisation professionnelle qui peuvent, dans certaines circonstances, être acquis sur le marché des consommateurs). La loi ne s’applique pas aux services, toutefois elle s’applique aux produits qui sont fournis aux consommateurs pour une utilisation en lien avec un service.
Afin qu’il soit possible aux assujettis de prouver leur droit à l’exonération de TVA lors de la livraison de marchandises dans un autre Etat membre de l’UE, la République tchèque sera, au moment de l’entrée dans l’UE, intégrée dans le système électronique VIES (VAT Information Exchange System). L’échange d’informations dans le domaine de la TVA au sein de l’UE se fera par l’intermédiaire de ce système qui servira à vérifier la validité du numéro d’identification fiscal délivré dans un autre Etat membre. Pour la vérification de la validité de ce numéro, les assujettis tchèques pourront s’adresser personnellement par courrier, téléphone, télécopie ou e-mail au département correspondant du Ministère des finances tchèque. Le site web sur le « Registre d’assujettis à la TVA » devra être mis en ligne. A l’heure actuelle, cette vérification de la validité du numéro d’identification fiscal peut être effectuée sur le site web de la Commission.
Les règles relatives à l’étiquetage des produits sont précisées et étendues. Le produit doit revêtir les données nécessaires à l’identification du producteur et du produit ou de la série de produits. Si une certaine utilisation du produit peut être dangereuse pour le consommateur et si ce danger n’est pas facilement prévisible, le producteur ou le distributeur est tenu de l’en avertir dans la documentation accompagnant le produit. En plus des obligations actuelles, les producteurs ou les distributeurs seront désormais tenus notamment:

Outre les normes slovaques, la législation douanière en vigueur au sein de l’Union européenne s’appliquera aux échanges de marchandises (exportations et importations) avec des Etats tiers. L’énumération non-exhaustive de ces dernières est mentionnée dans la partie relative à la République tchèque.
– d’assurer le suivi du contrôle des caractéristiques des produits lancés sur le marché et de tester leur sécurité ; – de conserver et d’être en mesure de fournir la documentation nécessaire pour constater l’origine du produit ; – d’informer, le cas échéant, les organes d’inspection correspondants qu’un produit lancé sur le marché ou dans la circulation est dangereux.
L’application de ces règles à compter du jour de l’entrée de la Slovaquie dans l’Union européenne ne devrait pas modifier de façon importante les formalités douanières concernant les rapports avec les Etats tiers puisque la réglementation actuelle en Slovaquie dans le domaine douanier est en général compatible avec la réglementation de l’Union européenne.
Les organes d’inspection seront autorisés à ordonner au producteur ou au distributeur de reprendre un produit dangereux au consommateur. Si les organes compétents estiment qu’un produit est dangereux bien qu’il remplisse les conditions déterminées par la loi, ils seront autorisés à limiter son lancement au marché, éventuellement à ordonner le retrait d’un tel produit du marché ou sa reprise.
L’administration douanière est chargée de collecter les droits d’accise relatifs aux huiles minérales. A compter de l’entrée de la Slovaquie dans l’UE, l’administration douanière sera également chargée de collecter les droits d’accise relatifs aux ’autres produits (bière, vin, alcool, tabac et produits de tabac).
RÉPUBLIQUE SLOVAQUE 1. Régime douanier en République slovaque à compter du 1er mai 2004 De même qu’en République tchèque, les échanges de marchandises avec un Etat membre de l’Union européenne, i.e. les échanges intracommunautaires, ne seront plus soumis au contrôle douanier, ni au paiement de droits de douanes ou de taxes douanières relatives à l’importation et l’exportation de marchandises. Les contrôles douaniers seront seulement maintenus aux frontières avec les pays tiers et dans les aéroports internationaux (comme en République tchèque).
2. Application de la TVA Lors de l’importation et de l’exportation de marchandises, des principes relatifs à la TVA identiques à ceux décrits cidessus pour la République tchèque seront applicables sur le territoire slovaque en ce qui concerne les relations avec les Etats membres et les relations avec les Etats tiers. Toutefois, à la différence de la République tchèque où les assujettis seront les personnes dont le chiffre d’affaires sera supérieur à 1.000.000 CZK dans la période des douze mois précédents, en vertu du projet de loi slovaque relatif à la TVA, les assujettis à la TVA seront les personnes dont le chiffre d’affaires sera supérieur à 1.500.000 SKK.
Le tarif douanier commun s’appliquera en Slovaquie à compter de l’entrée de la Slovaquie dans l’Union européenne (le Règlement du Conseil n° 2658/87/CEE du 23 juillet 1987 établissant le Tarif commun douanier). En Slovaquie, comme en République tchèque, le système INTRASTAT sera introduit à des fins d’études statistiques sur la circulation de marchandises dans l’UE. L’introduction du système INTRASTAT entraînera pour les entrepreneurs l’obligation de déclarer les opérations commerciales réalisées entre la Slovaquie et les autres Etats membres sur les formulaires adaptés ou sous la forme électronique. Les personnes auront l’obligation de déclarer des données statistiques ; la fréquence de cette obligation et les informations demandées varieront en fonction du chiffre d’affaires.
Vu le fait que conformément au projet de loi relatif à la TVA, le taux de TVA unique s’élevant à 19% devrait être introduit en Slovaquie, les périodes transitoires dont devait bénéficier la Slovaquie pour l’application d’un taux de TVA réduit pour certaines marchandises et services ne seront plus applicables. En Slovaquie, comme en République tchèque, les assujettis à la TVA des autres Etats membres de l’UE qui exercent une activité de vente par correspondance destinée à des non-assujettis 23
en Slovaquie n’auront pas l’obligation de s’immatriculer à la TVA en Slovaquie à condition que leur chiffre d’affaires issu de cette activité ne dépasse pas 1.500.000 SKK (env. 35.000 EUR). 3. Loi relative aux médicaments et aux matériels sanitaires L’amendement n° 256/2003 Rec. de ladite loi est entrée en vigueur depuis le 1er août 2003 et a intégré les directives de l’UE relatives aux médicaments. La demande de certification du médicament doit contenir notamment : – un projet de synthèse des principales caractéristiques du médicament en langue officielle destinée aux professionnels et les synthèses des principales caractéristiques du médicament approuvées par les Etats membres de l’UE dans lesquels le médicament a été déjà certifié, – un projet de précautions d’utilisation écrites destinées à l’utilisateur en langue officielle et les précautions d’utilisation écrites destinées à l’utilisateur approuvées dans les Etats membres de l’UE dans lesquels le médicament a été déjà certifié. Lors de l’étude de la qualité, de la sécurité et de l’efficacité du médicament, l’Institut d’Etat peut approuver le rapport et les conclusions du jugement d’un Etat membre de l’UE ou de l’Agence européenne pour la certification des médicaments.

LIBRE CIRCULATION DES PERSONNES A titre liminaire, nous présentons ciaprès brièvement les dispositions relatives à la libre circulation des personnes au sein de l’UE. La libre circulation des personnes est définie sur le plan économique par le droit communautaire comme la libre circulation des travailleurs et la liberté d’établissement. L’objectif des dispositions est de permettre aux travailleurs et aux personnes exerçant une activité professionnelle non salariée (i.e. aux entrepreneurs) d’exercer leur activité sur l’ensemble du territoire du marché commun.
Conformément au droit communautaire, le travailleur issu d’un Etat membre a le droit de ne pas subir de discrimination dans un autre Etat membre au cours de sa relation de travail, y compris en ce qui concerne les cotisations sociales et la fiscalité. Il peut pénétrer sur le territoire d’un Etat membre quelconque et y demeurer non seulement pour y exercer un travail mais également pour y rechercher du travail. Le travailleur ressortissant d’un Etat membre est également autorisé à demeurer au sein d’un autre Etat membre à l’issue de sa relation de travail (par exemple, au cours de sa retraite). Dans l’hypothèse où les travailleurs présenteraient une attestation d’emploi, les Etats membres sont tenus de leur délivrer un permis de séjour pour une durée de cinq ans au minimum. Ce permis est, sous certaines conditions, automatiquement renouvelable.
Les droits issus du principe de libre circulation des personnes peuvent être invoqués notamment par un travailleur de l’UE, à savoir par un ressortissant d’un Etat membre ayant exercé, pendant une période de temps donnée, une activité économique réelle au profit d’une autre personne et sous sa direction, en contrepartie d’une rémunération. La libre circulation des personnes concerne également les entrepreneurs, à savoir (i) les ressortissants des Etats membres et (ii) les personnes morales établies selon le droit d’un Etat membre ou ayant leur siège enregistré officiellement dans l’un de ces Etats.
Les membres des familles des travailleurs et des entrepreneurs ont les mêmes droits, qu’ils soient issus d’un Etat membre ou non. Les membres de la famille sont autorisés à travailler et à étudier dans l’Etat membre et, dans certaines conditions, à y demeurer à l’issue de l’activité du travailleur ou après son décès.
L’établissement signifie la création d’une société (succursale, agence commerciale ou filiale) par une personne d’un Etat membre de l’UE dans un autre Etat membre ou l’exercice d’une activité professionnelle. L’établissement ou l’exercice d’une activité professionnelle est définie comme l’exercice d’une activité rémunérée effectuée pour le compte et sous la responsabilité de l’entrepreneur.
La libre circulation des travailleurs et des entrepreneurs ne peut être limitée que s’il s’agit d’une activité en rapport avec l’exercice du pouvoir public ou pour des raisons d’ordre public, de sécurité publique ou de santé publique. Le projet de directive, en cours d’adoption à l’heure actuelle, modifierait de façon essentielle la réglementation susvisée s’il était adopté. Il serait alors transposé par les Etats membres avant le 1er juillet 2005.
Même si la libre circulation des travailleurs et la libre circulation des entrepreneurs sont régies par le droit communautaire de façon indépendante, les dispositions qui les concernent ont certaines similitudes. Le principe essentiel commun est l’interdiction de la discrimination ; cela signifie que les employés ou les entrepreneurs des Etats membres ne doivent pas être traités différemment des nationaux (par exemple, la connaissance de la langue du pays ne peut être exigée que si l’em-

L’entrée en République tchèque ne pourra être refusée qu’en raison d’une menace à l’ordre ou à la santé publique et sur le fondement d’une décision administrative (pouvant être susceptible d’appel et de vérification par le tribunal).
tuelle. Après quatre ans de séjour sur le territoire de l’Etat membre, la personne enregistrée aurait le droit d’y résider de façon permanente. Le projet de directive élargit la notion de membre de famille au partenaire célibataire de la personne, à ses ascendants et à ses descendants, sans égard à leur age (à l’heure actuelle, cette notion est restreinte aux descendants de moins de 21 ans) et sans égard au fait qu’ils sont à sa charge ou non. Le partenaire célibataire et l’époux sont également protégés par le droit communautaire en cas de décès de la personne autorisée, de divorce ou de rupture de partenariat.
Le séjour des citoyens de l’UE supérieur à trois mois, le séjour de longue durée et le séjour permanent seront distingués. Les demandeurs d’un permis de séjour temporaire qui, sur le territoire de la République tchèque, ne séjourneront pas pour exercer une fonction d’organe statutaire, créer un établissement ou exercer un emploi, seront tenus de déclarer sur l’honneur qu’ils ne demanderont pas le versement d’allocations sociales en République tchèque et respecter cet engagement. La violation de cet engagement entraînera le retrait du permis de séjour. Le permis de séjour de longue durée sera délivré, en principe, pour 5 ans (en cas d’études, pour un an).
RÉPUBLIQUE TCHÈQUE Une période transitoire est mise en place pour la libre circulation des travailleurs tchèques dans les Etats membres de l’UE pour une durée de sept ans au maximum. Il est probable que les Etats membres utilisent leur droit de mettre en place la période transitoire pour une durée de deux ans au maximum. A ce jour, certains Etats (la Grande-Bretagne, l’Irlande, les PaysBas, la Suède, le Danemark et probablement la Grèce) ont déclaré qu’ils libèreraient entièrement leur marché du travail au jour de l’entrée de la République tchèque au sein de l’UE. Aucune période transitoire n’est prévue pour les ressortissants des Etats membres de l’UE en République tchèque.
Un permis de séjour permanent, délivré pour une période de 10 ans, pourra être délivré uniquement pour les motifs énumérés limitativement par la loi. Ceux-ci ont été modifiés au profit des citoyens de l’UE par rapport à la réglementation antérieure. Les citoyens de l’UE pourront, en outre, obtenir un droit de séjour permanent pour exercer un emploi (s’ils séjournent en République tchèque pour une période de 3 ans), être membre d’un organe statutaire (sans qu’il soit nécessaire d’avoir séjourné auparavant en République tchèque) ou créer un établissement (sans qu’il soit nécessaire d’avoir séjourné auparavant en République tchèque) ou pour d’autres motifs, s’ils séjournent sur le territoire de façon continue pendant 5 ans au minimum.
1. Loi relative au séjour des étrangers La loi n° 326/1999 Rec. sur le séjour des étrangers, qui a été récemment amendée plusieurs fois, introduit les modifications issues des dispositions communautaires relatives à la libre circulation des personnes applicables au jour de l’entrée dans l’UE. Cette loi concerne le séjour des étrangers sur le territoire de la République tchèque et par conséquent, elle ne concerne pas seulement la libre circulation des travailleurs et des entrepreneurs.
Conformément aux nouvelles dispositions de la loi sur le séjour des étrangers, les membres de la famille des citoyens de l’UE auront le droit d’acquérir un permis de séjour spécial, même s’il ne sont pas ressortissants d’un Etat membre.
La répartition des étrangers en deux catégories (citoyens d’un Etat membre de l’UE qui auront un permis de séjour spécial et qui seront en général avantagés et citoyens de pays tiers pour lesquels le régime actuel de délivrance de visas restera applicable) entrera en vigueur au jour de l’entrée dans l’UE.
Le régime antérieur de délivrance de visas demeure applicable pour les ressortissants des pays tiers, avec toutefois certaines modifications. Etant donné que l’amendement à la loi sur le séjour des étrangers comporte

mandée. En règle générale, les documents délivrés dans les Etats membres de l’UE auront la même valeur que ceux délivrés en République tchèque.
certaines inexactitudes ne permettant pas de savoir si les citoyens de l’UE, en cas de séjour en République tchèque supérieur à trois mois, sont autorisés ou s’ils sont tenus d’obtenir un permis de séjour, il est fort probable qu’un nouvel amendement à cette loi sera adopté dans un bref délai, afin d’éliminer ces imprécisions sur des points pourtant essentiels.
Pour les ressortissants des Etats membres de l’UE, les preuves relatives aux conditions générales nécessaires pour l’exercice d’une activité commerciale, le séjour et la fourniture de services, seront plus faciles à apporter. Au jour de l’entrée dans l’UE, les personnes physiques morales des Etats membres pourront présenter à la Chambre des métiers les documents requis avec leur traduction non-officielle en tchèque (l’obligation de présenter une traduction effectuée par un traducteur assermenté ou un expert demeure pour les autres étrangers).
D’autres modifications seront adoptées après la signature des Accords de Schengen par la République tchèque, entraînant la délivrance d’un visa unique pour l’ensemble du territoire de l’UE. 2. Loi relative à l’artisanat Actuellement, l’adoption d’un amendement harmonisant la loi sur l’artisanat, qui est l’un des fondements essentiels du droit public tchèque régissant l’exercice des activités commerciales, est attendue. Nous vous informerons des conséquences pratiques de cet amendement de façon détaillée dès son adoption.
A l’avenir, l’authentification de la signature et du tampon ainsi que la validation des documents relatifs à la formation professionnelle requis pour la délivrance d’une licence d’activité ne seront pas nécessaires pour les ressortissants de l’UE. En outre, il ne sera pas nécessaire que les ressortissants de l’UE présentent un permis de séjour ; la présentation d’un document attestant la non-existence de dette fiscale suffira.
Ledit amendement a pour but : – de faciliter la procédure d’acquisition de la licence d’activité, – d’assurer l’égalité entre les ressortissants des Etats membres de l’UE, afin que ces derniers puissent acquérir une licence d’activité dans les même conditions que les nationaux tchèques.
Le transfert de certaines activités commerciales nécessitant l’obtention d’une concession au sein de la catégorie des activités commerciales qui peuvent être exercées sur le fondement d’une notification à la Chambre des métiers uniquement, l’exclusion de certaines activités du régime des activités commerciales (production et distribution dans le domaine de l’énergie, certaines activités agricoles et nucléaires) et la fin de l’utilisation de la classification des activités professionnelles de fourniture de services, de production et de commerce sont d’autres modifications qui faciliteront l’établissement.
Dans l’hypothèse où l’amendement concernerait les ressortissants des Etats membres de l’UE, ses dispositions s’appliqueraient également aux personnes originaires de la Suisse et des Etats de l’Espace économique européen (à savoir la Norvège, le Lichtenstein et l’Islande).
Les formalités liées au séjour des représentants responsables des personnes morales des Etats membres de l’UE seront allégées puisque les conditions suivantes ne seront plus exigées : (i) séjour permanent en République tchèque, (ii) existence d’une relation de travail entre le représentant et l’entrepreneur et (iii) preuve de la connaissance de la langue tchèque.
Tout d’abord, la liberté de séjour des ressortissants des Etats membres est établie. Le traitement égal des citoyens de l’UE sera obtenu par les modifications des lois mentionnées ci-après. La procédure de validation de la capacité professionnelle pour les personnes exerçant les activités commerciales, déterminée par la loi (et notamment par son renvoi à la loi en préparation sur la reconnaissance de la qualification professionnelle), sera facilitée puisque l’attestation de capacité professionnelle suffit désormais ; toutefois il est possible, sous certaines conditions, de réduire la durée de l’expérience de-

Concernant l’entrée sur le territoire slovaque, la situation des ressortissants des Etats membres de l’UE est, conformément à la réglementation actuellement en vigueur, presque semblable à celle des ressortissants des Etats qui ne sont pas membres de l’UE. Cependant, les ressortissants des Etats membres de l’UE n’ont pas besoin de posséder un permis de séjour : il leur suffit de s’enregistrer (il n’est possible de refuser une demande d’enregistrement que dans les cas énumérés limitativement dans la loi, par ex. en cas de protection de l’ordre public).
sable en République tchèque (cette obligation demeurera uniquement pour les personnes morales). En outre, certaines nouvelles obligations seront déterminées. Par exemple les entrepreneurs - personnes physiques, devront également prouver lors de la notification de l’activité commerciale ou de la demande de concession pour l’activité commerciale qu’ils n’ont pas de dette relative aux paiement des cotisations sociales (jusqu’à présent, les entrepreneurs étaient uniquement tenus de prouver qu’ils n’avaient pas de dettes fiscales).
Conformément à la loi susvisée, un ressortissant d’un Etat membre de l’UE a le droit, sur le fondement de cet enregistrement, de séjourner pour une durée maximale d’un an afin d’effectuer des activités commerciales, salariales, étudiantes, pédagogiques, scientifiques, artistiques, etc.
En ce qui concerne les entrepreneurs ressortissants de pays tiers, la loi sur l’artisanat ne sera modifiée que sommairement. Ces derniers seront désormais tenus d’apporter la preuve de leur séjour permanent et le cas échéant, un permis d’exercice de l’activité commerciale leur sera délivré pour la durée de ce séjour.
Les conditions d’obtention d’un permis de séjour permanent sont identiques pour tous les étrangers : à la différence de la République tchèque, la loi slovaque ne différencie pas les ressortissants des Etats membres de l’UE des autres étrangers.
Contrairement de la République slovaque, la loi sur la validation de la qualification professionnelle est toujours examinée devant le Parlement, néanmoins son adoption est attendue dans un bref délai.
2. Loi relative à l’artisanat
RÉPUBLIQUE SLOVAQUE L’amendement à la loi sur l’artisanat, qui simplifiera les conditions d’exercice des activités commerciales par des ressortissants des Etats membres de l’UE, entrera en vigueur au jour de l’entrée de la République slovaque dans l’UE. Cette loi contiendra des dispositions spécifiques relatives aux ressortissants des Etats membres domiciliés dans l’un des Etats membres et aux personnes morales dont le siège ou le lieu d’exercice de l’activité ou de l’administration principale se trouve sur le territoire de l’un des Etats membres.
Si les ressortissants des Etats membres de l’UE auront la possibilité de travailler librement en République slovaque, il a toutefois été convenu qu’une période transitoire sera mise en place pour les Slovaques, au cours de laquelle ces derniers ne seront pas autorisés à travailler librement au sein de l’UE. Comme pour la République tchèque, cette période transitoire pourra durer 7 ans au maximum, mais ne sera pas appliquée par la Suède, les Pays-Bas, le Danemark, l’Irlande et la Grande Bretagne.
Le ressortissant de l’un des Etats membres pourra prouver son irréprochabilité (condition d’exercice de l’activité commerciale) par la présentation de l’extrait de casier judiciaire du pays où il a son domicile ou, si aucun extrait n’est délivré dans ce pays, par la présentation d’un document équivalent, délivré par un organe judiciaire ou administratif compétent (jusqu’à présent, les étrangers étaient tenus d’accomplir cette obligation en présentant également un extrait de casier judiciaire slovaque). Dans l’hypothèse où ces documents ne seraient pas délivrés, l’étranger

Cependant, l’accord écrit de la personne concernée quant à la transmission de ses données personnelles, sera exigé pour la transmission entre la République slovaque et les pays tiers. Toutefois, l’accord de cette personne sera toujours nécessaire pour le traitement de ses données personnelles.
Le ressortissant d’un Etat membre apportera la preuve de sa capacité professionnelle en présentant, selon le type d’activité commerciale, l’un des documents suivants, relatif à sa formation, à savoir: – un document relatif à l’objet et à la période d’exercice de l’activité commerciale indépendante dans l’Etat membre, ou – un document relatif à l’exercice d’une position dirigeante pour l’activité professionnelle concernée, précisant la période d’exercice, ou – un document relatif à l’objet et à la période d’exercice de l’activité professionnelle salariale dans l’Etat membre. Néanmoins, il sera nécessaire de présenter tous les documents accompagnés de leur traduction officielle en slovaque. Il sera également nécessaire d’attester de la formation professionnelle antérieure relative à l’activité commerciale concernée par la présentation d’un diplôme reconnu dans l’Etat membre ou d’un autre document accompagné de l’attestation d’une institution compétente attestant de l’équivalence de la formation concernée. Cependant, l’exercice d’une activité commerciale en République slovaque par un étranger ressortissant d’un Etat membre sera toujours conditionné par la délivrance de la licence d’activité par la Chambre de commerce slovaque compétente. 3. Loi relative aux données personnelles Les dispositions relatives à la transmission de données personnelles à l’étranger ne seront plus applicables à compter de l’entrée de la République slovaque dans l’UE. Il sera présumé que les Etats membres, en tant que pays destinataires, garantissent un niveau adéquat de protection des données personnelles. Par conséquent, la transmission des données personnelles sera facilitée puisqu’elle ne sera plus conditionnée par l’accord écrit de la personne concernée quant à 29

ties excessives ou doubles (par exemple des cautions, des polices d’assurance). Seules certaines restrictions sont acceptables, si ces dernières ne sont pas discriminatoires et visent l’intérêt public.

LIBRE PRESTATION DE SERVICES
REPUBLIQUE TCHÈQUE Les restrictions provisoires prévues relatives à la libre circulation des personnes prévues pour les périodes transitoires (cf. chapitre 2) ne concernent pas la libre prestation de services qui ne sera, de manière générale, pas limitée, à l’exception de certains services expressément définis dans les rapports avec l’Allemagne et l’Autriche. Concernant l’Allemagne, il s’agit de services réalisés dans le domaine de la construction et dans des domaines similaires, dans le domaine du nettoyage industriel, et de la peinture décorative. Concernant l’Autriche, il s’agit des services dans le domaine de la construction et dans des domaines similaires, des services dans le domaine de l’horticulture, du nettoyage industriel, des services sociaux et de sécurité.
Même si la libre prestation de services est souvent traitée en droit communautaire de manière parallèle au libre établissement, elle représente un domaine plutôt indépendant du marché commun, et ce pour les raisons suivantes: ce qui caractérise le service, c’est la prestation ayant un caractère transnational. Contrairement au libre établissement, le transfert du siège du prestataire n’est pas nécessaire ; de manière générale, la prestation de services est une activité ayant un caractère temporaire par rapport au libre établissement. La libre prestation de services concerne les prestations immatérielles qui sont réalisées à titre indépendant (contrairement au cas des travailleurs) et qui sont, en principe, fournies en contrepartie d’une rémunération. A titre d’exemple, nous pouvons citer les activités dans le domaine de la construction, du transport, les activités réalisées par les agences immobilières, par les compagnies d’assurance, les médecins, les avocats, les architectes consultants etc.
1. Loi relative à la profession des architectes autorisés, ingénieurs et techniciens dans le domaine de la construction L’amendement actuel, dont la plupart des dispositions prendra effet au jour de l’entrée de la République tchèque dans l’UE, prévoit que les citoyens des autres Etats membres de l’UE pourront obtenir une autorisation afin de fournir des prestations de services dans le domaine de la construction ou de fournir leurs services en République tchèque sur le fondement de la qualification obtenue dans un autre Etat membre.
L’activité doit également présenter un élément « communautaire », par exemple le fait qu’un prestataire de services réside sur le territoire de l’Etat du bénéficiaire aux fins de cette prestation. Il s’agit également des cas pour lesquels la nature du service même est originaire d’un autre Etat membre. Dans ce domaine ainsi qu’en cas de libre circulation des personnes, la réglementation relative à la reconnaissance mutuelle de la qualification professionnelle est fondamentale. De nombreuses directives énoncent les conditions relatives à la reconnaissance de la formation professionnelle ainsi que d’autres conditions nécessaires afin d’exercer les professions de médecins, infirmières, pharmaciens, architectes, juristes etc.
Les institutions prévues par la loi, à savoir l’Ordre des architectes et l’Ordre des ingénieurs et des techniciens agréés dans le domaine de la construction, auront compétence pour juger si, selon le cas, les conditions de reconnaissance de la qualification sont remplies. Ces organes disposeront également de certaines compétences disciplinaires. Actuellement, sont discutés au Parlement les projets de lois relatives à la reconnaissance de la formation obtenue, et ce de manière générale, ainsi que pour certains domaines particuliers. Loi sur les banques L’amendement adopté n° 126/2002 Rec. de la loi sur les banques, dont la partie n’entrera en vigueur qu’au jour de l’entrée de la République tchèque dans l’UE, est l’un des amendements d’harmonisation et devrait contribuer à la stabilisation du secteur bancaire en République tchèque.
Dans ce contexte, la République tchèque a négocié dans le Traité d’adhésion à l’UE une période transitoire pour les livraisons de travaux concernant les constructions destinées à l’habitation. Ces dernières peuvent être soumises à la TVA de 5 % jusqu’au 31 décembre 2007.
Sont notamment traités dans cet amendement l’élargissement du contrôle bancaire sur le fondement de la coopération avec les organes compétents des autres Etats membres ainsi que l’instauration d’un contrôle consolidé dans les relations transnationales. La licence bancaire unique est instaurée. En vertu de cette dernière, la banque qui a obtenu la licence sera en droit de fournir des services bancaires sur la totalité du territoire de l’UE par l’intermédiaire de ses succursales ou de fournir lesdits services de manière transnationale, sans créer de succursale dans l’Etat où le service est fourni.
Hormis l’amendement à la loi sur la TVA susmentionné, une nouvelle loi sur la TVA, qui devrait être adopté et entrer en vigueur à compter de l’entrée de la République tchèque dans l’UE, introduira des règles d’application de la TVA dans l’UE, comme par exemple les règles suivantes : – il n’existera aucune exonération de TVA pour les prestations de services réalisées dans le cadre de l’UE, à savoir soit le prestataire de services, soit le bénéficiaire seront tenus de payer la TVA, – le lieu de réalisation du fait générateur sera, en principe, le lieu où se situe le prestataire actif de services, – le lieu de réalisation du fait générateur pourra, dans certains cas, être transféré dans un autre Etat membre de l’UE, à condition que le bénéficiaire soit assujetti à la TVA et indique au prestataire de services son numéro d’identification fiscale.
3. Loi sur la TVA Dans le contexte de la libre circulation des services, la loi sur la TVA sera également modifiée. Après l’entrée de la République tchèque dans l’UE, il arrivera que l’assujetti à la TVA en République tchèque fournisse des prestations de services en faveur d’un autre assujetti à la TVA d’un autre Etat membre de l’UE et inversement. A l’avenir, ces prestations de services seront soumises à la TVA au taux en vigueur en République tchèque ou dans un autre Etat membre de l’UE. Le choix du taux de TVA applicable dépendra de l’Etat du bénéficiaire desdites prestations de services.
Exemple La société A s.r.o. – assujettie à la TVA tchèque, effectue à Prague la réparation d’un ordinateur d’un entrepreneur autrichien – assujetti à la TVA autrichienne. Ce dernier indique à la société A s.r.o. son numéro d’identification fiscale autrichien.
A compter du 1er janvier 2004, certaines prestations de services récemment soumises à la TVA de 5 % seront, dans le cadre de l’harmonisation de la loi sur la TVA avec les règles appliquées au sein de l’UE et sur la base d’un amendement à cette loi (loi n° 322/2003 Rec.), introduites dans la liste des prestations de services soumises à la TVA de 22 %, à savoir notamment :
La réparation a été réalisée sur le territoire tchèque et le lieu de réalisation du fait générateur est, par conséquent, la République tchèque. Cependant, vu le fait que l’assujetti autrichien à la TVA a indiqué (par exemple sur la commande) son numéro d’identification fiscale, le lieu de réalisation du fait générateur est transféré en Autriche et, par conséquent, ladite réparation ne sera pas soumise à la TVA tchèque. L’assujetti
– les prestations de services relatives aux immeubles, – la location des immeubles (si cette dernière n’est pas exonérée de TVA), – le traitement des données et services y afférents, 31

Cette activité sur le territoire slovaque peut être exercée sur le fondement d’un accord écrit ou d’une notification de l’organe de contrôle de l’Etat membre concerné, qui doit être adressée au Conseil.
autrichien sera, dans un tel cas, tenu de payer la TVA auprès de l’administration fiscale autrichienne, conformément à la législation autrichienne. Le numéro de son identification fiscale devra figurer sur le justificatif fiscal.
RÉPUBLIQUE SLOVAQUE 1. Loi sur le contrôle du marché financier
Le contrôle des compagnies d’assurance étrangères exerçant leur activité sur le territoire slovaque, est effectué par les organes de contrôle compétents des Etats membres, en coopération avec le Conseil. Les succursales desdites compagnies d’assurance sont également tenues de respecter les mesures adoptées par l’Etat membre concerné dans le cadre de sa politique monétaire et dans les cas où les Etats auraient adopté l’EURO en tant que monnaie officielle, les succursales en question devront également respecter les mesures prises par la Banque Centrale Européenne.
En vertu de cette loi qui est entrée en vigueur au mois d’avril 2002, le Conseil du marché financier (ci-après « le Conseil ») a été créé en vue de contrôler les activités du courtier dans le domaine des valeurs mobilières, de la succursale de ce dernier, des intermédiaires dans le domaine des services d’investissement, des bourses de valeurs mobilières, du dépositaire des valeurs mobilières, des administrateurs des valeurs mobilières, des fonds d’investissement, des compagnies d’assurance, des succursales des compagnies d’assurance, des courtiers dans le domaine de l’assurance ainsi que des autres personnes soumises au contrôle par cette administration, qui sont énumérées par la loi.
Dans l’hypothèse où l’organe de contrôle compétent de l’Etat membre retirerait à la compagnie d’assurance étrangère exerçant son activité sur le territoire slovaque le permis relatif à l’exercice de son activité, le Conseil prendra alors des mesures nécessaires, dès qu’il aura connaissance de ce fait, afin d’empêcher la prestation des services d’assurance de ladite compagnie d’assurance étrangère.
Suite à l’entrée de la République slovaque dans l’UE, le Conseil contrôlera également les personnes susmentionnées ayant leur siège social sur le territoire d’un Etat membre de l’UE et exerçant leur(s) activité(s) en République slovaque.
3. Loi sur les valeurs mobilières et les services d’investissement
2. Loi sur les compagnies d’assurance
A compter de l’entrée de la République slovaque dans l’UE, dans le cadre de la libre prestation de services, même le courtier étranger dans le domaine des valeurs mobilières ayant son siège sur le territoire d’un Etat membre aura le droit de fournir des services d’investissement en République slovaque par l’intermédiaire de sa succursale, et ce sans aucun permis si l’autorisation de fournir lesdits services lui a été accordée dans un autre Etat membre. Cependant, ce dernier ne pourra exercer son activité que sur le fondement d’un accord écrit établi par l’organe de contrôle compétent de l’Etat membre, qui doit être adressé au Conseil.
Cette nouvelle loi, dont certaines dispositions entreront en vigueur à la date de l’entrée de la République slovaque dans l’UE, régit la constitution des succursales des compagnies d’assurance ayant leur siège dans un Etat membre de l’UE, et également le contrôle exercé sur ces succursales ainsi que les autres obligations des compagnies d’assurance après l’entrée dans l’UE. Une compagnie d’assurance ayant son siège sur le territoire slovaque, qui a décidé d’exercer l’activité d’assurance dans un autre Etat membre de l’UE sans créer de succursale, est tenue d’informer par écrit le Conseil avant de commencer à exercer son activité d’assurance.
Par la notion de « succursale d’un courtier étranger dans le domaine des valeurs mobilières », la loi entend la succursale dudit courtier, située sur le territoire de la République slovaque, qui fournit tous les services d’investissement ou uniquement certains.
La compagnie d’assurance ayant son siège sur le territoire d’un Etat membre de l’UE peut exercer l’activité d’assurance sur le territoire slovaque (par le biais de sa succursale ou même sans créer 32
5. Loi sur la TVA
Le courtier étranger dans le domaine des valeurs mobilières sera autorisé à fournir des services d’investissement sans être tenu de créer une succursale, à condition qu’avant la première prestation de services d’investissement, une notification écrite soit délivrée par l’organe de contrôle de l’Etat membre compétent et adressée au Conseil.
De même qu’en République tchèque, les modifications de la loi sur la TVA sont proposées en République slovaque en relation avec le principe de la libre circulation des services. Contrairement à la situation en République tchèque, la République slovaque ne devra pas reclasser certaines marchandises et certains services soumis au taux de TVA réduit dans la catégorie de ces derniers soumis au taux de TVA normal puisque, en effet, à compter du 1er janvier 2004, un taux de TVA unique s’élevant à 19 % sera introduit en République slovaque.
4. Loi sur les banques Certaines dispositions de la loi sur les banques relatives à la libre prestation de services dans le cadre de l’UE entreront en vigueur le jour de l’entrée de la République slovaque dans l’UE. La banque étrangère qui ne bénéficie pas des avantages de la licence bancaire unique en vertu du droit communautaire (ou bien qui n’a pas son siège dans l’Etat où elle peut bénéficier de tels avantages) ne peut fournir de services bancaires par l’intermédiaire de sa succursale sur le territoire de la République slovaque qu’avec une licence bancaire.
Compte tenu du fait que le projet de la nouvelle loi sur la TVA, qui entrera en vigueur à compter du 1er mai 2004, se base sur les règles de la TVA appliquées dans l’UE, nous nous permettons de vous renvoyer à la partie tchèque du présent numéro de News. 6. Loi relative à la reconnaissance des qualifications professionnelles
Le contrôle de la succursale d’une banque étrangère est effectué par l’organe de contrôle bancaire de l’Etat membre compétent (le contrôle de la liquidité de la succursale se fait en coopération avec la Banque Nationale de Slovaquie (ci-après la « BNS »)). La succursale doit respecter les mesures adoptées par la BNS dans le cadre de sa politique monétaire.
Cette loi régit les conditions de reconnaissance des diplômes et autres documents relatifs à la formation délivrés par les écoles ou par d’autres organismes compétents en vertu des législations des Etats membres de l’UE, afin d’exercer des professions et des activités professionnelles réglementées en République slovaque ; cette législation est importante au regard de la libre circulation des personnes.
Dans l’hypothèse où une banque slovaque aurait l’intention de créer une succursale sur le territoire d’un Etat membre, elle est tenue d’informer la BNS. Si cette dernière envisage de fournir des services bancaires sans créer de succursale sur le territoire de l’Etat membre, elle doit notifier à la BNS les services bancaires qu’elle envisage de fournir avant de commencer à prester un quelconque service. Cette dernière notifie ce fait à l’organe de contrôle bancaire de l’Etat membre concerné.
La loi concerne les citoyens des Etats membres qui veulent exercer des professions réglementées en République slovaque en tant que personnes physiques ayant le droit d’exercer une activité commerciale ou une activité similaire ou même une activité salariale à l’exception de la profession de médecin, dentiste, vétérinaire, pharmacien, architecte, infirmière, sage-femme, c’est-à-dire des activités professionnelles énumérées dans l’annexe à ladite loi.
Le contrôle de la succursale d’un banque slovaque créée sur le territoire d’un Etat membre est effectué par la BNS (le contrôle de la liquidité de ladite succursale se fait en coopération avec l’organe de contrôle bancaire de l’Etat membre compétent).
Les citoyens des Etats membres dont la qualification professionnelle a été reconnue en vertu de la loi susmentionnée par l’organe compétent en République slovaque peuvent exercer une profession réglementée en République slovaque, sous les mêmes conditions que les citoyens ayant acquis la qualification professionnelle correspondante en République slovaque. 33

LIBRE CIRCULATION DES CAPITAUX
A compter du 1er janvier 2004, une modification dudit décret entrera en vigueur et instituera de nouvelles dispositions, à savoir :

Etant donné que l’objectif du droit communautaire est de faciliter la libre circulation des personnes et des services ainsi que la liberté d’établissement, il est également indispensable de libéraliser la circulation des capitaux et des moyens de paiement au sein des Etats membres.
– l’obligation de notification (à l’exception des formulaires FORM 1, 1A, 2 et 3 destinés à la Banque mondiale) ne sera applicable qu’à partir d’un montant supérieur à 1.000.000 de CZK, – les personnes physiques ne seront plus tenues par l’obligation de notification (sauf en cas de demande de la BNT), – l’obligation de notification ne s’appliquera pas aux avoirs détenus à l’étranger sur des comptes courants ou sur d’autres comptes de dépôt (les données provenant des personnes morales ne seront contrôlées que sur le fondement d’un examen annuel), – une nouvelle réglementation concernant l’obligation de notification relative aux émissions d’obligations par les résidents tchèques à l’étranger et par les étrangers en République tchèque sera applicable.
Contrairement aux autres libertés, la notion de libre circulation des capitaux et des paiements est beaucoup plus extensive, étant donné que toutes les restrictions qui influencent de manière négative la circulation transnationale des capitaux et des paiements ainsi que les restrictions discriminatoires sont interdites. Sont également interdits tous les régimes d’autorisation, les conventions de réciprocité entre les Etats membres, les systèmes d’octroi de devises ou de contrôle de la circulation de ces dernières etc. Il est fondamental de noter que la liberté en question est la seule liberté à s’appliquer également vis-à-vis des personnes physiques ou morales originaires des pays tiers. Il résulte de ladite liberté que les débiteurs peuvent remplir leurs obligations sur le territoire de l’UE, d’une manière quelconque, à savoir par tout moyen de paiement reconnu dans l’un des Etats membres et que les créanciers sont tenus de les accepter.
En ce qui concerne les citoyens de l’UE qui ne sont pas citoyens tchèques, la République tchèque a négocié dans le Traité d’adhésion les périodes transitoires suivantes :
1. Loi sur le contrôle des changes
– une période de sept ans au cours de laquelle les personnes des autres Etats membres ne pourront pas acquérir de terres agricoles ou forestières en République tchèque, – une période de cinq ans au cours de laquelle les étrangers citoyens de l’UE ne pourront pas acquérir d’immeubles en vue de les utiliser comme résidence secondaire.
La circulation des capitaux et des paiements en République tchèque est en principe déjà libéralisée et la réglementation tchèque est adaptée aux normes communautaires. Néanmoins, le résident tchèque (à savoir la personne physique ayant sa résidence permanente ou la personne morale ayant son siège social en République tchèque) est toujours tenu de notifier à la Banque Nationale Tchèque (ci-après la « BNT ») l’ensemble des flux d’investissements directs, l’acceptation ou le paiement de crédits ou l’ouverture de tout compte bancaire à l’étranger ainsi que les avoirs y étant déposés. Le rési-
Conformément aux faits susmentionnés et en vertu d’une proposition d’amendement à la loi sur le contrôle des changes, les restrictions relatives à l’acquisition des immeubles par les étrangers qui ne sont pas citoyens tchèques (sauf exceptions prévues par la loi, par exemple l’héritage, les biens acquis conjointement pas les époux etc.) resteront en vigueur. Les personnes morales étrangères pourront toujours acquérir des immeubles si elles implantent leur entreprise ou succursale en République tchèque et auront l’autorisation d’y exercer leur activité professionnelle.

être imposés, à compter du 1er janvier 2004, dans l’Etat où le bénéficiaire des intérêts et des redevances est résident fiscal. Par conséquent, ils seront exonérés d’impôt dans l’Etat d’origine.
Si l’amendement susvisé est adopté, les citoyens de l’UE ayant un permis de séjour permanent ou temporaire en République tchèque, accordé pour une durée supérieure à trois mois (cf. chapitre 2 – loi sur le séjour des étrangers), devraient avoir la possibilité d’acquérir des immeubles en République tchèque sans aucune restriction. La période de cinq ans ne s’appliquera pas dans ce cas.
L’introduction de ladite Directive fait partie de l’amendement à la LIR actuellement en cours d’adoption. Tandis que les intérêts provenant des crédits et prêts pourront être, conformément à cet amendement, exonérés d’impôt en République tchèque à compter du 1er mai 2004, l’entrée en vigueur de l’exonération des redevances d’impôt est reportée au 1er janvier 2011. L’amendement à la LIR contient des limites, notamment lorsque le créancier a le droit à une participation au bénéfice du débiteur.
Des dispositions spéciales devraient être prévues pour l’acquisition de terres agricoles et forestières. Hormis les étrangers ayant la nationalité tchèque, ces immeubles pourraient éventuellement être acquis par des étrangers inscrits en tant qu’exploitants agricoles auprès du Bureau régional en République tchèque. 2. Loi relative à l’imposition des revenus (ci-après la « LIR »)
Conformément à la Directive n° 90/435/CEE en date du 23 juillet 1990, la distribution des participations au bénéfice effectuée par la filiale en faveur de sa société mère2 ayant son siège dans le même Etat ou dans un autre Etat membre de l’UE devra être exonérée de la retenue à la source.
Conformément à la Directive n° 2003/48/CE en date du 3 juin 2003, les revenus de l’épargne sous forme de paiements d’intérêts devraient être imposés, à compter du 1er janvier 2005, dans l’Etat membre de l’UE où le bénéficiaire (personne physique) desdits revenus est fiscalement domicilié.
Cette Directive a été transposée dans le projet de LIR3 selon lequel seront exonérés d’impôt, à compter du 1er mai 2004, les revenus suivants :
Toutefois, ladite Directive prévoit une période transitoire au cours de laquelle les intérêts susvisés pourront être imposés par une retenue à la source appliquée dans l’Etat d’origine du payeur ou de l’intermédiaire versant lesdits intérêts.
– les revenus des dividendes et des autres participations au bénéfice payés à la société mère par la filiale ayant son siège en République tchèque – les revenus de la société mère relatifs à la réduction du capital de la filiale (avec certaines limitations), – le bénéfice distribué à la personne dirigeante ou exerçant un contrôle en vertu d’un contrat de distribution des bénéfices ou en vertu d’un contrat de contrôle (il doit s’agir des revenus versés par la filiale à la société mère)
Dans certains cas, il peut arriver que le montant de l’impôt retenu à la source de l’intérêt payé à l’étranger dépasse le montant de la retenue à la source prévu par la convention de non-double imposition concernée. A cet égard, un amendement à la LIR propose que la retenue à la source soit déduite de l’impôt dû par le contribuable – résident fiscal tchèque en République tchèque. Dans l’hypothèse où ladite retenue à la source dépasserait l’impôt dû, un crédit d’impôt sera alors acquis par le contribuable.
1 Sont également considérés comme emprunts/prêts les obligations, les certificats de dépôt et les dépôts assimilables ainsi que les lettres de change dont l’émission procure au débiteur cambiaire des moyens financiers et toute autre relation juridique similaire, née à l’étranger. 2 La société commerciale qui est domiciliée fiscalement en République tchèque et dont la forme juridique est une SA, une société à responsabilité limitée ou une société domiciliée fiscalement dans un autre Etat membre et qui a détenu au cours des deux dernières années consécutives au moins 25 % du capital d’une autre société, est considérée comme une société mère. 3 Le projet de LIR a été adopté en 3 ème lecture par la Chambre des députés du Parlement tchèque.
Parallèlement à la Directive susmentionnée, la Directive n° 2003/49/CE concernant le régime fiscal applicable aux paiements d’intérêts (provenant des crédits et prêts1) et de redevances, effectués entre des personnes liées d’Etats membres différents, a été adoptée. Conformément à cette Directive, tous les revenus susmentionnés devront 35
primée (voir la partie tchèque du présent numéro de News), cette dernière restera en vigueur en République slovaque, à savoir tout résident slovaque et toute succursale étrangère se situant en République slovaque seront tenus de notifier :
– les revenus de l’actionnaire qui n’est pas partie au contrat de distribution des bénéfices ou au contrat de contrôle, perçus au titre de la réalisation de ces contrats (il doit s’agir des revenus versés par la filiale à la société mère), – les revenus de la société mère ayant son siège en République tchèque provenant des dividendes et des autres participations au bénéfice issus d’une filiale ayant son siège dans un autre Etat membre.
a) les encaissements et les paiements vis-à-vis des résidents slovaques se situant à l’étranger et vis-à-vis des étrangers, et ce concernant les investissements directs ou autres, les crédits, les valeurs mobilières, les opérations sur les marchés financiers ainsi que les opérations effectuées par les étrangers ; b) l’ouverture de comptes bancaires à l’étranger ainsi que le montant des avoirs déposés sur ces comptes.
RÉPUBLIQUE SLOVAQUE En République slovaque comme en République tchèque, une période transitoire de sept ans à compter de l’entrée dans l’UE sera instaurée pour l’acquisition de terres agricoles et forestières par des étrangers. Si, à l’issue de cette période transitoire, le marché des terres agricoles est déséquilibré ou susceptible de le devenir, la Commission pourra, sur le fondement d’une demande formulée par la République slovaque, décider de prolonger la période provisoire susvisée, et ce pour une durée supplémentaire de trois ans au maximum.
Le résident slovaque (entrepreneur) et la succursale de tout étranger en République slovaque, seront désormais tenus de notifier certains faits relatifs à des actifs et passifs vis-à-vis des résidents slovaques se trouvant à l’étranger et vis-à-vis des étrangers. Les obligations de notification susmentionnées ne s’appliqueront pas aux relations vis-à-vis de la succursale d’un étranger en République slovaque.

Contrairement à la République tchèque, la transposition des Directives n° 2003/48/CE et 2003/49/CE du 3 juin 2003 en République slovaque ne fait pas partie des projets de LIR actuellement en préparation. La République slovaque a demandé dans ce domaine une période transitoire.
L’étranger (même il s’agit d’un citoyen de l’UE) ne pourra pas acquérir : – les immeubles dont l’acquisition est restreinte par la réglementation (notamment par la loi relative aux mines, la loi sur l’eau, la loi sur la protection de la nature et du paysage, la loi sur l’aménagement du territoire), – les terres agricoles et forestières.
D’après le projet de LIR, les autres participations au bénéfice, les participations au titre des indemnités compensatrices et les participations au boni de liquidation de la société commerciale seront exonérées de l’impôt sur les revenus à compter du 1er janvier 2004, et ne feront donc pas l’objet d’une retenue à la source.
Cette dernière restriction ne s’applique pas dans le cas où : – l’étranger est également citoyen slovaque, – l’étranger est citoyen de l’UE ayant un permis de séjour temporaire et acquiert des terres agricoles auprès du Fonds de réserve foncière et sous réserve qu’elles soient cultivées pendant trois ans au minimum à compter de l’entrée de la République slovaque dans l’UE
3. Loi sur la bourse des valeurs mobilières La bourse étrangère ou l’organisateur d’un autre marché public étranger réglementé ayant leur siège social sur le territoire d’un Etat membre, et dont l’activité est conforme à la réglementation communautaire, peut fournir des services au courtier dans le domaine des valeurs mobilières en

République slovaque (par exemple l’équipement technique, marketing etc.) dans le cas où ces services seraient nécessaires à l’accès du courtier à la bourse ou sur un autre marché public étranger réglementé. Ceci ne s’applique qu’au moment où le courtier dans le domaine des valeurs mobilières fournit des services d’investissement sur le fondement des droits résultant du principe de la libre prestation desdits services sur le territoire de l’Etat membre où se situe le siège de la bourse étrangère ou celui de l’organisateur d’un autre marché public étranger réglementé et également au moment où ledit courtier demande l’autorisation d’accès ou le statut de membre de la bourse étrangère ou du marché public étranger réglementé. 4. Loi sur la protection des dépôts L’objectif de la loi adoptée en 1996 instaurant le Fonds de protection des dépôts (ci-après « le Fonds »), est la réglementation de la protection des dépôts figurant sur les comptes dans les banques et dans les succursales des banques étrangères ainsi que la garantie de remboursement desdits dépôts bloqués en cas de cessation de paiement de la banque. Suite à l’entrée dans l’UE, le Fonds remboursera les personnes titulaires de dépôts bloqués et protégés ou toute autre personne prévue par la dite loi par une indemnité égale à 90% du dépôt bloqué pour un montant total maximum de 20.000 EUR, converti en couronnes slovaques. Actuellement, le Fonds accorde également une indemnité égale à 90% du dépôt bloqué, à savoir que tout titulaire de dépôt n’a droit qu’à une indemnité maximale équivalent au salaire mensuel moyen slovaque multiplié par 40 et basé sur les quatre derniers trimestres, et ce d’après l’étude de l’Institut des Statistiques de la République slovaque, à savoir 12.750 EUR maximum.

Le Règlement sera, à compter de son entrée en vigueur, applicable directement dans les Etats membres et s’appliquera dans tous les cas où une pratique contraire aux dispositions des articles 81 et 82 du Traité sera susceptible d’affecter le commerce entre les Etats membres. Les Etats membres appliqueront, dans les cas où il ne s’agit pas d’une atteinte à la concurrence ayant un effet sur le commerce entre les Etats membres, leurs législations nationales qui peuvent avoir des dispositions plus restrictives que celles des articles 81 et 82 du Traité.
EU
DROIT DE LA CONCURRENCE Le droit communautaire de la concurrence régit les relations de dimension européenne, à savoir celles qui peuvent avoir des effets négatifs sur le commerce entre les Etats membres ; il a pour but de protéger le marché intérieur. Si la relation n’est pas de dimension européenne, seul le droit national de la concurrence des différents Etats membres s’applique à celle-ci.
Selon la réglementation actuellement en vigueur, la Commission est compétente pour toutes les affaires concernant les ententes et les abus de position dominante et les entreprises sont tenues, lorsqu’elles souhaitent procéder à une entente interdite par l’article 81 du Traité remplissant les conditions de l’article 81 alinéa 3 du Traité, de demander à la Commission, avant qu’elles procèdent à l’entente, la délivrance d’une exemption individuelle.
Ce vaste domaine de la législation concerne notamment les différentes ententes entre les entreprises ; sont interdits les ententes entre entreprises, les décisions d’associations d’entreprises et les pratiques concertées qui sont susceptibles d’affecter de manière négative le commerce entre les différents Etats membres et porter atteinte à la libre concurrence ainsi que l’abus de position dominante d’entreprises ayant une telle position sur le marché concerné.
Etant donné le nombre croissant d’Etats membres de l’UE, cette réglementation est devenue trop encombrante puisque la Commission doit étudier une multitude de demandes de délivrance d’exemptions individuelles. La modification la plus importante que le Règlement apporte est la suppression des exemptions individuelles et leur substitution par des soi-disant exemptions légales.
La législation communautaire met également en place un contrôle des opérations de concentration d’entreprises (alliances, joint-ventures, fusions et acquisition du contrôle d’une entreprise), des monopoles d’Etat, des entreprises publiques, des subventions d’Etat, etc. 1. Règlement du Conseil n° 1/2003/CE
Les ententes et les pratiques qui remplieront les conditions déterminées aux articles 81 et 82 du Traité seront autorisées sans qu’une décision préalable de la Commission soit nécessaire. Le contrôle de compatibilité de l’entente ou de la pratique avec les articles 81 et 82 du Traité sera transféré directement de la Commission aux entreprises.
En relation avec la reforme du droit communautaire de la concurrence, nous attirons votre attention sur l’adoption du Règlement du Conseil n° 1/2003/CE relatif à la mise en œuvre des règles de concurrence prévues aux articles 81 et 82 du Traité qui entrera en vigueur le 1er mai 2004 (ci après le « Règlement »). Ce Règlement met en place une procédure applicable dans le domaine des accords, des décisions et des pratiques portant atteinte à la libre concurrence ainsi que dans le domaine de l’abus de position dominante (le Règlement ne s’applique pas aux concentrations).
Les exemptions individuelles qui ont été accordées par la Commission avant le 1er mai 2004 resteront en vigueur jusqu’à l’expiration de la durée pour laquelle elles ont été délivrées. Les demandes de délivrance d’exemption individuelle qui n’auront pas fait l’objet d’une décision avant le 1er mai 2004 ne seront pas examinées par la Commission (après l’entrée de la République tchèque dans l’UE, la même procédure s’appliquera aux demandes de délivrance d’exemptions individuelles présentées à l’Office de protection de la concurrence).
Le Règlement rend plus efficace la procédure en matière d’ententes et d’abus de position dominante, renforce les compétences de la Commission et transfert certaines compétences aux autorités nationales de la concurrence. 38
En général, la nouvelle réglementation vise à permettre à la Commission de n’étudier que les affaires essentielles et, dans les autres cas, à transférer sa compétence aux offices nationaux de concurrence. Ces derniers pourront également appliquer les articles 81 et 82 du Traité et délivrer des décisions similaires à celle de la Commission, à savoir l’interdiction de poursuivre une entente ayant des effets négatifs sur la libre concurrence, la délivrance d’une ordonnance de mesures provisoires et la mise en œuvre de sanctions. La Commission ne devra, selon le principe de subsidiarité, s’occuper que des cas qui ne peuvent être effectivement résolus par les offices nationaux de concurrence. Par conséquent, elle perdra sa compétence exclusive dans ce domaine.

La Commission sera autorisée, en cas de violation du Traité, non seulement à infliger une amende mais également à prendre des mesures visant à modifier la structure de la société touchée. L’autre modification essentielle apportée par le Règlement est que, dans le cas où une amende serait infligée à l’entreprise partie à l’entente, les entreprises seront également solidairement responsables du paiement de l’amende infligée. Le Règlement apporte plusieurs modifications et il est probable que la loi tchèque sur la protection de la concurrence sera également amendée dans les mois à venir.
La répartition des compétences entre la Commission et les offices nationaux de concurrence sera fondée sur le principe de coopération bilatérale. La position spécifique de la Commission sera maintenue et ceci se manifestera notamment par le fait que les offices nationaux de concurrence seront tenus d’informer préalablement la Commission du fait qu’ils ont entamé une procédure fondée sur les articles 81 et 82 du Traité et, avant la fin de la procédure, de la décision qu’ils envisagent de rendre.
2. Règlement de la Commission n° 1400/2002/CE concernant l’application de l’article 81, paragraphe 3 du Traité Le règlement du 31 juillet 2002 concernant l’application de l’article 81, paragraphe 3 du Traité à des catégories d’accords verticaux et de pratiques concertées dans le secteur de l’automobile est actuellement en vigueur dans les pays de l’UE, comme nous vous en avons informés dans le dernier numéro de PL News (concernant l’application du règlement en République tchèque et en République slovaque, voir infra).
Dans l’hypothèse où la procédure serait entamée par la Commission, les offices nationaux de concurrence ne seront plus compétents pour le traitement de cette affaire. Si l’office national de concurrence a déjà effectué certaines démarches dans cette affaire, la Commission pourra reprendre la procédure après consultation de cet office national de concurrence. La Commission demeurera exclusivement compétente dans le domaine de la délivrance d’exemptions catégorielles.
Le Règlement de la Commission n° 1400/2002/CE s’applique aux : – accords verticaux relatifs à l’achat ou à la vente de véhicules neufs ou de pièces de rechange ; – accords verticaux relatifs à la prestation de services de réparation et d’entretien de véhicules.
RÉPUBLIQUE TCHÈQUE
La Commission et les offices de concurrence seront tenus de coopérer étroitement en vue de garantir l’application uniforme du droit communautaire de la concurrence. L’uniformité des décisions sera notamment assurée par le respect par les offices nationaux de concurrence et les tribunaux des Etats membres des décisions de la Commission lorsqu’ils jugeront des affaires en rapport avec les articles 81 et 82 du Traité.
La législation tchèque relative à ce domaine (notamment la loi sur la protection de la concurrence) est déjà, depuis un certain temps, harmonisée avec la législation communautaire. En République tchèque, une période transitoire entrera en vigueur à compter du 1er novembre 2004 pour l’application du règlement de la Commission n° 1400/2002/CE susmentionné concernant la délivrance d’exemptions catégorielles pour certains types d’accords dans le secteur automobile.
La règle selon laquelle la Commission sera tenue de consulter le Comité consultatif qui rassemble des représen39
Il convient de souligner que les entreprises concurrentes sur le marché tchèque seront soumises à la compétence de l’Office de protection de la concurrence et des tribunaux tchèques, qui, à compter de l’entrée de la République tchèque dans l’UE, seront compétents pour appliquer le droit communautaire de la concurrence, et à la compétence de la Commission qui a été élargie par le règlement mentionné ci-dessus.
RÉPUBLIQUE SLOVAQUE La République slovaque a obtenu l’application de trois périodes transitoires. Une période transitoire jusqu’à fin 2008 concerne le versement de subventions d’Etat aux sociétés du secteur automobile, dans la limite de 30% des charges d’investissement. Dans l’hypothèse où le montant maximum de la subvention d’Etat serait acquis avant la fin de cette période transitoire, aucune autre subvention d’Etat ne pourra être versée. Une seconde période transitoire accordée à la République slovaque jusqu’à la fin de 2009 concerne le versement de subventions d’Etat aux sociétés du secteur de l’acier, dans la limite de 500.000.000 de dollars US et à condition que la société conserve ses emplois, n’élargisse pas la gamme de ses produits et respecte les limites définies pour la production et la vente de certains produits. La société présentera à la Commission tous les six mois un rapport contenant toutes les données utiles. La période transitoire relative à l’application du règlement de la Commission n° 1400/2002/CE sur l’application de l’article 81 paragraphe 3 du Traité CE s’appliquera également en République slovaque. Ce règlement entrera en vigueur au moment de l’entrée de la République slovaque dans l’UE et prendra effet à compter du 1er novembre 2004.

FREE MOVEMENT OF GOODS
All of the above–stated categories of prohibited obstacles are interpreted very broadly, with the purpose of supporting free movement of goods among the Member States as much as possible.
EU
The instrument for realization of this freedom is especially the establishment of a customs union. One of the fundamental principles of the customs union is a common customs policy, inclusive of a Common Customs Tariff, which is applied against Non-Member States.
In practice, it appears that, in addition to the above–stated obstacles, the free movement of goods is also considerably restrained by the obstacles resulting from the dissimilarity in legal regulations of the Member States regulating the technical parameters of products as well as the relevant certification procedures. Therefore, in this chapter, we focus on a current amendment to the Act on Safety of Products in Czech Republic.
The regime of free movement relates to all trades with goods that are deemed to be products that may be the subject matter of a business transaction (this term includes, among other things, electricity and other kinds of energy, waste, fine–art objects, pharmaceuticals). These products may originate from the Member States or it may concern the goods that originate from nonEU states but were released into free circulation within the EU Member States.
CZECH REPUBLIC 1. Customs Regime in the Czech Republic as of May 1, 2004 As of May 1, 2004, a distinction will be made between trade with EU Member States, i.e., so–called intra-Community trade, and trade with non-EU states. As of this date, all customs controls pertaining to the movement of goods across the internal border (i.e., the common border with other Member States), along with the customs duties and fees connected therewith, will be cancelled. These controls will continue to be conducted only at international airports and will apply to flights outside the territory of the European Union.
To ensure this freedom, the European law defines the prohibited obstacles to the free movement of goods. Among the prohibited obstacles belong: customs duties and measures having equivalent effect to that of customs duties and internal discriminatory taxation on imports, (ii) so-called quantitative restrictions, i.e., quotas and measures having an effect equivalent to that of quotas, (iii) state trade monopolies, (iv) state supports for domestic businesses, inclusive of discriminatory public procurement. (i)
The entities carrying out intraCommunity trade will be obliged to fill out so-called INTRASTAT reports for the purpose of compiling statistics regarding movement of goods within the EU. Depending on the amount of the turnover shown, the entities will have the graded obligations to report the statistical data. This obligation will reflect different details of statistical reports as well as the frequency of their submission. Although no legal regulation regulating this issue has yet been adopted in the Czech Republic, it is assumed that these reports will be submitted to the respective customs authorities, which, in turn, will carry out the first data processing and will submit the information obtained to the Czech Statistical Office. We will continuously update you with new information in this field.
The measures having equivalent effect to the customs duties are deemed to be any monetary fees, regardless of their amount or method of collection, that represent a unilateral burden on domestic or foreign goods crossing the state border, i.e., for instance, the fees for import licenses. The internal discriminatory taxes, i.e., the taxes that in the end represent a greater burden on foreign goods than on domestic goods, are also prohibited. The quantitative restrictions are deemed to be all legal regulations and other official measures adopted by the Member States, which may be, directly 41

2. VAT Applications
Several transition periods have been stipulated in the area of customs duties, the most important probably being the deferral of the opening of the gas market until January 1, 2005.
Although movement of goods within the EU is not subject to customs duties and other fees, it does not mean that it is exempt from payment of the value added tax (hereinafter “VAT”). VAT is regulated by the legal rules of individual Member States pursuant to the respective EU Directive and it serves as income of the national budgets of the Member States. Although the final version of the Value Added Tax Act effective as of May 1, 2004 has not yet been adopted in the Czech Republic, the following principles will be used when making applications with regard to VAT: 1. supply of goods by a Czech VAT payer to a VAT payer from another Member State will be deemed to be a taxable supply exempt from VAT for the Czech VAT payer, coupled with the right to apply for the input VAT deduction, i.e., the Czech VAT payer will supply its goods for the price exclusive of VAT as an intraCommunity taxable supply and it will state this fact in the respective summary report - a tax return on realized intra-Community taxable supplies. This form should contain the taxable supplies realized in the past calendar quarter. Prior to the accession of the Czech Republic into the EU, the above-stated regulations will be translated into Czech language and published. In the area of customs duties, no significant change is expected in the Czech legal regulations as they have already been harmonized with the European regulation. In this respect, we point out that in the case of transiting goods outwith the European Union (whether import or export), minimal customs procedure will be conducted by the foreign customs authorities. For instance, in the case of the import of goods originating from a non-EU state, where a Czech importer imports goods from Senegal via Hamburg harbour, the importer will have two options: it may either clear the imported goods directly at the Hamburg customs office, or the customs office releases the goods to the transit regime and the goods will be released into free circulation only by the respective Czech customs office (the customs duty will be paid in the Czech Republic).

The Czech Republic also negotiated the following transition periods: – to retain the reduced VAT rate applied on supply of heat energy until December 31, 2007, – to retain the reduced VAT rate applied on construction services in the field of housing until December 31, 2007, – to retain the reduced rates of the consumer taxes for cigarettes and tobacco products until December 31, 2006, on which date, the taxation level attained must be 57 %.

Furthermore, the proposal to the Act sets an exception that exempts the entities registered as VAT payers in another Member State from registration as VAT payers in the Czech Republic, provided that they carry out mail-order business into the Czech Republic to the person who is not a VAT payer in the Czech Republic, and provided the value of the goods supplied does not exceed EUR 35,000.

At the same time, the Czech VAT payer will be entitled to apply for the input VAT deduction.
3. Act No. 102/2001 Coll., On Safety of Products The amendment to the said act, coming into effect on May 1, 2004, aims especially at unifying the conditions for consumer protection with regard to the safety of products sold in the Czech internal market with the conditions valid in EU Member States.
The rates of VAT should remain unchanged, i.e., the basic rate is 22 % and the reduced rate is 5 %. Following the accession of the Czech Republic to the EU, a person (whether a legal entity or an individual), whose turnover exceeds the sum of CZK 1,000,000 during the preceding consecutive twelve calendar months, should be deemed as a VAT payer.
Pursuant to the new regulation, the range of the products to which this Act applies and which, therefore, have to meet the safety requirements, will be broadened. It will now also apply to the products that are not primarily intended to be offered to the consumer, but it may be expected under reasonably foreseeable conditions that consumers will use them (for instance, the products designed for professional use which may, under certain circumstances, be released to the consumer market). The Act does not apply to services, but it also now applies to products supplied to consumers for use in connection with provision of a service.
To be able to prove a claim for VAT exemption when supplying goods to another EU Member State, as of accession of the Czech Republic into the EU, the Czech Republic will be connected to the VIES electronic system (VAT Information Exchange System). This system, which will serve as means of verifying validity of a tax identification number (TIN) issued in another EU Member State, ensures an exchange of information within the territory of the European Union in the area of VAT. To verify the aforementioned TIN, the Czech VAT payers will be able to address, whether in person, by mail, telephone, fax or e–mail, the relevant department of the Ministry of Finance of the Czech Republic, wherein the Internet application of the “Register of VAT payers” should also be available.

As of the day of accession of the Slovak Republic into the European Union, application of these regulations should not bring any more significant changes to the performance of customs formalities in relation to non-EU states because the current legal regime of the Slovak Republic in the area of customs duties is in principle compatible with the regulation introduced by the European Union.
The supervisory authorities will now be entitled to order the producer or distributor to reclaim the dangerous product from the consumer. If the supervisory authorities receive evidence that the product is dangerous although it meets all the requirements laid down in the legal regulations, they will be entitled to restrict its launching onto the market, or will order its withdrawal or reclaiming.
The Customs Administration is presently an administrator of the consumer tax on mineral oils. Upon the accession of the Slovak Republic into the EU, the administration of all the other excise taxes, i.e., consumer tax on beer, wine, spirits and tobacco products, will be transferred to the Customs Administration.
SLOVAK REPUBLIC 1. Customs Regime in the Slovak Republic as of May 1, 2004 As in the Czech Republic, trade with an EU Member State, i.e., so-called intraEU trade, will not be subject to customs control, customs duties and fees collected when exporting and importing goods. The customs controls will be conducted only at borders with the Non-Member States as well as at the international airports (the same will be applied in the Czech Republic).
2. VAT Applications When importing and exporting goods to the territory of the Slovak Republic, similar principles as stated above for the Czech Republic will be applied, even in relation to EU Member States as well as in relation to non-EU states.
On the date of accession of the Slovak Republic into the European Union, the Common Customs Tariff will be also applied in the Slovak Republic (i.e., the Council Regulation No. 2658/87/EEC of July 23, 1987 establishing the Common Customs Tariff).
While in the Czech Republic, VAT payers will be the entities whose turnover exceeds the sum of CZK 1,000,000 during the preceding twelve consecutive calendar months, however pursuant to the Slovak proposal of the new Value Added Tax Act, the VAT payers will be deemed to be the entities whose turnover exceeds the sum of SKK 1,500,000 in the said period.
Similarly as in the Czech Republic, the INTRASTAT system of statistical monitoring will be introduced in order to compile statistics on movement of goods within the EU. From the standpoint of businessmen, the introduction of the INTRASTAT system will involve an obligation to report the data concerning the business transactions executed between the Slovak Republic and

As in the Czech Republic, VAT payers from other EU Member States who realize supplies to VAT non-payers in the Slovak Republic in form of a mailorder business, will not be obliged to register as VAT payers in the Slovak Republic, if their turnover, on the basis of these supplies, does not exceed the sum of SKK 1,500,000 (the sum equivalent to EUR 35,000). 3. Act on Pharmaceuticals and Medical Products The Amendment No. 256/2003 Coll. to this Act, in force on August 1, 2003 implements the EU Directives on pharmaceuticals. An application for registration of a pharmaceutical must, inter alia, also contain: – a draft of the summary of characteristic properties of a pharmaceutical in the codified version of the national language intended for the professional community and the summaries of characteristic properties of a pharmaceutical as approved in the EU Member States in which the given pharmaceutical has already been registered, – a draft of the information in writing intended for consumers in the codified version of the national language, the information in writing for consumers approved in the EU Member States in which the given pharmaceutical has already been registered. When evaluating the quality, safety and potency of a pharmaceutical, the State Institute may accept the evaluations and conclusions of an evaluation report elaborated either by the EU Member State, or the European Agency for the Evaluation of Medical Products.

tive discrimination” of foreigners. In the case of freedom of establishment, the Member States can, under certain conditions, favour the foreign entrepreneurial entities, for instance in taxation.
FREE MOVEMENT OF PERSONS
Under EU law, a worker from an EU Member State has a right to non-discrimination when working in another Member State during the entire course of his/her employment relationship, inclusive of the same social and tax conditions. He/she can enter the territory of any Member State, freely move as well as remain in this territory in order to perform work and actively seek employment. The worker from another Member State is also entitled to remain in the given Member State even after termination of his/her employment (for instance, as a pensioner). The Member States are obliged to issue a residence permit for the minimum period of five (5) years to the workers, who submitted their employer’s confirmation of employment. Subject to fulfilling the respective conditions, this permit is automatically renewable.
EU
In the introduction, we have briefly described the legal regulation of this fundamental freedom in the European Union. Under the EU law, the free movement of persons is understood, first and foremost, in an economic sense, i.e., as freedom of movement of workers and freedom of establishment. The goal is to enable the workers and self-employed persons (entrepreneurs) to carry out economic activity in the entire territory of the common market. The rights arising from the principle of free movement of persons may be invoked primarily by a worker, i.e., a national of an EU Member State who pursues genuine economic activity for another person for a certain time period, upon the person’s instruction, and for consideration. Furthermore, this freedom also relates to entrepreneurs, i.e., (i) individuals who are nationals of one of the EU Member States and (ii) legal entities, if they are established under the law of any of the EU Member States and have their registered office in any of these Member States.
Similar rights then also apply to family members of both the workers and the entrepreneurs, regardless of whether or not they are nationals of any of the EU Member State. The family members thus have a right to work, study, and also, under certain conditions, remain in the respective Member State after termination of the worker’s activity, and, under certain conditions, even following his/her death.
In this regard, ‘establishment’ is deemed as commencing a certain kind of business by a person from one of the EU Member States in another Member State (i.e., establishing a branch, sales agency, subsidiary, etc.) and executing business activity. At the same time, the establishment is defined as any ‘selfemployed activity performed at the entrepreneur’s own account and own liability’.
The exceptions to the free movement of workers and freedom of establishment are permitted if the exception concerns the activity relating to the exercise of public powers and for reasons of public policy, public security and public health. Currently in legislative procedure there is a draft of a Directive that would have in the event it is enacted a substantial impact upon the above-described legal regulation of the freedom of movement of persons. In the event it is enacted it would have to be adopted by the Member States by July 1, 2005.
Although European law regulates the areas of free movement of workers and of freedom of establishment relatively separately, there are many parallels between the two legal regulations. The basic principle present in both these freedoms is prohibition of discrimination, meaning that the workers, or entrepreneurs as the case may be, from other Member States are put on equal footing with the domestic entities (for instance, knowledge of the language can be a prerequisite only if such a prerequisite is unconditional for the given job). While in the case of workers, this prohibition also applies to a so-called “posi-

A draft of the new Directive broadens the term of “family member” to include even an unmarried partner and descendants of the entitled person as well as his/her ancestors regardless of their age (hitherto it applies only to descendants who are younger than 21 years) regardless of whether or not they are his/her dependants. The unmarried partner as well as husband/wife would enjoy the protection of Community Law even in the event of death of the entitled person, divorce or termination of the partner relationship.
Regarding the residence of EU citizens of the EU in the Czech Republic that is longer than three months, a distinction must be made between a temporary residence and a permanent residence. The persons applying for the temporary residence permit, who will not reside in the territory of the Czech Republic for the purpose of exercising a function of the statutory body, undertaking business or employment, will be obliged to present a sworn affidavit stating that in the Czech Republic they will not apply for any social security benefits as well as are obliged to abide by this condition. Any breach of this condition should result in cancellation of the residence permit. The temporary residence permit will in principle be issued for the period of five years (for the period of one year in the event of an application for the purposes of study).
CZECH REPUBLIC In the area of free movement of workers, a transition period was arranged for work of Czech citizens within the other Member States of the European Union, which - leaving discretion to the individual Member States - can last for a maximum period of seven years. It is assumed, however, that the Member States will make use of this right to lay down the transition period for a maximum period of two years. Some Member States (Great Britain, Ireland, Netherlands, Sweden, Denmark and possibly also Greece) have already declared that they will fully open their labour markets as of the date of the new Member States’ accession. The work of nationals of the other EU Member States is not subject to any transition period within the Czech Republic.
The permanent residence permit, which will be issued with validity for the period of ten years, will possibly be granted only for the prescribed enumerative reasons that are nonetheless, in contrast to the previous legal regulation, significantly broadened in favour of the EU citizens. In addition, the citizens of the EU will thus be able to obtain the permanent residence by: virtue of their employment (if they have been continuously residing in the Czech Republic for the period of 3 years); exercise of the function of a member of the statutory body (even without having previously resided in the Czech Republic); undertaking business in the territory of the Czech Republic (even without having previously resided in the Czech Republic), or; residing in the territory of the Czech Republic continuously for the minimum period of five years for other than the above-stated reasons.
1. Act on Residence of Foreigners In the Czech Republic, among other laws, the Act No. 326/1999 Coll., on Residence of Foreigners, reflects the changes that will occur on the day of entry to the European Union in connection with the Community’s legal regime of the free movement of persons, which has recently been amended several times. This Act generally regulates the issue of foreigners residing in the territory of the Czech Republic, that is, it does not only apply to the free movement of workers and entrepreneurs. Effective as of the day of entry to the EU, two categories of foreigners entering the territory of the Czech Republic will be distinguished: the nationals of one of the EU Member State who will hold a special residence permit and will be generally favoured, and the nationals of non-EU Member States, for whom the existing regime of granting visas will be preserved.
Under the new legal regulation of the Act on Residence of Foreigners, family members of the European Union citizens are also to be granted a special residence permit even in the case that these persons are not themselves citizens of the relevant Member State. 47
in the case of trades, for which the Act stipulates so, will be simplified (also in relation to the upcoming Act on Recognition of Qualification) because, henceforth, documentation on recognition of a particular qualification will be sufficient; and, under certain conditions, it will be possible to lower the required length of experience. In general, the documents issued in the EU Member States will henceforth be given the same probative value as the documents issued in the Czech Republic.
As to the nationals of non-EU Member States, the original legal regime of granting visas will remain in force, except for minor changes. The amendment to the Act on Residence of Foreigners contains certain discrepancies meaning that it is not sufficiently clear in the Act whether an EU citizen who resides in the territory of the Czech Republic longer than a period of three months is entitled or obliged to obtain a residence permit. In view of this fact it can be envisaged that, in the near future, there will be an additional amendment enacted to the given Act, thereby removing these essential discrepancies.
The nationals of the EU will have a simplified procedure of proving their compliance with the general conditions for carrying on trades and will have the same conditions for residing as well as rendering services. As of joining the EU, the individuals and legal entities from the Member States of the EU will thus be able to submit to the respective Trade Licensing Office the required documents only accompanied by an unofficial translation into the Czech language (however, the non-EU foreigners will continue to comply with the duty to submit a document translated either by an expert or an official translator).
Further changes will occur in the future, i.e., following accession of the Czech Republic to so-called Schengen Treaties, whereby it is intended that a so-called uniform Schengen visa will continue to be issued for the entire territory of the EU. 2. Trade Licensing Act At present, enactment of the harmonizing amendment to the Trade Licensing Act, which, under Czech law, is one of the main public regulations governing the area of entrepreneurial activities, is not yet complete. Following its enactment, we will inform you in greater detail of the practical consequences of this amendment.
Furthermore, henceforth EU nationals will be exempt from the mandatory verification of the authenticity of a signature and imprint of a stamp, recognition of documents about education for the notification of a trade or the application for license. Similarly, it will not be necessary for the persons coming from the European Union to submit a document evidencing a residence permit; it will be sufficient to submit a document proving nonexistence of tax arrears.
Purpose of the amendment is as follows: – to simplify the procedure for obtaining authorization to undertake business, – to ensure equal treatment to entities from the EU Member States in that they may obtain trade licenses under the same conditions as Czech entities.
Other changes that should simplify commencement of establishment will be the reclassification of some licensed trades to notifiable trades, elimination of some trades from the regime of trades (production and distribution in energy sector, certain trades in the field of agriculture, activity connected to nuclear facilities) and abolishment of existing classifications by trades rendering services, manufacturing trades and commercial trades.
In the cases wherein the amendment regulates the treatment of the EU entities, these provisions apply also to the entities originating from Switzerland and the countries of the European Economic Space (EES), i.e., Norway, Liechtenstein and Iceland. First and foremost, the freedom of residence of persons from the EU Member States is stipulated. Equal treatment in relation to persons from the European Union should be attained by the belowdescribed modifications to the Act.
There will be a simplification in the legal status of responsible representatives of the entities from the EU Member States as these responsible representatives will no longer have to abide by the following requirements: (i) permanent residence in the Czech Republic,

No. 48/2002 Coll., effective as of April 1, 2002. However, prior entry of the Slovak Republic to the EU, it will be necessary to amend this Act so that the Act fully corresponds to European law. This Act relates to the position of all foreign nationals in the Slovak Republic, i.e., not only to the citizens of the EU Member States.
(ii) existence of employment relationship of the responsible representative and the entrepreneur, and (iii) proof of knowledge of the Czech language. In the event that an entrepreneur (an individual person) from the EU Member State does not have a permanent residence in the territory of the Czech Republic, he/she will be no longer obliged to establish the function of responsible representative in the Czech Republic (thus, henceforth this duty will be binding only upon the legal entities from the EU).
Under the existing regime, upon entering the Slovak Republic, the citizens of the EU hold a similar position to foreign nationals from non-Member States. However, in contrast to the citizens from non-EU Member States, the citizens of the EU do not need any permit for temporary residence; their registration is sufficient (application for registration can be refused only for specifically enumerated reasons – for instance, protection of public order).
Furthermore, certain new duties will have to be fulfilled by all entrepreneurs, for instance, when notifying a trade or submitting an application for license, the entrepreneurs – individuals will newly have to prove that they do not have any arrears of social security contributions as well as any arrears of state employment policy contribution (to date, it has been necessary to prove only non-existence of tax arrears).
Under this Act, on the basis of registration, a foreigner who is a national of the EU Member State has a right to temporary residence for a maximum of one year and for the purpose of carrying out especially economic activity, employment or studies, as well activity such as pedagogic, scientific or artistic activity.
As regards entrepreneurs coming from non-EU Member States, the existing legal regime as contained in the Trade Licensing Act will be modified only minimally, i.e., these entities will have to continue to prove that they have a permanent residence and they will be allowed to undertake a business only for the length of their residence, etc.
In the event of an application for permanent residence, the conditions applicable to foreigners are identical. This means that, as opposed to the Czech Republic, hitherto the Act on Residence of Foreigners does not distinguish between the foreigners of the EU and nonEU States.
In contrast to the Slovak Republic, the Czech Act on Recognition of Qualification is still under discussion in Parliament and enactment is expected soon.
2. Trade Licensing Act Effective upon entry of the Slovak Republic to the European Union, this amendment to the Trade Licensing Act will facilitate establishment of foreigners from the EU Member States. The special provisions of this Act will relate to the individuals who are nationals of an EU Member State and resident in that EU Member State as well as to the legal entities that have their registered office, place of business or main management board in the territory of the EU Member State.
SLOVAK REPUBLIC Following entry of the Slovak Republic to the EU, the nationals of the EU Member States will be able to work in the territory of the Slovak Republic without any limitation. However, it was negotiated that the citizens of the Slovak Republic will have a transition period during which the Slovak citizens will not be able to work freely within the EU. Similarly to the Czech Republic, this transition period may last up to seven years and relates to work in all of the Member States, except for Sweden, Netherlands, Denmark, Ireland and Great Britain.
A foreigner from an EU Member State will be able to prove fulfillment of the condition of irreproachability (one of the conditions for carrying out a trade) only by submitting either an extract from the Criminal Register of his/her domestic Member State or an equivalent document issued by the respective court or administrative body, if such an extract is not issued to an individual in

fied because it will not be subject to the concerned person’s written approval of the transfer between the Slovak Republic and the EU Member States, as it was hitherto.
the domestic Member State (hitherto foreigners were required to prove fulfillment of this condition also by means of an extract from the Criminal Register of the Slovak Republic.) If such documents are not issued, it will be possible to prove irreproachability by means of a sworn affidavit before the body that is competent to verify its contents as well as authenticity of the signature.
However, the concerned person’s written approval of the transfer of the personal data will be required for the transfer between the Slovak Republic and non-EU Member States. The concerned person’s approval of processing the personal data is still necessary.
In the case of a foreigner from an EU Member State, an expertise will be proved by means of the document evidencing the respective education, and furthermore, depending on the character of the given trade, proved especially by some of the following documents: – document evidencing the subject matter and time period of performing the individual entrepreneurial activity in the EU Member State, or – document evidencing performance of professional activity in a managerial position as well as of the time period of its performance in the Member State, or – document evidencing the subject matter and time period of performing a professional employee type-activity in the Member State. However, all the documents, along with their officially verified translation into the Slovak language, will have to be submitted. The previous education relevant to the respective activity relating to the individual trades will be proved by a diploma recognized by the Member State, or by other satisfactory documentation, along with a confirmation from the respective professional or commercial institution of the Member State confirming equivalence of this education. However, the undertaking of business by a foreigner from an EU Member State in the territory of the Slovak Republic will still be subject to the issue of trade licenses by the respective Trade Licensing Office in the Slovak Republic. 3. Act on Personal Data Protection On the day of entry of the Slovak Republic to the European Union, the provisions relating to the cross border flow of data will cease to be valid. It will be presumed that an EU Member State, as the destination country, will guarantee adequate protection for the transfer of personal data. The transfer of the personal data will thus be simpli50

rendered, requiring unreasonable or duplicate guarantees from providers of services (advance deposits, insurance). Only certain kinds of limitations of free movement of services are acceptable on the assumption that they are not discriminatory and that they serve in the public interest.

Although the legal regime governing this freedom is often paralleled with the regime governing the freedom of establishment, it constitutes a relatively independent area of the common market, namely for the following reasons. The essence of a service is its product, i.e., the performance that is being rendered across the borders of the Member States. In contrast to the freedom of establishment, it is not necessary to, for instance, move a registered office; in general, it concerns an activity of more temporary character than establishment.
The laid down temporary limitations of the free movement of persons (as described above in chapter 2) do not apply to the free movement of services which, essentially, will not be limited in any way except for certain enumerated services in relation to Germany and Austria. With regard to Germany, services in the construction industry, inclusive of all related fields, industrial cleaning services and interior painting are limited. As regards Austria, limited services are services in the construction industry, inclusive of related fields, gardening services, industrial cleaning services, social work and security services.
Free movement of services applies to performances, i.e., to intangible performances, which are executed separately (in contrast to workers) and, as a rule, for consideration. It concerns, for instance, the services rendered in the construction industry, the activities of real estate agencies, insurance companies, the activities of medical doctors, lawyers and architects as well as consulting services, transportation, and the like.
1. Act on performing a profession of authorized architects and engineers and technicians operating in the construction business The up-to-date amendment, with the majority of the provisions coming into effect on the day of entry of the Czech Republic into the European Union, will enable state nationals of other EU Member States to obtain a permit to perform in the Czech Republic certain activities in the construction industry or on the basis of a qualification gained in another Member State.
Again, it must, nonetheless, concern an activity of ‘European element’, i.e., it concerns the cases when a provider of the service is present in the territory of the country of a recipient of this service for the purpose of rendering this service or vice versa. Furthermore, it concerns the cases when the essence of the service itself has an origin in another Member State.
The law-stipulated bodies, i.e., the Czech Chamber of Architects and the Czech Chamber of Authorized Engineers and Technicians in the Construction Industry will be entitled to assess whether the conditions for recognition of qualification are fulfilled in a given case and will also have certain disciplinary powers.
In this area, the same way as it is in the case of the free movement of persons, the legal regulation of mutual recognition of a professional qualification has an essential significance. A number of Directives were adopted stipulating the conditions for recognizing attained education as well as other requirements for performance of the professions such as medical doctors, nurses, pharmacists, architects, lawyers, etc.
Currently, in Parliament, other drafts of the Acts are being discussed that relate to the recognition of the attained qualification, on both a general level and under the concrete conditions for individual fields. We will continuously inform you of further developments in this area.

Aside from the above-stated amendment to the Value Added Tax Act, a new Value Added Tax Act should be adopted effective after entry of the Czech Republic into the EU, whereby the EU rules for the VAT taxation will be applied in the Czech Republic, among which are:
It mainly concerns the extension of the supervision over banks on the basis of cooperation with the respective bodies of other Member States and the introduction of a consolidated supervision in cross border relations. A so-called uniform bank license is launched enabling a bank that is given a license in one Member State to render bank services in the entire territory of the EU through its branches, or to render these services across the border without creating a branch in the country where the service is being rendered.
– when rendering services in the territory of the EU, there is no VAT exemption, it is either the supplier of service or the recipient who is taxed, – in the case of services, the place of a taxable supply is usually where an active provider of the services is located, – the place of a taxable supply can be shifted into another EU Member State, if the recipient is the VAT payer and if it provides its tax identification No. (hereafter “TIN”) to the provider of the services.
3. Value Added Tax Act Due to the free movement of services, there will also be changes in the Value Added Tax Act. Following entry of the Czech Republic into the EU, situations will arise when the VAT payer in the Czech Republic will render services for the VAT payer from another EU Member State and vice versa. Now, these services will be subject to taxation by the respective VAT rate that is valid in the domestic or other EU Member State, depending for whom these services are rendered.
Example Company A, a limited liability company (in Czech: “s.r.o.”) and a Czech VAT payer repairs in Prague a computer of an Austrian entrepreneur – the VAT payer. The Austrian VAT payer communicates to the company A s.r.o. his/her Austrian TIN. The concerned service was rendered in the territory of the Czech Republic and the place of a taxable supply is the Czech Republic. Since the Austrian VAT payer communicated (for instance, on the order form) his/her TIN, the place of the effected taxable supply is shifted to Austria and the repair will not be taxed in the Czech Republic. In such case, the Austrian payer will not be obliged to levy the VAT to the respective Austrian tax authority according to Austrian regulations. The TIN of the Austrian VAT payer will have to be stated in the tax documentation.
Effective as of January 1, 2004, as part of the harmonization of domestic and EU law and on the basis of the amendment to the Value Added Tax Act (Act No. 322/2003 Coll.), certain services that were taxed at a rate of 5% for VAT will be taxed at a rate of 22% for VAT. It concerns particularly the following: – services in the area of real estate, – lease of real estate (if not the VAT taxexempt), – data processing and related services, – legal and accounting services, keeping and checks of accounts, tax consulting, – telecommunication services and services in the area of telecommunication, – market research and public opinion, – investigational and security services.

Should the respective supervisory body of the Member State cancel authorization for the foreign insurance company carrying out an insurance activity in the territory of the Slovak Republic, the Office, after it learns of this fact, will take measures to preclude this foreign insurance company from carrying out the insurance activity.
Following entry of the Slovak Republic into the EU, the Office will also execute supervision over the above-stated entities that have both their registered office in the territory of the EU Member State and carry out their activity in the Slovak Republic.
3. Act on Securities and Investment Services
2. Insurance Act This new Act, some of the provisions of which will take effect on the day of entry of the Slovak Republic into the EU, regulates the creation of branches of insurance companies, with their registered office being located in one of the Member States of the EU, as well as supervision executed over these branches and other obligations of the insurance companies after the entry of the Slovak Republic into the European Union.
As of entry of the Slovak Republic into the European Union, within the framework of the free movement of services, a foreign securities trader, with a registered office in the territory of the Member State, will also have the right to render investment services in the territory of the Slovak Republic through its branch without authorization in the case that the authorization to render such services was granted to the foreign securities trader in another Member State. However, the foreign securities trader can carry out the activity only on the basis of an affirmative statement in writing of the respective supervisory body of the Member State served to the Office.
An insurance company, with its registered office in the territory of the Slovak Republic, that decides to carry out its insurance activity in another EU Member State without actually establishing a branch therein, is obliged to notify the Office of this fact in writing and before the company carries out the insurance activity.
Under this Act, a branch of a foreign securities trader is deemed to be an organizational unit of the foreign securities trader that is located in the territory of the Slovak Republic and that carries out all or some investment services.
Similarly, any foreign insurance company having its registered office in the territory of an EU Member State can carry out its insurance activity in the territory of the Slovak Republic (whether through its branch or without establishing it) without authorization in the event that it is entitled to carry out its insurance activity on the basis of the authorization granted in the Member State. The insurance company can carry out this activity on the basis of an affirmative statement in writing, or as the case may be, notification on the part of the respective supervisory body of the Member State, which must be delivered to the Office.
A foreign securities trader will also be authorized to render investment services without establishing a branch but the trader will have to notify, in writing, the Office of the respective Member State prior to rendering its first investment services. 4. Act on Banks Certain provisions of the Act on Banks relating to the free movement of services within the framework of the European Union are effective as of the day of entry into the EU.
The supervision over foreign insurance companies, which carry out their activities in the territory of the Slovak Republic, is executed by the respective supervisory bodies of the Member States, in cooperation with the Office. Branches of these insurance companies are also subject to the measures taken by the respective Member State in connection with the monetary policy of that Member State; the countries that intro-

Slovak Republic. The Act also has a significant impact from the standpoint of free movement of persons.
The supervision over a foreign bank’s branch in the territory of the Slovak Republic is executed by the body of bank supervision of the respective Member State (regarding the liquidity of this branch in cooperation with the National Bank of the Slovak Republic (hereafter “NBS”). The branch is subject to the measures taken by NBS within the framework of its monetary policy.
The mentioned Act applies to the citizens of EU Member States who want to carry out a regulated trade in the Slovak Republic as: an individual authorized to carry out an entrepreneurial activity, or in a similar position, or; as an employee, except for the profession of medical doctor, dentist, veterinary surgeon, pharmacist, architect, nurse, midwife, etc., i.e., the professional activities listed in Appendix to this Act.
If a Slovak bank wishes to establish its branch in the territory of the Member State, it is subject to an obligation of notification towards NBS. If a Slovak bank intends to carry out bank activities in the territory of the Member State without establishing a branch therein, it will notify, in writing, NBS of the envisaged bank activity prior to its first bank transaction, which, in turn, will send the notification to a supervisory body of the respective Member State.
The citizens of the Member States, whose professional qualifications are recognized by the respective body of the Slovak Republic in accordance with this Act, have the same right to carry out their regulated trade in the Slovak Republic as the citizens who have obtained the respective professional qualification in the Slovak Republic.
The supervision over a branch of the Slovak bank established in the territory of the Member State is executed by NBS (regarding the liquidity of this branch in cooperation with the body of the bank supervision of the respective Member State). 5. Value Added Tax Act The same way as in the Czech Republic, there are amendments to the Value Added Tax Act proposed in connection with the free movement of services in the Slovak Republic. However, in contrast to the Czech Republic, goods and services in Slovakia will not be re-classified from the lower rate of VAT into the basic rate of VAT, because, effective from January 1, 2004, the Slovak Republic introduces a uniform VAT rate of 19 %. In view of the fact that the proposed wording of the new Slovak Value Added Tax Act, which will take effect on May 1, 2004, is based on principles of EU VAT, we would like to make a reference to the Czech part of this issue of News. 6. Act on Recognition of Qualification This Act regulates the conditions for recognizing diplomas, certificates and other documents about education or their files issued by schools or other respective bodies pursuant to the legal regulations of the European Union Member States for the purpose of performing the regulated professions and regulated professional activities in the 54

printed forms and within the time periods set by CNB Decree No. 34/2003 Coll., (for details, see PL News 1/2003).

As of January 1, 2004, an amendment takes effect to the above-stated Decree, under which:

– the notification obligations (except for the forms: FORM 1, 1A, 2 and 3 designated for the World Bank) will to be fulfilled only above the sum of CZK 1,000,000, – individuals will not be obliged to fulfill the notification obligation (except when asked by CNB), – the notification obligation is cancelled relating to the account balance as well as other forms of bank deposits made abroad (monitoring of the data of legal entities will continue only on the basis of an annual enquiry), – there is a new regulation of the notification obligation relating to the volume of issue of the bonds issued by residents abroad and non-residents in the Czech Republic.
Since the goal of European law is to facilitate free movement of goods and services as well as freedom of establishment, it is simultaneously necessary that the Member States liberalize the movement of capital and instruments of payment. In contrast to other freedoms, the liberalization of movement of capital and payments is significantly broader as all limitations having a negative impact upon the inter-state movement of capital and payments – thus not only the limitations of a discriminatory character – are prohibited. Therefore, inadmissible are any licensing regimes, conventions on preserving a mutual reciprocity between Member States, systems of allocation of foreign currency or checks of their flows, and the like.
In relation to non-residents – EU citizens who are not citizens of the Czech Republic, the Czech Republic negotiated in the EU Treaty of Accession the following transition periods:
The essential thing is that this freedom is the only freedom to also apply in relation to non-EU states, hence the entitled entities are not only the entities from the Member States, but also the entities from other countries. It follows from this freedom that as regards payments, the debtors can fulfill their obligations in the territory of the European Union in any way that is a recognized means of payment in any of the Member States and the creditors are obliged to accept these means of payment.
– a seven-year period during which it will not be possible for the entities from other EU Member States to acquire agricultural lands and forests in the Czech Republic, – a five-year period during which foreign nationals – EU citizens will not be permitted to acquire real estate assets designated to be secondary residences. In line with the above-stated, under the proposed amendment to the Foreign Exchange Act, validity of the limitations relating to acquisition of real estate assets by non-residents who are not citizens of the Czech Republic should continue (save the exceptions stipulated by law, for instance, inheritance, common property of both husband and wife, etc.). The same way as it is to date, the legal entities – non-residents will be able to acquire real estate assets in the Czech Republic, providing they establish an enterprise or an organizational branch in the Czech Republic and are authorized to undertake business in the Czech Republic.
CZECH REPUBLIC 1. Foreign Exchange Act In the Czech Republic, movement of capital and payments has already been subject to basic liberalization and the Czech legal regime conforms to EU norms. Still, a resident (an individual permanently residing or a legal entity having its registered office in the territory of the Czech Republic) is obliged to notify the Czech National Bank (hereafter “CNB“), for instance, the occurrence and change of a direct investment, the accepting and payingoff of a financial loan or the opening of an account and its balance abroad. The above-stated transitional five-year period would thus not apply to them. However, special conditions should be set for acquisition of the land plots forming the agricultural land fund or the land plots designated to be forests. Aside from the non-residents having Czech citizenship these real estate assets could be optionally acquired only by the non-residents registered in the records regarding enterprising farmers with the respective regional authority in the Czech Republic.
Under the Council Directive No. 90/435/EEC of July 23, 1990, the profit share payment by a subsidiary company to its parent company2 having its registered office in the same or another EU Member State should be exempt from the income tax. This Directive is also implemented into a proposal of ITA3, under which, effective as of May 1, 2004, the following should be exempt from the income tax:

In exceptional cases, a situation may occur whereby a withholding tax was deducted abroad from the interest income in the amount that is higher than the one stated in the respective international treaty. Therefore, the proposed amendment to ITA contains the provisions under which it is possible to lower the tax liability of a taxpayer – the Czech tax resident by the amount of the already deducted withholding tax in the Czech Republic. Should the withheld tax exceed the tax liability shown, the taxpayer will have a tax overpayment.

Simultaneously with the above-stated Directive, the Council Directive No. 2003/49/EC was also adopted that relates to taxation of the interest from credits and loans1 as well as license fees made between associated entities from different Member States. Under this Directive, already as of January 1, 2004, such income should be subject to taxation in the country wherein a beneficiary of the interest or of the license fees is a resident meaning that the income should be exempt from tax in the source state. 56

SLOVAK REPUBLIC Similarly to the Czech Republic, following its entry to the European Union, the Slovak Republic will also apply a sevenyear transition period for acquiring ownership of farmlands and forests by non-residents. In the event that an imbalance of the market with farmland still continues even after elapse of the aforementioned seven-year transition period, or there is a threat of imbalance, upon request of the Slovak Republic, the Commission can decide to extend the said transition period; however, only by three years in maximum.
A resident/entrepreneur and a non-resident’s organizational branch in Slovakia will be further obliged to give notification of the facts regarding the assets and liabilities in relation to residents abroad as well as non-residents. The subject matter of the above-stated notification obligations does not include the relations with a non-resident’s organizational branch in the Slovak Republic.

A foreign stock exchange or the organizer of another foreign regulated public securities market, the registered office of which is in the territory of Member State and the activity of which is conducted in accordance with the regulations of the European Union, can provide, in the territory of the Slovak Republic, a securities trader having the registered office in the Slovak Republic with equipment (i.e., for instance, technical equipment, commercial system) essential for having access to trading in this foreign stock exchange or in this foreign regulated public securities market.
In contrast to the Czech Republic, wherein the notification obligation will be cancelled in the cases described in the Czech part of this issue, the notification obligation will continue to be applied to the full extent in Slovakia, i.e., both a resident and an organizational branch of a non-resident in Slovakia,

on the basis of the right to freely render investment services in the territory of Member State, wherein the respective foreign stock exchange or organizer of another foreign regulated public securities market has the registered office and if the securities trader asked for access or membership in this foreign stock exchange in order to trade therein or in this foreign regulated public securities market. 4. Act on Protection of Bank Deposits The purpose of this already adopted Act (1996), whereby the Bank Deposit Protection Fund was established (hereafter the “Fund“), is the regulation of the protection of deposits in banks as well as in branches of foreign banks, and to provide compensation for these deposits, should they become inaccessible. Effective as of the day of entry into the EU, the Fund will provide compensation for the deposit that is protected by this Act and that will become inaccessible following entry of the Slovak Republic into the EU. This compensation will be provided in the amount of 90% of the inaccessible deposit. One bank depositor or any other person who is authorized according to this Act will receive the compensation to the amount of a sum no greater than EUR 20,000 when converted from Slovak crowns. At present, the Fund also provides compensation to the amount of 90% of the inaccessible deposit, of which, however, the bank depositor receives a maximum of forty-times the average monthly salary in the Slovak Republic for the last four quarters in accordance with the findings of the Slovak Statistical Office, i.e., a maximum of EUR 12,750.

If there is no restriction of the competition having an impact on the trade between the Member States, the Member States will apply their own regulations, which may set forth even more stringent rules than the rules contained in Articles 81 and 82 of the EC Treaty.
EU
COMPETITION LAW European competition law regulates legal relations with a so-called ‘European element’, i.e., relations that may have an adverse impact on trade between the EU Member States, and serves as a protection of the common internal market. In the event that this ‘European element’ is missing, only the internal competition law of the Member States will be applied on competition relations.
Pursuant to the hitherto valid regulation, all issues relating to cartels and abuse of a dominant position fall within the powers of the Commission and the competitors are obliged, in cases of agreements that are prohibited according to Article 81 of the EC Treaty and simultaneously fulfil the conditions stipulated in Article 81, Section 3 of the EC Treaty, to apply to the Commission, prior to concluding a cartel agreement, for issuance of a so-called individual exception from the general prohibition of cartel agreements.
This extensive area of legal regulation includes, in particular, cartel law, which prohibits cartels, i.e., agreements between the undertakings, decisions by associations of undertakings and concerted practice that may negatively affect a trade between the Member States and may restrict the competition, and abuse by an undertaking of a dominant position in the relevant market.
Considering the increasing number of the Member States, this regulation became unbearable due to the fact that over a long time period the Commission has been overloaded with the applications for issuance of individual exceptions. The most significant change brought about by the Regulation is thus cancellation of the individual exceptions and their replacement by so-called legal exceptions.
Competition law also includes control of fusions, i.e., amalgamation, merger or fusion of undertakings and acquisition of control over an undertaking. Furthermore, it also regulates matters such as state monopolies and public enterprises, state aid law etc. 1. Council Regulation No. 1/2003/EC
The agreements and practices fulfilling the conditions laid down in Articles 81 and 82 of the EC Treaty will be deemed to be approved without the need for any previous decision being issued by the Commission. Thus, the assessment of the compatibility of the agreement or practice with Articles 81 and 82 of the EC Treaty is transferred from the Commission directly to the competitor.
In connection with the current reform of European competition law, we point out that the Council adopted a Council Regulation No. 1/2003/EC, on the implementation of the rules on competition, laid down in Articles 81 and 82 of the EC Treaty, which will come into effect on May 1, 2004 (hereinafter the “Regulation”). The Regulation is a new complex procedural regulation in the area of agreements, decisions or practice leading to restriction of competition and abuse of a dominant position (the Regulation will not apply to mergers of competitors).
The individual exceptions that were issued by the Commission before May 1, 2004 remain in force until expiry of the time period for which they were issued. The applications for grant of an individual exception, which will not be evaluated before May 1, 2004, will become groundless and the Commission will not address them (after the accession of the Czech Republic into the EU. It will also apply to the applications for grant of an individual exception filed with the Czech Office for Protection of Competition).

These authorities will also continue to be entitled to apply Articles 81 and 82 of the EC Treaty and will issue decisions similar to the decisions of the Commission, i.e., the prohibition to continue in anticompetitive acting, order of a preliminary ruling and imposition of a penalty. In accordance with the principle of subsidiarity, the Commission should deal only with the cases, which cannot be effectively solved by the national competition authorities; the Commission thus loses its exclusive position in this area.

The distribution of powers between the Commission and the national competition authorities will be based on the principle of their mutual cooperation. However the Commission still retains its special position, which will be demonstrated especially in that the national competition authorities will be obliged to inform the Commission in advance of their commencement of proceedings pursuant to Articles 81 and 82 of the EC Treaty, and prior to closing the proceedings they will also inform the Commission of their intended decision to be taken.
The Regulation will bring about many changes and it can be expected that following its adoption, amendment to the Czech Act on Protection of Competition will come to pass.
In the case of the infringement of the EC Treaty, the Commission will be entitled not only to impose a penalty, but also to impose measures that may alter the structure of the concerned company. A significant change brought about by the Regulation is that in the case of imposition of a penalty upon the competitor who is a member of a holding, the other members of the holding will be held jointly and severally liable for payment of the imposed penalty.
2. Commission Regulation No. 1400/2002/EC on the application of Article 81 (3) of the EC Treaty This Regulation of July 31, 2002, on the application of Article 81 (3) of the EC Treaty on the categories of vertical agreements as well as practices relating to the automobile sector, is currently applied in EU Member States and we have already detailed this regulation in a previous issue of PL News (regarding the possibility of applying this Regulation in both the Czech and Slovak Republics, please see below).
In the event that the Commission commences the proceedings first, the power of the national competition authorities to evaluate the case is automatically lost. However, if the national competition authority has already taken certain steps in the matter at issue, the Commission may commence the proceedings only after consultation with this national competition authority. Nevertheless, the Commission retains the exclusive powers in the area of issuing block exceptions.
The Commission Regulation No. 1400/2002/EC applies to: – vertical agreements relating to the purchase and sale of new motor vehicles, or their spare parts, – vertical agreements relating to the provision of the repair and maintenance services for motor vehicles.
The Commission and the individual national competition authorities will be obliged to closely cooperate for the purpose of ensuring the unified application of European competition law. The fact that the national competition authorities and the courts of the Member States will be bound by the Commission’s decision, if they are considering matters of infringement of Articles 81 and 82 of the EC Treaty, will contribute to the unified decision-making.
CZECH REPUBLIC Czech legal regulations in this area of law (especially the Act on Protection of Competition) have already been harmonized with the European regulation for a few years. In this area, it was agreed there would be a transition period for the Czech Republic, in which the application of the above-mentioned Commission Regulation No. 1400/2002/EC on issuance of a block exception for certain types of agreements within the automobile industry will become effective in the Czech Republic on November 1, 2004.

It is important to realize that, in matters of competition, the competitors in the Czech market will continue to be subject to the powers of the Czech Office for Protection of Competition as well as of the Czech courts, which will also be entitled to apply European competition law after the accession of the Czech Republic to the EU. However, the competitors will also fall within the authority of the Commission, the powers of which were broadened by the abovestated Regulation.
SLOVAK REPUBLIC The Slovak Republic negotiated three transition periods in the said chapter. One of the transition periods was negotiated so as to provide state support until the end of 2008 to the company operating in the automobile sector amounting to 30 % from legitimate capital costs. In the case that the set amount of the state support is reached prior to the end of this period, the state support will be stopped. The Slovak Republic also negotiated a transitional period for providing the state support until 2009 to the company operating in the iron and steel industry, provided that the total amount of the state support does not exceed USD 500,000,000, the company maintains employment, does not extend a range of the products, and fulfils the scheduled limits for production and sale of some products. At the same time, every six months, the company will submit to the Commission a report containing all the necessary data. Also in the Slovak Republic, the transition period relating to the Commission Regulation No. 1400/2002/EC on the application of Article 81 (3) of the EC Treaty will apply. The said Regulation will come into force on the day of accession of the Slovak Republic to the EU, but it will be enforceable as of November 1, 2004.
