TERMS OF PRICE AND DELIVERY (CDP) FOR PURCHASE OF WASTE WITH PRECIOUS METALS CONTENT
Validity: from 1st January 2016 I. Scope of Effect These trading terms apply to all deliveries of wastes with precious metals content and Kovohutě Příbram nástupnická, a.s. (further Kovohute only) is authorised to purchase and process them in accordance with Resolution of the Regional Authority of Central Bohemia Region dated 14.4.2004, ref. no. 5955/47202/2004/OŽP including issue of all later Appendix, according to Act No.185/2001 of Legal Code. These wastes include mainly: 160214, 200135* (136) Non-homogeneous amortization wastes Boards with semiconductor components, mixtures of disassembled semiconductor components, connectors, sockets, plugs, ceramic capacitors, liquid that are used for rinsing of el. components, etc., containing up to 3% of Ag; Au, Pd or Pt up to 0.1%. 090107, 160214, 160604(605) Homogeneous amortization wastes 1/ Sorted semiconductor components, contacts, connectors, sockets, plugs, chips, Ag capacitors, fuses, AgZn batteries, films, photographic papers, glass fragment, etc., containing plastic materials, ceramics and other non-metal admixtures, Ag content is more than 3%, Au, Pd or Pt content above 0.1%; 2/ Plated Cu, brass, bronze containing Ag more than 0,7% or Au above 0,05%, suitable for chemical processing of metals. 100401*, 100701, 160801, 161102, 180110* Scum, ashes, sludge Scum, ashes, sludge, amalgam, ceramic and metallic auto-catalysts, dry matter, slag, lining, grinding waste. The content of Ag is required over 4%, Au, Pd or Pt above 0,1%. 120103(104), 150104(106), 160214 Castings Metal castings, metal contacts, all-metal components, cut-outs, splinters, wires, solders, pins, dental and jewellery wastes, etc. The content of Ag to be over 3%, Au, Pd or Pt above 0,1% All incoming materials and wastes for which authorization is given for processing by Central Bohemian Regional Authority in the recycling facility of Division DK, No.: CZS 01193, are listed in Annex No. 2 to these CDP. There is necessary to pay an attention to the fact that some of the above-mentioned wastes are included as dangerous wastes in the Catalogue of Wastes, Pls. see Annex No. 1 to the Ordinance of the Ministry of Environment No. 381/2001 as amended. Under the Waste Act No. 185/2001 as amended in Legal Code and the Ordinance of the Ministry of Environment No. 383/2001 as amended, concerning the details of waste management, the obligation of “Registration for Transport of Hazardous Wastes within the Territory of the Czech Republic” is applied to these wastes. Every supplier of Hazardous Waste (the owner of the waste) has a duty to provide each item of Hazardous Waste in the delivery by “Written rules for manipulation and handling with the waste”.
II. Purchase Contracts Purchase contracts for deliveries of wastes will be concluded with suppliers upon their request as a document for public authorities in the field of protection of environment. Deliveries, including contractual deliveries, will be received in accordance with these “Terms of Price and Delivery” or can be received (subject to a mutual agreement) on special terms agreed in advance. Suppliers will be notified about any potential changes in the “Terms of Price and Delivery” in advance in writing. For the purposes of inputting a new supplier into the database of Kovohute, the relevant supplier is required to send a copy of a business licence document (trade certificate, waste permit, extract from the Companies’ Register, VAT registration) prior to the first delivery. III. Terms of Delivery The following minimal contents of the metals of interest apply separately to all types of purchased wastes with precious metal content: Silver Ag 0.4% of the total weight Gold Au + Pd 0.01 % of the total weight when added up Palladium Au + Pd 0.01 % of the total weight when added up Platinum Pt + Rh 0.015% of the total weight when added up Deliveries will have to be refused in the case that they do not comply with the above-mentioned limit of precious metal content or these deliveries will be dealt separately, depending on the specific composition and nature of material. The minimal deliveries for the individual types of wastes are as follows (unless agreed otherwise): Non-homogeneous amortization wastes 100 kg of material Homogeneous amortization wastes 10 kg of material Scum, ashes, sludge 10 kg of material Castings, metal wastes 1 kg of material If a supplier delivers a delivery for homogenisation by melting which has got lower weight than 10 kg, single total costs for melting in the amount of EUR 8,20/melting will be calculated in the price offer. Transport of wastes in suitable containers with regard to the degree of hazardousness from the point of view of environmental protection will be ensured by suppliers. Containers in which the wastes will be delivered must allow handling with a forklift. If manual handling only is possible, the weight of a single unit to be handled must not exceed 25 kg. Returnable containers will be available to the relevant suppliers immediately after the waste has been processed. Kovohute reserves, that when taking over the waste in Kovohute the waste weight measured on officially attested scales is determinant. Deliveries will only be received on business days from 6.00 am to 2.00 pm. If a supplier wishes to be present at the taking of samples for chemical analysis, it is necessary to arrange a time for such joint sample taking, which would be convenient for both parties, in advance. Non-homogeneous amortisation wastes will be homogenised and evaluated within one month from delivery. Homogeneous wastes, scum and castings will be evaluated within 14 days from delivery. The maximum admissible moisture in the supplied wastes is 5% of their weight. If the moisture exceeds 5%, the price of homogenisation will be fixed individually. The price of a delivery is determined on the basis of dry weight. Suppliers acknowledge that homogenisation by crushing, melting or grinding results in destruction of material, i.e. the material changes its appearance and form. IV. Price Terms The basis for calculation of the price of the supplied waste is the price Precious Metals (PM) on the exchange (London Metal Exchange). For Ag price calculation: „Daily Fixing“, for Au price: “Morning Fixing” on the 10th calendar day after the date of delivery of the waste and the price of Pd and Pt: LME “Morning Fixing” and for Rh: Spot price, all (Pt, Pd, Rh prices) to be reduced by minus 7±2% on the 10th calendar date after the date of delivery of the waste, based on the CZ/USD, CZK/EUR exchange rates published by ČNB (Czech National Bank) valid on the date of calculation. If the date determined for clearing the price of precious metals falls on Saturday, Sunday or public holiday the price valid on the nearest following working day will be applied. Special price terms apply to those customers who have concluded a contract on storage of
metals on a claim metallic account. For homogeneous amortisation wastes, castings and scum, the precious metal content (Au, Ag, Pt, Pd) will be established in the traditional way (in a “Dokimasia” way). In the case of delivery of silver plated or gold plated copper, brass or bronze, which is suitable for utilisation of chemical rinse technology the supplier will be paid 80 % of the carrier value (Cu content) implied from a current price of domestic processing companies. Different terms may be agreed upon supplier’s request. For the price calculation of Au in gold jewelry, who have a valid certificate issued by the Assay Office of the Czech Republic certifying the content of Au, establishing of purchase price to be done differently using the average LME Au from the last five days decreased by 5% and gold content in the supplied material. Pricing for the supplied material: The price of the delivered material is determined using interest rates for the metal content of less cost for the analysis of metals, the fees for homogenization and optionally drying of the sample. In the calculation of price proposal further cost is applied for refining charges, processing and extraction of precious metals and their % recovery in the recycling process. The fees for a customer required analysis of metals are reduced against the standard cost of the laboratory tests and they are set for determination of Ag and base metal: 10,00 EUR/metal, Au for 13,30 EUR, Pd for 31,00 EUR, Pt for 39,50 EUR and Rh for 58,00 EUR. These prices are for each individual item of supply. These costs and recoveries related to particular types of waste and the respective precious metals are shown in Table no. 1, which is an integral part of the CDP. V. Transfer of Title, Invoicing By agreeing to these Terms of Price and Delivery, the supplier agrees that the transfer of the title to the supplied waste (taxable supply) will take place at the moment when the supplier agrees to the price proposal. Kovohute will send this price proposal to the supplier immediately after having established the precious metal content in the waste. On the basis of the price proposal, the supplier will send without delay an invoice in the form of a tax document to Kovohute with a maturity period of 30 days from the date of delivery of the waste. However, this maturity period may not be shorter than 7 days from the date when the invoice was sent. Non-homogeneous wastes are an exception to this rule. With nonhomogeneous wastes, suppliers can request that their invoices are paid immediately after being received by Kovohute so that the maturity period of 30 days from the date of delivery of the waste is complied with. The penalty for default in payment is governed by the Civil Code and amounts to 0.05% of the invoiced amount for each day of default. Upon a supplier’s request, the maturity period may be reduced to 5 working days from the issue date of the invoice with the price being reduced by 1.5%, provided that the invoice is delivered at least 3 working days prior to the due date. Under special request of customer for cheque payment this must be approved by Kovohute minimum 2 days before the payment and max value is EUR equivalent of 270.000,- CZK under actual CZ National Bank currency rate. If a supplier fails to respond to a price proposal within three months after sending this proposal, it is assumed that the relevant supplier agrees with the price proposal and Kovohute reserves the right to process the waste. VI. Penalty Provisions In the event that the delivery of waste will contain arsenic - As, bismuth - Bi, beryllium - Be, mercury - Hg or cadmium - Cd over 0.1%, the suppliers accounted for a penalty fee of 20.00 EUR per kg or aliquot portion of each of the above metals to be contained in the supplied wastes. Content of mercury - Hg and aluminum - Al supplied must be notified in advance. Waste containing metallic Al is dangerous when the metallurgical processing in lead oxides due to its explosive. Waste containing Al can only be accepted for processing in chemical rinsing the surface plating Ag or Au. Materials containing heavy metals as Fe, Ni, W, Mo, V, etc. containing above 5%, are difficult to process in a metallurgical furnace a recycling technology for font. For the increased costs of processing the required fee of 2.00 EUR/kg aforementioned metal or referral to the chemical rinsing the surface of materials if it is not the alloy. The Supplier guarantee that supplied material does not show signs of radioactivity.
VII. Other Provisions Types of containers must be discussed with Kovohute in advance. If a supplier requests to analyse a sample of the waste before its delivery, it is necessary to deliver a minimum quantity, which amounts to 25-50 g for metal waste, 100 - 200 g (depending on the nature of the waste) for homogeneous waste and scum and 20 kg for non-homogeneous waste. The result of the analysis of the delivered sample cannot have a binding effect for the following delivery of the waste and calculation of the purchase price. Each delivery must be homogenised, sampled and analysed. If a supplier abandons the intention to sell the waste to Kovohute, the supplier will be charged a storage fee of EUR 20,00 for each next ton and every commenced month, plus EUR 100,00 for the chemical analysis carried out. If this involves delivery of wastes that were homogenised by melting the supplier will pay the costs of melting in the amount of 8,00 EUR/kg of ingot weight. If a supplier abandons the intention to sell non-homogeneous amortisation waste to Kovohute will be entitled to charge the costs actually incurred (homogenisation, sampling, analysis, etc.). Kovohute reserves a right to back out of purchase of handed material without previous reason explanation but latest on the 20th day after the material reception. Main reasons for material refuse are chemical and physical characters that do not allow proper processing of material or they are dangerous for technological equipment. The Appendix No. 1 concerning the behaviour and technical equipment of external companies on the premises of Kovohute forms an integral part of the Terms of Price and Delivery. Annex No. 1 Appendix behavior and technical equipment of external companies within area of Kovohute Pribram nastupnicka, a.s. This appendix is an integral part of: • contract of carriage • purchase agreement for the sale • contract of purchase • price and delivery terms 1.
The first entry of all trucks and truck vehicle suppliers and carriers are allowed only from 6:15 on weekdays only. The latest time for acceptance of delivery is at 13:00 with regard to working hours and technical sources of the purchaser. By prior agreement, especially with regard to the size of supply and distance from the seat of the supplier can be extended this time (max. however until 14:00). An external company undertakes that its employees are physically and professionally qualified, they are trained on the provisions of Safety works and Fire protection (are familiar with the risks), and will follow in the course of loading and unloading within Kovohute Pribram safety and hygiene regulations and follow the instructions of responsible workers.

External company undertakes that its activities will not damage property and equipment Kovohute Pribram. If there was such a case, provide without delay at its own expense, the damaged things to their original state or the cost of such activities shall pay the full amount.
3.
Mechanical and fleet companies hired to transport must be in the condition corresponding to the character of a particular type of transport (ADR, international road transport, etc.).
4.
Employees of carrier companies must be equipped with protective means appropriate to the type of material to be conveyed.
5.
Liability for an injury and damage will be applied on the relevant provisions of the Civil Code.
6.
Sorted waste municipal character deferring only to the designated places. In the case of an accident (oil leakage, liquids etc. from a car or cargo), damage of roads, etc., it is immediately to be announced to the Security Service at the gatehouse to ensure further progress.
