Chapter 1 General Conditions Article 1
Definitions
In addition to the definitions included in the Order, the following definitions also apply to these general terms and conditions of purchase: 1.1 Acceptance: the approval of all or parts of the Performance by Achmea. 1.2 Achmea Group: the Achmea Group is taken to mean the economic unit Achmea B.V. or its legal successor and all legal entities associated with it from time to time as referred to in article 24b of Book 2 of the Dutch Civil Code. 1.3 Defect: different or poorer qualities than those agreed on in the Order or than Achmea could reasonably expect. 1.4 Supplier: in addition to the definition of supplier given in the Order, the term Supplier also includes Supplier’s employees and any third parties engaged by Supplier. 1.5 Order: the agreement between Achmea and Supplier to which these general terms and conditions of purchase apply. 1.6 Performance: the goods to be supplied by Supplier (article 1 of Book 3 of the Dutch Civil Code), the service to be provided, the rights of use to be granted and the ensuing results (including intellectual property rights),or a combination of these, including materials and documentation.

Materialization and applicability
Achmea will always place Orders in writing. If Achmea places an Order orally, no agreement will be concluded unless Achmea subsequently confirms the Order in writing. Orders may only be changed or supplemented by the parties in writing. These general terms and conditions of purchase also apply to changed, supplementary and follow-up orders to Supplier.

Termination and consequences
Achmea is entitled to cancel an Order early, observing a period of notice of one month, without Supplier being entitled to compensation. Both parties are entitled to cancel all or part of an Order with immediate effect by registered letter as soon as: a) the other party is granted a moratorium or is declared insolvent; b) a party makes a proposal to the other party or to a third party or attempts actions that are in contravention of the law or principles of integrity, such as a proposal for or attempt at bribery;

c) a supervisory body lodges substantial objections to the execution of the Order and the parties are unable to change the Order within a month in such a way that the objections are withdrawn. As soon as a situation such as referred to in article 3.2 occurs, the party concerned will immediately inform the other party. In the event that an Order is terminated (irrespective of the manner of termination): a) Achmea is entitled to use or continue to use the Performance, taking into account that any restrictions that may have been regulated in the Order in connection with the use of the Performance will remain applicable; b) Supplier is obliged to repay any amounts that have been paid in advance; c) Supplier is obliged, at the request of Achmea, to provide all that is needed for the further use of the Performance supplied. Achmea is not required to pay Supplier for this; d) Supplier will cooperate with Achmea to transfer the Performance, as it has been supplied by Supplier at that time, in a gradual and proper manner to Achmea or to a third party designated by Achmea, whereby the continuity of the Performance will be paramount; e) Supplier undertakes to complete delivery of the Performance that has already been started and can be completed in the short term, at the prices agreed in this Order; f) Supplier undertakes to continue to comply with the agreements made in the Order that, in view of their nature, continue to exist after termination of the Order. These will always include any agreements in connection with indemnification, confidentiality, liability, intellectual property, quality, applicable law and competent court.
At the request of Achmea, Supplier will deliver the Performance under the conditions of the Order direct to a legal person belonging to the Achmea Group. Achmea may allow the Performance to be used by the Achmea Group, its employees and any third parties engaged by it (such as trainees, self-employed persons, temporary workers and advisers) insofar as these third parties provide services on behalf of the Achmea Group. All rights and defences (including warranties) arising from this Order will also apply to the persons and legal persons referred to in this article.

With respect to all or part of Achmea’s rights and/or obligations arising from the Order, and without requiring permission from Supplier, Achmea is entitled to: a) transfer those rights and/or obligations to a legal person within or outside the Achmea Group; b) transfer those rights and/or obligations to, or place them under the management of, a party to which Achmea contracts out work. If a legal person belonging to the Achmea Group and making use of a Performance by Supplier no longer belongs to the Achmea Group at a certain moment, that legal person will be entitled to use or continue to use the Performance by Supplier for twelve months after that moment, under the same conditions as laid down in the Order, and/or Achmea will be entitled to provide the Performance to that legal person during that period.

Force majeure
In the event of an actual or the threat of non-attributable failure (hereinafter: force majeure), the party relying on force majeure will immediately inform the other party of this in writing, stating reasons. The party relying on force majeure will do its utmost to resume compliance with the obligations under the Order as soon as possible. Force majeure will not include: undercapacity or sickness at Supplier, strikes, blockades or work-to-rule actions, transportation hindrances, delayed deliveries, shortage or unsuitability of materials, theft, flooding, government actions, liquidity or solvency difficulties at Supplier, inability of Supplier to obtain a required permit or permission from the authorities and/or disruptions in networks used by Supplier.

Liability
If a party fails to comply with the obligations arising from this Order or if a party undertakes an unlawful act which causes damage to the other party that can be attributed and traced back to the event that caused the damage and that this damage is demonstrable, the party that fails to comply will compensate the damage unless the failure cannot be attributed to it.
Article 6

Delivery of the Performance
Supplier is obliged to give a detailed and full description of the Performance in the Order. In the event that Supplier fails to fulfil its obligations at the agreed time or within the agreed period(s), Supplier will be in default. All agreed times and periods are therefore deadlines for Supplier.

As soon as Supplier becomes aware that the Order cannot be fulfilled at the agreed time or within the agreed period, Supplier will immediately inform Achmea about the cause, the consequences and any measures taken to limit the delay and the possible damage. Supplier is obliged to comply with the policy and codes of conduct of the Achmea Group, about which Supplier has been informed. Supplier may only suspend the delivery of the Performance if a court has passed judgment on the dispute and allows suspension. If a court decides that Supplier was entitled to suspend delivery, Achmea will reimburse Supplier within reason the costs incurred. Supplier guarantees Achmea that the Performance delivered by it and the use thereof does not infringe the rights of third parties, including intellectual property rights, and that the use of the Performance is not unlawful in any other way. Supplier indemnifies Achmea against all claims or threats of claims by third parties regarding possible infringement of intellectual property rights and/or other rights of those third parties and will compensate all damages and costs incurred by Achmea in the event that the Performance infringes such rights and/or is unlawful. At Achmea’s request, Supplier will undertake the defence in legal proceedings initiated against Achmea on account of alleged unlawful actions and/or infringement of the rights of a third party. Achmea will be entitled to add Supplier as a third party. Achmea will issue Supplier with the necessary authorizations and support in the event that Achmea requests Supplier to undertake the defence of Achmea as referred to above. Supplier will give instructions about the use of the Performance if Achmea so requests. Supplier will enable Achmea to comply at all times with national and international laws and regulations that apply to Achmea insofar as this concerns the use of the Performance. Achmea will always have the right to introduce changes to the way in which the execution of the Performance by Supplier takes place if this is necessary in order to comply or continue to comply with such rules and regulations.
Delivery of the goods 7.9
Achmea will become owner of the goods as soon as the goods have been delivered at the agreed place and have been accepted by Achmea. Supplier will insure the goods properly until that time.

7.10 All goods that Achmea gives Supplier to use for the execution of the Order remain the property of the Achmea Group or of third parties and may be taken back at any time. Supplier will store these goods separately and state on them that they are the property of Achmea. 7.11 Supplier is obliged to test the goods prior to delivery and to install them in working order, unless parties have agreed otherwise in writing.
Article 10 Prices 10.1 The price of the Performance is stated in the Order and will remain unchanged during the term of the Order. 10.2 The price of the Performance will be shown in Euros excluding VAT. The price is inclusive of all costs relating to the Performance and the obligations of Supplier pursuant to the Order, such as taxes and travelling and accommodation expenses on the part of Supplier.

If Achmea so requests, Supplier will submit all or parts of the Performance for Acceptance and will give its full cooperation to this. Without prejudice to Acceptance, the Performance must continue to comply with the provisions of article 9 ‘Quality’. Achmea will not reject a Performance on account of small Defects. This comprises Defects that by their nature or number do not impede the use of the Performance in Achmea’s opinion.

Acceptance
11.1 Achmea will not pay for work that is not specified in the Order or that has been carried out for a different price than agreed. 11.2 In the event that Supplier expects that work will have to be carried out that is not covered by the Order, Supplier will immediately notify Achmea. Supplier may only carry out such work once Achmea has given its agreement in writing to Supplier’s quote, stating the nature, scope and costs of the work. After the extra work has been carried out and accepted, Supplier will send a separate invoice specifying the nature and scope of the extra work.
Quality
Supplier guarantees that: a) the Performance has no Defects; b) the Performance complies with the laws and regulations that are applicable to the Performance; c) the Performance complies with the quality requirements in Supplier’s sector and generally accepted technical and other standards in Supplier’s branch of activity; d) the Performance and its delivery will not cause harm (for example due to a virus) to the computer systems of Achmea; e) Supplier has the necessary qualities with respect to training, expertise and experience for the production and delivery of the Performance. Achmea will not be required to investigate the compliance of the Performance with the quality requirements referred to in this article 9. In the event that the Performance does not meet the quality requirements, Achmea will only have to make a reasonable case for that within two months of the discovery. If Achmea succeeds, replacement or repair will take place as soon as possible by and at the expense of Supplier, without prejudice to Achmea’s other rights. Achmea is entitled to demand Supplier’s compliance with its obligations pursuant to this article during a period that is considered reasonable in view of the nature of the Performance but which is not shorter than one year after Acceptance.

Article 12 Invoicing and payment 12.1 Supplier will send an invoice after the Performance has been delivered and, if applicable, Acceptance has taken place. Achmea will pay within 45 days of receiving a correct invoice. At Achmea’s request, Supplier will submit the specifications on which the invoice is based. 12.2 An invoice must comply with the requirements laid down in the Turnover Tax Act 1968 (Wet op de Omzetbelasting 1968) and in the Order. An invoice must also state the reference number, cost centre/PO number/ WBS element, the address of the contact person or business division at Achmea, the date and description of the Order. 12.3 Invoices must be sent in PDF format to the invoice address
[email protected]. 12.4 As long as articles 12.2 and 12.3 are not complied with, Achmea will not accept the invoice and payment will be postponed. Payment of an invoice does not mean that Achmea has accepted the Performance and does not entail any waiver of rights. 12.5 In the event that Achmea fails to pay an invoice within forty-five days without a valid reason, it will be obliged to pay statutory interest as referred to in article 119 of Book 6 of the Dutch Civil Code. Achmea will not be obliged to pay this interest and any collection costs payable by Achmea if the invoice does not comply with the provisions of articles 12.2 and 12.3. 12.6 The amounts to be paid to Supplier will be evident from the records of Achmea, unless Supplier proves that these records are incorrect.

Article 13 Consultations and information 13.1 As soon as possible after the Order has been given, the parties will set up a consultative structure. This consultative structure will be arranged in a way that is appropriate to the work being performed. 13.2 Supplier will have familiarized itself sufficiently with the objectives relating to the Order, the organization, the processes and data flows at the Achmea Group and with the feasibility of the Performance within the parameters set by Achmea. 13.3 Achmea has provided Supplier with enough information in connection with the provisions of article 13.2. Achmea will provide Supplier, on request, with additional information insofar as it is not of a confidential nature and may reasonably be considered relevant to the execution of the Order. If there is any doubt, Supplier will make timely enquiries at Achmea. 13.4 Parties will keep each other informed of developments and changes that are or may be important for the execution of the Order.
Article 14 Intellectual property 14.1 All intellectual property rights of Supplier are held exclusively by Supplier or its licensers. All intellectual property rights of Achmea are held exclusively by Achmea or its licensers. 14.2 Achmea will acquire all intellectual property rights that are created in the context of the Performance. Supplier herewith transfers to Achmea, who hereby accepts, those intellectual property rights in advance in anticipation of the time that the intellectual property rights are created. Supplier will give its full cooperation to the transfer of intellectual property rights at its own expense while imposing no conditions. 14.3 If intellectual property rights are created in the context of the Performance, where Supplier brings in intellectual property rights and/or other comparable rights that are already held by Supplier or its licensers on commencement of the Order, Supplier herewith grants Achmea, free of charge, a non-exclusive, worldwide, irrevocable, unlimited, transferable, perpetual licence or sublicence with respect to those rights. 14.4 Insofar as legally permissible, Supplier hereby declares that it will not make use of any form of personality rights, such as the rights that ensue from article 25 of the Copyright Act (Auteurswet).
Article 15 Secrecy and managing data
15.2 ‘Confidential data’ is: all information, data and databases of the Achmea Group and its existing or potential customers in connection with its business activities, processes, organization, objectives, forecasts, analyses, studies, products, know-how, intellectual rights, computer software, employees, applicants, suppliers, customers and business relations, other personal details and the Order, received or created by Supplier in the context of the Order, irrespective of the way or format in which they are made or stored. In addition, confidential data are data deemed confidential by one of the parties. The guarantee of secrecy does not apply to information that is common knowledge or that becomes common knowledge after the passage of time without this being attributable to an infringement of this article. 15.3 Supplier guarantees that confidential data of the Achmea Group will not be accessible to third parties. 15.4 Supplier may only give the confidential data to third parties if Achmea has given written permission for this. 15.5 At Achmea’s request, Supplier will put all confidential data acquired in connection with the Order at Achmea’s disposal in a manageable way or destroy it within five calendar days. If Achmea has provided Supplier with confidential data in electronic form, Supplier will return this confidential data in the same manner. If Achmea requests destruction, Supplier is not permitted to keep a copy, synopsis or any part of the confidential data in any form unless a statutory data retention obligation specifically opposes this. In that case Supplier will inform Achmea what data are concerned and for how long and in what manner the data will be stored. 15.6 If Supplier obtains and stores confidential data from Achmea, it will make regular back-ups of these data in order to protect and preserve these data, so that all data (including the most recent) can be recovered. At Achmea’s request, Supplier will place these back-ups at Achmea’s disposal in an accessible and usable way. 15.7 In the event that confidential data are lost, due to disruption of a system or user error, Supplier will be able to recover these data as from the last available back-up. This will only be done at the request of and with permission from Achmea. 15.8 If Supplier is in breach of the provisions of this article 15, a penalty of € 50,000 (fifty thousand euros) per breach will immediately be payable by Supplier to Achmea. This penalty will leave all other rights of Achmea intact, including the right to compensation for damages.
15.1 Parties guarantee each other that they will keep secret all confidential data that they acquire during the Order. Parties will use the confidential data exclusively in the context of the Order.

Article 16 Audit rights 16.1 Achmea is entitled, after prior notice, to have an audit carried out by a qualified auditor into the operational management or processing of data or personal details in the context of the Order. The audit relates to all matters that are directly or indirectly connected with the execution of the Order. This includes: a) the execution of the Order itself; b) the implementation of financial agreements; c) the implementation of agreements made regarding quality and quality control. 16.2 Supplier will cooperate with the audit and will implement improvements recommended by the auditor wherever possible. Costs incurred by Supplier in connection with the audit will not be reimbursed by Achmea. In the event that Supplier needs to engage a third party for an audit, Achmea will reimburse costs within reason if the audit shows that Supplier has not failed to meet its obligations. 16.3 Supplier is obliged to cooperate with any requests for information or auditing by or on behalf of supervisory bodies such as the Dutch Data Protection Authority, the Netherlands Competition Authority, De Nederlandsche Bank and/or the Netherlands Authority for the Financial Markets. Supplier undertakes that Supplier’s external accountant will give full cooperation. Supplier will comply with instructions by the supervisory body. Supplier will provide Achmea with a copy of the information it has given the supervisory body if such is permitted by law.
Article 17 Privacy and personal information 17.1 In the event that personal data are processed for the Achmea Group by Supplier under the terms of the Order, the Order will also constitute a processing agreement within the meaning of the Personal Data Protection Act (Wet bescherming persoonsgegevens) between Achmea B.V. as responsible party for Achmea and Supplier as processor. 17.2 Parties undertake that in executing the Order they will act in accordance with all applicable laws and regulations in the field of personal data protection. At Achmea’s request, Supplier will explain to Achmea how it has interpreted this. Each party indemnifies the other party against damages caused by failure to comply with these laws and regulations. 17.3 Supplier will only process personal information under the terms of the Order. This will be done according to the instructions and directions of Achmea. Supplier has no independent rights or powers in connection with the personal information that it processes for Achmea.

17.4 Supplier fully guarantees that the personal information will remain correct and complete. 17.5 Supplier will not transfer personal information to, or make it accessible in or from, any country outside the European Economic Area. 17.6 In executing the Order, Supplier will ensure that there are suitable technical and organizational measures to protect personal information from loss or any form of unlawful processing. These measures will guarantee, taking into account the technical state of the art and the costs of implementation, a suitable level of protection in view of the risks relating to the processing and nature of the information to be protected. Supplier will record the measures in writing. 17.7 If Supplier processes special personal information for Achmea, such as medical or criminal records, Supplier will explicitly draw the attention of the employee and/or third party who comes into contact with this information to their obligation of secrecy set out in article 15. Supplier declares that it has concluded a confidentiality agreement with its employees and third parties with an equivalent purport to article 15. Achmea may demand that an employee or third party who comes into contact with special personal information sign a supplementary statement of confidentiality drawn up by Achmea. If the person concerned refuses to do so, Supplier will arrange for a replacement immediately without prejudice to its obligations. 17.8 In the event that Achmea supplies test data for the Performance, the test data will not contain any personal information. If Supplier notices that the test data do not comply with this, Supplier will notify the contact person at Achmea and will not carry out any tests until permission has been given explicitly by Achmea and/or revised test data have been supplied.
Article 18 Third parties 18.1 Supplier will not engage any third parties for the delivery of the Performance without obtaining explicit permission to do so from the contact person at Achmea. This prohibition concerns self-employed persons, employees of third parties, temporary workers, as well as services by third parties, such as storage space, information technology services or otherwise. Supplier does not need to obtain permission from Achmea for utility services. Achmea may impose conditions on the permission and will always have the right to withdraw the permission.

18.2 Supplier vouches at all times for any third parties engaged by Supplier and will ensure that third parties are contractually obliged to enable Supplier to comply with all Supplier’s obligations in connection with the Order. Stipulations in the Order that apply to Supplier also apply to any third parties engaged by Supplier. Supplier will ensure that Achmea can also exercise its rights with respect to such third parties.
b) Supplier will report its arrival at and departure from an Achmea location to the responsible employee. Supplier will be in possession of a valid proof of identity and a document stating why Supplier is performing work at Achmea; c) Achmea is entitled to refuse admission to an Achmea location.
Article 22 Compliance and security Article 19 Screening 19.1 In the event that Supplier is granted independent access to areas and/or systems and/or confidential data at Achmea, an investigation will be carried out (hereinafter: ‘screening’) into Supplier’s expertise and trustworthiness on the basis of Achmea’s Pre-Employment Screening policy. If screening is necessary, Supplier will be responsible for the screening unless Achmea indicates that it will carry out all or part of the screening itself. Supplier may only start executing the Order once the screening has been completed and the results are positive. 19.2 Supplier will ensure that the results of the screening carried out by it are carefully stored. At Achmea’s request, Supplier will submit the results of the screening to Achmea unless the person concerned refuses permission for this. Achmea has the right to refuse to allow specific persons to work on the Order on the basis of the results of the screening and is not required to give reasons for this decision. 19.3 At least once a year in April Supplier will provide Achmea with a statement by a registered accountant stating that Supplier has complied with its obligations pursuant to this article.
Article 20 Recruitment of employees 20.1 For the duration of the Order and for a period of six months thereafter parties undertake to refrain from any activities aimed at active recruitment of each other’s employees.
Article 21 Location rules 21.1 In the event that Supplier performs work at a location belonging to the Achmea Group, the following will apply: a) Supplier will be familiar with the house rules and codes of conduct that apply at the location where the Order is being executed and will act accordingly. Achmea will provide Supplier’s contact person with a copy of these house rules and codes of conduct;

22.1 Supplier guarantees the security of the Performance and will ensure that suitable technical and organizational measures are taken. In addition, Supplier will comply with the security requirements that parties have agreed on in the Order. 22.2 Supplier will ensure that one of its employees will be charged with defining and implementing the security policy and keeping it up to date. 22.3 Supplier will arrange its internal procedures, security policy and work agreements in such a way that Supplier complies with the Order. Supplier will also have internal procedures, a security policy and work agreements that facilitate integrity and prevent bribery or attempts at such. 22.4 Supplier will periodically test, on the basis of internal checks and risk management systems, the effectiveness of internal procedures, a security policy and work agreements as regards their existence and functioning in order to supply Achmea with a transparent and demonstrably sound, continuous, reliable and safe Performance. Supplier will record the results of the tests and submit them to Achmea for inspection. 22.5 In the event that a compliance incident occurs, Supplier will report the incident without delay, correctly and fully, to the contact person at Achmea. This includes, but is not restricted to, incidents with one or more of the following characteristics: a high risk factor in the media, substantial impact on the operational management, violation of security measures, confidential data as referred to in article 15.2 that have or may have been accessible to an unauthorized person, involvement of the law, screening incidents, fraud, visits and/or investigations by a supervisory body whether announced or unannounced. Achmea will be the first party to be informed. 22.6 Depending on their nature and seriousness, Achmea may be required to report certain incidents immediately to the supervisory bodies. If Supplier is under a statutory disclosure obligation, as may be the case to supervisory bodies, Achmea and Supplier will consult about how this obligation will be complied with.

Article 23 Corporate social responsibility 23.1 Achmea aims to protect the environment as far as possible by using environmentally-friendly materials and products. Achmea will only purchase Performances that do not involve child labour in any way. Supplier guarantees that the Performance delivered by it complies with this stipulation. At Achmea’s request, Supplier will provide relevant information on this matter. 23.2 Supplier will inform Achmea in writing, before delivery of the Performance, if Supplier uses materials or products and/or if the Performance produces waste products that, either by themselves or in combination with other materials or products, are known to constitute a threat to humans or the environment. In that case, Achmea is entitled to refuse to accept the Performance without being obliged to pay any compensation or damages to Supplier. 23.3 At Achmea’s request, Supplier will remove all packaging materials and/or parts of goods used by it free of charge.
24.8 Supplier is not a Dutch entity. The general terms and conditions of purchase of Achmea are translated into English solely for information purposes. Achmea, which has provided the translation, states that the translation has been done as accurately as possible and to the best of its knowledge covers the ideas and intentions of the Dutch equivalent. However, Achmea is not liable for incorrect translation and in case of conflicts or difference of interpretation between the Dutch ’algemene inkoopvoorwaarden Achmea’ and the English translation, the Dutch ‘algemene inkoopvoorwaarden Achmea’ will prevail.
Chapter 2 Support Facilities In the event that support facilities are a part of the Performance, the provisions of this Chapter 2 ‘Support Facilities’ will also apply.
Article 24 Final provisions 24.1 In the event that Supplier is in contact with another legal person of the Achmea Group, Supplier will inform that legal person of the existence of this Order and contact Achmea Procurement by email at procurement@ achmea.nl. 24.2 Supplier will not use the names, trade names or brand names of the Achmea Group without permission. Neither will Supplier announce the existence of the relationship unless Achmea grants permission for this. Achmea may impose conditions on the granting of permission. 24.3 The Order contains all agreements made between the parties and will replace all earlier agreements that may have been made by parties in this context. 24.4 In the event that one or more articles in the Order prove to be null and void or are declared invalid by a court of law, the remaining stipulations will retain their legal force. The parties will consult each other about the article(s) that are null and void or have been declared invalid in order to draft an alternative stipulation. 24.5 Waiver of rights will only be valid if an explicit written statement to that effect has been submitted by a competent party. 24.6 The Order is exclusively subject to the law of the Netherlands. The applicability of the provisions of the United Nations Convention on Contracts for the Sale of Goods is excluded by the parties. 24.7 If the parties are unable to resolve a dispute by mutual consultation, the dispute will be brought exclusively before the competent court in the district of Utrecht, unless the parties agree on a different way of settling the dispute.

Article 25 Facilities 25.1 Supplier is responsible for the materials, tools, machines and other aids required for executing the Order. 25.2 Supplier will only use the materials, tools, machines and other aids after receiving written permission to do so from Achmea. The usage is for the account and at the risk of Supplier. 25.3 In the event that Supplier wishes to transport the materials, tools, machines and other aids to or from an Achmea location or store them there, Supplier may only do so after receiving written permission from Achmea. Achmea will decide on the place of storage. 25.4 Before the Order is executed, parties will agree which utilities and what parts of the grounds and buildings of Achmea may be used by Supplier. Supplier will keep clean the grounds and buildings used by it.
Chapter 3 Marketing and Communication In the event that marketing and communication services are a part of the Performance, the provisions of this Chapter 3 ‘Marketing and Communication’ will also apply.
Article 26 Printing price regulation 26.1 In the event that the Performance consists, inter alia, of making a film or video production, Supplier will apply the printing price regulation (printprijsregeling) wherever possible.

Article 27 Storing materials 27.1 In the event that Supplier stores materials that are part of the Performance for Achmea, Supplier will do so with the greatest possible care for a period of three calendar years. At the end of this period Supplier will ask whether Achmea wants the materials to be stored longer. If that is the case, Achmea will pay a reasonable fee for this to Supplier. If the materials are not to be kept or destroyed, Supplier will return the materials at its own risk.
Chapter 4 Secondment and Consultancy In the event that Secondment and/or Consultancy is a part of the Performance, the provisions of this Chapter 4 ‘Secondment and Consultancy’ will also apply.
Article 28 Definitions 28.1 Secondment: the making available by Supplier, in the context of the conduct of Supplier’s business or profession, of one or more employees who have an employment contract with Supplier to carry out work in one or more units of the Achmea Group under the management and supervision of Achmea. 28.2 Consultancy: the providing of advice by Supplier in the context of the conduct of Supplier’s business or profession. This does not concern the performance of information technology services, such as but not limited to the management, maintenance, implementation and/ or development of hardware or software.
Article 29 Non-working days 29.1 Days on which no work is done in connection with leave, sickness or training courses as well as generally recognized public holidays are at the expense of Supplier.
Article 30 Deployment of employees and/or third parties In the event that Achmea, in accordance with article 18.1, grants permission to deploy third parties for Secondment and Consultancy, Supplier will comply with the following conditions: 30.1 Supplier will make every effort to deploy employees who have an employment agreement with Supplier. 30.2 Third parties will not themselves be intermediaries. For that reason Supplier guarantees that any third party: a) is an employer that puts employees who have an employment agreement with it directly at the disposal of Supplier (lender); or

b) is a self-employed person (freelancer) in possession of a VAR-wuo (Declaration of Independent Contractor Status) that is and remains valid and covers the work performed by this self-employed person; or c) is a company in which the worker concerned has a material interest as director and major shareholder. This worker is in possession of a VAR-directeur groot aandeelhouder (Declaration of Income Tax Status (income from activities at the company’s risk and expense)) that is and remains valid and covers the work performed by this worker.
Article 31 Liability for tax and social insurance contributions 31.1 If Supplier performs work under the management and supervision of Achmea and/or if more than 50% of the work involved in the Order is performed by Supplier at an Achmea location, the following will apply: a) Supplier guarantees and indemnifies Achmea that during delivery of the Performance all obligations in connection with tax and social insurance legislation, income tax and turnover tax will be complied with; b) At Achmea’s request, Supplier will immediately submit a statement (either by a registered accountant or by the Tax and Customs Administration) that Supplier has complied with the obligations referred to in article 31.1 (a). In principle, Achmea will not make this request more than four times a year. The statement will be per person. For categories b) and c) of article 30.2, Achmea will also be given a copy of the relevant VAR (Declaration of Income Tax Status); c) If Achmea suspects that Supplier is not complying with article 31.1 (a), Achmea is entitled to deduct 50% of the contributions owed from the amounts payable to Supplier as a reserve. Achmea may keep this reserve until it receives confirmation referred to in article 31.1 (b), or Achmea may pay it direct to the government agency concerned. 31.2 Achmea is entitled to terminate the Order immediately if Supplier does not comply with article 31.1.

Chapter 5 IT In the event that information and/or communication technology and/or communication technology services, in the broadest sense, are a part of the Performance, the provisions of this Chapter 5 ‘IT’ will also apply.
Article 32 Definitions In addition to the definitions given in Chapter 1 ‘general conditions’ of these general terms and conditions of purchase, the following definitions also apply to this Chapter 5 ‘IT’: 32.1 Acceptance test: The test procedure by which it can be demonstrated that the Software functions in accordance with the Specifications, the guaranteed features and the Order. 32.2 Equipment: The equipment including the accompanying version of the System Software on which or together with which the Software functions. 32.3 Conversion: The whole of measures and activities aimed at converting the current working method in connection with data processing into the new working method, in which Software is used. 32.4 Documentation: The standard user documentation and the documentation that must be maintained for Achmea that belongs with the Software. 32.5 Installation: The installation of the Software in the Equipment so that the Software can function in accordance with the Specifications and the guaranteed features, putting the Software into working order and successfully carrying out an operational test. Installation also includes the Conversion of existing data files of the Achmea Group. 32.6 Licence: Achmea’s right to use the Software in accordance with the stipulations of the Order. 32.7 Materials: The data carriers on which the Software is recorded, as well as the aids needed for the use and maintenance of the Software, such as support software (including conversion software, supplies, interfaces, compilers, etc.). 32.8 New Version: An updated version of the Software as a result of which the Software’s functionality is improved. 32.9 Software: The computer program(s) in object code with the accompanying Documentation and Materials for which Supplier grants the Licence and which Supplier will maintain in accordance with the stipulations of this Order. Software includes software that has been improved, modified or adapted by Supplier for all of its customers, such as but not limited to Improved Versions and New Versions. 32.10 Specifications: The standard information issued by Supplier regarding the features of the Software.

32.11 System Software: The Equipment’s data systemindependent operating software with accompanying documentation. 32.12 Improved Version: A modified version of the Software, as a result of which Defects are repaired or the logical cohesion and functionality is improved. 32.13 SaaS: Software as a Service. This concerns making Software available through a public network as a service.
Article 33 Quality in IT 33.1 The following are added as a supplement to the requirements in article 9.1: f) the Performance will be delivered without interruption; g) the Performance does not contain any malware, diseases and/or other foreign elements (such as time bombs, Trojan horses, worms or viruses); h) the Software functions and will continue to function efficiently, reliably and mutually cohesively; a) the Software does not contain any open source software; j) the Software does not contain any other security measures than those listed in the Documentation; k) the Software is and will continue to be fully compatible with the Equipment and System Software of Achmea referred to in the Order; l) the Performance is protected and will continue to be protected, by means of Improved Versions, in such a way as is normal practice from time to time among best-of-industry suppliers. m) the Performance complies with the requirements as contained in the Security Agreement.
Article 34 Escrow 34.1 At Achmea’s request, Supplier will effect an arrangement, under conditions that are customary in the branch, whereby the source code of the Software is deposited with an independent escrow agent. This agent will release the source code immediately, without supplementary conditions and free of charge, in the event that Supplier applies for a moratorium, goes into liquidation or fails to comply with the obligations in the Order, in such a way that Achmea is entitled to terminate the Order. This will ensure that Achmea will always be able to use the most recent version of the Software in accordance with the Order. In addition to the source codes, the escrow will also cover information that has not been made public but which Achmea needs for the maintenance, management or repair of errors in the Software.

Article 35 Supplementary provisions for Acceptance The following provisions are added as a supplement to article 8 of these general terms and conditions of purchase: 35.1 Achmea will strive to subject the Performance to an Acceptance test within a reasonable period after completion/delivery and/or Installation. 35.2 Before the date of completion/delivery and/or Installation of the Software, parties, in mutual consultation, will decide on and record acceptance criteria in an action plan which will also specify how the Acceptance test will be performed. 35.3 At Achmea’s request, Supplier will demonstrate the Software on the Equipment before Achmea agrees to accept the Performance. 35.4 If Achmea accepts all or parts of the Performance, it will record the decision in writing. Without such a written record, Acceptance will not be considered to have taken place. The date of the written decision will be the date of Acceptance. 35.5 In the event that Achmea does not accept all or parts of the Performance, Achmea will state this in writing, giving reasons. The costs of the Acceptance test will be borne by Supplier. Supplier will modify the Performance or parts thereof within a reasonable period of time and resubmit it for Acceptance. 35.6 In the event that after a second assessment Achmea still does not accept the Performance, Supplier will be in default. In that case Achmea will be entitled to cancel the Order by registered letter, without prejudice to the other rights of Achmea.
Article 36 Documentation 36.1 Supplier will provide Achmea with sufficient, correct, detailed and complete Documentation, written in Dutch, about the features and application functionalities. 36.2 The Documentation will be issued to Achmea on the date of completion/delivery of the Software at the latest. 36.3 Supplier will ensure that the Documentation remains up to date. Supplier will modify the Documentation as soon as possible, at Supplier’s own expense, if it is incomplete, insufficient, outdated or incorrect as well as if the Performance or Equipment changes. Supplier will provide Achmea with the modified Documentation. 36.4 Achmea is entitled to make copies or have copies made of the Software and the Documentation, such as for back-up purposes. Specifications concerning rights of ownership and copyrights that are stated on the originals will not be removed.
Article 37 Maintenance 37.1 In the event that maintenance is included in the Order, Supplier will support and maintain the Software in accordance with the Order.

37.2 Maintenance work will be done at Supplier unless it is necessary to perform the work at Achmea. Supplier will ensure that it has the Materials needed for the maintenance work in good time. 37.3 Supplier will ensure a consistent version policy and will share it with Achmea. Supplier will make Improved and New Versions available on a regular and timely basis. Supplier will regularly research the need to publish New Versions and will inform Achmea as soon as possible about the results of its research. Interim modifications to Software through maintenance will be included wherever possible in an Improved and/or New Version. 37.4 In the event that Equipment, infrastructure, Software and/or computer programs of Achmea and Supplier are connected to each other, Supplier will inform Achmea in good time about modifications to the Performance. 37.5 Modifications to Equipment or infrastructure and/or the Software will not affect the Performance and its availability. If the latter is the case, the resulting costs will be at the expense of Supplier. 37.6 At Achmea’s request, Supplier will provide Achmea with a free copy of an Improved Version and/or a New Version for testing and evaluation purposes. Achmea will not be obliged to make use of an Improved Version or a New Version. 37.7 The costs of carrying out maintenance work on the Software are included in the fee that Achmea pays for the use of the Software. Supplier will not charge separately for this work.
Chapter 5.1 Licences The provisions of this specific part of Chapter 5 ‘IT’ are applicable in the event that Achmea acquires a Licence.
Article 38 Usage of the Software 38.1 Supplier grants Achmea an irrevocable Licence as described in more detail in the Order. 38.2 Supplementary to article 4, Achmea may, without permission from Supplier, transfer all or some of its rights and obligations ensuing from the Order to, and/or allow them be used by, third parties engaged by Achmea, such as third parties that provide maintenance or support services in the context of the Performance, to provide services to the Achmea Group. 38.3 In the event that Supplier fails to comply with its obligations pursuant to the Order, Achmea has the right, for maintenance or other purposes, to change or modify the Software or to merge it with other software and to use it. These activities may also be carried out by a third party commissioned by Achmea.

38.4 In the event that the Equipment fails to work, wholly or partially and irrespective of the reason, Achmea is entitled to use the Software temporarily on replacement equipment, irrespective of where that equipment is located. This right will apply until such time as proper use of the Software on the Equipment is possible.
Chapter 5.3 SaaS The provisions of this specific part of Chapter 5 ‘IT’ are applicable in the event that Achmea makes use of SaaS provided by Supplier.
Article 41 SaaS Article 39 Installation 39.1 Supplier will install the software without interruption, making optimum use of its employees, unless Achmea states that it wishes to do this itself. 39.2 In the event that Supplier, on the basis of its expertise, the request for a quotation and/or the Order, could or should have known that modifications to Equipment or to other software would be necessary for the Installation, Supplier will attend to those modifications at its own expense. 39.3 Once Achmea and Supplier agree that the Installation has been completed, this will be confirmed by Achmea. This does not affect that which is provided for in article 33 ‘Quality in IT’ or the provisions concerning Acceptance.
41.1 The delivery of the Performance, in cases in which Achmea makes use of SaaS provided by Supplier, is inclusive of the Licence and rights of use for the interface which Supplier provides for the duration of the Order. Article 38 ‘Usage of the Software’ is not applicable in the event that Achmea makes use of the Software by means of SaaS unless Achmea acquires the source code in accordance with article 34 ‘Escrow’. 41.2 Supplementary to article 21 ‘Location rules and security’ and article 33 ‘Quality of IT’, if use is made of SaaS, Supplier will ensure that the Software and the data server are separated. 41.3 Supplementary to article 15.6 Supplier will enable Achmea to save the Achmea data from the website or via the interface in a format to be determined by Achmea in order to make its own back-ups.
Chapter 5.2 Management The provisions in this specific part of Chapter 5 ‘IT’ are applicable in the event that Achmea makes use of management services by Supplier.
Article 40 Management 40.1 Achmea has the right, in the interests of its normal operational management, to temporarily or permanently take out of operation any Equipment and/or Software and/or components thereof and/or other software that is managed by Supplier. Achmea will inform Supplier at least three weeks before it exercises this right. All management and payment obligations pursuant to the Order in connection with the Equipment and/or Software and/or other software or components thereof will be suspended on a pro rata basis during the inoperative period. Payments made in advance will be repaid pro rata by Supplier to Achmea. 40.2 Once the Equipment and/or Software or components thereof that have been made inoperative are put into operation again, Supplier will resume the management in the agreed manner.

Hoofdstuk 1 Algemene bepalingen Artikel 1
Definities
Aanvullend op de definities zoals opgenomen in de Opdracht gelden voor deze algemene inkoopvoorwaarden de volgende definities: 1.1 Acceptatie: de goedkeuring van (onderdelen van) de Prestatie door Achmea. 1.2 Achmea Groep: onder Achmea Groep wordt verstaan de economische eenheid van Achmea B.V. of haar rechtsopvolger en alle van tijd tot tijd met haar verbonden rechtspersonen als bedoeld in artikel 2:24b BW. 1.3 Gebrek: andere of slechtere eigenschappen dan die in de Opdracht zijn overeengekomen of die Achmea mag verwachten. 1.4 Leverancier: in aanvulling op de definitie van leverancier in de Opdracht valt onder Leverancier ook haar werknemers en de door Leverancier ingeschakelde derden. 1.5 Opdracht: de overeenkomst tussen Achmea en de Leverancier waarop deze algemene inkoopvoorwaarden van Achmea van toepassing zijn. 1.6 Prestatie: de door Leverancier te leveren goederen (artikel 3:1 BW), de te leveren dienst, het te verstrekken gebruiksrecht en de daaruit voortvloeiende resultaten (waaronder intellectuele eigendomsrechten), of een combinatie daarvan, waaronder begrepen materialen en documentatie.
Artikel 2 Totstandkoming en toepasselijkheid 2.1 Achmea sluit een Opdracht altijd schriftelijk. Als Achmea mondeling een Opdracht aangaat, komt er geen overeenkomst tot stand tenzij Achmea dit later schriftelijk bevestigt. 2.2 Een Opdracht kan door partijen alleen schriftelijk gewijzigd of aangevuld worden. 2.3 Deze algemene inkoopvoorwaarden zijn ook van toepassing op gewijzigde, aanvullende en vervolgopdrachten aan Leverancier.
Artikel 3 Beëindiging en gevolgen 3.1 Achmea kan de Opdracht (tussentijds) opzeggen met inachtneming van een opzegtermijn van één maand, zonder dat Leverancier recht heeft op schadevergoeding. 3.2 Beide partijen mogen de Opdracht met onmiddellijke ingang met een aangetekende brief (gedeeltelijk) opzeggen op het moment dat: a) de andere partij surseance van betaling is verleend of failliet is verklaard; b) een partij aan de andere partij of aan derden voorstellen of pogingen doen die in strijd zijn met de wet of integriteitbeginselen, zoals bijvoorbeeld

voorstel of poging tot omkoping; c) een toezichthouder wezenlijke bezwaren uit tegen de uitvoering van de Opdracht en het partijen samen niet lukt om binnen een maand de Opdracht zo te veranderen dat het bezwaar wordt ingetrokken. 3.3 Zodra één van de situaties, zoals beschreven in artikel 3.2 zich voordoet, informeert de betreffende partij de andere partij onmiddellijk. 3.4 Indien de Opdracht wordt beëindigd (ongeacht de wijze van beëindigen): a ) mag Achmea de Prestatie, (blijven) gebruiken waarbij eventuele beperkingen aan het gebruik van de Prestatie zoals overeengekomen in de Opdracht blijven gelden; b) is Leverancier verplicht bedragen die vooruit zijn betaald terug te betalen; c) is Leverancier verplicht op verzoek van Achmea al datgene te verstrekken wat nodig is voor het verdere gebruik van de geleverde Prestatie. Achmea hoeft Leverancier hiervoor niet te betalen; d) werkt Leverancier met Achmea samen om de Prestatie, zoals die op dat moment door Leverancier is geleverd, op geleidelijke en correcte wijze over te dragen aan Achmea of aan een door Achmea aan te wijzen derde. De continuïteit van de Prestatie staat hierbij centraal; e) verplicht Leverancier zich om de uitvoering van een al in gang gezette levering van de Prestatie, die binnen korte termijn kan worden afgerond, af te maken tegen de prijzen zoals overeengekomen in deze Opdracht; f) is Leverancier verplicht zich te blijven houden aan de afspraken die in de Opdracht zijn gemaakt en die gezien hun aard na beëindiging blijven voortduren. Dit zijn in ieder geval de afspraken met betrekking tot vrijwaringen, geheimhouding, aansprakelijkheid, intellectuele eigendom, kwaliteit, toepasselijk recht en bevoegde rechter.
Artikel 4 Levering en overdracht rechten en plichten 4.1 Op verzoek van Achmea levert Leverancier de Prestatie onder de voorwaarden van de Opdracht rechtstreeks aan een rechtspersoon van de Achmea Groep. Achmea mag de Prestatie laten gebruiken door de Achmea Groep, haar werknemers en door haar ingeschakelde derden (zoals, bijvoorbeeld, stagiaires, zzp’ers, uitzendkrachten en adviseurs), voor zover deze derden diensten leveren ten behoeve van de Achmea Groep. Alle rechten en verweermiddelen (waaronder vrijwaringen) die voortvloeien uit deze Opdracht gelden ook voor de in dit artikel 4 genoemde personen en rechtspersonen.

4.2 Achmea kan zonder toestemming van Leverancier alle of een deel van haar rechten en/of verplichtingen die uit de Opdracht voortvloeien: a) overdragen aan een rechtspersoon binnen of buiten de Achmea Groep; b) overdragen of in beheer geven aan een partij aan wie Achmea uitbesteedt. 4.3 Als een rechtspersoon van de Achmea Groep gebruik maakt van de Prestatie van Leverancier op een bepaald moment niet meer tot de Achmea Groep behoort, dan heeft deze rechtspersoon gedurende twaalf maanden na dat moment het recht de Prestatie van Leverancier af te (blijven) nemen onder dezelfde voorwaarden als opgenomen in de Opdracht en/of heeft Achmea het recht om gedurende die periode de Prestatie te leveren aan deze rechtspersoon.
Artikel 5 Aansprakelijkheid 5.1 Als een partij tekort schiet in de verplichtingen die voortvloeien uit deze Opdracht of een onrechtmatige daad pleegt en de andere partij daardoor schade lijdt die kan worden toegerekend en kan worden teruggevoerd op de gebeurtenis waardoor de schade wordt veroorzaakt en deze schade is aantoonbaar, dan dient de tekortschietende partij deze schade te vergoeden, tenzij de tekortkoming niet kan worden toegerekend.
Artikel 6 Overmacht 6.1 Ingeval van een (dreigende) niet toerekenbare tekortkoming (verder: ‘overmacht’) informeert de partij die zich op overmacht beroept direct de andere partij. Dit dient schriftelijk en onderbouwd te gebeuren. De partij die zich op overmacht beroept, moet zijn uiterste best doen om zo snel mogelijk weer de verplichtingen uit de Opdracht uit te voeren. 6.2 Onder overmacht wordt niet verstaan: ondercapaciteit of ziekte bij Leverancier, stakingen, blokkades of stiptheidsactie, transportbelemmeringen, vertraagde levering, tekort aan of ongeschiktheid van materialen, diefstal, overstroming, handelingen van de overheid, liquiditeit- of solvabiliteitsproblemen bij Leverancier, de onmogelijkheid van Leverancier om een vereiste vergunning of toestemming van de overheid te krijgen en/of storingen in netwerken waarvan Leverancier gebruik maakt.
Artikel 7
Levering van de Prestatie
7.1 Leverancier is verplicht om in de Opdracht de Prestatie volledig en gedetailleerd te beschrijven. 7.2 Indien Leverancier niet op het afgesproken tijdstip of binnen de afgesproken termijn(en) presteert, is zij in verzuim. Alle afgesproken tijdstippen en termijnen zijn voor Leverancier dus fataal.

7.3 Zodra Leverancier weet dat zij niet op het afgesproken tijdstip of binnen de afgesproken termijn de Opdracht uit kan voeren dan informeert zij Achmea direct over de oorzaak, de gevolgen en eventuele maatregelen ter beperking van de vertraging en eventuele schade. 7.4 Leverancier is verplicht te voldoen aan het beleid van Achmea Groep en de gedragscodes waarvan Leverancier op de hoogte is gebracht. 7.5 Leverancier mag de levering van de Prestatie alleen opschorten als een rechter zich over het geschil heeft uitgelaten en opschorting toestaat. Indien een rechter bepaalt dat Leverancier had mogen opschorten, dan zal Achmea de door Leverancier naar redelijkheid gemaakte kosten vergoeden. 7.6 Leverancier garandeert Achmea dat de door haar geleverde Prestatie en het gebruik hiervan geen inbreuk maakt op de rechten van derden, waaronder, rechten van intellectueel eigendom, en dat het gebruik ervan ook op een andere manier niet onrechtmatig is. Leverancier vrijwaart Achmea tegen alle (dreigende) aanspraken van derden betreffende een (eventuele) inbreuk op intellectuele eigendomsrechten en/of op andere rechten van die derde en zal alle schade vergoeden die Achmea lijdt en alle kosten die Achmea maakt als de Prestatie wel inbreuk maakt en/of onrechtmatig is. Leverancier neemt op verzoek van Achmea de verdediging op zich in een procedure die tegen Achmea wordt ingesteld wegens gestelde onrechtmatige daad en/ of inbreuk op de rechten van een derde. Achmea is dan gerechtigd Leverancier in vrijwaring op te roepen. Achmea verstrekt aan Leverancier de noodzakelijke volmachten en ondersteuning indien Achmea Leverancier verzoekt de verdediging van Achmea als hiervoor bedoeld, op zich te nemen. 7.7 Leverancier geeft opleiding over het gebruik van de Prestatie als Achmea hierom vraagt. 7.8 Leverancier stelt Achmea in staat om blijvend te kunnen voldoen aan de op Achmea van toepassing zijnde nationale en internationale wet- en regelgeving voor zover dit het gebruik van Prestatie betreft. Achmea heeft altijd het recht wijzigingen aan te brengen in de manier waarop de uitvoering van de Prestatie door Leverancier plaatsvindt als dit nodig is om aan deze wet- en regelgeving te kunnen (blijven) voldoen. Levering goederen 7.9 Achmea wordt eigenaar van goederen zodra de goederen op de afgesproken plaats zijn geleverd en door Achmea zijn geaccepteerd. Leverancier zal goederen adequaat verzekeren tot dat moment. 7.10 Alle goederen die Achmea voor de uitvoering van de Opdracht aan Leverancier in gebruik geeft, blijven eigendom van Achmea Groep of derden en kan zij op

ieder moment terugnemen. Leverancier zal deze goederen apart opslaan en erop vermelden dat deze eigendom zijn van Achmea. 7.11 Leverancier is verplicht de goederen voorafgaand aan levering te testen en bedrijfsklaar op te stellen tenzij partijen hierover andere schriftelijke afspraken hebben gemaakt.
de Prestatie en de verplichtingen van Leverancier onder de Opdracht, zoals bijvoorbeeld belastingen en reis- en verblijfkosten van Leverancier.
Artikel 11 Meerwerk
8.1 Indien Achmea hierom vraagt, biedt Leverancier (onderdelen van) de Prestatie ter Acceptatie aan en werkt Leverancier hier volledig aan mee. 8.2 Onverminderd Acceptatie moet de Prestatie blijven voldoen aan het bepaalde in artikel 9 ‘kwaliteit’. 8.3 Achmea mag een Prestatie niet afkeuren vanwege kleine Gebreken. Hieronder vallen Gebreken die naar hun aard of aantal het in gebruik nemen van de Prestatie naar het oordeel van Achmea niet in de weg staan.
11.1 Achmea vergoedt geen werkzaamheden die niet in de Opdracht zijn vastgelegd of die tegen een andere prijs zijn uitgevoerd dan overeengekomen. 11.2 Indien Leverancier verwacht dat er werkzaamheden uitgevoerd moeten worden die buiten de Opdracht vallen, meldt zij dit direct bij Achmea. Leverancier mag deze werkzaamheden pas uitvoeren nadat Achmea schriftelijk akkoord is gegaan met de offerte van Leverancier waarin de aard, omvang en de kosten van deze werkzaamheden staan vermeld. Na de uitvoering en Acceptatie van deze werkzaamheden stuurt Leverancier een aparte factuur waarin de aard en omvang van de werkzaamheden staan vermeld.
Artikel 9 Kwaliteit
Artikel 12 Facturering en betaling
9.1 Leverancier staat er voor in dat: a) de Prestatie geen Gebrek(en) heeft; b) de Prestatie voldoet aan de op de Prestatie van toepassing zijnde wet- en regelgeving; c) de Prestatie voldoet aan de kwaliteitseisen binnen de branche en de algemeen aanvaarde (technische) normen binnen de bedrijfstak van Leverancier; d) de (levering van de) Prestatie niet leidt tot schade (bijvoorbeeld als gevolg van virus) aan de computersystemen van Achmea; e) zij beschikt over de noodzakelijke kwaliteiten ten aanzien van opleiding, deskundigheid en ervaring voor het maken en leveren van de Prestatie. 9.2 Achmea hoeft naar het overeenstemmen van de Prestatie met de kwaliteitseisen van dit artikel 9 geen onderzoek te doen. Als de Prestatie niet voldoet aan de kwaliteitseisen, hoeft Achmea binnen twee maanden na ontdekking slechts aannemelijk te maken dat dit het geval is. Slaagt Achmea hierin dan zal op een zo kort mogelijke termijn herstel of vervanging door en voor rekening van Leverancier plaats vinden onverminderd de overige rechten van Achmea. 9.3 Op nakoming van de verplichtingen van de Leverancier krachtens dit artikel 9 kan Achmea een beroep doen gedurende een periode die gelet op de aard van de Prestatie redelijk is doch die niet korter is dan een jaar na Acceptatie.
12.1 Leverancier stuurt de factuur nadat de Prestatie is geleverd en, indien van toepassing, Acceptatie heeft plaatsgevonden. Achmea betaalt binnen vijfenveertig dagen nadat zij een juiste factuur heeft ontvangen. Indien Achmea hierom vraagt, stuurt Leverancier de stukken waarop de factuur is gebaseerd. 12.2 Een factuur moet voldoen aan de eisen die vermeld staan in zowel de Wet op de Omzetbelasting 1968 en als in de Opdracht. Een factuur moet daarnaast het referentienummer, kostenplaats/POnummer/WBSelement, geadresseerde binnen Achmea (bedrijfsonderdeel) contactpersoon van Achmea, datum en omschrijving van de Opdracht vermelden. 12.3 Facturen moeten digitaal in PDF-vorm worden verzonden naar het factuuradres
[email protected]. 12.4 Zolang niet wordt voldaan aan de artikelen 12.2 en 12.3, neemt Achmea de factuur niet in behandeling en schort zij de betaling op. Betaling van een factuur betekent niet dat Achmea de Prestatie heeft geaccepteerd en houdt geen afstand van recht in. 12.5 Als Achmea zonder geldige reden een factuur niet binnen vijfenveertig dagen betaalt, dient zij wettelijke rente als bedoeld in artikel 6:119 BW te betalen. Achmea hoeft deze rente en eventueel door Achmea verschuldigde incassokosten niet te betalen op het moment dat de factuur niet voldoet aan hetgeen in de artikelen 12.2 en 12.3 staat vermeld. 12.6 De hoogte van de aan Leverancier te betalen bedragen blijkt uit de administratie van Achmea, tenzij Leverancier aantoont dat deze administratie niet juist is.
Artikel 8 Acceptatie
Artikel 10 Prijzen 10.1 De prijs van de Prestatie staat in de Opdracht vermeld en blijft tijdens de looptijd van de Opdracht ongewijzigd. 10.2 De prijs van de Prestatie is in Euro´s en exclusief BTW. De prijs is inclusief alle kosten die verband houden met

Artikel 13 Overleg en informatie 13.1 Partijen stellen op korte termijn nadat de Opdracht is gegeven een overlegstructuur vast. De wijze waarop dit overleg is opgebouwd, past bij het soort werkzaamheden dat wordt verricht. 13.2 Leverancier heeft zich in voldoende mate op de hoogte gesteld van de doelstellingen met betrekking tot de Opdracht, de organisatie, de processen en gegevensstromen van Achmea Groep en van de haalbaarheid van de Prestatie binnen de door Achmea aangegeven kaders. 13.3 Achmea heeft Leverancier, met het oog op het bepaalde in artikel 13.2, van voldoende informatie voorzien. Achmea verstrekt Leverancier op verzoek aanvullende informatie voor zover die niet van vertrouwelijke aard is en in redelijkheid relevant moet worden geacht voor de uitvoering van de Opdracht. Bij eventuele onduidelijkheid doet Leverancier tijdig navraag bij Achmea. 13.4 Partijen houden elkaar op de hoogte van ontwikkelingen en veranderingen die van belang (kunnen) zijn voor de uitvoering van de Opdracht.
Artikel 14 Intellectueel eigendom 14.1 Alle rechten van intellectuele eigendom van Leverancier berusten exclusief bij Leverancier of haar licentiegevers. Alle rechten van intellectuele eigendom van Achmea berusten exclusief bij Achmea of haar licentiegevers. 14.2 Achmea verkrijgt alle rechten van intellectuele eigendom die ontstaan in het kader van de Prestatie. Deze intellectuele eigendomsrechten worden bij deze op voorhand door Leverancier overgedragen aan Achmea, voor het moment dat de intellectuele eigendomsrechten ontstaan. Deze overdracht wordt bij deze al door Achmea aanvaard voor het moment van ontstaan. Leverancier verleent aan een overdracht van de intellectuele eigendomsrechten op haar kosten volledige medewerking. Zij stelt hierbij geen voorwaarden. Als er intellectuele eigendomsrechten ontstaan in het kader van de Prestatie, waarbij Leverancier intellectuele eigendomsrechten en/of andere (vergelijkbare) rechten inbrengt die bij aanvang van de Opdracht al bij haar of haar licentiegevers rusten, verleent Leverancier hierbij om niet ten aanzien van die rechten aan Achmea een niet-exclusieve, wereldwijde, onherroepelijke, onbeperkte, overdraagbare, eeuwigdurende (sub)licentie. 14.3 Voor zover wettelijk toegestaan, verklaart Leverancier hierbij dat zij geen gebruik zal maken van enig persoonlijkheidsrecht, zoals de rechten die volgen uit artikel 25 van de Auteurswet.
Artikel 15 Geheimhouding en omgang met gegevens
gegevens geheimhouden, die zij hebben gekregen tijdens de Opdracht. Partijen gebruiken de vertrouwelijke gegevens uitsluitend in het kader van de Opdracht. 15.2 ‘Vertrouwelijke gegevens’ zijn: alle door Leverancier in het kader van de Opdracht ontvangen en/of gecreëerde informatie, gegevens en gegevensbestanden van de Achmea Groep en haar (potentiële) klanten met betrekking tot haar ondernemingsactiviteiten, processen, organisatie, (strategische) doelstellingen, (financiële) prognoses, analyses, studies, producten, know-how, intellectuele (eigendoms)rechten, computersoftware, werknemers, sollicitanten, leveranciers, klanten en relaties, andere persoonsgegevens en de Opdracht ongeacht in welke vorm of wijze waarop deze zijn gemaakt of opgeslagen. Daarnaast zijn vertrouwelijke gegevens,gegevens die door een van de partijen als vertrouwelijk zijn aangemerkt. De geheimhouding geldt niet voor informatie die algemeen bekend is of, na verloop van tijd, wordt, zonder dat dit te wijten is aan een schending van dit artikel. 15.3 Leverancier staat er voor in dat de vertrouwelijke gegevens van de Achmea Groep voor derden niet toegankelijk zijn. 15.4 Leverancier mag de vertrouwelijke gegevens alleen aan derden verstrekken indien Achmea hiervoor schriftelijk toestemming geeft. 15.5 Op verzoek van Achmea stelt Leverancier alle onder de Opdracht verkregen vertrouwelijke gegevens binnen vijf kalenderdagen aan Achmea op hanteerbare wijze ter beschikking of vernietigt deze. Als Achmea vertrouwelijke gegevens in elektronische vorm aan Leverancier heeft verstrekt, geeft Leverancier deze vertrouwelijke gegevens terug op dezelfde wijze. Als Achmea verzoekt om vernietiging is het Leverancier verboden een kopie, samenvatting of onderdeel van de vertrouwelijke gegevens in welke vorm dan ook te houden, tenzij een wettelijke bewaarplicht zich specifiek hier tegen verzet. Leverancier informeert Achmea in dat geval om welke gegevens het gaat, hoe lang en op welke wijze deze gegevens bewaard worden. 15.6 Als Leverancier vertrouwelijke gegevens van Achmea krijgt en bewaart, maakt Leverancier ter beveiliging en behoud van deze gegevens periodiek een back-up zodat alle gegevens (inclusief de meest recente) weer teruggevonden kunnen worden. Leverancier stelt deze back-up op verzoek van Achmea toegankelijk en bruikbaar ter beschikking. 15.7 Indien vertrouwelijke gegevens verloren gaan, door een systeemstoring of een gebruikersfout, is Leverancier in staat vanaf de laatste beschikbare back-up deze gegevens terug te halen. Dit gebeurt alleen op verzoek en na toestemming van Achmea.
15.1 Partijen garanderen elkaar dat zij alle vertrouwelijke

15.8 Als Leverancier in strijd handelt met dit artikel 15, is zij direct per overtreding een boete van € 50.000,(vijftigduizend euro) aan Achmea verschuldigd. Deze boete laat de overige rechten van Achmea onverlet, waaronder het recht op schadevergoeding.
Artikel 16 Controlerecht 16.1 Achmea heeft het recht om, na voorafgaande aankondiging, door een gekwalificeerd auditor een onderzoek naar de bedrijfsvoering of verwerking van (persoons)gegevens in het kader van de Opdracht (hierna: audit) uit te voeren. De audit heeft betrekking op alle zaken die direct of indirect verband houden met de uitvoering van de Opdracht. Het gaat bijvoorbeeld om: a) de uitvoering van de Opdracht zelf; b) het uitvoeren van de financiële afspraken; c) het uitvoeren van de afspraken op het gebied van kwaliteit(sbeheersing). 16.2 Leverancier verleent haar medewerking aan een audit en voert, waar mogelijk, verbeterpunten van de auditor uit. Kosten van Leverancier verbonden aan de audit worden niet door Achmea vergoed. Indien Leverancier voor een audit derden in moet schakelen, vergoedt Achmea redelijk gemaakte kosten als uit de uitkomst van de audit blijkt dat Leverancier niet is tekortgeschoten. 16.3 Leverancier is verplicht mee te werken aan verzoeken om informatie of het houden van onderzoek door of namens toezichthouders zoals het College Bescherming Persoonsgegevens, de Nederlandse Mededingingsautoriteit, De Nederlandse Bank en/of de Autoriteit Financiële Markten. Leverancier staat er voor in dat haar externe accountant, zijn volledige medewerking verleent. Leverancier volgt aanwijzingen van de toezichthouder op. Leverancier verstrekt Achmea, indien de wet dit toestaat, een kopie van de gegevens die zij de toezichthouder heeft gegeven.
Artikel 17 Privacy en persoonsgegevens 17.1 Indien op grond van de Opdracht voor de Achmea Groep persoonsgegevens worden verwerkt door Leverancier, geldt de Opdracht tevens als bewerkersovereenkomst in de zin van de Wet bescherming persoonsgegevens tussen Achmea B.V. als verantwoordelijke voor Achmea en Leverancier als bewerker. 17.2 Partijen staan er voor in dat zij bij het uitvoeren van de Opdracht in overeenstemming met alle geldende wet- en regelgeving op het gebied van de bescherming van persoonsgegevens handelen. Op verzoek van Achmea maakt Leverancier aan Achmea inzichtelijk hoe zij hieraan invulling geeft. Iedere partij vrijwaart de andere partij voor de schade die wordt veroorzaakt door het niet nakomen van deze wet- of regelgeving.

17.3 Leverancier verwerkt alleen op grond van de Opdracht persoonsgegevens. Dit gebeurt volgens de instructies en aanwijzingen van Achmea. Leverancier heeft ten aanzien van de persoonsgegevens die zij voor Achmea verwerkt geen zelfstandige rechten en bevoegdheden. 17.4 Leverancier zet zich volledig in om er voor te zorgen dat de persoonsgegevens juist en volledig blijven. 17.5 Leverancier brengt geen persoonsgegevens over naar of maakt deze toegankelijk in of vanuit landen buiten de Europese Economische Ruimte. 17.6 Leverancier zal bij het uitvoeren van de Opdracht zorg dragen voor passende technische en organisatorische maatregelen om persoonsgegevens te beveiligen tegen verlies of tegen enige vorm van onrechtmatige verwerking. Deze maatregelen garanderen, rekening houdend met de stand van de techniek en de kosten van de tenuitvoerlegging, een passend beveiligingsniveau gelet op de risico’s die de verwerking en de aard van de te beschermen gegevens met zich brengen. Leverancier legt de maatregelen schriftelijk vast. 17.7 Als Leverancier voor Achmea bijzondere persoonsgegevens, zoals medische of strafrechtelijke verwerkt, zal Leverancier de medewerker en/of derde die in aanraking komt met deze gegevens, expliciet wijzen op de geheimhoudingsplicht van artikel 15. Leverancier verklaart dat zij met haar medewerkers en derden geheimhouding, met een gelijke strekking als in artikel 15, contractueel is overeengekomen. Achmea kan verlangen dat een medewerker of derde die in aanraking komt met bijzondere persoonsgegevens, aanvullend een door Achmea opgestelde geheimhoudingsverklaring ondertekent. Wordt dit geweigerd dan zorgt Leverancier direct voor vervanging, onverminderd haar verplichtingen. 17.8 Indien Achmea testdata aanlevert voor de Prestatie, zullen de testdata geen persoonsgegevens bevatten. Indien Leverancier vaststelt dat de testdata hier niet aan voldoen, dan meldt zij dit aan de contactpersoon van Achmea en zal zij geen testen uitvoeren totdat expliciet toestemming is ontvangen van Achmea en/of geschoonde testdata zijn aangeleverd.
Artikel 18 Derden 18.1 Leverancier zal geen derden inschakelen bij het leveren van de Prestatie zonder expliciete toestemming van de contactpersoon van Achmea. Dit verbod betreft zowel zelfstandigen, werknemers van derden, uitzendkrachten, maar ook diensten van derden zoals opslagruimte, informatietechnologiediensten of anderszins. Voor NUTS voorzieningen hoeft Leverancier geen toestemming aan Achmea te vragen. Achmea kan aan het geven van toestemming voorwaarden verbinden en heeft altijd het recht de gegeven toestemming weer in te trekken.

18.2 Leverancier staat altijd volledig in voor een door hem ingeschakelde derde en zorgt ervoor dat een derde contractueel verplicht wordt om Leverancier in staat te stellen aan al haar verplichtingen uit de Opdracht te voldoen. Bepalingen uit de Opdracht die van toepassing zijn op Leverancier zijn ook van toepassing op de door Leverancier ingeschakelde derden. Leverancier dient er dus voor te zorgen dat Achmea ook haar rechten kan uitoefenen bij deze derden.
Artikel 19 Screening 19.1 Indien Leverancier zelfstandig toegang krijgt tot locaties en/of systemen en/of vertrouwelijke gegevens van Achmea dient er een onderzoek plaats te vinden (hierna: ‘screening’) naar haar deskundigheid en betrouwbaarheid op grond van de regeling Pre Employment Screening van Achmea. Als een screening nodig is, is het uitvoeren van de screening de verantwoordelijkheid van Leverancier, tenzij Achmea zelf aangeeft (onderdelen van) de screening uit te voeren. Leverancier mag pas starten met de uitvoering van de Opdracht wanneer de screening positief is afgerond. 19.2 Leverancier zorgt er voor dat de uitkomsten van de door haar uitgevoerde screening zorgvuldig worden bewaard. Indien Achmea dit verzoekt, verstrekt Leverancier de uitkomsten van de screening tenzij de persoon om wie het gaat hiervoor geen toestemming geeft. Achmea heeft het recht op grond van de uitkomsten van de screening te weigeren dat bepaalde personen bij de uitvoering van de Opdracht worden ingezet. Achmea hoeft hierbij geen reden te vermelden. 19.3 Leverancier geeft Achmea minimaal een keer per jaar, in april, een verklaring van een registeraccountant waaruit blijkt dat Leverancier aan haar deel van de verplichting voortkomend uit dit artikel heeft voldaan.
Artikel 20 Overname werknemers 20.1 Partijen ondernemen tijdens de duur van de Opdracht en gedurende een periode van zes maanden daarna geen activiteiten gericht op actieve werving van elkaars werknemers.
Artikel 21 Locatievoorschriften 21.1 Indien Leverancier werkzaamheden uitvoert op een locatie van de Achmea Groep geldt het volgende: a) Leverancier is bekend met de huis- en gedragsregels die gelden op de locatie waar de Opdracht wordt uitgevoerd en handelt hiernaar. Achmea verstrekt deze huis- en gedragsregels voor de uitvoering van de Opdracht aan de contactpersoon van Leverancier; b) Leverancier meldt haar komst en vertrek op een locatie van Achmea bij de werknemer die hiervoor

verantwoordelijk is. Leverancier beschikt over een geldig identiteitsbewijs en over een document waaruit blijkt waarom zij bij Achmea werkzaamheden verricht; c) Achmea heeft het recht de toegang tot een Achmea locatie te weigeren.
Artikel 22 Compliance en beveiliging 22.1 Leverancier staat in voor de beveiliging van de Prestatie en zorgt voor passende technische en organisatorische maatregelen. Daarnaast voldoet Leverancier aan de beveiligingseisen die partijen in de Opdracht zijn overeengekomen. 22.2 Leverancier zorgt ervoor dat een van haar medewerkers wordt belast met het definiëren,implementeren en actueel houden van het beveiligingsbeleid. 22.3 Leverancier heeft haar interne procedures, beveiligingsbeleid en werkafspraken zodanig ingericht dat zij voldoet aan de Opdracht. Tevens heeft zij interne procedures, beveiligingsbeleid en werkafspraken die integriteit bevorderen en (poging tot) omkoping voorkomen. 22.4 Leverancier zal periodiek, via interne controle en risicobeheersingsystematiek, de effectiviteit van interne procedures, beveiligingsbeleid en werkafspraken toetsen op bestaan en werking om zo een transparant en aantoonbaar integere, continue, betrouwbare en veilige Prestatie aan Achmea te leveren. Leverancier zal de resultaten van de controle vastleggen en ter inzage aan Achmea geven. 22.5 Indien zich een compliance incident voordoet, meldt Leverancier dit onverwijld, juist en volledig aan de contactpersoon van Achmea. Dit zijn, maar niet beperkt tot, incidenten met de één of meerdere van de volgende kenmerken: een hoog afbreukrisico in de media; belangrijke invloed op de bedrijfsvoering; schending van beveiligingsmaatregelen; vertrouwelijke gegevens conform artikel 15.2, zijn (mogelijk) beschikbaar geweest voor een onbevoegde; betrokkenheid van justitie; screeningsincidenten; fraude; (onaangekondigd) bezoek en/of onderzoek van een toezichthouder. Achmea is de eerste partij die geïnformeerd wordt. 22.6 Achmea zal, afhankelijk van de aard en de ernst, bepaalde incidenten onverwijld moeten melden aan de toezichthouders. Als Leverancier op grond van de wet een zelfstandige meldplicht heeft richting bijvoorbeeld toezichthouders, zullen Achmea en Leverancier overleggen hoe zij hier invulling aan kunnen geven.
Artikel 23 Maatschappelijk verantwoord ondernemen 23.1 Achmea wil het milieu zoveel mogelijk sparen door gebruik van milieuvriendelijke materialen en producten.

Achmea neemt alleen Prestaties af die zonder kinderarbeid tot stand komen. Leverancier staat er voor in dat de door haar geleverde Prestatie aan deze eisen voldoet. Op verzoek van Achmea geeft Leverancier de relevante informatie hierover. 23.2 Leverancier informeert Achmea schriftelijk voor de levering van de Prestatie zodra zij materialen of producten gebruikt en/of als de Prestatie afvalstoffen produceert waarvan bekend is dat deze zelf of in combinatie met andere materialen of producten gevaar opleveren voor mens of milieu. Achmea heeft dan het recht de Prestatie te weigeren zonder hiervoor een (schade)vergoeding aan Leverancier verschuldigd te zijn. 23.3 Op verzoek van Achmea voert Leverancier, zonder daarvoor kosten in rekening te brengen, de door haar gebruikte verpakkingsmaterialen en/of onderdelen van goederen af.
Artikel 24 Slotbepalingen 24.1 Indien Leverancier contact heeft met een andere rechtspersoon van de Achmea Groep dient zij dat onderdeel te informeren over het bestaan van deze Opdracht en contact op te nemen met Achmea Procurement via het adres:
[email protected]. 24.2 Leverancier mag de namen, handelsnamen en merken van de Achmea Groep niet zonder toestemming gebruiken. Ook mag Leverancier geen melding maken van het bestaan van de relatie, tenzij Achmea hiervoor toestemming geeft. Achmea kan aan het geven van toestemming voorwaarden verbinden. 24.3 De Opdracht bevat alle tussen Partijen gemaakte afspraken en treedt in de plaats van alle eerdere overeenkomsten die tussen Partijen hierover zijn gesloten. 24.4 Indien één of meer bepalingen van de Opdracht nietig blijken te zijn of door de rechter vernietigd worden, behouden de overige bepalingen hun rechtskracht. Partijen zullen over de nietige of vernietigde bepaling(en) overleg voeren teneinde een vervangende regeling te treffen. 24.5 Er is slechts sprake van afstand van recht indien dit uit een uitdrukkelijke, schriftelijke en bevoegd afgegeven verklaring blijkt. 24.6 Op de Opdracht is exclusief Nederlands recht van toepassing. De toepasselijkheid van de bepalingen van het Weens Koopverdrag (‘United Nations Convention on contracts for the sale of goods’) sluiten partijen uit. 24.7 Als partijen er niet in slagen een geschil door middel van goed overleg tot een oplossing te brengen, wordt het geschil exclusief aanhangig gemaakt bij de bevoegde rechter binnen het arrondissement Utrecht, tenzij partijen een andere vorm van geschilbeslechting overeenkomen.

Hoofdstuk 2 Facilitair De bepaling van dit hoofdstuk 2 ‘Facilitair’ is aanvullend van toepassing als facilitaire diensten onderdeel uitmaken van de Prestatie.
Artikel 25 Faciliteiten 25.1 Leverancier is verantwoordelijk voor de materialen, gereedschappen, machines en andere hulpmiddelen die nodig zijn voor de uitvoering van de Opdracht. 25.2 Leverancier mag de materialen, gereedschappen, machines en andere hulpmiddelen pas gebruiken nadat zij hiervoor schriftelijke toestemming heeft gekregen van Achmea. Het gebruik is voor rekening en risico van Leverancier. 25.3 Indien Leverancier de materialen, gereedschappen, machines en andere hulpmiddelen op locatie van Achmea aan- of af wil voeren of op wil slaan, heeft zij hiervoor voorafgaande schriftelijke toestemming nodig. Achmea bepaalt de plaats van opslag. 25.4 Partijen spreken voor uitvoering van de Opdracht af welke nutsvoorzieningen en welk deel van de terreinen en gebouwen van Achmea Leverancier mag gebruiken. Leverancier houdt de terreinen en gebouwen die zij in gebruik heeft schoon.
Hoofdstuk 3 Marketing en communicatie De bepalingen van dit hoofdstuk 3 ‘Marketing en communicatie’ zijn aanvullend van toepassing als diensten op het gebied van marketing en communicatie onderdeel uitmaken van de Prestatie.
Artikel 26 Printprijsregeling 26.1 Als de Prestatie (onder meer) bestaat uit het vervaardigen van een film- of videoproductie, dan past Leverancier waar mogelijk de printprijsregeling toe.
Artikel 27 Bewaren van materialen 27.1 Indien Leverancier van de Prestatie onderdeel uitmakende materialen voor Achmea bewaart, doet zij dit met de grootst mogelijke zorg gedurende drie kalenderjaren. Na deze periode informeert Leverancier of Achmea de materialen langer wil bewaren. In dat geval is Achmea een redelijke vergoeding aan Leverancier verschuldigd. Indien de materialen niet bewaard of vernietigd dienen te worden, stuurt Leverancier de materialen voor haar risico retour.

Hoofdstuk 4 Detachering en consultancy De bepalingen van dit hoofdstuk 4 ‘Detachering en consultancy’ zijn aanvullend van toepassing als Detachering en/of Consultancy onderdeel uitmaken van de Prestatie.
Artikel 28 Definities 28.1 Detachering: het door Leverancier in het kader van de uitoefening van haar beroep of bedrijf ter beschikking stellen van een of meer werknemers die met haar een arbeidsovereenkomst hebben om in een of meer onderdelen van de Achmea Groep onder leiding en toezicht van Achmea werkzaamheden te verrichten. 28.2 Consultancy: het door Leverancier in het kader van de uitoefening van haar beroep of bedrijf leveren van een advies. Dit betreft niet het uitvoeren van informatie technologie diensten, zoals, maar niet beperkt tot, beheer, onderhoud, implementatie en/of ontwikkeling van hard- of software.
Artikel 29 Niet-werkdagen 29.1 Dagen waarop niet gewerkt wordt in verband met verlof, ziekte, cursus en algemeen erkende feestdagen zijn voor rekening van Leverancier.
Achmea wordt uitgevoerd door Leverancier geldt het volgende: a) Leverancier garandeert en vrijwaart Achmea dat bij levering van de Prestatie wordt voldaan aan alle verplichtingen ten gevolge van de belasting- en sociale zekerheidswetgeving, loonheffingen en omzetbelasting; b) Op verzoek van Achmea verstrekt Leverancier, direct een verklaring (naar keuze van een registeraccountant of de Belastingdienst) dat Leverancier aan de verplichting genoemd in artikel 31.1 sub a) heeft voldaan. Achmea zal dit verzoek in beginsel niet vaker dan vier keer per jaar doen. Per persoon wordt in zo’n verklaring gegeven. Voor categorie b) en c) van artikel 30.2 ontvangt Achmea ook een kopie van de betreffende VAR; c) Als Achmea vermoedt dat Leverancier niet voldoet aan artikel 31.1 sub a) dan heeft Achmea het recht 50% van de verschuldigde vergoedingen op haar betalingen aan Leverancier in te houden als reservering. Deze reservering kan Achmea onder zich houden tot Achmea de bevestiging genoemd in artikel 31.1 sub b) heeft ontvangen of Achmea kan dit rechtstreeks afdragen aan de betrokken instantie. 31.2 Achmea mag de Opdracht direct beëindigen als Leverancier niet voldoet aan artikel 31.1.
Artikel 30 Inzet werknemers en/of derden Als Achmea overeenkomstig artikel 18.1 toestemming geeft om derden in te zetten bij Detachering en Consultancy, houdt Leverancier zich aan de volgende voorwaarden: 30.1 Leverancier dient zich maximaal in te spannen om werknemers in te zetten die met haar een arbeidsovereenkomst hebben. 30.2 De derde mag zelf geen tussenschakel zijn, Leverancier garandeert daarom dat de derde: a) een werkgever is die werknemers die met haar een arbeidsovereenkomst hebben, rechtstreeks aan Leverancier ter beschikking stelt (uitlener); of b) een zzp-er (“freelancer”) is met een VAR Winst uit Onderneming die geldig is en blijft en ziet op de werkzaamheden die deze zzp-er verricht; of c) een vennootschap is waarin de betreffende arbeidskracht een aanmerkelijk belang heeft als directeur groot-aandeelhouder. Deze arbeidskracht heeft een geldige VAR Directeur Grootaandeelhouder die geldig is en blijft en ziet op de werkzaamheden die hij of zij verricht.
Artikel 31 Aansprakelijkheid voor belastingen en premies 31.1 Als Leverancier werkzaamheden verricht onder leiding en toezicht van Achmea en/of indien de Opdracht qua werkzaamheden voor meer dan 50% op een locatie van

Hoofdstuk 5 IT De bepalingen van dit hoofdstuk 5 ‘IT’ zijn aanvullend van toepassing als informatie- en/of communicatietechnologie (diensten), in de breedste zin van het woord, onderdeel uitmaken van de Prestatie.
Artikel 32 Definities In aanvulling op de definities zoals opgenomen in artikel 1 van deze algemene inkoopvoorwaarden gelden voor dit Hoofdstuk 5 de volgende definities: 32.1 Acceptatietest: De test(-procedure) waarmee kan worden aangetoond dat de Programmatuur functioneert conform de Specificaties, de gegarandeerde eigenschappen en de Opdracht. 32.2 Apparatuur: De apparatuur inclusief bijbehorende (versie van de) Systeemprogrammatuur waarop of in samenhang waarmee de Programmatuur functioneert. 32.3 Conversie: Het geheel van maatregelen en activiteiten, die zijn gericht op de overgang van de huidige werkwijze met betrekking tot gegevensverwerking naar de werkwijze, waarbij gebruik wordt gemaakt van Programmatuur.

32.4 Documentatie: De standaard gebruikersdocumentatie en ook voor Achmea te onderhouden documentatie die hoort bij de Programmatuur. 32.5 Installatie: Het invoeren van de Programmatuur in de Apparatuur zodat dat de Programmatuur overeenkomstig de Specificaties en gegarandeerde eigenschappen functioneert, het bedrijfsklaar maken van de Programmatuur en het succesvol uitvoeren van een bedrijfstest hierop. Tot Installatie wordt ook gerekend Conversie van bestaande gegevensbestanden van de Achmea Groep. 32.6 Licentie: Het recht van Achmea de Programmatuur overeenkomstig de bepalingen van de Opdracht te gebruiken. 32.7 Materialen: De informatiedragers waarop de Programmatuur is vastgelegd alsmede de voor het gebruik en onderhoud, van de Programmatuur benodigde hulpmaterialen, zoals software (waaronder conversiesoftware, supplies, interfaces, compilers, etc.). 32.8 Nieuwe Versie: Een gewijzigde versie van de Programmatuur waardoor de functionaliteit daarvan wordt vergroot. 32.9 Programmatuur: Het (de) computerprogramma(’s) in objectcode met bijbehorende Documentatie en Materialen waarvoor Leverancier de Licentie verleent en die door Leverancier overeenkomstig de bepalingen van deze Opdracht dient(en) te worden onderhouden. Onder Programmatuur wordt ook verstaan Programmatuur die door Leverancier is verbeterd, gewijzigd of aangepast voor al haar afnemers, zoals maar niet beperkt tot Verbeterde Versies en ook Nieuwe Versies. 32.10 Specificaties: De standaard door Leverancier met betrekking tot de eigenschappen van de Programmatuur verstrekte informatie. 32.11 Systeemprogrammatuur: De informatiesysteem onafhankelijke besturingsprogrammatuur van de Apparatuur met bijbehorende documentatie. 32.12 Verbeterde versie: Een gewijzigde versie van de Programmatuur, waardoor Gebreken daarin worden hersteld, of de logische samenhang en werking wordt verbeterd. 32.13 SaaS: Software as a Service, betreft het via een openbaar netwerk ter beschikking stellen van Programmatuur als dienst.
Artikel 33 Kwaliteit bij IT 33.1 Aan de eisen van artikel 9.1 wordt aanvullend toegevoegd: f) de Prestatie ononderbroken wordt geleverd; g) de Prestatie geen diseases en/of andere vreemde elementen bevat (zoals bijv. tijdbommen, Trojaanse paarden, worms of virussen); h) de Programmatuur efficiënt, deugdelijk en onderling

samenhangend werkt en zal werken; i) de Programmatuur geen open source programmatuur bevat; j) de Programmatuur geen andere beveiligingsmaatregelen bevat dan in de Documentatie opgenomen; k) de Programmatuur volledig uitwisselbaar, dat wil zeggen “compatibel” is en zal blijven met de in de Opdracht genoemde Apparatuur en Systeemprogrammatuur van Achmea; l) de Prestatie zodanig beveiligd is en, via Verbeterde versies, zal blijven als van tijd tot tijd gebruikelijk is bij ‘best of industry’ leveranciers; m) de Prestatie voldoet aan de eisen zoals opgenomen in het ‘Security Agreement’.
Artikel 34 Escrow 34.1 Leverancier treft op verzoek van Achmea op in de branche gebruikelijke voorwaarden een regeling waarbij de broncode van de Programmatuur bij een onafhankelijke bewaarder wordt gedeponeerd. Deze bewaarder geeft de broncode onverwijld, zonder aanvullende voorwaarden en kosteloos af als Leverancier surséance aanvraagt, failleert of haar verplichtingen van de Opdracht niet nakomt op een zodanige wijze dat Achmea gerechtigd is de Opdracht te beëindigen. Dit zorgt ervoor dat Achmea altijd conform de Opdracht gebruik kan blijven maken van de meest recente versie van de Programmatuur. De afgifte ziet naast de broncode ook op informatie die niet openbaar is gemaakt maar die Achmea wel nodig heeft voor het onderhouden, het beheren en het herstellen van fouten in de Programmatuur.
Artikel 35 Nadere invulling Acceptatie Aanvullend op artikel 8 van deze algemene inkoopvoorwaarden geldt het volgende: 35.1 Achmea streeft er naar om binnen een redelijke termijn na (af)levering en/of Installatie van de Prestatie deze aan een Acceptatietest te hebben onderworpen. 35.2 Partijen zullen voor de datum van (af)levering en/of Installatie van de Programmatuur in onderling overleg acceptatiecriteria vaststellen en vastleggen in een plan van aanpak waarin ook de werkwijze voor het uitvoeren de Acceptatietest wordt opgenomen. 35.3 Op verzoek van Achmea demonstreert Leverancier de Programmatuur op de Apparatuur voordat Achmea overgaat tot Acceptatie. 35.4 Indien Achmea (onderdelen van) de Prestatie accepteert, legt ze de beslissing schriftelijk vast. Zonder deze schriftelijke vastlegging is er geen sprake van Acceptatie. De datum van de schriftelijke beslissing geldt als datum van Acceptatie.

35.5 Indien Achmea (onderdelen van) de Prestatie niet accepteert, geeft Achmea dit schriftelijk en gemotiveerd aan. De kosten van de Acceptatietest komen dan voor rekening van Leverancier. Leverancier dient binnen een redelijke termijn de (onderdelen van de) Prestatie aan te passen en opnieuw ter Acceptatie aan te bieden. 35.6 Indien Achmea na een tweede beoordeling de Prestatie niet accepteert, is Leverancier in verzuim. Achmea heeft dan het recht door middel van een aangetekende brief de Opdracht (gedeeltelijk) te ontbinden, onverminderd de overige rechten van Achmea.
Artikel 36 Documentatie 36.1 Leverancier geeft Achmea voldoende, juiste, gedetailleerde en volledige, in de Nederlandse taal geschreven Documentatie over de eigenschappen en gebruiksmogelijkheden. 36.2 De Documentatie wordt uiterlijk op de datum van (af) levering van de Programmatuur aan Achmea verstrekt. 36.3 Leverancier zorgt er voor dat de Documentatie actueel blijft. Leverancier past zo snel mogelijk op haar kosten de Documentatie aan als die onvolledig, onvoldoende, onduidelijk, verouderd of onjuist is en ook indien de Prestatie of Apparatuur wijzigt. Leverancier verstrekt deze aangepaste Documentatie aan Achmea. 36.4 Achmea is gerechtigd onder andere voor back-up doeleinden kopieën van de Programmatuur en de Documentatie te (laten) maken. Aanduidingen van eigendoms- en auteursrechten die op de originele exemplaren zijn opgenomen zullen hierbij niet worden verwijderd.
Artikel 37 Onderhoud 37.1 Als Achmea onderhoud afneemt zal Leverancier de Programmatuur overeenkomstig de Opdracht ondersteunen en onderhouden. 37.2 Onderhoudswerkzaamheden vinden bij Leverancier plaats tenzij het noodzakelijk is deze bij Achmea uit te voeren. Leverancier zorgt er voor dat zij op tijd beschikt over de Materialen die nodig zijn voor het onderhoud. 37.3 Leverancier zorgt voor een consistent versiebeleid en deelt dat met Achmea. Leverancier stelt Verbeterde en Nieuwe versies regelmatig en tijdig beschikbaar. Leverancier onderzoekt regelmatig de noodzaak om versies uit te brengen en informeert Achmea zo snel mogelijk over de uitkomsten van haar onderzoek. Tussentijdse wijzigingen in Programmatuur door onderhoud worden waar mogelijk meegenomen in een Verbeterde en/of Nieuwe Versie. 37.4 Indien er Apparatuur, infrastructuur, Programmatuur en/of programmatuur van Achmea en Leverancier aan elkaar zijn verbonden, stelt Leverancier Achmea tijdig op de hoogte van aanpassingen in de Prestatie.

37.5 Aanpassingen aan Apparatuur of infrastructuur en/of de Programmatuur hebben geen invloed op (de ter beschikking stelling van) de Prestatie. Is dit wel het geval dan komen hieruit voortvloeiende kosten voor rekening van Leverancier. 37.6 Leverancier verstrekt Achmea op verzoek een gratis exemplaar van een Verbeterde versie en/of Nieuwe versie voor test- en evaluatiedoeleinden. Achmea is niet verplicht een Verbeterde Versie of Nieuwe Versie in gebruik te nemen. 37.7 De kosten van het verrichten van onderhoud op de Programmatuur vallen onder de vergoedingen die Achmea betaalt voor het gebruik van de Programmatuur. Leverancier brengt hiervoor geen separate vergoeding in rekening.
Hoofdstuk 5.1 Licenties De bepalingen van dit specifieke deel van hoofdstuk 5 zijn aanvullend van toepassing als Achmea een Licentie verwerft.
Artikel 38 Omgang met de Programmatuur 38.1 Leverancier verleent aan Achmea een onherroepelijke Licentie zoals nader omschreven in de Opdracht. 38.2 In aanvulling op artikel 4 kan Achmea zonder toestemming van Leverancier (een deel van) haar rechten en verplichtingen uit de Opdracht overdragen aan en/of laten gebruiken door Achmea ingeschakelde derden, zoals, derden die onderhouds- of ondersteuningsdiensten verlenen in het kader van de Prestatie, voor het verlenen van diensten aan de Achmea Groep. 38.3 Als Leverancier haar verplichtingen uit de Opdracht niet nakomt heeft Achmea het recht de Programmatuur voor onderhoudsdoelen of anderszins, te wijzigen, aan te passen of samen te voegen met andere programmatuur en te gebruiken. Deze werkzaamheden kunnen ook in opdracht van Achmea door een derde worden uitgevoerd. 38.4 Indien de Apparatuur om welke reden dan ook geheel of gedeeltelijk niet functioneert, is Achmea gerechtigd de Programmatuur tijdelijk op vervangende apparatuur te gebruiken, ongeacht waar deze is opgesteld. Dit recht geldt totdat het gebruik van de Programmatuur op de Apparatuur weer mogelijk is.
Artikel 39 Installatie 39.1 Leverancier zorgt ononderbroken en met optimale inzet van haar werknemers voor Installatie, tenzij Achmea aangeeft dit zelf te doen. 39.2 Als Leverancier op grond van haar deskundigheid, de offerteaanvraag en/of de Opdracht had kunnen of behoren te weten dat voor de Installatie aanpassingen

aan Apparatuur of aan andere programmatuur noodzakelijk zijn, zal Leverancier die voor eigen rekening verzorgen. 39.3 Als Achmea en Leverancier het er over eens zijn dat de Installatie is voltooid, zal dit worden bevestigd door Achmea. Dit laat onverlet het bepaalde in artikel 33 ‘Kwaliteit bij IT’ en het bepaalde omtrent Acceptatie.
Programmatuur en de dataserver. 41.3 In aanvulling op artikel 15.6 stelt Leverancier Achmea in staat om vanaf de website of via de interface van Leverancier, de gegevens van Achmea op te slaan in een door Achmea te bepalen format om zo eigen back-ups te maken.
Hoofdstuk 5.2 Beheer De bepalingen van dit specifieke deel van hoofdstuk 5 zijn aanvullend van toepassing als Achmea beheerdiensten van Leverancier afneemt.
Artikel 40 Beheer 40.1 Achmea heeft het recht in het belang van haar normale bedrijfsvoering de door Leverancier beheerde Apparatuur en/of Programmatuur en/of onderdelen daarvan en/of andere programmatuur tijdelijk of definitief buiten gebruik te stellen. Achmea informeert Leverancier tenminste drie weken voordat zij van dit recht gebruik zal maken. Alle beheers- en betalingsverplichtingen die volgen uit de Opdracht met betrekking tot (onderdelen van) de Apparatuur en/of Programmatuur en/of andere programmatuur gelden pro rata niet tijdens de periode van buitengebruikstelling. Vooruitbetaalde bedragen worden door Leverancier pro rata terugbetaald aan Achmea. 40.2 Nadat de buitengebruik gestelde (onderdelen van) Apparatuur en/of Programmatuur weer in gebruik worden genomen, zal Leverancier het beheer op de overeengekomen wijze voortzetten.
Hoofdstuk 5.3 SaaS De bepalingen van dit specifieke deel van hoofdstuk 5 zijn aanvullend van toepassing als Achmea SaaS van Leverancier afneemt.
Artikel 41 SaaS 41.1 De levering van de Prestatie, waarbij Achmea SaaS afneemt, is inclusief Licentie en gebruiksrecht op de interface die Leverancier verleent voor de duur van de Opdracht. Artikel 38 ‘Omgang met de Programmatuur’ is niet van toepassing indien Achmea de Programmatuur door middel van SaaS afneemt, tenzij Achmea de broncode verkrijgt in overeenstemming met artikel 34 ‘Escrow’. 41.2 In aanvulling op artikel 21 ‘Locatievoorschriften en beveiliging’ en artikel 33 ‘Kwaliteit bij IT’ geldt bij SaaS dat Leverancier zorgt voor een scheiding tussen de
