Sekuritisasi merupakan suatu proses transformasi aset yang tidak likuid menjadi surat berharga yang dapat diperdagangkan sesuai dengan kebutuhan investor. Dalam prakteknya, istilah sekuritisasi diidentikkan dengan Asset Backed Securities (Efek Beragun Aset). Adapun piutang yang dapat dijadikan underlying meliputi: piutang hipotek rumah, kredit mobil, kartu kredit, sewa guna usaha dsb.

Definisi EBA Efek Beragun Aset (EBA) adalah efek yang diterbitkan oleh Kontrak Investasi Kolektif Efek Beragun Aset yang portofolionya terdiri dari aset keuangan berupa tagihan yang timbul dari surat berharga komersial, sewa guna usaha, perjanjian jual beli bersyarat, perjanjian pinjaman cicilan, tagihan kartu kredit, pemberian kredit termasuk kredit pemilikan rumah atau apartemen, efek bersifat hutang yang dijamin oleh pemerintah, Sarana Peningkatan Kredit (Credit Enhancement) atau Arus Kas (Cash Flow), serta aset keuangan setara dan aset keuangan lain yang berkaitan dengan aset keuangan tersebut.

Di Indonesia special purpose vehicle dalam penerbitan efek beragun aset menggunakan bentuk Kontrak Investasi Kolektif Efek Beragun Aset (KIK EBA). KIK EBA merupakan kontrak antara Manajer Investasi (MI) dan Bank Kustodian (BK) yang mengikat para pemegang efek beragun aset, dimana MI diberi wewenang untuk mengelola portofolio investasi kolektif dan BK diberi wewenang untuk melaksanakan Penitipan Kolektif.

EBA Arus Kas Tetap adalah EBA yang memberikan hak kepada pemegangnya menerima pembayaran dengan jadual tertentu, walaupun jadual pembayaran tersebut dapat berubah karena keadaan tertentu. EBA Arus Kas Tidak Tetap adalah EBA yang memberikan hak kepada pemegangnya untuk menerima pembayaran secara bersyarat dan dalam jumlah yang tidak tetap.

Debitur awal adalah pihak yang (akan) berhutang kepada originator. Apabila dalam hutang-piutang antara debitur dengan originator terdapat aset yang dijaminkan, maka dalam proses sekuritisasi hal tersebut (jaminannya) menjadi jaminan hutang terhadap KIK EBA. Debitur yang semula membayar hutangnya kepada originator, setelah disekuritisasi, pembayaran hutang dilakukan kepada pihak yang bertindak sebagai servicer (yang dapat juga dilakukan oleh originator).

Originator (kreditur awal) merupakan pihak yang mengalihkan aset keuangannya atau yang melakukan sekuritisasi atas aset keuangannya. Setelah aset keuangannya dijual kepada KIK EBA (yang diwakili oleh Manajer Investasi selaku pengelola portofolionya), maka originator berhak atas pembayaran dari KIK EBA (yang berasal dari para pemegang EBA). Pelunasan dari debitur menjadi hak dari KIK EBA yang akan diterima melalui servicer untuk selanjutnya disalurkan kepada para pemegang EBA.

Servicer (penyedia jasa) merupakan pihak yang bertanggung jawab untuk memproses dan mengawasi pembayaran yang dilakukan debitur, termasuk melakukan tindakan awal apabila terjadi keterlambatan/kegagalan pembayaran dari debitur hingga negosiasi sesuai dengan kontrak. Apabila dikehendaki dimungkinkan ada back-up servicer atau penyedia jasa pendukung dan originator dapat saja menjadi servicer.

Kontrak Investasi Kolektif (KIK) EBA KIK EBA merupakan pihak yang dapat menerbitkan EBA di Indonesia yaitu kontrak antara Manajer Investasi (MI) dan Bank Kustodian (BK) yang mengikat pemegang EBA dimana MI diberi wewenang untuk mengelola portofolio investasi kolektif dan BK diberi wewenang untuk melaksanakan penitipan kolektif.

Perusahaan Pemeringkat Efek yang memberikan peringkat atas kelas-kelas EBA Selain faktor kondisi makro ekonomi dan aspek hukumnya, perusahaan pemeringkat efek akan memperhatikan karakter portofolio aset keuangan yang menjadi agunan (EBA) dalam proses pemeringkatan, dan biasanya ditinjau dari aspek-aspek: record pembayaran masa lalu, jaminan dari debitur yang melekat pada hutang, analisa cash flow projection, struktur layer Efek Beragun Aset, credit enhancement, dll.
Pihak yang terlibat (cont) Investor Investor adalah para pemegang EBA yang akan menerima pembayaran yang berasal dari debitur awal sesuai dengan jadual dan ketentuan yang tertera dalam sertifikat EBA.
Pihak-pihak lain sesuai dengan kebutuhan seperti underwriter jika dibutuhkan untuk menjamin proses penjualan EBA, Biro Administrasi Efek untuk mendukung proses administrasi EBA, credit enhancer untuk menanggung kerugian tingkat tertentu, dan Bursa Efek sebagai tempat pasar sekunder EBA.

Pengurusan EBA di Indonesia dibagi menjadi beberapa fungsi, antara lain: n Fungsi proses dan pengawasan pembayaran dari debitur dilakukan oleh penyedia jasa (servicer). Namun demikian, MI tetap bertanggung jawab atas pelunasan dari debitur/obligor. n Fungsi penyimpanan dokumen dan pembayaran pengembalian investasi kepada investor dilakukan oleh BK. n Fungsi pengelolaan aset keuangan dilakukan oleh MI.

Pada prinsipnya, bentuk transaksi dalam melakukan sekuritisasi atas aset keuangan dapat dibagi dalam 3 kelompok, yaitu: n Agunan (biasa) – perusahaan yang mempunyai piutang menerbitkan efek (asset backed securities) dengan dasar (agunan) piutang tersebut. n Pindah tangan (pass through) – piutang suatu perusahaan dijual kepada pihak lain yang kemudian menerbitkan efek, sehingga kepemilikan atas piutang beralih dari kreditur awal kepada para investor. → true sale → KIK EBA n Salur bayar (pay through) – kepemilikan piutang tetap berada pada kreditur awal, namun setiap pelunasan atas piutang langsung disalurkan kepada para investor.
Konsep pengembalian investasi dalam EBA : 1. Pengembalian pokok dan bunganya dilakukan secara bersamaan dengan tempo yang teratur dalam kurun waktu tertentu atau lazim disebut dengan Amortizing Assets Backed Securities; 2. Pembayaran bunga (return investasi) dilakukan secara periodik sedangkan pelunasan atas pokoknya dilakukan pada akhir periode atau disebut Non-amortizing Assets Backed Securities. Dalam perkembangannya, metode pengembalian tidak saja berupa kombinasi dari ke dua metode tersebut, namun juga dapat hanya mencakup unsur pokok dan bunganya.

Aset yang membentuk portofolio KIK EBA dapat diperoleh dari Kreditur Awal melalui pembelian atau tukar-menukar dengan KIK EBA. Aset yang membentuk portofolio KIK EBA yang diperoleh MI dan dicatat atas nama BK untuk kepentingan pemegang EBA wajib didukung dengan pendapat Konsultan Hukum yang terdaftar di Bapepam yang menyatakan bahwa hak pemegang EBA adalah sesuai dengan yang dimuat dalam dokumen Keterbukaan EBA.

Suku bunga; EBA mengalami fluktuasi dengan adanya perubahan suku bunga, harga EBA akan turun bila terjadi peningkatan suku bunga. Pelunasan lebih awal (early call) akan mempengaruhi yield yang diterima bila terjadi pelunasan lebih awal. Default, pemegang EBA akan mengalami kerugian apabila debitur dari asset jaminan mengalami kebangkrutan atau tidak mampu membayar tepat pada waktunya atas bunga dan pinjaman pokok.

Mortgages A mortgage loan is a loan secured by the collateral of some specific real estate property which obliges the borrower to make a predetermined series of payments. A mortgage design is a specification of the interest rate, term of the mortgage, and manner in which the borrowed funds are repaid. Mortgage originator (original lender) can either - hold the mortgage in their portfolio - sell the mortgage to an investor or - use the mortgage as collateral for the issuance of a security (mortgage backed security).

Its mission is to expand affordable housing and bring flobal capital to local communities in order to serve US housing market. Fannie Mae has a secured line of credit available from US Treasury should it need funds in an emergency. Fannie Mae is more active agency than Ginnie Mae. Mac (1970) is a stockholder-owned corporation with a line of credit from the US Treasury. Its mission is to provide liquidity, stability, and affordability to the housing market. Like Fannie Mae, Freddie Mac buys mortgage loan pools from financial institution and swaps MBS for loans. Freddie Mac do not also originate or service mortgage. Prepayment risk ■ Like other bonds, MBS are subject to market risk, due to
fluctuation in interest rates. ■ Thet are also subject to prepayment risk, which is the risk that
the principal will be repaid early. ■ Consider an 8% MBS. If rates drop to 6%, homeowners will rationally prepay early to refinance the loan. Because the average life of the loan is shortened, this is called contraction risk. ■ Conversely, if rates increase to 10%, homeowners will be less likely to refinance early, and prepayment will slow down. Because the average life of the loan is extended, this is called extension risk.

Collateralized mortgage obligation (CMO) is designed to reduce investors’ prepayment risk. CMO is a mortgage-backed bond issued in multiple classes or tranches. The cash flows (interest and principal) are directed to different bond classes, called tranches so as to mitigate different forms of prepayment risk. Scheduled and unscheduled principal payment will go first to the investors in the first tranches. Once they are paid off, investors in later tranches will receive principal payments. This is known as “distribution based on the waterfall”. 51

Remarks • The creation of a CMO cannot eliminate prepayment risk. It can only redistribute prepayment risk among different classes of bond holders. • CMO class has a different coupon rate from that for the underlying collateral, resulting in instruments that have varying risk-return characteristics that fit the needs of fixed-income investors. • Suppose investors have different preferred maturities, so they should be willing to pay different prices for securities of different expected maturities.

What is Z-tranche? ■ Frequently, CMO issues a Z-class as the last regular class. The Z implicitly stands for zero. ■ This class has a stated coupon such as 10%. ■ The trustee does not pay the interest untill all other classes of bonds are fully retired. ■ When the other classes have been retired, the Z-class bondholder receives the promised coupon and principal payment plus accrued interset payment.

Stripped MBS They are created by altering the distribution of principal and interest from a pro rata distribution to an unequal distribution. For example, all the interest is allocated to the IO class (interest only) and all the principal to the PO class (principal only). • PO securities are purchased at a substantial discount from par value. The faster the prepayments, the higher the yield the investor will realize. • IO investors want prepayments to be slow. This is because when prepayments are made, the outstanding principal declines, and less dollar interest is received.
