Media Group The Media Group’s business consists predominantly of manufacturing of CDs, CD-ROMs and DVDs (Audio, ROM and

Onze klanten zijn hoofdzakelijk onafhankelijke muziek-, spelletjes- en filmmaatschappijen, gespecialiseerde softwareontwikkelaars en leveranciers van digitale informatie. Daarnaast levert DOCdata productiecapaciteit aan grote muziekuitgevers indien zij zelf met hun eigen capaciteit niet aan de vraag kunnen voldoen. E-commerce Fulfillment DOCdata’s e-commerce fulfillment business specialises in fine meshed logistics and personalised distribution. Services offered include procurement, allocation, picking, sorting, warehousing, personalisation, packing, shipping, invoicing and support of credit card collection. The fulfillment center in Waalwijk, the Netherlands, processes goods like small electronics, books, CDs, DVDs, videotapes, software, games, premiums and related products for e-commerce, retail and direct marketing companies. Report of the Supervisory Board General The financial statements of DOCdata N.V. for 2002, as presented by the Management Board, have been audited by KPMG Accountants N.V., independent public auditors. Their report appears on page 77. The Audit Committee and the Supervisory Board have discussed in the annual meeting with the independent public auditors the outcome and findings of the independent audit. We have approved the financial statements of DOCdata N.V. for 2002 and we recommend the General Meeting of Shareholders to adopt these financial statements in accordance with the proposal of the Management Board. Meetings of the Supervisory Board The Supervisory Board, acting in the interest of all the stakeholders of the DOCdata-group, supervises and advises the Management Board in performing its management tasks and the affairs of the group. Major management decisions, including the strategy, require the approval of the Supervisory Board. The Supervisory Board determines the remuneration of the members of the Management Board. The Supervisory Board met five times during 2002 in presence of the Management Board and had one telephone conference. The Supervisory Board has also met in absence of the Management Board. At these meetings, the Supervisory Board discussed, amongst other things, business strategy, internal control systems, budgets, remuneration, management development and acquisitions. The Supervisory Board was duly informed and consulted by the Management Board with respect to the policies, activities, important decisions and the strategy of DOCdata. Composition and remuneration of the Supervisory Board The General Meeting of Shareholders appoints members of the Supervisory Board. The Supervisory Board aims for an appropriate combination of knowledge and experience amongst its members in relation to the activities of DOCdata. Consequently the Board aims for an appropriate level of experience in market knowledge, manufacturing, financial, fiscal, economical, social and legal aspects. At the Annual General Meeting of Shareholders, held on May 16, 2002 in Amsterdam, Mr. W.J. van Kooten retired as Member and Chairman of the Supervisory Board; he was not available for reappointment. Algemeen De door de Directie opgestelde jaarrekening 2002 is door KPMG Accountants N.V. gecontroleerd en van een goedkeurende verklaring voorzien. Deze accountantsverklaring is opgenomen op pagina 77. De bevindingen van de externe accountant naar aanleiding van de controle van de jaarrekening zijn door de audit commissie en de Raad van Commissarissen in de jaarlijkse bijeenkomst met de externe accountant besproken. Wij hebben de jaarrekening 2002 van DOCdata N.V. goedgekeurd en wij adviseren de Algemene Vergadering van Aandeelhouders deze jaarrekening in overeenstemming met het voorstel van de Directie vast te stellen. Vergaderingen van de Raad van Commissarissen De Raad van Commissarissen, handelend in het belang van alle belanghebbenden van de DOCdata-groep, adviseert en ziet toe op de Directie inzake het bestuur en de gang van zaken van de groep. Voor belangrijke directiebeslissingen inclusief strategische besluiten is de goedkeuring van de Raad van Commissarissen vereist. De beloning van de leden van de Directie wordt door de Raad van Commissarissen vastgesteld. De Raad van Commissarissen kwam in 2002 vijfmaal met de Directie bijeen. Verder werd eenmaal telefonisch overleg gevoerd met de Directie. Daarnaast heeft overleg door de Commissarissen plaatsgevonden zonder de aanwezigheid van de Directie. In deze vergaderingen is onder andere gesproken over strategie, interne beheersingssystemen, begrotingen, beloning, management development en acquisities. De Raad van Commissarissen werd door de Directie gedurende het jaar geïnformeerd over het beleid, de gang van zaken, belangrijke beslissingen en de strategie van DOCdata.
Samenstelling en beloning van de Raad van Commissarissen Leden van de Raad van Commissarissen worden door de Algemene Vergadering van Aandeelhouders benoemd. De Raad van Commissarissen streeft naar een adequate combinatie van kennis en ervaring onder zijn leden inzake de activiteiten van DOCdata. Daarom wordt gestreefd naar een gepast ervaringsniveau in de marktkennis, fabricage-, financiële, fiscale, economische, sociale en juridische aspecten.

Knuvers and Mr. J.A. de Vreeze as member of the Supervisory Board. The Supervisory Board currently consists of four members, including the Chairman. According to the schedule for retirement by rotation, the present term of Mr. E.F. van Veen will end at the 2003 Annual General Meeting of Shareholders. Mr. Van Veen will retire and will be available for reappointment. As he provides an important contribution through his knowledge and experience, we will make a proposal to the General Meeting of Shareholders to be held on May 16, 2003 to reappoint Mr. Van Veen, both as Member and Chairman of the Supervisory Board. The General Meeting of Shareholders determines the remuneration of the members of the Supervisory Board. On May 16, 2002 the General Meeting of Shareholders has determined the remuneration for a period of six years, starting the financial year 2002 till 2007, at an amount of EUR 14,000 per year for members of the Supervisory Board and EUR 16,500 per year for the Chairman of the Supervisory Board.
Corporate Governance We generally endorse the recommendations of the Netherlands Committee on Corporate Governance. These recommendations have been subject of discussion within the Supervisory Board. We have expressly taken these recommendations at various points in the Annual Report. The Supervisory Board has drawn up rules for its own division of tasks and procedures, including a profile of itself and a schedule for retirement by rotation. In addition, we have introduced an Audit Committee and a Remuneration Committee in 2002. The Company closely monitors developments in the field of Corporate Governance and will, if appropriate, make additional changes to its annual reporting in the coming years.

Corporate Governance Wij onderschrijven in het algemeen de aanbevelingen van de Nederlandse commissie voor Corporate Governance. Deze aanbevelingen zijn onderwerp van bespreking geweest in de vergaderingen van de Raad van Commissarissen. Deze aanbevelingen zijn op diverse plaatsen in het jaarverslag verwerkt. De Raad van Commissarissen heeft een reglement opgesteld inzake haar eigen functioneren inclusief een profielbeschrijving van de Raad en een rooster van aftreden. Tevens hebben wij in 2002 een audit commissie en een beloningscommissie ingesteld. De verdere ontwikkelingen ten aanzien van Corporate Governance worden door de vennootschap nauwlettend gevolgd en zullen zonodig leiden tot additionele aanpassingen van de jaarverslaggeving in de komende jaren.

Report of the Management Board Introduction After a loss-making period, DOCdata has returned to profitability. Cash flow generation and improvement of the financial position are satisfactory. The composition of results, and mainly the decline of results for the Media Group, is disappointing. The improvements realised by the divisions E-commerce Fulfillment and Industrial Automation in itself are satisfactory, however they are insufficient to fully compensate the decline in results for the Media Group. The improvement of net result in 2002 with approximately 21 million compared to 2001 has predominantly been caused by EUR 8.2 million lower goodwill amortisation charges in 2002 and by approximately EUR 11 million lower net extraordinary expenses in 2002.

Turnover reduced as a result of the withdrawal from the Media market in the United States and due to the lower sales within the Media Group companies in Europe, specifically in France, primarily resulting from a decreasing demand in combination with an increasing price pressure. The divisions Industrial Automation and E-commerce Fulfillment realised growth in sales in 2002. The operating income before amortisation of goodwill (EBITA) is lower due to a lower capacity usage ratio for the Media Group in Europe. The divisions Industrial Automation and E-commerce Fulfillment have improved both EBITA and EBIT in 2002. EBIT has improved in 2002 compared to 2001 due to EUR 8.2 million lower goodwill amortisation charges.

Inleiding DOCdata keert na een periode van verliesgevendheid terug naar winstgevendheid. Over het genereren van cash en de verbetering van de financiële positie kunnen we tevreden zijn. De samenstelling van het resultaat, met name de achteruitgang van het resultaat binnen de Media Groep, is teleurstellend. Over de verbeteringen bij zowel de E-commerce Fulfillment als de Industrial Automation divisie zijn we op zichzelf tevreden, alhoewel deze onvoldoende zijn gebleken om de achteruitgang van de resultaten bij de Media Groep volledig te compenseren. De verbetering van het nettoresultaat over 2002 ten opzichte van 2001 met ongeveer EUR 21 miljoen wordt hoofdzakelijk veroorzaakt door EUR 8,2 miljoen lagere goodwill afschrijvingen in 2002 en de per saldo lagere buitengewone lasten in 2002 van ongeveer EUR 11 miljoen.
De netto-omzet is afgenomen, enerzijds als gevolg van de terugtrekking uit de mediamarkt in de Verenigde Staten van Amerika; anderzijds hebben de mediabedrijven in Europa, en met name in Frankrijk, te maken met een teruggang van de omzet als gevolg van een afnemende vraag in combinatie met een verdere prijsdruk. As a result of the strong focus on the operating cash flow within the Media Group, the net (interest bearing) debt position of DOCdata improved from a EUR 0.4 million receivable position per 31 December 2001 to a EUR 5.3 million receivable position per 31 December 2002. It should be noted, that DOCdata has invested around EUR 4 million on capital expenditures in 2002, predominantly for DVD production capacity. Also in 2002 we asked a lot from all our employees. We thank them for their commitment and enthusiasm with which they have performed their jobs and for their involvement in the realisation of the DOCdata objectives. Outlook The uncertain economic situation in which the World economy found itself in 2001 has not improved in 2002. Declining consumer trust, followed by lower demand, has resulted in a growth for the World economy of only 1 to 2%. Decreasing demand and overcapacity on the market will keep margins for the Media Group under pressure. Due to the market volatility, management is not able to provide a reliable expectation of the results for the Media Group. E-commerce Fulfillment is expected to further improve its EBIT in 2003 under the condition that the current customer base can be maintained. Under normal circumstances, the Industrial Automation division should be able to realise improvement of results in 2003.
Vooruitzichten De onzekere economische situatie waarin de wereldeconomie in 2001 verkeerde is in 2002 niet verbeterd. Afgenomen consumentenvertrouwen, met als gevolg een dalende vraag, heeft tot een groei van de wereldeconomie geleid van niet meer dan 1 à 2%. De marges in de Media Groep zullen vanwege de afnemende vraag en de overcapaciteit op de markt onder druk blijven staan. Als gevolg van de volatiliteit op de markt is het management niet in staat om voor de Media Groep een betrouwbare verwachting van het resultaat te geven. De verwachting voor de divisie E-commerce Fulfillment is dat zij in 2003 een verdere verbetering van het bedrijfsresultaat kan realiseren indien continuïteit in het huidige klantenbestand gehandhaafd blijft. Onder normale omstandigheden zal ook de Industrial Automation divisie in 2003 een verbetering van de resultaten laten zien.

DOCdata’s activities have been organised in three divisions: • Media Group: replicating CDs, DVDs (and also cassettes in the United Kingdom) and providing related services to content owners: movie, audio, multimedia and software publishers in Europe. In order to give superior customer service and fast turnaround times, DOCdata operates production facilities in the Netherlands, France, Germany and the United Kingdom. • E-commerce Fulfillment: fine meshed logistics and personalised distribution for amongst others Internet shops, retail chains and hard- and software companies, predominantly for the European market. • Industrial Automation: currently designs and builds production systems, which utilise optical and laser technology for application in amongst others document security systems for high security printers and equipment for processing of packaging materials. Industrial Automation also provides security features for authentication.

In recent years, the primary attention of the DOCdata management was focussed on restructuring, with an emphasis on reducing costs and generating cash flow. This has resulted in a strong financial position.
• Media Groep: productie van CD’s, DVD’s (en cassettes in het Verenigd Koninkrijk) en levering van aanverwante diensten aan uitgevers op het gebied van audio, multimedia, film en software in Europa. Om een optimale service en snelle levertijden te garanderen levert DOCdata deze diensten vanuit productievestigingen in Nederland, Frankrijk, Duitsland en het Verenigd Koninkrijk. • E-commerce Fulfillment: fijnmazige logistieke en gepersonaliseerde distributie in voornamelijk Europa voor klanten zoals Internetwinkels, detailhandel ketens en hard- en software producenten. • Industrial Automation: ontwerpt, bouwt en levert enerzijds productiesystemen gebaseerd op optische- en lasertechnologie voor toepassing in onder andere documentbeveiligingssystemen voor veiligheidsdrukkers en bewerkingssystemen voor verpakkingsmaterialen. Anderzijds biedt Industrial Automation beveiligingskenmerken ten behoeve van authenticatie aan.
Algemeen DOCdata streeft naar waardecreatie voor zowel de aandeelhouders als de overige ‘stakeholders’ van de onderneming, zoals onze klanten, medewerkers en leveranciers. In addition to a further optimisation of the cash flow from the Media Group, the management of DOCdata will for the coming years mainly focus on growth of the Industrial Automation division. This growth may be achieved autonomously, as well as through acquisitions, but will be concentrated on expansion in the security market. The goal is to apply new technologies in current authentication solutions, and to introduce current applications in new markets, for example brand protection. Focus for the E-commerce Fulfillment division will predominantly be directed at autonomous growth. Managing growth will be a crucial element; the basic assumption will be that growth shall be realised while maintaining a healthy financial position of the Company. Media Group For the Media Group the strategy will remain focussed on maximising the cash flow for the coming years. We will however keep investing in DVD production capacity in order to safeguard our future cash flows. A part of the decline in production of CDs will be compensated with DVD production. The following factors may have an important influence on the development in results of the Media Group: • price development for raw materials; • developments regarding royalties for CD and DVD production; • market developments, such as digital downloading. DOCdata is, for a large part of the turnover, still dependent on the production of CDs. Due to the increased illegal copying of CDs and the fierce price competition on the production market, the turnover of the Media Group will remain under pressure. The DVD market is buoyant, but the largest part of this market is DVD-video. DOCdata does not yet have a strong foothold in the market. Production royalties have a material impact on the cost price for CD and DVD and may also influence the competitive position of DOCdata, in case not all CD and DVD production companies pay these royalties. E-commerce Fulfillment The division E-commerce Fulfillment has shown little growth in 2002; the strategy however remains focussed on growth as more and more products are purchased through the Internet. DOCdata is, in addition to autonomous growth, analysing the possibilities for partnerships and small scale acquisitions in order to extend the service offering.
Het management van DOCdata zal zich in de komende jaren, naast het verder optimaliseren van de cashflow van de Media Groep, vooral richten op groei binnen de Industrial Automation divisie. Deze groei zal zowel autonoom als door acquisitie kunnen plaatsvinden, met name door een verdere uitbouw in de identificatie- (ID) en authenticatie-beveiligingsmarkt. Nagestreefd wordt in de huidige authenticatie-oplossingen nieuwe technologieën toe te passen en de huidige toepassingen in nieuwe markten in te zetten, zoals bijvoorbeeld voor merkenbescherming. Binnen de divisie E-commerce Fulfillment zal de aandacht voornamelijk gericht zijn op autonome groei. Een cruciaal element zal het managen van groei zijn; het uitgangspunt daarbij is dat de groei dient te worden gerealiseerd met behoud van een gezonde financiële positie van de onderneming. Media Groep Voor de Media Groep zal de strategie erop gericht blijven om een maximale cashflow te realiseren over de komende jaren. Wij blijven daarbij investeren in DVD productiecapaciteit om onze toekomstige cashflow veilig te stellen. Een gedeelte van de neergang in CD productie zal gecompenseerd kunnen worden met DVD productie. Belangrijke factoren die de resultaatontwikkeling van de Media Groep kunnen beïnvloeden zijn: • prijsontwikkeling van grondstoffen; • ontwikkelingen op het gebied van royalty’s voor CD en DVD productie; • marktontwikkelingen, zoals digitaal downloaden. DOCdata is nog voor een groot deel van de omzet afhankelijk van de productie van CD’s. Door de grote toename van het illegaal kopiëren van CD’s en de forse prijsdruk als gevolg van de stevige concurrentie zal de omzet van de Media Groep verder onder druk staan. De DVD markt is daarentegen interessant, maar het grootste deel van eventuele klanten is actief in de filmindustrie waar DOCdata nog geen stevige basis heeft. Productieroyalty’s hebben enerzijds een wezenlijke invloed op de kostprijs van een CD en DVD, en kunnen anderzijds de concurrentiepositie van DOCdata beïnvloeden indien niet alle CD en DVD producenten deze royalty’s afdragen. E-commerce Fulfillment De divisie E-commerce Fulfillment heeft in het jaar 2002 relatief weinig groei laten zien; toch blijft de strategie van DOCdata erop gericht om hier autonoom te groeien. Er wordt steeds meer via Internet besteld. De vraag is welke rol DOCdata hierin kan spelen. Op dit moment onderzoekt DOCdata naast autonome groei, de mogelijkheden tot het aangaan van samenwerkingsverbanden en het verrichten van kleinschalige overnames om het dienstenpakket uit te breiden.

The most important risk for the development of E-commerce Fulfillment is the continuity of the customer base. Industrial Automation The division Industrial Automation remains focused on operating in several niche markets, especially in the market for the security of documents. For a part of its revenue the division Industrial Automation functions as a third party engineering contractor to its customers. In the market for security systems, the division Industrial Automation has a number of security applications. From these, two of them look promising: 1. MicroPerf® for the authentication of banknotes. This security feature is already applied in the Swiss banknotes and will shortly be applied to some of the Russian banknotes. 2. ImagePerf® for the authentication of identity documents. ImagePerf® is predominantly applied in passport application, currently in several countries in Europe. In the Netherlands ImagePerf® is also applied in high secure IDcards on a standard card format. Currently the division Industrial Automation supplies the systems for the application of the security features to the market. The division also supplies maintenance services to its customers. For ImagePerf® customers pay a license fee per processed document for the use of the technology owned by the division Industrial Automation. On a worldwide scale the damages as a result of identity fraud are estimated to be in the range of EUR 25 billion. Also identity fraud is associated with safety risks. In the future, a person not only has to give his identity but also has to prove his identity. Authentic ID documents supplemented with digital ID’s and biometrical verification means will play an important role in the future. It is expected that the identification market will grow significantly in the near future.

Voor wat betreft de beveiliging van bankbiljetten is MicroPerf® toegepast in Zwitserse bankbiljetten en binnenkort ook in enkele Russische bankbiljetten. 2. ImagePerf® voor het beveiligen van identiteitsdocumenten. Voor wat betreft de beveiliging van ID-documenten is ImagePerf® in meerdere Europese landen in gebruik voornamelijk ten behoeve van paspoorten en in Nederland ook voor ID-cards op klein formaat.
In de huidige projecten levert de Industrial Automation divisie de machines voor het aanbrengen van de beveiliging. Daarnaast worden onderhoudscontracten met de afnemers gesloten. ImagePerf® is een door de Industrial Automation divisie ontwikkelde toepassing. Voor het gebruik van de toepassing worden door de afnemer royalty’s betaald per geproduceerd document. Momenteel wordt de wereldwijde schade als gevolg van identiteitsfraude op circa EUR 25 miljard geraamd. Daarnaast kleven er aan identiteitsfraude grote veiligheidsrisico’s. In de toekomst zal een persoon niet alleen aannemelijk moeten kunnen maken wie hij is, maar het ook moeten kunnen bewijzen. Authentieke identificatie documenten, aangevuld met een digitale identiteit en een verifieerbare identiteit, bijvoorbeeld door middel van biometrie, zullen hierin een belangrijke rol spelen. Verwacht wordt dat de markt ten behoeve van identificatie in de toekomst sterk zal groeien.

Corporate Governance Corporate Governance involves the management and supervision of the company, accountability and the way in which stakeholders can influence the decision-making.

The Management Board develops the strategy and objectives and is responsible for the implementation. The independent Supervisory Board supervises and advises the Management Board. The Management Board fulfils its duties by promoting the interests of the company. These interests include the interests of all stakeholders, including the customers, the shareholders, the employees, the suppliers and the credit institutions. Also, DOCdata is committed to the interests of the community. DOCdata works on the principle that the Management should determine and implement the corporate policy from a long-term vision of continuity. DOCdata endorses the importance of clear accountability for the policy and its results.

In order to manage the company DOCdata utilises a management control system. This system comprises amongst others of strategy determination and budget planning. The realised results are compared on a monthly basis with last year’s results and the budget. Clear procedures are in place for the evaluation and authorisation of investments and acquisitions between the operational companies and the Management Board. The results and other business developments are discussed monthly between the Management Board and the operating companies. The strategy and budgets are discussed and drawn up annually by the Management Board and the individual operation companies. Corporate Governance is a dynamic process. DOCdata follows the development and the public debate regarding this subject.

Media Group Europe In 2002, DOCdata Benelux and DOCdata UK were profitable, while DOCdata Germany and DOCdata France had to incur losses. This is partly due to the focus on cash flow, which resulted in the decision to terminate business relations with certain customers due to the high payment risk. Furthermore, it was decided to accelerate depreciation on certain assets because of the reduced market demand for CDs. The market in which the European Media Group operates remains price competitive, predominantly due to a reduction in the demand for pre-recorded CDs in combination with an overcapacity in the media production market. For the Media Group, the growing demand for DVD production capacity cannot fully offset the decline in demand for CD production capacity. The Media Group remains focussed on serving the local markets in Europe with exceptional customer service and short delivery times. In addition to CD production, DOCdata also offers production capacity for the growing DVD market. From the second quarter of 2003, each company within the Media Group will have its own production equipment for prerecorded DVD-5, DVD-9 and DVD-10.

Vanaf het tweede kwartaal van 2003 beschikken alle mediabedrijven van DOCdata over eigen DVD-5, DVD-9 en DVD-10 productiecapaciteit.

Media Group United States of America In the first half of 2002, DOCdata effectuated the decision to retract from the Media market in the United States of America. On Friday March 29, 2002, DOCdata signed the agreement regarding the sale of all shares of the subsidiary DOCdata New England, Inc. in Sanford (Maine) to the local management team. On Tuesday April 30, 2002 subsequently, the agreement was signed regarding the sale of the activities of the subsidiary DOCdata California, Inc. in Canoga Park (California) to Rainbo Record Manufacturing Corporation in Santa Monica (California). In addition to the activities, Rainbo Record Manufacturing Corporation also employed all personnel and acquired an important part of the assets and contracts from DOCdata California, Inc. The operational activities of DOCdata in the United States were herewith terminated. In 2002 these activities resulted in a positive EBIT of EUR 0.9 million, compared to a negative EBIT of EUR 0.7 million in 2001. In addition, an extraordinary income of EUR 0.6 million has been recorded in 2002 due to a release from the US restructuring provision that was created at the end of 2001.
Media Groep Verenigde Staten van Amerika DOCdata heeft in de eerste helft van 2002 invulling gegeven aan het besluit zich terug te trekken uit de mediamarkt in de Verenigde Staten van Amerika. Op vrijdag 29 maart 2002 is de overeenkomst getekend inzake de verkoop van alle aandelen van de deelneming DOCdata New England, Inc. in Sanford (Maine) aan het lokale management team. Vervolgens is op dinsdag 30 april 2002 de overeenkomst getekend inzake de verkoop van de activiteiten van de deelneming DOCdata California, Inc. in Canoga Park (Californië) aan Rainbo Record Manufacturing Corporation in Santa Monica (Californië). E-commerce Fulfillment DOCdata E-commerce Fulfillment has realised the targets for the second half of 2002, in which period a positive EBITDA of EUR 0.3 million has been realised. The main issues are to maintain our current customer base and to further develop new business, mainly through autonomous growth. DOCdata E-commerce Fulfillment has capabilities to fulfil and invoice large quantities of small and medium-size orders for its clients. In order to expand the service portfolio to our clients, DOCdata has decided in 2003 to purchase the software promotions and e-commerce activities (including 5 employees) from the UbiQ Group. These activities will be continued in a newly incorporated company with the trading name E-MS (emedia solutions), in which DOCdata will hold a participating interest of 62.5%. Industrial Automation In line with earlier expectations, both turnover and EBIT of Industrial Automation improved in 2002 in comparison with 2001. This improvement is mainly the result of the increased deliveries of systems supplied to the security market, and the related license revenues. The order intake has improved in the second half of 2002, after a slow start in the first half of 2002. Based on the order book per the end of 2002, further improvements in 2003 of turnover as well as results are expected. These improvements will predominantly be resulting from sales of security systems for banknotes and passports.

E-commerce Fulfillment DOCdata E-commerce Fulfillment heeft haar doelstellingen voor het tweede halfjaar van 2002 gehaald. De EBITDA is in de tweede helft van 2002 uitgekomen op EUR 0,3 miljoen positief. De belangrijkste punten blijven het behouden van onze huidige klantenbasis en de verdere, vooral autonome, ontwikkeling van nieuwe business. DOCdata E-commerce Fulfillment heeft systemen om voor haar klanten de automatische afhandeling en facturering van grote aantallen kleinere en middelgrote orders uit te voeren. The total decrease in net sales for the Media Group can be split in a EUR 10.1 million (14.4%) decrease in net sales in Europe and a EUR 13.9 million (81.4%) decrease in net sales in the United States. The large decrease in the United States has mainly been caused by the sale of the US activities during the first half of 2002, as well as by a decline in business volume resulting from our decision at the end of 2001 to withdraw from the US Media Market. Net sales in 2002 only include three months’ of sales for the New England facility and four months’ of sales for the Californian facility, while a full year of sales for both facilities was included in the comparable net sales value for 2001. The total decrease in the United States of EUR 13.9 million in total net sales for 2002 compared to 2001 can be explained by EUR 2.9 million lower sales and EUR 11.0 million as a result of the non-comparable consolidated periods.

The gross profit margin for the Media Group decreased from 20.6% in 2001 to 17.8% in 2002. This decrease was primarily due to the decrease of the average sales price, especially in Germany and in France. The improved gross profit margin for the US operations of 35.2% in 2002 is primarily caused by a total benefit of about EUR 1 million resulting from settlement agreements reached with suppliers after the decision was taken to withdraw from the US Media Market; this benefit was recorded as a negative cost of goods sold item in 2002. Excluding this benefit, the adjusted gross profit margin for the US operations was 2.4% in 2002, compared to 19.3% in 2001, which is mainly the result of the decision to retract from the US Media Market, communicated to the market at the end of the calendar year 2001; the adjusted gross profit margin for the whole Media Group was 16.1% in 2002, compared to 20.6% in 2001.

Selling expenses decreased EUR 1.6 million (26.3%) from 6.3 million (6.6% of total net sales) in 2001 to EUR 4.6 million (6.3% of total net sales) in 2002. Bad debt charges are included within selling expenses. For 2002, the bad debt charge for the whole group decreased EUR 0.9 million from EUR 1.4 million in 2001 to EUR 0.5 million in 2002. The decrease is mainly due to the non-recurring high bad debt charge in 2001 for doubtful receivables of the Media Group in France and the Netherlands. In addition to the decrease in bad debt charges, the discontinuation of the US operations resulted in a decrease of EUR 0.9 million in other selling expenses (not being bad debt charges). EUR

The increase in Selling, General and Administrative expenses (SG&A) of EUR 0.2 million in 2002 for Industrial Automation is only party related to the higher business volume delivered in 2002. In line with the change of responsibilities within the Board of DOCdata per March 1, 2002 and the further focus on growth for the division Industrial Automation, approximately EUR 0.1 million additional holding charges were allocated to this division in 2002. As a percentage of net sales, SG&A has decreased from 16.7% in 2001 to 13.6% in 2002 for Industrial Automation.

Operating income before amortisation for E-commerce Fulfillment has improved from a loss of EUR 1.1 million in 2001 to a loss of EUR 0.7 million in 2002, which is primarily the result of an improved cost structure in 2002. This has also positively influenced the operating income before amortisation margin in 2002. Operating income before amortisation for Industrial Automation has increased EUR 0.3 million from EUR 1.1 million in 2001 to EUR 1.4 million in 2002. The operating income before amortisation margin for Industrial Automation decreased from 29.5% in 2001 to 22.3% in 2002, which was mainly caused by the decreased gross profit margin in 2002 and the allocation of additional holding charges. Amortisation Goodwill The amortisation expenses for 2002 of EUR 0.7 million fully consists of amortisation of goodwill associated with the purchase of Ablex Ltd. in the United Kingdom. The remaining net book value of this goodwill amounting to EUR 1.7 million per December 31, 2002 will be amortised over the remaining economical lifetime of 2.5 years. The amortisation expenses for 2001 amounted to EUR 8.9 million and consisted of non-recurring amortisation for the write-down of goodwill due to bringing down the estimated economical lifetime for all goodwill from 10 to 5 years (EUR 3.8 million), the impairment of the goodwill associated with the purchase of Ablex Ltd. in the United Kingdom (EUR 3.0 million), and of (till then) recurring goodwill amortisation based on economical lifetime of 10 years (EUR 2.1 million). Net Financial Expenses In 2002, net financial expenses decreased by EUR 0.3 million from EUR 0.6 million in 2001 to EUR 0.3 million in 2002. This decrease resulted from a lower interest bearing debt in 2002 compared to 2001. Extraordinary Income and Expenses The extraordinary income for 2002 amounts to EUR 0.6 million, which only consists of the release in 2002 of the abundant part of the restructuring provision due to the withdrawal from the United States, which was carried per December 31, 2001 for an amount of EUR 5.9 million. The release does not represent taxable income, since the creation of the provision in 2001 was not treated as a tax-deductible (extraordinary) expense in 2001. Therefore, no income taxes have been recorded on extraordinary income in 2002.

At the end of 2002, the Group has remaining net operating loss carry-forwards from prior years for a total amount of approximately EUR 7.2 million for continued operations. For EUR 4.7 million of this net operating loss carry-forward a net deferred tax asset has been valued. Employees At December 31, 2002, DOCdata had 530 employees (494 full time equivalents) in the various countries in which DOCdata is located: • Netherlands: 146 employees; • Germany: 91 employees; • France: 125 employees; • United Kingdom: 168 employees. The average number of employees in full time equivalents decreased from 633 in 2001 to 514 in 2002, primarily due to the discontinuation of the activities in the United States of America.

Subject to the consequences of any acquisition, it is expected that, due to improved efficiencies, the number of employees will further decrease. Liquidity, Capital Resources and Capital Expenditure Liquidity DOCdata generated a net cash flow by operating activities of EUR 12.3 million during 2002. Working capital decreased by 14.3% in 2002 from EUR 9.1 million at the end of 2001 to EUR 7.8 million at the end of 2002. On balance, a net cash flow of EUR 2.3 million was invested in 2002 and EUR 9.3 million was used for repayment of loans, for payment of the distribution charged to the share premium reserve, and for payment of the RIAA settlement amount. Capital Resources During the calendar year 2002, DOCdata purchased 51,318 shares of the issued Ordinary Shares for a price of EUR 3.70 per share, which transaction was part of the agreement regarding the sale of all shares in DOCdata New England, Inc. in Sanford (Maine, USA) to the local management team. At February 15, 2002, 291,475 Ordinary Shares that were held by DOCdata at December 31, 2001 were cancelled, as was decided by the General Meeting of Shareholders held on May 16, 2001. At the end of 2002, the issued share capital consisted of 7,308,850 Ordinary Shares, of which DOCdata owned 451,318 shares (6.2%).

Per saldo is in 2002 EUR 2,3 miljoen aan netto-kasstroom geïnvesteerd en is EUR 9,3 miljoen aan netto-kasstroom aangewend ter aflossing van financieringen, ter betaling van de uitkering ten laste van de agioreserve en ter betaling van de afkoopsom aan de RIAA.
Financiering Gedurende het kalenderjaar 2002 heeft DOCdata 51.318 aandelen van het geplaatst aandelenkapitaal gekocht voor een prijs van EUR 3,70 per aandeel. Deze aandelentransactie was onderdeel van de overeenkomst inzake de verkoop van alle aandelen in DOCdata New England, Inc. te Sanford (Maine, Verenigde Staten) aan het lokale management. Per 15 februari 2002 zijn 291.475 gewone aandelen die op 31 december 2001 door DOCdata werden gehouden ingetrokken, overeenkomstig het besluit daartoe door de Algemene Vergadering van Aandeelhouders gehouden op 16 mei 2001. Aan het eind van 2002 bestond het geplaatst aandelenkapitaal uit 7.308.850 gewone aandelen, waarvan DOCdata er 451.318 aandelen(6,2%) in haar bezit had.

The General Annual Meeting of Shareholders held on May 16, 2002, approved the decision to distribute in cash an amount of EUR 0.13 for each Ordinary Share outstanding (excluding own shares held by DOCdata) as a charge to the Share Premium reserve. As a result of this decision, DOCdata distributed in 2002 an amount of EUR 0.9 million out of the share premium reserve in DOCdata’s equity. At December 31, 2002, DOCdata’s total net debt amounts to a total net credit of EUR 5.3 million, since cash and cash equivalents of EUR 5.8 million exceed the total interest bearing debt of EUR 0.5 million. Total net credit has increased by EUR 4.9 million in 2002 compared to total net credit of EUR 0.4 million at December 31, 2001. Capital Expenditure Net capital expenditure for tangible fixed assets amounted to EUR 4.0 million in 2002, mainly for the Media Group. An amount of about EUR 2.5 million of this total relates to expansion investments for the purchase of DVD production equipment for the facilities in Germany, France and the United Kingdom. The other EUR 1.5 million capital expenditures relate to replacement investments, necessary to maintain the existing production capacity, including the 2002 increase of EUR 0.4 million in tangible fixed assets under construction. There was no capital expenditure for intangible fixed assets in 2002. In 2002, tangible fixed assets with a book value of EUR 6.8 million were disposed. The cash proceeds realised by the sale of tangible fixed assets and the subsidiary DOCdata New England, Inc. in 2002 amounted to EUR 1.7 million. Management anticipates that capital expenditure during 2003, required to meet growing demand for DOCdata’s products and services, will be fully funded with cash generated by the cash flow from the operations. Capital expenditure, excluding possible acquisitions, is expected not to exceed depreciation.

De Jaarlijkse Algemene Vergadering van Aandeelhouders heeft tijdens haar vergadering op 16 mei 2002 het besluit genomen een bedrag van EUR
0,13 per gewoon aandeel (exclusief de aandelen in eigen bezit van
DOCdata N.V.) in contanten uit te keren ten laste van de agioreserve. Als gevolg van dit besluit heeft DOCdata in 2002 een bedrag van EUR 0,9 miljoen uit de agioreserve uitgekeerd.
Per 31 december 2002 heeft DOCdata opnieuw geen netto rentedragende schuld, maar een overschot van EUR 5,3 miljoen, aangezien de liquide middelen van EUR 5,8 miljoen de totale rentedragende schuld van EUR 0,5 miljoen overstijgen. Dit overschot is in 2002 met EUR 4,9 miljoen toegenomen ten opzichte van het overschot van EUR 0,4 miljoen per 31 december 2001. Investeringen De investeringen in materiële vaste activa in 2002 bedroegen per saldo EUR

In 2002 zijn materiële vaste activa met een boekwaarde van EUR 6,8 miljoen buiten gebruik gesteld of verkocht. De opbrengst van de verkoop van deze materiële vaste activa en de deelneming DOCdata New England, Inc. bedroeg EUR 1,7 miljoen. Het management verwacht dat de investeringen in 2003 die nodig zijn om aan de groeiende behoefte aan DOCdata’s producten en diensten te kunnen voldoen volledig zullen kunnen worden gefinancierd uit de operationele kasstroom. Naar verwachting zullen de investeringen, exclusief eventuele overnames, de afschrijvingen niet overschrijden.

Proposal for distribution charged to share premium reserve Also this year, management of DOCdata N.V. will propose to the shareholders at the annual General Meeting of Shareholders, in accordance with Article 36 Paragraph 2 of the Articles of Association of DOCdata N.V., to decide to distribute in cash to all shareholders of ordinary shares an amount of EUR 0.13 per ordinary share, charged to the share premium reserve of DOCdata N.V. This amount per share is equal to the amount distributed last year on May 21, 2002, and has been determined at the maximum level that can be distributed by DOCdata N.V. without the Company having to pay income taxes (“surtax”) thereon. The distribution will however be subject to dividend withholding taxes, unless the shareholder can proof that substantial holding exemption can be claimed.
Voorstel inzake uitkering ten laste van agioreserve
Het management van DOCdata N.V. zal ook dit jaar op de jaarlijkse Algemene Vergadering van Aandeelhouders aan de aandeelhouders voorstellen om, overeenkomstig het bepaalde in artikel 36 lid 2 van de statuten van DOCdata N.V., een besluit te nemen tot het doen van een uitkering in contanten aan de houders van gewone aandelen van een bedrag van EUR 0,13 per gewoon aandeel ten laste van de agioreserve van DOCdata N.V. Dit bedrag per aandeel is gelijk aan het vorig jaar op 21 mei 2002 uitgekeerde bedrag per gewoon aandeel en is bepaald op het maximaal bedrag per aandeel, dat door DOCdata N.V. kan worden uitgekeerd zonder dat daarover door de vennootschap belasting (“surtax”) dient te worden betaald. Op de uitkering zal wel dividendbelasting worden ingehouden, tenzij door de aandeelhouder een bewijs kan worden overlegd waaruit blijkt dat deze aanspraak kan maken op de deelnemingsvrijstelling.
When the General Meeting of Shareholders decides to accept this proposal, an amount of EUR 889,390 will be distributed in May 2003 on the ordinary shares, which are held by other shareholders than the Company, and will be charged to the share premium reserve. The General Meeting of Shareholders shall be held on Friday May 16, 2003 in ’s-Hertogenbosch. In addition, DOCdata is planning to increase the nominal value of the shares, charged to the share premium reserve, by changing the Articles of Association in order to create the possibility to return share capital to our shareholders.
Indien de Algemene Vergadering van Aandeelhouders, welke zal worden gehouden op vrijdag 16 mei 2003 te ’s-Hertogenbosch, instemt met dit voorstel zal op de, door anderen dan door de vennootschap gehouden gewone aandelen, in totaal een bedrag van EUR 889.390 ten laste van de agioreserve worden uitgekeerd in mei 2003.
Tevens is DOCdata voornemens om middels verhoging van de nominale waarde van de aandelen ten laste van de agioreserve bij statutenwijziging de mogelijkheid te creëren om terugbetaling(en) aan de aandeelhouders te doen.

1 Summary of Significant Accounting Principles
1 Grondslagen van de jaarrekening
General The financial statements are prepared on a basis consistent with generally accepted accounting principles in the Netherlands (‘Dutch GAAP’). Historical cost is used as the measurement basis. Unless stated otherwise, all amounts are stated in euros. As the Company’s financial statements are included in the consolidated financial statements, the income statement, pursuant to Article 402, Book 2 of the Netherlands Civil Code, has been presented in abridged form.
Algemeen De jaarrekening is opgesteld volgens in Nederland algemeen aanvaarde grondslagen voor financiële verslaggeving. Tenzij anders aangegeven, zijn de waardering en de resultaatbepaling gebaseerd op historische kosten. Voor zover niet anders vermeld, luiden alle bedragen in euro’s. Ingevolge de toepassing van artikel 402, Boek 2 van het Burgerlijk Wetboek, is ten aanzien van de winst- en verliesrekening van de vennootschap volstaan met een verkorte weergave, omdat de financiële gegevens van de vennootschap zijn opgenomen in de geconsolideerde jaarrekening.
Since 1997, the Company applies a format for the presentation of the consolidated income statement wherein the amortisation goodwill is presented separately. This presentation is different from the format that is required by Dutch regulations. Starting 2003, the Company will apply the required presentation format for the consolidated income statement. Consolidation principles The Consolidated Financial Statements reflect all the assets, liabilities and results of operations of the parent and its majority-owned participations. The Consolidated Financial Statements have been prepared in accordance with the method of integral consolidation. Intercompany transactions and balances have been eliminated. Third party share in equity and results is shown separately as minority interest. Participations that will be liquidated are consolidated until criteria to qualify as group company are not applicable anymore. From that date, the net result of these companies is included in results of non-consolidated participations.
Sinds 1997 hanteert DOCdata N.V. een presentatievorm voor haar geconsolideerde winst- en verliesrekening, waarin de afschrijving goodwill separaat wordt gepresenteerd. Deze presentatie wijkt af van het model dat volgens de Nederlandse richtlijnen is voorgeschreven. Met ingang van 2003 zal het voorgeschreven model voor de geconsolideerde winst- en verliesrekening worden gevolgd. Consolidatiegrondslagen Geconsolideerd worden de financiële gegevens van DOCdata N.V. en deelnemingen waarin DOCdata N.V. overwegende zeggenschap uitoefent. De geconsolideerde jaarrekening is opgesteld volgens de methode van integrale consolidatie. Transacties en rekening-courantverhoudingen tussen geconsolideerde deelnemingen worden geëlimineerd.
Indien het belang van DOCdata N.V. in deelnemingen minder dan 100% bedraagt, wordt het aandeel van derden in het eigen vermogen en het resultaat afzonderlijk vermeld. Deelnemingen waarvoor het besluit tot liquidatie is genomen, worden meegeconsolideerd tot niet meer wordt voldaan aan de criteria van groepsmaatschappij. Vanaf die datum wordt het nettoresultaat van deze deelnemingen opgenomen als resultaat nietgeconsolideerde deelnemingen.
The results of participations acquired are consolidated from the date that control is exercised or the date agreed in the purchase agreement. The results of participations sold are consolidated for the period that control is exercised or until the date agreed in the sales agreement.
Bij de verwerving van deelnemingen gedurende het verslagjaar worden de resultaten meegeconsolideerd vanaf het moment dat invloed wordt uitgeoefend op het zakelijke en financiële beleid. Bij de verkoop van deelnemingen gedurende het verslagjaar worden de resultaten over de periode dat invloed werd uitgeoefend dan wel tot de datum bepaald in de verkoopovereenkomst, meegeconsolideerd.

Het opstellen van de jaarrekening volgens algemeen aanvaarde grondslagen voor financiële verslaggeving noodzaakt het management tot het maken van schattingen en veronderstellingen. Deze hebben betrekking op de bedragen die zijn opgenomen voor activa en passiva, de vermelding van voorwaardelijke activa en latente verplichtingen per balansdatum, alsmede de verantwoording van baten en lasten gedurende de verslagperiode. Assets and liabilities in foreign currencies including interests in companies accounted for under the equity method have been converted at the exchange rates prevailing at the end of the financial year. The results of foreign subsidiary companies and companies accounted for under the equity method have been translated at the average exchange rates for the financial years. Exchange differences arising from the conversion of net investments in foreign participating interests are reflected directly in equity, and other exchange differences are taken into the income statement. The statements of cash flows have been prepared utilising the average exchange rates for the financial years.
Vastlegging van de financiële informatie van buitenlandse deelnemingen vindt plaats op basis van lokale valuta. Omrekening van activa en passiva in vreemde valuta vindt plaats tegen de koersen per balansdatum. De herleiding van omzet, kosten en resultaten vindt plaats tegen gemiddelde koersen over de desbetreffende verslagperioden.
Koersverschillen uit hoofde van omrekening van netto-investeringen worden rechtstreeks gemuteerd in het eigen vermogen. Overige koersverschillen worden ten gunste dan wel ten laste van de winst- en verliesrekening gebracht. De omrekening ten behoeve van de opstelling van het kasstroomoverzicht vindt plaats tegen gemiddelde koersen over de desbetreffende verslagperioden.

Goodwill is amortised using the straight-line method by a charge to income over its expected economic life of 5 years. In 2001, it was decided to bring down the expected economic life from 10 to 5 years due to changes in the market circumstances during 2001.

If events or circumstances indicate that the carrying amount of intangible assets may not be recoverable, an impairment test is applied based upon an assessment of future cash flows to ensure that they are appropriately valued.

Financial fixed assets Financial fixed assets consist of investments in nonconsolidated participations, which are included in the balance sheet on their net asset value. Receivables Receivables are stated at face value, less a provision for doubtful accounts. Cash and cash equivalents Cash and cash equivalents include all cash and bank balances. Provisions Provisions are stated at face value, except for provisions in respect of pension obligations, which are generally calculated on an actuarial basis. Debt and non-interest bearing liabilities Debt and liabilities other than provisions are stated at face value. Taxation The provision for deferred taxation liabilities is based on the difference between the book and the tax values of assets and liabilities and is stated at face value. Deferred assets with respect to tax losses carried forward are only recognised in the balance sheet if they can be offset by deferred tax liabilities with the same expiry date and if it is more likely than not that the assets will be realised. Income tax amounts as recorded in the statement of income are calculated at the rates of taxation applicable in the several jurisdictions in which the Company operates, taking into account the local fiscal facilities. Recognition of revenues, income and expense Sales and related cost of sales are generally recognised at the time the product is delivered or the service is rendered. Interest income and interest expense are recognised on an accrual basis.

Restructuring The provision for restructuring relates to the estimated costs of announced reorganisations that have been approved by the Management Board. Of the provision for restructuring as of January 1, 2002 (EUR 6.0 million), EUR 5.0 million was utilised during 2002 for the withdrawal from the United States, EUR 0.2 million for the remaining closure costs for the former Nieuwegein facility, and EUR 0.6 million was released as extraordinary income in 2002. The remaining provision of EUR 0.2 million at the end of 2002 will be utilised in 2003 and 2004 to fully complete the withdrawal from the United States and to liquidate both remaining US subsidiaries, DOCdata USA, Inc. and DOCdata California, Inc. In 2002, an amount of EUR 0.2 million was charged to operating income for restructuring costs related to the decision in 2002 to close the sales office in Pantin (near Paris) in France and to redundancy in Germany. Of the provision for restructuring as of January 1, 2001 (EUR 0.4 million), EUR 0.2 million was utilised during 2001 for executing the planned workforce reduction in the United Kingdom. The remaining provision of EUR 0.2 million at the end of 2001 was utilised in 2002 for the remaining closure costs for the former Nieuwegein facility.

In 2001, an amount of EUR 6.2 million was charged to extraordinary income and expenses for restructuring costs resulting from the decision to retract from the US media market. In the total restructuring charge, an amount of EUR 1.8 million was included to provide for a the net asset value at December 31, 2001 of the US subsidiaries, and EUR 4.4 million to provide for the loans provided to the US subsidiaries by DOCdata N.V. and all other intercompany receivables from DOCdata group companies at December 31, 2001.

Settlement with Recording Industry Association of America (RIAA)
Overeenkomst met Recording Industry Association of America (RIAA)
At February 14, 2002, DOCdata and RIAA have reached agreement on the settlement with respect to the alleged copyright infringements by DOCdata USA. DOCdata has paid RIAA an amount of USD 3.2 million (EUR 3.6 million) in cash per that date. The settlement has been approved by each of the major Record Companies.
Per 14 februari 2002 hebben DOCdata en RIAA definitief overeenstemming bereikt over de vermeende inbreuken op auteursrechten door DOCdata USA. A euro denominated facility mainly used for working capital needs with a borrowing capacity of EUR 8.0 million, which is fully unused. The interest rate is Euribor plus 1.25%. As of December 31, 2002, DOCdata concluded investment contracts of EUR 1.1 million in order to invest in production equipment (2001: EUR 0.1 million). In December 1999, the European CD manufacturing companies of the DOCdata group received a letter regarding a license agreement to be signed. Management believes that DOCdata does not make use of the patents and therefore sees neither need for a license agreement nor any past due settlement. DOCdata is currently negotiating license agreements with two parties, which claim that they own rights in respect of DVD production technology. In the balance sheet as at December 31, 2002 a liability has been recorded under other liabilities and accrued expenses for royalties payable, should these agreements be signed. It is possible that there will be other parties, which will announce their request to negotiate a license agreement. Therefore, there is some uncertainty whether the liability recorded in the balance sheet as at December 31, 2002 will appear to be sufficient. 16 Segment data and major customers The DOCdata activities are split into the Media Group, consisting of four country organisations active in media services in the Netherlands, Germany, France and the United Kingdom, E-commerce Fulfillment and Industrial Automation, consisting of Industrial Automation Integrators (IAI). The Media Group contained a fifth country organisation active in the United States until end of April 2002, when these activities were all sold. Segment revenues represent net sales to third parties. Sales of products and services between the segments are minimal and therefore have not been specified.
Per 31 december 2002 was ten behoeve van afnemers en leveranciers (2001: EUR 4,2 miljoen). Per 31 december 2002 bedroegen de aangegane investeringsverplichtingen in machines voor productie EUR 1,1 miljoen (2001: EUR 0,1 miljoen). In december 1999 hebben de Europese CD-productiemaatschappijen van DOCdata een brief ontvangen inzake een te tekenen licentieovereenkomst. DOCdata maakt volgens de directie geen gebruik van de patenten, waardoor het tekenen van een licentieovereenkomst niet nodig is. DOCdata onderhandelt op dit moment met een tweetal partijen, die van mening zijn dat zij rechten hebben op het gebied van DVDproductietechnologie, over een te sluiten licentieovereenkomst. In de balans per 31 december 2002 is onder overige schulden en overige passiva een verplichting opgenomen voor nog te betalen royalty’s uit hoofde van deze nog te sluiten overeenkomsten. Het is niet uitgesloten dat zich nog meer partijen zullen melden met het verzoek om een licentieovereenkomst te sluiten. Het is derhalve onzeker of de per 31 december 2002 opgenomen verplichting toereikend zal blijken te zijn.
16 Aanvullende informatie en belangrijkste afnemers De activiteiten van DOCdata zijn onderverdeeld in vier landenorganisaties actief in Media Services in Nederland, Duitsland, Frankrijk en het Verenigd Koninkrijk, samen de Media Groep, E-commerce Fulfillment en Industrial Automation, bestaande uit Industrial Automation Integrators (IAI). Tot en met april 2002 behoorde tot de Media Groep nog een vijfde landenorganisatie, actief in de Verenigde Staten; deze activiteiten zijn inmiddels verkocht. Gesegmenteerde omzetgegevens hebben betrekking op de netto-omzet aan derden. De omzet tussen de segmenten is minimaal en derhalve niet afzonderlijk weergegeven.

20 Financial instruments and risk management Fair value financial instruments Financial instruments consist of cash and cash equivalents, trade receivables and payables, long-term debt and short-term bank facilities. The carrying amount of all financial instruments approximates fair value due to the short-term nature of these instruments and because the interest rates on these instruments change with market interest rates. Concentration of credit risk Credit risk represents the accounting loss that would be recognised at the reporting date if counter parties failed completely to perform as contracted as far as this credit risk has not been insured. The Company does not have significant exposure to any individual customer or counter party. To reduce exposure to credit risk, the Company performs on a regular basis credit evaluations of the financial condition of its customers but generally does not require collateral.

20 Financiële instrumenten en risicobeheer Marktwaarde van financiële activa en passiva De financiële instrumenten bestaan uit liquide middelen, debiteuren en crediteuren, langlopende leningen en kortlopende schulden aan kredietinstellingen. De boekwaarde van deze instrumenten benadert de marktwaarde door het kortlopende karakter daarvan dan wel doordat de interestpercentages fluctueren met de markt.
Concentratie van kredietrisico Kredietrisico bestaat uit verlies dat zou ontstaan indien op balansdatum tegenpartijen volledig in gebreke zouden blijven hun contractuele verplichtingen na te komen voor zover dit verlies niet is verzekerd. De onderneming loopt geen belangrijk kredietrisico ten aanzien van welke individuele tegenpartij dan ook. Teneinde het kredietrisico te beperken, verricht de onderneming regelmatig kredietonderzoeken naar de financiële situatie van haar afnemers, maar eist in het algemeen geen onderpand.

4 Voorzieningen
Provisions consist of a provision of EUR 2.9 million for a deferred tax liability resulting from a temporary valuation difference on participations, and a remaining balance of EUR 0.2 million of the provision for restructuring costs resulting from the decision to retract from the United States. This remaining provision of EUR 0.2 million at December 31, 2002 will be utilised in 2003 and 2004 to fully complete the withdrawal from the United States and to liquidate both remaining US subsidiaries, DOCdata USA, Inc. and DOCdata California, Inc.
De voorzieningen bestaan uit een voorziening van EUR 2,9 miljoen voor latente belastingen als gevolg van een tijdelijk waarderingsverschil op deelnemingen en een resterend saldo van EUR 0,2 miljoen van de voorziening voor herstructureringskosten als gevolg van het besluit tot het terugtrekken uit de Verenigde Staten. 6 Commitments and contingent liabilities The Company forms a fiscal unity for the income taxes with Industrial Automation Integrators (IAI) B.V., Optical Media Manufacturers (OMM) B.V., DOCdata Distribution Services B.V., DOCdata Distributie Benelux B.V., DOCdata Nederland B.V. and DOCdata International B.V. On these grounds, the Company is liable for the income tax debts of the entire group as a whole.

Volgens de voorwaarden is de vennootschap mede hoofdelijk aansprakelijk voor de schulden ter zake van vennootschapsbelasting van de gehele fiscale eenheid.
In accordance with Article 403, Part 9, Book 2 of the Netherlands Civil Code, the Company is severally liable for debts arising from legal transactions carried out by the Dutch subsidiary company Optical Media Manufacturers (OMM) B.V. The several liability will be terminated in 2003. The liabilities at December 31, 2002 regarding rental and operational lease agreements amount to EUR 0.2 million (2001: EUR 0.3 million). The remaining duration is for 1 to 3 years.

Our responsibility is to express an opinion on these financial statements based on our audit. Scope We conducted our audit in accordance with auditing standards generally accepted in the Netherlands. Those standards require that we plan and perform the audit to obtain reasonable assurance about whether the financial statements are free of material misstatement. An audit includes examining, on a test basis, evidence supporting the amounts and disclosures in the financial statements. An audit also includes assessing the accounting principles used and significant estimates made by management, as well as evaluating the overall presentation of the financial statements. We believe that our audit provides a reasonable basis for our opinion.
