Voorwoord 2013 was voor S3C het jaar van de waarheid. Onze belangrijkste drijfveer is het bijdragen aan duurzame oplossingen voor energievraagstukken in ruraal Afrika, met name Kenia. Als stichting waren wij nauw betrokken bij de zoektocht naar kleinschalige oplossingen voor scholen en gemeenschappen, die anders verstoken zouden blijven van elektriciteitsvoorziening. Een voorziening die in deze leefgebieden een enorm verschil kan maken voor onderwijs en andere sociale activiteiten. S3C kiest structureel voor een oplossing, waarbij lokaal ondernemerschap betrokken is bij het opzetten en in stand houden van zonne-energie installaties. Veel energie is dit jaar gestoken in het opzetten van de Keniaanse stichting S3C en een netwerk van kleine bedrijfjes onder de paraplu van dochtermaatschappij S3C Kenya Ltd, als operationele invulling van onze sociale ondernemingsstructuur. In dit jaarverslag kunt u lezen hoe wij uitvoering gegeven hebben aan onze missie, welke resultaten we hebben bereikt en welke lessen we hebben geleerd.
Preface 2013 has been the year of the truth for S3C. Our main drive is to contribute to sustainable solutions for energy issues in rural Africa, and for now specifically Kenya. As foundation we were closely connected to the search for small-scale power solutions for schools and communities. Having access to power makes a huge difference for education and other social activities. S3C structurally promotes solutions in which local entrepreneurship is engaged to design, install and maintain solar energy installations. A lot of energy has been invested this year in setting up the Kenyan S3C Foundation and the S3C Ltd, as implementing agents of the social venture, as well as a network of small businesses under the umbrella of S3C Kenya Ltd. In this annual report you can read how we have implemented our mission, the results we have achieved and the lessons we have learnt.

Inleiding/Introduction
Stichting S3C, Solar for sub-Saharan Schools and Communities, is opgericht op 16 december 2011, en heeft in 2013 zijn tweede volledige jaar gemaakt. Er is in dit jaar voortgebouwd op de in gang gezette acties in 2012, zowel qua financiering van projecten in Kenia via de S3C Kenya Foundation als in de deelname in de S3C International BV. Daarmee blijft het sociale ondernemingskarakter van S3C (als stichting en bedrijf) duidelijk een rol spelen. In dit jaarverslag geven we een beschrijvend verslag van ontplooide activiteiten en in de jaarrekening een cijfermatig verslag van de financiën. S3C Foundation, Solar for Sub-Saharan Schools and Communities Foundation, is formally instituted on December 16, 2011, and has made its second full operational year in 2013, building on the initiated actions in 2012, both in financing of projects of S3C Kenya Foundation as in the participation in S3C International BV. This way the social venture character of S3C is guaranteed. In this annual report we present a narrative report on the activities employed and in the financial report a data-based reporting on the financial results.

2 S3C als solar social venture/S3C as social venture S3C is een Nederlandse social venture, bestaande uit twee hoofdonderdelen: Stichting S3C S3C International BV Deze dubbele structuur is bedoeld om de kracht van beide juridische en financiële vormen optimaal te combineren om ons doel te bereiken: het ondersteunen van de maatschappelijke en economische ontwikkeling van rurale gebieden en hun bevolking in Oost-Afrika, via de verspreiding van hernieuwbare energie en vooral zonne-energie. Gebrek aan toegang tot energie is een belangrijke rem op die ontwikkeling, in onderwijs en in economische activiteit, en S3C draagt bij aan het wegnemen van die remmende factoren. De stichting werft fondsen om projecten te kunnen financieren. Die projecten hebben betrekking op het implementeren van zonne-energie op en rond rurale scholen, en op het verbeteren van beroepsonderwijs op het gebied van hernieuwbare energie. De BV vormt het vehikel om te investeren in nationale solar bedrijven (in 2013 vooralsnog alleen in Kenia), die op hun beurt een netwerk van lokale/rurale solar distributiebedrijven opzetten om daarmee hoogwaardige werkgelegenheid en inkomensmogelijkheden te creëren, en tegelijkertijd in duurzame lokale solar serviceverlening te voorzien; lokaal productaanbod, toegankelijke installatiecapaciteit, service en reparatie, onderhoudsdiensten, en dat op een hoog kwaliteitsniveau van solar expertise en installatietechniek. Hiermee voegen we waarde toe aan de Oost-Afrikaanse markt voor solar apparatuur (scholen, huishoudens), met een focus op distributie en installatie van solar PV, maar geven vooral een impuls tot verder capaciteitsontwikkeling, economische activiteit en inkomensverwerving en relevante, duurzame werkgelegenheid. De meerderheid van de aandelen van S3C International BV is in bezit van de Stichting S3C, die daarmee een controlerend belang heeft. Daarnaast staat de BV open voor externe investeerders, die daarmee werkkapitaal beschikbaar maken. S3C is a Netherlands registered social venture, housing a foundation and an Ltd (in Dutch a BV). This double structure is instituted to achieve the goals of S3C in the best way, combining the strengths of both legal units. Our goal is to support the social and economic development of rural areas in EastAfrica (for the time being Kenya), through the distribution of renewable and specifically solar energy. Lack of access to energy is a serious threshold in development, and S3C aims to contribute to removing these thresholds. The foundation raises funds to finance projects on solar implementation in and around rural schools, and on improvement of vocational education and training (TVET) on renewable energy and solar technology. The Ltd (Dutch BV) is the vehicle to invest in national solar companies, which in turn invests in local/rural solar businesses to create high value employment options and income generating activities, and at the same time offer low threshold local solar service delivery, local and nearby solar product supply, accessible solar installation capacity, service and repairs, maintenance capacity, and that all on a high professional skills level. This way, we add value to the East-African market for solar appliances (for schools and households), with a focus on distribution and installation of solar PV, but more specifically give an impulse to local capacity building, economic activity and sustainable employment opportunities. The majority of the stock of the Ltd (BV) is held by the foundation (Stichting S3C), which thus has a controlling interest in the company. Apart from that the Ltd is open to external investors, who provide the required working capital.

S3C management en toezicht/S3C management and governance
Het S3C management werd in het verslagjaar gevormd door een team dat de benodigde expertise en motivatie in zich verenigt om S3C tot een succes te maken. Dit team bestaat uit:
Jeroen Pool, managing director Geoffrey Nyamboga, financieel directeur (tot november 2013, daarna vacature) Gerard Lommerse, programmadirecteur Arjan Winters, senior technologie adviseur Harry Inia toegetreden, adviseur innovatie.
Stichting S3C heeft een Raad van Toezicht, bestaande uit: Niek Bakker (MDF Nederland, voorzitter) Kuno Buyze (Royal Haskoning/DHV, penningmeester) Jan Pronk (onafhankelijk adviseur hernieuwbare energie, secretaris). Het S3C team heeft in 2013 maandelijks vergaderd, in totaal 10 keer. Dit team heeft zowel coördinatie gedaan voor de stichting als – en vooral – voor het bedrijf. De RvT is in 2013 driemaal bijeen geweest, en is tussentijds over lopende zaken geconsulteerd. The S3C management is made up of a team that unites the required expertise and drive to make S3C into a success. The team is composed of: Jeroen Pool, managing director Geoffrey Nyamboga, finance director (until November 2013, later vacancy) Gerard Lommerse, programme director Arjan Winters, senior technology advisor Harry Inia, innovation consultant. S3C Foundation has a Board of Governors, composed of: Niek Bakker (MDF Nederland, chairman), Kuno Buyze (Royal Haskoning/DHV, treasurer) Jan Pronk (independent consultant renewable energy, secretary). The S3C team has met on monthly basis during 2013, in total 10 times. It has been engaged in both coordination of activities for the Foundation (Stichting) as – mainly – for the company (BV). The Board of Governors has met three times in the reporting year, and was consulted in between on several ongoing issues.

Verdere opbouw organisatie/expansion of organisation
Omdat 2013 het eerste operationele jaar is geweest van S3C International BV, S3C Kenya Foundation en S3C Kenya Ltd, is erg veel tijd besteed aan de opbouw van structuren. Bestuurder/directeur van de stichting Jeroen Pool, heeft tevens het coördinerend management van de S3C International BV gevoerd en de positie van Managing Director van S3C Kenya Ltd ingevuld. Hij is tevens gedelegeerd bestuurslid van S3C Kenya Foundation, en als zodanig actief betrokken geweest bij de activiteiten van de Keniaanse stichting. Het S3C team heeft de activiteiten in Nederland mede vormgegeven. De administratieve organisatie en de financiële verslaglegging in Nederland zijn punt van aandacht geweest, zeker na het terugtreden van de financieel directeur medio 2013 en de ontstane vacature. De werkzaamheden zijn bepaald en gekleurd door de beperkte financiële middelen, zowel van de stichting als ook van de BV, en de keuze om de beschikbare gelden vooral ten bate te laten komen van de Keniaanse activiteiten. Hierdoor is alle werk in Nederland onbezoldigd verricht en is niet geïnvesteerd in gezamenlijke kantoorruimte; alle werk is verricht van huis uit, vergaderingen zijn op centrale locaties in Nederland gehouden. Dit heeft de organisatie-opbouw duidelijk getekend. In Kenia is de stichting, al opgezet in 2012, verder uitgebouwd en zijn eerste projecten uitgevoerd (zie hieronder). Met het lokale bestuur is verschillende keren vergaderd en er is een lokale coördinator, Charles Kimori, aangesteld om de werkzaamheden vorm en inhoud te geven. We verwijzen naar het aparte jaarverslag van de Keniaanse stichting. Het Keniaanse bedrijf is van de grond af opgebouwd. Beginnend in januari 2013 is geleidelijk aan de centrale organisatie opgebouwd (bestaffing, kantoor, procedures, administratieve organisatie) evenals de eerste lokale structuren. Eind 2013 had het Keniaanse bedrijf 5 stafleden, een kantoor, heldere admini-

stratieve structuur en verslaglegging en uitgelijnde inkoop/import procedures, waaronder MoU's met de belangrijkste toeleveranciers. Ook hier verwijzen we naar het aparte jaarverslag van de Keniaanse Ltd. As 2013 has been the first operational year S3C International BV, S3C Kenya Foundation and S3C Kenya Ltd, a lot of time is spent on building structures. Director/governor of the Stichting S3C (S3C Foundation) Jeroen Pool, has also been engaged in the coordination and managing of S3C International BV as holding the position of Managing Director of S3C Kenya Ltd. Next to that, he is delegated governor of S3C Kenya Foundation, and as such been actively engaged in activities of the Kenyan Foundation. The S3C team has co-directed and implemented the activities in the Netherlands. The administrative organisation and the financial reporting have been point of attention during the reporting year, especially after the stepping down of the financial director and during the vacancy for this position. The activities have been heavily influenced by the limited financial means and by the choice to allocate as much funds as possible for Kenyan activities. This implied that all work done by the team in the Netherlands have been without compensation and no investments were made in office space; all works have been organised from home, the meetings were held on central locations in Netherlands. This had its impact on organisational performance. In Kenya the S3C Kenya Foundation, already registered and started up in 2012, expanded and first projects were initiated and implemented (see for reports on those below). With the local Board of Governors several board meetings were held and a local coordinator was appointed to implement projects and support board operations. We refer to the separately published annual report of the S3C Kenya Foundation for more information. The Kenyan company, S3C Kenya Ltd, has been built from scratch. Starting in January 2013, gradually a central organisation based in Nairobi was built (staff, office, procedures, administrative organisation) as well as the first local business centres. At the closure of 2013 the Kenyan company had 5 staff, a proper office, clear administrative procedures and reporting and transparent procurement and importing procedures, amongst which MoU's with the core suppliers. We refer again to the separately published annual report of S3C Kenya Ltd for more information.

Uitgevoerde projecten Stichting/Implemented projects by Foundation
In 2013 is, direct vanaf de start in januari en met de middelen die in 2012 beschikbaar waren gekomen voor de stichting, gestart met de voorbereiding en uitvoering van twee school en community projecten in Kajiado County. Dit is gebeurd in samenwerking met twee lokale NGO's, Catharinafonds Namanga en Dupoto-e-Maa in Kajiado. Er is in twee fasen over dit project gerapporteerd; via een beschrijvende tussentijdse rapportage in 20131 en – in 2014 – via een onafhankelijke evaluatie 2. Hier volgt een korte impressie van aanpak en resultaten, de rapporten zijn op aanvraag beschikbaar (en staan op onze website). In overleg met de lokale NGO's zijn twee basisscholen geselecteerd en in de loop van 2013 zijn op beide scholen solar installaties aangelegd. Deze hadden een capaciteit van 720 Wp, waarmee het administratie 1

blok en 4 tot 6 klaslokalen van licht zijn voorzien en security lights zijn aangelegd. Met deze PV installatie worden ook telefoons opgeladen waarmee de scholen extra inkomen genereren (20 Ksh per opgeladen telefoon, en dat gemiddeld 5 tot 10 per dag, dus dit levert ongeveer 500 tot 1000 Ksh per week op) en wordt computergebruik voor leerkrachten mogelijk gemaakt.

Daarnaast zijn in Kajiado en in Namanga (vanuit S3C Kenya Ltd, het bedrijf) samen met lokale ondernemers solar winkels opgezet, en zijn trainingen verzorgd (door de lokale stichting S3C Kenya Foundation): voor twee groepen solar sales agents (in totaal 51 gestart, terwijl 32 de training helemaal met succes hebben afgerond) om bij te dragen aan de verspreiding van de solar lampen en om de verkoop van deze lampen in de in het binnenland gelegen dorpen te verzorgen. voor een groep van 5 elektriciens die interesse hadden om als solar technicus verder geschoold te worden zodat ze lokaal ook kleinere solar home installaties kunnen aanleggen. Daarnaast is in de periode januari-juni 2013 in Namanga, in samenwerking met Catharinafonds, een serie voorlichtingsbijeenkomsten gehouden op en rond scholen, om ouders voor te lichten over beschikbaarheid van solar lampen voor thuisgebruik, de voordelen daarvan en zijn de producten gepresenteerd. Dit heeft geleid tot ondersteuning van de verkoop van de lokale onderneming en tot aanschaf van dergelijke lampen door ouders ter bevordering van huiswerk maken. Daarnaast zijn er andere grote voordelen: vermijden van inhaleren van schadelijke rook van kerosinelampen (hetgeen gelijk staat aan het roken van 2 pakjes sigaretten per dag), geen brandgevaar meer door omvallen van deze lampen, en veel minder kosten: een solar lamp kost 2000-2500 Keniaanse Shilling (17 tot 22 euro), een bedrag dat ongeveer in 3 tot 6 maanden ook wordt uitgegeven aan kerosine. Bij aanschaf van een solar lamp bespaart een gezin dus een substantieel bedrag (soms tot 25% van het totale inkomen) na inverdienen van de aanschafprijs.

Qua resultaten is een duidelijke vooruitgang merkbaar door de installatie van de solar op de school en – in Namanga – het gebruik van de solar lampen thuis. Beide projectscholen hebben het best gepresteerd in hun zone (Emurkeya) dan wel in het district (Enoosampurumpurr), in termen van gemiddelde KCPE scores3 bij de examens in november 2013. Hoewel hier natuurlijk veel meer factoren aan bijdragen, heeft de beschikbare zonne-energie, en hierdoor het lezen op school in de vroege ochtend en 's avonds voor bijspijkeren en examenvoorbereiding, computergebruik en beter lezen en huiswerk maken thuis, daar zeker aan bijgedragen. Er is in 2013 actief gezocht naar andere projecten, om de beschikbare fondsen van de stichting in 2013 aan te besteden. Hierbij is, meer dan in de Kajiado projecten, gekoerst op co-financieringsafspraken vooraf. De stichting wil de beschikbare middelen graag koppelen aan mede-investering in solar door lokale partijen, zoals in Kenia counties (via dept. onderwijs) of constituencies (via CDF, Constituence Development Fund). Hierover is veel overleg gepleegd, maar geen van deze vele contacten heeft in 2013 geleid tot toezeggingen; om die reden zijn de beschikbare middelen gereserveerd totdat dergelijke cofinanciering wel beschikbaar is in 2014. Een andere insteek is gekozen via het samenwerken met vrouwengroepen. Solar heeft een duidelijk gender-aspect, op twee manieren: het vervangen van kerosine door solar lampen heeft een zeer positieve invloed op de werkzaamheden van vrouwen thuis, zowel in huishouden als in productieve activiteiten zoals kralen-werk dat bij Maasai door meisjes en vrouwen gebeurt, en de verkoop van solar via vrouwengroepen kan hen een extra inkomensperspectief geven. We hebben met drie vrouwengroepen samenwerking verkend: in Ngong/BullBull: Upendo women group in Homabay: Future perspectives women group in Kibera: Samarithan Aid women group Met de eerste twee groepen is een traject gestart met verkoop van solar lampen, op basis van levering 3

op krediet. De verkopen vielen echter in de eerste maanden tegen, vooral vanwege de als hoog ervaren aanschafkosten en het ontbreken van een systeem van kopen-op-afbetaling. Foto's: women groups in BullBull and Homabay distributing solar lights
Ten slotte is met een aantal Keniaanse NGO's, doorgaans met Nederlandse steunpartners, toelevering van solar lampen geregeld op commerciële basis (dus zonder bijdrage van Stichting S3C/S3C Kenya Foundation). Dit is in 2013 gebeurd voor: Nkoilale in Narok/Stichting Nkoilale in Barneveld (120 solar lampen) Mount Elgon Trust Trans Nzoia/Stichting Elimu Mount Elgon in Tilburg (50 lampen) Catharina Foundation Namanga/Stichting Catharinafonds Nijmegen (150 lampen) Nkoilale heeft via een 50% subsidie lampen verspreid/verkocht. Met Mount Elgon is overlegd over een financieringsregeling via een solar revolving fund: in dit systeem koopt de klant de lamp op afbetaling, zodat ze in 4 tot 6 maanden de hele lamp betalen en het systeem herhaald kan worden. Dit systeem heeft Mount Elgon als pilot ingevoerd, met eerste positieve signalen eind 2013 (en voortzetting en uitbreiding in zomer 2014). Catharina Foundation heeft de lampen verspreid onder een aantal scholen onder haar beheer met als tegenprestatie een geit voor de school voor twee lampen. Direct from the start of 2103 and based on available funds from 2012, preparations were taken on for project implementation of two school en community projects in Kajiado County. This was done in cooperation with two local NGO's, Catharinafonds Namanga and Dupoto-e-Maa Kajiado. In two phases reports have been published on these projects; a narrative preliminary report in 2013 4 and – in 2014 – an independent end term evaluation5. Below we give a short impression of approach and results, the reports are available on request and are accessible through our website. In coordination with the two NGO's two primary schools have been selected for participation and in the course of 2013 on both school facilities for solar installations have been installed. These solar installations have a capacity of 720 Wp, sufficient to power lighting for administration blocks and 4 to 6 class rooms, and outside security lights, and to allow for charging of mobile phones and some computer use by teaching staff. Apart from this in Kajiado and in Namanga (from the S3C Kenya Ltd company) solar stores are set up, 4

together with local entrepreneurs and a capacity building programme was implemented (by S3C Kenya Foundation): for two groups of sales agents (in total 48 started and 32 finished with certificate) to contribute to distribution of solar lights in interior areas and villages; for a group of 5 electricians with interest to be trained as solar technician and assist in local installation works for smaller home solar installations. The groups of sales agents have been, in close coordination with and under supervision of the local entrepreneurs and S3C sales staff (and with incidental support of SNV from the EnDev+ programme) assisting in the rural sales activities. In Namanga, in cooperation with Catharina Foundation Namanga, a series of community awareness and sensitisation sessions were held on selected schools, to educate parents on the availability and added values of solar lights for home use and improvement of home work making. This was done in de period January-June 2013. This led to the support of sales of these solar lights by the Namanga local S3C branche and the uptake of lights by the parents. Apart from improved home work making these solar lights have huge advantages: avoiding inhalation of fumes (this equals smoking of 2 packages of cigarettes daily), no burning risks through tumbling down of these lights and much less costs: a solar light costs about 2000-2500 Kenyan Shilling (17 to 22 euro), an amount that equals average kerosine expenses in 3 to 6 months. Buying a solar light thus saves a family a substantial part of income (in some cases up to 25% of total income) after recapturing the price of the solar light. A likewise awareness programme in Kajiado schools has, despite several attempts to schedule it with Dupoto staff, not taken place. In results a clear improvement has been noticeable through the solar implementation activities and – in Namanga – the use of the home solar lights. Both participating schools have been best performing in their zone (Emurkeya) or district (Enoosampurumpurr), in terms of average KCPE scores at the final standard 8 exams in November 2013. Although more factors are of course of influence on those scores, the solar installations have contributed to reading and teaching in early morning hours and in the evenings for preps and the solar lights to improved home work making and exam preparations. Although the Kenyan Foundation has been looking out for more similar projects in 2013 with the available funds, more emphasis was given to local co-funding and cost sharing with local stakeholders. The foundation wants to connect availing funds to co-investment in these projects by local partners, like – in Kenya – counties (via dept. education) or constituencies (via CDF). A lot of meetings have been held with a wide array of potential partners, but none of those was willing to approve co-funding of these solar projects in advance. For this reason, the funds have been set apart for later use once those co-funding can be found. Another approach was taken in cooperating with women groups. Solar has a clear gender impact, in two ways: replacing kerosene by solar impacts specifically on women's working conditions in the house, both in household chores and in productive activities, like bead making by Maasai women and girls. Selling solar by women groups can give them an additional income generating option. We have set up cooperation with three women groups: in Ngong/BullBull: Upendo women group in Homabay: Future perspectives women group in Kibera: Samarithan Aid women group With the first two groups we stated a process of small scale-sales of solar lights, based on supply on credit as facility. Sales figures however were disappointing, basically caused by high retail prices and lack of option to sell on instalment basis. Finally, with a number of Kenyan NGO's, in general those with Dutch support-partners, supply of solar lights on commercial basis (so without financial contribution from S3C Foundation) has been agreed on. In 2013 this has been done for: Nkoilale in Narok/Stichting Nkoilale Barneveld Netherlands (120 solar lights) Mount Elgon Trust Trans Nzoia/Stichting Elimu Mount Elgon Tilburg Netherlands (50 lights) Catharina Foundation Namanga/Stichting Catharinafonds Nijmegen (150 lights) Nkoilale has sold the lights with a 50% subsidy. Mount Elgon has been supported by S3C in the use of a financing scheme through a solar revolving fund: in this system a client buys the solar light and pays gradually, so in 4 to 6 months they pay the light fully. After completion of payments the system can be repeated. This has been piloted and first positive feedback was received end of 2013 (and the pilot was continued and expanded in summer 2014). Catharina Foundation has distributed the lights in exchange for goats (2 lights per goat) to be given to selected schools in their support range.

Fondswerving/funding
Vanuit de stichting is in Nederland en internationaal gezocht naar aanvullende fondsen ter financiering van de werkzaamheden van de stichting. Ook is vanuit het bedrijf aanhoudend gezocht naar investeerders voor het versterken van het werkkapitaal van de BV. Stichting: er zijn met succes enkele kleinere donaties verkregen, van Emmaus Bilthoven (2,000 euro) en van Fietsen Scoort (3,000 euro), ten behoeve van ondersteuning van de implementatieprojecten in Kenia. Daarnaast is de verkoop van WakaWaka solar lampen via netwerkcontacten, festivals en de website doorgezet, hetgeen een redelijke bijdrage aan de inkomsten heeft geleverd. Deze lampen zijn ingekocht tegen inkoopprijs van de BV en als fondswerving met marge doorverkocht, zodat de marge als inkomen voor de stichting geldt. Grotere fondswervingsacties zijn minder succesvol geweest, zodat de beschikbare middelen in 2013 maar beperkt zijn toegenomen. In Kenia (dus buiten de activiteiten van de Nederlandse stichting om en dus ook buiten het financiële deel van dit jaarverslag) is de lokale stichting S3C Kenya Foundation erin geslaagd financiering te krijgen voor een project in 6 scholen en communities in Narok County van UNDP/SGP/GEF (het United Nations Development Programme/Small Grants Programme/Global Energy Facility). Dit betekent een belangrijke erkenning van de lokale partner als speler in dit veld. Op 22 oktober 2013 vond in Nairobi de formele start plaats van de nieuwe financieringsronde UNDP/SGP/GEF, maar de eerste financieringsfase is pas in april 2014 ontvangen. Hoewel dit jaarverslag geen betrekking heeft op de BV, melden we vanuit het meerderheidsbelang van de stichting in de BV en de intrinsieke verwevenheid van stichtings- en BV-activiteiten de zoektocht naar coinvesteerders. Deze zijn gezocht bij een serie Nederlandse, internationale en Keniaanse partijen, zoals: Nederland: St Doen, St Liberty, FMO, DOB, Sovec; Internationaal en Kenia: Schneider Energy Acccess Fund (Frankrijk), TBL Mirror, Oiko Credit, Jacana en private Keniaanse partijen. Deze contacten en aanvragen leidden vrij uniform tot de reactie dat investeren op zich interessant kan zijn, maar dat we in een te pril stadium van ontwikkeling zijn om in te stappen (te kleine omzet, te instabiel qua verdere groeiverwachting). Dit stelt ons voor de uitdaging om met de beperkte middelen die beschikbaar zijn (via de investeringen en leningen) toch tot een zodanige uitbouw te komen dat we op termijn voor impact/social investors aantrekkelijk worden.

The Foundation (Stichting) has searched for additional funding in Netherlands and internationally, to fund its implementing activities. Also the company has been looking for additional capital investment to strengthen the working capital of the Ltd (BV). Foundation (Stichting): with success some smaller donations were received, from Emmaus Bilthoven (2,000 euro) and from Fietsen Scoort (3,000 euro), to be used for support of ongoing implementation projects in Kenya. Also, sales of WakaWaka solar lights through network contacts, festivals and the website have been continued, and brought a quite reasonable addition to foundation income. These lights are bought from the Ltd at procurement prices and sold with margins to serve as income generating for the foundation. More substantial fundraising activities have been less successful, so foundation funds have shown limited growth. In Kenya (so as local fundraising by the S3C Kenya Foundation, and outside of the financial scope of this annual report) the local partner S3C Kenya Foundation was able to get funding from UNDP/SGP/GEF (this is United Nations Development Programme/Small Grants Programme/Global Energy Facility) for a 6 school and community project in Narok County. This is a recognition of the local partner S3C Kenya Foundation. On October 22, 2013 the formal launch of the new UNDP funding round took place in Nairobi, but the project has received first phase funds not before April 2014. Though this annual report does not concern the Ltd/BV, we do mention the search for co-investors from the perspective of the foundations majority stake in the BV and the intrinsic interconnection between the foundations and the companie’s activities. Attempts were made to get co-investments from a series of Dutch, international and Kenyan parties, like: Netherlands: Stichting Doen, St Liberty, FMO, DOB, Sovec International and Kenya: Schneider Energy Access Fund (France), TBL Mirror, Oiko Credit, Jacana and private Kenyan parties. These contacts and applications have led quite uniformly to the response that investment could be interesting, but not at this stage because our activities are too small scale (own capital and turnover are too small and growth too vulnerable). This puts the challenge on our table to reach to a level of operations that does make us interesting to invest in for these impact/social investors.

Ontwikkeling S3C Kenya Ltd: centraal en lokale bedrijven/development of S3C Kenya Ltd: central organisation and local branches
S3C Kenya Ltd is de eerste landenorganisatie die volgens beleidsplan zou worden opgezet. Zoals al eerder in dit verslag genoemd, is dit vanaf januari 2013 ter hand genomen. Gezien de beperkte middelen is dit geleidelijk aan opgepakt. In eerste instantie is met beperkte inzet vanuit Kenia, door Charles Kimori en met ondersteuning van Henry Kimori, getracht de verkoop van WakaWaka's invulling te geven. Dit is gebeurd in Nairobi, als centrale locatie, en in het gebied rond de eerste pilot-school, in Namanga. Ondersteuning vanuit Nederland is geboden door Jeroen Pool, in de vorm van diverse langere werkbezoeken. Dit bleek te weinig impact te geven en te weinig structuur te bieden. Daarnaast bleek de voorziene coondernemer in Namanga niet in lijn met de verwachte aanpak te werken en is in maart-april vervangen. Per 1 april is een kleine kantoorruimte in Nairobi gehuurd om de activiteiten beter te funderen en de samenwerking te bevorderen. In mei -juni is vervolgens extra staf aangetrokken om de verkoop meer invulling te geven; er is een inkoper/verkoper en een verkoper/business developer aangesteld. Vanaf april zijn ook de lokale verkoopacti-

viteiten in Kajiado opgestart, met een via Dupoto-e-Maa geselecteerde co-ondernemer, en zijn trainingen gegeven voor lokale sales agents om de lokale verkoop te stimuleren, en zijn – relatief onafhankelijk – kleinschalige lokale verkoopactiviteiten in Mandera (nood-oost Kenia) gestart met een lokale ondernemer ter plekke. In de zomer waren er drie S3C lokale sales offices: in Namanga (met Nicolas Kihara), in Kajiado (met Emily Samanthe en William Seet) en in Mandera (met Adan Ibrahim). Nadruk lag in eerste instantie op verkoop van kleine solar lampen, vooral de WakaWaka lights (maar ook producten van Barefoot, d.light en later OneDegreeSolar), en – onder druk van achterblijvende verkoop van de pico solars – in toenemende mate ook op tailor-made home solar installaties. Om de lokale units op het laatste vlak stimuleren en te ondersteunen is in augustus een 5-daagse training verzorgd voor basis solar technici, waaraan geselecteerde elektriciens uit Namanga, Kajiado en Mandera hebben deelgenomen. Deze training is op zich goed verlopen, maar de commitment van de trainees heeft helaas niet geleid tot daadwerkelijke inzet in verkoop en installatie van systemen; belangrijkste reden was het ontbreken van verkoop, ondanks gerichte inspanningen om in dit marktsegment positie op te bouwen en vele offertes die zijn uitgebracht, vooral in Kajiado en Namanga. Omdat de intermitterende ondersteuning vanuit Nederland te weinig structuur en coördinatie bleek te bieden, is Jeroen Pool vanaf september vrijwel full-time leiding gaan geven aan de Keniaanse activiteiten. Gezien de groei in activiteiten en de toenemende druk op adequate administratievoering, is vanaf oktober een extra verkoper en een Financial Officer aangesteld. De in mei aangestelde business developer bleek niet goed in het team te passen en is in het najaar vervangen door een meer uit de solar branche afkomstige business developer die echter pas per 1 januari aan de slag kon. Met de uitbreiding van het team was het ook noodzakelijk andere kantoorruimte te betrekken, hetgeen per 1 december 2013 is gebeurd. Aan het eind van het jaar was zo vanuit een blanco startsituatie een bedrijfje ontstaan met een goede centrale locatie en 5 stafleden en met drie lokale units. De omzetten van de centrale locatie en van de lokale units is echter achtergebleven bij de verwachtingen en omzetdoelstellingen, ondanks de investeringen in verkoopcapaciteit en verkoopondersteuning. Dit leidde eind 2013 tot een situatie waarin weliswaar de condities voor groei beter waren dan daarvoor, maar de bedrijfskosten hoger bleven dan de inkomsten, en er behoefte was aan extra werkkapitaal om de activiteiten verder uit te bouwen.

S3C Kenya Ltd is the first S3C country organisation being set up according to the strategic plan. As has been noted earlier in this report, this has been initiated from the start in January 2013. As the investment possibilities were limited, this has been taken on in a gradual manner. In the very first phase, capacity was limited, with Charles Kimori, supported by Henry Kimori, as core coordinative staff to boost sales of WakaWaka solar lights. This was done in Nairobi as central location, and in the area around the first pilot school, in Namanga. Support from the Netherlands was offered by Jeroen Pool, in several longer working visits. This turned out to create too little impact and too little structure. Also, the co-entrepreneur from Namanga turned out to diverge from strategies agreed on and was replaced. From April 1 on, we rented a small office space in Nairobi to create a better basis for activities and improve cooperation. In May-June additional staff was recruited to have more sales capacity; a procurement/sales officer and a sales/business developer. As of April local sales activities in Kajiado were set up, with a coentrepreneur identified through Dupoto-e-Maa, and training sessions were held for local sales agents to stimulate sales, and – relatively independent – small scale local sales activities were started in Mandera (north-east Kenya) with a local entrepreneur. In summer, three recognisable S3C local sales units were operational: in Namanga (with Nicolas Kihara), in Kajiado (with Emily Samanthe and William Seet) and in Mandera (with Adan Ibrahim). Emphasis was initially on sales of small solar lights, specifically WakaWaka lights for which S3C is Kenyan importer (but also products of Barefoot, d.light and later on OneDegreeSolar), but gradually – and caused by lagging sales/turnover from the pico solars – also shifting to tailor made home solar installations. To support and stimulate the local branches in this shift, in August a 5 day training for basic solar technicians was held, in which selected electricians from Namanga, Kajiado and Mandera participated. The training went very well and was highly appreciated. The commitment of the trainees has regrettably not lead to actual activities in sales and installation of the systems; most important cause was the lack of actual sales of home systems, despite focused efforts to build a market position in this part of the solar market and the many quotations and proposals that were issued, especially in Kajiado and Namanga. Because no direct installation jobs could be offered, the engagement of these trained solar technicians to the local branches has watered down. The intermittent support from Netherlands turned out to offer too little structure and coordination, for which reason Jeroen Pool has as of September shifted to nearly full time management of the Kenyan activities. Due to growth in activities and increasing pressure on adequate administration, an additional sales staff and a Financial Officer were appointed as of October 1. The business developer appointed in May turned out to diverge in visions and has been replaced by a business developer with more experience in the solar branche; this officer however could not start before January 1, 2014. With the staff expansions it turned out to be unavoidable to change offices and rent a more spacious office, which we managed on December 1. At the end of 2013 we have grown from a blank situation to a company with a good central facility, 5 staff members and three local units. Turnover of the central facility and the local units however were behind expectations and planning, despite investments in sales staff and sales support. At the closure of the year we were in a better position for growth than before, but were also faced with a situation where costs exceeded income, and additional working capital was needed.

Verkoopresultaten/Sales results
We melden hier de verkoopresultaten over 2013, enerzijds omdat daarmee wordt aangegeven welke verspreiding van solar lampen en installaties we hebben bereikt, anderzijds omdat hiermee verduidelijkt wordt welk commercieel perspectief er is gecreëerd; ofwel, welke basis voor inkomensverwerving en lokale werkgelegenheid hebben we weten te leggen? De tabel geeft aan dat de groei in distributie van de solar lampen 2013 langzaam en voorzichtig is geweest. Ook is te zien dat er geleidelijk een verschuiving in weging van producten is opgetreden, in termen van omzet; de home systems en dienstverlening/advisering (zoals energy auditing) is gegroeid, hetgeen vooral vanuit Nairobi is geschied. We geven per productgroep enige andere toelichting: Pico-solar en small solar home systems: De pieken in de solar lampen verkoop betreft verkoop aan NGO's (veelal met Nederlandse steunpartners), die voor verspreiding in de eigen projecten grootschaliger inkochten. De directe klantenverkoop heeft niet echt volume gekregen, en is blijven steken op 10-tallen per maand, hetgeen commercieel onvoldoende basis geeft voor continuïteit. Dit bleek ook een probleem te vormen voor de lokale business units in Namanga, Kajiado en Mandera, die eind van het jaar onvoldoende omzet genereerden om kostendekkend te zijn. Dit vertaalde zich door naar de sales agents die op commissiebasis werken, 200-400 KSh (1,80 tot 3,60 euro) per verkochte lamp. Bij lage omzet verdienen zij erg weinig en is er beperkte basis om hiermee door te gaan.

spreiding meegerekend; dit betreft deels promotie-verspreiding, deels niet betaalde bevoorrading van lokale sales agents, hetgeen vooral in Kajiado een redelijk voorraadverlies heeft opgeleverd. Hiervan uitgaande, en veronderstellend dat een modaal gezin ongeveer 5 familieleden heeft, zijn hiermee 7000 mensen aan beter licht geholpen. Ook veronderstellend dat op met 12 solar lampen, 1 ton CO2-uitstoot wordt bespaard, is hiermee 116 ton CO2 uitstoot vermeden. Home systems: de home systems zijn op maat ontworpen en geïnstalleerde systemen voor private klanten, zowel voor PV (photovoltaics, elektriciteit) als SWH (solar water heating, warm water). Deze markt is in 2013 naast de pico solar en small home systems opgepakt, omdat er meer vraag naar leek te ontstaan en dus meer omzet en meer resultaat. De vraag naar voorstellen voor dergelijke systemen is groot; in de loop van 2013 is voor bijna 80 klanten een offerte gemaakt. De bevestiging van die offertes bleef echter achter bij de verwachtingen. Qua strategie is de deze lijn ingezet om meer commercieel draagvlak te ontwikkelen en de tegenvallende omzet in de pico's en SHS's te compenseren; dit is in 2013 nog niet voldoende gelukt. Scholen: dit betreft de uitvoerig van de school-solar installaties (zie par 4.2); deze zijn door de stichting gefinancierd en door het bedrijf uitgevoerd. De tegenvallende uitbreiding van het aantal projectscholen heeft de omzet in dit segment onder druk gezet. In het algemeen valt op dat de verkoopvolumes afnemen in de laatste twee maanden. Koopbereidheid solar en solar revolving fund/willingness to buy solar and solar revolving fund De belangrijkste reden voor de tegenvallende verkoop van de pico solar lampen is de aankoopdrempel; hoewel de lampen erg veel voordelen hebben en ook qua geld op zeer korte termijn een voordeel opleveren (een lamp kost gemiddeld 2.500 Ksh, wat in 3 tot 4 maanden ook de uitgaven aan kerosine zijn, zodat men bij aanschaf er dus na die maanden al op gaat verdienen) is het voor de meeste gezinnen lastig vooraf het benodigde geld te betalen. Dit remt de vraag/koopbereidheid die er in principe is, sterk af. Om die reden zijn we in de loop van 2013 ideeën gaan ontwikkelen om verkoop op afbetaling te gaan starten, via een solar revolving fund. Dit fonds wordt beheerd door een centrale organisatie, zoals een school, die hiermee ouders in staat kan stellen een solar lamp te krijgen en in drie of vier termijnen te betalen. Hiermee blijven hun uitgaven op hetzelfde niveau als ze gewend zijn met kopen van kerosine, maar hebben ze met vier maanden de solar lamp afbetaald. Daarna hebben ze en goed licht en geen kosten meer. En het budget is weer terug waar het vandaan kwam, in het fonds en kan gebruikt worden om andere ouders te ondersteunen bij aankoop. Met dit systeem is in het najaar 2013 enige eerste positieve ervaring opgedaan met partner-organisatie Elimu Mount Elgon in Trans Nzoia. In 2014 hopen we die ervaring uit te breiden. We mention the sales results on 2013, on the one side to indicate the distribution of the solar lamps and installation we have achieved, and on the other hand to clarify the commercial perspective we were able to create; put otherwise, the basis for income generating and local employment we established. The table shows that the distribution of solar lamps in 2013 has been slow and cautious. It can also be seen that there has been a gradual shift in the weight the several products have had in our sales volumes; the home systems and service/advising (like energy auditing) has grown, specifically from the Nairobi office. For each product group we give some additional explanation: Pico-solar and small solar home systems: The peaks in sales of solar lamps concerns sales to NGO's (mostly with Dutch support partners), procuring for distribution amongst project beneficiaries. Direct client sales has not reached substantial volume and has stuck at 10-s a month, not sufficient for commercial continuity. This turned out to be a problem for the local business units in Namanga, Kajiado and Mandera, who were generating insufficient turnover to be cost covering. This also translated to the sales agents working commission based for 200-400 KSh (1,80 to 3,60 euro) for each lamp sold. With low turnover they earn very little and this limits willingness to continue. Still, all in all about 1400 solar lamps have been distributed/sold. promotion, in part non-paid stocking of local sales agents, which has taken quite substantial shape in Kajiado specifically) has not been accounted for. Based on these figures, and assuming an average family having about 5 members existing, all in all 7000 people have been provided with better lights. Also assuming a saving of 1 tCO2 for 12 lights, a total CO2 emission reduction of 116 ton CO2 has been achieved. Home systems: the home systems are tailor designed and installed systems for private clients, both for PV (photovoltaics, electricity) as SWH (solar water heating). This market has been entered into in 2013, next to the pico lights, because more demand seemed to exist for these systems and we could generate more turnover. In the course of 2013 we drafted quotations for nearly 80 clients. The confirmation of those proposals however lagged behind expectations. This strategy was started to create more commercial basis for our operations and compensate disappointing turnover of the small lights; in 2013 this didn't work out sufficiently. Schools: this concerns the implementation of the school solar installations funded by the foundation (see par 4.2); these are paid for by the foundation and implemented by the company. The disappointing upscaling of the number of school projects has put pressure on the turnover in this segment. Willingness to buy solar and solar revolving fund The most important reason for the lower than expected sales of the pico solar lamps is the buying threshold; although the solar lights have numerous advantages and also in terms of expenses are clearly beneficial (a lamp costs about 2,500 Ksh, which is about the same as payments for kerosine in a period of 3 to 4 months, so after that short period people start saving on energy/lighting expenses), for most families it is hard to make the upfront payment. This slows down the demand/willingness to buy. For that reason we have developed ideas in the course of 2013 to allow for payment in instalments, through a so-called solar revolving fund. This fund is being managed by a central organisation, like a school, that can facilitate parents to get hold of a solar light and pay for it in three to 4 terms. With such a system peoples expense levels are kept on the level they already have in buying kerosine, and still they have paid for the light in 4 months time. After that period they have good and clean light, but for free. And the budget has been paid back and can be used to assist other families. With this system we have gained some initial positive experience with partner-organisation Elimu Mount Elgon in Trans Nzoia. We hope to extend this experience in 2014.

Professional training en Learn4Work/Professional training and Learn4Work
In 2013 is – voortbouwend op voorbereidingen in 2012 – veel werk verzet om deel te nemen aan de eerste call for proposals van Learn4Work, fase 2. Deze regeling is gericht op verbeteren van beroepsonderwijs in ontwikkelingslanden en het creëren van kansen op werk en werkgelegenheid door de afstudeerders. Er is met zeer veel partijen gesproken, zowel in Nederland als in Kenia en Ethiopië, en zijn overeenkomsten voor deelname gesloten. Deze voorzagen onder andere in inhoudelijke maar ook substantiële financiële bijdragen uit de Ethiopische en Keniaanse overheden, maar ook met lokale universiteiten (Nairobi en Gondar), beroepsopleidingen (TVET's, Tsedale Nega College in Gondar/Ethiopië, Voi TTI in Kenya) en lokale solar bedrijven (ASD, Barefoot) als private partijen. In Nederland is met vergelijkbare partijen overleg gepleegd en overeenstemming bereikt over de aanvraag, deels voortbouwend op de bij Learn4Work-1 betrokken groep in Ethiopië/Gondar (vooral Alice O en Friesland College, en nieuw aansluitend Noordelijke Hogeschool Leeuwarden). Daarnaast zijn de contacten met Technische Universiteit Delft (afdeling ESE, Electrical Sustainable Energy, professor Miro Zeman) en is er een formele intentieverklaring voor samenwerking. Nederlandse solar bedrijven (waaronder Eneco) en met de ondersteuningssector voor deze bedrijven, zoals BDA en ISSO. Na al deze inspanningen en investeringen is de aanvraag ingediend, maar helaas tot onze verbazing en teleurstelling afgewezen. Na overleg met Edukans als programma-coördinator en een bijgestelde aanvraag is dit wederom gebeurd. Een bezwaarschrift tegen de gang van zaken en redenen voor afwijzing is besproken, maar heeft niet tot herziening van het besluit geleid. Dit heeft een forse streep gezet door de aspiraties van S3C om invulling te geven aan verbeterde professionele training van solar engineers in Kenya, voortbouwend op al in gang gezette verbeteringen door KEREA, de Kenyan Renewable Energy Association, ERC (Energy Regulatory Commission) en Ministry of Energy, en in Ethiopië als eerste stap om tot goede scholing van solar professionals te komen. We beraden ons nog op nieuwe mogelijkheden om aan deze aspiraties invulling te geven, omdat het ontbreken van een contingent van goed opgeleide solar technici de verspreiding van zonne-energie belemmert, maar die hebben zich nog niet voorgedaan.
In 2013 a lot of work has been done – building on preparations in 2012 – to participate in the first call for proposals of Learn4Work, phase 2. This programme is aimed at improving professional education and training in developing countries and creation of job opportunities and jobs for graduates. Discussions were held with a wide array of parties and stakeholders, both in Netherlands as well as in Kenya and Ethiopia, and agreements were reached for participating of these parties. These agreements and MoU's provided in substantial local contributions in content, but also in co-financing of the project by Ethiopian and Kenyan governments, but also with local universities (Nairobi and Gondar), professional training institutes (TVET's, Tsedale Nega College in Gondar/Ethiopia, Voi TTI in Kenya) en local solar companies (ASD, Barefoot) as private partners. In Netherlands meetings were held with a similar set of parties and agreements were reached on the application, in part building on earlier experiences in Learn4Work 1 of the group connected to the project in Ethiopia/Gondar (mostly Alice O and Friesland College, and newly joining the University of Applied Sciences Leeuwarden/Noordelijke Hogeschool Leeuwarden). Also contacts were expanded with University of Technology Delft (dept ESE, Electrical Sustainable Energy, prof Miro Zeman) and a formal intention statement was signed to cooperate. Finally, contacts were built with a series of Dutch solar companies and their support organisations like BDA and ISSO, to secure private sector contributions. Based on all these investments in time and effort the application was submitted, but to our surprise and disappointment rejected. After discussion with Edukans as programme coordinator and a re-application this rejection was repeated. A formal complaint on this decision and the reasons for it was discussed, but did not lead to a change in decision. This has severely impacted our ambitions to implement our policies on improved professional training of solar engineers in Kenya, building on the already initiated improvements by KEREA (the Kenyan Renewable Energy Association), ERC (Energy Regulatory Commission) and Ministry of Energy, and in Ethiopia as first step to develop a quality education and training programme for solar professionals. We continue looking for new options to work on our ambitions in this respect, as we see the major and negative impact the lack of well skilled solar professionals has on solar uptake, but haven't yet found these.

Nuffic universitaire capaciteitsontwikkeling/Nuffic university capacity building
Begin 2013 is, in overleg met de staf van de Universiteit van Nairobi, Department Condensed matter, en Universiteit van Gondar, School of Technology, een aanvraag ingediend voor een Nuffic capaciteitsontwikkelingsproject voor hun stafleden. Deze aanvraag, met als onderwerp State of the Art Solar Energy Theory, Research, Training and Industry Application in Netherlands, is na afstemming met en positief advies van de Nederlandse ambassades in Nairobi en Addis Abeba, in juni goedgekeurd door Nuffic. S3C Nederland heeft dit programma, in samenwerking met TU Delft als hoofdaannemer en vele andere kennispartners en bedrijven uit ons netwerk, in het najaar ontwikkeld. In november zijn 17 onderzoekers/docenten uit Ethiopië en Kenia voor het twee weken durende programma in Nederland geweest en hebben een zeer leerzame en interessant programma doorlopen, met operationele coördinatie en begeleiding door S3C en kennis- en ervaringsaanbod van de zonne-energie experts van: TU Delft, dept ESE en het solar trainingslaboratorium TU Eindhoven/Holst Centre/Solliance Noordelijke hogeschool Leeuwarden KEMA Arnhem Hyet solar BDA Gorcum solar opleidingen S Eneco solar taff of Univ of Nairobi and Univ of Gondar at TU
Evaluaties direct na de cursus en later na terugkomst lieten een zeer hoge waardering van het geboden programma zien. Het heeft zeker bijgedragen aan de kennis van de stand van zaken op solar onderwijs en onderzoek in Afrika, en daarmee en sterke impuls geboden voor de verbetering en uitbreiding van dergelijk onderwijs op de twee deelnemende instituten. Zakelijk gezien bood de coördinatie van het programma door S3C International BV een extra (onvoorziene) inkomstenbron en extra netwerk in de branche. Early 2013 we submitted, in consultation with staff of the University of Nairobi, Department Condensed matter, and University of Gondar, School of Technology, an application for a Nuffic Tailor Made Training capacity building programme on the topic of State of the Art Solar Energy Theory, Research, Training and Industry Application in Netherlands. In June this application is, after consultation with and positive advice by the Dutch Embassies in Nairobi and Addis Ababa, approved by Nuffic. S3C Netherlands has developed this programme, in cooperation with University of Technology Delft as main contractor and many other knowledge and private sector partners, in autumn. In November 17 researchers/teaching staff members from Ethiopia en Kenya have participated in the two week

programme in Netherlands and have gone through a very interesting and educating series of lecture, visits and experience based learning, with operational coordination by S3C Netherlands staff: solar experts of the following organisations participated: TU Delft, Department ESE and solar training laboratory TU Eindhoven/Holst Centre/Solliance University of Applied Science Leeuwarden KEMA Arnhem Hyet solar BDA Gorcum solar training Department Eneco solar Evaluations directly at closure of the programme and later after return, showed a very high appreciation of the programme as offered. It certainly contributed to the level of knowledge on solar research and education, and implied a huge impulse to improvement and expansion of educational programmes on the topic in the two institutions. Business wise the coordination of the programme by S3C meant an extra (unforeseen) source of income and additional networks in the sector.

Stages/internships
Als onderdeel van de relatie- en expertise-opbouw, in het kader van de positionering van S3C als kwaliteitsleverancier van solar oplossingen en in het licht van de doelstelling om bij te dragen aan kennisoverdracht en capaciteitsontwikkeling, zijn in 2013 diverse stage-trajecten opgezet en uitgevoerd.
Robin Zuidijk/Saxion Hogeschool Zwolle, Department Small Business: stage inzake logistiek en opzet lokale S3C ondernemingen, afgerond met rapport.
Heleen Middel/TU Delft Department Lucht- en ruimtevaart (bachelor): stage inzake standaardisering aanbod small solar home systems, afgerond met adviesrapport 6.
Paula Perez Rodriquez/TU Delft Department ESE (post graduate): combinatie van praktijkstage installatietechniek, solar design technologie en rekenschema's (rapportage over het opgezette solar trainingsprogramma7).
Deze stages bleken zeer ondersteunend voor de ontwikkeling van S3C Kenya als stichting en als bedrijf en zeer leerzaam, zowel vakinhoudelijk als persoonlijk, voor de stagiaires. Daarnaast is er een leeropdracht uitgevoerd door studenten van de Rotterdam Business School, over fundraising voor S3C, hetgeen heeft geleid tot een adviesrapport met nuttige tips en aanwijzingen 8.

Het balanstotaal is in 2013, ten opzichte van ultimo 2012, licht teruggelopen. Voornaamste reden is de extra besteding van middelen aan de doelstelling, de uitgevoerde projecten, waardoor de bestemmingsreserve is afgenomen. Ook is een aantal posten die voortvloeien uit gezamenlijke activiteiten voor S3C International BV en Stichting S3C, zoals PR en marketing, na eerst vanuit de BV te

Het percentage beheer en administratie (beheer en administratie/totale lasten), bedroeg in 2013 22,6%, ten opzichte van 47,1% in 2012; reden voor het hoge percentage in 2012 was dat er nog geen projectbestedingen waren in verband met de in gang zijnde opbouw van de lokale organisatie. De fondswerving in 2013 is gestegen ten opzichte van 2012, met name omdat de verkoop van WakaWaka lampen hoger lag; de gelden uit fondsen lag enigszins lager. Omdat in 2013 implementatie van twee projecten in Kenia is gestart (zie jaarverslag en toelichting op staat van baten en lasten) is vooral de besteding aan de doelstelling veel hoger komen te liggen. Ook zijn de uitgaven voor beheer en administratie gestegen, vanwege uitvoeringskosten die hier mee samenhingen (waaronder bestuurskosten in Kenia en reis- en verblijfskosten). Omdat hiermee de totale uitgaven zijn uitgestegen boven de inkomsten, is de reserve voor besteding aan de doelstelling aangesproken ter dekking, en dus afgenomen (zie balans 2013 voor deze post).
5.3
Grondslagen voor waardering en resultaatbepaling
5.3.1 Algemene grondslagen voor de opstelling van de jaarrekening De jaarrekening is opgemaakt op basis van historische kostprijs. De waardering van activa en passiva geschiedt, voor zover niet anders is vermeld tegen nominale waarde. Winsten worden toegekend aan de periode waarin ze zijn gerealiseerd. in het jaar waarin ze voorzienbaar zijn. Grondslagen voor de waardering van activa en passiva Vorderingen worden gewaardeerd tegen nominale waarde onder aftrek van voorzieningen wegens oninbaarheid. Liquide middelen De liquide middelen worden gewaardeerd tegen nominale waarde. Indien niet anders is vermeld, staan deze ter vrije beschikking. Schulden Schulden zijn opgenomen voor het bedrag waarvoor ze moeten worden afgelost.
5.3.2 Grondslagen voor de resultaatbepaling Het resultaat wordt bepaald op basis van historische kosten. Baten worden verantwoord in het jaar waarin ze zijn toegezegd c.q. zijn ontvangen. Lasten worden in aanmerking genomen in het jaar waarin deze voorzienbaar zijn.
5.4
Toelichtingen op Balans en Staat van baten en lasten
5.4.1 Toelichting op balans Aandeel in S3C International BV: Stichting S3C is statutair aandeelhouder van S3C International BV, als integraal onderdeel van de sociale onderneming S3C. Het betreft echter separate rechtspersonen, waarbij de stichting, door het meerderheidsbelang in de BV (minimaal 51% van de aandelen, nu 51.000 aandelen met een nominale waarde van 0,01, ofwel 510 euro totaal) een controlerend belang heeft in die BV. Bij de formele oprichting van de BV op 28 februari 2013 is de vereiste storting op de aandelen gepleegd. In de voorziene constructie van de 'sociale onderneming S3C' is het aandelenbezit van de S3C International BV gericht op 2 doelen: via de onderneming investeren in lokale solar bedrijvigheid zodat er duurzame capaciteitsontwikkeling en distributiestructuren ontstaan die werkgelegenheid en inkomensvergaring mogelijk maken via het aandelenbezit in de S3C International BV, en uitgaande van een winstgevende bedrijfsvoering en positief bedrijfsresultaat, meedelen in de winst van de BV; deze winst kan dan herbesteed worden aan de doelstelling van de stichting. Voorraad: De voorraad betreft de op 31 december 2013 nog voorradige WakaWaka solar lampen, die in 2012 en 2013 zijn ingekocht vanuit S3C International BV. Deze voorraad kan in 2014 worden aangewend voor fondswerving via verkoop. Bestemmingsreserve: De bestemmingsreserve geeft de middelen weer die beschikbaar zijn voor realisatie van de doelstelling in algemene zin. Er is geen specifieke op projecten toegesneden bestemmingsreserve benoemd. Crediteuren: De crediteuren betreffen ingeboekte, maar nog niet betaalde facturen, waaronder voor reiskosten S3C teamleden. Schuld aan groepmaatschappij.: S3C International BV De door te rekenen kosten die in algemene zin voor S3C zijn gemaakt, zoals voor PR/marketing en de website, zijn in eerste instantie betaald door de S3C International BV en vervolgens, post hoc, ten dele ten laste gebracht van de stichting, in de verhouding 90/10. De Rekening Courant tussen stichting en BV wordt hier met name door bepaald.
5.4.2 Toelichting op Staat van baten en lasten Baten uit fondswerving: In 2013 is op verschillende manieren geworven voor middelen om de doelstelling van de stichting financieel te ondersteunen. Er zijn donaties verkregen van: Stichting Fietsen scoort: 3,000 euro Emmaus Bilthoven: 2,000 euro Stichting Liberty: 9.000 euro enkele kleine donaties van private donoren Inkomsten uit verkoop WakaWaka: Verder zijn de baten afkomstig uit de verkoop van WakaWaka solar lampen aan (meest) Nederlandse 'afnemers'. Deze steunen hiermee de fondswerving voor Stichting S3C, omdat de stichting ze tegen aantrekkelijke inkoopprijs betrekt van S3C International BV en er een redelijke marge gemaakt kan worden op de verkoop. Totale verkoop minus inkoop van de voorraad bedraagt 7.968 euro. Er is in 2013 in totaal voor 9,156 euro aan WakaWaka solar lampen verkocht. Het betreft hier: ten opzichte van 2012 eveneens verkoop van de verbeterde WakaWaka Power, die duurder is en dus meer bijdraagt aan de omzet ten opzichte van 2012 meer verkoop aan bedrijven en andere stichtingen, zowel in Nederland als vanuit Nederland geleverd in Afrika.

Besteding aan doelstelling: In 2013 is via de lokale stichting S3C Kenya Foundation, via welke Stichting S3C zijn steun verleent voor realisatie van de doelstelling, fondsen ter beschikking gesteld om de schoolprojecten uit te voeren. De verantwoording daarvan is gerapporteerd in het eigen jaarverslag van die lokale stichting, en betreft: 1 Uitgaven dekking kosten voor school solar projecten in Namanga (Enoosampurumpurr Primary School), in samenwerking met Catharina Foundation Namanga) en Kajiado (Emurkeya Primary school), in samenwerking met Dupoto-e-Maa; 2 Uitgaven voor trainingsprogramma van lokale solar sales agents en van solar technici. 3 Organisatie- en coördinatiekosten van de lokale stichting. Aangezien de bestedingen aan de doelstelling hoger waren dan de fondswerving is in dit verslagjaar een onttrekking aan de bestemmingsreserve gedaan ter hoogte van 5.275 euro. Uitgaven kantoorkosten Als kantoorkosten zijn de kosten meegerekend voor kleine kantoorartikelen, porti en verzendkosten en gemeenteheffingen (leges loterij). Uitgaven voor bestuurskosten Als bestuurskosten zijn meegerekend de kosten voor bestuursondersteuning in Kenia en de reis- en verblijfkosten in Nederland voor het bestuurswerk. Ook is de Bestuurders-aansprakelijkheidsverzekering die is afgesloten voor RvT en bestuurder hierin meegenomen. 5.5
Verwachte staat van baten en lasten 2014
In 2014 verwachten we een continuering van de financiële prestaties van 2013, zoals hieronder weergegeven. De voorziene uitvoeringskosten, vooral ten aanzien van formatie en huur, zullen alleen worden aangegaan indien de geprojecteerde inkomsten daadwerkelijk gebleken zijn. Verder voorzien we een duidelijke lokale bijdrage in de uitvoering van de 4 voorziene projecten; de bijdragen vanuit de stichting in Nederland, te kanaliseren via de Keniaanse stichting, dient gematched te worden met lokale bijdragen van fondsen (overheden, lokale donoren) en van participerende scholen.
