Financial Markets Amendment Decree 2014 - Inducement 18 December 2013 ban for investment firms This newsletter is sent by NautaDutilh Financial Markets Amendment Decree 2014 - Inducement ban for investment firms On 17 December 2013 the Financial Markets Amendment Decree 2014 (the "Amendment Decree 2014"), containing amendments to a number of existing decrees, was finally published. Among other things, the Amendment Decree 2014 imposes the long-announced ban on inducements for investment firms. In its final form, the inducement ban deviates in two respects from the draft version submitted by the Dutch Minister of Finance to the market for consultation on 3 April of this year. Firstly, the ban is limited to investment services to non-professional clients. Secondly, the transitional provisions differ from those originally proposed. This newsletter will discuss the details of the definitive inducement ban, which will enter into force on 1 January 2014. General exceptions European context Transitional regimes Scope of the inducement ban General The inducement ban for investment firms is set out in the Market Conduct Supervision (Financial Institutions) Decree (Besluit Gedragstoezicht financiële ondernemingen Wft). It regards further substantiation of the contents of the general duty of investment firms, to act honestly, fairly and professionally in accordance with the best interests of the client, when providing investment or ancillary services. The inducement ban has a broad scope. The Amendment Decree 2014 provides that an investment firm may not pay or receive, directly or indirectly, any fee in connection with the provision of an investment service or an ancillary service to a non-professional client. Only a direct payment by the client to the investment firm for the investment service or ancillary service performed is permitted. In other words, the point of departure is that the non-professional client himself pays directly for the services he has received. Which investment firms / territorial scope The inducement ban applies to virtually all investment firms that are active on the Dutch financial market. There is only one exception: EEA-authorised investment firms providing services in the
Netherlands under a European passport and on a cross-border basis (i.e. without having a Dutch branch office). All other investment firms serving the Dutch market are subject to the ban, irrespective of whether they provide their services based on a Dutch licence or on an exception to or exemption from the requirement to obtain such a licence, or through a branch office in the Netherlands on the basis of a European passport. Which investment services and ancillary services? The inducement ban applies with respect to the following investment services: • receiving, passing on and/or executing orders (execution-only services); • providing investment advice; and • individual portfolio management. The ban does not apply to investment services consisting of the underwriting of financial instruments and/or the placing of financial instruments whether on or without a firm commitment basis, but only if the following conditions are met: • in the case of placement services, the client is informed in a comprehensive and understandable manner prior to the provision of the relevant service of the existence, nature and amount of the fee or, where the amount cannot be ascertained, the method of calculating that amount; • the payment of the fee enhances the quality of the relevant service to the client; and • the payment of the fee does not impair compliance with the investment firm's duty to act in the client's best interests. The above conditions resemble the current rules on inducements based on the Markets in Financial Instruments Directive (2004/39/EC, "MiFID"), which are also known as the "inducement norm". According to the Dutch Minister of Finance, the reason for excluding placement services from the inducement ban is that these services are rendered in the context of the primary market (i.e. when issuing financial instruments), and not the secondary market. In the Minister's view, the fees received by the investment firm in this context constitute remuneration for the preparation of the prospectus and research reports, the structuring of transactions and the taking over of risks. These fees are excluded from the ban if they do not relate to investment services to non-professional clients in the secondary market. Which financial instruments? The inducement ban will apply to all types of financial instruments and will not be limited to participations in investment institutions. Which fees/inducements? The ban will cover all types of inducements paid or received by an investment firm. The broad definition of an "inducement" in the Dutch Financial Supervision Act (Wet op het financieel toezicht, "DFSA") will remain unchanged. According to that definition, an "inducement" is a fee or remuneration, in any form, for the provision of an investment service or an ancillary service. Examples are distribution fees, return commission and referral/introduction fees in relation to an investment service. Which clients? In contrast to the consultation version, the scope of the definitive Amendment Decree is limited to the provision of investment services to non-professional clients within the meaning of MiFID. For the provision of investment services to professional clients, the abovementioned inducement norm will continue to apply. The inducement norm will also continue to apply to the provision of services to eligible counterparties, except where execution-only services are concerned. As is now the case, execution-only services provided to eligible counterparties will not be subject to any inducement rules. General exceptions
The general exceptions to the inducement ban are very limited. The ban will not apply to: • inducements which are paid directly by the client or by a person acting in the name of the client; • business gifts not exceeding EUR 100 on an annual basis; and • inducements that enable or are necessary for the provision of the relevant service. This category must be interpreted very strictly. Examples of fees that fall within this category are legal fees, settlement fees and custody fees. European context The inducement ban is based on Article 19 of MiFID which requires investment firms to act honestly, fairly and professionally in accordance with the best interests of their clients when providing investment services and/or, where appropriate, ancillary services to such clients. The Dutch inducement ban for investment firms goes substantially further than the current inducement rules based on Article 26 of the MiFID Implementing Directive (2006/73/EC). In the discussions regarding the revision of MiFID (i.e. MIFID II), the Dutch Minister of Finance indicated that he would strive for the implementation at European level of a ban on inducements for investment firms. As the introduction of such a total ban at European level is currently not feasible in the short term, the Minister decided to take action at national level by issuing the Amendment Decree. The Minister bases the changes to the inducement rules on Article 4(1) of the MiFID Implementing Directive. Pursuant to this provision, EU Member States may retain or impose requirements additional to those in the MiFID Implementing Directive only in those exceptional cases where such requirements are objectively justified and proportionate so as to address specific risks to investor protection or to market integrity that are not adequately addressed by the directive, and provided that one of the following conditions is met: • the specific risks addressed by the requirements are of particular importance in the circumstances of the market structure of that Member State; • the requirement addresses risks or issues that emerge or become evident after the date of application of the MiFID Implementing Directive and that are not otherwise regulated by or under Community measures. The Minister believes, in short, that that the current rules for inducements provided for in Article 26 of the MiFID Implementing Directive have proven to be inadequate and are insufficiently attuned to the specific circumstances of the market structure in the Netherlands. According to the Minister, Article 4 of the Implementing Directive therefore authorises him to impose more far-reaching measures in the form of an inducement ban at national level. Pursuant to Article 4, the Netherlands is required to notify the European Commission of the Dutch inducement ban and explain the reasons for it. The Minister did this on 28 November 2013. Transitional regimes The inducement ban will take effect on 1 January 2014. This means that the ban will apply to the provision of investment services or ancillary services from that date. The transitional rules in the definitive Amendment Decree are, however, substantially different from those in the consultation version. The Decree establishes two different transitional regimes flows with respect to existing positions in financial instruments: • For the provision of investment services or ancillary services with respect to transactions in financial instruments other than participations in open-end investment institutions that were carried out before 1 January 2014, the "old" inducement rules (i.e. the abovementioned inducement norm) will continue to apply. This regime will therefore apply to e.g. structured products. • For the provision of investment services or ancillary services with respect to transactions in participations in open-end investment institutions, the rule is that inducements received or paid until 1 January 2015 are permitted provided that: ♦ the inducements are passed on in full to the client; and ♦ the abovementioned inducement norm is observed

Wijzigingsbesluit financiële markten 2014 - Provisieverbod voor beleggingsondernemingen Vlak voor het eind van dit jaar, op 17 december 2013, is het Wijzigingsbesluit financiële markten 2014 (''Wijzigingsbesluit 2014'') eindelijk gepubliceerd. Het Wijzigingsbesluit 2014 bevat onder meer het lang aangekondigde provisieverbod voor beleggingsondernemingen. Dit definitieve provisieverbod wijkt op een tweetal punten af van het provisieverbod zoals dat op 3 april van dit jaar door de Minister van Financiën ter consultatie aan de markt was voorgelegd. In de eerste plaats is het verbod beperkt tot beleggingsdienstverlening aan niet-professionele cliënten. In de tweede plaats luiden de overgangsbepalingen anders dan in het oorspronkelijke voorstel. Het provisieverbod zal op 1 januari 2014 in werking treden. In deze nieuwsbrief bespreken we de details van het definitieve provisieverbod. Algemene uitzonderingen Europese context Overgangsregimes Reikwijdte van het provisieverbod Algemeen Het provisieverbod voor beleggingsondernemingen is opgenomen in het Besluit Gedragstoezicht financiële ondernemingen Wft. Het betreft een nadere invulling van de algemene verplichting voor beleggingsondernemingen om zich bij het verlenen van beleggingsdiensten of nevendiensten op een eerlijke, billijke en professionele wijze in te zetten voor de belangen van hun cliënten. Het provisieverbod heeft een ruim toepassingsbereik. Uit het Wijzigingsbesluit 2014 volgt dat beleggingsondernemingen in beginsel niet langer provisie mogen verschaffen aan of ontvangen van derden met betrekking tot het verlenen van een beleggingsdienst of een nevendienst aan een niet-professionele cliënt. Enkel directe betaling door de cliënt aan de beleggingsonderneming voor de verrichte beleggings- of nevendienst is geoorloofd. Met andere woorden, het uitgangspunt is dus dat de niet-professionele cliënt zelf en direct betaalt voor de door hem/haar ontvangen dienstverlening. Welke beleggingsondernemingen / territoriale reikwijdte? Het provisieverbod geldt voor vrijwel alle beleggingsondernemingen die actief zijn op de
Nederlandse financiële markt. De enige uitzondering hierop betreft EEA-beleggingsondernemingen die op basis van een Europees paspoort hun diensten grensoverschrijdend, zonder bijkantoor, in Nederland verrichten. Op alle andere beleggingsondernemingen die de Nederlandse markt bedienen is het provisieverbod gewoon van toepassing, ongeacht of dit op basis van een Nederlandse vergunning, een uitzondering, een vrijstelling of een Europees paspoort voor het verrichten van diensten door middel van een bijkantoor is. Welke beleggingsdiensten en nevendiensten? Het provisieverbod geldt ten aanzien van de volgende beleggingsdiensten: • het ontvangen, doorgeven en/of het uitvoeren van orders (execution only dienstverlening); • het geven van beleggingsadvies; en • het beheren van een individueel vermogen. Het provisieverbod is niet van toepassing op de beleggingsdiensten bestaande uit het overnemen of plaatsen van financiële instrumenten met of zonder plaatsingsgarantie, maar alleen indien: • vóór het verlenen van de plaatsingsdienst de cliënt op uitvoerige, accurate en begrijpelijke wijze mededeling is gedaan van het bestaan, de aard en het bedrag van de provisie of, wanneer het bedrag niet kan worden achterhaald, de berekeningswijze van dit bedrag; • de betaling van de provisie de kwaliteit van de dienst ten behoeve van de cliënt ten goede komt; en • de betaling van de provisie geen afbreuk doet aan de plicht van de beleggingsonderneming zich in te zetten voor de belangen van de cliënt. De bovengenoemde voorwaarden komen overeen met de op dit moment op grond van de Markets in Financial Instruments Directive (2004/39/EG, "MiFID") geldende provisieregels, die ook wel bekend staan als de inducement norm. De reden voor deze uitzondering op het provisieverbod is, volgens de Minister van Financiën, dat deze beleggingsdiensten worden verleend ten behoeve van de primaire markt (namelijk bij het uitgeven van financiële instrumenten) en niet ten behoeve van de secundaire markt. De provisies bij deze vormen van beleggingsdienstverlening zijn in de visie van de Minister een vergoeding voor de werkzaamheden van de beleggingsonderneming zoals het samenstellen van prospectusen researchrapporten, het structureren van transacties en het overnemen van risico's. Deze vergoedingen zijn uitgezonderd, voor zover zij geen relatie hebben met de beleggingsdienstverlening aan niet-professionele cliënten in de secundaire markt. Ten slotte geldt het provisieverbod voor alle nevendiensten. Welke financiële instrumenten? Het provisieverbod heeft betrekking op alle financiële instrumenten en is niet beperkt tot participaties in beleggingsinstellingen. Welke provisies? Alle types provisies betaald of ontvangen door een beleggingsonderneming worden geraakt door het provisieverbod. De definitie van het begrip 'provisie' zoals opgenomen in de Wet op het financieel toezicht ("Wft") is niet gewijzigd en houdt haar ruime betekenis. Onder 'provisie' wordt verstaan een beloning of vergoeding, in welke vorm dan ook, voor het verlenen van een beleggingsdienst of nevendienst. Hierbij kan bijvoorbeeld worden gedacht aan distributievergoedingen, retourprovisies en aanbrengvergoedingen in relatie tot een beleggingsdienst. Welke cliënten? In het definitieve Wijzigingsbesluit 2014 is de reikwijdte - anders dan in het consultatievoorstel beperkt tot beleggingsdienstverlening aan niet-professionele cliënten in de zin van MiFID. Op beleggingsdienstverlening aan professionele cliënten blijft de al bestaande en hiervoor genoemde inducement norm gelden. Voor dienstverlening aan in aanmerking komende
tegenpartijen blijft gelden dat er op execution only dienstverlening aan deze partijen geen provisieregels van toepassing zijn, maar dat voor andere vormen van beleggingsdienstverlening de inducement norm in acht moet worden genomen. Algemene uitzonderingen De algemene uitzonderingen op het provisieverbod zijn zeer beperkt. Het betreft de volgende provisies: • provisies die rechtsreeks worden verschaft door de cliënt of degene die namens hem/haar optreedt; • relatiegeschenken, mits de gezamenlijke waarde daarvan op jaarbasis niet meer bedraagt dan 100 euro; en • provisies die noodzakelijk zijn voor het verlenen van de betreffende dienst of deze mogelijk maken. Deze uitzondering dient strikt te worden geïnterpreteerd. De klassieke voorbeelden van deze provisies zijn juridische kosten, bewaarloon en afwikkelings- of beursvergoedingen. Europese context Het provisieverbod is gebaseerd op artikel 19 MiFID, waarin is opgenomen dat een beleggingsonderneming zich bij het verrichten van beleggingsdiensten en/of nevendiensten op loyale, billijke en professionele wijze inzet voor de belangen van haar cliënten. Het Nederlandse provisieverbod voor beleggingsondernemingen gaat een stuk verder dan de provisieregels die op dit moment volgen uit artikel 26 Uitvoeringsrichtlijn MiFID (2006/73/EC). In de context van de herziening en aanvulling van de MiFID (MiFID II), heeft de Minister van Financiën te kennen gegeven een provisieverbod voor beleggingsondernemingen op Europees niveau na te streven. Omdat een totaalverbod op provisies voor beleggingsondernemingen op Europees niveau momenteel op korte termijn echter niet haalbaar lijkt, heeft de Minister nationale stappen ondernomen uitmondend in de inwerkingtreding van het provisieverbod voor beleggingsondernemingen op 1 januari 2014. De grondslag voor de aanpassing van de provisieregels ontleent de Minister aan artikel 4 lid 1 Uitvoeringsrichtlijn MiFID. Naast hetgeen in deze Uitvoeringsrichtlijn is voorgeschreven, mogen de lidstaten krachtens dit artikel zelf nog bepaalde eisen handhaven of opleggen indien deze eisen bedoeld zijn om risico's voor de bescherming van de belegger of voor de marktintegriteit tegen te gaan en deze risico's niet voldoende door de Uitvoeringsrichtlijn MiFID worden geadresseerd. Hierbij dient wel aan ten minste één van de twee volgende voorwaarden te worden voldaan: • de concrete risico's die met de eisen worden tegengegaan, zijn van bijzonder belang in de omstandigheden die eigen zijn aan de marktstructuur van de desbetreffende lidstaat; en • met de eis worden risico's of problemen tegengegaan die ontstaan of aan het licht komen na de datum van toepassing van de Uitvoeringsrichtlijn MiFID en die niet anderszins bij of krachtens Gemeenschapsmaatregelen zijn geregeld. De Minister is, kort gezegd, van mening dat de provisieregels die volgen uit artikel 26 Uitvoeringsrichtlijn MiFID onvoldoende effectief zijn gebleken en onvoldoende inspelen op de omstandigheden die eigen zijn aan de Nederlandse marktstructuur. Daarom biedt artikel 4 van deze Uitvoeringsrichtlijn volgens de Minister de grondslag zelf additionele eisen op te leggen in de vorm van een nationaal provisieverbod. Op grond van artikel 4 Uitvoeringsrichtlijn MiFID moet Nederland de Europese Commissie van het nationale provisieverbod met nadere motivering in kennis stellen. De Minister heeft dit gedaan op 28 november 2013. Overgangsregimes Het provisieverbod treedt op 1 januari 2014 in werking. Dit betekent dat het provisieverbod van toepassing is op het verlenen van beleggingsdiensten of nevendiensten vanaf die datum. De overgangsbepalingen luiden echter in het definitieve Wijzigingsbesluit 2014 wezenlijk anders dan in het consultatievoorstel. Er gelden twee verschillende overgangsregimes met betrekking tot bestaande posities in financiële instrumenten:
• Voor het verlenen van beleggingsdiensten of nevendiensten met betrekking tot transacties in alle financiële instrumenten niet zijnde deelnemingsrechten in open-end beleggingsinstellingen die zijn verricht vóór 1 januari 2014, blijven de 'oude' provisieregels (dat wil zeggen de hiervoor genoemde inducement norm) van toepassing. Het gaat hierbij bijvoorbeeld om gestructureerde producten. • Voor het verlenen van beleggingsdiensten of nevendiensten met betrekking tot transacties in deelnemingsrechten in open-end beleggingsinstellingen, geldt dat het ontvangen of betalen van provisies nog tot 1 januari 2015 is toegestaan, mits: ♦ deze provisies in het geheel worden doorbetaald aan de cliënt; en ♦ de hiervoor genoemde inducement norm in acht wordt genomen.
