PRÁVO ROZHODNÉ PRO MIMOSMLUVNÍ ZÁVAZKOVÉ VZTAHY
Nafiízení obsahuje i dal‰í speciální pravidla pro urãení rozhodného práva v pfiípadû odpovûdnosti za ‰kodu zpÛsobenou vadou v˘robku, nekalé soutûÏe a jednání omezujícího volnou hospodáfiskou soutûÏ, ‰kody na Ïivotním prostfiedí, poru‰ení práv du‰evního vlastnictví a protestní akce v rámci kolektivního vyjednávání.
Dne 11. 7. 2007 Evropsk˘ parlament a Rada Evropské unie pfiijaly Nafiízení o právu rozhodném pro mimosmluvní závazkové vztahy (dále jen „Nafiízení“), jehoÏ úãelem je harmonizovat pravidla o pouÏití rozhodného práva pro mimosmluvní závazkové vztahy bez ohledu na to, ve kterém státû má sídlo soud, kter˘ projednává spor.
Nafiízení preferuje, aby si strany dohodou zvolily právo, kter˘m se bude jejich mimosmluvní závazkov˘ vztah fiídit. Dohodu o volbû práva mohou strany uzavfiít poté, co do‰lo ke skuteãnosti, která vedla ke vzniku ‰kody, nebo pfied tím, neÏ do‰lo ke skuteãnosti, která vedla ke vzniku ‰kody, v pfiípadû, Ïe v‰ichni úãastníci jednají v rámci své podnikatelské ãinnosti.
Mimosmluvními závazky se rozumí závazky vznikající z odpovûdnosti za ‰kodu zpÛsobenou jinému, za ‰kodu zpÛsobenou vadou v˘robku nebo za ‰kodu na Ïivotním prostfiedí. Nafiízení rozli‰uje tzv. civilní delikty (odpovûdnost za ‰kodu zpÛsobenou vadn˘m v˘robkem, nekalou soutûÏ a jednání omezující volnou hospodáfiskou soutûÏ, ‰kodu na Ïivotním prostfiedí, poru‰ení práv z du‰evního vlastnictví a protestní akce v kolektivním vyjednávání) a tzv. ostatní delikty (bezdÛvodné obohacení, jednatelství bez pfiíkazu a pfiedsmluvní odpovûdnost).
Av‰ak v pfiípadû mimosmluvních závazkov˘ch vztahÛ, které vznikají z poru‰ení práva du‰evního vlastnictví a z jednání nekalé soutûÏe nebo z jednání omezující volnou hospodáfiskou soutûÏ, musí úãastníci respektovat rozhodné právo urãené Nafiízením a nemohou ho vylouãit svojí dohodou.
Evropská unie dosud pfiijala fiadu právních pravidel t˘kajících se spolupráce ãlensk˘ch státÛ v civilních vûcech, av‰ak aÏ do pfiijetí tohoto Nafiízení neexistovala mezi ãlensk˘mi státy Ïádná obecná pravidla urãující rozhodné právo pro mimosmluvní závazkové vztahy. KaÏd˘ soud se tak fiídí sv˘mi národními normami urãujícími rozhodné právo, a proto i rozhodování a fie‰ení tûchto sporÛ se li‰í stát od státu. V nûkter˘ch státech jsou tyto normy kodifikovány (napfi. zákon o mezinárodním právu soukromém a procesním v âeské republice), zatímco v jin˘ch státech jsou kolizní pravidla obsaÏena v precedentech (napfi. Francie).
âesk˘ právní fiád neobsahuje samostatnou úpravu rozhodného práva pro mimosmluvní závazkové vztahy. Jeho úprava je souãástí zákona ã. 97/1963 Sb., o mezinárodním právu soukromém a procesním, kter˘ stanoví, Ïe „nároky na náhradu ‰kody, nejde-li o poru‰ení povinnosti vypl˘vající ze smluv ãi jin˘ch právních úkonÛ, fiídí se právem místa, kde ‰koda vznikla, nebo místa, kde do‰lo ke skuteãnosti, která zakládá nárok na náhradu ‰kody“. âeská právní úprava tak umoÏÀuje alternativní pouÏití dvou právních fiádÛ, z nichÏ jejich v˘bûr pfiíslu‰í soudu. âeská právní úprava umoÏÀuje a preferuje rovnûÏ volbu práva, av‰ak jen pro pfiípad majetkov˘ch, tedy závazkov˘ch vztahÛ. Volba práva pro mimozávazkové vztahy není v ãeské právní úpravû fie‰ena.
Nafiízení ve svém ãl. 4 obsahuje obecné pravidlo, které stanoví, Ïe rozhodn˘m právem pro mimosmluvní závazkové vztahy vznikající z civilních deliktÛ je právo zemû, kde ‰koda vznikla. V urãit˘ch odÛvodnûn˘ch pfiípadech se pouÏije pravidlo speciální, a to ●
právo jiné zemû, vypl˘vá-li ze v‰ech okolností pfiípadu, Ïe civilní delikt je zjevnû úÏeji spojen s jinou zemí.
âeská právní úprava na rozdíl od Nafiízení ani neupravuje v˘slovnû, jak˘m rozhodn˘m právem se bude fiídit vztah z bezdÛvodného obohacení nebo jednatelství bez pfiíkazu. V tûchto pfiípadech je
právo zemû, ve které mají obû strany (‰kÛdce a po‰kozen˘) v okamÏiku 3
nost z druhého smluvního státu, která má nejménû 10 % podíl na základním kapitálu osoby vyplácející dividendu, mohou b˘t zdanûny v˘hradnû ve státû jejich skuteãného pfiíjemce. V ostatních pfiípadech mohou b˘t dividendy nadále zdanûny i ve státû zdroje, av‰ak takto sraÏená daÀ nesmí pfiesáhnout 10 % hrubé ãástky dividend.
tedy nutno pouÏít právní fiád, jehoÏ pouÏití odpovídá rozumnému uspofiádání daného vztahu. Pokud pak jde o úpravu pfiedsmluvní odpovûdnosti v ãeském právním fiádu, ani obchodní ani obãansk˘ zákoník tento institut nezná a nijak jej neupravuje. Pro úplnost je je‰tû tfieba se zmínit o vztahu Nafiízení ke stávajícím mezinárodním úmluvám. Pfiípadn˘ konflikt Nafiízení a úmluv je fie‰en v Nafiízení tak, Ïe Nafiízením není dotãeno pouÏití mezinárodních úmluv, jejichÏ stranou je jeden nebo více ãlensk˘ch státÛ ke dni pfiijetí Nafiízení a které stanoví kolizní normy pro mimosmluvní závazkové vztahy. Nafiízení se v‰ak pouÏije mezi ãlensk˘mi státy pfiednostnû ve vztahu k úmluvám uzavfien˘m v˘luãnû mezi dvûma a více ãlensk˘mi státy v rozsahu, ve kterém se t˘kají pfiedmûtu právní úpravy Nafiízení. Pfiíkladem takové úmluvy je Úmluva o právu pouÏitelném pro dopravní nehody uzavfiená dne 4. 5. 1971 v Haagu.
Pro úãely zamezení dvojího zdanûní se v pfiípadû âeské republiky pouÏije metoda zápoãtu pfiíslu‰né rakouské danû maximálnû do v˘‰e ãeské danû pfiipadající na dan˘ pfiíjem. Pokud jde o licenãní poplatky, stávající úprava zÛstává v podstatû zachována. Licenãní poplatky za uÏití autorsk˘ch práv tedy mohou b˘t i nadále zdanûny pouze v zemi jejich skuteãného pfiíjemce. Naopak, stejnû jako dosud, „prÛmyslové licenãní poplatky“ mohou b˘t zdanûny také v zemi zdroje, maximálnû v‰ak do 5 % jejich hrubé v˘‰e. V této souvislosti bychom rádi upozornili také na skuteãnost, Ïe nová dohoda s Rakouskem bude mít dopad i na zdanûní licenãních poplatkÛ ve vztazích mezi âeskou republikou a Belgií. V souladu s protokolem k této smlouvû, uzavfie-li âeská republika s jin˘m státem smlouvu, ve které bude sjednána v˘hodnûj‰í sazba pro zdanûní licenãních poplatkÛ neÏ jaká je stanovena ve smlouvû s Belgií (pro nûkteré prÛmyslové licenãní poplatky 10 %), bude tato v˘hodnûj‰í sazba pouÏita i ve vztazích s Belgií. V dÛsledku toho budou od 1. ledna 2008 prÛmyslové licenãní poplatky v ãeskobelgick˘ch vztazích také podléhat zdanûní ve v˘‰i (maximálnû) 5 %.
Závûrem je nutno uvést, Ïe Nafiízení je závazné a pfiímo pouÏitelné ve v‰ech ãlensk˘ch státech EU vyjma Dánska a bude úãinné od 11. ledna 2009 (v˘jimkou je ãl. 29 Nafiízení, kter˘ se pouÏije jiÏ od 11. ãervence 2008).
NOVÁ DOHODA O ZAMEZENÍ DVOJÍHO ZDANùNÍ MEZI âESKOU REPUBLIKOU A RAKOUSKEM 1. ledna 2008 vstupuje v úãinnost nová dohoda o zamezení dvojího zdanûní mezi âeskou republikou a Rakouskem. Ve srovnání s dosavadní úpravou problematiky dvojího zdanûní a zabránûní daÀov˘ch únikÛ mezi obûma státy pfiiná‰í nová dohoda s Rakouskem kromû jiného i následující zmûny:
REFORMA VE¤EJN¯CH FINANCÍ – NOVÁ OSVOBOZENÍ VE VZTAZÍCH MATE¤SK¯CH A DCE¤IN¯CH SPOLEâNOSTÍ
Nová dohoda zavádí institut tzv. sluÏbové stálé provozovny. Podle nového znûní tedy vznikne stálá provozovna rakouského subjektu v âeské republice i na základû pouhého poskytování sluÏeb v âeské republice po dobu del‰í neÏ ‰est mûsícÛ v rámci 12 po sobû jdoucích kalendáfiních mûsícÛ. V takovém pfiípadû není relevantní, zda má tento subjekt v âeské republice stálé zafiízení k v˘konu této ãinnosti, ãi nikoliv. Obdobná úprava se aplikuje v pfiípadû, Ïe ãesk˘ subjekt poskytuje sluÏby v Rakousku.
Mezi pozitivní zmûny v rámci reformy vefiejn˘ch financí bezesporu patfií nové osvobození od danû z pfiíjmÛ právnick˘ch osob zavedené ve vztazích matefisk˘ch a dcefiin˘ch spoleãností. Osvobození dividend vyplácen˘ch dcefiinou spoleãností matefiské se za stanoven˘ch podmínek vztahuje i na dividendové pfiíjmy od dcefiin˘ch spoleãností z neãlenského státu Evropské unie, se kter˘m âeská republika uzavfiela smlouvu o zamezení dvojího zdanûní.
Dividendy, jejichÏ pfiíjemcem je spoleã4
Za stejn˘ch podmínek se osvobození vztahují i na pfiíjem z prodeje podílu na dcefiiné spoleãnosti (z ãlenského, resp. neãlenského státu Evropské unie) plynoucí matefiské spoleãnosti, která je daÀov˘m rezidentem v âeské republice, resp. stálou provozovnou ãeského daÀového nerezidenta.
Kromû obdobn˘ch podmínek, jaké jsou jiÏ podle stávající úpravy zavedeny pro osvobození dividend mezi spoleãnostmi v Evropské unii (tj. v podstatû podmínky pro naplnûní definice matefiské a dcefiiné spoleãnosti, jak je vymezuje zákon ã. 586/1992 Sb., o daních z pfiíjmÛ, ve znûní pozdûj‰ích pfiedpisÛ), je v pfiípadû dcefiin˘ch spoleãností ze tfietích státÛ nutné, aby tato spoleãnost vyplácející dividendu podléhala v domovském státû sazbû danû nejménû 12 % alespoÀ v pfiíslu‰ném zdaÀovacím období a v období pfiedcházejícím.

LAW APPLICABLE TO NON-CONTRACTUAL OBLIGATIONS
The law of another state if all circumstances of the case indicate that the tort is apparently closely related to another state.
The Regulation includes other special rules for determining the applicable law in the case of liability for damage caused by a defective product, unfair competition and conduct limiting free economic competition, environmental damage, breach of intellectual property rights and strikes in the scope of collective bargaining.
On 11 July 2007 the European Parliament and the Council of the European Union enacted the Regulation on the Law Applicable to Non-Contractual Obligations (the “Regulation”) with the aim of harmonising the rules on applying the law governing non-contractual obligations irrespective of the state of the seat of the court dealing with the relevant dispute.
The Regulation allows the parties to select the law applicable to their noncontractual obligations by agreement. The parties may conclude an agreement on the selection of law after the event resulting in damage occurred or prior to the occurrence of an event resulting in damage if all the parties conclude the agreement within the scope of their business.
Non-contractual obligations are obligations arising from liability for damage caused to another, damage caused by a defective product or damage to the environment. The Regulation recognises standard torts (liability for damage caused by a defective product, unfair competition, conduct limiting free competition, damage to the environment, breach of intellectual property rights and strikes as part of collective bargaining) and other torts (unjust enrichment, contracts of agency without mandate and pre-contractual liability).
In the case of non-contractual obligations arising due to a breach of intellectual property rights, unfair conduct or conduct limiting free competition, the parties must respect the governing law stated in the Regulation and may not eliminate it by agreement.
The European Union has so far enacted several legal rules concerning the cooperation of member states in civil matters, however, before this Regulation was enacted no general rule defining the law applicable to non-contractual obligations existed. Each court thus applies the relevant national norms which determine the governing law and therefore disputes are decided and resolved differently in individual member states. In some states these norms are codified (e.g. Act on Private International and Procedural Law in the Czech Republic), while in other states the norms are included in precedents (e.g. France).
Czech legislation does not include any separate regulation of the law applicable to non-contractual obligations. This is governed by Act No. 97/1963 Coll., on International Private and Procedural Law which states that “claims for damages are governed by the law applicable to the location where the damage arose or the location where the fact establishing the claim for damages occurred, if any breach of obligations arising from contracts or other legal acts is not involved”. Thus, Czech legislation allows the alternative application of two legal orders at the discretion of the court.
Article 4 of the Regulation establishes the general rule which states that the law applicable to non-contractual obligations arising from torts is the law applicable in the state where the damage arose. In certain justified cases the following special rule is applied

for conducting the activity in the Czech Republic is irrelevant. Analogous regulations will be applied if a Czech entity provides services in Austria.
law applicable to relationships arising from unjust enrichment or contracts of agency without mandate. In these cases the legislation which corresponds to the reasonable arrangement of the relevant relationship must be applied. The Czech Commercial and Civil Codes do not recognise or govern pre-contractual liability.
Dividends received by a company from the other contracting state with a minimum of a 10% holding in the capital of the entity which pays the dividends may be taxed exclusively in the state of the recipient (i.e. beneficial owner). In other cases the dividends may also be taxed in the state of their source, however, the tax so imposed may not exceed 10% of the gross amount of the dividends.
For the sake of completeness the relation between the Regulation and current international treaties must be mentioned. In the case of any potential conflict between the Regulation and the treaties the Regulation does not affect the application of international treaties concluded by one or more member states as at the day when the Regulation determining the conflict rules of non-contractual obligations is enacted. The application of the Regulation should be preferred by member states over treaties concluded solely by two or more member states in relation to the matters governed by the Regulation. The Convention on the Law Applicable to Traffic Accidents concluded on 4 May 1971 in The Hague may be an example of such a treaty.
For the purposes of preventing double taxation the tax credit of the relevant Austrian tax up to the amount of the Czech tax which is paid on the respective income is applied. The current regulation of licence fees basically remains unchanged. Licence fees for the use of copyrights may further be taxed only in the state of the beneficial owner. On the contrary, “industrial licence fees” may further be taxed in the state of their source, however, up to the maximum of 5% of their gross amount.
In conclusion it must be stated that the Regulation is binding and directly applicable in all member states of the European Union except Denmark, and will take effect on 11 January 2009 (except for Article 29 of the Regulation which will take effect on 11 July 2008).
In this respect we would like to point out that the new treaty with Austria will also affect the taxation of licence fees arising from relations between the Czech Republic and Belgium. In compliance with the protocol to this treaty, should the Czech Republic conclude a treaty with another state setting out a more favourable tax rate to be imposed on licence fees compared to the rate stipulated in the treaty with Belgium (10% for certain industrial licence fees) then the more favourable rate will be applied to fees arising from the relations with Belgium. As a result of this, industrial licence fees in Czech-Belgian relations will also be subject to (the maximum) 5% tax.

Under the same conditions the exemption also applies to the income of a parent company which is a tax resident of the Czech Republic or a permanent establishment of a Czech tax non-resident from the sale of a share in the subsidiary (resident of a European Union member state or a third state).

LOI APPLICABLE AUX OBLIGATIONS NON CONTRACTUELLES Le Parlement européen et le Conseil de l’Union européenne ont adopté le 11 juillet 2007 un règlement sur la loi applicable aux obligations non contractuelles (ci-après le « règlement ») dans le but d'harmoniser les règles relatives à l’application de la loi régissant les obligations non contractuelles, nonobstant le lieu du siège du tribunal saisi du litiges.
Le règlement comprend d’autres règles spéciales pour la détermination de la loi applicable dans le cas de la responsabilité pour les dommages causés par un produit défectueux, la concurrence déloyale et les agissements visant à limiter la libre compétition économique, les atteintes à l’environnement, la violation des droits de propriété intellectuelle et les actions de protestation au cours des négociations collectives.
Les obligations non contractuelles sont des obligations découlant de la responsabilité pour les dommages causés à tiers, les dommages causés par les vices d’un produit ou les dommages causés à l’environnement. Le règlement distingue les délits civils (responsabilité pour les dommages causés par un produit défectueux, la concurrence déloyale, les agissements visant à limiter la libre concurrence et les dommages à l’environnement, la violation des droits de propriété intellectuelle et les actions de protestation dans le cadre des négociations collectives) et les « autres délits » (enrichissement sans cause, les contrats de gérance sans mandat et la responsabilité précontractuelle).
Le règlement permet aux parties de se mettre d’accord sur le choix de la loi applicable à leurs obligations non contractuelles. Les parties peuvent choisir la loi applicable après l’événement entraînant la survenue du dommage, ou avant l’apparition de l’événement entraînant la survenance du dommage si toutes les parties de l’accord agissent dans le cadre de leurs activités d’entreprise. Par contre, dans le cas des obligations non contractuelles découlant de la violation des droits de propriété intellectuelle, de la concurrence déloyale ou des agissements visant à limiter la libre concurrence, les parties doivent respecter la loi applicable avancée par le Règlement et ne peuvent pas l’exclure par voie d’une convention.
L’Union européenne a jusqu’ici adopté plusieurs règles juridiques relatives à la coopération des Etats membres en matière civile, cependant, avant la promulgation de ce règlement, aucune règle générale définissant le droit applicable aux obligations non contractuelles n’existait. Chaque tribunal applique donc les normes nationales qui déterminent la loi applicable et, par conséquent, les différends sont résolus et tranchés différemment dans les Etats membres. Dans certains Etats, ces normes sont codifiées (par exemple la loi sur le droit international privé et procédural en République tchèque), tandis que dans d’autres États les normes de conflits de loi se trouvent, pour une part significative, dans la jurisprudence (par exemple en France).
La législation tchèque ne comporte aucun règlement distinct de la loi applicable aux obligations non contractuelles. Celle-ci est régie par la loi n° 97/1963 portant sur le droit international privé et procédural qui dispose que « les demandes de dédommagement sont régies par la loi applicable dans le lieu où le dommage est survenu ou dans le lieu où ont eu lieu les faits établissant la demande de dédommagement, à moins qu’il ne s’agisse d’une violation des obligations découlant de contrats ou d’autres actes juridiques ». République tchèque et l’Autriche (ciaprès « CDI ») prend effet à compter du 1er janvier 2008. En comparaison avec le texte actuel de la convention qui vise à éviter la double imposition et à empêcher les évasions fiscales entre les deux Etats, la nouvelle CDI signée avec l’Autriche apporte, entre autres, les modifications suivantes :
de deux ordres juridiques dont le choix de l’un ou l’autre revient à la cour. La législation tchèque permet et favorise le choix par les parties du droit applicable, mais uniquement dans le cas du droit de propriété et dans le cadre des relations contractuelles. Le choix du droit pour les obligations non contractuelles n’est pas traité dans la législation tchèque.
La nouvelle CDI établit la définition de la notion « établissements stables de service ». Selon la nouvelle stipulation y afférente, un établissement stable d’une entité autrichienne prend naissance en République tchèque également sur la base d’une simple fourniture de services sur le territoire de la République tchèque au cours d’une période supérieure à six mois pendant 12 mois calendaires successifs. Dans un tel cas, il n’est pas important que cette entité ait ou non en République tchèque une installation fixe pour l’exercice de son activité. Les règles sont identiques pour la fourniture des prestations de services par une entité tchèque en Autriche.
Contrairement au Règlement, la législation tchèque ne régit pas expressément la loi applicable aux relations découlant de l’enrichissement sans cause ou des contrats de gérance sans mandat. Dans ces cas, la législation dont l’utilisation correspond à la disposition raisonnable de la relation donnée doit être appliquée. Les dispositions régissant la responsabilité précontractuelle dans l’ordre juridique tchèque ne sont traitées ni dans le code de commerce ni dans le code civil, ces deux codes ne connaissant pas cette institution juridique. Par souci d’exhaustivité, il faut aborder également la relation entre le règlement actuel et les conventions internationales. En cas de conflit entre le règlement et les conventions, le règlement dispose qu’il ne remet pas en cause l’application des conventions internationales conclues par un ou plusieurs Etats membres au jour de l’adoption du Règlement et spécifie les normes de conflit de loi pour les obligations non contractuelles. Cependant, le Règlement est appliqué par les Etats membres prioritairement par rapport aux conventions conclues exclusivement par deux ou plusieurs Etats membres dans les limites de l’objet des dispositions juridiques du Règlement. Il est possible de citer, à titre d’exemple, la Convention sur la loi applicable en matière d’accidents de la circulation routière conclue le 4 mai 1971 à La Haye.
Les dividendes, dont le bénéficiaire est la société de l’autre Etat contractant qui a au moins 10 % de part dans le capital social de la personne qui paie les dividendes, peuvent être soumis à l’impôt exclusivement dans l’Etat de leur bénéficiaire effectif. Dans les autres cas, les dividendes peuvent continuer d’être soumis à l’imposition dans l’Etat de source, mais cet impôt prélevé à la source ne doit pas dépasser 10 % de la somme brute des dividendes. Afin d’éviter la double imposition, on applique dans le cas de la République tchèque la méthode du crédit d’impôt autrichien, le montant de ce dernier étant limité par l’impôt tchèque correspondant au revenu de source autrichienne.
Enfin, il convient de préciser que le règlement est obligatoire et directement applicable dans tous les Etats membres de l’Union européenne sauf le Danemark, et prendra effet le 11 janvier 2009 (à l’exception de l’article 29 du Règlement, qui prendra effet le 11 juillet 2008).
Quant aux, redevances, le texte initial de la CDI les concernant reste dans le fond inchangé. Les droits de licence pour l’utilisation des droits d’auteur peuvent donc continuer d’être soumis à l’impôt uniquement dans l’Etat de leur bénéficiaire effectif. Par contre, comme il est le cas jusqu’à présent, les « droits de licence industriels » peuvent être soumis à l’impôt dans l’Etat de source, mais à 5% au maximum de leur somme brute.

Pour les mêmes conditions susvisées, l’exonération s’applique également au revenu provenant de la cession de la part dans une filiale (dans un Etat membre ou non membre de l’Union européenne) dont le bénéficiaire est la société mère qui est un résident fiscal de la République tchèque, éventuellement qui est un établissement stable d’un non-résident fiscal tchèque.
Hormis les conditions analogues qui sont déjà appliquées pour l’exonération des dividendes distribués entre les sociétés de l’Union européenne (il s’agit de l’accomplissement de la définition de la société mère et des filiales comme définies par la loi portant impôt sur les revenus), il est nécessaire que la filiale – distributrice des dividendes provenant des Etats tiers, remplisse également la condition de soumission dans l’Etat de sa résidence à un taux d’imposition de 12 %, et ce, au moins dans la période d’imposition en question et dans la période précédente.

INVESTIâNÉ STIMULY NA SLOVENSKU V ROKU 2008 V októbri 2008 Národná rada Slovenskej republiky prijala nov˘ Zákon o investiãnej pomoci. Ustanovenia zákona nadobudnú úãinnosÈ 1. januára 2008. Právne otázky súvisiace s nov˘m Zákonom o investiãnej pomoci, ktoré budú v roku 2008 dôleÏité, sú nasledovné:
Investori do centier strategick˘ch sluÏieb Ïiadajúci o investiãnú pomoc sú povinní investovaÈ viac ako 35 miliónov SKK (pribliÏne 1 milión EUR), z ktor˘ch najmenej 50% musí byÈ kryt˘ch vlastn˘mi prostriedkami. Minimálne 30% z celkového poãtu zamestnancov musí maÈ vysoko‰kolské vzdelanie.
Formy a rozsah investiãn˘ch stimulov MoÏno rozlí‰iÈ ‰tyri formy investiãn˘ch stimulov na podporu zaãínajúcich investícií a zamestnanosti: (i) dotácie na obstaranie dlhodobého hmotného alebo nehmotného majetku, (ii) úºavy na dani z príjmu, (iii) príspevky na vytvorené nové pracovné miesta a (iv) prevod alebo zámena nehnuteºného majetku za cenu niωiu ako je jeho trhová cena.
Podmienky pri investíciách v cestovnom ruchu sú podobné podmienkam poÏadovan˘m pri priemyselnej v˘robe. Av‰ak minimálna v˘‰ka investiãn˘ch v˘davkov je stanovená na 500 miliónov SKK (pribliÏne 15 miliónov EUR), ktorá môÏe byÈ zníÏená aÏ na 100 miliónov SKK (pribliÏne 3 milióny EUR).
V˘‰ka investiãn˘ch stimulov závisí od miery nezamestnanosti v danom regióne a hospodárskeho odvetvia investície. UprednostÀujú sa regióny s mierou nezamestnanosti vy‰‰ou ako priemernou mierou nezamestnanosti na Slovensku a sofistikované projekty s vy‰‰ou pridanou hodnotou.

Typy projektov a kritériá
Investor je povinn˘ poÏiadaÈ o investiãnú pomoc e‰te pred zaãatím akejkoºvek súvisiacej ãinnosti. Îiadosti sa podávajú na Ministerstvo hospodárstva Slovenskej republiky, ktoré v spolupráci s ostatn˘mi ministerstvami ÏiadosÈ posúdi a zabezpeãí vypracovanie odborného posudku.
Na to, aby na projekt boli poskytnuté investiãné stimuly, projekt musí spæÀaÈ zákonné poÏiadavky, ktoré sa lí‰ia podºa typu projektu. Priemyselná v˘roba, technologické centrá, centrá strategick˘ch sluÏieb (napr. centrá pre v˘voj poãítaãov˘ch programov) a investície v cestovnom ruchu sú spôsobil˘mi na investiãné stimuly.
Ak je moÏné oprávnene predpokladaÈ, Ïe investiãná pomoc bude pridelená, Ministerstvo hospodárstva vypracuje písomn˘ návrh na poskytnutie investiãnej pomoci investorovi. Je dôleÏité poznamenaÈ, Ïe ak bola práca na investiãnom zámere zaãatá pred vydaním návrhu, nemoÏno následne poskytnúÈ Ïiadnu investiãnú pomoc.
Hlavnou podmienkou pre poskytnutie investiãnej pomoci v priemyselnej v˘robe je vybudovanie nového podniku, roz‰írenie existujúceho podniku, zásadná zmena v˘robného procesu alebo kúpa podniku a preinvestovanie viac ako 800 miliónov SKK (pribliÏne 24 miliónov EUR), z ktor˘ch najmenej 50% musí byÈ financovan˘ch z vlastného majetku investora. Právnické osoby, ktoré sa zapisujú do obchodného registra, nemusia preukazovaÈ oprávnenie uÏívaÈ nehnuteºnosÈ, ktorú uvádzajú ako sídlo podnikania, keìÏe túto skutoãnosÈ preukazujú pri zápise do obchodného registra, ãím sa odstraÀuje duplicita.
ZMENY V ÎIVNOSTENSKOM PODNIKANÍ
Rovnako sa zru‰ila povinnosÈ maÈ v kaÏdej prevádzkarni autorizovanú in‰pekãnú knihu.
Národná rada SR prijala novelu Îivnostenského zákona, ktorá nadobudla úãinnosÈ od októbra 2007. Vykonané zmeny reagujú aj na európsku legislatívu, predov‰etk˘m v oblasti uznávania odborn˘ch kvalifikácií, ktoré sa stalo liberálnej‰ím. Základné zmeny sú nasledovné:
Îivnosti Ministerstvo vnútra SR je povinné zverejniÈ zoznam odporúãan˘ch voºn˘ch Ïivností aj s vymedzením ich obsahu. Doteraz Ïivnostenské úrady postupovali na základe vlastného uváÏenia a mnohokrát nejednotne, ão v praxi spôsobovalo zbytoãné problémy a prieÈahy.
Menej formalít Hlavn˘m prínosom je vytvorenie jednotn˘ch kontaktn˘ch miest, ão sú fakticky doteraj‰ie Ïivnostenské úrady. Na jednotn˘ch kontaktn˘ch miestach osoby zaãínajúce podnikaÈ alebo uÏ podnikajúce, vybavia nielen Ïivnostenské oprávnenie, ale môÏu poÏiadaÈ aj o daÀovú registráciu a prihlásenie do systému povinného verejného zdravotného poistenia. Rovnako odpadá povinnosÈ preukazovaÈ bezúhonnosÈ, staãí uviesÈ potrebné údaje a obvodn˘ úrad sám zabezpeãí v˘pis z registra trestov.
Novelou sa podstatn˘m spôsobom liberalizujú podmienky pri získavaní remeseln˘ch Ïivností (napr. niektoré ãinnosti v stavebníctve), kde sa zru‰ila povinnosÈ odbornej praxe a postaãuje vzdelanie v príslu‰nom odbore. Osobám z ãlensk˘ch krajín sa v zásade odborná kvalifikácia a prax na Slovensku uzná buì automaticky po predloÏení poÏadovan˘ch dokladov alebo na základe rozhodnutia Ministerstva vnútra SR. V záujme sprehºadnenia a zv˘‰enia dôveryhodnosti je na Ïivnostensk˘ch listoch a koncesn˘ch listinách vydan˘ch po októbri 2007 uveden˘ iba jeden predmet podnikania. V tejto súvislosti sa zníÏili aj poplatky za vydanie Ïivnostensk˘ch oprávnení, napr. u Ïivnostensk˘ch listov aÏ desaÈnásobne.
Obãania ãlensk˘ch krajín EÚ, Európskeho hospodárskeho priestoru a ·vajãiarska preukazujú bezúhonnosÈ registrom trestov domovského ‰tátu, teda ‰tátu, v ktorom získali odbornú kvalifikáciu alebo registrom trestov ‰tátu pôvodu, ktor˘m je ‰tát, v ktorom mali pred príchodom na Slovensko bydlisko. V˘pis zo slovenského registra trestov uÏ netreba.

INVESTMENT INCENTIVES IN SLOVAKIA IN 2008
For technological centres, the minimum amount of investment into a new or existing centre is SKK 40 million (approximately €1.2 million) of which at least 50% must be financed from the investor’s own sources and at least 60% of all employees must have a university education.
In October 2007, the Slovak Parliament adopted a new Act on Investment Aid. The provisions of this Act will become effective on 1 January, 2008. Legal issues relating to the new Act on Investment Aid which will most likely gain significance in 2008 are the following:
Investors in strategic services centres soliciting investment incentives must invest more than SKK 35 million (approximately €1 million) of which more than 50% must be covered by their own funds. At least 30% of employees must have a university education.
Forms and amounts of investment incentives Four forms of investment incentives to support opening investments and employment can be differentiated: (i) grants to acquire tangible or intangible fixed assets, (ii) corporate income tax relief, (iii) contributions for retraining staff hired for newly created jobs and (iv) the transfer or exchange of real estate for a price lower than its market value.
Conditions for investments in the tourist sector are similar to those required in industrial investments. However, a minimum amount of the investment expenses must be SKK 500 million (approximately €15 million) which may be reduced to SKK 100 million (approximately €3 million).
The amount of investment incentives is determined by the unemployment rate in the respective region and the economic sector of the investment. Regions with an unemployment rate above the Slovak average and sophisticated projects with high added value are preferred.
Procedural aspects An investor is obliged to apply for investment incentives before the commencement of any relevant activity. Applications are filed with the Slovak Ministry of Trade which considers the application in cooperation with other ministries and provides an expert opinion.
Types of projects and criteria To qualify for investment incentives a project must fulfil certain statutory conditions which differ depending on the type of project. Industrial investments, technologic centres, strategic services centre (e.g. centres for computer programme development) and investments in the tourist sector may all qualify for incentives.
If it is reasonable to expect that investment incentives will be granted, the Ministry of Trade delivers a written proposal on the investment incentives to the investor. It is essential to note that if any part of the project commenced before the delivery of the proposal, no investment incentives can be granted subsequently.
The main criteria for granting investment incentives in industrial investments is the opening of a new or expanding or upgrading an existing establishment, or fundamentally changing the production process, or purchasing an enterprise and for no less than SKK 800 million (approximately €24 million) of which at least 50% must be financed from the investor’s own capi-

the basis of their registered office. If a foreigner has business premises in several regions, they may choose at their own discretion which Trade Licence Office to apply to.
Conclusion The continuity in investment incentives is ensured as all decisions relating to investment incentives granted under previous legislation remain unchanged. It is obvious that the aim of the government is to attract more sophisticated investment projects with high value added and research and development centres. It is estimated by the Slovak Government that the total amount of investment incentives granted in the next two years will reach SKK 5.5 billion (approximately €164 million).
Legal persons registering with the Commercial Register are not obliged to prove their legal right to use the real property assigned as their registered office, as this fact is proven when registering with the Commercial Register. Likewise, the duty to have an authorised inspection book in each business premises has been abolished.
CHANGES IN TRADE BUSINESS
Trade Licences The Ministry of the Interior of the Slovak Republic is obliged to publish a list of recommended Trade Businesses subject to notification, including a determination of their content. Under the former system, the Trade Licence Offices proceeded at their own discretion and often non-uniformly, causing endless problems and delays.
The Slovak Parliament has adopted an Amendment to the Trade Business Act which became effective in October 2007. The changes are in response to European legislation, in particular in the area of acknowledging professional qualifications, which have become more liberal. The main changes are as follows.
The Amendment has significantly liberalised the requirement to acquire a Trade Craft Licence (some activities in the building industry are concerned). It is sufficient to acquire the respective education and professional experience is no longer necessary. The professional qualification of persons from EU Member States is acknowledged either automatically upon the submission of required documents or by a decision of the Ministry of the Interior.
Less formalities The main contribution is the set up of Single Contact Offices, which in current practice are Trade Licence Offices. Persons commencing business, or entrepreneurs, may not only request a Trade Licence but may also register for tax and apply for public health insurance. Moreover, they need not evidence their integrity as the Single Contact Offices will check an applicant’s criminal record on the basis of the data provided by them.
With a view to increasing transparency and credibility, all Trade Licences delivered after October 2007 will list only one business activity. In this respect, administrative fees have decreased, e.g. tenfold for a Licence for Trade Businesses subject to notification.
Citizens from EU Member States, the European Economic Area and Switzerland provide an extract from the criminal record of their home state, i.e. the state where they acquired their professional qualification, or from their state of origin, i.e. the state where they were resident before their arrival in Slovakia. It is no longer necessary to submit an extract from the Slovak criminal record.

AIDE À INVESTISSEMENT EN 2008 EN SLOVAQUIE En octobre 2008, le parlement slovaque a adopté une nouvelle Loi sur l’aide à l’investissement. Les provisions de la loi prennent l’effet à partir du 1er Janvier 2008. Les aspects juridiques relatifs à la nouvelle Loi sur l’aide à l’investissement qui seront importants en 2008 sont suivants :
Concernant les centres technologiques, on requiert un investissement d’un montant minimal de 40 millions SKK (1,2 million EUR approximativement) desquels 50% au minimum doivent être financés par des fonds propres et qu’au minimum 60% de la totalité des employés ait une formation universitaire.
Formes et étendue de l’aide à l’investissement
Les investisseurs en centres de services stratégiques demandant une aide à l’investissement sont obligés d’investir plus de 35 millions SKK (1 million EUR approximativement) desquels au moins 50% doivent être couverts par les moyens propres. Au minimum 30% de la totalité des employés doit avoir une formation universitaire.
On peut distinguer quatre formes de l’aide à l’investissement afin de stimuler les investissements commençants et l’emploi : (i) subvention pour l’acquisition des biens corporels et incorporels à long durée, (ii) dégrèvement d’impôt sur le revenu, (iii) contributions aux emplois nouvellement créés et (iv) cession ou échange de l’immobilier pour le prix inférieur à celui au prix du marché.
Les conditions requises relatives aux investissements en tourisme sont semblables à celles requises en production industrielle. Cependant, on fixe une somme minimale de l’investissement à un montant de 500 millions SKK (15 millions EUR approximativement) qui peut être réduite jusqu’à 100 millions SKK (3 millions EUR approximativement).
Le montant de l’aide à l’investissement dépend du taux de chômage dans une certaine région et de la branche économique de l’investissement. Les régions avec le taux de chômage en dessus de la moyenne slovaque et les projets sophistiqués avec la valeur ajoutée supérieure sont préférés.
Aspects procéduraux
Types de projets et critères
L’investisseur est obligé de demander l’aide à l’investissement avant le commencement d’une activité quelconque concernée. On dépose les demandes auprès du Ministère de l’économie de la République slovaque qui considère toutes les demandes en coopération avec les autres ministères et assure la délivrance de l’apport d’expert.
Le projet doit remplir des conditions légales différant du type de projet pour qu’une aide à l’investissement soit accordée à celui-ci. La production industrielle, centres technologiques, centres de services stratégiques (par exemple centres du développement du logiciel) et investissement en tourisme sont qualifiés pour l’aide à l’investissement.
En cas d’hypothèse justifiée que l’aide à l’investissement sera attribuée, le Ministère de l’économie élabore un plan écrit d’attribution d’aide à l’investissement à un investisseur concret. Il est essentiel de remarquer qu’en cas que les travaux sur le projet d’investissement aient commencés avant la délivrance du plan écrit, il n’est ultérieurement possible d’attribuer aucune aide à l’investissement.
La condition essentielle pour qu’une aide à l’investissement soit fournie dans la production industrielle est la création d’une nouvelle entreprise, l’agrandissement d’une entreprise existante, le changement substantiel de la procédure de fabrication ou l’achat d’une entreprise et l’investissement d’un montant dépassant 800 millions SKK (24 millions EUR approximativement) ; au moins 50% de ces investissements doivent être financés en fonds propres d’un investisseur.

vernement slovaque rend la décision définitive si une aide à l’investissement sera accordée ou pas. Il n’existe pas une prétention juridique pour qu’une aide à l’investissement soit attribuée.
Pour les personnes étrangères, la compétence locale de la Chambre des métiers départementale est déterminée en fonction de l’adresse d’exercice de l’activité commerciale. Au cas où une personne étrangère a des ateliers dans plusieurs départements, celle-ci peut choisir librement la Chambre des métiers où elle s’enregistrera.
Conclusion La continuité d’attribution d’aide à l’investissement sera maintenue lorsque toutes les décisions délivrées conformément à la législation précédente restent inchangées. Il est évident que l’objectif du gouvernement est d’attirer les projets sophistiqués avec la valeur ajoutée élevée et les centres de recherche et du développement. Le gouvernement slovaque estime que la somme de l’aide à l’investissement dans le deux années suivantes sera d’un montant total de 5,5 milliards SKK (164 millions EUR approximativement).
Les personnes morales s’enregistrant à la Chambre des métiers ne doivent plus prouver le titre d’usage de l’immeuble notifié comme leur siège social, car ce fait sera prouvé lors de l’inscription au registre du commerce. Par conséquent, ce caractère répétitif de cette formalité est supprimé. De plus, l’obligation d’avoir un livre d’inspection autorisé par la Chambre des métiers dans chaque atelier est annulée.
LES CHANGEMENTS RELATIFS AUX ACTIVITÉS COMMERCIALES
Métiers Le Ministère de l’intérieur de la Slovaquie est obligé de publier une liste des métiers soumis à déclaration ainsi qu’une description de ceux-ci. Les Chambres des métiers avaient jusqu’à présent procédé suivant leur propre considération et souvent en désaccord, ce qui causait des problèmes et délais supplémentaires.
Le Parlement slovaque a récemment adopté un amendement sur la Loi sur les activités commerciales qui a pris effet à partir du mois d’octobre. Les changements effectués répondent également à la législation européenne, notamment dans le domaine de l’acceptation des qualifications professionnelles qui est devenu plus libéral.
Par l’amendement susvisé, on libéralise fondamentalement des conditions pour obtenir la licence d’artisanat (par exemple certaines activités du bâtiment) où on a supprimé l’obligation d’avoir une expérience professionnelle et où il suffit d’acquérir la qualification professionnelle correspondante. La qualification professionnelle des personnes venant d’Etats membres est généralement reconnue en Slovaquie, soit automatiquement en vertu des documents présentés soit par décision du Ministère de l’intérieur.
Moins de formalités La création des Offices Uniques de Contact est un avantage principal ; en pratique, il s’agit des Chambres des métiers déjà existantes. Les personnes commençant leur activité commerciale ou les entrepreneurs peuvent non seulement y demander la délivrance des licences d’activité, mais peuvent aussi s’enregistrer à l’administration fiscale et à l’assurance-maladie. Les personnes physiques ne sont plus obligées de déposer un extrait de casier judiciaire, il suffit de notifier des données exigées et la Chambre des métiers fournira ellemême l’extrait susvisé.
Afin de rendre les licences d’activité plus transparentes et crédibles, les licences d’activité délivrées après octobre 2007 ne contiennent qu’un seul objet social. Dans ce contexte, les frais administratifs relatifs à la délivrance des licences d’activité ont été réduits, par exemple jusqu’à une dixième en cas des métiers soumis à la déclaration.

NOVÁ PRAVIDLA T¯KAJÍCÍ SE VSTUPU A POBYTU CIZINCÒ NA UKRAJINù Dne 11. ãervence 2007 vydal Kabinet ministrÛ Ukrajiny nafiízení ã. 917 o „Zmûnû pfiedpisÛ t˘kajících se vstupu a pobytu cizích státních pfiíslu‰níkÛ a osob bez státní pfiíslu‰nosti na Ukrajinû, jejich v˘jezdu z Ukrajiny a pfiechodu území Ukrajiny jako tranzitní zemû“ (dále jen „Nafiízení”). Nafiízení bylo vydáno v úfiedním vûstníku ukrajinské vlády a vstoupilo v platnost dne 26. ãervence 2007.
(iii) Cizí obãané pocházející ze zemí uveden˘ch na seznamu, kter˘ schválí Kabinet ministrÛ, se musí za úãelem svého pobytu na území Ukrajiny prokázat dostateãn˘mi finanãními prostfiedky (platí jak pro pobyt na Ukrajinû, tak pro tranzit pfies území Ukrajiny). Kabinet ministrÛ v‰ak tento seznam zemí dosud neschválil, a proto toto ustanovení nabude úãinnosti aÏ po jeho schválení.
Nafiízení obsahuje následující zmûny: ii(i) Cizí obãané, ktefií dfiíve smûli vstoupit na území Ukrajiny za úãelem turistiky na základû turistického víza a pob˘vat zde maximálnû 6 mûsícÛ, smí nyní na území Ukrajiny pob˘vat maximálnû 90 dnÛ.
RovnûÏ uplatnûní nového pravidla popsaného v bodû (ii) v˘‰e, zvlá‰tû urãení dne, kter˘ by mûl b˘t povaÏován za poãáteãní den 180denní lhÛty pobytu cizích obãanÛ na Ukrajinû, ktefií do tohoto státu vstoupili v bezvízovém reÏimu pfied datem 26. ãervence 2007, je nadále nejisté.
i(ii) Cizí obãané, ktefií dfiíve smûli vstoupit na území Ukrajiny v bezvízovém reÏimu1 a pob˘vat zde maximálnû po dobu 90 dnÛ (bez omezení poãtu pobytÛ v celkové délce maximálnû 90 dnÛ za rok), smí nyní na území Ukrajiny pob˘vat maximálnû 90 dnÛ v období 180 dnÛ od data prvního vstupu na území Ukrajiny.
Do dne‰ního dne nebyl k tûmto bodÛm vydán Ïádn˘ oficiální v˘klad Kabinetu ministrÛ, ministerstva zahraniãních vûcí ãi imigraãního úfiadu. Domníváme se, Ïe pfiíslu‰né nové pravidlo lze uplatnit pouze na úkony, které byly vykonány poté, co toto nové pravidlo vstoupilo v platnost, tedy po 26. ãervenci 2007.
ii(i) Zam˘‰lí-li tedy cizí obãan pob˘vat na území Ukrajiny po dobu del‰í neÏ 90 dnÛ v daném období 180 dnÛ od data prvního vstupu na území Ukrajiny, musí poÏádat o vízum, a to i v pfiípadû, Ïe doba 90 dnÛ bude pfieru‰ena jeho v˘jezdy z Ukrajiny. TudíÏ, pokud jiÏ cizí obãan, kter˘ vstoupil na území Ukrajiny bez víza, strávil na Ukrajinû 90 dnÛ v prÛbûhu 180 dnÛ od data prvního vstupu, nesmí se na Ukrajinu vrátit dfiíve, neÏ uplyne lhÛta 180 dnÛ.

Ukrajinské obchodní banky mohou zakládat právnické ãi fyzické osoby se sídlem na Ukrajinû i mimo ni. Zakladateli bank nemohou b˘t právnické osoby, které jsou souãástí jiné banky, obãanského sdruÏení, náboÏenské organizace nebo charitativní instituce. Zakladatelé ukrajinsk˘ch bank musí splÀovat kritéria nevyvratitelné dobré obchodní povûsti a dostateãného finanãního zázemí.
Ukrajinsk˘ bankovní systém je dvouúrovÀov˘. Tvofií jej (i) Ukrajinská národní banka a (ii) ostatní ukrajinské banky a poboãky zahraniãních bank. Ukrajinská národní banka (kde je stále zfiejm˘ politick˘ vliv, neboÈ její vedení jmenují buì poslanci parlamentu nebo ukrajinsk˘ prezident) mj. reguluje a dohlíÏí na ãinnosti v‰ech ostatních bank a finanãní a mûnové transakce na Ukrajinû, spravuje státní rejstfiík v‰ech bank registrovan˘ch na Ukrajinû a vydává pfiíslu‰né licence bankám, právnick˘m i fyzick˘m osobám.
V souãasné dobû ãiní minimální v˘‰e základního kapitálu pfii registraci banky 10 milionÛ EUR a poplatek za bankovní registraci ãiní pfiibliÏnû 760 EUR. Vût‰ina bank pÛsobících na Ukrajinû má formu akciové spoleãnosti. Postup zaloÏení a registrace banky jako akciové spoleãnosti je totoÏn˘ s postupem zaloÏení a registrace jakékoli jiné akciové spoleãnosti, ov‰em s tím rozdílem, Ïe Ukrajinská národní banka tuto spoleãnost okamÏitû zaregistruje do státního rejstfiíku bank. Banky pÛsobící na Ukrajinû mohou zahájit svou ãinnost jen na základû státní registrace a licence Ukrajinské národní banky.
Obchodní banky na Ukrajinû bûÏnû poskytují obecné bankovní a finanãní sluÏby. Na základû pfiíslu‰né bankovní licence Ukrajinské národní banky mÛÏe obchodní banka vykonávat ve‰keré bankovní transakce, které mohou b˘t realizovány bez dal‰ího zvlá‰tního povolení Ukrajinské národní banky. Banka nepotfiebuje zvlá‰tní povolení (tj. vedle bankovní licence) napfiíklad za úãelem pfiíjmu vkladÛ od fyzick˘ch a právnick˘ch osob, zfiizování bûÏn˘ch úãtÛ klientÛ ãi investování finanãních prostfiedkÛ sv˘m vlastním jménem. Zvlá‰tní povolení Ukrajinské národní banky je nezbytné za úãelem vedení klientsk˘ch úãtÛ (residentÛ i nerezidentÛ) v národní a zahraniãní mûnû, realizace mûnov˘ch transakcí na ukrajinském i na zahraniãních mûnov˘ch trzích, vydávání vlastních cenn˘ch papírÛ a vkladÛ do základního kapitálu jin˘ch právnick˘ch osob nebo nab˘vání akcií jin˘ch právnick˘ch osob.
ZaloÏení banky se zahraniãním kapitálem podléhá pfiedchozímu souhlasu Ukrajinské národní banky. Banka se zahraniãním kapitálem mÛÏe vzniknout prostfiednictvím pofiízení kapitálového podílu v ukrajinské bance, kter˘ pfiedstavuje minimálnû 10% akcií, investorem ze zahraniãí, anebo mÛÏe zahraniãní investor na Ukrajinû zaloÏit novou banku. Alternativou zaloÏení nové banky na Ukrajinû, coÏ je proces zdlouhav˘, komplikovan˘ a nákladn˘, mÛÏe b˘t registrace poboãky nebo zastoupení zahraniãní banky na Ukrajinû. Aãkoli ukrajinská bankovní legislativa jiÏ umoÏÀuje registraci poboãky ãi zastoupení zahraniãní banky na Ukrajinû, pfiíslu‰ná pravidla vztahující se k zaloÏení poboãky zahraniãní banky na Ukrajinû vstoupí v platnost aÏ ve chvíli, kdy se Ukrajina stane ãlenem Svûtové obchodní organizace (WTO).
Lze pozorovat urãit˘ trend specializace, kdy banky namísto tradiãních, obecn˘ch bankovních sluÏeb poskytují pouze úzce specializované sluÏby. Stávající legislativa obsahuje rámcovou úpravu platnou pro pfiíslu‰né specializované banky (a) spofiitelny (pokud vklady fyzick˘ch osob pfiedstavují více neÏ 50% jejich závazkÛ); (b) investiãní banky; (c) hypotéãní banky; a (d) clearingové banky. i(ii) This new rule limits a stay in Ukraine of a citizen entering under a visafree program to a maximum of 180 days per year.
NEW RULES ON THE ENTRY AND STAY OF FOREIGNERS IN UKRAINE
i(ii) Moreover, foreign citizens entering and staying in Ukraine for employment or living purposes must apply for an immigration visa allowing them to stay in Ukraine for a period exceeding 90 days within each given 180-day period.
On 11 July, 2007, the Cabinet of Ministers of Ukraine issued Decree # 917 on “Changes to the Regulations on the Entry and Stay of Foreign Nationals and Stateless Persons in Ukraine, their Exit from Ukraine and their Transit through the Territory of Ukraine” (“Decree”). The Decree was published in the official journal of the Government of Ukraine and entered into force on 26 July, 2007.
(iii) foreign citizens of countries the list of which the Cabinet of Ministers will approve, must prove their ability to financially support themselves during their stay in Ukraine (both while staying in Ukraine and while transiting through Ukraine). To date, the Cabinet of Ministers has not approved the list of countries and until it does so this provision will remain without force.
The Decree establishes the following changes: ii(i) foreign citizens who were previously allowed to enter Ukraine for tourist purposes on the basis of a tourist visa and who were allowed to stay in Ukraine for no longer than six months may now stay in Ukraine for no longer than 90 days.
Uncertainty remains as to the application of the new rule outlined in point (ii) above, mainly regarding the date that should be considered as the commencement date of the 180-day period for foreign citizens who entered Ukraine under a visa-free program prior to 26 July, 2007.
i(ii) foreign citizens who were previously allowed to enter Ukraine under a visa-free program1 and stay in Ukraine for up to 90 days (without restrictions on the number of stays of up to 90 days per year), may now stay in Ukraine for a cumulative period of up to 90 days within a period of 180 days from the moment of the first entry into Ukraine.
To date, no official interpretation has been issued by the Cabinet of Ministers, the Ministry of Foreign Affairs or the immigration services with respect to this question, however, it is assumed that the new rule will apply only after it comes into force, i.e. after 26 July, 2007.
i(ii) Thus, if foreign citizens intend to stay longer than 90 days in Ukraine during a given period of 180 days counted from the first entry into Ukraine, they must apply for a visa even if the 90-day period was interrupted by exiting Ukraine. Ukrainian commercial banks may be founded by resident and non-resident legal entities or natural persons. However, legal entities which are part of another bank, citizens’ unions, religious organisations or charitable foundations may not found a bank. The banking system in Ukraine is characterised by a two-tier system, consisting of (i) the National Bank of Ukraine and (ii) other Ukrainian banks and branches of foreign banks. The National Bank of Ukraine (which remains highly politicised through the appointment of members by either the Ukrainian Parliament or the President of Ukraine) among other things undertakes the regulation and supervision of actions of all other banks in Ukraine, financial and currency operations and transactions in Ukraine, maintains a State Register of all banks registered in Ukraine, and issues licences to banks, legal entities and natural persons.
Currently, the minimal registered capital required at the moment of registering a bank is €10 million. The fee for registering a bank is currently approximately €760. In Ukraine, banks generally take the form of joint-stock companies. The procedure for establishing and registering a bank in the form of a joint-stock company is identical to the respective procedures of other joint-stock companies, with the exception that the National Bank of Ukraine directly performs the State registration in the State Register of banks. Moreover, Ukrainian banks may only start operations upon State registration and obtaining a licence from the National Bank of Ukraine.
On the other hand, commercial banks in Ukraine commonly provide universal services, i.e. they operate in all possible banking and financial sectors. Subject to obtaining the respective banking licence from the National Bank of Ukraine, a bank may undertake all banking operations and transactions that do not require an additional special permit from the National Bank of Ukraine. Thus, a bank does not require a special permit (i.e. apart from its banking licence) to accept deposits from natural persons and legal entities, to open current accounts for its clients, or to allocate financial means on behalf of itself. Conversely, a special permit from the National Bank of Ukraine is required by a bank to keep clients’ accounts (residents and non-residents) in national and foreign currencies, attract and place currency on the Ukrainian and foreign currency markets, undertake transactions with metals on the Ukrainian and foreign currency markets, issue its own securities or make contributions to nominal registered capital or acquire shares in other legal entities.
The constitution of a bank with foreign capital must be authorised by the National Bank of Ukraine prior to its constitution. A bank with foreign capital may be constituted either through the acquisition by a foreign investor of a capital share in a Ukrainian bank exceeding 10% of the shares or through the establishment of a new bank in Ukraine by a foreign investor. An alternative to the establishment of a new bank in Ukraine entailing a lengthy, cumbersome and costly procedure would be the registration in Ukraine of a branch or representative office of a foreign bank. Although Ukrainian banking legislation has recently provided the possibility to register a branch or representative office of a foreign bank in Ukraine, the rules on establishing a branch of a foreign bank in Ukraine will only enter into force when Ukraine enters the World Trade Organisation.
However, a tendency towards specialisation may be noted, whereby banks provide restricted specialised services instead of the traditional universal services. Current legislation provides framework regulation of certain specialised banks: (a) savings banks (if more than 50% of its liabilities represent deposits by natural persons); (b) investment banks; (c) mort-

à l’obligation d’obtenir un visa, et ce, même si la durée de 90 jours est interrompue par des sorties du territoire ukrainien. Donc, si un ressortissant étranger qui entre sur le territoire de l’Ukraine sans visa et séjourne en Ukraine pendant 90 jours au cours de 180 jours à compter de la première entrée sur le territoire ukrainien, il n’est autorisé à retourner en Ukraine que suite à l’expiration du délai de 180 jours à compter de la date de la première entrée sur le territoire de l’Ukraine.

NOUVELLES RÈGLES CONCERNANT L’ENTRÉE ET LE SÉJOUR DES ÉTRANGERS EN UKRAINE Le Cabinet des Ministres ukrainien a émis le 11 juillet 2007 le Décret n° 917 concernant « La modification des règlements relatifs à l’entrée et au séjour des ressortissants étrangers et des personnes apatrides en Ukraine, leur sortie d’Ukraine et leur transit sur le territoire de l’Ukraine » (indiqué ci-après « le Décret »). Le Décret a été publié dans le Journal officiel et il est entré en vigueur le 26 juillet 2007.
i(ii) Cette nouvelle règle limite concrètement à 180 jours par an au maximum le séjour des étrangers qui entrent et séjournent en Ukraine sans visa. i(ii) Les ressortissants étrangers, qui entrent sur le territoire de l’Ukraine et y restent afin d’exercer un travail ou afin de s’y installer, doivent demander un visa d’immigration sur la base duquel il leur sera permis de séjourner sur le territoire de l’Ukraine pour une durée supérieure à 90 jours dans le cadre du délai de 180 jours.
Le Décret apporte les modifications suivantes : ii(i) Les ressortissants étrangers, qui pouvaient auparavant entrer sur le territoire de l’Ukraine en tant que touristes sur la base d’un visa touristique et y séjourner durant 6 mois au maximum, ne peuvent dorénavant séjourner en Ukraine que durant 90 jours au maximum.
(iii) Les ressortissants étrangers des pays indiqués sur une liste, dont l’adoption définitive par le Cabinet des Ministres ukrainien est attendue, doivent prouver qu’ils disposent de moyens financiers suffisants pour leur séjour en Ukraine (cette règle étant valide tant pour le séjour en Ukraine que pour le transit sur le territoire de l’Ukraine). Le Cabinet des Ministres ukrainien n’a cependant pas encore adopté cette liste, par conséquent cette disposition demeure sans effet légal.
i(ii) Les ressortissants étrangers, qui ne sont pas soumis à l’obligation de visa1 pour entrer sur le territoire de l’Ukraine et y séjourner durant 90 jours au maximum (sans limitation du nombre annuel de séjours d’une durée maximale de 90 jours ), peuvent dorénavant séjourner sur le territoire de l’Ukraine durant 90 jours au maximum au cours d’une période de 180 jours à compter de la date de la première entrée sur le territoire ukrainien.
Par ailleurs, l’application de la nouvelle règle décrite au point (ii) ci-dessus, notamment la fixation du jour qui devrait être considérée comme le premier jour du délai de 180 jours eu égard au séjour des ressortissants étrangers en Ukraine qui n’ont pas d’obligation de visa pour entrer sur le territoire d’Ukraine avant la date du 26 juillet 2007, reste incertaine.
i(ii) Si un ressortissant étranger envisage de séjourner en Ukraine pour une durée supérieure à 90 jours au cours d’une période de 180 jours à compter de la date de la première entrée sur le territoire de l’Ukraine, il sera soumis

de placements d’épargne de personnes morales et physiques, pour l’ouverture de comptes courants des clients ou pour l’investissement de fonds en son propre nom. L’autorisation spéciale additionnelle de la Banque nationale d’Ukraine s’avère par contre indispensable entre autres pour le suivi et la gestion des comptes de clients (résidents et nonrésidents) ouverts en monnaies nationale ou étrangères, pour la réalisation de transactions monétaires sur les marchés monétaires ukrainien et étrangers, pour l’émission de ses propres valeurs et les apports au capitaux sociaux d’autres personnes morales ou pour l’acquisition d’actions d’autres personnes morales.
OPPORTUNITÉS D’INVESTISSEMENT DANS LE SECTEUR BANCAIRE EN UKRAINE L’activité des banques en Ukraine est régie par un ensemble de lois (y compris la Loi sur les banques de l’année 2000 et la Loi sur la Banque nationale d’Ukraine de 1999) qui ont été récemment amendées afin de les conformer tant aux exigences de l’Organisation Mondiale du Commerce (OMC) qu’à celles des autres institutions internationales (financières et bancaires) dont l’Ukraine est désormais membre (soit en tant que membre permanent, soit en tant qu’observateur). Les normes et directives bancaires internationales continuent toujours à jouer un rôle important dans la législation bancaire ukrainienne, notamment depuis que l’Ukraine est devenue membre permanent des organisations internationales comme la Banque Internationale pour la Reconstruction et le Développement (BIRD), la Banque Européenne pour la Reconstruction et le Développement (BERD), l’Agence Multilatérale pour la Garantie des Investissements (AMGI/ MIGA) et enfin la Banque Européenne d’Investissement (BEI).
Il est possible d’observer une certaine tendance de spécialisation où au lieu de services bancaires traditionnels courants, les banques n’offrent que des services très spécialisés. La législation actuelle contient une disposition cadre valide pour les banques spécialisées telles (a) les caisses d’épargnes (lorsque les placements des personnes physiques représentent plus de 50% de leurs engagements); (b) les banques d’investissement; (c) les banques hypothécaires; et enfin (d) les banques de clearing. La banque est qualifiée comme une banque spécialisée lorsque plus de 50% de ses actifs proviennent d’une même source.
Le système bancaire ukrainien fonctionne à deux niveaux. Il est constitué de (i) la Banque Nationale d’Ukraine et des (ii) autres banques ukrainiennes et filiales des banques étrangères. La Banque nationale d’Ukraine (où l’influence politique est encore présente, car sa direction est nommée soit par les députés du Parlement ukrainien, soit par le Président ukrainien), entre autres, régule et supervise les activités de toutes les autres banques et les transactions financières et monétaires en Ukraine, elle administre le registre national des banques enregistrées en Ukraine et délivre les licences correspondantes aux banques, aux personnes morales et physiques.
Les banques commerciales ukrainiennes peuvent être fondées par des personnes morales et physiques dont le siège est en Ukraine ou à l’étranger. Les fondateurs de banques ne peuvent pas être des personnes morales qui participent déjà dans une autre banque, dans une association civique, dans une organisation religieuse ou dans une institution caritative. Les fondateurs de banques ukrainiennes doivent remplir certains critères concernant leur renommée commerciale irréprochable et leur situation financière stable et suffisante. Le montant minimal du capital social pour l’enregistrement d’une banque est actuellement de 10 millions d’euros et le droit d’enregistrement bancaire est environ de 760 euros.
Les banques commerciales en Ukraine fournissent les services bancaires et financiers courants. Sur la base de la licence bancaire délivrée par la Banque nationale d’Ukraine, les banques commerciales peuvent réaliser toutes transactions bancaires qui peuvent être effectuées sans la nécessité d’avoir une autorisation spéciale additionnelle de la Banque nationale d’Ukraine. En effet, outre la licence bancaire, la banque n’a pas besoin d’une autorisation spéciale additionnelle par exemple pour la réception

processus lent, compliqué et coûteux, on peut envisager l’enregistrement d’une filiale ou d’une représentation d’une banque étrangère en Ukraine. Bien que la législation bancaire ukrainienne permette dorénavant l’enregistrement d’une filiale ou d’une représentation d’une banque étrangère en Ukraine, les règles correspondantes concernant la constitution d’une filiale d’une banque étrangère en Ukraine n’entreront en vigueur qu’au moment où l’Ukraine deviendra membre de l’Organisation Mondiale du Commerce (OMC).
