Introductory Word by the CLFA’s Board Chairlady The Czech Leasing and Finance Association (CLFA) supported in 2014, as in the past, through various activities legal interests of member companies and other providers of financial services – financial and operating leasing, credits for entrepreneurial entities and households as well as factoring. The Association organised analyses and undertook respective steps aimed at supporting common views and interests of member companies in the framework of the implementation of the mission and aims inscribed in the Articles of Association of CLFA. CLFA monitored and analysed both long term and topical problems of our financing market. It dealt with legal and economic environment, in which financial transactions were carried out, and helped to disseminate information on non-bank products applicable for financing investments and operations of business entities as well as household needs. It continued its active participation in European federations of non-bank providers of financial products: Leaseurope, Eurofinas and EU Factoring. In accordance with the Articles of Association and with the conclusions of CLFA´s General Assemblies, it contributed to creating conditions for further development of non-bank financing.

Development of non-bank financial market in 2014 In 2014, financial transactions were affected by an economic revival connected with an increase of investments and household spending. In such conditions, the volume of funds provided by the members of CLFA to finance investment, operation of corporations and private consumption has interannually increased and its role and contribution to the financing of business development and household consumption has risen. In 2014, CLFA member companies provided – through leasing, factoring and credits to consumers and businesses – a total of CZK 135,3 billion (by CZK11,95 billion more than in 2013). They provided CZK 98,35 billion to financing investments and operations of business entities, and CZK 36,95 billion to financing goods and services

for households. They entered into 1.042.002 new lease and credit transactions; at the end of 2014, they managed 2.015.407 active lease and credit agreements. They financed technology by the amount of CZK 22,41 billion, and road vehicles by CZK 62,93 billion. In 2014, they financed 41 % newly registered passenger cars. Development of non-bank financing of business entities With the resumption of growth of investment and growth of new viable business projects, a slight year-on-year increase of leasing of movables took place in 2014. CLFA member companies put to the lease machinery, equipment and vehicles for the total purchase price (excluding VAT) CZK 42,13 billion, which represented a yearon-year increase by 17,1 % for the largest 15 companies. They entered into 44.527 new contracts with business entities for leasing machinery, equipment and vehicles for entrepreneurs. The share of operating leases in the total lease of movable investments has continued to grow in the long term: in 2014 it reached 43,7 %. In terms of the commodities, the leasing of passenger cars still dominated (31,4 %), followed by the leasing of trucks (32,6 %) and the leasing of machinery and equipment (23,7 %). At the end of 2014 leases of movables for businesses were taking place on the basis of active 165.415 lease contracts entered into by CLFA member companies. In 2014, another growth of real estate leasing took place. Their volume on the year-on-year basis grew (although from a comparatively low basis) by 59,4 %. CLFA member companies passed on 29 properties to the lease in the total acquisition price of CZK 3,22 billion. In line with existing trends, the growth of non-bank loans and instalment sales for businesses continued in 2014. CLFA member companies provided 67.188 new loans to business entities in 2014 (of which 162 loans were for the acquisition of property) in the total amount of CZK 40,03 billion. On the year-on-year basis, the volume of these loans increased by 15,7 % in the case of the leading fifteen companies. The growth of the share of loan financing in the deals of the CLFA member companies continued. Also factoring business grew in 2014. The claims worth CZK 155,12 billion were referred to the CLFA members, which represented a year-on-year growth of 13,2 %. The funds provided by CLFA mem-
ber companies in factoring transactions reached CZK 16,06 billion as at 31 December 2014. Similar to previous years, recourse-factoring provided. Development of non-bank consumer financing CLFA member companies contributed significantly to financing needs of households in 2014. They entered into 921.119 contracts on consumer loans, under which households were provided a total of CZK 34,94 billion, which represents a year-on-year increase by 1,5 %. This figure was accounted for quite evenly by personal loans (31,7 %), revolving loans (36,5 %) and point of sale funding (31,8 %). In 2014, the share of consumer leasing grew and its share in promoting sales and meeting the needs of households declined. CLFA member companies entered into 7.256 new contracts for consumer leases and short-term rental, under which they passed on to the use | 6 | of consumers movables (mainly passenger cars) of the total acquisition price (excluding VAT) of CZK 2,02 billion – 37,6 % more than in the previous year. CLFA fulfils its mission in compliance with its Articles of Association. Within the framework of its mandate, it is also CLFA which contributes to the development of nonbank financing. It strives for the improvement of the legal framework of financial products provided by member companies, including the tax regime of leasing, nonbank loans for consumers and entrepreneurs and factoring. In 2014, the Association continuously participated in negotiations on modification of legal regulations in force, including drafts of amendments to tax laws, a draft of a substantial amendment to the Act on Insurance Intermediaries and an amendment to the Act on Liability Insurance of Motor Vehicles as well as a new Decree on Registration of Vehicles. CLFA has helped member companies to exchange views and experience on the implementation of the new Civil Code. It applied for an external analyses on regulation of member companies and their financial products and on consistence of the methodology of statists of CLFA with regulation aimed at preservation of economic competition. It continued in efforts aimed at enabling creation of tax reserves for outstandings from credits provided by

non-banking financial institutions. Within the framework of Leaseurope and Eurofinas, CLFA participated in the preparation of the standpoint of the European community of leasing and consumer credit providers regarding legislative projects of the European Commission, including the amendment to the EU directive on insurance mediators, new personal data protection regulation as well as the amendment to the EU directive against money laundering and financing of terrorism. Through Leaseurope, CLFA took an active part in negotiations regarding a new international accounting standard for leasing. The Chairlady of the Board of Directors of CLFA has continued her performance as a representative of Associations from CEE in the Leaseurope Board in period 2013-2014. CLFA processes statistics of trading results and selected financial data of member companies, which represent a unique source of | 7 | information from the respective segments of the domestic financial market not just for member companies but also for state authorities, financial analysts and media. By means of expert committees, CLFA assures the exchange of views, information and experience regarding topical problems of financial products and business environment. The Association disseminates information on financial products intended for business entities and consumers in the media. Through the implementation of the Ethical Code of Conduct of CLFA, it is active in self-regulation of providers of financial products. CLFA efficiently represents interests of member companies in relations with state authorities, general public and associations of other financial service providers or clients, and it contributes to the development and improvement of the Czech financial market. By means of an active membership in European federations of providers of leasing, credits and factoring, it takes part in the influencing in the European framework of the development of such products, it assures the access to corresponding information and the usage of such information in the domestic market. Activities of the CLFA
Abstract from the report of the CLFA board of directors for the members meeting held 30th March 2015 Activities undertaken by the Czech Leasing and Finance Association in previous twelve months focused on the fulfilment of objectives set up in the Articles of Association. The Board of Directors mainly strived for the fulfilment of priorities approved by the CLFA´s General Assembly held on 31st March 2014. Such priorities included the improvement of conditions for the provision of leasing, nonbank consumer credits and factoring. In the legislative area, CLFA made efforts mainly to remove discrimination elements in the tax framework of non-bank financial products and to rationally regulate financial institutions and their products. To promote these goals, it carried out the following: – Charged PwC with preparing a study on the regulation of CLFA member companies and their financial products, and promoted its conclusions in negotiations with the MF, the CNB and other state bodies, and also with the CBA; – Discussed the possibility of tax provisions for bad debts with the MF (with the support of PwC) with regard to loans from non-bank institutions; – Promoted respecting the need of practice in redefining financial leasing in the amendment of the Income Tax Act; – In negotiations with the MF and with the Czech Insurance Companies Association, promoted the consideration of models of insuring funded things in the practice of CLFA member companies in the amendment of the Act on Insurance Brokers; – In the consultations regarding the discussion material of the MF concerning the implementation of EU Directive on residential mortgages, promoted desirable changes of the Consumer Credit Act; – In the consultations regarding the discussion material of the MF concerning the regulation of the entry of consumer credit providers to the financial market, promoted especially the unification of supervision with the CNB, the licensing system, and the non-extending to loans for businesses; – At all available forums, including the seminar of the Chamber of Deputies concerning the usury issues, opposed the ceilings on the APR; – In the discussion with the GFD, it sought respecting the specificity of the CLFA products including factoring in the measures taken within the institute of an unreliable VAT payer, including warranty for an unreliable payer. The CLFA actively acted in the interest of an optimum legal framework for non-bank financial products also in other areas: – It was actively involved in the modification of procedures for the registration and record-keeping of vehicles, and arranged the seminar of the MT for member companies financing road vehicles; – It was involved in the activities of non-governmental entities (including the Chamber of Commerce, the Union of Municipalities, the Association of Collection Agencies, and the Czech Association of Creditors) against the introduction of territoriality in the determination of court executors; – It participated in the meetings of the European leasing community on the content of the upcoming new international standard for leasing. To promote the CLFA priorities in the legislative area and views of the Association regarding the interpretation and application of laws in force, the Board of the CLFA held repeated discussions with representatives of both legislative and executive branch, including: – Correspondents of some parliamentary publications and other Members of Parliament on draft amendments to laws relevant to the CLFA products; – The Minister of Finance on the role of CLFA financial products; – The Deputy Minister of Finance and other MF representatives on tax issues;
– The Deputy Minister of Finance and other MF representatives on the regulation of financial institutions and their products, especially consumer loans; – The Head of the MF Department for Insurance Legislation on the amendment to the law on liability insurance of motor vehicles; – The Vice-Governor of the CNB and other CNB representatives on the regulation, equal conditions for activities of non-bank financial institutions, and risks of non-bank financing; – The Director of an independent Consumer Protection Department of the CNB on the interpretation and application of the Consumer Protection Act; – The Director of the Road Vehicles Department and the Director of the MT Legislative Department on the draft decree on vehicle registration, its interpretation and application; – The Deputy Director of the Department of Financial Analysis on respecting the specificity of the CLFA financial products in the upcoming draft amendment to the law against money laundering and terrorist financing; – The Central Director of the Czech Trade Inspection on the interpretation and application of the Consumer Credit Act. Legislative and other CLFA targets were coordinated and promoted in cooperation with other interest groups. – The coordination with the CBA was irreplaceable (for example in discussing the proposal for APR ceilings or the progress of the financial market regulation; in preparing the FATCA agreement concerning the approach of financial institutions to USA tax residents; and also in the consultations on the EU legislation); – Discussions with the Czech Insurance Companies Association were held about the problems in contacts with the Czech Insurers Bureau and about the draft amendment to the Act on Insurance Brokers. The Memorandum was agreed on the entry to the databases of the Czech Insurers Bureau to identify uninsured vehicles; – Legislative proposals relating to the conditions of operation on roads and obstacles to the sales and financing of cars were discussed with the Car Importers Association; – Cooperation with the Association of Small- and Medium-Sized Enterprises was expanded in order to improve the conditions for utilizing CLFA products by these enterprises and for utilizing CLFA products in drawing grants by traders and small- and medium-sized enterprises; – The CLFA was an active member of the Platform for Responsible Finance associating state authorities, consumer associations and financial associations pursuing financial products for households. In the framework of self-regulation, the CLFA bodies discussed – inter alia – the suggestion of the Council for Radio and Television Broadcasting and of the CNB regarding the television commercials of one of the member companies and a press output of another member company on the change of their respective procedures in funding used cars. Further progress was achieved also in the area of media activities of the CLFA aimed at supporting and promoting financial products offered by the members of the Association: – We proceeded according to the media strategy defining communication objectives, thematic areas and key topics of media activities of the Association, of the CLFA and of the target group, and appropriate communication tools; – In February 2015, the CLFA organized a press conference on the development of non-bank financing in 2014; – In the media, 15 CLFA press releases were published, as well as a number of articles containing opinions of the Association on topical issues of the development and regulation of non-bank financial products. From the last member meeting until the end of February more than

300 texts were published in our media concerning those opinions – more than in the previous period. Representatives of the CLFA repeatedly discussed the Association products in television and radio programmes.

There has been a further shift in the organization of the internal functioning of the CLFA. Expert committees became increasingly involved in the preparation of views of the Association. They analyzed current needs of the non-bank financial market and gave the Board – more frequently than in the previous years – suggestions concerning respective opinions. The establishment of the Committee for Financing Entrepreneurs and the Committee for Operating Lease of Vehicles in April 2014 and the reallocation of the scope of action of their predecessors (the Committee for Financing Machinery and Heavy Traffic Equipment and the Committee for Financing Vehicles of up to 3.5 t) proved to be successful. Cooperation with external experts was extended in preparing CLFA outputs and their enforcement, including background materials for legislative initiatives of the Association. For member companies, another seminar was prepared in cooperation with KPMG on the interpretation and application of the new Civil Code. The Board sought to utilize the CLFA membership in Leaseurope, Eurofinas and EUF. With regard to the limits of the Association’s budget and high cost of membership in Eurofinas – despite the awareness of its benefits – the CLFA Board was forced to terminate this membership on 31 December 2014. In the Leaseurope Council, Ing. J. Tapšíková represented associations from CEE until October 2014. Implementation of priorities approved at the membership meeting as well as current issues of the development of legislation and economy were discussed between the Board and top representatives of member companies on 30 September 2014 at a working meeting and on 8 January 2015 at a New Year’s working breakfast with chairpersons of expert committees. At the November meeting, the Board approved a provisional CLFA budget for 2015. The Association continued the collection, analysis and publication of statistics. Based on the suggestions of several member companies, a study was ordered from Law Office Havel, Holásek and Partners regarding the compatibility of the methodology of CLFA statistics with the Act on the Protection of Competition. Twenty-two member companies got involved in the collection and sharing of selected financial statistics. In the past period, there has been a deepening of the system and expertise in the work of CLFA expert committees. It focused on the current needs of the Association, especially in monitoring and influencing legislative changes. The legislative and legal committee mainly focused on the following issues: – Application of the new Civil Code; – Preparation for the application of the amended Act on the conditions of operation on roads, the preparation of a draft decree on vehicle registration, and the preparation for its application; – Desirable changes in the Act on liability insurance of motor vehicles, including the cancellation of the contribution of the Czech Insurers Bureau for uninsured vehicles; – Amendment to the Act on Insurance Brokers; – Upcoming changes in the Consumer Protection Act and the Consumer Credit Act; – Royalties for “public performance” of car radios on leased vehicles; – Excluding member companies and their products from the FATCA regime; – The CLFA suggestions for the poll “Act of the Year”; – Case law relevant for products of member companies; – Suggestions from the Leaseurope Legal Committee and Eurofinas Legal and Political Committee. The Committee for Tax and Accounting continuously assessed the opinions and suggestions of the CLFA concerning tax amendments, especially the Income Tax Act and the VAT Act. It also discussed other issues of tax and accounting regime relating to the products offered by the members of the Association: – It analyzed relevant changes of tax laws and their impacts on providers of
non-bank financial products, including a new tax scheme of transfer pricing and an adjustment of the scheme of unreliable VAT payer; – It assessed relevant conclusions of the MF Coordination Committed on the interpretation and application of some tax laws; – It monitored the preparation of a new international standard for leasing; – It discussed suggestions resulting from the work of the Leaseurope Accounting and Tax Committee. Statistics Committee – It discussed and approved quarterly and full-year reports on the status and development of the market and other statistical outputs; – It dealt with the methodology of reporting default claims in the CLFA financial products and discussed an aggregated approach to this issue for the CLFA products for the CNB; – It assessed impacts of the study by Law Office Havel, Holásek and Partners concerning the compliance of the methodology of CLFA statistics with the Act on the Protection of Competition. The Consumer Finance Committee discussed the following issues: – Interpretation and application of the Consumer Credit Act; – The CLFA opinion concerning the MF consultation material on the implementation of the EU Directive on residential mortgages, and on the MF consultation material on the regulation of consumer credit providers; – The practice of supervisory authorities in verifying the client’s ability to repay a consumer loan; – Media opinions of the CLFA on the issue of non-bank financial products for consumers; – Suggestions from the Platform for responsible finance; – Suggestions from the Eurofinas Legal and Political Committee. The Committee for Operating Lease of Vehicles discussed the following issues: – The development in the segment of operating lease of vehicles; – The draft decree on vehicle registration and its application; – The cooperation with the Car Importers Association when dealing with claim events in service stations (the Fair-Play concept); – The development in the equipment of vehicles with telecommunications technology; – The use of electronic service logs; – The suggestions from the Leaseurope‘s Automotive Steering Group and Car Leasing Working Group. The Committee for Financing Entrepreneurs dealt with the following issues: – It monitored trends in financing means of production; – It dealt with the use of subsidies in financing business investments using leasing and loans with securing transfer of ownership; – It discussed the draft decree on vehicle registration and its application; – It monitored negotiations on the draft amendment of Act on Insurance Brokers; – It prepared a workshop on current problems of vehicle financing, which took place on 24 June 2014; – It discussed legal regimes of objects that may be considered a part of a real estate under the new Civil Code; – It discussed the suggestions from the Leaseurope‘s Automotive Steering Group and Car Leasing Working Group. The work of expert committees was adversely affected by an insufficient activity of some members and frequent absence of some members of the Committee at their meetings. In the period since the last General Assembly, the Association helped promote common interests of member companies and the development of leases, non-bank loans, instalment sales and factoring in the Czech Republic.
