(dále též "Podnájemce") (hereinafter referred to as the "Subtenant") (Nájemce a Podnájemce společně dále též „Smluvní strany" a jednotlivě „Smluvní strana").
I. Předmět podnájmu 1. Nájemce touto podnájemní smlouvou poskytuje do podnájmu podnájemci byt DISPOZICE číslo X, včetně zařízení a společných prostor bytu č. X, které je podnájemce oprávněn užívat společně s ostatními uživateli bytu č. X, blíže definovaných v Předávacím protokolu, který je nedílnou součástí této smlouvy. Byt č. X se nachází na podlaží č. Z na adrese Vzorová 1, Praha, 12000, Česká republika (dále také jako předmět podnájmu). 2. Nájemce prohlašuje, že je oprávněn s předmětem podnájmu disponovat a poskytovat jej do podnájmu. 3. Nedílnou součástí této smlouvy je Domovní řád (verze 2.0) (dále jen Domovní řád) připojený k návrhu nájemce na uzavření této podnájemní smlouvy tak, že je veřejně dostupný na internetové adrese www.chillhills.cz/domovni-rad po celou dobu procesu uzavírání a rovněž po uzavření této podnájemní smlouvy a bude zaslán podnájemci e-mailem před uzavřením této podnájemní smlouvy. Podnájemce tímto výslovně prohlašuje, že se před uzavřením této smlouvy s Domovním řádem seznámil, porozuměl mu, s jeho obsahem souhlasí a nepovažuje jej za bez rozumného důvodu zvláště nevýhodný pro svou osobu. 4. Nájemce je oprávněn Domovní řád měnit a doplňovat, přičemž vždy, když bude provedena změna/doplnění, bude nová verze Domovního řádu podnájemci oznámena emailem, bude veřejně dostupná na adrese www.chillhills.cz/domovni-rad a bude podnájemci dostupná prostřednictvím jeho zabezpečeného přístupu do webové
(The Tenant and the Subtenant are hereinafter jointly referred to also as the "Contracting Parties" or individually as the "Contracting Party").
I. Object of the sublease 1. According to this agreement, the Tenant hereby subleases to the Subtenant DISPOSITION apartment No. X, including the furniture and common areas of the apartment No. X, which the Subtenant is entitled to use together with other users of the apartment No. X further specified in the Hand-over protocol forming an inseparable part of this agreement. Apartment No. X is located on floor No. Z at the address Vzorová 1, Praha, 12000, Czech Republic (hereinafter as Subject of the Sublease). 2. The Tenant declares that he is entitled to dispose with and sublease the Subject of the Sublease. 3. Rules of the House (version 2.0) (hereinafter as Rules of the House) form an inseparable part of this agreement and are publicly available online at address www.chillhills.cz/domovni-rad during the entire process of concluding and also after the conclusion of this agreement and will be sent to the Subtenant via e-mail prior to the conclusion of this Sublease agreement. The Subtenant hereby expressly declares that prior to the conclusion of this agreement he has acquainted himself with the Rules of the House, understands it, agrees with it, and does not consider it to be particularly disadvantageous for him without a reasonable justification. 4. Tenant is entitled to change and amend the Rules of the House. Should the change/amendment occur, the Subtenant shall be informed about the new version of the

aplikace, který si sám vygeneroval, dostupné na www.flatio.cz/me-bydleni (dále jen webová aplikace). 5. Provedené změny a doplnění Domovního řádu nabývají účinnosti v den uvedený v tomto změněném a doplněném Domovním řádu. Podnájemce je oprávněn provedené změny Domovního řádu odmítnout a závazek z uzavřené podnájemní smlouvy z tohoto důvodu vypovědět s výpovědní dobou 3 měsíce, a to nejpozději ve lhůtě 15 dnů ode dne oznámení provedení změny Domovního řádu nájemcem. Závazek z uzavřené podnájemní smlouvy zanikne uplynutím výpovědní doby, která počne běžet první den měsíce následujícího po doručení výpovědi nájemci a uplyne poslední den třetího měsíce následujícího po doručení výpovědi. Do uplynutí výpovědní doby se práva a povinnosti smluvních stran vyplývající z uzavřené podnájemní smlouvy řídí ustanoveními Domovního řádu bez přihlédnutí k provedeným změnám.
II. Doba podnájmu 1. Podnájem dle této smlouvy se sjednává za podmínky uhrazení jistoty dle čl. III odst. 5 této smlouvy na dobu určitou od 19.02.2017 do 19.02.2018. Podnájemce i nájemce jsou oprávněni tuto podnájemní smlouvu vypovědět bez udání důvodu a to s 3 měsíční výpovědní dobou, která počne běžet prvního dne měsíce následujícího po doručení výpovědi druhé smluvní straně a uplyne poslední den třetího měsíce následujícího po doručení výpovědi. 2. Nájemce je oprávněn i před uplynutím sjednané doby podnájmu tento podnájem vypovědět s výpovědní dobou 10 dnů v případě prodlení podnájemce s placením nájemného, záloh na služby a dalších smluvených peněžních plnění v délce alespoň 15 kalendářních dnů po stanoveném termínu splatnosti a také v případě závažného nebo zvlášť závažného porušení této smlouvy ze strany podnájemce. V případě nepřevzetí výpovědi podnájemcem je tato považována za doručenou 3. dnem po odeslání. Výpověď stanoví termín vyklizení, předání a převzetí bytu. Definice závažného a zvlášť závažného porušení této smlouvy je specifikována v Domovním řádu.
III. Cena za podnájem a služby 1. Nájemné se sjednává ve výši 4 199 Kč za měsíc 2. Cena za služby spojené s užíváním předmětu podnájmu se hradí formou pravidelných měsíčních záloh. Zálohy za služby jsou dohodnuty ve výši 800 Kč za měsíc, souvisejí s užíváním předmětu nájmu a sestávají se z: 580 Kč/měsíc (např. elektřina, plyn, …) 220 Kč/měsíc (služby v domě) 3. Nájemce je oprávněn jednostranně změnit v průběhu trvání sjednaného podnájmu výši záloh na služby v míře odpovídající změně ceny služby nebo z dalších oprávněných důvodů, zejména z důvodu změny rozsahu nebo kvality poskytovaných služeb nebo v rozsahu zvýšeného čerpání služeb ze strany podnájemce.

The changes and amendments made to the Rules of the House shall come to effect on the day stated in the changed and amended version of the Rules of the House. The Subtenant is entitled to refuse the changes to the Rules of the House and to terminate the obligations arising from the concluded Sublease agreement with the termination period of 3 months and at the latest within 15 days from the notification of changes to the Rules of the House by the Tenant. The obligation arising from the concluded Sublease agreement shall be terminated upon the expiration of the termination period, which commences on the first day of the month following the delivery of the termination to the Tenant a expires on the last day of third month following the delivery of the termination. Until the expiration of the termination period the rights and obligations of the contractual parties arising from the concluded Sublease agreement are governed by the Rules of the House with the changes made not being taken into account.
II. Term of the sublease 1. Sublease pursuant to this agreement is agreed for the for a fixed term from 19.02.2017 to 19.02.2018, upon the condition of paying the security deposit pursuant to the Art. III Sec. 5 of this agreement. Tenant and Subtenant are entitled to terminate this agreement without giving a reason in the three-month termination period, which commences on the first day of the month following the delivery of the termination to the Tenant a expires on the last day of third month following the delivery of the termination. 2. The Tenant is entitled to terminate this agreement before the expiration of the term of sublease with the termination period of 10 days in case of default calendar days with the payment of rent, advance payment for services and other financial performances at least 15 after the agreed payment date, or in case of grave and especially grave breach of this agreement by the Subtenant. In a case when the termination is not taken over by the Subtenant, it is to be deemed delivered on the 3rd day after its sending. The date of vacating and handing over of the apartment will be stated in the termination. Grave and especially grave breach of this agreement are defined in the Rules of the House.
III. Price of the sublease and services 1. The agreed rent is 4 199 CZK per month. 2. The price of the services connected to the use of the object of the sublease is to be paid in the form of regular monthly advance payments. The agreed advance payments are

Jednostrannou změnu výše záloh na služby nájemce oznámí podnájemci emailem a rovněž prostřednictvím webové aplikace. V případě podstatného zvýšení záloh na služby nikoliv z důvodu zvýšeného čerpání těchto služeb ze strany podnájemce je podnájemce oprávněn od této smlouvy odstoupit, a to ve lhůtě 15 dnů ode dne oznámení provedeného podstatného zvýšení záloh. Pro tento případ si smluvní strany sjednávají, že za podstatné zvýšení jakéhokoliv peněžního plnění v této smlouvě uvedeného považují zvýšení alespoň o dvojnásobek původní hodnoty. Další podmínky odstoupení od smlouvy stanoví Domovní řád. 4. Podnájemce je povinen hradit nájemné a zálohy za služby pravidelně měsíčně předem, a to vždy ke každému 15. dni předcházejícího kalendářního měsíce. První platba nájemného a zálohy na služby za měsíc únor ve výši 3 774 Kč bude zaplacena převodem nebo vkladem na účet ve prospěch nájemce do 24.02.2017. Podmínky vyúčtování zaplacených záloh na služby jsou uvedeny v Domovním řádu. 5. Podnájemce před uzavřením této smlouvy uhradil nájemci na účet č. 2600793285/2010 nebo v hotovosti částku 0 Kč jako jistotu na krytí případných škod či neuhrazených částek nájemného a služeb souvisejících s užíváním předmětu podnájmu vzniklých v době trvání podnájmu. Údaje pro platbu jistoty: Celková výše platby: 0 Kč Číslo účtu: 2600793285/2010 Variabilní symbol: xxxxxxxxx Specifický symbol: 2222 IBAN: CZ2720100000002600793285 SWIFT/BIC: FIOBCZPPXXX Nájemce je oprávněn jednostranně započíst na pohledávku podnájemce na vrácení složené jistoty svou pohledávku za podnájemcem vzniklou z titulu odpovědnosti k náhradě škody způsobené nájemci či z titulu nezaplaceného nájemného či zálohy za služby, resp. doplatku po

The tenant is entitled to unilaterally change the amount paid for the advance payments for services during the duration of the agreed sublease proportionally to the change of the price of the service or due to other justified reasons, especially due to the change of the volume or quality of the provided services or of the volume of increased drawing of services by the Subtenant. The Tenant will inform the Subtenant about the unilateral change of the amount paid for the advance payment for services via e-mail and also through the web application. In case of significant increase of the advance payments for services due to other reasons than increased drawing of this services by the Subtenant, the Subtenant is entitled to withdraw from this agreement within the period of 15 days after the notification of the significant increase of the advance payments. For this case, the contractual parties have agreed that a significant increase of any financial performance stated in this agreement is deemed to be an increase by double the original values. Further conditions of the withdrawal from the contract are stated in the Rules of the House. 4. Subtenant shall pay the rent and advance payments monthly in advance no later than on the 15th day of the previous month. The first payment of rent and advance payments for services for the month of February in the amount of 3 774 CZK shall be paid by bank transfer or money deposit into the Tenant’s account no later than on 24.02.2017. Details for payment of rent and advance payments for services: Total amount to be paid per month: 4 999 CZK Account number: 2600793285/2010 Variable symbol: xxxxxxxxx IBAN: CZ2720100000002600793285 SWIFT/BIC: FIOBCZPPXXX Subtenant shall indicate the variable symbol when making the payment in order to identify the payment. Billing terms of the advanced payments for services are contained in the Rules of the House. 5. Prior to the conclusion of this agreement, the Subtenant paid the Tenant the amount of 0 CZK to the account No. 2600793285/2010 as a security deposit for covering

vyúčtování záloh na služby, resp. i jakoukoliv jinou pohledávku, která mu vůči podnájemci vznikne, a to od okamžiku, kdy se taková pohledávka nájemce stane splatná. V případě, že dojde k čerpání jistoty a toto bude podnájemci oznámeno, je povinen jistotu doplnit do původní výše do 10ti dnů od doručení oznámení. Smluvní strany se dohodli, že jistota nebude úročena.

6. Dostane-li se podnájemce do prodlení s placením nájemného, záloh na služby, doplatku po vyúčtování záloh na služby či doplatku jistoty po jejím čerpání nájemcem, je povinen uhradit nájemci smluvní pokutu ve výši 2,50 Kč/den prodlení, která odpovídá 0,05% hodnotě z celkové měsíční platby. Sjednaná smluvní pokuta za 10. den prodlení se zvyšuje o 50 Kč. Sjednaná smluvní pokuta za 20. den prodlení se zvyšuje o 150 Kč. Sjednaná smluvní pokuta za 30. den prodlení se zvyšuje o 300 Kč. 7. Smluvní strany dále sjednávají následující smluvní pokuty za porušení těchto smluvních povinností:
The Tenant is entitled to unilaterally set off his claim for any loss caused by the Subtenant or for unpaid rent or payments for services or any other claims towards the Subtenant from the moment when such right to payment becomes due against the Subtenant’s claim for the return of the security deposit.
Nájemce je oprávněn požadovat po podnájemci smluvní pokutu za porušení jeho povinností vyplývajících z čl. II Domovního řádu s výjimkou povinnosti zákazu kouřit uvedené v čl. II zvlášť, ve výši 5 000 Kč za každé jednotlivé porušení smluvní povinnosti.
Tenant and Subtenant agreed that security deposit will not be bear interest.
Nájemce je oprávněn požadovat po podnájemci smluvní pokutu za porušení povinnosti zákazu kouřit v předmětu podnájmu i ve společných prostorách domu (myšleno vnitřní prostory), ve výši dvojnásobku sjednané jistoty. Nájemce je oprávněn požadovat po podnájemci smluvní pokutu za nedodržení času pro nastěhování a vyklizení předmětu podnájmu ve výši 200 Kč za každou započatou hodinu prodlení. Nájemce je oprávněn požadovat po podnájemci smluvní pokutu za porušení povinnosti předat předmět podnájmu perfektně uklizený ve výši 5 000 Kč. V souvislosti s nesplněním podnájemcovy povinnosti vyklidit a předat předmět podnájmu vč. vyklizení společných částí bytu ani do 2 dnů si smluvní strany sjednávají smluvní pokutu ve výši jednoho nájmu, což je 4 999 Kč. 8. Sjednání smluvní pokuty na kterémkoliv místě této smlouvy nemá vliv na právo nájemce požadovat vedle smluvní pokuty i náhradu škody vzniklé z porušení povinnosti podnájemce, ke které se smluvní pokuta vztahuje. Ust. § 2050 občanského zákoníku se neaplikuje. 9. Strany této smlouvy prohlašují, že smlouvu uzavírají dobrovolně, srozumitelně, vážně a určitě, prosti omylu
In case money is drawn from the security deposit and the Subtenant is notified of the drawing, he shall refill the security deposit up to the original amount within 10 days of the notice’s delivery.
6. Shall the Subtenant be in default with the payment of rent, advance payments for services, balance payment for services, or refill of the security deposit he is obliged to pay contractual penalty of 2,50 CZK per day of default, which represents 0,05% of the total amount paid per month. Contractual penalty shall be increased by 50 CZK after the 10th day of the default. Contractual penalty shall by increased by 150 CZK after the 20th day of the default. Contractual penalty shall by increased by 300 CZK after the 30th day of the default. 7. The contractual parties agree on the following contractual penalties for breaches of the following obligations: The Tenant is entitled to claim from the Subtenant a contractual penalty for breach of any obligation pursuant to Art. II of the Rules of the House with the exception of the violation of the prohibition of smoking. The amount paid shall be 5 000 CZK for each breach of the obligation. The Tenant is entitled to claim a contractual penalty from the Subtenant for any violation of the prohibition of smoking within the subject of the rent or the indoor parts of the common area in the amount of two security deposits. The Tenant is entitled to claim a contractual penalty shall the Subtenant fail to move in or move out within the agreed period. The contractual penalty shall be of 200 CZK for each commenced hour of such default.

a žádný z nich nebyl v tísni či pod vlivem jednostranně nevýhodných podmínek, podnájemce také prohlašuje, že je plně způsobilý k právnímu jednání. 10. Tato smlouva se řídí právním řádem České republiky, zejména pak ust. § 2274 a násl. občanského zákoníku, a je sepsána v elektronické podobě v česko-anglickém vyhotovení. 11. Uzavřená podnájemní smlouva včetně Domovního řádu, kterým se řídí, bude u nájemce uložena po celou dobu trvání podnájmu a podnájemce má možnost kdykoliv do ní nahlédnout vč. pořízení si kopie prostřednictvím svého zabezpečeného přístupu do webové aplikace. Tuto smlouvu lze uzavřít pouze v tomto dvojjazyčném znění s tím, že v případě rozporů mezi českým a anglickým textem je rozhodující české znění. Podnájemní smlouva se uzavírá prostřednictvím webové aplikace. 12. Veškerá komunikace mezi nájemcem a podnájemcem bude probíhat zejména skrz webovou aplikaci, nebo e‑mail, ke kterému byl zřízen účet k webové aplikaci.
The Tenant is entitled to claim a contractual penalty shall the Subtenant fail to return the subject of the agreement perfectly cleaned. The contractual penalty shall be of 5 000 CZK. The Tenant is entitled to claim a contractual penalty shall the Subtenant fail to return the subject of the agreement together with vacating the common premises within 2 days. The contractual penalty shall be in the amount of one rent, i.e. 4 999 CZK. 8. Any contractual penalty stipulation does not affect the right of the Tenant to be paid the damages for breach of any obligation which is covered by the contractual penalty. § 2050 of the Civil Code shall not apply. 9. The contractual parties declare that they conclude the agreement voluntarily, comprehensibly, seriously and certainly. Furthermore, the contractual parties declare that neither of them was under duress or influence of unilaterally disadvantageous conditions. The Subtenant further declares that he is of full legal capacity. In witness whereof the contractual parties attach their signatures. 10. This agreement is governed by the Czech law, in particular by § 2274 et seq. of the Civil Code. The agreement is written in an electronic Czech-English form. 11. The Agreement, together with the Rules of the House shall be stored by the Tenant for the whole period of the sublease and the Subtenant shall be able to can at any time examine this agreement, which includes making of a copy through his secure access to the web application. The agreement may only be entered into in this bilingual form. In case of discrepancies between the two versions, the Czech version shall prevail. The Sublease Agreement shall only be entered into by means of the web application. 12. All communication between the tenant and Subtenant shall be carried out with use of the web application or by e-mail for which the web application account was set up.
