MEMORANDUM SALING PENGERTIAN ANT ARA KEMENTERIAN ENERGI DAN SUMBER DAYA MINERAL REPUBLIK INDONESIA DAN KEMENTERIAN PERDAGANGAN, INDUSTRI DAN ENERGI REPUBLIK KOREA MENGENAI KERJA SAMA KOMPREHENSIF SEKTOR MINYAK DAN GAS BUMI
Kementerian Energi dan Sumber Daya Mineral Republik Indonesia (selanjutnya disebut sebagai KESDM) dan f<ementerian Perdagangan, lndustri dan Energi Republik Korea (selanjutnya disebut sebagai MOTIE); sccara bersama-sama disebut sebagai "Para Pihak"
BERKEINGINAN untuk meningkatkan kerja sama di sektor energi, te rutama di
bidang pengembangan dan pemanfaatan minyak dan gas bumi;
MERUJUK
pada
Persetujuan
antara
Pemerintah
Republik
Korea
dan
Pemei"intah Republik Indonesia tentang Kerjc:i Sama di bidang Energi dan Sumber Daya Mineral yang ditandatangar.i di Seoul pada tanggal 30 Maret 2002;
MEMPERTIMBANGKAN
Pernyataan
Bersama
antara
Kementerian
Perdagangan. Perindustrian dan Energi Republik Korea dan Kementerian Energi dan Sumber Daya Mineral Republik Indonesia tentang Pembentukan Forum Energi yang ditandatangani di Jakarta pada tanggal 4 Desember 2006;
SESUAI DENGAN hukum dan perundang-undangan yang berlaku di negara
masing-masing;
TELAH MENYETUJUI hal-hal sebagai berikut:
PASAL1 T UJUAN
Tujuan dari Memorandum Saling Pengertian ini (selanjutnya dirujuk sebagai MSP) yaitu untuk membentuk kerangka umum guna melaksanakan kerja sama komprehensif di bidang pengembangan dan pemanfaatan minyak dan gas bumi, transportasi dan distribusi gas, terminal penerima skala kecil , jaringan pasokan gas, sistem manajemen keamanan gas dan bidang-bidang lainnya di Indonesia berdasarkan asas persamaan dan saling menguntungkan.
PASAL2 BIDANG KERJA SAMA
2.1 .
Untuk mencapai tujuan sebagaimana dimaksud pada Pasal 1, sesuai dengan hukum dan perundang-undangan yang berlaku di negara masing-masing ,
Para
Pihak
sepakat
untuk
melaksanakan
studi
kelayakan untuk menentukan kelayakan dan minat tiap Pihak atas pelaksanaan proyek pada ruang lingkup berikut: a.
Pengadaan gas melalui (i) pengembangan bersama teknologi atau investasi bersama di lapangan-lapangan minyak dan gas bumi meliputi namun tidak terbatas pada gas di lapangan-lapangan Gas Metana Batubara di Indonesia , atau (ii) pemanfaatan lapangan gas dalam
proses produksi
yang
berada
di bawah
pengawasan
Pemerintah Indonesia. b.
Pembangunan sistem logistik gas pada transportasi, distribusi dan industri
berbasis
gas,
serta
penyusunan
sistem
manajemen
keamanan gas. c.
Ruang lingkup lain yang disepakati Para Pihak secara tertulis dan meliputi namun tidak terbatas pada pengembangan lapangan minyak dan gas bumi . produksi gas alam sintesis (SNG) dan pengembangan Dimetil Eter (DME) serta distribusinya.
2.2.
Oalam rangka memfasilitasi studi kelayakan , Para Pihak akan;
a. Memberikan informasi yang relevan dan dukungan yang diperlukan untuk melaksanakan studi kelayakan sebagaimana ditetapkan pada Pasal 2.1 sesuai dengan hukum yang berlaku bagi Para Pihak; b. Setelah penyelesaian studi kelayakan, menilai dan membicarakain hasil studi kelayakan dan bersama-sama menentukan langkalh selanjutnya yang diperlukan guna menerapkan studi kelayakan ; dan c. Dalam rangka penerapan studi kelayakan , mematuhi hukum dan peraturan
Indonesia yang
terkait faktor ekonomi , teknis, dan
lingkungan .
PASAL 3 BADAN PELAKSANA
Badan Pelaksana untuk kerja sama ini adalah: 3.1.
Untuk KESDM: Direktorat Jenderal Minyak dan Gas Bumi; dan
3.2 .
Untuk MOTIE: Direktorat Jenderal Kebijakan Energ i dan Sumber Daya .
PASAL 4 KELOMPOK KERJA UNTUK STUDI KELAYAKAN DAN KERJA SAMA
Untuk tujuan diskusi dan pelaksanaan berbagai macam isu terkait dengan MSP ini. Para Pihak akan membentuk sebuah Kelompok Kerja. Kelompok Kerja dapcit bertemu setidaknya satu (1) kali dalam satu tahun atau lebih sesuai yang diinginkan di Negara salah satu pihak secara bergantian yang akan melibatkan perwakilan dari kedua Pemerintah serta sektor bisnis yang dipimpin oleh pejabat setara Direktur Jenderal di masing-masing Pihak.
PASAL 5 KEWAJIBAN
Dalam rangka mencapai tujuan yang ditetapkan pada Pasal 1, Para Pihak berkewajiban sebagai berikut: a. Keg iatan-kegiatan yang tercantum dalam MSP ini akan bergantung pada ketersediaan sumber-sumber yang diperlukan .
b. MOTIE akan berusaha sebaik-baiknya guna menyediakan bantuan biaya
bagi studi kelayak.an dan meningkatkan kerja sama sesuai
dengan hasil perundingan dengan KESDM. c. KESDM akan memberikan bantuan untuk mendapatkan ijin dan perhatian
yang mungkin diperlukan untuk melaksanakan studi
kelayakan.
PASAL 6 HAK ATAS KEKAYAAN INTELEKTUAL
6.1.
Kekayaan intelektual apapun yang dihasilkan dari pelaksanakan MSP ini harus menjadi milik bersama dan: a. Tiap Pihak wajib diijinkan menggunakan kekayaan intelektual untuk tujuan memelihara, menyesuaikan dan meningkatkan kekayaa:n terkait. b. Tiap Pihak wajib bertanggung jawab atas klaim kepemilikan dan keabsahan
yang
diajukan
oleh
pihak
ketiga
manapun
atas
penggunaan Hak Kekayaan lntelektual yang dibawa oleh pihak tersebut untuk pelaksanaan keg iatan -kegiatan di bawah MSP ini. 6.2.
Jika salah satu Pihak berkeinginan untuk membuka data rahasia dan/atau informasi yang dihasilkan dari kegiatan-kegiatan di bawah MSP ini kepada pihak ketiga manapun, pihak yang bersangkutan harus mendapatkan persetujuan Pihak lainnya sebelumnya.
6.3.
Apabila kekayaan intelektual digunakan oleh pihak dan/atau institusi atas nama pemerintah untuk tujuan komersial , pihak dan/atau institusi tersebut harus memberitahukan kepada Pihak lainnya dan pihak dimaksud berhak memperoleh bagian roya lti yang adil.
6.4.
Apabila salah satu Pihak mengusulkan kerja sama dengan pihak selain Republik Indonesia dan Republik Korea untuk tujuan komersial dari hasil kekayaan intelektual di bawah MSP ini, maka Pihak tersebut akan memberikan pilihan kerja sama yang pertama kepada Pihak lain dalam MSP in!, yang akan dikesampingkan apabila pihak tersebut tidak dapat berpartisipasi berdasarkan asas saling menguntungkan.
PASAL 7 SUIMBER DAYA GENETIK DAN PENGETAHUAN TRADISIONAL
7. 1.
Para Pihak menegaskan kembali bahwa akses pada Sumber Daya Genetik
dan
Pengetahuan
pengumpulannya, dilaksanakan
Tradisional
konservasinya
sesuai
dengan
dan aturan
(SDGPT)
pertukaran dari
termasuk
dari
Konvensi
SDGPT Mengenai
Keanekaragaman Hayati (CBD) terutama pada pri nsip pemberitahuan
terlebih dahulu dan pembagian manfaat secara adil dan merata. 7.2.
Pemegang hak dari SDGPT berhak mendapatkan pembagian yang adil dan merata yang berasal dari penggunaan komersil dan industri dari SDGPT dimaksud . Sarana hukum haruslah tersedia untuk memberikan upaya bagi pemegang hak SDGPT dalam kasus dimana pembagian manfaat secara adil dan merata tidak terlaksana.
PASAL8 PERSETUJUAN PENGALIHAN MATERIAL
Dengan mempertimbangkan hukum dan peraturan yang berlaku di masingmasing Pihak , materi penelitian yang digunakan secara bersama-sama di bawah MSP ini harus dialihkan dengan Persetujuan Pengalihan Material dan harus disepakati oleh Para Pihak. PASAL 9 KERAHASIAAN
9.1.
Setiap Pihak wajib menjaga kerahasiaan semua dokumen , informasi atau data lainnya yang dipertukarkan , diterima atau diberikan secara langsung ataupun tidak langsung oleh para Pihak untuk pelaksanaan MSP ini atau perjanjian lain yang dibuat sesuai dengan MS, kecuali diperjanjikan lain secara tcrtulis oleh Para Pihak.
9.2.
Para Pihak sepakat bahwa ketentuan dalam pasal ini akan terus mengikat antara Para Pihak meskipun MSP ini dihentikan.
9.3.
Ketentuan-ketentuan dalam pasal ini tidak boleh bertentangan dengan hukum dan peraturan yang berlaku di Negara mereka masing-masing.
PASAL10 PEMBATASAN KEG IATAN PERSONIL
Setiap orang yang terlibat dalam keg iatan di bawah MSP ini harus menghormati kemandirian politik, kedaulatan, dan keutuhan wilayah negara kedepannya , dan menghindari kegiatan yang tidak konsisten dengan maksud dan tujuan MSP ini.
PASAL11 PENYELESAIA N PERBEDAAN
Perbedaan apa pun yang terkait dengan penafsiran dari MSP ini harus diselesaikan secara damai melalui konsultasi atau perundingan atas dasar sikap saling memahami dan niat baik antara Para Pihak.
PASAL12 PERUBAHAN
MSP ini dapat diamandemen atau diubah apabila disetujui secara tertulis oleh Para Pihak. Amandemen atau perubahan yang te!ah disetujui oleh Para Pihak harus disampaikan melalui pertukaran nota diplomatik dan berlaku sejak tangga l dimaksud atas persetujuan Para Pihak secara tertulis. Amandamen atau perubahan tersebut wajib menjadi bagian yang tidak terpisahkan dari MSP ini.
PASAL13 MULAI BERLAKU, DURASI, DAN PENGHENTIAN
13.1. MSP ini mulai berlaku pada hari penandatanganannya dan tetap berlaku selama 2 (tahun) tahun kecua li apabila salah satu Pihak memberikan pemberitahuan secara tertu lis 90 hari sebelum tangga l pengakhiran yang diinginkan. 13.2. MSP ini akan berlaku untuk 2 (dua) tahun kecuali apabila salah satu Pihak memberikan pemberitahuan secara tertulis 90 hari sebelum tanggal pengakhiran yang diinginkan.
13.3. Pengakhiran MSP ini tidak boleh mempengaruhi penyelesaian kegiatan kerjasama yang sudah dimulai, selagi MSP ini berlaku, kecuali kalau ditentukan lain bersama-sama secara tertulis oleh Para Pihak.
SEBAGAI BUKTI, yang bertanda tangan di bawah ini, telah menandatangani
Memorandum Saling Pengertian ini.

MEMORANDUM OF UNDERSTANDING BETWEEN THE MINISTRY OF ENERGY AND MINERAL RESOURCES OF THE REPUBLIC OF INDONESIA AND THE MINISTRY OF TRADE, INDUSTRY AND ENERGY OF THE REPll.JBLIC OF KOREA ON COMPREHENSIVE COOPERATION IN THE OIL AND GAS SECTOR
The Ministry of Energy and Mineral Resources of the Republic of Indonesia and the Ministry of Trade, Industry and Energy of the Republic of Korea (hereinafter referred to respectively as "MEMR" and "MOTIE" and collectively as the "Sides"); DESIRING to enhance cooperation in the energy sector, particularly in the area of oil and gas development and utilization; REFERRING to the Agreement between the Government of the Rep ublic of Korea and the Government of the Repub lic of Indonesia on Cooperation in the Field of Energy and Mineral Resources signed in Seoul on 30 March 2002; TAKING INTO AC COUNT the Joint Statement between the Ministry of Commerce, Industry and Energy of the Republ ic of Korea and the Ministry of Energy and Mineral
Resources of the Republic of Indonesia on the
Establishment of the Energy Forum signed in Jakarta on 4 December 2006; PURSUANT to the prevailing laws and regulations of their respective countries; HAVE REACHED the following understandings:
ARTICLE 1 OBJECTIVE
The objective of this Memorandum of Understanding (hereinafter referred to as the "MOU") is to establish a general framework for conducting a comprehensive cooperation in the areas of oil and gas development and utilization, modes of gas transportation and distribution, small scale receiving terminals, gas supply networks, gas safety management systems and other related areas in Indonesia on the basis of equality and mutual benefit.
ARTICLE 2 AREAS OF COOPERATION
2.1.
To achieve the objective set forth in Article 1, the Sides will jointly conduct, in accordance with the prevailing laws and regulations of their respective countries, the feasibility study to determine the feasibility and desirability for each of the Sides of the implementation of projects in the following areas: a. Procurement of gas by means of (i) collaborative development of technology or joint investment in oil and gas fields including, but not limited to, gas in coal bed methane (CBM) field (s) in Indonesia, and (ii) the utilization of gas already in production which is or can be under the control of the Indonesian government; b. Construction of gas logistics systems including , but not limited to, gas based
transportation,
distribution
and
industries,
and
the
establishment of gas safety management systems; and c.
Other areas that may be decided in writing by the Sides including, but not limited to, the development of oil and gas fields , the production of synthetic natural gas (SNG) and the development of dimethyl ether (DME) and its distribution.
2.2
To facilitate the feasibility study, the Sides will: a.
Provide relevant information and necessary support to carry out the feasibility study as specified in Article 2.1, so long as such provision of information and support complies with all applicable laws of both Sides.
b.
Upon the completion of the feasibility study. examine and discuss with each other the result and decide on further actions needed to implement the feasibility study: and
c
For the appropriate implementation of the feasibility study, comply with Indonesia's legal and regulatory frameworks pertaining to economic, technical and environmental matters.
ARTICLE 3 EXECUTING AGENCIES
The executing agencies for this cooperation will be: 3. ·1 .
For MEMR , the Directorate General of Oil and Gas; and
3.2.
For MOTIE, the Directorate General for Energy and Resources Policy.
ARTICLE 4 WORKING GROUP ON FEASIBILITY STUDY AND JOINT COOPERATION
For the purpose of the discussion and implementation of various issues pertaining to this MOU, the Side::> will establish a Working Group. The Working Group will meet at least once a year or more, as deemed necessary, alternately in both countries, wil l inciude representatives of both governments as well as businesses, and wi ll be led by director-general level officials of each Side.
ARTICLE 5 RESPONSIBILITIES
To achieve the objective set forth in Article 1, the Sides will undertake the following responsibilities: a. The Sides understand that the activities mentioned in this MOU will be carried out subject to the availability of the necessary resources. b
MOTIE will make its best efforts to provide financing for the feasibility study and promote joint cooperation in consideration of the results of negotiations with MEMR.
c. MEMR will provide assistance in acquiring the concerns and permits necessary to implement the feasibility study.
ARTICLE 6 INTELLECTUAL PROPERTY RIGHTS 6.1. Any intellectual property arising under the implementation of this MOU will be jointly owned, and: a. Each Side will be allowed to use such intellectual property for the purpose of maintaining , adapting and improving the relevant property. b. Each Side will be liable for any claim made by any third party pertaining to the ownership of or the legality of the use of the intellectual property rights brought by that Side for the implementation of any cooperative activities under this MOU . 6.2.
If either Side wishes to disclose confidential data and/or information arising from the cooperative activities under this MOU to any third party, the disclosing Side must obtain prior consent from the other Side before any d isclosure can be made.
6.3.
In the event that intellectual property is used by a Side and/or institution thereof on behalf of the government for commercial purposes, that Side and/or institution will notify the other Side and the latter will be entitled to obtain an equitable portion of t he royalties.
6.4.
Whenever either Side requires the cooperation of another party outside the Republic of Indonesia and the Republic of Korea for any commercial undertaking resulting from the intellectual property covered by this MOU, that Side will give first preference for the cooperation to the other Side under this MOU , unless the latter is unable to participate in a mutually beneficial manner.
ARTICLE 7 GENETIC RESOURCES AND TRADITIONAL KNOWLEDGE 7.1.
The Sides reaffirm that access to Genetic Resources and Traditional Knowledge (GRTK) including their collection , conservation and exchange of GRTK shall be carried out in accordance with the provisions of the Convention on Biological Diversity (CBD) particularly the principles of prior informed consent and of fair and equitable benefit sharing.
7.2.
The Rights-Holder of GRTK shall be entitled to the fair and equitable sharing of benefits arising out of the commercial or industrial use of such GRTK. Legal means should be available to provide remedies for holders of GRTK in cases where the fair and equitable sharing of benefits has not occurred.
ARTICLE 8 MATERIAL TRANSFER AGRE EMENT
Taking into account the applicable laws and regulations of the Sides' respective countries , research materials used in the collaboration under this MOU will be transferred using a Material Transfer Agreement (MTA) and will be approved by the Sides.
ARTICLE 9 CONFIDENTIALITY 9.1.
Each Side will undertake to observe the confidentiality and secrecy of documents, information and other data received or supplied directly or indirectly to the other Side under this MOU or any other agreements made pursuant to this MOU.
9.2.
The provisions of this Article will continue to be binding between the Sides notwithstanding the termination of this MOU .
9.3 .
The provisions of this Article will not prejudice the prevailing laws and

ARTICLE 10 LIMITATION OF PERSONNEL ACTIVITI ES
Any persons engaged in acth1ities related to this MOU will respect the political independence, sovereignty, and terr itorial integrity of the host country , and will avoid any activities inconsistent with the purposes and objectives of this MOU.
ARTICLE 11 SETTLEMENT OF DIFFERENCES Any differences arising in relation to the interpretation of implementation of th i1s MOU will be settled amicably by consultation or negotiation on the basis of mutual understanding and goodwill between the Sides.
ARTICLE 12 AM ENDMENT This MOU may be amended or modified by mutual written consent of the Sides. The amendment or modification which has been agreed by the Sides will be carried out by the Sides through exchange of diplomatic notes and will come into effect on such date as determined by the Sides in writing. Such amendment will form an integral part of this MOU .
ARTICLE 13 ENTRY INTO FORCE, DURATION, AN D TERMINATION 13.1. This MOU will enter in!o force on the day of its signing and will remain in force for two (2) years unless either Side gives notice, in writing , to the other Side of its intention to terminate this MOU with ninety (90) days prior notice.
13.2. This MOU will continue in force for an additional two (2) years unless either Side gives at least ninety (90) days written notice to the other Side of its intention to terminate this MOU . 13.3. The termination of this MOU will not affect the comp letion of cooperative activities initiated while this MOU is in effect, unless otherwise mutually determined in writing by the Sides.
IN WITNESS WHEREOF , the undersigned have signed this MOU.
DONE at Jakarta . Indonesia. on the twenty sixth day of October in the year 2015, in three (3) original copies in the Korean , Indonesian and English languages, all texts being equally authentic. In case of any divergence, the English text will prevail.
