UMUM

1. GENERAL

a.

Induk Perusahaan PT Merck Tbk (“Perseroan”)

a.

Parent Company PT Merck Tbk (“the Company”)

(i)

Perseroan, berkedudukan di Indonesia dan berlokasi di Jl. T.B. Simatupang No. 8, Pasar Rebo, Jakarta Timur, didirikan dalam rangka penanaman modal asing berdasarkan Undang-Undang No. 1 tahun 1967 jo. Undang-Undang No. 11 tahun 1970, dengan akte notaris Eliza Pondaag SH tanggal 14 Oktober 1970 No. 29. Akte ini disetujui oleh Menteri Kehakiman dengan No. J.A.5/173/6 tanggal 28 Desember 1970, dan diumumkan dalam Tambahan No. 202 pada Berita Negara No. 34 tanggal 27 April 1971.

The Company, is domiciled in Indonesia and located at Jl. T.B. Simatupang No. 8, Pasar Rebo, East Jakarta, was established in the framework of Law No. 1 of 1967 and Law No. 11 of 1970 on foreign capital investment by deed of notary public Eliza Pondaag SH dated 14 October 1970 No. 29. This deed was approved by the Minister of Justice under No. J.A.5/173/6 on 28 December 1970, and published in Supplement No. 202 to State Gazette No. 34 of 27 April 1971.

Anggaran Dasar Perseroan telah mengalami beberapa kali perubahan, perubahan selanjutnya dengan akte notaris Aulia Taufani SH, pengganti Sutjipto SH tanggal 4 Juni 2002 No.)1 mengenai perubahan nama Perseroan dari PT Merck Indonesia Tbk menjadi PT Merck Tbk. Akte ini telah disetujui oleh Menteri Kehakiman dan Hak Asasi Manusia dengan No. C-11973 HT.01.04.TH.2002 tanggal 2 Juli 2002. Perubahan terakhir dilakukan dengan akte notaris Sutjipto SH tanggal 15 April 2008 No. 81. Perubahan ini dibuat untuk mematuhi Undang-Undang No. 40 tahun 2007 tentang Perseroan Terbatas. Akte ini disetujui oleh Menteri Hukum dan Hak Asasi Manusia dengan No. AHU-36704.AH.01.02.Tahun 2008 tanggal 30 Juni 2008. (ii)

Sesuai dengan pasal 3 Anggaran Dasarnya, Perseroan bergerak dalam bidang industri farmasi dan perdagangan. Produksi komersial dimulai tahun 1974.

Penawaran umum efek perseroan

The Company’s Articles of Association have been amended several times, further amendment was effected by deed of notary public Aulia Taufani SH, substitute of Sutjipto SH dated 4 June 2002 No.)1 concerning the change in the Company’s name from PT Merck Indonesia Tbk to PT Merck Tbk. The deed was approved by the Minister of Justice and Human Rights under C-11973 HT.01.04.TH.2002 on 2 July 2002. The latest amendment was effected by deed of notary public Sutjipto, SH dated 15 April 2008 No. 81. The amendment was made to comply with Law No. 40 year 2007 regarding Limited Liability Company Law. This deed was approved by the Minister of Law and Human Rights under No. AHU36704.AH.01.02.Tahun 2008 on 30 June 2008. (ii)

In accordance with article 3 of its Articles of Association, the Company engages in the pharmaceutical industry and trading. The commercial production was started in 1974. The Company’s public offering

Sesuai dengan surat Ketua Bapepam No. SI007/PM/E/1981 tanggal 23 Juni 1981 mengenai Izin Menawarkan Efek di Bursa, Perseroan telah melakukan penawaran umum kepada masyarakat melalui pasar modal sejumlah 1.680.000 saham dengan nilai nominal Rp 1.000 per saham.

In accordance with a letter from the Chairman of the Capital Market Supervisory Agency (“Bapepam”) No. SI007/PM/E/1981 dated 23 June 1981, “Permit to offer shares in capital market,” the Company has publicly offered, through the capital market, 1,680,000 shares with a par value of Rp 1,000 per share.

Sesuai dengan surat Ketua Bapepam No. S-691/PM/1999 tanggal 12 Mei 1999 mengenai “Pemberitahuan Efektifnya Pernyataan Pendaftaran”, Perseroan telah melakukan Penawaran Umum Terbatas I kepada Para Pemegang Saham Dalam Rangka Penerbitan Hak Memesan Efek Terlebih Dahulu yang terdiri dari 16.800.000 saham biasa atas nama. Dengan surat PT)Bursa Efek Jakarta No.)S-167/BEJ-Cat/0599 tanggal 18 Mei 1999 dan surat PT)Bursa Efek Surabaya No. 001/EMT/LIST/BES/V/99 tanggal 17 Mei 1999, telah disetujui untuk dicatatkan di Bursa Efek Jakarta dan Surabaya sebanyak 18.480.000 saham.

In accordance with the letter from Bapepam No. S691/PM/1999 dated 12 May 1999 regarding “Notification that the Registration Statement becomes Effective”, the Company made a Limited Public Offering I to the existing shareholders in connection with rights issue of 16,800,000 common shares. By a letter from PT Bursa Efek Jakarta No.)S-167/BEJ-Cat/0599 dated 18 May 1999 and a letter from PT Bursa Efek Surabaya No.)001/EMT/LIST/BES/V/99 dated 17 May 1999, 18,480,000 of the Company’s issued shares were listed at the Jakarta and Surabaya Stock Exchanges.

Dengan surat PT Bursa Efek Jakarta No. S3662/BEJ.EEM/12-2000 tanggal 13 Desember 2000 dan surat PT Bursa Efek Surabaya No. JKT-019/MKTLIST/BES/I/2001 tanggal 29 Januari 2001, telah disetujui untuk dicatatkan di Bursa Efek Jakarta dan Surabaya tambahan sebanyak 3.920.000 saham. Pencatatan Saham tersebut dilakukan masing-masing pada tanggal 22 Desember 2000 dan 5 Pebruari 2001 sesuai dengan pengumuman No. PENG-241/BEJ-EEM/12-2000 and No.)JKT-002/MKT-LIST-PENG/BES/II/2001 di Bursa Efek Jakarta dan Surabaya, sehingga seluruh saham Perseroan yang beredar, yaitu sebanyak 22.400.000 saham telah dicatatkan seluruhnya di Bursa Efek Jakarta dan Surabaya.

By a letter from PT Bursa Efek Jakarta No. S3662/BEJ.EEM/12-2000 dated 13 December 2000 and a letter from PT Bursa Efek Surabaya No. JKT-019/MKTLIST/BES/I/2001 dated 29 January 2001, it was agreed that an additional 3,920,000 shares of the Company be listed at the Jakarta and Surabaya Stock Exchanges. Laporan keuangan merupakan konsolidasi dari laporan keuangan induk perusahaan PT Merck Tbk dan anak perusahaannya, PT Multiredjeki Kita, dengan persentase pemilikan sebesar 99% untuk tahun berakhir 31 Desember 2007.

The financial statements represent the consolidation of the financial statements of the parent company, PT Merck Tbk and its subsidiary, PT Multiredjeki Kita with an ownership interest of 99% for the year ended 31 December 2007.

Transaksi-transaksi yang signifikan dan saldo diantara kedua perseroan tersebut telah dieliminasi dalam laporan keuangan konsolidasi.

Pada April 2008, Perseroan menjual 99% kepemilikannya di PT Multiredjeki Kita kepada pihak ketiga, dan Perseroan masih memiliki hak atas hasil usaha perusahaan sampai dengan April 2008. In April 2008, the Company sold its 99% ownership interest in PT Multiredjeki Kita to a third party, and the Company still had the right on the subsidiary’s operation results through April 2008. Accordingly, the statements of income, changes in shareholders’ equity and cash flows for the period from January to April 2008 represented the consolidation results, while the balance sheet as of 31 December 2008 was not a consolidated balance sheet. c.

Cost of raw materials, packing materials and merchandise goods is computed using the average method.

Cost of finished goods is computed based on standard production cost, which approximates average actual production cost. Cost of work in process is computed based on standard production cost, which approximates average actual production cost, proportional to their stage of completion.

Penyisihan atas nilai persediaan slowmoving ditetapkan berdasarkan penelaahan manajemen atas keadaan persediaan pada akhir tahun.

Allowance for slow-moving inventories is provided based on management’s review of the inventory’s status at year end. e.

e. Aset tetap

Fixed assets

Hak atas tanah dinyatakan sebesar harga perolehan dan tidak diamortisasi. Biaya legal dan biaya-biaya lain untuk memperoleh perpanjangan hak atas tanah diamortisasi selama 30 tahun dengan metode garis lurus.

Land rights are stated at cost and are not amortized. Legal fees and other expenses related to the renewal of land rights are amortized for 30 years using the straight-line method.

Sesuai dengan Peraturan Pemerintah No. 45 tahun 1986 tanggal 2 Oktober 1986, per 1 Januari 1987 Perseroan melakukan revaluasi atas aset tetap berwujud yang diperoleh sampai dengan tanggal 12 September 1986. Selisih penilaian kembali sebesar Rp 1.302.735.208 (disetujui oleh Inspeksi Pajak Penanaman Modal Asing pada tahun 1989) dan disajikan sebagai Selisih Penilaian Kembali Aset Tetap pada bagian ekuitas dalam neraca. Aset yang dinilai kembali disajikan sebesar nilai baru akuntansi dan disusutkan dengan menggunakan nilai baru ini sebagai dasar penyusutan.

In accordance with Government Regulation No. 45/1986 of 2)October 1986, the Company has, as of 1 January 1987, revalued its fixed tangible assets acquired through 12)September 1986. The revaluation increment amounted to Rp 1,302,735,208 (approved by the Foreign Capital Investment Tax Inspection in 1989) and is presented as Revaluation Increment in the shareholders’ equity section of the balance sheet. The revalued assets are presented at their new accounting values and are depreciated using these new values as the basis.

Pada tahun 2008, Perseroan menerapkan PSAK No. 16 (revisi 2007) “Aset Tetap”, dan mereklasifikasi seluruh saldo selisih Penilaian Kembali Aset Tetap tersebut ke saldo laba (Catatan 14). Perseroan menggunakan model biaya untuk mengukur aset tetap sebagai kebijakan akuntansinya dan menerapkan kebijakan tersebut terhadap seluruh aset tetap dalam kelompok yang sama.

In 2008, the Company implemented SFAS No. 16 (revised 2007) “Fixed Assets”, and reclassified the remaining balance of the revaluation increment to retained earnings (Note 14). The Company uses the cost model to measure its fixed assets as its accounting policy and apply that policy to an entire class of fixed assets.

Aset tetap yang sudah tidak digunakan lagi atau yang dijual, dikeluarkan dari kelompok aset tetap yang bersangkutan, sedangkan laba atau rugi yang terjadi dibukukan dalam laporan laba rugi tahun yang bersangkutan. f. Aset dalam penyelesaian Aset dalam penyelesaian dinyatakan sebesar biaya perolehan. Fixed assets which are no longer utilized or sold are removed from the related group of fixed assets, and the gains (losses) are recorded in the current year’s statement of income.

Biaya dibebankan dalam laporan laba rugi termasuk biaya jasa kini, biaya bunga, hasil ekspektasi aset program, amortisasi biaya jasa lalu dan keuntungan atau kerugian aktuaria. 8. INVESTMENT PROPERTY

Merupakan hak atas tanah seluas 49.120 m2 di Desa Setu, Serpong, Tangerang, Jawa Barat, HGB 232, 233 dan 248, yang diperoleh pada tahun 1997. Per 31 Desember 2007, hak atas tanah tersebut disajikan sebagai aset tetap yang tidak digunakan. Pada tahun 2008, Perseroan menerapkan PSAK 13 (revisi 2007), “Properti investasi”, dan mengklasifikasikan hak atas tanah tersebut sebagai properti investasi karena tanah yang dikuasai saat ini belum ditentukan penggunaannya di masa depan.

Represents land for an area of 49,120 sq.m. at Desa Setu, Serpong, Tangerang, West Java, HGB certificates No. 232, 233 and 248, which was acquired in 1997. At 31 December 2007, the land was presented as unutilized fixed assets. In 2008, the Company implemented SFAS 13 (revised 2007), “Investment property”, and reclassified the land as investment property due to the land held for a currently undetermined future use.

Jumlah tercatat properti investasi (harga perolehan) pada tanggal 31 Desember 2008 dan 2007 adalah sebesar Rp 10.015.285 ribu.

The carrying amount of investment property (acquisition cost) at 31 December 2008 and 2007 was amounted to Rp 10,015,285 thousand.

Nilai wajar properti investasi pada tanggal 31 Desember 2008 adalah sebesar Rp 58.944.000 ribu. Nilai wajar tersebut didasarkan atas penilaian oleh penilai independen.

Rapat Umum Tahunan Pemegang Saham Perseroan tanggal 2 April 2009 (risalah dibuat oleh Aulia Taufani SH, pengganti notaris Sutjipto SH, dengan akte No. 7) memutuskan untuk membagikan dividen akhir tahun 2008 tunai sejumlah Rp 5.350 per saham.

Defined benefit pension plan

Perseroan dan anak perusahaannya telah mendirikan program pensiun imbalan pasti ("Program") yang pesertanya meliputi seluruh karyawan tetap Perseroan dan anak perusahaannya. Program tersebut menyediakan manfaat pensiun yang akan dibayarkan pada saat karyawan yang berhak mulai pensiun, yang jumlahnya terutama tergantung pada masa kerja dan kompensasi pada saat karyawan tersebut mulai pensiun dari Perseroan dan anak perusahaannya.

The Company and its subsidiary have established a defined benefit pension plan (the "Plan") that covers all permanent employees of the Company and its subsidiary. The Plan provides for benefits to be paid to eligible employees at retirement based primarily upon years of service with the Company and its subsidiary and remuneration on retirement.

Perseroan membayarkan iurannya kepada Dana Pensiun Merck Indonesia.

The Company makes contributions to the Merck Indonesia Pension Fund.

Obligation Under Labor Law

Berdasarkan peraturan ketenagakerjaan Indonesia (UndangUndang No. 13/2003) Perseroan dan anak perusahaan diharuskan untuk memberikan manfaat pensiun minimum, jika belum dipenuhi oleh program pensiun yang diselenggarakan, kepada para pegawainya yang mencapai usia 55 tahun.

Under Indonesian labor regulations (Law No. 13/2003), the Company and its subsidiary are required to provide a minimum pension benefit, if not already covered by the sponsored pension plan, to their employees upon retiring at the age of 55.

Penghargaan masa kerja

Perseroan memberikan penghargaan dalam bentuk emas kepada karyawan yang telah memenuhi syarat masa kerja tertentu. Penghargaan tersebut diberikan pada saat karyawan mencapai masa kerja tertentu.

The Company provides gold award for its employees who meet certain length of service requirement. The benefits are given at the time the employee reaches certain anniversary dates during employment.

24.

IKATAN-IKATAN a.

24. COMMITMENTS

Pada tahun 1982, Perseroan mengadakan Perjanjian Lisensi dengan Merck KGaA (sebelumnya E..Merck), Jerman. Melalui perjanjian ini, Perseroan diharuskan untuk membayar royalti sebesar: -

a.

1% dari penjualan bersih atas produk-produk lisensi; dan 3% dari penjualan bersih atas produk-produk lisensi baru selama jangka waktu 5 tahun terhitung sejak produk tersebut dipasarkan di Indonesia

Kecuali ada pembatalan melalui perjanjian bersama kedua belah pihak, perjanjian lisensi tersebut berlaku untuk setiap produk lisensi sampai waktu yang tidak ditentukan terhitung dari tanggal produk lisensi tersebut dijual.

In 1982, the Company entered into a License Agreement with Merck KGaA (previously E..Merck), Germany. Under this agreement, the Company has to pay royalty of: -

1% of net sales of such licensed products, and

-

3% of net sales of such new licensed products within 50years of the launching of related products in Indonesia

Unless terminated by mutual agreement of the parties, the License Agreement shall be effective for each licensed products for an undefined period of time starting with the date of commencing sales of the respective licensed product.

b.

Pada tahun 2006, Perseroan mengadakan Perjanjian Distribusi, menggantikan Perjanjian Distribusi tanggal 23 Mei 1985, dengan PT Millenium Pharmacon International Tbk (“MPI”). Melalui perjanjian ini, Perseroan setuju untuk menunjuk MPI sebagai distributor nasional dari produk-produk farmasi Merck di Republik Indonesia. Perjanjian ini berlaku mulai tanggal 1 Januari 2007 dan berlaku terus sampai dengan 31 Desember 2009. Perjanjian ini kemudian dengan sendirinya akan diperpanjang untuk periode satu tahun berikutnya kecuali salah satu pihak memberikan pemberitahuan secara tertulis enam bulan sebelum tanggal berakhirnya perjanjian.

b.

In 2006, the Company entered into a distributorship agreement, in replacement of a distributorship agreement dated 23 May 1985, with PT Millenium Pharmacon International Tbk (“MPI”). Under this agreement, the Company agreed to appoint MPI as its nation wide distributor of its pharmaceuticals products limited only for the territory of Republic Indonesia. This agreement shall come into force on 1 January 2007 and shall remain in effect until and expire on 31 December 2009. Thereafter, this agreement is automatically renewed for period of one year, unless either party gives a written notice at least six months prior to the expiration date of the agreement.

c.

Dalam tahun 1991, Perseroan mengadakan Perjanjian Distribusi dengan PT Borwita Indah, PT Multi Husada, PT.Mestika Sakti, dan PT0Banyumas. Melalui perjanjianperjanjian tersebut, Perseroan setuju untuk menunjuk perseroan-perseroan tersebut di atas sebagai distributor regional produk-produk farmasi Merck. Perjanjianperjanjian tersebut berlaku sejak 1991 dan dengan sendirinya akan diperpanjang kecuali salah satu pihak memberikan pemberitahuan dua minggu sebelum tanggal berakhirnya perjanjian-perjanjian tersebut.

c.

During 1991, the Company entered into distributorship agreements with PT Borwita Indah, PT Multi Husada, PT0Mestika Sakti, and PT Banyumas. Under those agreements, the Company agreed to appoint those companies as its regional distributors. These agreements became effective since 1991 and will be extended automatically unless either party gives a notice two weeks prior to the expiration dates of the agreements.

Pada tahun 2006, Perseroan mengadakan Perjanjian Distribusi, menggantikan Perjanjian Distribusi tanggal 26 Desember 1996, dengan PT Perusahaan Dagang Tempo (“Tempo”). Melalui perjanjian ini, perseroan setuju untuk menunjuk Tempo sebagai distributor nasional dari produk-produk farmasi Merck di Republik Indonesia. Perseroan menyetujui bahwa selain dari MPI dan Tempo, tidak ada tambahan distributor lainnya yang akan ditunjuk oleh Perseroan sebagai distributor nasional. Perjanjian ini berlaku mulai tanggal 1 Januari 2007 dan berlaku terus sampai dengan 31 Desember 2009. Perjanjian ini kemudian akan diperbaharui secara tertulis melalui perjanjian bersama antara Perseroan dan Tempo untuk setiap periode tiga tahun berikutnya.

d.

In 2006, the Company entered into a distributorship agreement, in replacement of a distributorship agreement dated 26 December 1996 with PT Perusahaan Dagang Tempo (“Tempo”). Under this agreement, the Company agreed to appoint Tempo as its nation wide distributor of its pharmaceuticals products limited only for the territory of Republic Indonesia. The Company agreed that, other than MPI and Tempo, no other or additional nation wide distributor shall be appointed. This agreement shall come into force on 1 January 2007 and shall remain in effect until and expire on 31 December 2009. Thereafter, it may be renewed by mutual written agreement of the Company and Tempo for successive periods of three years each.

In 1998, the Company entered into an informal license agreement with Lipha SA, France for marketing Lipha’s product in Indonesia.

f.

Perseroan mengadakan Perjanjian Keagenan dengan Merck KGaA, Jerman dimana Perseroan bertindak sebagai agen tunggal untuk semua produk kimia Merck di Republik Indonesia, mencari kontrak-kontrak baru dan bertindak sebagai perantara atas transaksi-transaksi dengan pelanggan produk-produk Merck di Indonesia dan selanjutnya mencari, mempromosikan, dan mengembangkan hubungan usaha dengan pelangganpelanggan Merck di Indonesia. Sebagai imbalan atas jasajasa tersebut, Perseroan akan menerima komisi. Perjanjian ini berlaku untuk periode satu tahun ke depan dan akan diperpanjang setiap tahun kecuali salah satu pihak memberikan pemberitahuan tertulis paling lambat enam bulan sebelum perjanjian ini berakhir.

f.

The Company entered into an Agency Agreement with Merck KGaA, Germany that the Company acts as sole agent for all Merck’s chemical products in the Republic of Indonesia, seeks contracts and acts as an intermediary in transactions with customers of Merck products within Indonesia and furthermore to seek, promote and cultivate a business relationship with Merck’s customers in Indonesia. In return for these activities, the Company will receive a commission. This agreement shall be effective for a period of one year and be renewed annually unless a written notice is given by either party six months prior to the end of each contract year.

g.

Pada tahun 2002, Perseroan mengadakan Perjanjian Lisensi dengan The Boots Co (Far East) Pte., Ltd., Singapura (“Lisensor”) yang diberi wewenang oleh Almirall Hermal GmbH (dahulu Hermal Kurt Herrmann GmbH & Co.) untuk menunjuk pabrikan dan penerima lisensi atas produk lisensi. Melalui perjanjian tersebut, Perseroan diharuskan untuk membayar beban lisensi sebesar 1% dan beban servis sebesar 10% dari penjualan bersih atas produk-produk lisensi. Perjanjian tersebut efektif secara retroaktif pada tanggal 1 Oktober 2000 dan berlaku terus sampai 30 September 2005 dan untuk periode satu tahun kedepan kecuali dibatalkan sesuai dengan perjanjian tersebut.

g.

In 2002, the Company entered into a License Agreement with The Boots Co (Far East) Pte., Ltd., Singapore (“The Licensor”) which is authorized by Almirall Hermal GmbH (previously Hermal Kurt Herrmann GmbH & Co.) to appoint manufacturers and licencees for the licenced products. Under this agreement, the Company has to pay license fee of 1% and service fee of 10% of net sales of such licensed products. This agreement became effective retroactively on 1 October 2000 and shall continue in effect through 30 September 2005 and thereafter for successive period of one year, unless otherwise terminated in accordance to this agreement.

h.

Pada tahun 2002, Perseroan mengadakan perjanjian pembuatan produk pharma dengan Merck KGaA, Jerman. Dalam perjanjian ini, Perseroan akan membuat dan menjual beberapa produk pharma kepada anggota grup Merck (CMG) atau pelanggan pokok di wilayah yang ditetapkan oleh Merck KGaA. Perjanjian ini mulai berlaku pada tanggal 1 Januari 2002 dan akan berakhir setelah tiga tahun dan dengan sendirinya akan diperpanjang untuk periode satu tahun berikutnya kecuali salah satu pihak memberikan pemberitahuan tertulis paling lambat enam bulan sebelum perjanjian ini berakhir.

h. In 2002, the Company entered into a manufacturing contract with Merck KGaA, Germany for several pharmaceutical products. Under this agreement, The Company shall manufacture and sell several pharmaceutical products to the member of the Merck Group (CMG) or the ultimate customers in the territory as directed by Merck KGaA. The agreement shall come into force on 1 January 2002 and ends after three years and shall be extended automatically for further one year period unless either party gives a written notice at least six months prior to the expiration of the agreement.

Pada tahun 2003, Perseroan mengadakan perjanjian jasa konsultasi, manajemen dan teknis dengan Merck KGaA. Melalui perjanjian ini, Perseroan akan membayar jasa konsultasi. Perjanjian ini berlaku selama satu tahun dimulai pada tanggal 1 Januari 2004 sampai dengan 31 Desember 2004 dan untuk periode satu tahun ke depan kecuali dibatalkan oleh salah satu pihak melalui pemberitahuan tertulis delapan minggu sebelum berakhirnya perjanjian ini.

In 2003, the Company entered into a consultancy, managerial and technical service agreement with Merck KGaA. Under this agreement, the Company shall pay a consultancy fee. This agreement shall remain in force for a period of one year commencing from 1 January 2004 until 31 December 2004 and thereafter for a successive period of one year, unless either party gives a written notice at least eight weeks prior to the expiration of the agreement.

Pada tahun 2004, Perseroan mengadakan Perjanjian Lisensi dengan Merck Selbstmedikation GmbH, Jerman. Melalui perjanjian ini, Perseroan diharuskan untuk membayar royalti sebesar:

In 2004, the Company entered into a License Agreement with Merck Selbstmedikation GmbH, Germany. Under this agreement, the Company has to pay royalty of:

1% dari penjualan bersih atas produk-produk lisensi, dan

-

1% of net sales of such licensed products, and

-

3% dari penjualan bersih atas produk-produk lisensi baru selama jangka waktu 5 tahun terhitung sejak produk tersebut dipasarkan di Indonesia.

3% of net sales of such new licensed products within 5 years of the launching of related products in Indonesia.

Kecuali ada pembatalan melalui perjanjian bersama kedua belah pihak, perjanjian lisensi tersebut berlaku untuk setiap produk lisensi sampai waktu yang tidak ditentukan terhitung dari tanggal produk lisensi tersebut dijual.

Unless terminated by mutual agreement of the parties, the License Agreement shall be effective for each licensed product for an undefined period of time starting from the date of commencing sales of the respective licensed product.
