Conditions for the Auction A of Virtual Storage Capacity for the 2012 Storage Year (1 Auction on the 2nd of February)
1.) Introductory Information MND a.s. (hereinafter “MND”) will auction a Virtual Storage Capacity Service ervice (hereinafter, the “Service”) for the period 01 April 2012 06:00 o’clock until 1 April 2013 06::00 o’clock. The storage capacity shall be provided as a flexibility service at the Czech Virtual Trading Point (a virtual storage). Hence the successful participant will not bear any TSO costs to transport the gas between the trading point and the storage itself. The virtual tual storage capacity Service meets the “Security of Supply” requirement since it is based on physical storage within the Czech Republic. The amount of virtual storage torage to be auctioned is 10 0 million cubic meters (10,000,000 m3), and will be held in an Auction on 2 February, 2012 at 10:00 CET. Please note that upon a successful auction, a the participant will need to agree a “Gas Flexibility Service Agreement” Agreement which will state ate the working gas volumes in kWhs kWh using a constant of 10.629 kWh/m3 for the conversion of units. The virtual capacity will be auctioned using a website auction platform. A backup solution will be available. There will be one auction, with WGV to be auctioned with predetermined flexibility parameters. The full details of the offering and the mechanisms for participation are described below. 2.) After approval of participation in the auction, a company will have the right to submit bids for the service offered. MND will be the service provider for all successful participants in the auction, MND MN will open an account for the successful bidder of the virtual storage product, and MND will be the responsible counterparty for all activities such as nominations, re-nominations, re nominations, etc. The beginning amount nt of gas in storage will be zero and the virtual storage must be emptied by the customer at the end of the period.

If the Customer requests to inject or to withdraw gas outside the basic periods the Customer shall undertake to reimburse the Storage Operator for the presented esented and justified contingent additional costs associated with such change.

The Auction Procedure Timeline of events The initial marketing of the virtual storage product will will begin on Wednesday, January 25, with the delivery of marketing and information materials. Registration of interested bidders will take place as described in 2.a. The auction will take place as described in 2. c). c) The mechanism to determine the winning allocations is described thusly: 1. The participants enter the bids in the particular rounds in the form of a percentage of the total offered Working gas volume. 2. The auction will start in the first round with the participants entering their bids for volumes to be sold for the initial offering price. 4. The allocation of volumes to the participants will proceed in up to three steps: a. Each of the participants will be allocated the volume of his bid in the final round for the price of this round.

4) Legal Notices 1. MND has taken the greatest possible care in compiling these Conditions of Participation. Neither MND, its management or advisers, nor any other persons, give any guarantee or assurance, express or implied, of the completeness or correctness of the content of these Conditions of Participation.
2. Collaboration between different companies prior to the auction may lead to exclusion from the bidding procedure. 3. Any participant that bids and is successful in procuring capacity through the auction process but does not sign the “Gas Flexibility Service Agreement”, will be required to pay a penalty calculated as 20% of the value of the bid capacity. 4. All bidders are obliged to treat all information they obtain in the context of the auction confidential. All information information concerning time refers to Central European Time ("CET"/"CEST"). 5. MND shall have the right to take all necessary legal steps against particpants that do not abide by these conditions.

I.
Subject-matter
1) Under the terms and conditions below, the Trader shall make gas available to the Participant and accept gas supplied and returned, or gas only supplied (with a take-back take back obligation), by the Participant ticipant at the agreed quantity and delivery point (hereinafter referred to as the “Flexibility “ Service”). 2) The Trader’s obligation to make gas available and to accept gas shall be deemed fulfilled if the Trader arranges, for the Participant, the delivery delivery or taking of gas (according to the buyer’s requirement on the relevant date) at the agreed quality and agreed quantities at the delivery point under the present Agreement, which, under the established principle of accountability for any deviation at the delivery point, shall constitute the due submission of a daily nomination/renomination (in the Market Operator’s relevant information system for nominations). 3) The Participant shall return to the Trader gas supplied by the Trader or shall take back from the Trader gas supplied to the Trader at the agreed quality and shall pay the agreed price for the Flexibility Service under the terms and conditions laid down in the present Agreement. 4) In the performance of the present Agreement, the Parties shall proceed proceed in accordance with the current and effective wording of the Transmission System Operator Rules and the relevant regulations issued by the Market Operator (hereinafter referred to as “OTE “OTE”). In the event of any changes to those documents, the wording in effect effect on the date of performance or, in case of delay in performance, on the date on which performance is meant to be provided, shall apply to the Parties’ procedure. II.
Trader’s obligations
1) During the flexibility period, the Trader shall make available to the Participant, on a daily basis, the following daily gas delivery quantity WR:
if Sd / WGV MWh > 0.38 the maximal daily gas delivery quantity is WR = WRmax MWh if Sd / WGV MWh < 0.38 the maximal daily gas delivery quantity is WR = [(Sd / WGV)*2,0292+0,2222] * WRmax MWh On days immediately preceded by a day on which the Sd value is less than WR for this day, the obligation of the Trader to make gas available shall be reduced to the Sd value of the immediately preceding day. The Sd value shall be determined as Sd = 0 – D (expressed in MWh). 2) During the flexibility period, the Trader shall accept from the Participant, on a daily basis, the following daily gas delivery quantity IR: if So / WGV MWh > 0.3 the maximum daily accepted gas quantity is IRmax MWh if So / WGV MWh < 0.3 the maximum daily accepted gas quantity is IRmax /2 MWh On days immediately preceded by a day on which the So value is less than IR for this day , the obligation of the Trader to accept gas shall be reduced to the So value of the immediately preceding pre day. The So value shall be determined as So = WGV MWh + D (expressed in MWh). 3) “D” means the cumulative sum of all daily gas quantities (in MWh) supplied/taken during the flexibility period at a delivery point under the present Agreement; in all cases, the quantity of gas taken by the Participant shall have a plus sign and the quantity of gas taken by the Trader shall have a minus sign. The flexibility period shall commence on April 1st 2012 at 6:00:00 hours and end on April 1st 2013 at 6:00:00 hours.
4) The parameters of the flexibility service provision are defined as follows: WRmax = YYY MWh/d IRmax = ZZZ MWh/d WGV = XXX MWh 5) The basic period for injection shall be from 01 April 2012 (06:00 CET) to 01 October 2012 (06:00 CET) and the basic period for withdrawal shall be from 01 October 2012 (06:00 CET) to 01 April 2013 (06:00 CET). If the Participant requests to inject or to withdraw gas outside the basic periods the Participant shall undertake to reimburse the Trader Trader for the presented and justified contingent additional costs associated with such change.
III.
Participant’s obligations
1) In the flexibility period, the Participant, on a daily basis, shall deliver returned gas (enter the appropriate nomination), the quantity quantity of which shall not exceed the maximum take value WR, or
shall only deliver gas (enter the appropriate nomination) to be taken back, the quantity of which shall not exceed the maximum take value and, in respect of the cumulative cumulat value of D, a quantity of xxx (minus sign).
2) In the flexibility period, the Participant, on a daily basis, shall take gas from the Trader (enter the appropriate nomination), the quantity of which shall not exceed the maximum delivery IR and, in respect of the cumulative value of D, a quantity of xxx (plus sign).
IV.
Delivery point
1) In the provision of the Flexibility Service, the Parties shall deliver/take gas at the following delivery point: virtual trading point.
2) The method for determining and evaluating the quantity of gas delivered/taken at the delivery point shall be laid down in the applicable generally binding legal regulation and, where appropriate, in the applicable regulation issued by OTE.
3) Further to the state of the regulations referred to in paragraph 2 as at the first effective date of the present Agreement, the principle of accountability for any deviation in “what is nominated is delivered/taken with the matching of the nominations of the Participant and Trader in the same number” (the OBA principle) shall be established; this means that at this point there shall be no deviation (nomination = delivery), delivery), and therefore there shall be no accountability for any difference.
4) In the event that the principle of accountability for differences referred to in paragraph 3 is changed, the Parties shall amend the present Agreement so as to properly take into account the new principle by the first day of effect of the new principle. The Parties shall amend the present presen Agreement in such a manner that the new wording of the Agreement corresponds, in terms of the balance of obligations and rights, as much as possible to the original text.
5) In the provision of the Flexibility Service, the Trader and the Participant shall supply s gas at a quality consistent with the Transmission System Operator Rules. V.
Nominations
1) In connection with the performance of take and delivery obligations under the Flexibility Service, both Parties shall enter (each Party separately) nominations/renominations for the delivery point in the information system CS OTE (hereinafter referred to as “CS OTE”) in the manner laid down in the applicable generally binding legal regulation, with the modifications (limitations) set forth in the following owing paragraphs of this article. 2) In all cases, the Participant shall enter all values of nominations/renominations under the present Agreement in CS OTE for each gas day at least one hour before the deadline for this nomination/renomination in the applicable applicable generally binding legal regulation. If the Participant via the nomination/renomination is switching from making available gas to the Trader to accepting gas from the Trader, or vice versa, this term is prolonged to five (5) hours. The trader may waive this
extension of the nomination/renomination term For the relevant delivery point, in CS OTE the Participant shall enter, for nominations in the “sell” column, a daily amount in the range from 0 to the maximum take value for the relevant day for which the the nomination is submitted (Day D), with the cumulative value of D limited to a maximum of xxx MWh (minus sign). For the relevant delivery point, in CS OTE the Participant shall enter, for nominations in the “buy” column, a daily amount in the range from 0 to the maximum supply value for the relevant day for which the nomination is submitted (Day D), with the cumulative value of D limited to a maximum of xxx MWh (plus sign). 3) In addition to the provisions of paragraphs 1 and 2, the following shall also apply appl to all nominations/renominations renominations submitted by the Participant: the last nomination/renomination shall be submitted no later than at 1:30 p.m. p. on the gas day for which it is submitted. 4) The Participant has at the right to submit a re-nomination, re provided that hat the following conditions are met: a. the Participant submits the relevant re-nomination re nomination no later than one (1) hour before the respective time limit specified under Articles 10.10.2 to 10.10.5 of the Network Code; and b. in relation to continuous re-nominations re ons pursuant to Article 10.10.5 of the Network Code, the Participant shall also ensure that each re-nomination re nomination complies with the conditions set out in Article 10.11 of the Network Code, Code, with the following parameters entering the formula defined therein: i.
calculation alculation as at one (1) hour after the moment of the submission of the rere nomination to CS OTE by the Participant or five (5) hours, if the Participant via the nomination/renomination is switching from making available gas to the Trader to accepting gas from the Trader, or vice versa. The trader may waive this extension of the nomination/renomination term.

In the place of the parameter Ksj the maximal daily gas delivery quantity for the relevant day in the case of making gas available by the Trader,or the maximum daily accepted gas quantity for the relevant day in the case of accepting gas by the Trader. 5) If nominations/renominations are entered by the Participant in accordance with paragraphs 1 to 4, the Trader shall enter, in the CS OTE for nominations, for the relevant delivery point, the same value in the “buy” or “sell” column (as the case may be); otherwise the Trader shall enter a value that will cause the Trader the least loss. 6) Should either Party arty cause a nomination/renomination to be registered at OTE in the process of the submission of nominations/renominations and the reconciliation thereof which is inconsistent with this article, that Party shall be liable for non-delivery non or non-taking (a breach of Article II or III) thereby caused. Furthermore, a Party which enters or intends to enter a nomination/renomination in conflict with this article shall notify the other Party thereof in an appropriate way without undue delay. 7) The contact persons and nd relevant contact details (e-mail, (e mail, telephone, fax) are listed in Article XI of the present Agreement.
VI.
Flexibility Service price
1) The price of the Flexibility Service provided under the present Agreement shall be set by agreement of the Parties in the amount of CZK xxx per month for each month in which the Agreement remains in effect (hereinafter referred to as the “Flexibility Service Price”). Any and all taxes and charges under generally binding legal regulations shall be added to t that price.
VII.
Terms of payment
1) The Participant shall pay the Flexibility Service Price, including all taxes and charges under generally binding legal regulations monthly in arrears by bank transfer further to an invoice issued by the Trader no earlier than an on the first day of the month immediately following the month for which it is paid. 2) The Flexibility Service Price (including all taxes and charges) shall be payable within 14 days of service of the said invoice. 3) In case of delay in a monetary transaction transaction provided for under the present Agreement, the Party in default shall pay the other Party default interest of 0.05% of the amount due per day of delay inclusive. Where default interest is not paid with the (main) monetary liability, the liable Party shall sha pay such interest within 14 days of service of the billing thereof to the address of that Party.
VIII.
Exceeding the value of D
1) If, on the last effective date of the present Agreement, the value of D is lower than 0 (it has a minus sign), the Trader shall pay, for each MWh of gas not taken back by the Participant, a price equal to the price quoted on the last effective date of the present Agreement as the “LEBA NCG MonthMonth ahead Index” minus EUR 4 per MWh. If the price is not quoted on that day, the price from the nearest preceding day on which the price was quoted shall be used. The “LEBA NCG Month-ahead Month Index” is an index expressed in EUR/MWh and published by the London Energy Brokers’ Association. 2) The price of gas under this article, including all taxes and charges under generally binding legal regulations, shall be paid by the relevant Party by bank transfer further to an invoice issued by the other Party no earlier than on the first day of the month immediately following the last effective day of the present Agreement. That price of gas (including all taxes and charges) shall be payable within 14 days of service of the said invoice. invoi
IX.
Reduced storage capacity and maintenance
1) The Trader has the right to limit or interrupt in an unavoidable extent the provision of the service according to this Contract to the extent such a limitation or interruption is granted by the Energy Law (§ 60 Art. 1) to the Storage System Operator with which the Trader has a valid contract of the storage of natural gas. 3) In the case, where the provision of the service according to this Contract is limited and it is not possible to adjust (lower) the nominations, in the extent of the limitation, limitation in accordance with the Participant, the quantities of gas made available/accepted by the individual Participants on the Virtual Trading Point will be lowered based on a PRO RATA rule. rule. X.
Amendments to and duration of the Agreement
1) The present Agreement is executed in two copies; c each of the Parties shall receive one copy. c Unless otherwise provided by the present Agreement, all amendments to the present Agreement shall be made by the Parties in the form of addenda to the present Agreement, numbered in ascending order. 2) The present Agreement shall be concluded for a fixed period, effective until the end of the flexibility period. The Parties may agree, in accordance with the preceding paragraph, to extend the flexibility period.
XI.
Passage and transfer of rights and obligations
1) The rights and obligations established by the present Agreement shall pass to any legal successors of the Parties. 2) The full or partial transfer of rights and obligations under the present Agreement to a third party, including pledges of receivables arising from from the present Agreement, shall be possible only with the prior written consent of the contractual partner. Consent to the transfer of rights and obligations under the present Agreement shall not be necessary in the event that, on the basis of a generally binding inding legislation (the Energy Act), the Trader, as part of the unbundling of the gas storage operator, hives off activities (the relevant licences) relating to gas trading or gas production.

XIII.
Final provisions

uzavírají podle § 269 odst. 2 a násl., zákona č. 513/1991 Sb., a v návaznosti na zákon č. 458/2000 Sb. (energetický zákon), a příslušných prováděcích předpisů k energetickému zákonu, vše ve znění pozdějších předpisů tuto Smlouvu o poskytnutí služby flexibility dodávky plynu (dále jen“Smlouva“)
I.
Předmět smlouvy
1) Obchodník se zavazuje za dále uvedených podmínek dát k dispozici Účastníkovi plyn a plyn dodaný a vracený nebo plyn jen dodaný (se závazkem zpětného odběru) Účastníkem převzít a to v dohodnutém množství a předávacím místě (dále jen „ služba flexibility“). 2) Závazek Obchodníka dát k dispozici plyn a plyn převzít se považuje za splněný, pokud Obchodník zajistí Účastníkovi přistavení nebo odebrání plynu (podle požadavku kupujícího v příslušném dni) v dohodnuté kvalitě a v dohodnutých množstvích množstvích na předávacím místě podle této Smlouvy, což v zavedeném principu odpovědnosti za odchylku na předávacím místě znamená řádné podání denní nominace/renominace (v příslušném informačním systému pro nominace Operátora trhu). trhu) 3) Účastník se zavazuje vrátit tit Obchodníkovi jím dodaný plyn nebo odebrat od Obchodníka zpět plyn, který mu dodal, a to v dohodnuté kvalitě, a zaplatit za službu flexibility dohodnutou cenu, a to za podmínek uvedených v této Smlouvě. 4) Smluvní strany se zavazují při plnění této Smlouvy Smlouvy postupovat v souladu s platným a účinným zněním Řádu provozovatele přepravní soustavy a příslušnými předpisy vydávanými Operátorem trhu (dále jen „OTE“). V případě změn těchto dokumentů bude pro postup stran rozhodující znění, které je účinné v den, kdy je plnění prováděno, a v případě prodlení s plněním v den, kdy plnění mělo být provedeno. II.
Závazky Obchodníka
1) Obchodník se zavazuje dát k dispozici Účastníkovi v období flexibility denně denní dodávkové množství plynu WR v následující výši: když Sd / WGV MWh > 0,38 38 je maximální množství plynu dané k dispozici WR = WRmax MWh když Sd / WGV MWh < 0,38 38 je maximální množství plynu dané k dispozici WR = [(Sd / WGV)*2,0292+0,2222] * WRmax MWh Ve dnech, jimž bezprostředně předchází den, ve kterém platí, že hodnota Sd je menší než hodnota WR pro tento den, se závazek Obchodníka dát k dispozici plyn snižuje na hodnotu Sd bezprostředně předcházejícího dne . Hodnota Sd se stanoví jako Sd = 0 – D (vyjádřeno v MWh).
2) Obchodník se zavazuje převzít od Účastníka v období flexibility denně denní dodávkové množství množ IR plynu v následující výši: když So / WGV MWh > 0,3 3 je maximální množství převzatého plynu IR = IRmax MWh když So / WGV MWh < 0,3 je maximální množství převzatého plynu IRmax /2 MWh Ve dnech, jimž bezprostředně předchází den, ve kterém platí, že hodnota So je menší jak IR pro tento den,, se závazek Obchodníka Obchodníka převzít plyn snižuje na hodnotu So bezprostředně předcházejícího dne . Hodnota odnota So se stanoví jako So = WGV + D (vyjádřeno v MWh). 3) „D“ je kumulativní ativní součet všech denních množství plynu (v MWh), která byla dodána/odebrána v období flexibility na předávacím místě dle této Smlouvy, přičemž množství plynu odebraná Účastníkem mají vždy znaménko „+“ a množství plynu odebraná Obchodníkem mají vždy znaménko znam „-“. Období flexibility - začíná 1.4.2012 v 06:00:00 hodin a končí 1.4.2013 v 06:00:00 hodin 4) Parametry poskytování služby flexibility dle této Smlouvy jsou stanoveny následovně: WRmax = YYY MWh/d IRmax = ZZZ MWh/d WGV = XXX MWh 5) Základním obdobím pro vtláčení plynu je 01 duben 2012 (06:00 SEČ) do 01 října 2012 (06:00 SEČ) a základním obdobím pro těžbu plynu 01 října 2012 (06:00 SEČ) do 01 dubna 2013 (06:00 SEČ). V pěrípadě, že účastník požaduje vtláčení nebo těžbu plynu mimo tyto základní období, o uhradí Účastník Obchodníkovi případné doložené a opravněné dodatečné náklady spojené s realizací této požadavky.
III.
Závazky Účastníka
1) Účastník se zavazuje v období flexibility denně dodat vrácený plyn (zadat příslušnou nominaci) jehož množství nepřesáhne esáhne výši hodnoty max. odběru WR nebo jen dodat plyn (zadat příslušnou nominaci), který zpětně odebere, jehož množství nepřesáhne výši hodnoty max. odběru a v kumulované hodnotě D množství xxx (znaménko -).
2) Účastník se zavazuje v období flexibility denně denně odebrat od Obchodníka plyn (zadat příslušnou nominaci) jehož množství nepřesáhne výši hodnoty max. dodávky IR a v kumulované hodnotě D množství xxx (znaménko +).
IV.
Předávací místo
1) V rámci poskytování služby flexibility se smluvní strany zavazují dodávat/odebírat plyn na následujícím předávacím místě: virtuální obchodní bod.
2) Způsob stanovování a vyhodnocování množství dodaného/odebraného plynu na předávacím místě je uveden v příslušném ném obecně závazném právním předpise a případně v příslušném předpise vydávaným OTE.
3) Dle stavu předpisů uvedených v odstavci 2 k prvnímu dni účinnosti této Smlouvy je v předávacím místě zaveden princip odpovědnosti za odchylku „co je nominováno je dodáno/odebráno dodáno/ se spárováním nominací Účastníka a Obchodníka v stejné číslo“ (princip OBA), který znamená, že na tomto bodě nevzniká odchylka (nominace = skutečnost), a tedy ani odpovědnost za ni.
4) V případě, že bude princip odpovědnosti za odchylku uvedený v odstavci stavci 3 změněn, jsou smluvní strany povinny upravit tuto Smlouvu tak, aby řádně zohlednila nový princip nejpozději do prvého dne účinnosti nového principu. Úpravu Smlouvy jsou smluvní strany povinny provést tak, aby nový stav Smlouvy odpovídal z hlediska vyváženosti závazků a práv co nejvíce původnímu znění.
5) Obchodník a Účastník se zavazují v rámci poskytování služby flexibility dodávat plyn v kvalitě odpovídající Řádu provozovatele přepravní soustavy. V.
Nominace
1) V souvislosti s plněním odběrových a dodávkových závazků v rámci služby flexibility jsou obě smluvní strany povinny zadávat (každá strana samostatně) nominace/renominace pro předávací místo v informačním systému CS OTE (dále jen „CS „ OTE“) “) způsobem uvedeným v příslušném obecně závazném právním předpise a s úpravami (omezeními) uvedenými v následujících odstavcích tohoto článku. 2) Účastník vždy zadává veškeré hodnoty nominací/renominací v rámci této Smlouvy v CS OTE na každý plynárenský den nejméně jednu (1) hodinu před termínem stanoveným pro tuto tut nominaci/renominaci v příslušném obecně závazném právním předpise. Pokud Účastník nominací/renominací mění odevzdávání plynu na přebírání, nebo obráceně, prodlužuje se tato lhůta na pět (5) hodin. Obchodník se může vzdát práva na prodloužení této lhůty. Účastník se zavazuje zadávat pro příslušné předávací místo v CS OTE pro nominace v kolonce „prodávám“ denní množství v rozsahu 0 – hodnota max. odběru pro příslušný den, na který se nominace podává (den D), s omezením kumulativní hodnoty D v maximální výši xxx MWh (znaménko -). Účastník se zavazuje zadávat pro příslušné předávací místo v CS OTE pro nominace v kolonce „nakupuji“ denní množství v rozsahu 0 – hodnota max. dodávky pro příslušný den, na který se nominace podává (den D), s omezením kumulativní hodnoty h D v maximální výši xxx MWh (znaménko +). +) 3) Kromě ustanovení odstavců 1. a 2. platí zároveň pro veškeré nominace/renominace podávané Účastníkem následující: poslední nominace/renominace bude podána nejpozději v 13:30 plynárenského dne, na který je podávána. podá 4) Účastník má právo podat renominaci za následujících podmínek: a. Účastník zadá renominaci nejpozději jednu (1) hodinu před časovým limitem specifikovaným v článcích 12.10.2 až 10.10.5 Řádu provozovatele přepravní soustavy; a
b. U kontinuálních renominací dle Článku 10.10.5 Řádu provozovatele přepravní soustavy Účastník taky zajistí, že každá renominace bude v souladu s podmínkami stanovenými v Článku 10.11 Řádu provozovatele přepravní soustavy, přičemž do výpočtu bude vstupovat i.
čas podání renominace do systému systému OTE zvýšený o jednu (1) hodinu, resp. o pět (5) hodin, pokud Účastník nominací/renominací mění odevzdávaní plynu na přebírání, nebo obráceně. Obchodník se může zříct prodloužení této lhůty.
ii. namísto parametru Ksj maximální množství plynu dané k dispozici dispoz pro daný den v případě dání plynu k dispozici Obchodníkem, resp. maximální množství převzaného plynu pro daný den v případě přebírání plynu Obchodníkem. 5) V případě, že nominace/renominace budou zadány Účastníkem v souladu s odstavci 1až 4 výše, zavazujee se Obchodník zadávat pro příslušné předávací místo v CS OTE pro nominace stejnou hodnotu v kolonce „nakupuji“ nebo „prodávám“ (podle povahy věci), v opačném případě zadá Obchodník takovou hodnotu, která mu způsobí nejmenší újmu. 6) V případě, že kteroukolii stranou bude způsobeno, že v procesu podávání nominací/renominací a jejich sesouhlasení bude u OTE zaregistrována nominace/renominace, která je v rozporu s tímto článkem, pak tato strana nese odpovědnost za nedodávku nebo neodběr (porušení čl.II. nebo III.) II tímto způsobenou. Zároveň strana, která zadá nebo hodlá zadat nominaci/renominaci v rozporu s tímto článkem, je povinna bez zbytečného odkladu vhodným způsobem o této skutečnosti informovat druhou stranu. 7) Kontaktní osoby a příslušná spojení (e-mail, (e telefon, fax) jsou uvedeny v čl. XII. této Smlouvy.
VI.
Cena za službu flexibility
1) Cena za službu flexibility dodávaná dle této Smlouvy je stanovená dohodou smluvních stran ve výši xxx Kč/ měsíc pro každý měsíc účinnosti Smlouvy (dále jen „cena „ za službu flexibility“). flexibility K této ceně budou připočteny veškeré daně a poplatky stanovené obecně závaznými právními předpisy.
VII.
Platební podmínky
1) Účastník se zavazuje hradit cenu za službu flexibility,, včetně všech daní a poplatků stanovených obecně závaznými právními předpisy, měsíčně zpětně, bankovním převodem na základě daňového dokladu vystaveného Obchodníkem nejdříve 1. dne měsíce bezprostředně následujícího po měsíci, za který je placeno. 2) Splatnost ceny za službu flexibility (včetně všech daní a poplatků) je nejpozději později do 14 dnů od doručení uvedeného daňového dokladu. 3) V případě prodlení s plněním svých peněžitých závazků dle této Smlouvy se smluvní strana, která je v prodlení, zavazuje uhradit druhé smluvní straně úrok z prodlení ve výši 0,05% z dlužné částky za každý i jen započatý den prodlení. Pokud úroky z prodlení nebyly uhrazeny spolu s peněžním
závazkem (hlavním), je povinna příslušná smluvní strana je uhradit do 14 dnů ode dne doručení jejich vyúčtování na adresu této strany.
VIII.
1)
Překročení hodnoty D
V případě, že v poslední den účinnosti této Smlouvy bude hodnota D menší než 0 (bude se záporným znaménkem), zavazuje se Obchodník zaplatit za každou MWh plynu, který Účastníkem nebyl odebrán zpět, cenu ve výši ceny kotované v poslední den účinnosti této Smlouvy S jako „LEBA NCG Month-ahead ahead Index“ snížené o 4 EUR/MWh. Nebude-li Nebude v tento den cena kotována, použije se cena z nejbližšího předchozího dne, ve kterém byla tato cena kotována. Přičemž „LEBA NCG MonthMonth ahead Index“ je index vyjádřený v EUR/MWh publikovaný ný London Energy Broker’s Association.
2) Cena za plyn dle tohoto článku včetně všech daní a poplatků stanovených obecně závaznými právními předpisy bude hrazena příslušnou smluvní stranou bankovním převodem na základě daňového dokladu vystaveného druhou smluvní smluvní stranou nejdříve 1. dne měsíce bezprostředně následujícího po posledním dni účinnosti této Smlouvy. Splatnost této ceny za plyn (včetně všech daní a poplatků) je nejpozději do 14 dnů od doručení uvedeného daňového dokladu.
IX.
Snížení poskytování služby a údržba
1) Obchodník má právo omezit nebo přerušit v nezbytném rozsahu poskytování služby dle této Smlouvy v rozsahu, ve kterém omezení nebo přerušení umožňuje Energetický zákon (§ 60 odst. 1) provozovateli zásobníku plynu se kterým má Obchodník uzavřenou smlouvu o uskladňování plynu. 2) V případě, kdy dojde k omezení poskytování služby dle této Smlouvy a nebude možné po dohodě s Účastníkem upravit (zkrátit) nominace dle rozsahu omezení, bude zavedeno pro krácení odevzdaného/převzatého množství plynu pro jednotlivé Účastníky na virtuálním obchodním bodě pravidlo PRO RATA. Po dobu platnosti režimu PRO RATA bude Účastníkovi Obchodníkem alokováno a Operátorovi trhu zasláno množství odevzdaného/převzatého plynu.
X.
Změny a trvání Smlouvy
1) Tato Smlouva je vyhotovena ve dvou exemplářích, z nichž každá smluvní strana obdrží po jednom. Nestanoví-lili tato Smlouva jinak, všechny změny a doplňky k této Smlouvě musí být smluvními stranami vyhotoveny formou písemného a vzestupně číslovaného dodatku ke Smlouvě. 2) Tato Smlouva se uzavírá na dobu určitou s účinností inností do konce období flexibility. Smluvní strany se
mohou dohodnout v souladu s předchozím bodem, že období flexibility prodlouží.
XI.
Přechod a převod práv a závazků
1) Práva a povinnosti smluvních stran založené touto Smlouvou přechází na případné právní nástupce smluvních stran. 2) Úplné či částečné převedení práv a závazků z této Smlouvy na třetí osoby včetně zastavení pohledávek z této Smlouvy plynoucích je možné jen s předchozím písemným souhlasem smluvního partnera. Souhlasu k převedení práv a závazků z této Smlouvy není třeba v případě, že na základě příslušného obecně závazného právního předpisu (Energetický zákon) Obchodník provede v rámci oddělení provozovatele zásobníku plynu vyčlenění činností (příslušné licence) týkajících se obchodu obcho s plynem nebo výroby plynu.

XIII.
Závěrečná ustanovení
1) Pro případ vyrovnání hodnoty D na nulovou výši, smluvní strana, každá samostatně prohlašuje, proh že je držitelem Povolení k nabytí plynu bez daně a pro toto vyrovnání jej použije. 2) Tato Smlouva je smluvními stranami uzavírána s vědomím, že upravuje závazkové vztahy mezi podnikateli a týká se jejich podnikatelské činnosti, a proto se řídí v záležitostech záležitostech touto Smlouvou výslovně neupravených příslušnými ustanoveními zákona č. 513/1991 Sb., obchodní zákoník, v platném znění.
3) Smluvní strany prohlašují, že se podrobně seznámily s obsahem této Smlouvy, jejímu obsahu porozuměly a nejsou si vědomy žádných žádných překážek, nároků třetích osob ani jiných právních vad, které by jejímu uzavření bránily či způsobovaly její neplatnost.
Na důkaz toho připojují k tomu oprávnění zástupci smluvních stran své podpisy.
