We are pleased to introduce this special edition of our Investor Newsletter dedicated to the presentation of the 2003 Annual Results of I.R.I.S. You will also find in this edition recent news and product announcements of our company. 2003 has been a consolidation year for I.R.I.S. In a difficult economic context, we have tried to improve the quality of our financial results, have been working on the improvement of our organization and have maintained an important R&D effort to improve our product line. There has been no change of perimeter compared to 2002. We are pleased to report a number of very positive accomplishments: • • • • •

We have been able to increase both our revenue (€42,729 million, + 2,6%) and our Gross Margin (€ 24,750 million, +2,37%) Our costs well under control have decreased in 2003 by -1,38% The Operational Profit (EBIT) has increased very significantly (€2,708 million, +32%) The net result is positive (€0,636 million) allowing the management to propose the distribution of a first dividend since the IPO to the General Assembly of May 18, 2004. Besides these key figures of our Income Statement, it is important to keep in mind the following key figures of our balance sheet: o I.R.I.S. has no long term debt (debt at more than 1 year) o The net cash position of I.R.I.S. is positive o I.R.I.S. net cash position has been improved by more than €3 million in 2003 In 2003, the management has continued to simplify the legal organization of the company, keeping only one legal entity per country. The new integrated reporting and accounting system has been operational all year in 2003, resulting in improved reporting, better forecasting and budget control The R&D effort has been maintained at the same level as 2002, resulting in a record number of new product introductions in 2002. These products have been very well received by the market (cfr our section award and Press reviews) and this improved product line will definitely constitutes an asset for further growth of the company.

Overall, 2003 has been an excellent year for I.R.I.S. despite: • • •

Weak general economic conditions Significant loss of revenue and profit due to a very weak dollar (more than 10% of the revenue of I.R.I.S. is made in the USA). The fact that further integration and optimisation still have to be done to improve productivity and efficiency.

The management of I.R.I.S. is positive about 2004. The interest for our technologies and products by our customers remains strong, the order backlog beginning of 2004 is higher than one year ago and our product line has been improved.

Investor Newsletter The I.R.I.S. activities I.R.I.S. develops and markets internationally a range of solutions to scan and intelligently recognize documents and to manage and archive electronic documents. I.R.I.S. has signed licence agreements and partnerships for its document reading technologies with major IT players such as HP, Apple Computers, Kodak, Samsung, Daewoo etc. Furthermore, I.R.I.S. distributes its software packages on a worldwide basis; the sales of these products have soared in the United States and Asia. I.R.I.S. supplies comprehensive solutions (for form reading, invoice recognition, the management of correspondence, document management, archiving and data storage) to government agencies, financial institutions, federations, industrial and service companies. Some clients are the Belgian and French Ministry of Finance, the European Commission, the banks Dexia and BNP Paribas, the Luxemburgh Parliament, the European Investment Bank and France Télécom. I.R.I.S. has offices in Louvain-la-Neuve and Brussels (Belgium), in Luxembourg (Luxembourg), in Paris (France) and Delray Beach (USA).

Repeating the objectives for 2003 – Summary of the results Says Pierre De Muelenaere, president and CEO I.R.I.S. Group: “As the year 2003 took off, I.R.I.S.’ management fixed and announced the main objectives for the fiscal year: improving the profitability from operations, return to profit after a year 2002 that was characterized by some exceptional losses, fine-tuning the internal organization of the company in order to improve the efficiency, strengthening the products and the proprietary technologies.” “The results of 2003 indicate that the financial objective was reached: we increased our sales (by 2.6%) on a depressed market. We also reduced our general expenses somewhat (-1.38% in comparison with 2002); our nominal gross margin went slightly up (+2.37%). As a result, our income from operations went up to 2,708,942 euro, which stands for strong growth (+32.28%). The net profit is 636,072 euro (whereas the previous year, we recorded a loss of 1,950,760 euro). As far as the other objectives are concerned, several internal procedures were substantially improved, made more efficient, and we brought a record number of new products to market. This effort will help us to achieve our objectives for the year 2004.”

Commenting the figures Growth of sales figure and gross margin The consolidation perimeter did not change during the year 2003, as I.R.I.S. GROUP did not acquire any companies last year. In 2003, the turnover grew (by 2.6%) despite a generally depressed market; note that the sales figures of several direct competitors decreased. Few enterprises and government agencies were inclined to invest – and all the less so in IT projects. Employing a constant dollar, the sales increased by 3.58%. For professional solutions, the gross margin reached 19,635,748 euro (+0.6%) with stable sales figures on the various territories. This constitutes a real achievement on a highly competitive market as government investments went down considerably and several “players” didn’t hesitate to lower their prices substantially. The gross margin for the office products was 5,114,448 euro (+9.8%) with a decisive increase of the turnover in the United States. (The weak dollar depresses this growth when it is expressed in euro.) This result confirms that large IT companies and individual customers appreciate the quality of the I.R.I.S. products and technologies.

Investor Newsletter The gross margin generally remained stable at 57.92% (compared to 58.05% in 2002). Strong growth of income from operations and cash flow The income from operations is 2,708,942 euro (+32%). The cash flow from operations (EBITDA) went up by 15.44% in 2003. The income from operations (EBIT) grows more than the cash flow from operations (EBITDA) because the amortizations were reduced in the year 2003 because some important investments were entirely amortized before the end of the fiscal year. As a result, the group’s cash position and balance sheet improved considerably (see below). Large impact of dollar on financial result The steady decline of the dollar in 2003 led to conversion losses and negative conversion differences for a total amount of 351.513 euro (vs. 342,562 euro in 2002). Alert management of the available cash allowed the company to reduce the bank loans and interests to 200,155 euro (vs. 478,790 euro in 2002) and to generate some interests by investing available cash (16.109 euro). The amortization of goodwill on acquisitions is 742,859 euro (vs. 858,237 euro in 2002). The amortization we recorded for the goodwill of Amos at the end of 2002 explains this decrease. Minimal impact of extraordinary factors The year 2002 was characterized by significant extraordinary charges (the participation in Amos was depreciated and a reserve was created for litigation in the United States). In 2003 the extraordinary elements mainly concern the completion of the restructuring of Amos in the United States. The amounts involved are much smaller: • •

an extraordinary depreciation is applied to a liability that figures on the balance sheet since Amos was acquired in 2001: 110,920 euro. a conflict with the former manager of Amos was resolved: 38,580 euro.

A very healthy balance sheet gets even healthier in 2003 In 2003, the company improved the structure of its balance sheet once more; I.R.I.S. disposes of a strong solvability and an equally strong cash position: • •

ratio net equity - total balance: 62.20% (vs. 57.53% at the end of 2002) ratio current assets - current liabilities: 1.81 (vs. 1.57 at the end of 2002)

I.R.I.S. has virtually no long-term debt (with a maturity over 1 year). Due emphasis was put on the management of the operational funds; as a result, we were able to improve the company’s liquidity: • •

I.R.I.S. no longer has any net debt outstanding at banks. the net cash position (available cash + financial investments – financial debts) is 2,752,976 euro. That’s an improvement of more than 3 million euro compared to January 1 2003.

The group still disposes of credit lines to be used as “roll-over” for 12 million euro 8,750,000 euro of which cannot be revoked before mid 2005.

Commenting the operations – Significant events of 2003 CEO Etienne Van de Kerckhove adds: “We had some remarkable success stories for professional applications. With ScanFin for instance, I.R.I.S. and the Belgian Ministry of Finance have won the ‘ICT award for Best Electronic Document Management Project for the Year 2003’ and have won the ‘BeLAIIM award for the Best ICT Project of the Year 2003’. ScanFin is an application that reads VAT forms automatically; all proprietary I.R.I.S. technologies and the highly specific know-how of I.R.I.S. were applied in this project: scanning in forms, reading their contents automatically, exporting the dematerialised documents to an electronic document management (EDM) system and storing-archiving them. Given the complexity and size of this application, the juries emphasize both the quality of the technology and the high level of the project management: the comprehensive application was completed on time and did not exceed the foreseen budget. ScanFin is now operational and performs admirably”. The resurgence of Amos is now a fact because of new orders from the American banking sector and a major order of licences by the French Ministry of Finance. These on-going orders will first and foremost influence the sales figure of the year 2004. “The sales of products and technologies kept growing in 2003.” adds Pierre De Muelenaere. “We’re now talking about licence agreements – the OEM contracts with major scanner manufacturers such as HP, Kodak, Panasonic, Plustek were prolonged and new partnerships were signed with Apple, LaserFiche, Samsung, Daewoo and Case Logic – and about the indirect sales via the distribution channels and the direct (Internet) sales via our e-shop. We saw record sales when we launched Readiris Pro 9; the introduction of the IRISPen Express and the I.R.I.S. Business Card Reader II were also highly successful. The sales accelerated towards the end of the year, a trend that is expected to exert a positive influence in 2004.” There were no acquisitions in 2003. The management was able to integrate the various divisions quickly and moved fast to create R&D and management synergies. Says Etienne Van de Kerckhove: “For instance, the tools for integrated reporting by all units of the group were completed. We tightened the general management of the company, and we’re now in a position where we can monitor each activity more efficiently and much faster. The internal organisation was the key factor in this effort: • • •

The legal organization chart of the companies was simplified: today, a single management structure remains, and each territory is covered by a single operational unit. The reporting by each business unit is fast and accurate, which allows the management to keep a steady eye on the financial performance of each unit. The management, technical and commercial organisation was simplified: the efficiency was increased, as was the understanding of the role that each profit and each cost centre plays.”

As in the year 2002, the R&D effort was maintained at 3.5 million euro, but this investment was leveraged more efficiently. By reorganizing the development teams, I.R.I.S. was able to introduce a record number of new products in 2003: I.R.I.S. ScanMail (document management of correspondence), I.R.I.S. DocCenterWeb (document management), Formiris Pro 5 (form reading), Readiris Pro 9 (character recognition), the IRISPen Express (pen scanner) and the I.R.I.S. Business Card Reader 2 (recognition of business cards).

In March 2004, I.R.I.S. put an end to litigation that started in the United States in 2002. This conflict was resolved without exceeding the financial reserve created for this purpose in 2002; there will therefore be no impact on the results of 2004.

Outlook for 2004 The strategy of I.R.I.S. is to make the company in Europe and elsewhere a leading player on the “Document to Knowledge” market. To achieve this objective, the group gives priority to the following targets: • • •

continuously improving the proprietary technologies and the services offered to the client roster extending the offer of professional solutions to new territories maintaining a sustained effort to improve the profitability from operations

The company’s management is confident for the year 2004, despite the current economic climate that’s characterized by a weak dollar and a delayed revival of the economic growth in Europe (which accounts for over 85% of I.R.I.S.’ turnover). The company has registered considerably more on-going orders and has invoiced distinctly larger amounts so far than was the case in the beginning of 2003. The costcontrol efforts are expected to generate additional benefits. But it goes without saying that the current economic climate is characterized by a delayed revival of the economic growth in Europe (which accounts for over 85% of I.R.I.S.’ turnover). The acquisition of Omnis should contribute to the growth of the sales figure and the growth of profitability as of 2004. Based on I.R.I.S.’ business plan for 2004, the company expects a reasonable increase of the gross margin and an improved profitability from operations.

Proposal to pay a dividend The Board of Directors asks the General Annual Meeting to approve the payment of a dividend (fixed at 0.25 euro per share) for the first time.

The auditor’s report The auditors Ernst & Young (represented by auditor Eric Golenvaux) have announced that their in-depth auditing work was completed and yielded no significant corrections that should be added to the financial information provided in this press release.

Rappel des objectifs 2003 – Synthèse des résultats « En début d’année 2003, le management d’I.R.I.S. Group avait annoncé que ses objectifs prioritaires étaient : l’amélioration de la rentabilité opérationnelle, le retour au bénéfice net après une année 2002 marquée par des pertes exceptionnelles, l’amélioration des processus internes de la société pour en améliorer l’efficacité et l’amélioration des produits et technologies propriétaires. » rappelle Pierre De Muelenaere, Président et CEO d’I.R.I.S. Group. « Les résultats 2003 indiquent que l’objectif financier a été atteint. Dans un marché globalement difficile, I.R.I.S. a réussi à progresser en chiffre d’affaires (+2,6 %). Nous avons légèrement réduit nos frais généraux (- 1,38 %) alors que notre marge brute nominale progressait légèrement (+ 2,37 %). Il en résulte un bénéfice d’exploitation de 2.708.942 € en forte croissance (+ 32,28 %). Le bénéfice net s’établit à 636.072 € (contre une perte de 1.950.760 € l’année précédente). En ce qui concerne nos autres objectifs, plusieurs processus importants ont été substantiellement améliorés et rationalisés et nous avons procédé à un nombre record d’introductions de nouveaux produits. Ces importants efforts devraient nous aider à atteindre nos objectifs 2004. »

Commentaires sur les comptes Amélioration du chiffre d’affaires et de la marge brute Le périmètre de consolidation est inchangé par rapport à 2002, I.R.I.S. Group n’ayant procédé à aucune acquisition nouvelle. La croissance du chiffre d’affaires d’I.R.I.S. en 2003 (+ 2,60 %) s’inscrit dans un marché plutôt stagnant, et marqué par le recul des ventes de plusieurs concurrents directs. Ce phénomène est lié à la faible propension des entreprises et des administrations à investir, particulièrement en matière informatique. A dollar constant, le chiffre d’affaires a progressé de 3,58 %. En solutions professionnelles, la marge brute atteint 19.635.748 € (+ 0,6 %) avec une bonne stabilité sur les différents territoires. Il s’agit d’une réelle performance dans un

Investor Newsletter marché très concurrentiel où les investissements publics ont sensiblement diminué, et où plusieurs acteurs n’ont pas hésité à consentir de fortes baisses de prix. La marge brute en produits bureautiques atteint 5.114.448 notamment une forte croissance aux Etats-Unis (même si la réduit l’impact en euros). Ce résultat confirme combien informatiques et les clients individuels apprécient la qualité technologies d’I.R.I.S.

La progression plus importante de l’EBIT par rapport à la progression de l’EBITDA résulte de la diminution des dotations aux amortissements entre 2002 et 2003, certains investissements importants ayant été totalement amortis en fin d’exercice précédent. Impact sensible du dollar sur le résultat financier La chute continue du dollar en 2003 a entraîné des pertes de change et des écarts de conversion négatifs à hauteur de 351.513 € (contre 342.562 € en 2002). La bonne gestion de trésorerie a permis de réduire sensiblement les charges d’intérêt et les frais bancaires (200.155 € contre 478.790 € en 2002) et de générer quelques revenus de placements de trésorerie (16.109 €). L’amortissement des goodwills d’acquisition représente 742.859 € (contre 858.237 € en 2002). Ce montant est en baisse par rapport à 2002, suite à l’amortissement complémentaire acté sur le goodwill d’AMOS fin 2002. Impact très limité des éléments exceptionnels L’année 2002 avait été marquée par des charges exceptionnelles importantes (réduction de valeur sur AMOS et provision pour un litige aux Etats-Unis). En 2003, les éléments exceptionnels concernent essentiellement la fin de la réorganisation des activités d’AMOS aux Etats-Unis et représentent un montant beaucoup plus limité : • •

Réduction de valeur exceptionnelle actée sur une créance figurant au bilan lors de l’acquisition par I.R.I.S. en 2001 : 110.920 € Clôture du litige avec un ex-dirigeant de la société : 38.580 €.

Forte structure bilantaire, encore renforcée en 2003 L’exercice 2003 a permis à I.R.I.S. d’encore renforcer sa structure bilantaire. Celle-ci présente à la fois une forte solvabilité et une grande liquidité : • •

Ratio capitaux propres / total du bilan : 62,20 % (57,53 % à fin 2002) Actifs circulants / dettes à moins d’un an : 1,81 (contre 1,57 à fin 2002).

I.R.I.S. n’a plus aucune dette bancaire nette La position de trésorerie nette (valeurs disponibles + placements financiers – dettes financières) est de 2.752.976 €, soit une amélioration de plus de 3 millions d’euros par rapport au 1er janvier 2003.

Le groupe dispose toujours de 12.000.000 € de lignes de crédit utilisables en caisse et par avances à terme fixe, dont 8.750.000 € non révocables avant la mi-2005.

Commentaires sur les activités – Evénements significatifs en 2003 Etienne Van de Kerckhove, CEO, commente : « En solutions professionnelles, nous avons enregistré quelques succès remarquables. A titre d’exemple, notons qu’I.R.I.S. a remporté (avec le Service Public Fédéral belge des Finances) l’ICT Award du meilleur projet en GED et le BeLAIIM Award du meilleur projet en 2003, pour ScanFin. Il s’agit de l’application de lecture automatique des déclarations TVA qui concentre l’essentiel de la technologie et du savoir-faire d’I.R.I.S. : scanning des déclarations, reconnaissance du contenu, exportation vers le système de gestion documentaire, stockage physique et sauvegarde des données. Vu la complexité et l’ampleur de cette application, les jurys ont souligné la qualité de la technologie mais aussi la qualité de la gestion de projets qui a permis de livrer l’ensemble dans les délais et dans le budget prévu, avec une performance impressionnante. » Le redressement d’AMOS a pu être amorcé, avec de nouvelles commandes dans le secteur bancaire aux Etats-Unis et une très importante commande de licences par le Ministère des Finances en France. Ces commandes auront essentiellement une influence positive en 2004. Pierre De Muelenaere complète : « Nos ventes de produits et de technologies ont bien progressé en 2003, tant au niveau des contrats de licences (continuation de contrats avec des grands clients comme HP, Kodak, Panasonic, Plustek et le démarrage de nouveaux partenariats avec Apple Computers, LaserFiche, Samsung, Daewoo ou Case Logic) que des ventes indirectes via les canaux de distribution et des ventes directes via notre site d’e-shopping. Les ventes records lors du lancement de Readiris Pro 9 et l’excellente introduction de l’IRISPen Express et de l’IRIS Business Card Reader II ont permis d’accélérer encore les ventes en fin d’année, avec un effet positif qui se prolonge en 2004.» L’absence d’acquisitions en 2003 a permis à la direction de travailler efficacement à l’intégration des différentes divisions, à la mise en œuvre de synergies au niveau de la recherche et du développement (R&D) et de l’administration en général. « Par exemple, nous avons finalisé la mise en place du reporting intégré de toutes les entités du groupe ce qui permet de rationaliser la gestion et de monitorer chaque activité de manière plus efficace et plus rapide » estime Etienne Van de Kerckhove. « L’organisation interne a également été au centre de toutes les attentions : • • •

L’organigramme juridique des sociétés a été simplifié : il ne reste aujourd’hui plus qu’une seule entité opérationnelle par territoire, avec une structure administrative unique Le reporting de chaque business unit se fait de manière rapide et précise, pour un meilleur contrôle des indicateurs de performance L’organisation administrative, technique et commerciale a été clarifiée pour une plus grande efficacité et une meilleure identification de la contribution de chaque centre de profits ou de coûts. »

L’effort en R&D reste soutenu à 3,5 millions d’euros (même niveau qu’en 2002). Il a pu être optimisé grâce à la rationalisation des équipes, de sorte qu’I.R.I.S. a lancé un nombre record de produits en 2003 : I.R.I.S. ScanMail (gestion de courrier), I.R.I.S. DocCenterWeb (gestion documentaire), Formiris Pro 5 (lecture automatique de formulaires), Readiris Pro 9 (OCR), IRISPen Express (stylo scanner), I.R.I.S. BusinessCard Reader II (reconnaissance de cartes de visites).

Evénements significatifs après la clôture de l’exercice 2003 I.R.I.S. Luxembourg a acquis le fonds de commerce d’Omnis ECMS, avec effet au 1er janvier 2004. Cette opération renforce encore le leadership d’I.R.I.S. en solutions professionnelles de GED dans le Benelux, et devrait avoir une contribution positive au bénéfice du groupe dès 2004. Au début 2004, le management d’I.R.I.S. a conclu une convention transactionnelle avec les vendeurs d’AMOS qui permettra de réduire en 2004 l’écart de consolidation lié à l’acquisition d’AMOS et la dette à l’égard des vendeurs d’AMOS. En mars 2004, I.R.I.S. a également définitivement clôturé un litige juridique entamé en 2002 aux USA. La conclusion de ce litige a été réalisée dans l’enveloppe des provisions prises en 2002 et sans impact donc sur les comptes 2004.

Perspectives pour 2004 Le plan stratégique d’I.R.I.S. vise à faire du groupe un acteur incontournable du marché du « Document to Knowledge » en Europe et dans le monde. Pour y arriver, le groupe donne la priorité à : • • •

l’amélioration constante des technologies développées au sein du groupe et de la qualité des services rendus aux clients la poursuite de l’extension territoriale dans le domaine des solutions professionnelles l’amélioration continue de la rentabilité opérationnelle.

Malgré un contexte économique qui reste difficile et marqué par un manque de croissance en Europe (qui représente 85% des revenus d’I.R.I.S.) et un dollar faible, le management d’I.R.I.S. est confiant pour l’année 2004. Le carnet de commandes et la facturation en début 2004 sont en progrès sensible par rapport au début de l’année 2003. Les mesures de monitoring des coûts devraient continuer à porter leurs fruits. L’acquisition d’Omnis devrait quant à elle contribuer à la fois à la croissance du chiffre d’affaires et de la rentabilité d’I.R.I.S. en 2004. Le plan d’affaires d’I.R.I.S. pour 2004 table sur une progression raisonnable de la marge brute et sur une amélioration de la rentabilité opérationnelle.

Proposition de dividende Le Conseil d’administration proposera à l’Assemblée Générale du 18 mai prochain de distribuer un premier dividende de 0,25 € bruts par action.

Rapport du commissaire Ernst & Young Réviseurs d’Entreprises (représenté par Eric Golenvaux), commissaire, a confirmé que ses travaux de révision, qui sont terminés quant au fond, n’ont pas révélé de correction significative qui devrait être apportée aux informations comptables reprises dans le communiqué.

I.R.I.S. ontwikkelt en verkoopt op een internationale basis een gamma aan oplossingen voor het scannen en intelligent herkennen van documenten en voor het beheer en de archivering van elektronische documenten. I.R.I.S. heeft licentie-akkoorden en partnerships voor zijn herkenningstechnologie afgesloten met belangrijke spelers op de informaticamarkt zoals HP, Apple, Kodak, Samsung, Daewoo enz. Daarnaast verdeelt I.R.I.S. zijn software-pakketten op wereldwijde basis. De verkoop van deze producten neemt met name in de Verenigde Staten en Azië een belangrijke vlucht. I.R.I.S. levert tevens integrale oplossingen (voor formulierlectuur, het beheer van briefwisseling en facturen, documentenbeheer, archivering en opslaginfrastructuur) aan de overheden, de banksector, de beroepsfederaties en de industriële en dienstverlenende ondernemingen. We noteren als klant ondermeer de Belgische Federale Overheidsdienst (FOD) Financiën, de Europese Commissie, het Franse Ministerie van Financiën, de grootbanken Dexia en BNP Paribas, de Luxemburgse Kamer van Volksvertegenwoordigers, de Belgische Federale Politie, de Europese Investeringsbank en France Télécom. De onderneming heeft kantoren in Louvain-la-Neuve en Brussel (B), Luxemburg (L), Parijs (F) en Delray Beach (USA).

Herhaling van de doelstellingen voor 2003 – Samenvatting van de resultaten “In het begin van het jaar 2003 kondigde het management van I.R.I.S. Group als hoofdobjectieven aan : de verbetering van de operationele rentabiliteit, de terugkeer naar netto winst na het jaar 2002 dat enkele uitzonderlijke verliezen kende, de verfijning van de interne werking van de onderneming om de efficiëntie te verhogen, en de verdere opdrijving van de kwaliteit van de eigen technologiën en producten.” herhaalt Pierre De Muelenaere, voorzitter en afgevaardigdbestuurder van I.R.I.S. Group. “De resultaten voor het jaar 2003 tonen aan dat het financieel objectief werd gehaald. I.R.I.S. slaagde erin zijn omzet te doen stijgen (met 2,6%) in een moeilijke markt. Wij hebben onze algemene kosten lichtjes herleid (-1,38%) terwijl onze nominale bruto marge wat steeg (+2,37%). Dit leidt tot een operationele winst van 2.708.942 € – en dat betekent forse groei (+32,28%). De netto winst bedraagt 636.072 € (terwijl we het jaar voordien een verlies van 1.950.760 € noteerden). Wat de overige doelstellingen betreft, werden meerdere bedrijfsprocedures markant verbeterd en rationeler gemaakt. Daarnaast kenden we in 2003 een record aantal introducties van nieuwe producten. En deze inspanning zal ons meteen helpen om de doelstellingen voor 2004 te halen.”

Toelichting van de cijfers Groei van de omzet en verbetering van de bruto marge De consolidatiekring wijzigde niet in in het jaar 2003, aangezien I.R.I.S. Group vorig jaar geen nieuwe overnames doorvoerde. De stijging van de omzet (+ 2,60%) in het jaar 2003 had plaats op een eerder stagnerende markt. De omzet van meerdere rechtstreekse concurrenten liep terug. De zwakke neiging van ondernemingen en overheidsdiensten om te investeren - vooral in informatica - verklaart dit fenomeen. In constante euro/dollar uitgedrukt, stijgt het zakencijfer met 3,58%.

Investor Newsletter Wat de professionele oplossingen betreft, bedraagt de bruto marge 19.635.748 € (+0,6%) met een goede stabiliteit op de verschillende territoria. Dit is een heuse prestatie op een erg concurrentiële markt waar de overheidsinvesteringen beduidend zakten en waar meerdere spelers niet aarzelden gevoelige prijsdalingen toe te passen. De bruto marge van de bureauticaproducten bedroeg 5.114.448 € (+9,8%) met een markante groei in de Verenigde Staten (ook al heeft de koersval van de dollar het resultaat in euro negatief beïnvloed). Dit resultaat bevestigt dat de grote ITondernemingen en individuele klanten waarde hechten aan de kwaliteit van de producten en technologiën van I.R.I.S. De bruto marge werd globaal gesproken gehandhaafd op 57,92% (tegen 58,05% in 2002). Sterke groei van het bedrijfsresultaat en van de kasstroom De bedrijfswinst bedraagt 2.708.942 € (+32%). De bedrijfskasstroom (EBITDA) steeg met 15,44% in het jaar 2003. Het bedrijfsresultaat (EBIT) steeg sneller dan de bedrijfskasstroom (EBITDA), omdat de afschrijvingen tussen 2002 en 2003 verminderd zijn en omdat bepaalde belangrijke investeringen integraal werden afgeschreven vóór het einde van het verleden boekjaar. De cashpositie en de structuur van de balans verbeterden hierdoor sterk (zie verderop). Duidelijke invloed van de dollar op het financieel resultaat De gestage koersval van de dollar in het jaar 2003 veroorzaakte wisselverliezen en negatieve conversieverschillen voor een bedrag van 351.513 € (tegen 342.562 € in 2002). Een goed beheer van de cash liet toe om de interesten en bankkosten gevoelig te herleiden (van 478.790 € in 2002 tot 200.155 €) en om wat inkomsten te genereren door beschikbare middelen te beleggen (16.109 €). De afschrijvingen op acquisitiegoodwill bedragen 742.859 € (tegen 858.237 € in 2002). Deze daling is het gevolg van de waardevermindering die we eind 2002 boekten op de goodwill van Amos. Erg beperkte invloed van de uitzonderlijke resultaten Nadat we in 2002 belangrijke uitzonderlijke kosten noteerden (omwille van een waardevermindering op Amos en van een voorziening voor een geschil in de Verenigde Staten), slaan de uitzonderlijke factoren in 2003 hoofdzakelijk op het afronden van de reorganisatie van Amos in de Verenigde Staten. De bedragen zijn dan ook veel kleiner : • •

er wordt een uitzonderlijke waardevermindering geboekt op een vordering die op de balans voorkomt sinds de overname van Amos door I.R.I.S. in 2001 : 110.920 € het geschil met een voormalige bedrijfsleider van Amos werd beëindigd : 38.580 €.

Een erg gezonde balans, nog versterkt in 2003 I.R.I.S. versterkte in het boekjaar 2003 nogmaals de structuur van zijn balans, met een sterke solvabiliteit en een stevige likwiditeit van de balans:

verhouding eigen middelen / totaal van de balans : 62,20% (57,53% eind 2002) verhouding vlottende activa / schulden op minder dan één jaar : 1,81 (1,57 eind 2002).

I.R.I.S. heeft geen schulden met een looptijd boven één jaar. Door veel aandacht te besteden aan het beheer van de “working capital” konden we de cashpositie duidelijk verbeteren: • •

I.R.I.S. heeft helemaal geen netto schulden meer bij financiële instellingen. de netto cashpositie (beschikbare cash + financiële beleggingen - financiële schulden) bedraagt 2.752.976 €. Dat is een verbetering met meer dan 3 miljoen euro t.o.v. 1 januari 2003.

De groep beschikt nog steeds over kredietlijnen van 12 miljoen euro onder de vorm van kaskrediet en voorschotten op termijn. Van dat bedrag is 8.750.000 € niet opschorsbaar vóór het midden van 2005.

Toelichting van de activiteiten – Belangrijke gebeurtenissen in 2003 Afgevaardigd-bestuurder Etienne Van de Kerckhove verklaart het volgende: “Op de markt van de professionele toepassingen kenden we enkele opmerkelijke successen. We noteren bijvoorbeeld dat I.R.I.S. (met de Federale Overheidsdienst Financiën) de ICT award voor het beste project ‘Elektronisch documentenbeheer’ en de BeLAIIM award voor het beste project van 2003 haalde met ScanFin. Dit project is een toepassing die automatisch de BTW-aangiftes inleest. Alle grote technologiën en de typische know-how van I.R.I.S. komen in dit project aan bod : aangiftes inscannen, hun inhoud herkennen, de ‘gedematerialiseerde’ documenten uitvoeren naar een systeem voor elektronisch documentenbeheer, ze fysiek opslaan en bewaren. Gezien de complexiteit en omvang van deze toepassing onderstreepten beide jury’s de kwaliteit van de technologie maar ook het hoogstaande niveau van het projectbeheer : de integrale toepassing werd geleverd binnen de afgesproken termijnen en budgetten, met een indrukwekkende performance.” De nieuwe start van Amos werd een feit dankzij nieuwe bestellingen uit de Amerikaanse banksector en een belangrijke bestelling van licenties door het Franse Ministerie van Financiën. Deze bestellingen zullen vooral in het lopend jaar 2004 een positieve invloed hebben. “De verkoop van onze producten en technologiën ging verder in stijgende lijn in het jaar 2003” vult Pierre De Muelenaere aan. “We spreken hier over licentiecontracten (verlenging van contracten met grote klanten zoals HP, Kodak, Panasonic en Plustek en nieuwe partnerships met Apple Computers, LaserFiche, Samsung, Daewoo en Case Logic) maar ook over de onrechtstreekse verkoop via de distributiekanalen en de rechtstreekse verkoop via onze Internet e-shop. De introductie van Readiris Pro 9 leidde tot recordverkoopcijfers. Ook de introductie van de IRISPen Express en de I.R.I.S. Business Card Reader II verliep uitstekend. Hierdoor versnelde onze omzet naar het eind van het jaar, met een positief effect dat zich verder zet in 2004.” Er hadden geen acquisities plaats in 2003, zodat de directie werk kon maken van de integratie van de verschillende divisies en synergiën kon creëren inzake R&D en algemeen beheer. Etienne Van de Kerckhove licht één en ander toe: “Wij hebben bijvoorbeeld de geïntegreerde rapportering door alle onderdelen van de groep voltooid. Het dagelijks beheer werd zo rationeler gemaakt, en we zijn nu in staat om elke activiteit efficiënter en sneller te bewaken. De interne organisatie kreeg ook de nodige aandacht :

De juridische structuur van de ondernemingen werd vereenvoudigd : vandaag er is nog slechts één operationele entiteit per territorium De rapportering vanwege elke business unit verloopt snel en precies, wat een betere controle van alle financiële indicatoren toelaat De administratieve, technische en commerciële organisatie werd vereenvoudigd, wat de efficiëntie vergroot en tot een beter inzicht in de bijdrage van elk profit center en cost center leidt.”

De R&D-inspanning werd aangehouden op het niveau van 2002 (3,5 miljoen €), maar deze investering werd geoptimiseerd. Dankzij de rationalisering van de teams kon I.R.I.S. in 2003 een record aantal nieuwe producten introduceren : I.R.I.S. ScanMail (beheer van briefwisseling), I.R.I.S. DocCenterWeb (documentenbeheer), Formiris Pro 5 (formulierlectuur), Readiris Pro 9 (OCR-software), IRISPen Express (penscanner) en de I.R.I.S. Business Card Reader II (herkenning van visitekaartjes).

Belangrijke gebeurtenissen na de afsluiting van het boekjaar 2003 I.R.I.S. Luxemburg heeft het handelsfonds van Omnis ECMS overgenomen met dd. 1 januari 2004. Dit versterkt het leiderschap van I.R.I.S. op de markt van de professionele toepassingen voor elektronisch documentenbeheer (EDM) in de Benelux. Er wordt een positieve bijdrage tot de groepswinst verwacht vanaf 2004. In het begin van 2004 werd een transactionele overeenkomst afgesloten met de verkopers van Amos, wat in 2004 leidt tot een vermindering van het consolidatieverschil i.v.m. de aankoop van Amos, en ook van de schuld jegens de verkopers van Amos. In maart 2004 werd een juridisch geschil beëindigd, dat in 2002 in de Verenigde Staten ontstond. Dit geschil werd afgehandeld binnen de financiële enveloppe die hiervoor in 2002 werd gereserveerd en zal dus geen invloed uitoefenen op de cijfers van 2004.

Perspectieven voor het jaar 2004 De strategie van I.R.I.S. bestaat erin van de onderneming in Europa en elders een onmisbare speler te maken op de “Document to Knowledge” markt. Om dit doel te bereiken geeft de groep voorrang aan: • •

•

de continu verbetering van de eigen technologiën en een gelijkaardige inspanning voor de dienstverlening bij de klanten de uitbreiding naar nieuwe territoria waar de professionele toepassingen zullen worden aangeboden de volgehouden verbetering van de bedrijfsrentabiliteit.

Het management van I.R.I.S. heeft vertrouwen voor het jaar 2004, en dit ondanks de nog steeds moeilijke economische context die wordt gekenmerkt door een zwakke dollar en door het uitblijven van economische groei in Europa (goed voor meer dan 85% van de inkomsten van I.R.I.S.). Het orderboek is begin 2004 beter gevuld en de tot nog toe gefactureerde bedragen liggen hoger dan in het begin van 2003. De vele maatregelen voor kostenbewaking werpen nog steeds vruchten af. We verwachten dat de overname van Omnis in 2004 zal bijdragen tot een hogere omzet en een betere rentabiliteit van de onderneming. Het business plan van I.R.I.S. voor 2004 mikt op een redelijke verhoging van de bruto marge en een verbetering van de bedrijfsrentabiliteit.

Investor Newsletter Voorstel voor de uitkering van een dividend De Raad van Bestuur stelt aan de Algemene Vergadering van 18 mei a.s. voor om voor het eerst een dividend van 0,25 € bruto per aandeel uit te keren.

Rapport van de commissaris De bedrijfsrevisor Ernst & Young (vertegenwoordigd door Eric Golenvaux) heeft meegedeeld dat hun revisiewerken ten gronde werden beëindigd en geen significante correcties hebben opgeleverd die dienen te worden toegevoegd aan de financiële informatie uit deze persmededeling.

Automatic Reading of Cheques

Following the call for tenders launched by the French Finance Ministry at the end of 2001 for equipping 4 collection centres in France, I.R.I.S. proposed its ScanChecks (ATOME 2000) and ADR (Automatic Document Reading) systems for the dematerialisation and automatic processing of paper-based payment instruments. Today the collection centre in Lille is capable of handling 400,000 envelopes a day! The 1,600 m2 platform dematerialises and sorts cheques, reads, compares and verifies the information contained on the supporting documents and cheques, and validates the data file before transfer to the Bank of France. Investor Newsletter The Belgian Ministry of Finance receives the BELAIIM award "Most effective use of imaging technology" for ScanFin, the scanning centre for VAT forms that was developed and installed by I.R.I.S. The objective of the project was to implement a solution for the scanning, recognition and processing of the data of all VAT forms of Belgian companies. These include monthly or quarterly VAT return (hand-printed or typed), the quarterly intracommunity statement and the annual customer list.
