NÁRODNÍ SÍŤ GLOBAL COMPACT ČESKÁ REPUBLIKA ORGANIZAČNÍ STRUKTURA [2015-2017] GLOBAL COMPACT NETWORK CZECH REPUBLIC GOVERNANCE STRUCTURE [2015-2017] 1. Poslání/Mission Národní síť Global Compact Česká republika byla oficiálně založena 2. dubna 2015. K podepsání memoranda o vzniku národní sítě došlo na první výročí přijetí strategického dokumentu Národní akční plán společenské odpovědnosti organizací v České republice. Celá událost se konala pod záštitou ministra průmyslu a obchodu za plné podpory Ministerstva průmyslu a obchodu, Rady kvality České republiky a dalších zainteresovaných stran včetně dosavadních signatářů UN Global Compact v České republice. Hostitelskou organizací české národní sítě je Asociace společenské odpovědnosti. Cílem Národní sítě Global Compact Česká republika je rozvoj odpovědného a udržitelného podnikání v souladu s 10 principy organizace UN Global Compact. Česká národní síť nabízí svým členům jedinečnou příležitost ke sdílení znalostí, zkušeností a inovací, organizuje semináře a setkání, aby napomohla zlepšit odpovědnou strategii firem a organizací a pomohla rozvíjet udržitelnost jejich činnosti. Národní síť představuje platformu pro politický dialog a umožňuje svým členům ve spolupráci s českou vládou aktivně vytvářet národní strategie a politiky CSR a udržitelnosti. The Global Compact Network Czech Republic was officially launched on 2 April 2015. The official signing of the Memorandum of Understanding (MoU) to form a Formal Global Compact Network Czech Republic took place on the first anniversary of the adoption of the strategic document National Action Plan for Corporate Social Responsibility in the Czech Republic. The event was held under the auspices of Minister of Industry and Trade with the full support of the Ministry of Industry and Trade of the Czech Republic, the Quality Council of the Czech Republic and other stakeholders including the signatories of the UN Global Compact in the Czech Republic. The host entity of the Czech local network is the Association of Social Responsibility. The aim of the Global Compact Network Czech Republic is the development of responsible and sustainable business in compliance with 10 principles of the UN Global Compact. Global Compact Network Czech Republic offers its members a unique opportunity to exchange knowledge, experience and innovation, organizes seminars and meetings to improve responsible strategy for companies and organization and helps to develop their sustainability. As part of its cooperation with the Czech government, local network offers a platform for policy dialogue and enables to its participants to contribute to national policies on corporate sustainability.

2. Plán aktivit/Objectives Za účelem stanoveného poslání Národní síť Global Compact Česká republika: - podporuje signatáře UN Global Compact v implementaci odpovědných principů podnikání v jejich strategii i praxi skrze široké spektrum workshopů, seminářů, diskuzí, událostí a nástrojů - svým členům nabízí přednostní vstup na širokou řadu událostí - svým členům poskytuje platformu pro vzdělávání a sdílení zkušeností - poskytuje networking s dalšími českými lídry v oblasti firemní udržitelnosti, zapojení v síti, v rámci sdílení zkušeností - operuje jako platforma kolektivního vyjednávání s vládou, soukromou sférou a občanskou společností v tématech udržitelného a odpovědného podnikání v České republice - nabízí členství v inovativní, rozmanité a multi-sektorové entitě pro dialog a aktivity v oblasti CSR výzev, kterým v České republice čelíme - pomáhá signatářům s pravidelným reportingem (COP a COE) In order to achieve the above-mission, the Global Compact Network Czech Republic will: - Support of the United Nations Global Compact signatories in implementing the ten principles of the Global Compact, in their policies and practices through a wide range of trainings, seminars, discussions, events and tools. - Priority access to a range of events throughout the year - Providing a learning and experience exchange platform for members - Networking with other Czech corporate sustainability leaders and engaging with the network to explore their CSR challenges - Operation as a platform for collective action and policy dialogue with government, business and civil society on issues of sustainability and responsible business in the Czech Republic. - Access to an innovative, multi-stakeholder and multi-sector platform for a dialogue and action on CSR challenges we are facing in the Czech Republic - Support on COP and COE reporting
3. Řízení sítě / Network Management 3.1 Sekretariát / Network Secretariat a) Sekretariát Národní sítě Global Compact Česká republika je hostován v Asociaci společenské odpovědnosti. Pokud dojde ke změně hostitelské organizace, musí být tato změna okamžitě nahlášena ústředí United Nations Global Compact, které vyhodnotí situaci a eventuálně podpoří případné změny. The Global Compact Network Czech Republic’s Secretariat is hosted at the Association of Social Responsibility. Should there be a change of hosting institution, it has to be immediately reported to the United Nations Global Compact Headquarters, which will assess the situation and support the Network in moving forward.

3.2 Personál / Human Resources a) Sekretariát Národní sítě Global Compact Česká republika by měl mít minimálně jednu osobu, která bude vykonávat úkoly na každodenní bázi a vystupovat jako kontaktní osoba (Contact Person) za účelem úzké spolupráce s ústředím UN Global Compact sídlící v New Yorku. Dále musí Národní síť nominovat jednu vysoce postavenou osobu z řad signatářů, která bude vystupovat jako představitel Národní sítě (Network Representative) a bude jednat jménem Národní sítě v průběhu výročního setkání lokálních sítí (Annual Local Networks Forum) a kontrolovat používání loga sítě. The Global Compact Network Czech Republic Secretariat should have at a minimum one individual working on its daily operations and to act as the Contact Person to liaise with the UN Global Compact Headquarters in New York. Moreover, the Network needs to elect one highlevel person from signatory to act as the Network Representative, to act on behalf of the Network at the Annual Local Networks Forum and in the management of the network logo.
3.3 Funkce / Functions a) Kontaktní osoba: kontaktní osoba koordinuje každodenní práci sítě Global Compact a je zodpovědná za komunikaci s ústředím UN Global Compact. Dále je zodpovědná za: vedení a podporu členů Národní sítě; aktualizaci profilu Národní sítě v systému Knowledge Sharing System; včasné nahlášení aktivit Národní sítě do systému Knowledge Sharing System; přípravu a organizaci akcí aj. Contact Person: the contact person is the one who coordinates the day-to-day work of the Global Compact Network and who is responsible for communicating with the UN Global Compact Headquarters. In addition, the Contact Person is responsible for: Managing and supporting the Networks’ participants; Updating the network profile on the Knowledge Sharing System; Reporting Local Network activities on, but not limited to, the Knowledge Sharing System in a timely manner; Production of events etc.
b) Představitel sítě: je osoba, která je nominovaná Národní sítí a jedná jménem Národní sítě v průběhu výročních setkání lokálních sítí, je oprávněna podepisovat Memorandum o porozumění (Memorandum of Understanding) mezi UN Global Compact a Národní sítí, a je zodpovědná za používání loga sítě.)Představitel sítě dále:

Network Representative: is the person officially nominated by the Network to act on its behalf at the Annual Local Networks Forum, is the person authorized to sign the Memorandum of Understanding with the UN Global Compact, and responsible for the management of the network logo. In addition, the Network Representative is responsible for: Managing the Network Representing the Network at functions/meetings Acting as the spokesperson of the Network when necessary b.1) Mandate of the Network Representative: The Network Representative is elected by the Steering Committee and the mandate lasts for 3 years, unless otherwise specified.
4. Členství / Membership Členství v Národní síti Global Compact Česká republika je dobrovolné. Členové neplatí žádný registrační poplatek. Členem Národní sítě Global Compact Česká republika se mohou stát signatáři základních principů UN Global Compact. Členem Národní sítě Global Compact ČR se mohou stát dceřiné společnosti nadnárodních korporací, jejichž mateřské společnosti přijaly principy Global Compact globálně, bez nutnosti přijmout základní principy Global Compact jimi samotnými. Členství vzniká přijetím řádné vyplněné přihlášky a rozhodnutím o přijetí člena. Náležitosti přihlášky stanoví Řídící výbor. Členství zaniká a) vystoupením člena, a to ke dni doručení písemného oznámení o vystoupení b) zrušením členství rozhodnutím Řídícího výboru c) zánikem společnosti, nebo zrušením Národní sítě Membership in the Global Compact Network Czech Republic is voluntary and free.

All signatories of the UN Global Compact may become members of the National Network Czech Republic. Subsidiaries of multinational corporations whose headquarters adopted the principles of the UN Global Compact may become members of the National Network Czech Republic Membership begins by adoption a properly completed application and decision on adoption of a member. Application requirements are set by the Steering Committee. Membership expires: a) Withdrawal of a member, to the date of received written notification of withdrawal b) Cancellation of membership by the Steering Committee c) Demise of the company/organization or National Network
5. Reportování a odpovědnost / Reporting and Accountability Síť bude nahlašovat své každoroční aktivity do systému Knowledge Sharing System (KSS) a to před 31. lednem následujícího roku. Dále musí síť vydat jednu výroční zprávu o svých aktivitách (Annual Activity Report) a jednu zprávu o stavu financí (Financial Report). Obě tyto zprávy musí být nahrány do systému KSS pod sekcí Zprávy (Reports). The Network will report its annual activities on the Knowledge Sharing System (KSS) before 31 January of the subsequent year the activities happened. In addition, it will produce one Annual Activity Report and one Financial Report, both to be uploaded to the KSS, under the Reports section.
6. Řídící výbor / Steering Committee Členové Řídícího výboru by měli / Members of Steering Committee should: a) mít hluboké znalosti o UN Global Compact a deseti principech; b) mít respekt a důvěru ostatních členů výboru a zbylých členů sítě; c) oddaně se věnovat činnostem souvisejících s aktivitami Řídícího výboru. Members of Steering Committee should: a) Have a deep understanding of the UN Global Compact and its ten principles; b) Have the respect and confidence of their peers and constituencies; c) Be committed and dedicate time to actively participate in the activities of the Steering Committee 6.1 Složení / Composition a) Řídící výbor by měl být veden představiteli ze soukromého sektoru, ale musí zahrnovat i další zainteresované aktéry. Výbor je složen nejméně z 5 (pěti) členů a nejvíce z 15 (patnácti)

jednotlivců, kteří pochází ze soukromého sektoru, neziskového sektoru, státního sektoru, atd. Poměr účastníků ze soukromého sektoru vůči ostatním účastníkům musí být vždy 50% +1 z celkového počtu členů. b) Členové Řídícího výboru neobdrží od Národní sítě žádnou peněžní kompenzaci. The Steering Committee shall be business-led, but multi-stakeholder in its nature. It is composed by at a minimum of 5 (five) members and a maximum of 15 (fifteen) individuals] coming from businesses, civil society organizations, government representatives, etc. The ratio of business participants to other stakeholders should always be 50% +1 of the total number of members. Members of the Steering Committee will not receive monetary compensation from the Network.
Délka výkonu funkce / Length of Term Délka výkonu funkce by měla být dva roky. Length of term should be two years.
6.2 Volby / Election a) Volby do Řídícího výboru by se měly konat každý druhý roka pouze 50 % členů výboru je vyměněno v průběhu jednoho volebního období, aby se zajistila kontinuita činnosti a podpory Národní sítě. b) Volby se budou konat v kanceláři Národní sítě a nejméně 1/3 členů Národní sítě se musí účastnit volebního procesu, aby byl výbor usnášeníschopný. Hlasy budou vyjádřeny formou zvednutí ruky. c) Nominace kandidátů musí být oznámeny kontaktní osobě Národní sítě a to nejpozději dva týdny před konáním voleb. Kontaktní osoba oznámí jména všech nominovaných osob Řídícímu výboru jeden týden před konáním voleb. d) Jména jednotlivců současného Řídícího výboru jsou uvedeny v Příloze 1 tohoto dokumentu. The election of the Steering Committee shall happen every two years, and only 50% of the members are changed per election term, to guarantee continuity of the work and support to the Network. The election will be held at the Network’s office, and 1/3 of the Network members need to vote in order to constitute quorum. Votes will be counted by a show of hands.

Nominations of candidates have to be informed to the Network’s Contact Person no later than two weeks before the elections. The Contact Person will circulate all nominees Network members one week before elections. The names of the individuals of the current Steering Committee are listed in Annex I of this Governance Structure.
6.3 Funkce / Functions a) Řídící výbor by měl zřetelně jmenovat jednoho předsedu; v ideálním případě by měl tuto funkci vykonávat Zástupce sítě. b) Řídící výbor by se měl sejít alespoň dvakrát ročně. e) Nejméně 50 % členů Řídícího výboru se musí účastnit zasedání, aby mohlo dojít k jeho konání. f) Řídící výbor by měl mít moc odvolat (většinovým hlasováním) jakéhokoliv člena výboru v případě dobrých a vhodných důvodů. g) Řídící výbor může jmenovat jakéhokoliv člena sítě novým členem Řídícího výboru za účelem vyplnění neobsazeného místa, nesmí však dojít k překročení předepsaného počtu členů. h) Kontaktní osoba bude působit jako tajemník Řídícího výboru. The Steering Committee should clearly appoint one Chairperson; preferably, the Network Representative should occupy this function. The Steering Committee shall meet at least two times a year. At least 50% of the Steering Committee members must be present for a Steering Committee meetings take place. The Steering Committee shall have the power to remove any member of the Committee for good and proper reason by majority vote The Steering Committee may appoint any other member of the Network’s participant as a Committee member to fill a vacancy, provided that the maximum prescribed is not exceeded. The Network’s Contact Person will act as the Secretary of the Steering Committee.
6.4 Povinnosti / Duties a) Povinností předsedy (Představitele Národní sítě) by mělo být: předsedat schůzím Řídícího výboru a celé skupině členů; reprezentovat Řídící výbor na společenských akcích a shromážděních; a vystupovat jako mluvčí Řídícího výboru pokud je to nezbytné.

The duties of the Chairperson shall be to: Chair meetings of the Committee and the General Assembly Represent the Steering Committee at functions/meetings; and Act as the spokesperson of the Steering Committee when necessary.
b) Povinností tajemníka by mělo být: vést seznam členů; po konzultaci s předsedou připravit agendu na jednání Řídícího výboru a setkání se členy Národní sítě (Valné hromady); vést záznamy ze všech jednání; a shromažďovat a nechat kolovat veškeré relevantní informace v rámci Řídícího výboru. The duties of the Secretary shall be to: Keep a membership list Prepare in consultation with the Chairperson the agenda for meetings of the Committee and meetings with the Networks’ participants Take and keep minutes of all meetings; and Collect and circulate any relevant information within the Committee.
6.5 Výroční schůze Řídícího výboru/ Steering Committee Annual Meeting a) Řídící výbor by měl pořádat jednu výroční schůzi a to vždy koncem daného roku, nejpozději začátkem roku následujícího. b) Všichni členové by měli být informováni nejméně dva týdny předem o konání výroční schůze a měli by být oprávněni se této schůze účastnit a hlasovat. c) Záležitosti řešené v průběhu výroční schůze by měly zahrnovat: představení zprávy o ročních aktivitách Národní sítě a to předsedou výboru představení zprávy o stavu financí Národní sítě a to kontaktní osobou volby jakékoliv další záležitosti dle potřeb Národní sítě d) Nejméně50 %členů musí být přítomno na výroční schůzi, aby mohlo dojít k jejímu konání. The Steering Committee shall hold one Annual Meeting at the end of the year, at the latest early next year. All members shall be given at least two-weeks notice of the Annual Meeting and shall be entitled to attend and vote. The business of the Annual Meeting shall include: Receiving a report from the Chairperson on the Network’s activities over the year Receiving a report from the Contact Person on the finances of the Network Elections

Considering any other matter as may be decided. At least 50 % of the members must be present for the Annual Meeting to take place.
7. Valná hromada Národní sítě / General Assembly a) Každý rok by se měly konat nejméně dvě plenární schůze Národní sítě. Jedna schůze za účelem sdílet rozhodnutí týkající se řízení sítě, nové informace, atd.; a jedna schůze či akce, která se zaměřuje na deset principů UN Global Compact. - Pokud má Národní síť v úmyslu uspořádat pouze jednu schůzi, mohou být výše zmíněné schůze spojeny do jedné, za předpokladu, že budou zahrnuty oba dva body. b) Všichni členové Národní sítě Global Compact by měli být vyzváni k účasti na plenární schůzi. c) Rozhodovací proces / Decision-making Každý člen sítě by měl mít jeden hlas během hlasování na plenární schůzi. Aby bylo zasedání usnášeníschopné, je nezbytná přítomnost nejméně 1/3 všech členů. Rozhodnutí jsou na plenárních schůzích učiněna otevřeným a transparentním hlasováním. Dodatky k pravidlům řízení Národní sítě vyžadují 75% hlasů. There shall be at least 2 Network General Meetings each year. One meeting to share management decisions, Network’s fast facts, etc; and One meeting or activity that focuses on the UN Global Compact’s ten principles. - Should the Network wish to, these two meetings can be combined into one, as long as both areas are covered. All Global Compact Network participants shall be invited to attend to the Network General Meetings. Decision-making Each member of the Network shall have one vote during the General Meeting. A quorum of at least 1/3 of all members is necessary to make decisions during such meetings. Decisions at the General Meeting are made through open and transparent voting. Amendments to the Governance Principles require 75% of votes.

8. Změny v organizační struktuře/ Alterations to the Governance Structure Jakékoliv změny v této organizační struktuře musí být odsouhlaseny alespoň 50%+1 členů přítomných a hlasujících na plenární schůzi. Jakékoliv změny v organizační struktuře by měly být oznámeny ústředí UN Global Compact a nová organizační struktura by měla být nahrána to systému KSS. Any changes to this Governance Structure must be agreed by at least 50%+1 of those members present and voting at any Steering Committee Meeting. Any changes to this Governance Structure shall be communicated to the UNGCHQ and the new Governance Structure uploaded to the KSS.
9. Přijetí organizační struktury / Adoption of the Governance Structure Tato organizační struktura byla přijata dne 2. dubna 2015a měla by být v platnosti do dne 31. 12. 2017, pokud není stanoveno jinak. This Governance Structure was adopted on April 2, 2015 and shall be in effect until December 31, 2017 unless otherwise specified.
