ROYAL BANK OF CANADA (a Canadian chartered bank) Issue of EUR TBC “Lock-In” Index Linked Interest and Index Linked Redemption Notes Linked to a Basket of Indices due November 2018 under the Programme for the Issuance of Securities

Unless otherwise stated, all information herein relating to Nikkei 225 has been derived from publicly available sources. Such information reflects the policies of Nikkei as of the date hereof as stated in such sources; such policies are subject to change at the discretion of Nikkei. Nikkei 225 is a stock index calculated, published and disseminated by the Sponsor on behalf of Nikkei that measures the composite price performance of selected Japanese stocks. Nikkei 225 is currently based on 225 underlying stocks listed in the First Section on Tokyo Stock Exchange ("TSE") representing a broad cross-section of Japanese industries. Stocks listed in the First Section are among the most actively traded stocks on the TSE. While Nikkei and the Sponsor currently employ the following methodology to calculate Nikkei 225, no assurance can be given that Nikkei will not modify or change such methodology in a manner that may affect any amount payable in respect of the Instruments. Nikkei 225 is a modified, price-weighted index (i.e., an underlying stock's weight in the index is based on its price per share rather than the total market capitalisation of the issuer) which is calculated by (i) multiplying the per share price of each underlying stock by the corresponding multiplier for such underlying stock (a "Multiplier"), (ii) calculating the sum of all these products and (iii) dividing such sum by a divisor (the "Divisor"). The Divisor, initially set in 1949 at 225, was 24.975 as of 15 July 2013 and is subject to adjustments as set forth below. Each Multiplier is computed by dividing yen 50 by the presumed par value of the relevant underlying stock determined by Nikkei, so that the share price of each underlying stock when multiplied by its Multiplier corresponds to a share price based on a uniform presumed par value of yen 50. The par value stock system was abolished with effect as of 1 October 2001. The current presumed par value of each underlying stock is based on its par value immediately before the abolition of the par value of Japanese stock as of 1 October 2001, subject to subsequent adjustment as set forth below. The stock prices used in the calculation of Nikkei 225 are those reported by the TSE. The level of Nikkei 225 is calculated once per minute during TSE trading hours. In order to maintain continuity in the level of Nikkei 225 in the event of certain changes due to non-market factors affecting the underlying stocks, such as the addition or deletion of underlying stocks, substitution of stocks or stock splits, the Divisor or, as the case may be, the presumed par value of the relevant underlying stock used in calculating Nikkei 225 is adjusted in order that the level of Nikkei 225 is not altered in an uncoordinated way and thereby lacks continuity. Thereafter, the Divisor remains at the new value until a further adjustment is necessary as the result of another change. As a result of such change affecting any underlying stock, the Divisor is adjusted in such a way that the sum of all share prices immediately after such change multiplied by the applicable Multiplier and divided by the new Divisor (i.e., the level of Nikkei 225 immediately after such change) will equal the level of Nikkei 225 immediately prior to the change. Underlying stocks may be deleted or added by Nikkei. The composition of underlying stocks is, in general, reconsidered once a year, on the first business day of October, pursuant to the periodic reconsideration standard set up by Nikkei. There is no upper limit to the number of stocks to be replaced under the periodic reconsideration. Further, other than the periodic reconsideration, any stock becoming ineligible for listing in the First Section of the TSE due to any of the following reasons will be deleted from the underlying stocks: (i) delisting or transfer to "Seiri-Post" because of bankruptcy (such as filing an application for the application of the company reorganisation law or civil rehabilitation law, or company liquidation, etc.), (ii) delisting because of corporate restructuring such as merger into another company, stock-transfer or stock-for-stock exchange (iii) delisting or transfer to the "Seiri-Post" because of excess debt or any other reason or (iv) transfer to the Second Section. Any underlying stock which is transferred to the "Kanri-Post"

because of the high likelihood that it will become delisted or because it is undergoing an inspection of the application for delisting is in principle a candidate for deletion; however, the actual deletion of such stock will be decided after taking into account the possibility of continuance of business of the issuer or the likelihood of delisting, etc. Upon deletion of a stock from the underlying stocks, Nikkei will select a suitable replacement for such deleted underlying stock in accordance with certain criteria. As a general rule, in each case, the number of stocks to be deleted from and the number of replacement stocks to be added to the underlying stocks shall be the same and such replacement will be made on the same day to maintain the number of the underlying stocks at 225. However, under special circumstances Nikkei 225 may be calculated with less than 225 underlying stocks for a limited period of time between the deletion of a stock and the addition of a replacement stock. During this period the continuity in the index value of Nikkei 225 will be maintained by adjusting the Divisor each time upon addition, deletion or substitution of the underlying stock(s).

On October 23, 2013, Kroll Bond Rating Agency (“KBRA”), a registered National Recognized Statistical Rating Organization with the SEC, assigned the Issuer’s senior long-term and short-term debt and deposit ratings of AA and K1+, respectively, with a stable outlook. KBRA was requested to rate a commercial MBS multi-borrower transaction where the Issuer was one of four third party interest rate cap providers. Given KBRA’s policy to rate all parties to a transaction, it was required to issue a rating on the Issuer. These ratings were unsolicited and the Issuer did not participate in the rating process.

The regulatory landscape for AML practices remains in a state of rapid change in response to globalization, proliferation of technologies to conduct financial transactions, and new and changing money laundering and terrorist financing strategies. The scope of AML activities continues to expand with evolving criminal activities, such as tax evasion, human trafficking, bribery, and corruption. Money laundering, terrorist financing, and, increasingly, bribery and corruption pose significant potential risks for RBC. The Issuer’s reputation is at risk with regulators, clients and other stakeholders in the event of AML related incidence, particularly in light of the current regulatory environment. The regulatory tolerance for major AML Program failures is low as demonstrated by recent penalties and enforcement actions. Growth in wholesale credit: The Issuer’s wholesale loan growth has been strong in recent years, largely driven by Capital Markets. Loan growth in the U.S. has been strong given the Issuer’s strategy of expanding and strengthening client relationships in that market along with strong demand. Growth has been across various sectors with strong growth in commercial real estate and leveraged financing. In the event of significant economic deterioration, this may have an adverse effect on the Issuer’s results of operations and financial condition. High levels of Canadian household debt: Canadian household debt elevated persistently low interest rates continue to fuel strong home sales, supporting home prices and limiting moderation in mortgage credit growth. The risks surrounding elevated credit balances largely stem from households’ continued ability to manage existing debt repayments when interest rates rise and a greater share of disposable income is needed to make payments. Additional risk stems from the potential for high household debt to amplify the impact of an external shock to the Canadian economy. The combination of increasing unemployment, rising interest rates and a downturn in real estate markets would pose a risk to the credit quality of the Issuer's retail lending portfolio and may negatively affect the Issuer. Cybersecurity: The Issuer leverages advancements in technology to support its business model and enhance the experience of its clients on a global basis. As a result, the Issuer is exposed to risks related to cybersecurity and the increasing sophistication of cyber-attacks in the marketplace. Attacks in the industry are often focused on compromising sensitive data for inappropriate use or disrupting business operations. A Kibocsátó a Basel III-nak megfelelő, 2014. január 1-jét követően kibocsátott alárendelt kötvényei a fenti besorolásoktól eltérő besorolással rendelkeznek. Ezeket az S&P USA "A-”, a Moody’s USA "Baa1 (hyb)” a DBRS pedig "A (alacsony)" kategóriába sorolta be. 1

A jelen szakaszban meghatározott Értékpapírok 100,000, eurónál (vagy más pénznemben meghatározott ezzel egyenértékű összegnél) kisebb névértékű, illetve a W&C Értékpapírok esetében kisebb kibocsátási értékű értékpapírok. A Kibocsátó a jelen Kibocsátási Tájékoztató alapján a Kibocsátási Program keretében kibocsáthat nem-alárendelt (i) kötvényeket ("Kötvények"), (ii) visszaváltható certificate-eket ("Visszaváltható Certificate-ek") vagy lehívható certificate-ket ("Lehívható Certificate-ek") (a Visszaváltható Certificate-ek és a Lehívható Certificate-ek együtt "Certificate-ek") vagy warrantokat ("Warrantok"), amelyek bármely, a Kibocsátó és az adott Forgalmazó(k) által megállapított pénznemben kerülnek denominálásra és kifizetésre, és a Kötvények esetében legalább 1.000 eurós névértéken illetve a Visszaváltható Certificate-ek esetében legalább 1.000 eurós kibocsátási értéken (vagy, amennyiben az Kötvények vagy a Visszaváltható Certificate-ek más pénznemben kerülnek denominálásra, akkor azon pénznemben az ezzel egyenértékű összegben) (a Certificate-ek és a Warrantok együttesen "W&C Értékpapírok", míg a W&C Értékpapírok és a Kötvények együtt "Értékpapírok"). Az értékpapírkibocsátás pénzneme
A vonatkozó jogszabályi, irányelvi és rendeleti rendelkezéseknek történő megfelelés keretein belül az Értékpapírok bármely pénznemben kibocsátásra kerülhetnek, amelyben a Kibocsátó és a Forgalmazó a kibocsátás időpontjában megállapodik. Az Értékpapírok jelen Sorozatának pénzneme: euró ("EUR").

Az értékpapírok szabad átruházhatóságára vonatkozó korlátozások
Az Értékpapírok szabadon átruházhatóak az alábbi országokban érvényesülő forgalmazási és értékesítési korlátozásokkal, illetve a Prospektus Irányelvben foglalt korlátozásokkal és az abban az adott országban érvényesülő korlátozásokkal, ahol az Értékpapírok forgalmazásra és értékesítésre kerülnek: Kanada, Amerikai Egyesült Államok, Egyesült Királyság, Ausztria, Finnország, Franciaország, Németország, Írország, Olaszország, Hollandia, Portugália, Spanyolország, Magyarország, Svédország, Japán, Hong Kong, Svájc, Egyesült Arab Emirátusok (nem ideértve a Dubai Nemzetközi Pénzügyi Központot), Dubai Nemzetközi Pénzügyi Központ, Szingapúr, Bahrein.

A Kibocsátási Program keretében kibocsátott Értékpapírok többek között az alábbi feltételek mellett kerülnek kibocsátásra: Státusz (Rangsorolás) Az Értékpapírok a Kibocsátó nem-alárendelt és nem-biztosított kötelezettségeit fogják képezni és pari passu módon kerülnek rangsorolásra bármilyen, az értékpapírok egymással szemben érvényesülő elsőbbsége nélkül, továbbá legalább pari passu módon kerülnek rangsorolásra a Kibocsátó bármilyen jelenlegi és jövőbeli nem-alárendelt és nem-biztosított kötelezettségeivel szemben is (beleértve a betéti kötelezettségeket is), kivéve ha a vonatkozó jogszabályok ettől eltérően rendelkeznének. Egyetlen értékpapír sem minősül biztosított betétnek a Kanadai Betétbiztosítási Törvény értelmében (Kanada).

Gyűlések Az Értékpapírokra vonatkozó feltételek magukban foglalják az Értékpapírok tulajdonosai gyűlésének összehívására vonatkozó szabályokat, hogy az érdekeiket általában érintő kérdések megtárgyalásra kerüljenek. Kamatra és visszaváltásra vonatkozó rendelkezések
Kamat és További Összegek A Kötvények lehetnek kamatozók vagy nem-kamatozók és a W&C Értékpapírok lehetnek olyanok, amelyek alapján sor kerülhet vagy nem kerülhet sor további összegek fizetésére. A Kamatozó Kötvények vagy fix kamatozásúak, változó kamatozásúak vagy változó kamatozásúak (mely utóbbi Referenciatermékhez kötött lehet). Amennyiben egy W&C Értékpapír után sor kerül további összegek fizetésére, ezek az összegek egy fix referencia kamatláb alapján kerülnek megállapításra. A Kötvények lehetnek kamatozók vagy nem-kamatozók és a W&C Értékpapírok lehetnek olyanok, amelyek alapján sor kerülhet vagy nem kerülhet sor további összegek fizetésére. A Kamatozó Kötvények vagy fix kamatozásúak, változó kamatozásúak vagy változó kamatozásúak (mely utóbbi Referenciatermékhez kötött lehet). Amennyiben egy W&C Értékpapír után sor kerül további összegek fizetésére, ezek az összegek egy fix referencia kamatláb alapján kerülnek megállapításra. A kamatfizetés az Értékpapírok tekintetében a Referencia Termék hozamai alapján kerül meghatározásra. Lásd továbbá a C.9. pontot! A Kibocsátási Program keretében kibocsátott Értékpapírok bevezetésre kerülhetnek az Ír Tőzsdére vagy más - a lentiek szerint meghatározott szabályozott piacra vagy szabályozott piacra történő bevezetés nélküli kibocsátásuk is elképzelhető. Amennyiben az Értékpapírok bevezetésre kerülnek valamely szabályozott piacra, a Kibocsátó jóhiszemű döntése alapján sor kerülhet az Értékpapírok kivezetésére az adott szabályozott piacról, ha a bevezetett állapot a továbbiakban nem megoldható vagy túlzott terheket ró a társaságra. Az adott Értékpapírokhoz (ideértve az Indexhez Kötött Értékpapírokhoz, a Tőkerészesedéshez Kötött Értékpapírokhoz, a Devizához Kötött Értékpapírokhoz, az Alaphoz Kötött Értékpapírokhoz, az Elsőbbségi Részvényhez Kötött Kötvényekhez, és az Áruhoz Kötött Értékpapírokhoz) kapcsolódó strukturális kockázatokon felül a további kockázatok közé tartoznak az adott Referencia Termékhez kapcsolódó piaci zavarok, elszámolási zavarok, a Fizikai Teljesítéshez szükséges költségek, fedezeti és esetlegesen más érdekellentétek, adózási kérdések, üléseken meghatározott többség által, (a Svéd Kötvények kivételével) írásbeli határozattal vagy elektronikus jóváhagyással elfogadott kötelező módosítások, a kanadai uzsora jogszabályok, lejárat előtti visszaváltások, az Értékpapírok esetleges forgalomképtelensége, árfolyam kockázatok, a hitelminősítések, a tőzsdére bevezetett állapot fenntartásával kapcsolatos kötelezettség hiánya, a W&C Értékpapírok lehívása és a fizetendő összeg meghatározása közötti időszak, a Nyílt-végű W&C Értékpapírok előre meghatározott lejárati idejének hiánya, az Értékpapírok piaci értékét befolyásolja a Kibocsátó hitelessége és a W&C Értékpapírok tulajdonosai kötelesek megfizetni minden költséget (beleértve az adókat is), amely a W&C Értékpapírokkal kapcsolatban merülnek fel (a Kibocsátónak azon Certificatek tekintetében fennálló bruttósítási kötelezettsége mellett, amelyek betéti kötelezettséget igazolnak), a Kibocsátónak nem áll fenn bruttósítási kötelezettsége az olyan Warrantok és Certificatek tekintetében fennálló forrásadó tekintetében, amelyek nem minősülnek betétnek, továbbá az Értékpapírok értékcsökkentés, értékhelyesbítés és aktiválás tárgyai lehetnek a jelenleg hatályos és a jövőbeli vonatkozó kanadai jogszabályok alapján. A renminbiben denominált Értékpapírok további kockázatoknak vannak kitéve: a renminbi szabadon nem konvertálható és nem átruházható valuta és komoly korlátozások és tiltások vonatkoznak a renminbinek a Kínai Népköztársaság (ide nem értve Hong-Kong-ot, Makaót, és Taiwan-t) ("Kínai Népköztársaság") területére történő bevitelére, illetve onnan történő kivitelére, amelyek hátrányosan befolyásolhatják a renminbiben denominált Értékpapírok likviditását; a Kínai Népköztársaságon kívül kevés a rendelkezésre álló renminbi, amely befolyásolhatja ezeknek az értékpapíroknak a likviditását (forgathatóságát) és a Kibocsátó azon képességét, hogy ezeknek az Értékpapíroknak a kiszolgálása érdekében a Kínai Népköztársaságon kívül renminbit vonjon be; amennyiben a Kibocsátó nem képes renminbi bevonására, ezeknek az Értékpapíroknak a tulajdonosait amerikai dollárban is kielégítheti; a renminbiben denominált Értékpapírok tekintetében kifizetések a befektetők felé csak a vonatkozó feltételek és szabályok alapján és az ott meghatározott módon történhetnek.

A D.6 Elemet csak ott kell feltüntetni a Bizottság 809/2004 Rendelete céljából, ahol az Értékpapírok derivatív értékpapírok Lásd a fenti D3-at. Ezen felül: •
az Értékpapírok befektetői elveszíthetik a befektetésük teljes értékét az adott Értékpapír feltételei szerint, ahol a befektetett összegek különböző referenciákhoz kötöttek, mint például tőke,

Cím indexek, rögzített kamatozású referencia és tőzsdén kereskedett indexkövető alap; •
az Értékpapírok Kibocsátási ára magasabb lehet a piaci értéküknél a Kibocsátási Napon és az Értékpapírok áránál a másodlagos piaci ügyletekben;

ha az adott Értékpapír tőkeáttételt is tartalmaz, az adott Értékpapír esetleges tulajdonosainak tisztában kell lenniük azzal, hogy ezek az Értékpapírok magasabb kockázattal járnak, és hogy amikor veszteség merül fel, akkor a veszteség nagyobb lesz, mint azoknál az értékpapíroknál, amelyek tőkeáttételt nem tartalmaznak. A befektetők ezért csak akkor fektessenek be tőkeáttételt tartalmazó Értékpapírba, ha teljesen megértik a tőkeáttétel hatásait.

A Warrantok és a Lehívható Certificatek lejárhatnak, elértéktelenedhetnek. A fentieken túl, amennyiben az alkalmazandó Végleges Feltételekben az Automatikus Lejárat nincs kifejezetten szabályozva, és a befektető nem gyakorolja a Warrantokat vagy Lehívható Certificateket a megfelelő határidőben, a befektetőnek a Warrantokban vagy Lehívható Certificatekben megtestesülő befektetése lejár és elértéktelenedik, és
•
a Kibocsátó fizetésképtelensége esetén, vagy ha egyébként képtelen vagy nem hajlandó fizetést és/vagy fizikai leszállítást teljesíteni az Értékpapírok tekintetében esedékességkor, a befektető egészben vagy részben elveszítheti az Értékpapírokba történt befektetését.

Az ajánlattétel feltételeinek ismertetése
Az Értékpapírok egyes Tranche-ainak a kibocsátásából származó nettó bevételek a Kibocsátó általános forrásaihoz kerülnek hozzáadásra, vagy a Kibocsátó és/vagy kapcsolt vállalkozásai által az Értékpapírok fedezésére kerülnek felhasználásra. Amennyiben valamelyik kibocsátás kapcsán a bevételek meghatározott felhasználásra kerülne sor, ez szerepelni fog az alkalmazandó Végleges Feltételekben. Az Értékpapírok kibocsátásából származó nettó bevételek a Kibocsátó általános forrásaihoz kerülnek hozzáadásra és a Kibocsátó és/vagy kapcsolt vállalkozásai által az Értékpapírok fedezésére kerülnek felhasználásra.
A Kibocsátási Program szerint, és ha az alkalmazandó Végleges Feltétel így rendelkezik, az Értékpapírok felajánlásra kerülhetnek Nem-Mentesített Ajánlattétel keretében Ausztriában, Finnországban, Franciaországban, Németországban, Írországban, Olaszországban, Luxemburgban, Liechtensteinben, Hollandiában, Portugáliában, Spanyolországban, Svédországban és az Egyesült Királyságban. Az Értékpapírok ajánlattételi (forgalmazási) feltételei a kibocsátáskor kerülnek meghatározásra a kibocsátó és az adott Forgalmazó(k) közötti szerződésben és a Végleges Feltételekben kerülnek részletezésre. Amennyiben egy Befektető meg kíván vásárolni vagy megvásárol bármilyen Értékpapírt egy Nem-mentesített Ajánlattétel keretében egy Felhatalmazott Ajánlattevőtől, akkor a Felhatalmazott Ajánlattevő az Értékpapírok Befektetőnek történő felajánlása illetve forgalmazása során az alkalmazandó feltételek és szabályok szerint jár el az ár megállapítás, az allokáció és az elszámolás tekintetében. Az Értékpapírok kibocsátási ára a névértékük 100 százaléka.

A kibocsátásban/ ajánlatban részt vevő természetes és jogi személyek érdekei
A kibocsátó vagy az ajánlattevő által a befektetőre terhelt költségek összege.
Az adott Forgalmazó részére a Kibocsátási Program szerinti díj fizethető az Értékpapírok bármely kibocsátásával kapcsolatban. Az ilyen Forgalmazó és kapcsolt vállalkozásai köthettek a Program lebonyolítása során és a jövőben is befektetési banki és/vagy kereskedelmi banki tranzakciókat a Kibocsátóval és kapcsolt vállalkozásaival, és nyújthatnak szolgáltatásokat a Kibocsátó és kapcsolt vállalkozásai részére a rendes üzletvitel keretében. A fentiekben említetteken kívül, a Forgalmazó részére fizetendő díjak kivételével, és a Kibocsátó tudomása szerint eddig nincs olyan, az ajánlattételben résztvevő személy, akinek az Értékpapírokkal kapcsolatban az ajánlat szempontjából lényeges érdeke lenne. Nem várható, hogy a kibocsátó költséget fog felszámítani a befektetőkkel szemben a Kibocsátási Program szerinti Értékpapír kibocsátások után.
A kibocsátó nem számít fel költségeket a befektetőkkel szemben.
