Artikel 1. Toepasselijkheid. 1.1. Tenzij uitdrukkelijk anders schriftelijk is overeengekomen, zijn deze algemene voorwaarden van toepassing op al onze uitnodigingen tot het doen van aanbiedingen, aanbiedingen en/of door ons aanvaarde opdrachten; zij gelden boven welke algemene voorwaarden van de opdrachtgever dan ook, zelfs indien deze laatste voorwaarden een bepaling bevatten omtrent hun uitsluitende toepasselijkheid. 1.2. Door het geven van een opdracht wordt de opdrachtgever beschouwd volledig akkoord te zijn gegaan met de uitsluitende toepasselijkheid van deze algemene voorwaarden. 1.3. Voorzover nodig, wijzen wij de toepasselijkheid van eventuele (algemene) voorwaarden van de opdrachtgever hierbij uitdrukkelijk van de hand. Artikel 2. Offertes. 2.1. Al onze offertes zijn vrijblijvend. Slechts na schriftelijke aanvaarding door ons van een opdracht wordt een overeenkomst geacht tot stand te zijn gekomen. 2.2. Al onze offertes behouden hun geldigheid gedurende een periode van een maand, tenzij uitdrukkelijk anders is vermeld. 2.3. Al onze offertes zijn gebaseerd op levering en/of uitvoering onder normale omstandigheden en gedurende normale werkuren. 2.4. Gegevens vermeld in catalogi, afbeeldingen, tekeningen, maat- en gewichtsopgaven, berekeningen en andere door ons verstrekte gegevens zijn niet bindend, behalve voor zover deze uitdrukkelijk zijn opgenomen in een door ons ondertekend contract of een door ons ondertekende opdrachtbevestiging. 2.5. Indien levering of uitvoering plaats moet vinden in overeenstemming met technische tekeningen, die onderworpen zijn aan goedkeuring van de opdrachtgever, geschiedt de levering respectievelijk uitvoering zodra wij door de opdrachtgever goedgekeurde tekeningen hebben ontvangen. Artikel 3. Eigendom van ontwerpen. 3.1. Tekeningen, berekeningen, beschrijvingen, modellen en in voorkomende gevallen gereedschappen, welke door ons worden verstrekt, blijven ons eigendom, ook indien de opdrachtgever daarvoor kosten in rekening zijn gebracht en/of indien de opdracht door ons is aanvaard of uitgevoerd. Zij mogen niet worden gekopieerd of anderszins vermenigvuldigd noch worden verstrekt of ter inzage gegeven aan derden, tenzij ter uitvoering van de overeenkomst. Artikel 4. Overeenkomst. 4.1. Indien de overeenkomst schriftelijk wordt aangegaan, komt deze tot stand op de dag van ondertekening van het contract door ons, of op de dag van verzending door ons van de schriftelijke opdrachtbevestiging. 4.2. Mondelinge toezeggingen door en/of afspraken met onze ondergeschikten binden ons niet dan nadat en voor zover zij door ons schriftelijk zijn bevestigd. 4.3. Uit hoofde van de overeenkomst hebben wij het recht om de opdrachtgever afzonderlijk meerwerk dat wij hebben uitgevoerd in rekening te brengen, zodra het daarvoor in rekening te brengen bedrag ons bekend is. Onder meerwerk wordt verstaan alles wat door ons wordt geleverd en/of uitgevoerd, ofwel op verzoek of in opdracht van de opdrachtgever, ofwel in opdracht van derden, ofwel ten gevolge van nieuwe of gewijzigde voorschriften, buiten hetgeen geleverd en/of uitgevoerd wordt ingevolge onze offertes, onze opdrachtbevestiging en/of overeenkomst. Artikel 5. Prijs. 5.1. De door ons afgegeven prijzen gelden voor levering af magazijn Oud Beijerland, tenzij uitdrukkelijk anders is overeengekomen. 5.2. Opgegeven prijzen luiden, voor zover niet uitdrukkelijk anders vermeld, steeds in Euro’s en zijn exclusief omzetbelasting of andere belastingen of heffingen. 5.3. Bij orders binnen Nederland onder de € 50,- worden administratiekosten in rekening gebracht; hetzelfde geldt voor export orders onder de € 250,-. Artikel 6. Risicoclausule. 6.1. De in onze offertes opgegeven prijzen zijn gebaseerd op de kostprijsfactoren welke gelden op de datum van deze offertes. 6.2. Indien de prijzen van grondstoffen, materiaal, materieel, onderdelen, energie, lonen, sociale verzekeringspremies, belastingen, rente en/of andere kostprijsfactoren een verhoging ondergaan gedurende de periode tussen de datum van aanbieding en de datum van levering en/of voltooiing der werkzaamheden, zijn wij gerechtigd de overeengekomen prijs dienovereenkomstig te verhogen, ook indien de kostprijsverhogingen voorzienbaar waren op het moment van de aanbieding. 6.3. Prijsverhogingen ten gevolge van valutaschommelingen en veranderingen van de waarde tegenover de euro van buitenlandse valuta waarin enige betaling die verband houdt met de levering of uitvoering gedaan moet worden, zijn voor rekening van de opdrachtgever. Artikel 7. Transport. 7.1. De in- en uitlading en het vervoer van de in de overeenkomst begrepen zaken geschieden, tenzij schriftelijk anders is overeengekomen, voor rekening en risico van de opdrachtgever, zelfs dan, wanneer de vervoerder voor de van ons uitgaande zendingen de verklaring op de vrachtbrief vordert dat alle schade gedurende het transport voor risico van de afzender is. 7.2. Wereldwijd zijn de door ons geleverde zaken tegen transportschade verzekerd met een franchise van € 500,- per gebeurtenis, welke voor rekening van opdrachtgever blijft. De opdrachtgever is verantwoordelijk voor het tijdig melden van de schade aan de vervoerder en de afzender en wel binnen drie dagen nadat voor of namens opdrachtgever de schade is geconstateerd danwel redelijkerwijs geconstateerd had moeten kunnen worden en dient in elk geval bij ontvangst van beschadigde zaken daaromtrent op de vrachtbrief een aantekening te maken. Na akkoord bevinding door onze assuradeur zal de aldus geaccepteerde schade worden vergoed. 7.3. Wij behouden ons het recht voor opdrachten in gedeelten af te leveren en deze deelleveringen te factureren. 7.4. Binnenlands vervoer wordt door ons in beginsel opgedragen aan DHL of UPS terwijl buitenlandse orders in beginsel per UPS worden verzonden, tenzij anders overeengekomen of door ons aan andere verzendwijzen de voorkeur wordt gegeven. 7.5. Wij verzorgen kosteloos de verpakking van onze zaken in door ons te bepalen hoeveelheden en aantallen, zonder dat wij hiervoor enige aansprakelijkheid dragen en zonder dat wij verplicht zijn de verpakking terug te nemen, tenzij terugname van de verpakking dwingend voortvloeit uit hoofde van de Richtlijn 94/62/EG betreffende verpakking en verpakkingsafval. Wij behouden ons het recht voor de kosten van speciale verpakking, zoals bijvoorbeeld van materialen in glas of van plastic pallets, bij de opdrachtgever in rekening te brengen. Artikel 8. Levering en leveringstermijnen. 8.1. De leveringsdatum respectievelijk de levertijd gaat in op de laatste der navolgende tijdstippen: (a) de dag van totstandkoming van de overeenkomst; (b) de dag van ontvangst door ons van de voor levering en/of uitvoering van de opdracht noodzakelijke bescheiden, gegevens, vergunningen, ontheffingen, toestemmingen en dergelijke; (c) de dag van de vervulling van de formaliteiten welke noodzakelijk zijn alvorens door ons uitvoering kan worden gegeven aan onze verplichtingen uit de overeenkomst; (d) de dag van ontvangst van de eerste termijn, indien betaling in termijnen is overeengekomen en de eerste termijn bij opdracht vervalt. 8.2. Door ons opgegeven levertijden zijn nimmer te beschouwen als fatale termijn. Bij niet-tijdige levering dienen wij schriftelijk in gebreke te worden gesteld. Mocht zich, nadat de levertijd is vastgesteld, bij een van de partijen een omstandigheid voordoen welke tot wijziging van tijdstip en/of tijdstippen van levering noopt, dan zal die partij daarvan aan de andere partij terstond schriftelijk, per telefax of per email kennis geven. Overschrijding van de leveringstermijn, door welke oorzaak ook, geeft de opdracht gever geen recht op niet nakoming van enige jegens ons aangegane verplichting, noch op het al dan niet met rechtelijke machtiging verrichten of doen verrichten van werkzaamheden ter uitvoering van de overeenkomst, noch op enige schadevergoeding, uit welke hoofde dan ook. 8.3. De zaken gelden als door ons geleverd: (a) zodra de zaken conform hetgeen in de overeenkomst ten aanzien van de wijze van levering is bepaald ter beschikking van de opdrachtgever zijn gesteld; (b) ingeval van levering van zaken gecombineerd met uit te voeren werkzaamheden, zodra de zaken zijn gemonteerd en, indien deze schriftelijk is overeengekomen, de keuring heeft plaatsgevonden. 8.4 De opdrachtgever zal, indien hierom door ons wordt verzocht, een overnameprotocol ondertekenen ten bewijze dat de zaken compleet en bedrijfsgereed zijn opgeleverd, zulks onverminderd het bepaalde in artikel 11. 8.5 Indien levering van 10 % of minder van de in de overeenkomst begrepen zaken om welke reden dan ook niet kan plaatsvinden, zal dit de opdrachtgever niet van enige verplichting uit de overeenkomst jegens ons ontslaan. De ontbrekende zaken zullen door ons zo spoedig mogelijk onder de voorwaarden van de oorspronkelijke overeenkomst alsnog worden geleverd. Artikel 9. Betaling. 9.1. Alle betalingen dienen zonder enige aftrek of verrekening te geschieden binnen 30 dagen na factuurdatum, tenzij anders overeengekomen. 9.2. Indien de opdrachtgever niet binnen de overeengekomen termijn betaalt, wordt hij geacht van rechtswege in verzuim te zijn en hebben wij zonder enige ingebrekestelling het recht hem vanaf de vervaldag de wettelijke rente in rekening te brengen en tevens alle op de inning van onze vordering vallende buitengerechtelijke kosten, welke worden gesteld op 15 % van de verschuldigde hoofdsom, met een minimum van € 200,-. 9.3. Wij hebben te allen tijde het recht om van de opdrachtgever een bankgarantie of zekerheidsstelling te verlangen ter verzekering van zijn betalingsverplichtingen, voordat wij de aflevering van de zaken of van enig werk aanvangen of de uitvoering voortzetten. 9.4. Conform het bepaalde in artikel 13 hebben wij, indien de opdrachtgever in gebreke blijft aan zijn betalingsverplichtingen te voldoen of om een bankgarantie dan wel zekerheid te stellen, het recht de levering of uitvoering op te schorten, totdat hij aan zijn verplichting(en) heeft voldaan. Artikel 10. Risico en eigendomsvoorbehoud. 10.1. Onmiddellijk nadat de zaken als geleverd gelden overeenkomstig het bepaalde in artikel 8 lid 3, draagt de opdrachtgever het risico voor alle (directe of indirecte) schade die aan of door deze zaken mocht ontstaan, met dien verstande dat indien levering tegen documenten is overeengekomen de opdrachtgever genoemd risico draagt vanaf het eerste der navolgende momenten: (a) de inlading der zaken; (b) de terbeschikkingstelling van de opdrachtgever van de documenten. 10.2. Wij leveren onze zaken aan de opdrachtgever, welke leveranties de opdrachtgever geacht worden te aanvaarden, onder de opschortende voorwaarde dat de opdrachtgever volledig aan zijn op enig moment jegens ons bestaande verplichtingen voldoet. Het hierin besloten eigendomsvoorbehoud strekt zich tevens uit tot: (a) met de voornoemde roerende zaken gemaakte nieuwe zaken; (b) vorderingen betreffende tegenprestaties van op grond van de overeenkomst of enige andere overeenkomst van welke aard dan ook door ons aan de opdrachtgever geleverde of nog te leveren zaken of krachtens een zodanige overeenkomst tevens ten behoeve van de opdrachtgever verrichte of te verrichten werkzaamheden; en (c) vorderingen wegens het tekortschieten in de nakoming van de sub (b) bedoelde overeenkomsten, die tot schadevergoeding en vergoeding van buitengerechtelijke en gerechtelijke kosten, contractuele en wettelijke renten, boeten en dwangsommen daaronder begrepen. 10.3 Zo lang de opschortende voorwaarde als bedoeld in artikel 10.2 niet is ingetreden, heeft de opdrachtgever de bevoegdheid om de onder eigendomsvoorbehoud gekochte zaken te vervreemden, de feitelijke macht over die zaken geheel of gedeeltelijk aan een of meer derden te geven of een rechtshandeling aan te gaan die ertoe verplicht die feitelijke macht over de gekochte zaken geheel of gedeeltelijk aan een of meer derden uit handen te geven, met dien verstande dat (a) deze bevoegdheden slechts aan de opdrachtgever toekomen indien en voor zover dat nodig althans wenselijk is in het kader van de normale uitoefening van zijn bedrijf, (b) deze bevoegdheden slechts aan de opdrachtgever toekomen indien en voor zover de opdrachtgever van zijn wederpartij contante betaling eist en verkrijgt, danwel van zijn wederpartij een even verstrekkend eigendomsvoorbehoud bedingt als het onderhavige, zij het zonder vervreemdingsbevoegdheid voor die wederpartij; (c) de opdrachtgever nimmer enige bevoegdheid tot bezwaring van de aan hem onder eigendomsvoorbehoud verkochte zaken heeft. De opdrachtgever verplicht zich op ons eerste verzoek eventuele vorderingen die ontstaan of zullen ontstaan door vervreemding van door ons aan hem onder eigendomsvoorbehoud verkochte zaken aan derden, aan ons te cederen of - naar onze keuze te verpanden. 10.4. Op afgeleverde zaken die door betaling in eigendom van de opdrachtgever zijn overgegaan en zich nog in handen van de opdrachtgever bevinden, behouden wij ons hierbij reeds nu vooralsdan pandrechten voor als bedoeld in artikel 3:237 BW tot meerdere zekerheid van vorderingen, anders dan de in artikel 3:92 lid 2 BW genoemde, die wij dan uit welke hoofde dan ook tegen de opdrachtgever mochten hebben. 10.5 De opdrachtgever is gehouden onze onder eigendomsvoorbehoud afgeleverde zaken met de nodige zorgvuldigheid en als herkenbaar eigendom van ons te bewaren. De opdrachtgever is voorts verplicht de zaken voor de duur van eigendomsvoorbehoud tegen brand-, ontploffings- en waterschade alsmede tegen diefstal te verzekeren en de polissen van deze verzekeringen aan ons op eerste aanzegging ter inzage te geven. Alle aanspraken van de opdrachtgever op verzekeraar van de zaken uit hoofde van genoemde verzekering zullen, zodra wij dat wensen, aan ons worden verpand tot meerdere zekerheid van onze vorderingen op de opdrachtgever.

Indien de opdrachtgever met de nakoming van zijn betalingsverplichtingen in gebreke is of in betalingsmoeilijkheden verkeert, zijn wij gerechtigd zonder dat ingebrekestelling is vereist de zaken die ons eigendom zijn gebleven weg te halen of te doen weghalen van de plaats waar deze zich bevinden. Wij hebben alsdan het recht, hetzij de zaken onder ons te houden totdat het verschuldigde bedrag met inbegrip van rente, kosten en schadevergoeding volledig is voldaan, hetzij de zaken aan derden te verkopen, in welk geval de netto opbrengst - die in geen geval hoger kan zijn dan de oorspronkelijke koopprijs - in mindering komt op het door de opdrachtgever totaal verschuldigde. De opdrachtgever is verplicht ons onverwijld op de hoogte te stellen, wanneer derden rechten doen gelden met betrekking tot nog aan ons in eigendom toebehorende zaken.
Artikel 11. Garantie en reclame. 11.1. Met inachtneming van de hiernavolgende beperkingen garanderen wij de opdrachtgever de deugdelijkheid en kwaliteit van de door ons geleverde zaken en/of verrichte werkzaamheden, met dien verstande dat deze garantie slechts geldt indien de geleverde zaken worden gebruikt overeenkomstig hun bestemming en volgens door ons te stellen danwel in het maatschappelijke verkeer geldende normen. 11.2. Deze garantie wordt gegeven voor een periode van drie maanden. Elektronicacomponenten, lampen en tl buizen vallen buiten onze garanties. 11.3. Bij levering zonder montage gaat de garantieduur in op de dag van levering in de zin van artikel 8.1. Bij levering met montage gaat de garantieduur in op de dag van bedrijfsvaardig opstellen, overeenkomstig artikel 8 lid 3 onder b. 11.4. Wij zijn uit hoofde van deze garantie slechts aansprakelijk voor gebreken, waarvan de opdrachtgever aantoont dat deze voor of binnen de garantieduur zijn ontstaan, uitsluitend of overwegend als direct gevolg van de ondeugdelijkheid van de door ons geleverde materialen, of de door ons toegepaste methode van fabricage en/of wijze van uitvoering. Voor ontwikkelingsrisico’s zijn wij niet aansprakelijk. 11.5. Wij spannen ons redelijkerwijs in om de zaken te beschermen en te bestendigen tegen enig frauduleuze manipulatie. Wij garanderen echter niet dat de zaken geheel bestand en beschermd zijn tegen alle vormen van frauduleuze manipulatie of ander oneerlijk gebruik. 11.6. De garantie wordt verstrekt met dien verstande dat wij niet aansprakelijk kunnen worden gehouden in het geval: (a) gebreken veroorzaakt zijn door abnormale of ongebruikelijke stalling, opslag of gebruik of door enig handelen, nalaten of misbruik door de opdrachtgever of enige derde, inclusief niet onder onze autorisatie of toezicht gedane installatie, reparatie of inschakeling/aansluiting en het niet of niet tijdig naleven van gebruiks- of onderhoudsinstructies; (b) gebreken geheel of gedeeltelijk het gevolg zijn van materiaal, apparatuur, een constructie of een wijze van uitvoering welke door de opdrachtgever werd gekozen of werd voorgeschreven door enig voorschrift van de overheid; of (c) de termijnen genoemd in artikel 9 lid 12 door opdrachtgever niet in acht zijn genomen. 11.7. Wij zijn uit hoofde van deze garantie slechts gehouden het ondeugdelijke ter onzer beoordeling te vervangen of te herstellen. Vervanging strekt niet verder dan het franco toezenden van een nieuw exemplaar. 11.8. Bij vervanging of herstel geldt voor de vervangen of herstelde onderdelen een garantieduur gelijk aan de nog niet verlopen oorspronkelijke garantieduur van de geleverde zaak. 11.9. Ingeval van levering van gebruikte materialen of zaken in overleg met de opdrachtgever, wordt door ons geen garantie gegeven tenzij anders schriftelijk overeengekomen. 11.10. Het beweerdelijk niet nakomen door ons van onze garantieverplichtingen ontslaat de opdrachtgever niet van de verplichtingen, die voor hem voortvloeien uit enige met ons gesloten overeenkomst. 11.11. Wij zijn niet tot enige vorm van garantie gehouden indien de opdrachtgever niet, niet behoorlijk of niet tijdig voldoet aan enige verplichting, die voor hem uit de met ons gesloten overeenkomst of uit een daarmee samenhangende overeenkomst voortvloeit. 11.12. Reclamering terzake van gebreken dient zo spoedig mogelijk schriftelijk te geschieden, doch uitsluitend tegen overlegging van de afleveringsbon, terwijl voorts geldt dat: (a) ingeval van uitwendig waarneembare gebreken uiterlijk binnen acht dagen na ontvangst van de zaken dient te zijn gereclameerd; en (b) ingeval van niet-uitwendig waarneembare gebreken binnen tien werkdagen na constatering, doch uiterlijk binnen acht werkdagen na het verstrijken van de garantietermijn moet zijn gereclameerd, bij overtreding van welke termijnen elke aanspraak tegen ons terzake van de desbetreffende gebreken vervalt. 11.13. Terzake van de door ons geleverde zaken die niet door ons zelf zijn vervaardigd, strekt onze aansprakelijkheid uit garantie niet verder dan de aansprakelijkheid uit hoofde van garantie van de leverancier / fabrikant van deze zaken jegens ons. Artikel 12. Aansprakelijkheid. 12.1. Onze aansprakelijkheid uit hoofde van deze overeenkomst is uitdrukkelijk beperkt tot nakoming van de verplichtingen, welke wij uit hoofde van de in artikel 11 omschreven garantie op ons hebben genomen. Iedere verdere aansprakelijkheid, hetzij voor directe, hetzij voor indirecte schade, kosten en interessen is uitdrukkelijk uitgesloten. 12.2. Onverminderd het bepaalde in artikel 11 zijn wij, behoudens ingeval van opzet of bewuste roekeloosheid onzerzijds, niet aansprakelijk voor kosten, schade en interessen, die direct of indirect het gevolg zijn van: (a) nalatigheid van onze werknemers of personen die ons bijstaan bij de uitvoering van de overeenkomst; (b) overschrijding van de leveringstermijn door omstandigheden welke niet aan onze schuld te wijten zijn; (c) schade welke direct of indirect aan personen, zaken of het bedrijf van de opdrachtgever en/of derden mogen ontstaan. 12.3. De opdrachtgever is gehouden ons te vrijwaren en schadeloos te stellen terzake van alle kosten, schade en interessen, welke voor ons mochten ontstaan als direct of indirect gevolg van vorderingen, welke tegen ons in of buiten rechte worden ingesteld door derden in verband met de uitvoering van deze overeenkomst. 12.4. Elektronicacomponenten en lampen worden niet geruild of teruggenomen. Artikel 13. Opschorting en ontbinding. 13.1. Indien de opdrachtgever niet, niet behoorlijk of niet tijdig voldoet aan enige verplichting, die voor hem uit de met ons gesloten overeenkomst of uit een daarmee samenhangende overeenkomst voortvloeit, dan wel indien het aan ernstige twijfel onderhevig is of de opdrachtgever in staat is om zijn contractuele verplichtingen jegens ons na te komen, alsmede ingeval van surseance van betaling, faillissement, toepasselijkheid van een wettelijke schuldsanering natuurlijke personen, stillegging, liquidatie of gehele of gedeeltelijke overdracht van het bedrijf van de opdrachtgever, zal hij geacht worden in verzuim te zijn en zijn wij gerechtigd om zonder sommatie, ingebrekestelling of rechterlijke tussenkomst na schriftelijke mededeling aan de opdrachtgever, hetzij de uitvoering van elk dezer overeenkomsten op te schorten gedurende een periode van ten hoogste zes maanden, hetzij deze geheel of ten dele te ontbinden, zonder dat wij tot enige schadevergoeding of garantie gehouden zullen zijn en onverminderd de ons verder toekomende rechten. 13.2. Indien artikel 13.1 van toepassing is, wordt al hetgeen de opdrachtgever verschuldigd is of zal worden uit hoofde van de overeenkomst direct opeisbaar onder aftrek van de reeds voldane termijnen en van de nog niet door ons gemaakte kosten, en is de opdrachtgever gehouden om het voren omschreven bedrag te betalen en de daarin begrepen zaken tot zich te nemen, bij gebreke waarvan wij bevoegd zijn deze zaken voor rekening en risico van de opdrachtgever te doen opslaan dan wel voor diens rekening te verkopen. 13.3. Ingeval van overmacht onzerzijds, waaronder wordt verstaan elke van onze wil onafhankelijke omstandigheid - ook al was deze ten tijde van het sluiten van de overeenkomst reeds te voorzien - waardoor nakoming van de overeenkomst redelijkerwijs niet van ons kan worden gevergd, zijn wij gerechtigd om zonder rechterlijke tussenkomst na schriftelijke mededeling aan de opdrachtgever, hetzij de uitvoering van de overeenkomst gedurende ten hoogste zes maanden op te schorten, hetzij de overeenkomst geheel of ten dele te ontbinden zonder dat wij tot enige schadevergoeding of boete gehouden zullen zijn, zelfs indien deze boete schriftelijk was overeengekomen. Artikel 14. Terugzending van de zaken. 14.1 Terugzending van de zaken behoeft onze voorafgaande toestemming en dient franco te geschieden met bijsluiting van een kopie factuur der betreffende zaken en voorzien van het RMA nummer. Artikel 15. Bewijs administratie. 15.1 Onverminderd de mogelijkheid van bewijs van het tegendeel zijn onze administratieve gegevens betreffende deze overeenkomst beslissend. Artikel 16. Toepasselijk recht / bevoegde rechter. 16.1. Op alle overeenkomsten, waarop deze voorwaarden geheel of gedeeltelijk van toepassing zijn, is Nederlandse recht van toepassing, met dien verstande dat het in deze voorwaarden besloten eigendomsvoorbehoud, voor zover gunstiger voor ons, na invoer van de betrokken zaken in een ander land in de volle omvang en in het bijzonder ook in zijn reikwijdte geregeerd wordt door het recht van dit betreffende land. 16.2. Alle geschillen welke bij de uitvoering van of in verband met een overeenkomst mochten ontstaan, zullen, voorzover de wet niet dwingend anders voorschrijft, met uitsluiting van iedere andere Rechter aanhangig worden gemaakt bij de terzake van het geschil bevoegde Rechter te Rotterdam, tenzij wij mochten verkiezen het geschil te onderwerpen aan een ander terzake van het geschil bevoegde Rechter. Artikel 17. Keuring en beproeving. 17.1 Indien keuring en/of beproeving schriftelijk is overeengekomen, zullen wij in de gelegenheid worden gesteld door opdrachtgever tot het nemen van voorproeven. De opdrachtgever zorgt voor tijdige terbeschikkingstelling van de hiervoor nodige hulpwerktuigen, hulp- en bedrijfsmaterialen, water, energie, verwarming en verlichting, alles voor zijn rekening en risico. 17.2 Aan ons zal gelegenheid worden gegeven aan bezwaren van de opdrachtgever naar aanleiding van de beproeving tegemoet te komen, alvorens de installatie door opdrachtgever afgekeurd of geweigerd kan worden. 17.3 De kosten van de keuring zijn voor rekening van de opdrachtgever. 17.4 De keuring mag geen oorzaak worden van enigerlei vertraging in de voortgang van onderhavige of andere werkzaamheden van ons. Indien de opdrachtgever niet binnen acht dagen, nadat hij van de gelegenheid tot keuring in kennis is gesteld, gebruik heeft gemaakt van dat recht, worden de zaken geacht te zijn goedgekeurd. Artikel 18. Montage en installatie. 18.1 De opdrachtgever is jegens ons verantwoordelijk voor de juiste en tijdige uitvoering van alle inrichtingen, voorzieningen en/of voorwaarden, die noodzakelijk zijn voor de opstelling van de te monteren zaken en/ of de juiste werking daarvan in gemonteerde staat, behoudens indien en voor zover de uitvoering door of vanwege ons wordt verricht volgens door of vanwege ons verstrekte gegevens en/of vervaardigde tekeningen. 18.2 Onverminderd het bepaalde in artikel 18.1 zorgt de opdrachtgever in ieder geval voor eigen rekening en risico dat: a. ons personeel, zodra dit op de plaats van opstelling is aangekomen, zijn werkzaamheden kan aanvangen en blijven verrichten gedurende de normale werkuren en bovendien, indien wij dit noodzakelijk acht, buiten de normale werkuren, mits wij dit tijdig aan de opdrachtgever hebben medegedeeld; b. geschikte behuizing en alle krachtens overheidsregelingen, de overeenkomst en het gebruik vereiste voorzieningen voor ons personeel aanwezig zijn; c. de toegangswegen tot de plaats van opstelling geschikt zijn voor het benodigde transport; d. de aangewezen plaats van opstelling geschikt is voor opslag en montage; e. de nodige afsluitbare opslagplaatsen voor materiaal, gereedschap en andere zaken aanwezig zijn; f. de nodige en gebruikelijke hulpwerklieden, hulpwerktuigen, hulp- en bedrijfsmaterialen (brandstoffen, oliën en vetten, poets- en ander klein materiaal, gas, water, elektriciteit, stoom, perslucht, verwarming, verlichting enz., daaronder begrepen), en de voor het bedrijf van opdrachtgever normale meet- en testapparatuur tijdig en kosteloos op de juiste plaats ter beschikking van ons staan; g. alle noodzakelijke veiligheids- en voorzorgsmaatregelen zijn genomen en worden gehandhaafd, alsmede dat alle maatregelen zijn genomen en worden gehandhaafd teneinde in het kader van de montage/installatie aan de toepasselijke overheidsvoorschriften te voldoen. h. bij aanvang van en tijdens de montage de gezonden producten op de juiste plaats aanwezig zijn. 18.3 Schade en kosten, die ontstaan doordat aan de in dit artikel gestelde voorwaarden niet of niet tijdig is voldaan, zijn voor rekening van de opdrachtgever. Deze algemene voorwaarden treden in werking op 22 december 2009 en zijn gedeponeerd ter griffie van de Arrondissementsrechtbank te Rotterdam.

Applicability Unless it has been agreed explicitly otherwise in writing, these general conditions shall apply to all our invitations to make an offer, offers and/or orders accepted by us; they shall prevail over any of the principal’s general conditions whatsoever, even if these last conditions contain a provision about their exclusive applicability. By giving an order the principal is considered to have agreed fully to the exclusive applicability of these general conditions. In so far as necessary we hereby explicitly reject the applicability of any (general) conditions of the principal.

Offers All our offers shall be without engagement. Only after written acceptance of an order by us the agreement shall be considered to have been concluded. All our offers shall retain their validity during a one-month period, unless explicitly provided otherwise. All our offers are based on delivery and/or execution under normal circumstances and during normal working hours. Information provided in catalogues, illustrations, drawings, statements of weights and measures, calculations and other particulars supplied by us shall not be binding except insofar as they have been included explicitly in a contract signed by us or a conformation of |sale signed by us. If delivery or execution is to be effected in accordance with technical drawings of ours that are subject to the principal’s approval, the delivery or execution shall be effected as soon as we have received the drawings approved by the principal.
Article 3. 3.1
Ownership of designs Drawings, calculations, descriptions, models and tools, if applicable, that are furnished by us shall remain our property even if the principal has been charged for them and/or the order was accepted or executed by us. They may not be copied or otherwise multiplied nor provided or made available for inspection to third parties, unless needed to execute the agreement.

Agreement If the agreement has been entered into in writing, it shall be concluded on the day we have signed the contract or on the day the written confirmation of sale has been mailed to the principal. Oral promises by and/or arrangements with our employees shall not bind us unless confirmed by us in writing. Pursuant to the agreement we shall have the right to charge the principal separately for any additional work that we have carried out as soon as the amount to be charged for this work is known to us. Additional work shall mean everything we shall supply and/or install either at the request of or by order of the principal or by the order of third parties, or as a consequence of new or changed regulations, in addition to the work supplied and/or installed pursuant to our offers, our confirmation of sale and/or the agreement.

Price The prices given by us shall apply to delivery ex warehouse Oud Beijerland, the Netherlands, unless explicitly agreed otherwise. All prices shall be in Euro and excluding VAT and other governmental levies and taxes, unless explicitly agreed otherwise. In the case of orders inside the Netherlands of less than Euro 50 administration expenses shall be charged; the same applies to export orders under Euro 250.

Risk clause The prices stated in our offers are based on the cost price elements applicable on the date of these offers. If the prices of raw materials, material, equipment, parts, energy, wages, social insurance contributions, taxes, interest and/or other cost price elements are subject to any increase during the period between the date of offer and the date of delivery and/or completion of the work, we shall be entitled to raise the agreed price accordingly even if the cost price increases were foreseeable at the time of the offer. Price increases due to currency fluctuations and changes against the Euro in the value of foreign currency in which any payment related to the delivery or execution is due, shall be for the account of the principal.

Transport Unless agreed otherwise in writing, the loading and unloading and the transport of the goods included in the agreement shall be at the risk and expense of the principal, even if the carrier for any shipments originated by us has required a statement on the waybill that all damage during transport is at our risk. Goods delivered by us are insured against transport damage with a franchise of Euro 500 per event for the account of the principal. The principal shall be liable for the timely report of any damage to the carrier and the consignor, meaning within three days after the damage has been established or could reasonably have been established, and shall in any event on receipt of any damaged goods make a note on the relevant waybill. After approval by our insurer the principal will be compensated for the agreed loss. We reserve the right to deliver ordered goods in instalments and to invoice these instalments. In principle domestic transport shall be entrusted by us to DHL or UPS, while foreign orders shall in principle be entrusted to UPS, unless agreed otherwise or other methods of despatch are preferred by us. We shall arrange for the packaging of our goods free of charge in quantities and numbers to be determined by us, without any liability and without any obligation to return packaging, unless return is required pursuant to the EU Directive 94/62/EC on packaging and packaging waste. We reserve the right to charge the principal for special packing (such as materials in glass and plastic pallets).

Delivery and terms of delivery The term of delivery and the delivery date respectively shall commence at the latest of the following events: the day of execution of the agreement; the day we received the documents, information, permits, exemptions, approvals etcetera necessary for the delivery and/or execution of the order; the day all requirements necessary for us to fulfil our obligations under the agreement have been met; the day of receipt of the first instalment, if payment in instalments has been agreed and the first instalment is due upon order. Delivery periods stated by us are not to be considered fatal periods. In the event of late delivery we must be held in default in writing. If, once the delivery time has been determined, due to circumstances attributable to one of the parties, the delivery time and/or times need to be changed, such party shall immediately notify the other party thereof in writing by telefax or electronic mail. Exceeding the term of delivery, for whatever reason, does not entitle the principal to suspend any obligation undertaken towards us, or to perform or have work performed under the agreement with or without judicial authorization or to any compensation for whatever reason. The goods shall be considered delivered by us: as soon as the goods have been placed at the disposal of the principal in accordance with the delivery terms set out in the agreement; if goods are delivered in combination with work to be done as soon as the goods have been assembled and - if it has been agreed in writing - the inspection has taken place. At our request, the principal shall sign a transfer protocol stating that the goods have been delivered complete and in working condition, notwithstanding article 11. If for any reason whatsoever 10% or less of the goods included in the agreement cannot be delivered, the principal shall not be released from any obligation under the agreement towards us. Any missing goods will be delivered by us as soon as possible subject to the conditions of the original agreement.

Payment All payments are to be made without any deduction or set-off within thirty days after invoice date, unless agreed otherwise. If the principal does not pay when due, he shall be considered in default ipso jure and we shall be entitled without any notice of default to charge him the statutory interest from the due date and in addition all extrajudicial expenses of the collection of our claim, which are set at 15% of the principal sum due with a minimum of EUR 200. We shall at all times be entitled to require the principal to provide a bank guarantee or other security to secure his obligations of payment prior to the delivery of the goods or any work or before continuing the execution. In accordance with the provisions of article 13, in case the principal fails to meet his payment obligations or to provide a bank guarantee or agreed security, we shall be entitled to suspend the delivery or execution until the principal has met his obligations.

Risk and reservation of ownership Immediately after the goods are considered to be delivered in accordance with the provisions of article 8.3, the principal shall bear the risk for all damage - direct or indirect - that may be caused to or by these goods, provided that in case of delivery against documents agreed, the principal shall bear the said risk from the first of the following moments: loading of the good; the time when the documents are made available to the principal. We deliver our goods to the principal, which is deemed to accept the deliveries, subject to the suspensive condition that the principal fully complies with all of his obligations towards us due at any time. The retention of title thus implied also includes: goods newly made using the goods delivered; claims concerning considerations based on the agreement or any other agreement of whatever nature for goods delivered or to be delivered by us to the principal or pursuant to such agreement also preformed or to be performed work; claims due to any default under the agreement referred to under (b) above, including without limitations claims for damages and judicial and extrajudicial expenses, contractual and statutory interest, fines and penalties. As long as the condition as set out in article 10.2 has not been fulfilled, the principal may sell the goods delivered subject to retention of title, transfer all or part of the actual control over these goods to one or more third parties or agree to pass on all or part of the actual control over these goods to one or more third parties, provided always that: these rights are only vested in the principal if and insofar necessary or desirable in the ordinary course of business; these rights are only vested in the principal if and insofar the principal demands and receives immediate payment of his counterparty or demands retention of title from his counterparty equal to the right granted herewith except for the right to sell as set out in this article 10.3; the principal may not encumber any of the goods delivered subject to retention of title. At our first request, the principal shall at our option transfer or pledge any claims in connection with the sale to third parties of any goods delivered subject to retention of title. Regarding all goods delivered and paid for which the title had passed onto the principal, we withhold if this situation arises the rights of pledges as set out in article 3:237 Netherlands Civil Code as an additional security for the claims against the principal on any account whatsoever, excluding the claims referred to in article 3:92 (2) Netherlands Civil Code. The principal shall be obliged to keep goods delivered under our reservation of ownership with all due care and as recognizable property of ours. The principal shall furthermore be obliged to insure the goods for the duration of the retention of title against fire, explosion and water damage and also against theft and to hand us the policies of these insurances for inspection on first demand. All the principal’s claims on the insurer of the goods on the strength of the said insurance shall be assigned to us as greater security of our claims on the principal as soon as we so desire. If in the fulfilment of his obligations of payment the principal is in default or in difficulties of payment, we shall be entitled, without any notice or default being required, to remove the goods that have remained our property or to have them removed from the place where they are. We shall then be entitled to keep the goods in our possession until the due amount including interest, expenses and compensation has been paid in full, or to sell the goods to third parties in which case the net proceeds, which can never be higher than the original purchase price, is deducted from the total amount payable by the principal. The principal shall be obliged to inform us without delay when third parties enforce rights in connection with goods still owned by us.
Article 11. 11.1 11.2
Warranty and complaints Without prejudice to the following restrictions, we shall warrant towards the principal the soundness and quality of the goods delivered by us and/or work performed, provided however that this warranty only applies if the goods delivered are used in accordance with their purpose and in accordance with standards to be imposed by us or standards which are generally accepted. This warranty shall be given for a period of three months. Electronic components, lamps and luminescent tubes are excluded.

In the event of delivery without assembly, the warranty period shall commence on the day of delivery in accordance with article 8.1. In the event of delivery with assembly, the warranty period shall commence on the day when the goods have been set up in working order, in accordance with article 8.3 (b). Pursuant to this warranty we shall only be liable for defects of which the principal proves that they have arisen before or during the warranty period exclusively or mainly as a direct result of the defectiveness of the materials supplied by us or the method of manufacturing and/or method of execution. We shall not be liable for development risks. We shall make all reasonable effort to protect and safeguard the goods against any fraudulent manipulation. However we do not warrant that the goods fully withstand and are protected against all forms of fraudulent manipulation or other dishonest use. This warranty is given provided that we cannot be held liable in the event: defects are caused by abnormal or unusual storage or use or by any acts, omission or misuse by the principal or any third party, including the installation, repair or putting into operation or connection without our authorisation and the non or not timely compliance with operating or service instructions; defects which are wholly or partly the consequence of material, equipment, any construction or any method of execution that was chosen by the principal or prescribed by any regulation of the authorities; the principal has not complied with the terms mentioned in article 9.12. On the strength of this warranty we shall only be obliged to, at our option, replace or repair the defective item. Replacement shall mean the free shipment of a new item. In case of replacement or repair of the goods the warranty period for the new or repaired goods shall be equal to the remaining warranty period for the replaced or repaired goods. In the event of delivery of used materials or goods in consultation with the principal no warranty is given by us, unless agreed otherwise in writing. Our allegedly not fulfilling our warranty obligations shall not release the principal from the obligations that result for him from any agreement concluded with us. We shall not be bound to any form of warranty if the principal does not properly or not in time fulfil any obligation that results for him from the agreement concluded with us or from an agreement related there to. Complaints in respect of defects are to be made as soon as possible in writing but only against production of the delivery note while it furthermore holds that: in the event of externally visible defects a complaint must be submitted at the latest within eight days after receipt of the goods; and in the event of not externally visible defects a complaint must have been submitted within ten days after discovery but at the latest within eight working days after expiry of the warranty period. In the event any of the terms is exceeded all claims against us in respect of the relevant defects shall cease. In respect of the goods supplied but not made by us our liability pursuant to the warranty shall not extend beyond the liability on the strength of warranty of the supplier/manufacturer of these goods to us.

Liability Our liability pursuant to this agreement shall be explicitly limited to performance of the obligations that we have undertaken under the warranty as set out in article 11 above. Any further liability, either for direct or indirect damage, expenses and interests shall be explicitly excluded. Without prejudice to the provisions of article 11, except in the event of intent or wilful recklessness on our part, we shall not be liable for expenses, damage and interests that are a direct or indirect result of: negligence of our employees or persons who assist us in the performance of the agreement; the period of delivery is exceeded due to circumstances that are not to be imputed to us; damage that should be caused directly or indirectly to persons, goods or the business of the principal and/or third parties. The principal shall be obliged to indemnify us and hold us harmless against all expenses, damage and interests that may arise for us as a direct or indirect result of claims brought against us in or out of court by third parties in connection with the performance of this agreement. Electronic components, lamps and luminescent tubes shall not be exchanged or taken back.

Suspension and rescission If the principal does not, not properly or not timely fulfil any of his obligations under the agreement concluded with us or from an agreement related thereto or if it is subject to serious doubt whether the principal is able to fulfil his contractual obligations to us, and also in the event of an official moratorium, bankruptcy, stoppage, liquidation or full or partial transfer of the principal’s business, the principal shall be in default and we shall be entitled without notice of default and without judicial interposition after written notification to the principal to suspend the performance of each of these agreements during a period not exceeding six months or to rescind the agreement in full or in part without being liable to pay any compensation or to any warranty and without prejudice to any further rights to which we are entitled. In case article 13.1 is applicable, all obligations of the principal under the agreement shall be immediately due and payable with deduction of the instalments already paid and the expenses not yet made by us and the principal shall be obliged to pay the above mentioned amount and to take the matters included therein into his possession, failing which we shall be obliged to have these goods stored at the principal’s expense and risk or to sell them for his account. In the event of force majeure, which shall mean any circumstance beyond our control - even if it was to be foreseen at the time of entering into the agreement – pursuant to which performance of the agreement cannot reasonable be required from us, we shall be entitled without judicial intervention upon written notification to the principal either to suspend the performance under the agreement during a maximum of six months or to rescind all or part of the agreement without being obliged to pay any compensation or fine, even if this fine was agreed in writing.
Article 14. 14.1
Return shipment of the goods Return of the goods shall require our prior approval and is to be made free of charge stating the RMA number and with enclosure of a copy invoice of the relevant goods and .
Article 15. 15.1
Proof of administration Without prejudice to the possibility of proof of the contrary our administrative records shall be decisive concerning this agreement.
Article 16. 16.1 16.2
Applicable law / competent judge All agreements to which these conditions apply in full or in part shall be governed by Netherlands law, provided however that with respect to goods delivered in a country outside the Netherlands the title retention referred to herein shall be governed to fullest extent possible and in particular in its scope by the laws of that country insofar more favourable to us. All disputes that might arise during the performance of or in connection with an agreement shall, subject to mandatory law, be brought, to the exclusion of any other court, before the court Rotterdam that has jurisdiction in respect of the dispute, unless we should choose to submit the dispute to another court with jurisdiction in respect of the matter.

Inspection and testing If inspection and/or testing is agreed in writing, the principal shall give us the opportunity to conduct pre-tests. The principal shall timely provide all auxiliary equipment, auxiliary and industrial materials, water, energy, heating and lighting necessary thereto at its own risk and account. We shall be provided the opportunity to meet any complaints made by the principal in connection with the test conducted, before the system can be reject or refused. The costs of inspection shall be for the account of the principal. The inspection may not cause any delay in any work to be performed by us. If the principal shall not within eight days after notification of the opportunity for inspection have used his right thereto, the goods are presumed to be approved.

Assembly and installation The principal is responsible towards us for correctly and timely performing all installations, provisions and/or conditions necessary for the installation of the products to be installed and/or for the correct operation of the goods when assembled, provided that if and insofar this performance is done by or on behalf of us according to particulars provided by us and/or our drawings. Without prejudice to the article 18.1 above, the principal shall in any case at his own expense and risk attend to that: our employees can commence and continue their work during normal working hours from the moment they arrive at the place of installation and, moreover, if we deem necessary, outside of normal working hours provided that the principal has been notified in time; suitable accommodation and/or all provisions under government rules, the agreement and common use will be available to our employees; the access routes to the place of installation are fit for the required transportation; the assigned place of erection is fit for storage and installation; the necessary lockable depositories for materials, tools and other goods are available; the necessary and usual workmen, auxiliary tools, auxiliary and industrial materials (fuels, oils and greases, cleaning and other small materials, gas, water, electricity, steam, compressed air, heating, lighting, etc. included), and the usual measuring and testing instruments of the company of the principal are in the right place at our disposal on time and free of charge; all necessary safety and precautionary measures have been taken and shall be maintained, and that all measures have been taken and shall be maintained in order to satisfy the appropriate government regulations with respect to installation; the mailed products are at the right place at the beginning of and during the installation. Damages and costs which arise because the conditions stated in this article have not been fulfilled or have not been fulfilled on time are for the principal’s account.
This document is a translation of our general conditions in Dutch. In case of any differences between the original Dutch version and this translation, the Dutch version shall prevail. These general conditions shall take effect on 22 December 2009 and are filed at the registry of the District Court of Rotterdam at the same date.
