Perusahaan melanjutkan proses transformasinya yang telah dimulai di tahun 2010. Hal ini diwarnai antara lain oleh perubahan strategi bisnis untuk memperoleh business mix yang optimum untuk mendukung pertumbuhan yang sustainable dalam jangka panjang.
The Company continues its transformation process that began in 2010. This is characterized among others by changes in business strategy to obtain the optimum business mix to support sustainable growth in the long run.
Proses transformasi ini diperlukan mengingat business environment pasar modal yang berubah signifikan sebagai akibat dari meningkatnya kompetisi, baik dari Perusahaan Efek lokal maupun asing, perubahan business model, dan terutama policy environment, seperti peraturan-peraturan baru.
This transformation process is necessary as the business environment of capital markets has changed significantly as a result of increased competition, both from local and foreign securities companies, changes in business models, and especially the policy environment, such as new regulations.
PT Trimegah Asset Management, yang mulai melakukan kegiatan usahanya sebagai entitas terpisah di awal tahun 2011 mencatat kinerja yang memuaskan. Di tahun 2011 Perusahaan juga mengimplementasikan back office system yang baru.
PT Trimegah Asset Management that started its operations as a separate entity at the beginning of 2011 recorded a satisfactory performance. The Company also implemented new back office system in 2011.
Dengan transformasi tersebut Perusahaan akan memiliki landasan yang semakin kuat untuk mengantisipasi peta persaingan yang baru di pasar modal Indonesia.
With these transformations, the Company will have a stronger foundation to anticipate new competitive landscape of the capital markets in Indonesia.
Pendapatan Usaha
Revenues
Jasa Manajemen Investasi meningkat dari hampir Rp52,5 miliar di tahun 2010 menjadi Rp60,6 miliar di tahun 2011. Dengan peningkatan pendapatan ini, kontribusi bisnis asset management terhadap total pendapatan Perusahaan meningkat dari 30,6% di tahun 2010 menjadi 37,4% di tahun 2011. Ke depan, Perusahaan akan meneruskan transformasi bisnis untuk mencapai proporsi yang optimum antara bisnis Perantara Pedagang Efek dengan bisnis asset management sebagai tulang punggung pendapatan Perusahaan.
Investment Management Fees increased from approximately Rp52.5 billion in 2010 to Rp60.6 billion in 2011. With this revenue increase, the contribution of asset management business to the Company’s total revenues increased from 30.6% in 2010 to 37.4% in 2011. Going forward, the Company will continue the business transformation to achieve the optimum proportion between Brokerage and Asset Management business as the backbone of the Company’s revenue.
Jasa Penjaminan Emisi dan Penjualan Efek meningkat signifikan dari Rp5,7 miliar di tahun 2010 menjadi Rp11,0 miliar di tahun 2011, atau meningkat 94,6%. Hal yang sama juga ditunjukkan oleh Jasa Penasehat Investasi yang meningkat 117,1% dari Rp2,1 miliar menjadi Rp4,5 miliar di tahun 2011. Hal ini sejalan dengan kebijakan Perusahaan yang akan semakin aktif dalam Jasa Penasehat Investasi.
Underwriting and Selling Fees increased significantly from Rp5.7 billion in 2010 to Rp11.0 billion in 2011, an increase of 94.6%. The same was also shown by the Investment Advisory Fees, which increased 117.1% from Rp2.1 billion to Rp4.5 billion in 2011. This is in line with Company’s policy to be more active in the Investment Advisory Services.
Di tengah kondisi pasar saham yang kembali berfluktuasi di semester kedua tahun 2011, Pendapatan Bunga – Bersih tercatat relatif stabil di Rp29,0 miliar yang sebagian besar disumbang dari Pendapatan Bunga dari Piutang Nasabah.
Despite the stock market volatility in the second half of 2011, Interest Income - Net was relatively stable at Rp29.0 billion, which was mostly contributed by the interest income from Customer Receivables.
Persaingan yang semakin ketat di industri sekuritas, diikuti dengan fluktuasi harga saham yang lebih volatile dibandingkan dengan tahun sebelumnya menyebabkan investor cenderung lebih selektif dalam melakukan perdagangan saham di tahun 2011. Selain itu, menjelang akhir tahun 2011, Perusahaan juga melakukan beberapa perubahan kebijakan internal dalam mengantisipasi berlakunya beberapa peraturan baru untuk Perusahaan Efek dari Badan Pengawas Pasar Modal dan Lembaga Keuangan (“Bapepam-LK”), yang akan efektif

Perusahaan telah mempersiapkan fasilitas perdagangan saham secara online (online trading) yang telah diluncurkan secara terbatas pada bulan Oktober 2011 dan akan segara diluncurkan secara luas pada kuartal kedua 2012. Selain dapat menjangkau dan melayani nasabah-nasabah baru, dengan online trading ini diharapkan existing clients menjadi semakin aktif bertransaksi.

Beban Usaha
Operating Expenses
Beban Kepegawaian meningkat 3,0% dari Rp89,3 miliar di tahun 2010 menjadi Rp92,0 miliar di tahun 2011. Kenaikan pengeluaran ini antara lain disumbang oleh kenaikan jumlah tenaga sales PT Trimegah Asset Management untuk mendukung target penjualannya yang agresif di tahun-tahun mendatang. Meskipun demikian, kontribusi Beban Kepegawaian terhadap Jumlah Beban Usaha mengalami penurunan dari 58,5% di tahun 2010 menjadi 57,4% di tahun 2011.
Personnel Expenses increased by 3.0% from Rp89.3 billion in 2010 to Rp92.0 billion in 2011. The increase was partly contributed by the increase in the number of sales personnel of PT Trimegah Asset Management to support an aggressive sales target in the coming years. However, the contribution of Personnel Expenses to Total Operating Expenses declined from 58.5% in 2010 to 57.4% in 2011.
Pengeluaran kedua terbesar, Iklan dan Promosi, mengalami kenaikan signifikan sebesar 49,0% dari Rp9,8 miliar di tahun 2010 menjadi Rp14,6 miliar di tahun 2011 sehubungan dengan rebranding Perusahaan dan dukungan atas ekspansi Trimegah Asset Management, seperti dalam peluncuran beberapa produk baru di tahun 2011.
The second largest expenses, Advertising and Promotion, increased significantly by 49.0% from Rp9.8 billion in 2010 to Rp14.6 billion in 2011 due to Company’s rebranding and the support to the expansion of Trimegah Asset Management, such as new product launching in 2011.
Sewa kantor juga mencatat kenaikan yang cukup signifikan, sebesar 22,1% dari hampir Rp8,0 miliar di tahun 2010 menjadi Rp9,7 miliar di tahun 2011. Selain karena peningkatan tarif sewa ruangan, Perusahaan juga menambah satu Kantor Cabang di Surabaya yang sementara ini digunakan oleh Trimegah Asset Management.
Office rental also showed a significant increase of 22.1% from almost Rp8.0 billion in 2010 to Rp9.7 billion in 2011. Besides increases in office rental rates, the Company also added one Branch Office in Surabaya, which is currently being used by Trimegah Asset Management.

Other Income (Charges) and Profit for the Year
Beban Keuangan turun signifikan sebesar 53,0% dari Rp16,2 miliar di tahun 2010 menjadi Rp7,6 miliar pada tahun 2011. Hal ini terutama disebabkan oleh tidak adanya Beban Bunga Utang Obligasi di tahun 2011.
Finance Cost decreased significantly by 53.0% from Rp16.2 billion in 2010 to Rp7.6 billion in 2011. This was mainly due to no Interest Expense on Bond Payable in 2011.
Oleh karena itu, secara keseluruhan, Penghasilan Lain-lain – Bersih meningkat 361,1% dari Rp1,6 miliar di tahun 2010 menjadi Rp7,4 miliar di tahun 2011.
Therefore, overall, Other Income - Net increased by 361.1% from Rp1.6 billion in 2010 to Rp7.4 billion in 2011.
Di tengah proses transformasi yang masih berlangsung, secara keseluruhan Perusahaan mencatat Laba Tahun Berjalan sebesar Rp6,0 miliar.
In the midst of the ongoing transformation process, overall, the Company recorded Profit for the Year of Rp6.0 billion.

Turunnya nilai perdagangan di Bursa Efek Indonesia dan berfluktuasinya Indeks Harga Saham Gabungan (“IHSG”) terutama di kuartal keempat tahun 2011 menekan bisnis pinjaman marjin. Hal ini tercermin dalam Piutang Nasabah yang mencatat penurunan dari Rp339,8 miliar di akhir tahun 2010 menjadi Rp114,4 miliar di akhir tahun 2011 atau turun 66,3%.
The decrease of trading value in the Indonesia Stock Exchange and the volatility of the Jakarta Composite Index (“JCI”), especially in the fourth quarter of 2011 lowered margin lending business. This was reflected in the Customer Receivables that recorded a decrease from Rp339.8 billion at the end of 2010 to Rp114.4 billion at the end of 2011, or down by 66.3%.
Ke depan, Perusahaan akan tetap menjadikan bisnis pinjaman marjin sebagai salah satu kegiatan usaha utama Perusahaan. Meskipun demikian, data historis menunjukkan bahwa seperti halnya kegiatan perantara pedagang efek, bisnis pinjaman marjin sangat sensitif terhadap kondisi bursa dan sentimen perekonomian global, sehingga Perusahaan akan mencari komposisi pendapatan yang lebih stabil dan tidak terlalu terpengaruh oleh kondisi eksternal.
In the future, the Company will continue to make the margin lending business as one of the Company’s main business activities. Nevertheless, historical data indicates that similar to brokerage activities, margin lending business is very sensitive to market conditions and sentiment in the global economy so the Company will seek a more stable revenue composition that is less affected by external conditions.
Pada sisi Liabilitas, Perusahaan tidak memiliki Utang Bank pada akhir tahun 2011, dibandingkan dengan Utang Bank sebesar Rp139,5 miliar di akhir 2010. Hal yang sama terjadi pada Surat Utang Jangka Pendek, di mana Perusahaan telah melunasi semua Surat Utang Jangka Pendek pada akhir 2011, dibandingkan Rp18,9 miliar pada akhir 2010. Ke dua hal ini terkait dengan penurunan pada bisnis pinjaman marjin, sehingga Perusahaan tidak memerlukan utang-utang tersebut dan melunasinya pada akhir tahun 2011.
On the Liability side, the Company had no outstanding Bank Loans at the end of 2011, compared to outstanding Bank Loans of Rp139.5 billion at the end of 2010. The same thing with Short-term Promissory Notes, in which the Company had settled all of the Short-term Promissory Notes at the end of 2011, compared to an outstanding of Rp18.9 billion at the end of 2010. These debts were related to the decrease in margin lending business, so the Company did not require such debts and paid it off at the end of 2011.

Pada tahun 2011, dengan resesi ekonomi global yang secara perlahan mulai mereda dan dilaksanakannya berbagai upaya penyelamatan oleh pemerintah di seluruh dunia, perekonomian global telah kembali ke jalurnya untuk mencapai laju pertumbuhan yang stabil. Indeks Harga Saham Gabungan (“IHSG”) mencapai nilai tertinggi yaitu mendekati 4.200 di bulan Agustus 2011, sebelum gejolak ekonomi di Eropa kembali menciptakan periode perdagangan yang berfluktuasi dan penurunan IHSG hingga hanya sedikit di atas 3.800 pada akhir tahun.
In 2011, with the global economic recession slowly receding and the implementation of various government rescue efforts around the world, the global economy looked like it was back on track to achieve a stable growth pace. The Jakarta Composite Index (“JCI”) rose to an all-time high of almost 4,200 in August 2011, before the growing economic turmoil in Europe resulted in another period of volatile trading conditions and which saw the JCI retreat and end the year at just above 3,800.
Walaupun menjanjikan kenaikan IHSG, tahun 2011 adalah tahun yang sulit dan penuh tantangan bagi industri sekuritas Indonesia, termasuk Trimegah. Industri sekuritas telah berkembang pesat seiring dengan peningkatan kesejahteraan di Indonesia. Saat ini, lebih dari 100 pelaku dari berbagai skala usaha bersaing dalam lingkungan usaha yang terfragmentasi dan semua berlomba memperoleh pangsa pasar. Hal ini menyebabkan para pelaku pasar menjadi sedemikian agresif dan kompetitif sehingga menciptakan perilaku yang tidak fair. Pesaing asing besar yang telah mengamati pasar modal Indonesia telah masuk ke dalam ‘ajang persaingan’, dan dalam waktu singkat berhasil mengambil pangsa pasar yang signifikan dari perusahaan sekuritas lokal di pasar domestik.
Despite the promising run up in the JCI, 2011 was a challenging and difficult year for the Indonesian brokerage industry, and Trimegah was not spared. The brokerage industry has evolved rapidly especially with the rapidly improving wealth conditions seen in Indonesia. Today, over a 100 players of varying sizes compete in a fragmented operating environment all vying for some market share. This intense situation has resulted in market participants’ behavior growing increasingly aggressive and competitive and at times, to the point of displaying unfair market behavior. Large foreign competitors who have been watching Indonesians’ rising interest and participation in capital markets have entered the Indonesian playing field and within a short period, taken up significant market share from the local brokerage houses in the domestic market.
Regulator juga telah mengumumkan rencana untuk mengimplementasikan perubahan-perubahan peraturan baru lebih awal, yang ditujukan untuk menunjang efisiensi dan membuat industri sekuritas lebih menarik bagi investor asing maupun lokal, termasuk upaya konsolidasi, rasionalisasi, perlindungan tambahan bagi nasabah, dan pada akhirnya keuntungan bagi pemegang saham. Kami berkeyakinan bahwa hal-hal baru tersebut hanyalah merupakan awal dari banyak perubahan lainnya, seiring dengan upaya pemerintah Indonesia untuk menyelaraskan pasar modal Indonesia dengan mitra internasionalnya. Pesan yang ingin disampaikan adalah bahwa perubahan-perubahan pasti akan terjadi dan para pelaku pasar harus siap dan dapat beradaptasi agar dapat terus bertahan.
The local regulatory authorities have also announced plans to bring forward the implementation of new regulatory changes, which are designed to introduce efficiency and to make the local brokerage landscape even more attractive to both foreign and local investors, including consolidation, rationalization, additional protection for clients, and profitability for shareholders at the end of it. We believe that these new measures introduced are just the beginning and that more are on the way, as the Indonesian authorities align the local capital markets with its international counterparts. The underlying message here is that change is on the way and market participants have to be prepared and adaptable in order to survive.

Untuk menggambarkan beberapa tantangan tersebut, di pertengahan 2011 data statistik menunjukkan bahwa secara keseluruhan profitabilitas industri turun hampir sebesar 42% sejak 2009. Dengan kekhawatiran akan memburuknya kondisi tersebut dan untuk mengatasi keadaan, Direksi mengambil sikap hati-hati dan disiplin dalam pengeluaran, namun pada saat yang sama, melakukan investasi yang signifikan untuk mengembangkan bisnis asset management. Secara operasional, asset management Trimegah telah menunjukkan kinerja yang baik, namun segmen bisnis lainnya masih menghadapi tantangan peta persaingan seperti di atas dan kondisi perdagangan yang berfluktuasi di semester kedua 2011.
To illustrate some of these challenges, by the middle of 2011, statistics showed that the overall industry profitability had declined by almost 42% since 2009. With such concerns plaguing the operating environment and in order to combat the deteriorating conditions, the Board of Directors chose a path of prudence and kept a tight rein on costs, but at the same time, made significant investment to develop the asset management business. Operations wise, Trimegah’s asset management has seen good overall performance, but its other business segments remain a victim of the competitive landscape described above and volatile trading conditions in the second half of 2011.
Seperti diketahui, Direksi Trimegah yang baru telah melewati tahun pertama mereka di 2011. Mereka telah menerapkan sejumlah perubahan, termasuk sistem pelaporan yang lebih baik dan pemisahan bisnis asset management menjadi sebuah entitas baru, yaitu Trimegah Asset Management. Sebagai bagian dari keseluruhan restrukturisasi, Direksi dan manajemen Trimegah juga mengawasi keberhasilan penyelesaian pembenahan sistem teknologi informasi. Sayangnya, peluncuran online trading Trimegah tertunda karena Perusahaan memutuskan bahwa sikap kehati-hatian harus diambil untuk memastikan bahwa produk tersebut dapat diandalkan sebelum diperkenalkan ke nasabah. Untuk mencapai hal ini, beberapa penyedia perangkat lunak telah dilibatkan untuk dipilih, dan berbagai uji coba juga telah dilakukan. Trimegah dengan bangga mengumumkan bahwa produk iTrimegah online trading secara resmi akan diluncurkan di bulan April 2012. Hal ini merupakan tonggak pencapaian besar bagi Trimegah. As you are aware, the new Trimegah Board of Directors completed their first full year in 2011. They implemented a number of changes, including better reporting systems and the separation of the asset management business into a new entity, Trimegah Asset Management. As part of the overall restructuring exercise, Trimegah’s Board of Directors and management also oversaw the successful completion of the overhaul of its information technology systems. Unfortunately, the roll out of Trimegah’s online trading platform was delayed as it was decided that utmost prudence and care would be taken to ensure that the final product was deemed to be competent and reliable before clients’ participation. To achieve this, several different providers of software were considered before one was finally chosen and numerous rounds of testing were carried out in-house. Trimegah is now proud to announce that the iTrimegah online trading product will be officially launched from April 2012 onwards. This is a huge milestone for the Company. Further to this, the Company also initiated its own in-house research periodical in the middle of 2011 with a new team of analysts trained from scratch. Trimegah is proud that its research team’s ideas have received much accolade from clients. We believe that our sustained investment in talents will yield our clients profitable stock trading ideas and themes and improve our brand equity with existing and potential clients.

Setidaknya untuk saat ini, prospek perekonomian global masih belum terlalu pasti meskipun risiko-risiko pertumbuhan global mulai terlihat berkurang dengan beberapa indikator global yang membaik, tekanan di pasar keuangan dan risiko utang Yunani mulai mereda. Indonesia telah mampu bertahan terhadap gejolak ekonomi global dan telah muncul sebagai pemain kuat di kawasan dengan permintaan domestik yang tetap menjadi landasan pertumbuhan.
The outlook for the global economy remains somewhat uncertain although global growth risks appear to be easing with some encouraging global indicators, ebbing funding pressure in financial markets and receding Greece debt default risks, at least for now. Indonesia has withstood this global economic turmoil and has emerged as a strong player in the region with domestic demand remaining as the cornerstone of growth.
Dewan Komisaris bersama dengan Direksi memiliki keyakinan kuat pada potensi pertumbuhan dan peluang pasar domestik, serta yang paling penting, pada nama Trimegah, yang sejak lama diasosiasikan selalu menjaga hubungan yang saling percaya dengan nasabah. Jika di tahun 2010 Trimegah fokus pada konsolidasi dan restrukturisasi organisasi untuk meletakkan landasan baru yang lebih kokoh, investasi dalam teknologi untuk meningkatkan efisiensi dan kualitas layanan serta memperkuat posisi Perusahaan, di tahun 2011 Perusahaan fokus pada transformasi. Hal ini ditandai dengan peluncuran logo baru Trimegah Securities dan Trimegah Asset Management pada bulan April 2011. Logo baru ini tidak diartikan sebagai ‘perubahan gambar’ semata, namun dimaknai sebagai momentum perubahan dan semangat baru dari ‘manusia-manusia baru’ Trimegah.
If in 2010 Trimegah focused on consolidation and restructuring the organization to put a more solid new foundation, investment in technology to improve efficiency, service quality and strengthen the position of the Company, in 2011, the Company focused on the transformation. It was marked by the launching of a new logo of Trimegah Securities and Trimegah Asset Management in April 2011. The new logo was not construed as a ‘change of picture’ per se, but interpreted as a momentum for change and a new spirit of the ‘new people’ of Trimegah.
Anak perusahaan PT Trimegah Securities Tbk, yakni PT Trimegah Asset Management, yang memperoleh izin sebagai Manajer Investasi dari Badan Pengawas Pasar Modal dan Lembaga Keuangan (“Bapepam-LK”) pada 31 Januari 2011, mencatat kinerja yang sangat menggembirakan. Dana kelolaan (Asset Under Management – “AUM”) di akhir 2011 meningkat 55% dari AUM di akhir tahun 2010 dan hal ini juga tercermin pada kenaikan Pendapatan Usaha dari Jasa Manajemen Investasi.
Subsidiary of PT Trimegah Securities Tbk, PT Trimegah Asset Management, which received license as Investment Manager from the Capital Market and Financial Institutions Supervisory Agency (“Bapepam-LK”) on January 31, 2011, recorded a very encouraging performance. The Asset Under Management (“AUM”) at the end of 2011 rose 55% from the end of 2010 level, and this was also reflected in the increase in Revenues from Investment Management Fee.

It proves that the position of Trimegah Asset Management in the mutual funds industry is very strong, particularly in the retail segment. This is contributed by three major factors. First, competence and solid management. Second, the synergy between Trimegah Asset Management and Trimegah Securities as a holding company that has become one of the leaders in the retail segment. Third, the right strategy supported by an excellent management reputation in the market.
Di tahun 2011 Perusahaan juga ‘membangun kembali’ Layanan Advisory (Advisory Services) dan hasilnya juga menjanjikan. Pendapatan Usaha dari Jasa Penasehat Investasi meningkat 117,1% dari tahun sebelumnya. Advisory Services ini melengkapi jasa Penjaminan Emisi dan Penjualan Efek yang juga mencatat peningkatan pendapatan yang prospektif sebesar 94,6% di tahun 2011.
In 2011, the Company also ‘reactivated’ its Advisory Services and the results were also promising. Revenues from Investment Advisory Services increased 117.1% from the previous year. The Advisory Services complemented the Underwriting Services that also recorded a prospective increase in revenue by 94.6% in 2011.

Untuk memperkuat eksistensi Trimegah di segmen institusi seperti dana pensiun, perusahaan asuransi dan perusahaan asset management, di akhir November 2011, Trimegah menyampaikan House View 2012 dengan tema “Opportunity in Volatility”.

In 2011, Trimegah strengthened the Research Division and took several initiatives, among other, publication of Research Book “Trimegah Equity Strategy - 5 Key Sectors of the Economy” in April 2011. To strengthen Trimegah’s existence in the institutional segment such as pension funds, insurance companies and asset management company, in the late of November 2011, Trimegah conveyed House View 2012 titled “Opportunity in Volatility”.

Di tahun 2011, Debt Capital Markets Trimegah kembali dipercaya menjadi Agen Penjual Obligasi Negara Ritel (“ORI”) Seri ORI008. Meskipun demikian, bisnis equity brokerage masih dalam tahap turn around. Semakin ketatnya persaingan, perubahan policy environment berupa perubahan peraturan-peraturan pasar modal, dan kondisi pasar yang mulai bergejolak di semester kedua 2011 secara signifikan berdampak negatif pada kinerja equity brokerage. Hal-hal tersebut ditambah dengan perpindahan karyawan, terutama equity sales personnel secara besar-besaran dan tidak wajar ke pesaing karena tidak seimbangnya permintaan dan supply tenaga-tenaga tersebut sebagai akibat ekspansi perusahaanperusahaan sekuritas di Indonesia.
In 2011, Debt Capital Markets Trimegah was trusted to be selling agent of Retail Government Bond (“ORI”) ORI008 Series. However, the equity brokerage business was still in turn around process. Increasing competition, changing policy environment in the form of changes in capital markets regulations, and market conditions that began to flare in the second half of 2011 had significant negative impact on the performance of equity brokerage. In addition to that, Trimegah faced huge employee turnover, particularly equity sales personnel, by competitors due to the imbalance between demand and supply of those professionals as a result of expansion of securities companies in Indonesia.

Selain untuk mengantisipasi perkembangan pasar modal yang pesat di masa datang, strategi ini juga ditujukan untuk mengantisipasi perpindahan karyawan.
Trimegah’s vision in human resource development is implemented through a strategy of “Recruitment, Selection, and Capacity and Capability Development through Trainings”. As a form of that commitment, Trimegah built Trimegah Training Center in Bumi Serpong Damai (BSD) - Tangerang. In addition to anticipate the rapid development of capital markets in the future, this strategy is also intended to anticipate the movement of employees.
Untuk kembali meraih posisi yang signifikan di industri serta melengkapi produk dan layanan kepada nasabah, Trimegah telah mempersiapkan fasilitas online trading yang telah diluncurkan secara terbatas pada bulan Oktober 2011, dan akan diluncurkan secara luas pada kuartal kedua 2012.
To regain a significant position in the industry as well as complementary products and services to its clients, Trimegah has prepared an online trading facility that has been soft launched in October 2011, and will be publicly launched in the second quarter of 2012.
Memasuki tahun 2012, perekonomian global diperkirakan masih akan berada dalam ketidakpastian yang cukup tinggi karena krisis di Eropa dan pemilihan presiden di Amerika Serikat. Selain itu, negara-negara seperti China, India, Brasil dan Afrika Selatan diperkirakan akan mulai mengalami tekanan pada pertumbuhannya sehingga dikhawatirkan akan mempengaruhi pertumbuhan ekonomi global.
Entering 2012, the global economy is predicted to remain in a fairly high uncertainty due to the crisis in Europe and presidential elections in the United States. In addition, countries like China, India, Brazil and South Africa are expected to begin to experience pressure on its growth thus tend to dampen global economic growth.
Walaupun memiliki momentum emas untuk menjadi daya tarik utama bagi investor, perekonomian Indonesia juga menghadapi tantangan yang tidak mudah. Sektor konsumsi, energi, komoditi, transportasi, infrastruktur dan investasi oleh sektor usaha kecil dan menengah telah menjadi penopang utama bagi Indonesia.
Although having a golden momentum to become a major attraction for investors, the Indonesia’s economy is also facing challenges that are not easy. Consumption sector, energy, commodities, transportation, infrastructure and investment by small and medium enterprise sector have become the main support for Indonesia.

Oleh karena itu Trimegah juga meningkatkan hubungan strategis dengan sektor-sektor tersebut melalui beragam produk dan layanan serta melalui perluasan jaringan kehadiran Trimegah di daerah yang memiliki pertumbuhan tinggi seperti Surabaya. Di tahun 2011 Trimegah menambah satu kantor cabang di Surabaya, dan saat ini menjadi sentra penjualan produk Trimegah Asset Management di Jawa Timur. ‘Penyegaran organisasi’ di tengah kondisi perekonomian dan pasar yang sangat dinamis dan cepat berubah menjadi sebuah keharusan.
Therefore, Trimegah also enhances strategic relationships with these sectors through a variety of products and services as well as through a network expansion of Trimegah presence in areas of high growth such as Surabaya. In 2011, Trimegah added another branch office in Surabaya, which is now a sales center of Trimegah Asset Management products in East Java. ‘Refreshing’ the organization in the midst of a very dynamic economic and market condition is a necessity.
Di tahun 2012 mendatang Trimegah tidak hanya berkomitmen menjadi salah satu pemain terkemuka di industri pasar modal, tapi juga menjadi bagian yang tidak terpisahkan dari pembentukan kultur usaha dan iklim investasi yang lebih modern dan sehat dalam perekonomian Indonesia. Kunci dari semua itu adalah pola pikir, sistem kerja dan kultur usaha yang selalu diperbaharui sehingga menjadi lebih segar, lebih besar, dan lebih dihormati lagi.

Melanjutkan kegiatan Trimegah Peduli di 2010 dalam “Program Adopsi Pohon” di Hutan Sahabat Green Radio di Hutan Gunung Gede Pangrango, Jawa Barat, di tahun 2011 kami kembali melakukan penghutanan kembali 38 hektar area Desa Cipuri, Kecamatan Pacet, Cianjur.
As a continuation of Trimegah Peduli in 2010 CSR activity in the “Tree Adoption Program” sponsored by Green Radio, in Gunung Gede Pangrango Forest, West Java, in 2011 Trimegah continued its participation in reforestation of 38-hectare area of Cipuri Village, Pacet District, Cianjur.
Pada tanggal 14 November 2011 telah ditanam 150 pohon tambahan atas nama Trimegah terdiri atas Pohon Kananga, Rasamala dan Puspa. Pertumbuhan pohon-pohon tersebut diawasi oleh dua orang petani dan kondisi pohon-pohon tersebut dilaporkan sangat baik, dengan ketinggian kurang lebih 60-80 cm.
On November 14, 2011, we planted additional 150 trees comprising Kananga, Rasamala and Puspa tree. These trees have been grown by two farmers, who report that those trees are now growing up to approximately 60-80 cm in height.

Biaya pendidikan yang semakin mahal menyebabkan banyak anak dari keluarga kurang mampu mengalami kesulitan mengakses pendidikan yang berkualitas, padahal banyak di antara mereka adalah anak-anak yang sangat berpotensi.
Nowadays, education is becoming more and more expensive. This eventually has caused many children from unfortunate families have difficulties to access to quality education, while in fact many of them are highly potential.
Sebagai perusahaan yang memiliki tanggung jawab sosial dan peduli terhadap generasi penerus bangsa, di tahun 2011 Trimegah memberikan bantuan pendidikan bagi beberapa siswa berprestasi yang berasal dari keluarga kurang mampu di Kabupaten Pati, Jawa Tengah. Kegiatan ini merupakan kerja sama Trimegah dengan Yayasan SIF Peduli dan Forum for Purwosari Education Development (“FORPED”).
As part of the CSR program and to show concern for the future generation, in 2011, Trimegah granted educational assistance for some outstanding students from unfortunate families in Pati Regency in Central Java. This activity was a collaboration of Trimegah, SIF Peduli Foundation and Forum for Purwosari Education Development (“FORPED”).
Yayasan SIF Peduli adalah yayasan yang dimotori oleh sekumpulan alumni program pertukaran pelajar Indonesia di Singapura antara tahun 1993 – 2004 yang memiliki pandangan bahwa beasiswa sebaiknya diberikan kepada siswa berprestasi dari keluarga yang kurang mampu sejak mereka berada di sekolah dasar hingga perguruan tinggi.
SIF Peduli Foundation is a foundation that is initiated by some alumni of Indonesia-Singapore student exchange program in 1993-2004 who prefer the scholarships to be granted to outstanding students from unfortunate families from elementary school through college.
Melalui program tersebut, bantuan pendidikan berupa beasiswa diberikan kepada 56 siswa SD, SMP, SMA dan sederajat yang berasal dari keluarga kurang mampu di Purwosari dan Tlogorejo, Kecamatan Tlogowungu, Kabupaten Pati, Jawa Tengah.
The educational assistance in form of tuition fees was given to 56 students from elementary, junior and senior high school who came from unfortunate families who lived in Purwosari and Tlogorejo, Tlogowungu District, Pati Regency, Central Java.
Bagi para siswa SD, bantuan yang diberikan berupa tas, buku dan sepatu. Sementara untuk para siswa SMP dan SMA, Trimegah memberikan bantuan dana untuk pembayaran SPP, uang pembangunan, seragam dan sepatu.
For the elementary students, we donated bags, books and shoes. For the high school students, Trimegah provided financial assistance to help their tuition fees, development fees, uniforms and shoes.

Terlepas dari tantangan-tantangan yang ada di tahun 2011, Divisi Equity Capital Markets (“ECM”) berhasil memperkuat kepercayaan para nasabah institusi yang sebagian besar terdiri atas manajer investasi, perusahaan asuransi dan dana pensiun; dan juga nasabah ritel yang didominasi oleh high-networth individuals. Upaya yang terfokus, strategi yang tepat, dan promosi yang terarah tetap menjadi tiga hal utama yang menentukan kinerja kami dari tahun ke tahun. Sepanjang tahun 2011, kami melakukan beberapa inisiatif pengembangan guna memperluas sebaran nasabah insititusi.
Regardless of the challenges in 2011, the Equity Capital Markets Division (“ECM”) managed to strengthen the trust of the institutional clients that largely consisted of investment manager, insurance companies and pension funds; and also the retails clients that were dominated by high-net-worth individuals. Focused effort, the right strategy, and targeted promotions remained the three main criteria that determined our performance year by year. Throughout 2011, we conducted several development initiatives in order to expand the institutional clients spread.
Semester pertama 2011 adalah masa transisi sistem front office dan back office sehingga kami harus melakukan beberapa inisiatif konsolidasi data dan informasi. Di semester kedua tahun 2011, krisis ekonomi di Eropa menimbulkan kekhawatiran investor sehingga transaksi di pasar mengalami penurunan. Bagi nasabah ritel non high-net-worth, kami meningkatkan kedekatan dengan nasabah melalui aplikasi sistem transaksi nasabah yang lebih aman dan lebih akurat (real-time).
The first semester of 2011 was a transition period of a front and back office system, therefore we did some data and information consolidation initiatives. In the second semester of 2011, the European economic crisis raised the investors’ fears, hence, the transaction in the market declined. For our non high-net-worth retail clients, we increased the closeness with clients through transaction system application that was more secured and accurate (real-time).
Salah satu tantangan terberat kami di tahun 2011 adalah memenuhi kebutuhan akan sumber daya manusia seperti senior sales dan pimpinan-pimpinan cabang. Kami terusmenerus meningkatkan pengetahuan dan keterampilan, baik hard skill maupun soft skill, bagi semua staf, termasuk sales team agar mereka semua mampu mengisi posisi-posisi strategis di Perusahaan. Kesempatan yang luas dan jenjang karir yang jelas bagi semua staf meyakinkan kami bahwa kami akan selalu mampu mengisi kebutuhan akan sumber daya manusia di semua level sehingga menjamin sustainability bisnis Perusahaan.
One of our toughest challenges in 2011 was to meet human resources requirements such as senior sales and branch managers. We continuously gathered knowledge and skills, both hard and soft skills, for all the staff, including sales team in order for them to be able to fill strategic positions in the Company. A vast opportunity and a clear career path for all the staff ensured us that we could always fill our needs for human resources at all levels to guarantee the Company’s business sustainability.

INVESTMENT BANKING Divisi Investment Banking (“IB”) menutup tahun 2011 dengan kinerja yang jauh lebih baik dibandingkan tahun 2010, dengan pendapatan meningkat sebesar 286,1%. Kami membantu berbagai jenis transaksi, baik transaksi yang bersifat publik maupun private sesuai dengan milestones dan kebutuhan nasabah kami. Kami membantu banyak nasabah dengan beragam latar belakang industri sambil menciptakan peluang bisnis lain untuk masa mendatang. Bagi kami, tahun 2011 adalah tahun yang tepat untuk melebarkan sayap dengan melaksanakan berbagai proyek yang lebih 'rumit' guna memberikan nilai lebih kepada nasabah kami.
Investment Banking Division (“IB”) closed 2011 with a far better performance than 2010, with revenues increasing by 286.1%. We assisted various types of transactions, both public and private transactions according to the milestones and the needs of our clients. We assisted many clients from various industry backgrounds while creating other business opportunities for the future. For us, 2011 was the right year to expand our business by performing more 'complex' projects to deliver more values to our clients.
Pada awal tahun 2011, kami berhasil membantu PT Martina Berto Tbk dalam melakukan Initial Public Offering (“IPO”) dengan total emisi Rp263 miliar. Dalam penerbitan obligasi, kami berhasil mencapai peringkat ketujuh Bloomberg league table dengan total nilai transaksi mencapai Rp7,65 triliun dan penjaminan sebesar Rp2 triliun. Beberapa penjaminan emisi obligasi yang dilakukan oleh Divisi IB antara lain: Obligasi V Danareksa, Obligasi VI Bank Nagari, Obligasi Subordinasi I Bank Nagari, Sukuk Mudharobah I Bank Nagari, Obligasi VII Bank Jabar, Obligasi I Toyota Astra Financial Service, dan Obligasi Berkelanjutan Indonesia Exim Bank I Tahap I.

Selain transaksi publik, kami berhasil membantu enam perusahaan swasta lokal dalam beberapa transaksi Financial Advisory Services, termasuk dua di antaranya berupa fund raising dengan nilai total sebesar USD47 juta.
In addition to public transactions, we managed to assist six local private companies in some Financial Advisory Services Transactions, including two fund raisings for a total value of USD47 million.

Underwriting Service that is increasingly competitive over the years has caused us to be more selective in selecting underwriting projects and more creative in finding new business opportunities. The growth and development of the IB is always based on three main strategies, namely: • Maintaining and improving clients’ confidence and investors that we have achieved so far; • Fostering and improving relationships with various companies, both private and state-owned, so we are always there at every milestones the company’s growth; • Selective in choosing clients with healthy, solid fundamental and business strategies.
Tahun 2012 diperkirakan akan menjadi tahun yang gemilang bagi pertumbuhan ekonomi Indonesia serta penerbitan obligasi yang diperkirakan akan mencapai jumlah terbesar melebihi tahuntahun sebelumnya. Walaupun terdapat berbagai tantangan yang mungkin muncul sebagai akibat ketidakpastian kondisi perekonomian global, fundamental Indonesia yang semakin kuat akan mendorong perkembangan perusahaan-perusahaan sehingga peluang pertumbuhan bisnis IB selalu terbuka. Kami menargetkan posisi 5 besar dalam penjaminan emisi obligasi, 10 besar dalam penjaminan emisi saham dan semakin aktif dalam Financial Advisory Services.
Year 2012 is expected to be a glorious year for Indonesia’s economic growth and the bond issuance is expected to achieve the greatest amount exceeding the previous years. Although there are some challenges that may arise as a result of uncertainty in global economic conditions, a stronger Indonesia’s fundamental will encourage the development of companies so that opportunities are always open for IB business development. We aim at the top 5 position in bond underwriting, top 10 in equity underwriting and increasingly active in Financial Advisory Services.

DEBT CAPITAL MARKETS Tantangan terbesar kami di tahun 2011 adalah mempertahankan kepercayaan nasabah dan pemerintah kepada Trimegah. Sebagai satu-satunya perusahaan sekuritas swasta yang ditunjuk oleh Pemerintah sebagai Primary Dealer di Surat Utang Negara (“SUN”), maka Trimegah dituntut untuk lebih aktif dalam bertransaksi, baik di Pasar Perdana (lelang SUN) maupun di Pasar Sekunder.
We realized that our biggest challenge in 2011 was maintaining the trust of our clients as well as the government in Trimegah. As the only private securities company assigned by the Government to perform as a Primary Dealer in the Government Bond, Trimegah was required to be more active in performing transactions, both in Primary Market (the Government Bond auction) and Secondary Market.
Pencapaian Divisi Debt Capital Markets (“DCM”) di tahun 2011 dapat dikatakan sangat baik. Program utama tahunan kami termasuk penjualan Obligasi Negara Ritel (“ORI”) dan Sukuk Ritel (“SR”) berhasil dilaksanakan dengan cukup baik. Produk yang menarik dan sesuai dengan karakteristik investor membuat kami selalu berpartisipasi dalam penjualan ORI dan SR.
In 2011, Debt Capital Markets (“DCM”) Division highlighted a remarkable achievement. We focused primarily on the selling of Retail Government Bond (“ORI”) and Shariah Retail Government Bond (“SR”), both of which recorded a success. Products that were considered attractive and fit in to the investors’ characteristics were the motivators for us to participate in ORI and SR issuance.
Di tahun 2011 volume transaksi meningkat sebagai hasil penyerapan ORI maupun SR. Volume transaksi SR di tahun 2011 mencapai Rp400 miliar, meningkat dari Rp200 miliar di tahun 2010; sedangkan volume transaksi ORI meningkat dari Rp400 miliar di tahun 2010 menjadi Rp500 miliar.
In 2011, our transaction volume increased as a result of successful ORI and SR transactions. Likewise, SR transaction volume went up to Rp400 billion from Rp200 billion in 2010; whereas ORI transaction volume increased to Rp500 billion from Rp400 billion in 2010.
Volume transaksi Surat Utang Negara juga meningkat cukup signifikan di tahun 2011 sehingga Trimegah termasuk dalam kategori 10 sekuritas paling aktif bertransaksi di SUN. Bahkan pada beberapa bulan di antaranya, Trimegah mencapai posisi lima besar. Semua pencapaian tersebut berkat tim sales yang kuat, solid, dan berkomitmen tinggi.
In 2011, transaction volume of Government Bond also increased significantly, which eventually led Trimegah to be among the top 10 most active securities companies in the Government Bond transaction. Trimegah was even in the top five position for several months – thanks to the strong, solid and highly committed sales team.
Tim sales kami juga aktif membantu nasabah bertransaksi di pasar sekunder melalui pemberian update mengenai kondisi pasar, terutama bagi beberapa investor SUN yang sebagian besar berasal dari perbankan sebagai penyumbang terbesar volume transaksi di pasar sekunder. Selain peningkatan volume transaksi SUN, kami juga mencatat kenaikan volume transaksi obligasi korporasi di pasar sekunder sebesar 20% dari tahun sebelumnya.
Our sales team actively assisted clients in performing their transactions in the secondary market through regular updates on market conditions given particularly to some Government Bond investors, which mainly consisted of banks as the largest contributor in transaction volume in the secondary market. In parallel, our corporate bonds transaction volume in the secondary market also recorded an increase of 20% from previous year.

Meanwhile, our corporate bonds transaction in the primary market motivated us to bind into a cooperation with Investment Banking (“IB”) Division to perform bond underwriting. In the third quarter of 2011, Trimegah gained third position in terms of corporate bond transaction volume, which amounted to Rp902.5 billion, and ranked the fifth position in the fourth quarter with corporate bond transaction volume reaching Rp2.67 trillion. In the secondary market, we conducted clients mapping, then collaborated with Research Division to provide update and outlook on the market conditions to help the clients perform their bond transaction.

Tahun 2011 diwarnai dengan intensitas kegiatan Divisi Finance sehubungan dengan kegiatan penyesuaian terhadap perubahanperubahan regulasi dari Badan Pengawas Pasar Modal dan Lembaga Keuangan (“Bapepam-LK”). Perubahan-perubahan regulasi tersebut antara lain mengenai pemisahan Rekening Dana Nasabah dari rekening Perusahaan Efek, dan Pemeliharaan dan Pelaporan Modal Kerja Bersih Disesuaikan (“MKBD”). Ke dua hal tersebut merupakan pekerjaan besar sehingga walaupun peraturan-peraturan tersebut baru akan berlaku efektif di tahun 2012, Perusahaan telah memulai persiapan dan uji coba sejak 2011.
Year 2011 was marked by the intense activity of the Finance Division in connection with the adjustment to changes in the Capital Market and Financial Institutions Supervisory Agency (“Bapepam-LK”) regulation. The regulatory changes included separation of the Client Funds Account from the Securities Company’s funds account, and Maintenance and Reporting of Adjusted Net Working Capital (“ANWC”). These are big projects, so although the new regulations will come into effect in 2012, the Company has initiated the preparation and testing since 2011.

Perubahan regulasi tersebut memberikan dampak langsung pada aktivitas Perusahaan, terutama dalam sistem pelaporan terkait MKBD, terlebih pada persiapan sistem back office yang dapat memfasilitasi pelaporan kepada regulator yang akurat dan tepat waktu. Peraturan MKBD yang baru ini mengharuskan Perusahaan semakin berhati-hati dalam memantau transaksi nasabah. Terkait dengan peraturan MKBD baru tersebut, Perusahaan juga telah memperluas kerja samanya dengan beberapa bank untuk mendukung pemberian fasilitas bank guarantee untuk transaksi penjaminan emisi (underwriting).
These regulatory changes directly impacted the Company’s activities, especially in ANWC-related reporting system, especially in preparation for back office systems to facilitate reporting to regulators in accurate and timely manner. The new ANWC regulation requires the Company to be increasingly prudent in monitoring clients’ transactions. Related to the new ANWC regulation, the Company has also expanded its cooperation with several banks to support the provision of bank guarantee facility for underwriting transactions.
Sehubungan dengan peraturan pemisahan Rekening Dana Nasabah dari rekening Perusahaan Efek, yang diatur dalam peraturan Bapepam-LK No. V.D.3, regulator mewajibkan Perusahaan Efek untuk membukakan rekening dana atas nama nasabah pada bank untuk masing-masing nasabah terpisah dari rekening dana nasabah lainnya atau Perusahaan Efek. Sebelum ketentuan ini dipenuhi, Perusahaan Efek tidak diperkenankan melakukan transaksi untuk kepentingan nasabah yang bersangkutan di Bursa Efek Indonesia (“BEI”). Dengan demikian, setiap mutasi dana milik nasabah untuk penyelesaian transaksi efek dan penempatan dana setoran wajib dilakukan melalui rekening dana nasabah. Peraturan tersebut memberikan dampak yang cukup signifikan pada mekanisme operasional Perusahaan. Tim back office bekerjasama dengan frontliners membantu nasabah mematuhi peraturan tersebut. Perusahaan juga telah menjalin kerja sama dengan beberapa Bank Pembayar yang ditunjuk oleh regulator untuk mengakomodasi kebutuhan akan pembukaan rekening dana bagi setiap nasabah Equity Capital Markets (“ECM”) yang jumlahnya hampir mencapai 13.000 nasabah aktif.
In connection with regulation on separation of Client Funds Account from the Securities Company’s funds account, which is regulated in Bapepam-LK regulation No. V.D.3, the regulator requires Securities Companies to open client’s funds accounts under their respective names in the bank separate from funds account of other clients or Securities Company. Until this requirement is satisfied, Securities Companies are not allowed to perform transactions on behalf of clients at the Indonesia Stock Exchange (“IDX”). Thus, any movement in the client’s funds for settlement of securities transactions and deposit placements must be performed through the clients funds account. The regulation creates a significant impact on the Company’s operating mechanism. Back office team worked closely with frontliners to help clients comply with these regulations. The Company has also established cooperation with several Payment Banks appointed by the regulator to accommodate the needs for funds account opening for nearly 13,000 Equity Capital Markets (“ECM”) active clients.

Tahun 2011 merupakan “tahun rekonsiliasi dan implementasi Single Investor Identification (“SID”)”, sehubungan dengan upaya pemisahan dana/rekening efek nasabah (disebut dengan Rekening Dana Milik Investor atau ”RDI”) dari rekening perusahaan anggota bursa, dalam hal ini Trimegah. Turut mensukseskan Program yang telah disusun oleh Bapepam-LK dan Self Regulatory Organization (“SRO”) yaitu Bursa Efek Indonesia (“BEI”), Kliring dan Penjaminan Efek Indonesia (“KPEI”), Kustodian Sentral Efek Indonesia (“KSEI”), yang merupakan dasar bagi pengembangan pasar modal menuju Straight Through Processing (“STP”) dimana program kerja penting yang sudah dan mulai diimplementasikan saat ini adalah SID dan RDI, dan akan mulai diterapkan oleh regulator pada tanggal 1 Februari 2012.
Year 2011 was “the year of reconciliation and Single Investor Identification (“SID”) implementation”, in connection with funds separation/client securities account (known as Investor Funds Account or “IFA”) from the securities company’s account, in this case Trimegah. The Programs were prepared by Bapepam-LK and supported by Self Regulatory Organization (“SRO”) including Indonesia Stock Exchange (“IDX”), Indonesia Clearing and Guarantee Corporation (“KPEI”), Indonesia Central Securities Depository (“KSEI”), which were the basis for developing the capital markets to Straight Through Processing (“STP”) whereas the important work programs that had been done and would be implemented were SID and IFA, and would begin to be implemented by the regulator on February 1, 2012.

Sejalan dengan proses rekonsiliasi dan implementasi SID tersebut, di tahun 2011 Divisi Operations memfokuskan diri pada pembenahan sistem back office untuk menunjang kegiatan frontliners sesuai dengan peraturan yang berlaku. Hingga akhir tahun 2011 tidak ditemukan kejanggalan atau kesalahan dalam proses pemeriksaan oleh regulator, sehingga hasil akhir pemeriksaan dinilai membaik dari tahun sebelumnya. Selain itu, kami juga bertanggung jawab untuk memastikan bahwa penanganan segala proses administrasi terkait pencatatan dan penyimpanan efek aset nasabah dilakukan secara prudent, khususnya dengan akan diberlakukannya aturan Modal Kerja Bersih Disesuaikan (“MKBD”) oleh Bapepam-LK per 1 Februari 2012. Berdasarkan Surat Edaran Nomor SE-02/BL/2012 tentang Penjelasan Tambahan atas Surat Edaran Nomor 07/BL/2011 dan validasi pelaporan MKBD, besarnya nilai bank garansi yang disyaratkan untuk dipenuhi jika Perusahaan Efek melakukan kegiatan penjaminan emisi adalah sebesar 25% dari komitmen penjaminan yang menjadi porsinya.
In line with the reconciliation process and the implementation of SID, in 2011 the Operations Division focused on revamping the back office system to support the frontliners activities in accordance with the prevailing regulations. By the end of 2011, no irregularities or mistakes were found in the examination process by the regulator, hence the system was considered to be improving from the previous year. In addition, we were also responsible for ensuring that all the handling of administrative process related to the recording and the safekeeping of clients’ assets was carried out prudently, especially with the enactment of Adjusted Net Working Capital (“ANWC”) by Bapepam-LK per February 1, 2012. Based on Circular Letter No. SE-02/BL/2012 on Additional Clarification of SE No. 07/BL/2011 and reporting validation of ANWC, the amount of bank guarantee required to meet when a securities company takes underwriting project is 25% of the underwriting commitment portion.

Kami juga bekerja sama dengan Divisi Business Development & Infrastructure (“BD&I”) dan divisi lainnya untuk membangun sistem operasi secara terpadu (centralized) agar infomasi tentang nasabah dan investasinya dapat lebih dioptimalkan sehingga dapat memenuhi kebutuhan berbagai pihak untuk mendukung pengembangan kegiatan usaha, termasuk mempermudah akses informasi transaksi bagi para nasabah Trimegah yang jumlahnya hampir mencapai 13.000 nasabah aktif. Dengan mengoptimalkan Sistem Perdagangan Terintegrasi (“SPI”), sistem back office Trimegah saat ini sedang dipersiapkan agar berjalan sesuai dengan peraturan Bapepam-LK. Salah satu penerapannya adalah berupa transparansi kepada investor dengan menciptakan SID bagi setiap nasabah Trimegah. SID ini bertujuan untuk memudahkan sistem pemantauan efek (monitoring) di rekening setiap nasabah Trimegah maupun di KSEI. Saat ini 96% dari total nasabah Trimegah telah memiliki SID.
We also worked closely with the Business Development & Infrastructure Division (“BD&I”) and other divisions to build a centralized integrated operating system in order to optimize the information about clients and their investments to meet the needs of various parties to support the business development, including to ease the access of transaction information for 13,000 Trimegah active clients. By optimizing the Integrated Trading System, Trimegah back office system was being prepared to run in accordance to Bapepam-LK regulations. One of the implementations was through transparency to investors by creating SID for each Trimegah's client. SID aims to facilitate securities monitoring system in each Trimegah’s client account and KSEI. Currently, 96% of the total Trimegah's clients have owned SID.

Entering 2012, the Operations Division will prepare the administration of clients’ activities and asset in a more disciplined way through back office system automation in line with KPEI regulation in securities management, transaction settlement and safe keeping in KSEI related to securities transaction through IDX.

In the upcoming years, we expect that any changes in process and administrative rules proclaimed by the regulator can be accommodated and fully implemented, including STP system application proclaimed by Bapepam-LK, which is in line with Trimegah’s objective to be the central depository house with the world class trading standard that has to be adopted by every stock exchange member.

Tahun 2011 merupakan tahun konsolidasi bagi Divisi Research. Di tahun 2011, kami menata kembali organisasi, format laporan dan analisisnya sebagai wujud komitmen Trimegah untuk meningkatkan layanan kepada nasabah dan juga komunitas pasar modal, khususnya dalam hal ketepatan waktu penyampaian laporan dan produktivitas tim analis, tanpa mengurangi ketajaman dan kedalaman analisis.
2011 was a year of consolidation. Research Division carried out restructuring efforts in some fronts including the organization, its reporting format and quality of analysis. The restructuring initiative was in line with Trimegah’s commitment to improve service to clients and the capital markets through a timely reporting and more productive team while maintaining consistent accuracy and in-depth analysis.

As a way to increase the knowledge and also to educate clients, especially the high-net-worth individuals, in August 2011 we published “Trimegah Equity Strategy – 5 Key Sectors of the Economy”, sector books dedicated to clients who were interested in those sectors. In November 2011, we held “Trimegah Investors Forum” titled “Opportunity in Volatility” – Trimegah regular event in which we shared our view on 2012 economic and capital markets outlook for client in all of our business units.

Divisi Business Development & Infrastructure (“BD&I”) terus meningkatkan perannya dalam mendukung kegiatan Perusahaan. Bagi kami, memastikan nasabah dapat selalu melakukan transaksi saham secara lebih aman dan nyaman adalah salah satu hal yang utama.
The Business Development & Infrastructure Division (“BD&I”) strives to continuously increase our role to support all of Company’s activities. One of the primary objectives is to ensure that clients can perform their stock transactions safely and conveniently.
Untuk mengantisipasi perkembangan pasar modal dan peningkatan transaksi di waktu mendatang, Trimegah memutuskan untuk meningkatkan kapasitas dan kualitas infrastruktur melalui modernisasi sistem teknologi informasi secara lebih terpadu berupa perbaikan, penggantian dan upgrading sistem.
In anticipating future development of the capital markets along with the increased transactions, Trimegah decided to improve its infrastructure’s capacity and quality through a modernization and integration of its information technology system such as through system reparation, replacement and upgrading.

In 2011, we carried out several initiatives such as replacement of our head office telephone system to use a more advanced and efficient digital technology, improved the telecommunication network and utilized better recording equipment to ensure a clearer conversation with clients and safer clients’ transactions.

Selain itu, kami juga sedang mempersiapkan layanan online trading untuk memudahkan nasabah melakukan transaksi saham secara langsung, dan real time. Untuk online trading, Trimegah berencana untuk meluncurkannya di tahun 2012.
We have been preparing an online trading service that can help clients to perform a direct and real time stock transactions. This new online trading system is to be launched in 2012.
Selain pembaharuan sistem telekomunikasi dan trading, di kuartal ketiga tahun 2011, Trimegah juga mempersiapkan sistem back office yang baru, yang rencananya akan diimplementasikan di awal 2012.
In the third quarter of 2011, apart from upgrading the telecommunication and trading systems, Trimegah was also preparing a new back office system scheduled to operate in early 2012.
Bentuk inisiatif lainnya yang dilakukan Divisi BD&I adalah meningkatkan layanan “Help Desk” dan “Call Center”. Walaupun memiliki fungsi atau peran yang berbeda, secara operasional ke dua layanan tersebut saling mendukung. Help Desk lebih bertanggungjawab melayani karyawan, khususnya para trader jika sewaktu-waktu terjadi gangguan pada sistem IT. Sedangkan Call Center bertugas melayani nasabah yang membutuhkan informasi terkait transaksi maupun informasi umum lainnya.
Other initiatives carried out by BD&I Division were improving the “Help Desk” and “Call Center” services. In spite of their different functions or roles, both services are supporting each other throughout the Company’s operations. Help Desk is more responsible to serve employees, especially when the traders find difficulties with the IT system. Meanwhile, the Call Center serves clients who need information about their transactions or any other general inquiries.
Saat ini, walaupun Trimegah Asset Management telah memiliki tim IT yang terpisah, Divisi BD&I Trimegah Securities tetap bekerjasama dan mendukung sistem teknologi informasi Trimegah Asset Management dalam infrastruktur. Dukungan ini, misalnya dalam website Trimegah Asset Management, sistem pengaduan nasabah sesuai dengan kebijakan Perusahaan dan peraturan Bapepam-LK yang mengharuskan seluruh perusahaan efek untuk memiliki sistem layanan pengaduan nasabah. Tanggapan dan komunikasi antara Perusahaan dengan nasabah selalu dimonitor oleh Divisi Compliance, sesuai dengan peraturan Bapepam-LK No.V.D.3.
Although Trimegah Asset Management has spun off its operations from Trimegah Securities, Trimegah Securities BD&I Division continues to work together and supports Trimegah Asset Management information technology system in infrastructures. The support includes Trimegah Asset Management website, client complaint handling system as required by the Company policy as well as Bapepam-LK regulations, which requires securities companies to have a client complaint handling system. Compliance Division will monitor the feedback and communications between Trimegah and clients, according to Bapepam-LK regulation No.V.D.3.
Memasuki tahun 2012, kami akan meneruskan pembaharuan sistem perdagangan efek sejalan dengan upaya mempersiapkan diri dalam menghadapi jumlah volume perdagangan yang semakin tinggi sebagai hasil dari online trading. Kami juga menyadari bahwa inisiatif-inisiatif penyempurnaan dan pengembangan tidak hanya perlu diterapkan pada sistem IT, tetapi juga pada sumber daya manusia agar selalu updated dengan perkembangan IT. Tentunya hal ini juga dilakukan untuk mengikuti dinamika perkembangan dunia IT, sehingga kami pun akan terus berbenah dalam mewujudkan arus komunikasi yang lebih baik, data lebih akurat, terpercaya dan keamanan yang lebih terjamin.
In welcoming 2012, we will continue upgrading our securities trading system while also anticipating higher trading volume as a result of online trading. HUMAN RESOURCES Tahun 2011 adalah tahun yang cukup menantang bagi Divisi Human Resources (“HR”) dalam ketersediaan sumber daya manusia. Untuk menyikapinya, Divisi HR mengoptimalkan sumber daya yang ada dengan cara meningkatkan kompetensinya sehingga sumber daya manusia yang ada tetap mampu mendukung kegiatan usaha perusahaan.
Year 2011 was a challenging year for Human Resources (“HR”) Division for we had to deal with the constraint in human resources. Despite the circumstances, HR Division strived to optimize the existing workforce by enhancing their competencies to support the entire business activities.
Di tahun 2011 Trimegah banyak melakukan kerja sama dengan berbagai perguruan tinggi, antara lain dengan School of Business Management - Institut Teknologi Bandung (SBM ITB), dan Universitas Prasetya Mulya dalam bentuk job fair dan on-the-job-training.
In 2011, Trimegah was partnering with some universities including School of Business and Management - Bandung Institute of Technology (SBM ITB) and Prasetya Mulia University in organizing job fair and on-the-job-training activities.
Trimegah juga memberikan banyak kesempatan kepada mahasiswa berbagai perguruan tinggi untuk melakukan kerja magang. Selain untuk semakin memperkenalkan Trimegah ke komunitas perguruan tinggi dan mahasiswa, program magang ini juga ditujukan untuk memberikan kesempatan kepada mahasiswa untuk mempersiapkan diri masuk ke dunia kerja sebagai salah satu wujud tanggung sosial Perusahaan kepada masyarakat, serta mendukung berbagai project Perusahaan antara lain sistem back office yang baru.
Trimegah also offered internship opportunities for some students from different universities. Apart from introducing Trimegah to several universities and student communities, the internship program also aimed to provide students with some opportunities to prepare themselves before entering the working industry. The program also served as a way to express our social responsibilities for a better community well being, while supporting Company’s various projects, such as the new back office system.

As part of monitoring role, we took some initiatives, which included upgrading headcount reporting process, improving employee compensation and benefit systems to make all those information more presentable from time to time.
Selain itu, kegiatan yang bersifat sosialisasi juga diadakan untuk memastikan bahwa seluruh karyawan memperoleh informasi terkini tentang kegiatan-kegiatan yang sedang berlangsung di Trimegah, termasuk ketentuan-ketentuan dan peraturan-peraturan baru yang terkait dengan kegiatan Perusahaan.
In addition, dissemination activities were also held to ensure that all employees obtained current information in regards to activities that were held in Trimegah, including new rules and regulations.

Pertama-tama, terima kasih atas dukungan semua pihak karena bukan saja PT Trimegah Asset Management bisa berdiri di tahun 2011 sebagai anak perusahaan PT Trimegah Securities Tbk, namun juga karena Perusahaan bisa langsung bersaing, tumbuh dan berkembang sebagai salah satu dari 10 perusahaan manajemen investasi terkemuka di Indonesia.
First and foremost thank you for the support from all parties because not only PT Trimegah Asset Management was established in 2011 as a subsidiary of PT Trimegah Securities Tbk, but also the Company could compete directly, grow and develop as one of the top 10 leading investment management companies in Indonesia.
Pertumbuhan yang menggembirakan tersebut bisa dilihat dari dana kelolaan (Asset Under Management – “AUM”) yang tumbuh 55% dari Rp2,4 triliun di awal tahun 2011 menjadi Rp3,7 triliun di akhir tahun 2011. Jumlah nasabah meningkat 44% dan kami telah meluncurkan 10 produk baru selama tahun 2011. Selain itu, jumlah karyawan juga meningkat menjadi 61 orang yang terdiri atas profesional terbaik di bidang riset dan analisa investasi, fund management, serta pemasaran dan penjualan reksa dana (sales and marketing). Kerja sama aliansi dengan perbankan pun semakin aktif. Per akhir 2011 kami telah menjalin kerja sama dengan 8 bank nasional, yakni PT Bank CIMB Niaga Tbk, PT Bank Bukopin Tbk, PT Bank Jabar Banten Tbk, PT Bank Internasional Indonesia Tbk, PT Bank Central Asia Tbk, PT Bank Negara Indonesia (Persero) Tbk, PT Bank Rakyat Indonesia (Persero) Tbk, dan Bank ICB Bumiputera Tbk.
The encouraging growth was reflected by the Company’s Assets Under Management (“AUM”), which grew 55% from Rp2.4 trillion at the beginning of 2011 to Rp3.7 trillion at the end of 2011. The number of clients increased by 44% and we launched 10 new products in 2011. In addition, the number of employees also increased to 61 people consisting of the best professionals in the field of research and investment analysis, fund management, also marketing and sales of mutual funds. Alliance cooperation with banks became more active. Portofolio produk reksa dana Trimegah Asset Management semakin lengkap untuk memenuhi kebutuhan dan preferensi nasabah, baik ritel maupun institusi, yang semakin beragam.

Dari sisi kinerja produk, secara keseluruhan produk reksa dana Trimegah Asset Management berhasil memberikan tingkat pengembalian di atas rata-rata industri. Bahkan beberapa produk unggulan seperti TRIM Kapital Plus memperoleh rating lima bintang dari Morning Star, sebuah lembaga internasional independen yang mengevaluasi kinerja produk reksa dana di Asia untuk investor global.
In terms of product performance, the overall mutual funds products of Trimegah Asset Management managed to deliver returns above the industry average. Even some of our ‘leading products’ such as TRIM Kapital Plus received five stars rating from Morning Star, an independent international organization that evaluates the performance of mutual funds products in Asia for global investors.
Di tahun 2012 kondisi perekonomian global dan domestik akan kembali berubah, dan kami akan terus menyesuaikan diri dengan kebutuhan nasabah. Konsumsi masyarakat mungkin akan sedikit mengalami tekanan sejalan dengan wacana penurunan subsidi Bahan Bakar Minyak (BBM) oleh Pemerintah, namun beban perekonomian nasional diharapkan akan semakin ringan sehingga sektor produksi dan pembangunan, khususnya infrastruktur, energi dan teknologi, diharapkan akan tumbuh semakin cepat dan semakin baik sehingga daya saing perekonomian nasional dapat meningkat. Pada akhirnya lapangan kerja dan daya beli masyarakat yang awalnya tertekan, akan kembali meningkat sehingga investasi rumah tangga juga akan meningkat.
In 2012, global and domestic economic conditions will change again, and we will continue to adjust to the needs of clients. Private consumption may be under pressure in line with the discourse of fuel subsidy reduction by the Government, but the burden of the national economy is expected to become lighter so that production and development sectors, particularly infrastructure, energy and technology, are expected to grow faster and better so that national economic competitiveness can be improved. At the end, employment opportunities and purchasing power, which were initially under pressure, will increase and household investment will also increase.
Walaupun diperkirakan bukan merupakan tahun yang mudah, tahun 2012 diharapkan menjadi tahun yang jauh lebih baik bagi industri keuangan dan investasi nasional, khususnya bagi perusahaan investasi yang berfokus di segmen ritel seperti kami. Although it is estimated to be another challenging year, 2012 is expected to be a much better year for the financial industry and national investment, especially for investment company that focuses on retail segment like us. He received Bachelor of Economics in Marketing from Bandung Islamic University in 1994, then proceeded to the Graduate School of Economics Murray State University, U.S.A. Bergabung dengan PT Trimegah Securities Tbk sebagai Chief Operating Officer pada tahun 2010 dan menjabat sebagai Direktur PT Trimegah Asset Management sejak November 2011.

Trimegah berkomitmen untuk selalu menerapkan tata kelola perusahaan yang baik (Good Corporate Governance – “GCG”) dan ingin menjadi benchmark penerapan GCG bagi industri. Trimegah juga percaya bahwa pengabaian atau relatif rendahnya kualitas GCG pada suatu perusahaan sangat mungkin menciptakan risiko-risiko tertentu yang dapat merugikan operasional dan kinerja keuangan perusahaan.
Trimegah is committed to always implementing Good Corporate Governance (“GCG”) and hopes to set the benchmark for the implementation of GCG for the industry. Trimegah also believes that neglecting or the relatively poor quality of GCG in a company is likely to create certain risks that could harm the operations and financial performance of the company.

Otoritas tertinggi dan forum utama pengambilan keputusan Trimegah adalah RUPS Tahunan yang diselenggarakan sekali dalam setahun, dan RUPS Luar Biasa yang dapat digelar sesuai dengan kebutuhan. Melalui rapatrapat tersebut para pemegang saham dapat menggunakan haknya untuk menghasilkan keputusan, dan membuat pengesahan atas berbagai kebijakan Perusahaan. Independent Commissioner
Sesuai dengan Surat Edaran Bapepam No. SE-03/PM/2000 dan Peraturan BEJ Nomor I-A yang mewajibkan perusahaan publik untuk memiliki Komisaris Independen sekurangkurangnya 30% dari jajaran Dewan Komisaris, Trimegah memiliki 1 (satu) Komisaris Independen, atau 33,3% dari Dewan Komisaris. Peran Komisaris Independen sangat penting bagi Perusahaan yaitu untuk mewakili kepentingan publik dalam mengawasi jalannya Perusahaan. Komisaris Independen Trimegah juga merangkap sebagai Ketua Komite Audit.
In line with the Circular Letter of Bapepam No. SE-03/ PM/2000 and BEJ Regulation No. I-A, which requires a public company to have Independent Commissioner at least 30% of the Board of Commissioners, Trimegah has 1 (one) Independent Commissioner or 33.3% of the Board of Commissioners. The role of Independent Commissioner is very important for the Company, which is to represent the interest of the public in supervising the Company. Trimegah Independent Commissioner also serves as the Chairman of the Audit Committee.

Direksi bertugas untuk mengelola Perusahaan. Direksi juga bertanggung jawab terhadap pelaksanaan tata kelola perusahaan yang baik. Direksi Trimegah terdiri dari 4 (empat) orang, yaitu 1 (satu) Direktur Utama dan 3 (tiga) Direktur.
The role of the Board of Directors is to manage the Company. The Board of the Directors is also responsible in the implementation of good corporate governance. Trimegah Board of Directors consists of 4 (four) Directors, including 1 (one) President Director and 3 (three) Directors.

According to Bapepam-LK Regulation No. V.D.3 regarding Internal Control and Book Keeping of Securities Company, in 2011, the Company made an improvement in complaint handling system to be more integrated so it would accelerate the response to a complaint or suggestion given by the clients, and also make it easier for the clients to get information about Trimegah products and services. Dalam melaksanakan pengendalian internal Perusahaan, Direksi dibantu oleh Divisi Internal Audit (“IA”), yang bertanggung jawab melakukan pengawasan internal, memberi keyakinan dan konsultasi secara independen dan obyektif untuk meningkatkan nilai dan memperbaiki operasional Perusahaan melalui pendekatan yang sistematis, selaras dengan prinsip-prinsip tata kelola perusahaan yang baik. Secara fungsional, Divisi IA harus melaporkan langsung hasil temuan audit secara berkala kepada Komite Audit, untuk kemudian dilakukan tinjauan lanjutan dan disampaikan kepada Direksi untuk dapat ditindaklanjuti.
As part of the Company’s internal control implementation, the Board of Directors has been assisted by Internal Audit (“IA”) Division responsible for monitoring the internal control activities, providing assurance and performing independent and objective consultation to increase values, while also improving Company operations through a systematic approach according to good corporate governance principles. Within a certain time frame, IA Division has to report its audit findings directly to the Audit Committee. The Audit committee will then perform subsequent review prior to forwarding the report to the Board of Directors for a further follow up.

Di tahun 2011, kami banyak melakukan revisi rencana audit sesuai dengan permintaan Manajemen dan kondisi lapangan yang mengharuskan audit-audit atau pemeriksaan khusus. Namun secara garis besar, kami tetap menjalankan rencana yang disusun di awal tahun 2011, antara lain melakukan beberapa penyesuaian Standard Operating Procedure (“SOP”) dan sistem pelaporan agar lebih komunikatif. Direksi mengharapkan sistem audit dan pelaporan dikomunikasikan secara dua arah antara auditor dengan auditee, sehingga temuan-temuan audit dapat segera ditindaklanjuti sesuai dengan proses bisnis internal. Proses bisnis internal tersebut mempertimbangkan segala risiko yang telah teridentifikasi, baik yang ditimbulkan secara internal maupun eksternal. Dari situlah kemudian kami membuat rencana audit.
In 2011, we made some revisions to the audit plan according to the Management’s request and current conditions in the field that required specific audits or inspections. However, in general we still carried out plan that was initially set up in early 2011, including some adjustments to the existing Standard Operating Procedure (“SOP”) and developing a more communicative reporting system. The Board of Directors was expecting that the audit and reporting systems reflected a two-way communication between the auditor and auditee so that the audit findings could be followed up based on the ongoing internal business process. This internal business process was exercised by fully considering all the identified risks caused by either internal or external factors, followed by developing the next audit plan.

Temuan ditindaklanjuti dengan mengacu pada prinsip sistem pengendalian internal dan peninjauan kembali pelaksanaan SOP. Mengenai hal-hal yang berkaitan dengan fungsi kontrol, kami melakukan pengawasan secara terusmenerus dan memberikan masukan terhadap masalah yang mungkin timbul.
Our focus was on the audit findings, and any violations to the regulator’s rules as well as the Company’s internal regulations. These findings were then followed up based on the internal control system principles and the review results of the SOP implementation. We will carry out continuous supervision over the control function and processes, while giving inputs related to any potential problems that may arise.

Yang pertama dilakukan oleh pihak eksternal berupa pemeriksaan rutin oleh Regulator dan Bursa Efek Indonesia berupa permintaan data-data atas transaksi yang mencurigakan. Pemeriksaan kedua dilakukan oleh tim Internal Audit di tiap cabang Trimegah berupa pemeriksaan berbasis risiko dan sesi counselling, dengan fokus pada fungsi-fungsi dan unit-unit kerja yang memiliki potensi risiko yang lebih tinggi daripada yang lainnya.
In 2011, we performed two audit inspections. The first one was a regular audit performed by external parties, which were the Regulator and Indonesia Stock Exchange who both required all data related to doubtful transactions. The second audit was performed by an Internal Audit team to each Trimegah branch office through a risk-based approach and counseling session, which prioritized more on those functions and working units with higher risk potential compared to others.
Salah satu tugas utama kami adalah memastikan bahwa semua kegiatan yang dilaksanakan sesuai dengan peraturan perundangan-undangan, kebijakan dan prosedur Perusahaan yang berlaku. Di antaranya adalah peraturan Badan Pengawas Pasar Modal dan Lembaga Keuangan (“Bapepam-LK”) tahun 2011, yang harus segera diadopsi oleh perusahaan efek dan berlaku efektif sejak awal tahun 2012. Kami bekerjasama dengan Divisi Compliance untuk mensosialisasikan peraturanperaturan tersebut kepada seluruh karyawan dan unit kerja yang terkait. Salah satu dari peraturan-peraturan baru tersebut adalah Modal Kerja Bersih Disesuaikan (“MKBD”) yang efektif berlaku mulai 1 Februari 2012. Ke depan kami bersama dengan Divisi Finance & Accounting akan secara rutin meninjau kembali MKBD Perusahaan untuk memastikan bahwa kegiatan usaha Perusahaan berjalan seperti yang seharusnya.
One of our important tasks was to make sure that every activity was performed according to the prevailing regulations, policies and Company’s procedures, including the regulation issued by the Capital Market and Financial Institution Supervisory Agency (“Bapepam-LK”) in 2011, to which all securities companies had to effectively implement, starting in the year 2012 onwards. We cooperated with Compliance Division in socializing the regulations to all employees and all related working units. One of the new regulations concerned about the Adjusted Net Working Capital (“ANWC”), which is due to become effective from February 1, 2012. In future, we will collaborate with the Finance & Accounting Division to regularly review the Company’s ANWC to ensure that the Company performs its usual business conducts according to the prevailing regulation.

Hal terpenting yang harus selalu ditanamkan adalah terus memperbaiki hal-hal terkait kepatuhan (compliance) khususnya terhadap peraturan Regulator, serta meminimumkan temuan audit internal agar tidak menjadi temuan eksternal.
As part of good corporate governance practices, our second target is to continue composing an audit plan through a risk-based approach by strengthening supervision and internal control role as proof of Trimegah’s commitment, and in alignment with the conventional supervisory method. One of the most important things that we all must take in is to constantly improve compliance related to Regulator’s rule, while also minimizing the internal audit findings and preventing it from becoming external audit findings.

Seiring dengan fluktuasi pasar modal Indonesia di tahun 2011, bisnis Trimegah pun mengalami pergerakan mengikuti naik-turunnya pasar. Secara keseluruhan, seluruh bisnis Trimegah berjalan stabil, walaupun terjadi turbulensi sepanjang tahun 2011 yang sempat berdampak pada beberapa aspek bisnis Perusahaan. Untuk menyikapinya Divisi Strategy & Performance Reporting (“SPR”) melakukan beberapa upaya pembenahan dalam berbagai aspek mencakup pengelolaan sumber daya manusia, aspek keuangan, segmentasi nasabah dan aspek bisnis Trimegah.
Along with the Indonesia’s capital markets fluctuations in 2011, Trimegah business underwent movement following the market ups and downs. Overall, the whole Trimegah business was running stable, despite the turbulence of 2011 that had an impact on some aspects of the Company’s business. To face this, Strategy and Performance Reporting (“SPR”) Division made some revamping efforts in various aspects including human resources management, financial aspect, client segmentation and Trimegah business aspects.
Dalam hal sumber daya manusia, tahun 2011 merupakan tahun yang penuh tantangan bagi Trimegah terkait dengan penurunan jumlah karyawan terutama equity sales secara drastis di semester kedua tahun 2011 dibanding tahun 2010. Dalam hal ini kami memberikan rekomendasi kepada Manajemen, antara lain dengan memperketat sistem rekrutmen dan mengintensifkan program pengembangan kompetensi karyawan melalui berbagai pelatihan yang diadakan di pusat pelatihan Trimegah di Bumi Serpong Damai - Tangerang.
In terms of human resources, 2011 was a challenging year for Trimegah related to the decreasing numbers of employees, especially equity sales drastically in the second semester of 2011 compared to 2010. In this case, we were in charge of providing recommendation to the Management, among others by tightening the recruitment system and intensifying employee competency development program through a variety of trainings held in Trimegah training center in Bumi Serpong Damai - Tangerang.

Hal ini dilakukan seiring dengan adanya regulasi yang mengatur pemisahan dana nasabah dari rekening perusahaan efek, dalam hal ini Trimegah Securities. Kami membantu Manajemen untuk menganalisa dampak peraturan pasar modal terhadap kinerja Perusahaan, yang ditindaklanjuti dengan pembaharuan sistem back office.
From the financial side, Trimegah performed an improvement in the budgeting and reporting system. It was done in line with the regulations governing the separation of client funds from the securities companies account, in this case, Trimegah Securities. We assisted the Management to analyze the impact of the capital markets regulation on the Company’s performance, which was followed up with back office system upgrading.

In 2011, we continued to develop each Trimegah business line consisting of Equity Capital Markets (“ECM”) and Debt Capital Markets (“DCM”), Investment Banking (“IB”) and asset management through our subsidiary – Trimegah Asset Management. One of the ways was to reorganize the Retail ECM’s client segmentation, including providing online trading facility for relatively young age clients, which would be launched in the second quarter of 2012, while strengthening the institutional clients portfolio through an integrated service of institutional ECM, DCM, and Advisory through Investment Banking.

Banyak kegiatan yang dilakukan oleh Divisi Compliance di tahun 2011 merupakan kelanjutan dari kegiatan di tahun sebelumnya. Divisi Compliance membantu memastikan Perusahaan mematuhi perundang-undangan dan peraturan pasar modal, serta peraturan internal dalam menjalankan usahanya. Kepatuhan terhadap peraturan ini akan meminimumkan compliance risk yakni risiko sanksi hukum atau peraturan, kerugian keuangan yang material, atau kerugian reputasi yang mungkin dihadapi Perusahaan yang timbul akibat kegagalan mematuhi peraturan tersebut. Dalam menjalankan aktivitasnya, kami juga selalu menerapkan prinsip kehati-hatian (prudence) dan Prinsip Mengenal Nasabah (Know Your Customer - “KYC”) sejalan dengan peraturan yang diterbitkan oleh regulator.
Many activities carried out by Compliance Division in 2011 were the continuation of the previous year activities. The Compliance Division helps to ensure the Company is compliant with the law and capital markets regulations, and also the internal regulations in running their business. Compliance to these regulations will minimize compliance risk, which is the risk of the laws or regulations sanction, material financial loss, or reputational loss that may occur from the failure to comply these regulations. In running our activities, we always apply the prudence and Know Your Customer (“KYC”) principles in line with the regulations issued by the regulator.

Peraturan-peraturan baru tersebut antara lain mengharuskan Perusahaan untuk memisahkan rekening dana maupun efek milik nasabah dari rekening milik Perusahaan, dan menyesuaikan MKBD Perusahaan dengan peraturan yang baru.

Di tahun 2011, kami juga menyelenggarakan pelatihan bagi seluruh frontliners dan karyawan back office dari seluruh cabang dan kantor pusat dengan materi mencakup KYC, Anti Money Laundering (“AML”) dan peraturan-peraturan baru yang akan diterbitkan. Dalam pelatihan ini kami mengundang pembicara yang kompeten di pasar modal Indonesia. Dengan penyelenggaraan pelatihan ini diharapkan dapat meningkatkan tingkat kepatuhan dan kehati-hatian Trimegah dalam penerapan KYC sesuai peraturan Bapepam-LK No. V.D.10 mengenai Prinsip Mengenal Nasabah oleh Penyedia Jasa Keuangan di Bidang Pasar Modal, dan penanganan AML sesuai dengan Undang-Undang No. 8 Tahun 2010 mengenai Pencegahan dan Pemberantasan Tindak Pidana Pencucian Uang dan Terorisme.
In 2011, we also organized trainings for all frontliners and back-office employees from all branches and head office covering the KYC, Anti Money Laundering (“AML”) and the new regulations to be published. In this training we invited speakers who were competent in Indonesian capital markets. With this training we expected to increase Trimegah’s level of compliance and caution in implementing KYC principles according to Bapepam-LK regulation No.V.D.10 regarding Know Your Customer Principles by Financial Services Provider in Capital Markets, and in AML handling accordance with Law No. 8/2010 on Prevention and Eradiation of Money Laundering and Terrorism.

Semua unit bisnis Trimegah memiliki kewajiban untuk menerapkan Manajemen Risiko di masing-masing unit kerja sebagai bagian dari Manajemen Risiko Perusahaan secara keseluruhan. Risk Management memiliki tugas utama melakukan pengawasan transaksi rekening margin dan regular (transaksi equity). Sejak April 2011 fungsi unit Risk Management Trimegah diperluas dan mencakup juga pengawasan terhadap risiko-risiko Perusahaan seperti credit risk, operational risk yang timbul sebagai akibat fluktuasi di pasar modal maupun terkait aktivitas usaha yang dilakukan Perusahaan.
All Trimegah business units are obliged to apply Risk Management in their respective working units as a part of Corporate Risk Management as a whole. Risk Management has a primary task of monitoring margin and regular account transaction (equity transaction). Since April 2011, Trimegah Risk Management unit function has expanded and included monitoring of the Company’s risks such as credit risk, operational risk arising as a result of fluctuations in the capital markets and also related to the Company’s business activities.

Sepanjang 2011 kami menghadapi beberapa tantangan, baik dalam sisi internal maupun eksternal Perusahaan. Dalam sisi internal, Trimegah mengalami keterbatasan sumber daya manusia akibat tingkat turnover yang cukup tinggi di tahun 2011. Sedangkan dalam sisi eksternal, kami harus menghadapi gejolak di pasar modal khususnya terkait beberapa peraturan baru yang dikeluarkan oleh Badan Pengawas Pasar Modal dan Lembaga Keuangan (“Bapepam-LK”).
Throughout 2011, we faced several challenges, both internal and external sides of the Company. In the internal side, Trimegah faced limitation in human resources due to the high turnover in 2011. While in the external side, we had to deal with the turmoil in capital markets, especially related to the new regulations issued by the Capital Markets and Financial Institution Supervisory Agency (“Bapepam-LK”).
Untuk menyikapinya, Trimegah melakukan berbagai penyesuaian di banyak aspek, antara lain adalah pergantian sistem back office. Dalam hal ini kami bertugas mengawasi agar Perusahaan terhindar dari risiko yang dapat terjadi akibat pergantian dan pengembangan sistem back office tersebut.
To face this, Trimegah made various adjustments in many aspects, among others was replacing back office system. In this case, we oversaw the Company to avoid the risks that could occur due to the replacement and development of the back office system.
Perubahan juga dilakukan untuk memenuhi regulasi baru mengenai Modal Kerja Bersih Disesuaikan (“MKBD”) yang akan mulai diberlakukan oleh Bapepam-LK di awal Februari 2012, namun persiapannya telah mulai dilakukan sejak tahun 2011 khususnya oleh Divisi Finance & Accounting, dan Operations, termasuk sinkronisasi sistem dan aturan-aturan yang saling berkaitan antar unit bisnis. In the future, we plan to make a more integrated Risk Management system, to integrate the mitigation risk process of risk potential that may occur, including credit risk, market risk, operational risk, and legal risk. In 2012, we plan to focus on mapping the risks of the related business units, so that we can develop an integrated risk management plan as a base for Trimegah to deal with market turbulence. With this, Trimegah is also expected to be stronger when facing the capital markets turmoil, be able to analyze and mitigate those risks in order to avoid all kinds of losses.

Struktur dan komposisi keanggotaan Komite Audit telah memenuhi ketentuan dan persyaratan yang berlaku. Anggota Komite Audit mempunyai kompetensi dan pengalaman yang memadai untuk menunjang efektivitas Komite Audit dalam melaksanakan tugas dan tanggung jawabnya. 1. Mengadakan rapat reguler dengan Divisi Internal Audit sebanyak 6 kali. Selain itu juga melakukan pertemuan dan pembahasan terkait dengan rencana Auditor Eksternal tahun 2011 dengan Direksi Perusahaan, serta melakukan pertemuan dan pembahasan hasil sementara Laporan Keuangan terbatas dengan Auditor Eksternal dan juga dengan Divisi Finance & Accounting. 2. Memberikan rekomendasi dan masukan atas hasil laporan pengendalian internal dan manajemen risiko pemeriksaan yang dilakukan Divisi Internal Audit rutin maupun khusus. 3. Membahas temuan-temuan yang bersifat signifikan dan memerlukan tindakan segera yang akan berpotensi memberikan dampak risiko bagi Perusahaan. 4. Membahas Laporan Realisasi dari Rencana Kerja Divisi Audit Internal tahun 2011 dan Rencana Kerja tahun 2012. 5. Membahas penerapan dan implikasi Peraturan Pasar Modal baru baik Bapepam-LK maupun Bursa Efek Indonesia yang terkait sistem di back office dan front office Perusahaan.
1. Holding 6 regular meetings with Internal Audit Division. Also holding meeting and discussion related to External Auditor plan in 2011 with the Company’s Board of Directors, also a meeting and review on preliminary result of limited Financial Statements with External Auditor and Finance and Accounting Division. 2. Providing recommendation and input on the internal control report and the risk management inspection conducted by Internal Audit Division, on a regular or special-issue basis. 3. Discussing the findings that were significant and required an immediate action that would potentially risk the Company. 4. Discussing the Realization Report of the Internal Audit Division Work Plan of 2011 and 2012. 5. Discussing the implementation and implication of the new Capital Markets Regulations, both of Bapepam-LK and the Indonesia Stock Exchange in relevance to the back and front office system of the Company.
Berdasarkan telaah dan pembahasan yang dilakukan selama tahun 2011, secara keseluruhan Komite Audit meminta Manajemen untuk memperhatikan kecukupan sumber daya Internal Audit, melakukan perbaikan terhadap fungsi pengendalian internal, penyempurnaan sistem back office dan front office untuk memastikan keterandalan transaksi dan pelaporannya, perbaikan dan implementasi prosedur operasi baku, perbaikan kebijakan dan pengelolaan sumber daya manusia, penuntasan penyelesaian berbagai masalah operasional, serta meminta Manajemen untuk memastikan agar masalah-masalah yang sama tidak berulang dan agar tidak terdapat masalah yang bersifat material.
Based on the evaluation and discussion conducted during 2011, overall the Audit Committee ask the Management to pay attention to the adequacy of Internal Audit resources, make improvements to the internal control function, enhance the back and front office system to ensure the transaction reliability and the reporting, improvement and implementation of standard operating procedures, improvement on policy and human resource management, the completion of various operational problems, also ask the Management to ensure that the similar problems will not be repeated and to not have material issues.

Menjabat sebagai Direktur Perseroan sejak Juni 2008.
