Certain Security Holders of „ KIT digital, Inc.“ represented by Lubomír Andrejsek, consisting of parties listed on Exhibit 1 attached hereto, (the “Certain Shareholders” or “We”) hereby submit this objection to the First Amended Plan of Reorganization dated June 15, 2013.
Lubomir Andrejsek is a committee member of association "KIT digital Active Investors" registered with Ministry of Interior of Czech Republic (reg. number - 01506773), which has 429 members, who holds together 4.6 million shares of KITD and operates its web site at www.kitd.info.

NATURE OF OBJECTION The Certain Shareholders represented by Mr. Andrejsek do not agree with treatment of Class 7 (Interests) as contemplated by the proposed Plan. 1.
Pursuant to 11 USC § 1123(a)(4), the Plan must provide the same treatment for each claim or equity interest in a particular class. The proposed plan contemplates very arbitrary and discriminating treatment for equity interest holders designated as the class_7. While some shareholders, i.e. Plan Sponsor Group shall exclusively receive Reorganized KDI Class B Common Stock (in volume of 44.645% of all Reorganized KDI Interests) thus significantly increase its participation in the new reorganized entity, other shareholders, i.e. the non-Sponsor shareholders are not offered the same opportunity and therefore their participation in the new reorganized entity would substantially be reduced.

We require that all holders of KDI Common Stock to be offered equal opportunity as members of the Plan Sponsor Group, i.e. right to subscribe for Reorganized KDI Class B Common Stock pro rata to their respective holdings of KDI Common Stock as of petition date. All unsubscribed shares of Class B could be taken by members of “Plan Sponsor Group” at their discretion.

If the proposed Plan were confirmed, it would lead to significant reallocation of equity interest from non-Sponsor shareholders to Plan Sponsor Group´s members at the expense of the former.

The Certain Shareholders represented by Mr. Andrejsek are prepared to subscribe 1.83% portion of all Reorganized KDI Class B Common Stock to be issued.
