Introduction
The Centre for the Study of European Contract Law The CSECL achieved good results in 2010.
An important highlight for the CSECL was the publication of the report of the
national research assessment exercise. 1 In that review the CSECL did very well. With 4,75 out of 5,00 our research programme 'European Contract Law' came out best of all research programmes in our faculty. The Committee wrote
about the CSECL: 'The group is young, diverse and international and enjoys an excellent reputation'. 2 This was the first external review of the CSECL's research (or of its predecessor, the AIP): a good start!
Moreover, this year the CSECL was awarded, together with the Amsterdam
Centre for European Law and Governance (ACELG) and the Amsterdam Centre for International Law (ACIL), substantial additional priority area research
funds for the research project The architecture of post-national rule making. In 2010 we welcomed Aukje van Hoek as our new professor of private
international law and civil procedure, and Josse Klijnsma as a new researcher. Finally, we had the privilege of hosting Evelyne Terryn as a visiting professor. Amsterdam, autumn 2011 Martijn W. Hesselink

CSECL’s mission and research theme
Mission The Centre for the Study of European Contract Law (CSECL) was founded in
2006. Its research programme focuses on the interplay between the European, national and international laws of contract. Contract law is understood in a
broad sense, namely the law governing economic transactions in Europe. The research group aims to play a leading role in the academic debate on European contract law.
General research theme The theme of CSECL’s research is European contract law. This includes both commercial and consumer contracts, and both general and specific contract law. It also includes the relevant aspects of general patrimonial law and the general law of obligations. Moreover, it also includes important aspects of property law and insolvency law, and, albeit to a lesser extent, of tort law.
European law is understood here as the law which is applicable in Europe. The definition is based on the concept of multi-level governance: the research
focuses on the interplay between the relevant national (civil code, common law), European (current and new acquis) and international (eg CISG) law.
Finally, law is understood here also in a broad sense including not only ‘soft
law’ but also the ‘context’ in which the ‘black letter’ rules operate. As a result,
research will often be multi-disciplinary combining insights from comparative law, economic analysis, legal theory, political analysis, constitutional analysis, sociology and psychology.

CSECL’s specific focus is on four specific themes: 1) the interaction between national and community (consumer) private law, 2) economic transactions, property law and Europe, 3) European contract law, social justice and democracy, and 4) European private law and legal method.
CSECL’s research also includes other subjects within the general theme of European contract law as defined above, than those relating to the four themes.

The interaction between national and community (consumer) private law (directed by Marco Loos) This theme deals, in particular, with the impact of Community law on the national private laws of the Member States. Specific subjects
include: the different strategies for transposing directives; the spill-
over effects of specific directives; the consequences of harmonization for the systematic character of private law and for the ideal of
codification. In view of its predominance in EC private law, the focus will be mainly, though not exclusively, on consumer law. This theme includes, in particular, the work of Hugh Beale, Diana Dankers-
Hagenaars, Aukje van Hoek, Bram Duivenvoorde, Jeroen Kortmann, Marco Loos, Joasia Luzak, Sacha Tamboer and Gerard de Vries.

Economic transactions, property law and Europe (directed by Arthur Salomons) As said, the main object of our research is the law of contract understood in a very broad sense, i.e. as the law of economic
transactions. Clearly, property law is an important part of the private law concerning economic transactions, not only because many
transactions (notably sales) aim at the transfer of property but also 4
because contracts are often secured by property or similar interests. Therefore, this research theme explores, in the first place, the
possibility of convergence, harmonisation or even unification of
property law in Europe. Moreover, it analyses the implications and spill-over effects of the Europeanization of the law of contract
(understood in a strict sense) on property law. Finally, it also addresses certain fundamental questions which property law and contract law have in common and where contract law research could learn from
property law research. This theme includes, in particular, the work of Selma de Groot, Dewi Hamwijk, Arthur Salomons, and Rolef de Weijs.

European contract law, social justice and democracy (directed by Martijn Hesselink) In this stage, we will both broaden and deepen our research. In
particular, we will further explore the implications of different social
justice theories for questions of European private law; the specific role of the courts in delivering social justice; and the relationship between
the Europeanization of private law and the democratic deficit in Europe. This theme includes, in particular, the work of Tim de Booys, Guido
Comparato, Martijn Hesselink, Josse Klijnsma, Chantal Mak and Lyn Tjon Soei Len.

European private law and legal method (directed by Martijn Hesselink) Legal method plays an crucial role in both the development of European private law and its analysis. Surprisingly, however,
methodological issues in European private law are not so often studied. Our aim is to contribute to the theory and practice of European private

law methodology. This theme includes, in particular, the work of
Marieke Oderkerk on the methodology of comparative legal research
and of Martijn Hesselink on the idea of a European legal method and its implications. Moreover, in all PhD projects methodological choices are explicitly addressed and justified, which contributes to the
methodological state of the art in the field. In some cases, including
notably Jaap Baaij, Guido Comparato and Lyn Tjon Soei Len, developing an own analytical framework (on law & language, nationalism and capabilities respectively), is a central part of the research.

of 1st of September 2010 she held the 'Wisselleerstoel voor Privaatrecht' of the Dutch-Belgian Tijdschrift voor Privaatrecht. Her research i.a. focuses on
consumer law and European private law. While in Amsterdam, her research focused on the enforcement of consumer law and she was involved in the
course "Consumentenrecht", taught by Prof. Marco Loos, who was hosting the Wisselleerstoel.

RESEARCHERS Ronan Tigner Ronan specializes in the field of new technologies law. As of 1st of August
2010 he joined the CSECL to work on a study funded by the European Commission on the "legal framework for digital content services to consumers," which is led by Prof. Marco Loos. Habtamu Alemayehu
Habtamu Alemayehu works as a researcher at the CSECL for the period of one year. His research theme focused on the harmonization of business law in
West African states. In particular he explored the Draft Ohada Uniform Act for the harmonization of contract law in the Ohada member African states, as drafted and presented by UNIDROIT Study Group. Josse Klijnsma As of 1st of September 2010 Josse Klijnsma joined the CSECL as a junior
researcher. 3 The main focus of his research is analyzing and discussing the position of SMEs in European contract law. He does this from a Rawlsian
perspective, combining political philosophy with positive European contract law.

Collaborations
Members of the research group participate in the following international research groups and collaborations:
The Common Core of European private Law (‘Trento Project’) The aim of this project is to establish common rules with respect to certain fields of private law of the different members of the European Union, although their methods of research are totally different.
Follow-up of Co-PECL
The Joint Network on European Private Law (Co-PECL) has been
concluded and will be followed up by some projects that are currently considered (such as a European Law Institute).
Several members of the CSECL have been involved in drafting the CFR whose efforts have resulted in the Draft Common Frame of Reference
(DCFR), Outline Edition, which appeared in 2009. The CFR will most likely lead to a non-binding instrument, which will be the basis for the future development of Community legislation, including possibly the formal enactment of an (optional) Civil or Contract Code.
The Study Group on Social Justice in European Private Law Within the Social Justice Group CSECL researchers co-operate with
researchers of the Paris I, the London School of Economics, the European
University Institute (Florence), the University of Helsinki, ZERP (Bremen), the Karl-Franzens-Universität Graz and the University of Catania. This group conducts common research of social justice and regulatory legitimacy within the European Contract Law.

The Ius Commune Research School CSECL co-operates with the Faculties of Law of the University of Utrecht,
the University of Maastricht, the Catholic University Leuven (Belgium) and with individual researchers of the University Stellenbosch (South Africa), the University of Edinburg (Scotland), the Free University in Amsterdam, Tilburg University and the Erasmus University Rotterdam.
Several specific research projects by members of the research group are carried out within the framework of one or more of these international
collaborations. The aim is to intensify and extend international collaboration and exchange.
Moreover, CSECL is partner of the Finnish Centre of Excellence in the Foundations of European Law and Polity Research.
Furthermore, there are numerous international collaborations on an
individual basis with scholars from many leading European and American universities including Harvard, EUI, LSE, Oxford and Sciences Po.
Locally, the CSECL collaborates with other academics outside the Faculty of Law, especially with the Amsterdam Centre for Law and Economics (ACLE), through joint research projects and seminars.
Inside the Faculty CSECL participates in the Research Priority Area (RPA) ‘European Private and Public Law’, launched formally in 2009. The RPA includes three research groups, each with their own specific research
programmes and research centres (the Amsterdam Centre for European Law
and Governance (ACELG), the Amsterdam Centre for Tax Law (ACTL) and the Centre for the Study of European Contract Law (CSECL)). Although there are no common research activities planned for the area as a whole, there have
been important collaborations between certain researchers from different 16
groups. The most prominent example is the project ‘The Architecture of PostNational Rulemaking: Views from Public International Law, European Public
Law and European Private Law’ (see www.jur.uva.nl/architecture/about.cfm) that is directed by Deirdre Curtin (ACELG) and Martijn Hesselink (CSECL) together with André Nollkaemper (Public International Law).

Organisation
Management Prof. dr. Martijn W. Hesselink is Director of the Centre for the Study of
European Contract Law (CSECL). He is assisted by Coordinator dr. Chantal
Mak and Management Assistant LLM Yvonne ter Horst. The specific (four)
themes within the research programme are led by the senior researchers prof. dr. Arthur Salomons, prof. dr. Marco Loos and prof. dr. Martijn Hesselink.
The CSECL consists of a diverse research group where researchers interact with other researchers from different backgrounds in terms of nationality, gender, education et cetera. By creating attractive positions for assistant professors (more research time), occasionally in combination with the
possibility of a ‘tenure track’ to become associate professor, the CSECL has managed to attract and retain talented researchers.
All researchers, including PhD students, participate in the Ius Commune
research school. Moreover, all researchers are facilitated to excel in their work by showing confidence in their capacities to be innovative while at the same time showing a real interest in their ideas and projects.
Weekly meetings In this respect bi-weekly seminars are organized on Mondays and are
dedicated to discuss each others’ research during internal seminars and to discuss recent developments in the field of (European) regulation and
literature during lunch meetings. In a series of CSECL Seminars, which take place twice-monthly on Mondays and which are public, invited leading
scholars from across the world present and discuss their working papers.

Interaction with teaching The Master’s programme in European Private Law is directed and co-
ordinated and, for the most part, taught by members of our research group. Students in that programme are invited to participate in CSECL seminars, conferences, and, where possible, research.

6.
Teaching
Private law in Europe has undergone rapid transformation over the last two decades. From being a branch of law that was hardly affected by European Community (EC) legislation, it has become the object of a multitude of
harmonisation measures, to the point that the idea of a European civil code is now a priority on the political agenda. This development has given rise to a growing demand within the legal profession, within national and EC institutions and in academic research for lawyers with a thorough
understanding of both existing European private law and the ongoing Europeanisation process and its dynamics.
The Master's programme in European Private Law gives students a thorough understanding of this developing multilevel system of private law in Europe. Relevant insights from other disciplines such as Economics and Political Science are integrated into the discussion of legal questions, thereby broadening and deepening the debate.
The Master’s programme in European Private Law is directed and co-
ordinated and, for the most part, taught by members of our research group.

7.
PhD research
The Centre for the Study of European Contract Law supervises PhD students and so-called JUDOOZ. 4 PhD students are appointed during three years and they have no teaching obligation, unless this is relevant to their research.
PhD students and JUDOOZ are supervised by a supervisor and co-supervisor.
They receive training offered by the Ius Commune research school and/or the Faculty of Law. In addition they attend relevant conferences and the CSECL seminars.
The CSECL actively searches for talented PhD students. All PhD positions are
widely advertised in the CSECL’s international networks. PhD students spend some time at a foreign university (mostly at Harvard, Columbia, NYU and the
MPI in Hamburg). They are stimulated to develop their own research profiles which are visibly distinct from that of the research leaders.
In 2010 the Centre for the Study of European Contract Law supervised 13 PhD students (see Chapter 3), of whom 2 are JUDOOZ (Baaij and Tamboer). 3 PhD students (Van Gelder, Pereira and Boezaard) are external guests and don't participate actively in the research group. 3 PhD students whose PhD
appointment has expired (De Groot, Manko and Luzak) are working on their thesis and it is expected that they will finish it soon.

Publications
The research group aims to play a leading role in the academic debate on
European contract law, on the four research themes, and on the subject in
general. For that purpose, it is required that the permanent staff members (full-time employed, having a 60% research task) 5 publish either,
A. two articles per year (i.e. six articles in three years), on a subject within our research theme as defined above, in one of the leading
international journals (notably European Review of Private Law,
European Review of Contract Law, European Law Journal, Zeitschrift für Europäisches Privatrecht, Common Market Law Review, Journal of Consumer Policy 6) (‘A publication’), or, alternatively,
B. one such international A publication plus two other articles, on a
subject within our research theme as defined above, in leading national journals (in the Netherlands: WPNR, NTBR, Themis, NJB7) or
international journals or books of good quality but with a lower degree of international competition and impact than the top international journals 8 (eg national reports and other invited contributions) (‘B publication’).
For the same reason it is required that junior researchers complete their doctoral theses within the agreed three years. In addition, the members of the research

group (especially seniors) are also expected to organise international conferences and seminars, and to publish books (text books, conference proceedings,
monographs). A monograph in English may count as up to three A publications,
depending, inter alia, on the international reputation of the publisher and on the referee system adopted by the publisher. 9

CONFERENCES & SYMPOSIA Conference on the European future of Property Law, Amsterdam, 29 January 2010 On the 29th of January 2010, the Amsterdam Centre for the Study of European
Contract Law (CSECL) and the Ius Commune Research School organized a conference on the European future of Property Law.
This one-day Conference, which took place in
Amsterdam, was devoted to the rules on transfer
of movables, security rights and trusts in Books 810 DCFR. The drafters of the DCFR found
substantial divergence within Europe on many topics, and had to make fundamental and far-
reaching choices. During the Conference these
choices were clarified and discussed by prominent property law experts from all over Europe, several of whom were members of the drafting teams of the DCFR.
Conference 'Oneerlijke handelspraktijken', Amsterdam, 28 May 2010 On 28 May 2010 the publisher Paris of the journal Tijdschrift voor Consumentenrecht en Handelspraktijken organized together with the Eggens Institute of the Faculty of Law, University of Amsterdam, a conference on 'Oneerlijke Handelspraktijken' to celebrate the 25th anniversary of the journal.
The conference took place in Amsterdam in 'Het Trippenhuis' (KNAW building).

Symposium ‘Groenboek Europees contractenrecht: naar een optioneel instrument?’, Amsterdam, 10 November 2010 On 10 November 2010 the CSECL organized a symposium in Dutch on 'Groenboek
Europees contractenrecht: naar een optioneel instrument?' in Het Bethaniënklooster, Amsterdam.
By publishing the Green Paper, the European Commission started a new consultation
on the future of European contract law. The central politic question was if an optional European Civil Code on contract Law (28th regime) should appear. During this symposium different views in the Netherlands were discussed.
Colloquium on the Impact of the European Convention on Human Rights (ECHR) on Private International Law, Amsterdam, 12 November 2010 On 12 November 2010 a colloquium on the Impact of the European Convention on
Human Rights (ECHR) on Private International Law was organized by the Amsterdam Center for International Law (ACIL) in collaboration with the Centre for the Study of European Contract Law (CSECL).
The colloquium examined some of the cutting edge questions that have arisen in the
jurisprudence of the European Court of Human Rights and domestic courts in Europe pertaining to the relationship between the ECHR and the private international law
regimes of its member States. These questions include the ECHR and the public policy exception in private international law; Article 1 ECHR and private international law; and the prohibition of discrimination under the ECHR and private international law. The colloquium brought together experts in the field of Human Rights Law, Public International Law and Private International Law.

Dr. Eric Tjong Tjin Tai (Tilburg University), 18 January 2010 Seminar Services as product: commodification of contracts in European Private Law The concept of services figures in economics and in law, but in both disciplines has a
somewhat shadowy existence. This paper discusses some tensions between the legal

understandings of service contracts in European
jurisdictions, and the more general economic approach to services as the counterpart of goods. European Union
legislation in the field of private law has given the economic approach a legal footing, as a brief survey of several
directives shows. Thereby a specific category of services comes into view as a subject for legal regulation, to wit
services as product. Recognition of this category of service contracts enables us to
tackle a few dogmatic problems surrounding the distribution of services, and points the way to several issues that are in need of general regulation.

Dr. Daniel Haas (VU, Amsterdam), 1 March 2010 Seminar Towards a better defined Restriction on the Right to Specific Performance in European Contract Law Different (European) Principle projects point towards a default rule that entitles the creditor with a prima facie right to specific performance (Draft Common Frame of Reference art. enforced performance when performance is ‘unreasonably burdensome or expensive'. Although the comments on the projects do provide with some examples when

performance is unreasonably burdensome, the expressions that are used to limit the scope of this remedy are intrinsically vague. Since it is not clear beforehand when performance is unreasonable burdensome or expensive, the broadly formulated
exceptions pose a degree of legal uncertainty and may even jeopardize the primacy of specific performance in European contract law. In this presentation Haas explored whether a well-defined standard can be used as an alternative for the openly formulated restriction clauses on the right to specific performance.
Prof. Eric Posner (University of Chicago), 15 March 2010 Seminar The Right to Withdrawal in Contract Law European law gives
consumers the right to withdraw from a range of contracts for goods and
services; American law, with narrow
exceptions, does not. Yet merchants in the United States frequently provide by
contract that consumers have the right to return goods. We analyze the right to
withdraw in a model that incorporates a tradeoff between allowing consumers to
learn about goods that they purchase and protecting sellers from the depreciation of
those goods. The right to withdraw-at least, as a default rule-has a plausible economic basis. We identify a nascent version of it in the well-known, controversial case of ProCD v. Zeidenberg.
Prof. Ralph Michaels (Duke, Durham), 29 March 2010 Seminar The Two Rationalities of European Private Law Debates over Europen private law frequently concern matters
of ideology - how social or how liberal should it be - or of form - code versus common law - or of level of regulation -

European level versus member state level. Underlying all these debates is a deeper one that is insufficiently recognized, that about the rationality of European private
law. Historically, private law has always been characterized by two rationalities that
can be called compensatory and competitive. I show how these two rationalities still
characterize European private law in both form and substance, and how it is unlikely
that one will ever win over the other, because both are complementary to each other. A core task in European private law will be to resolve the relation between both.

Seminar Dogmatizing European Private Law. Non-legislative Codifications and Professional Debate The talk addressed the question of how non-legislative
codifications such as the PECL, the UNIDROIT-Principles, and the DCFR contribute to the making of European private law. The starting point is the observation that non-legislative codifications can be seen as a means of dogmatizing, i.e.
discursively stabilizing, concepts, principles, and rules of
private law. Questions, such as whether such processes are effective and whether they are felicitous were discussed in more detail.
Prof. Jaakko Husa (University of Joensuu, Finland), 10 May 2010 Seminar Legal Cultures, Traditions and the Likes: All Quiet on the Comparative Law Front? There seems to be no escape from the macro-constructs of comparative law: textbooks, articles, monographs,
essay-collections are dealing with big packages talking
about legal families, spheres, groups, cultures, patterns, or traditions. The paradox of this plurality is that these constructs appear rather similar even while they are
explicitly explained to be different. Apparently macro-

constructs are a necessary evil; a part of the comparative-law-equation. In this sense all seems to be quiet on the comparative law front: despite of fierce academic battles fought the front lines do not seem to move, there is no winner emerging. In
accordance, we still speak of ‘civil law', ‘common law', ‘Asian law' or ‘Western law' and ‘Non-Western law' etc. Husa ponders if there is really any point in all this by
applying three points of view. First is the methodological virtue of macro-constructs. The virtue-view regards macro-constructs as Weberian ideal-types constructing
certain elements of reality into analytically precise conceptions and, thus, combining empirical and theoretical elements of legal cultures. Second point of view is
epistemological vice, suggesting that macro-constructs are instruments for the very purpose of simplification and, thus, cannot capture global legal reality in significant detail. The third point of view regards macro-constructs as discoursive formations
which do not only describe various legal realities but also take part in the construction of them. In this sense macro-constructs are not innocent or neutral descriptions of
foreign systems but also stories we tell ourselves: macro-constructs as in-between
creatures do not only describe the reality but also effect on our understanding of that reality and how we perceive it. In similar vein, such conceptualisations as ‘European legal culture' may actually be regarded as "useful stories". Husa calls for realism and suggests that we might embrace the virtue and see macro-constructs as epistemic
tools with the purpose of transferring simplificated large-scale information across legal cultures and linguistic barriers. Yet, we should also be fully aware of the
inherent vice i.e. accepting that macro-constructs are made for the very purpose of simplification. In other words: no matter what kind of macro-constructs we are
constructing the fuzziness will remain as their innate characteristic. Importantly,
macro-constructs are not "just stories" they are a part of our legal Weltanschauung:
they exist because lawyers from different systems tacitly agree to act as if they exist. Accordingly, the manner how we talk about ‘European legal culture' is potentially important because it effects on how we conceive it i.e. talking is not "just" talking,
descriptions are not "mere" descriptions. What is ultimately challenged here is the
notion that socio-legal reality is given or un-problematically objective: our ways to speak of it also mould it. In this sense macro-constructs may be paradoxically
simultaneously useless and useful: from strict scientific point of view they remain but blunt instruments, yet, if they are not completely false they may facilitate legal

cooperation and enhance rubbing of shoulders leading into peaceful coexistence of various legal cultures. In short, at their best macro-constructs may be regarded as positive stereotypes. On the other hand, at their worst they may act as negative stereotypes.
Dr. Anna E. Plisecka (University of Warsaw), 25 May 2010 Seminar organised by ACLL and CSECL Law and Multilingualism in Historical Context. Legal Translation and the Bilingual Publication of Roman Imperial Constitutions The question whether legal translation can facilitate the communication,
implementation and interpretation of multilingual legal acts, is the object of a lively scholarly debate in the European Union today. The speaker contributes to this discussion by looking at the practice in the early Roman Empire of publishing
bilingual normative texts in Greek and Latin. By closely analyzing these ancient normative texts, from the perspective of linguistic patterns and translation
techniques, the author argues that legal translation may actually contribute to legal communication in Europe.
Dr. Jacobien Rutgers (VU Amsterdam), 7 June 2010 Seminar European Contract Law and the Welfare State Nearly all Member States of the European Union can be characterized as a welfare
state or may be post-welfare state. There are many definitions and descriptions of the welfare state. It is generally accepted that social citizenship is a common
characteristic of the welfare states in the European Union; another one is that they are capitalist economies in a global economy in which a service industry prevails.
Moreover, they consist of the same institutions, which are the state, the market, civil
society and/or the family. Within the welfare state these institutions do not function in isolation, but they are intertwined. The Danish sociologist, Esping Andersen, has pointed out that the interaction between these institutions differs in the Member
States. They vary as to which institution can best provide welfare. Roughly, there is a choice between the market, the state or civil society/the family to provide welfare. The choice for a certain institution is the result of a historical development of the
welfare state in each Member State. In this respect, Esping Andersen distinguishes 5

different models of welfare states within the European.
At the end of the 19th century and during the 20th century, the welfare state was
developed within the boundaries of the nation state. However, the nation state within Europe is not that strong anymore; they face European and global challenges and the welfare state therefore as well.
The presumption of this paper is that in some instances
contract law is used as an instrument to achieve ends of the welfare state. If this is the case, then it should also be
reflected in national contract law, for instance, to what extent parties are bound by mandatory rules or are free to do what they want.
This raises the question what the effect of Europeanization
on contract law is. Does it affect national welfare states or is
the institutional role of contract law in the Member States so strong that they remain the same despite Europeanization of contract law.
To answer this question, the typology of welfare states developed by Esping
Andersen, will be employed. First, the relationship between contract law and the
welfare state will be discussed. Secondly, the Europeanization of both contract law and the welfare state will be explained. Then, the different types of welfare states within the European Union will be dealt with. Finally, the example of general
standard terms will be used to test whether the presumption of this paper can be upheld. With respect to the latter issue Rutgers draws on papers which were presented during European Science Foundation Exploratory Workshop in Amsterdam in September 2009.
Prof. Horst Eidenmüller (University of München and Oxford University), 21 June 2010 Seminar Why Withdrawal Rights? Almost every legal system accepts as fundamental the principle that promises are to be kept. However, withdrawal rights for consumers figure prominently in European consumer law directives and also in the DCFR. Such rights imply a significant
weakening of the fundamental principle pacta sunt servanda. This popularity of
withdrawal rights is not rooted in a thorough analysis of the purposes such rights

might fulfill. The paper attempts such an analysis by posing the central normative question "Why Withdrawal Rights?". It uses the tools of
(behavioral) economics to identify three constellations in which granting a withdrawal right might be justified:
information asymmetries at the time of contract formation, exogenous distortions of preferences and endogenous
distortions of preferences. The paper also seeks to assess the effectiveness of withdrawal rights in achieving their stated objectives. It contains specific policy
recommendations with respect to the mode in which
withdrawal rights should be granted, if they are granted at all (i.e. mandatory, optional, etc.).
Prof. Evelyne Terryn (Kuleuven campus Kortrijk), 6 September 2010 Seminar Enforcement of consumer rights in the internal market - one internal market versus a fragmented public enforcement device In 2004 Regulation 2006/2004 on cooperation between national authorities
responsible for the enforcement of consumer protection laws was adopted. It was the ambition to achieve a qualitative and consistent enforcement in the EU. The Regulation obliged certain member states, like the Netherlands to set up new enforcement authorities and it
created a compulsory cooperation procedure between national authorities. After a first period in of rapid increase in the
number of cooperation and enforcement requests, the latest
data show a sharp decline. In her paper the author analyses the reasons for this decline and the shortcomings of the Regulation
and formulates some suggestions for improvement.

Prof. Jonathan Klick (University of Pennsylvania Law School), 25 October 2010 Seminar The Effect of Contract Regulation: The Case of Franchising States and the federal government have enacted laws intended to police franchisors' use of termination provisions in franchise contracts to opportunistically take over
profitable establishments. This regulation may, however, reduce the total number of chain outlets because franchising is a valuable form of contracting and termination
rights allow franchisors to police franchisee free-riding on the franchised trademark. On the other hand, no such effect is implied if the regulation reduces franchisors'
extra gains from skimming profitable franchises. We exploit two new sources of data to provide new empirical evidence on the effects of franchise regulation. Panel data
on fast food establishments extracted from uniform franchise offering circulars show that laws restricting franchisor termination rights lead to a reduction in franchising, and this reduction is not offset by the concomitant increase in franchisor-operated establishments. This article also examines how Coasian bargaining between the
franchisor and franchisee can mitigate the effect of regulation. In particular, regulation may be apparently
important but actually inconsequential because affected parties can easily waive the regulation or avoid it

through contractual choice-of-law and
choice-of-forum clauses. To examine this, we use state employment data to more broadly examine the effects of franchise regulation. We find that employment in franchise industries is significantly reduced when states enact restrictions on
franchisor termination rights and the effect is larger when states limit the ability to contract around these restrictions.
Prof. Larry Solan (Brooklyn Law School New York), 1 November 2010 Seminar When Contracts Mean Different Things to Different People: The Illusion of False Consensus Professor Solan discussed the
problems that arise when parties to a contract legitimately understand the language of the contract to mean
different things. He went into the
general bias that one's interpretation is
the one with which most people would agree, a bias to which judges are susceptible as well.
Prof. Pierre Legrand (Université Paris I Pantheon-Sorbonne, France), 15 November 2010 Seminar Comparative Law and the Unfinished Project of Comparison The field of comparative law reveals a mainstream configuration of law which,
somewhat disconcertingly, can be shown to be woefully ill-adapted to the furthering of an understanding of foreign law. Although some comparatists have sought to
develop an alternative approach, this other model continues to remain peripheral and indeed discredited. Yet, Legrand argues that comparatists require to move beyond comparison in the specific sense that they need to reach beyond orthodox
comparisons-at-law. Inevitably, given the structural arrangement which prevails within the field, a contrarian perspective, because it proves so disturbing to
established comparativism, can only assert itself antagonistically. A threshold
concern has to do with what one must apprehend by "law". Since it is law that
comparatists purport to engage - the other's law, of course, but the self's also (if
through the other's) - it seems that an initial question must concern the semantic and

normative extension of that very term. In order to defend an heterodidactic
appreciation of law, Legrand draws specifically on the thought of the late French
philosopher, Jacques Derrida. I claim that as one proceeds through salient aspects of Derrida's work, one is led to conclude that his insights make a most compelling case for a radically different appreciation of what comparatists must mean by law. Legrand’s
argument is at once descriptive and prescriptive. It purports to account for the law as it exists and in this regard brings forth constitutive
dimensions which orthodox comparativism has
been content to overlook. It also suggests a way forward for a different brand of
comparativism, one that would display enhanced scholarly and practical relevance as it addresses law in a much more sophisticated manner and generates a substantially more meaningful interpretive yield than has traditionally, disciplinarily, been possible.
Prof. Patrick Glenn (Mc Gill university, Quebec, Canada), 29 November 2010 Seminar Multivalent logic in private international contract law Multivalent logic sustains contradictory values and does not require binary choice
between them, as does classical, formal logic. It does so by opening up an ‘included middle.' There is presently said to be a ‘multivalent turn' in formal logic, and this would parallel developments in the
informal or real world. In private international law this can be seen in Rome I, which reconciles party choice and
mandatory state rules. It can be seen more generally in
result-selective choice of law rules and in choice of non-state contract law (in arbitration and potentially elsewhere).

10. Funds
The research programme is funded, in the first place, by the direct funding
from the University (1e geldstroom). Participating in the research priority area Private and Public European law, the CSECL receives funds from the university for a postdoctoral researcher for the project The Architecture of Postnational rule making. However, the Research Priority Area funding (RPA) will be received in 2011.
Moreover, the group applies constantly, where appropriate, for additional
public funding (2e en 3e geldstroom) from the NWO (including HIIL), FP7, the
European institutions et cetera. In particular, the framework contract with the European Parliament has been renewed in April 2010. Also, submission of
new PhD projects to the MaGW Open Competition is mandatory and passing
the test of eligibility (i.e. admission to the second round) for a Veni scholarship is a condition for a permanent position as an assistant-professor (universitair docent) at the CSECL.

11. Projects
11.1 HIIL/NWO project National resistance against Europeanisation of private law: a multi disciplinary investigation into the roles of nationalist ideology and the behaviour of firms and consumers This project seeks to explore the resistance that exists against
European integration in the field of private law by looking at two reasons for such resistance: nationalist ideology and the behaviour of firms and consumers. It thus proposes an interdisciplinary approach in
trying to answer one of the most fundamental questions about unification of (private) law: what explains national resistance against unification? In particular, this project focuses on the role of two particular factors which can explain national resistance, i.e. nationalist
ideology (expressed in the guise of cultural and economic arguments)
and the behaviour of the actors to be affected by legal unification. The answer to this question provides fundamental insights into the best
way in which an effective European integration of law is to be achieved
and what the role of the European and national legislator in this respect should be.
Prof. Martijn W. Hesselink, Professor in European Private Law, and prof. Jan Smits (University of Tilburg) have obtained a HIIL/NWO grant.
PhD student Guido Comparato has joined the CSECL to write a thesis about the subject; Gary Low is PhD student at the Tilburg team.
The second year Guido’s research has focused on the arguments of resistance to Europeanisation of private law and Euronationalism.
During this year, Guido spent a research period of two months (from
September to the end of October 2010) at the Max-Planck-Institut für ausländisches und internationales Privatrecht in Hamburg.

11.2 EC project The legal framework for digital content services for consumers In January 2010 the CSECL started, together with the Institute for
Information Law (IVIR), the research project ‘the legal framework for
digital content services for consumers'. The project was assigned by the Executive Agency for Health and Consumers and financed by the European Commission. The project will run until August 2011.
On 24 November 2010 report 1 was presented in Brussels. This report comprised 11 country reports (Finland, France, Germany, Hungary, Italy, the Netherlands, Poland, Spain and the United Kingdom and Norway and the United States).
11.3 EC Expert Group on a Common Frame of Reference in the area of European Contract Law Prof. dr. Martijn W. Hesselink has been appointed by the European
Commission as a member of an Expert Group on a Common Frame of
Reference in the area of European contract law. The group's task will be
to assist the Commission in the preparation of a proposal for a Common Frame of Reference in the area of European contract law, including consumer and business contract law, and in particular in: selecting those parts of the Draft Common Frame of Reference which are of
direct or indirect relevance to contract law; and restructuring, revising and supplementing the selected contents of the Draft Common Frame of Reference, taking also into consideration other research work conducted in this area as well as the Union acquis.
To advise the Commission, the Expert Group wrote the feasibility study ‘A European contract law for consumers and businesses: Publication of 90
the results of the feasibility study carried out by the Expert Group on
European contract law for stakeholders’ and legal practitioners’ feedback’, which is now considered by the Commission.
11.4 European Parliament framework contract European contract law, including consumer law In April 2010 the CSECL has been assigned a tender on ‘European contract law, including consumer law’, funded by the European
Parliament. Members of the research group will provide their expertise on European contract law to the Committee on Legal Affairs of the
European Parliament in a form of standard briefing notes and ad hoc
briefing papers. This should strengthen the Committee’s knowledge on the subject and enable her to respond to proposals made by the European Commission and provide a solid basis for some of the
Committee’s own initiatives. The project will run until 31 December 2014.
In October 2010 prof. Hesselink wrote the ad hoc briefing paper An
optional instrument on EU contract law: can it increase legal certainty and foster cross-border trade? and presented it on 27 October 2010 in the European Parliament’s Workshop Legal Affairs.
11.5 UVA research priority area project The Architecture of Post-National Rulemaking: Views from Public International Law, European Public Law and European Private Law The University of Amsterdam has granted a funding to the research
priority area Private and Public European law in which the CSECL, the
Amsterdam Centre for European Law and Governance (ACELG) and the Amsterdam Center for Tax Law (ACTL) participate.
As of 1 January 2010 ACELG, CSECL and Public International Law conduct together the project The Architecture of Post-National

Rulemaking: Views from Public International Law, European Public Law and European Private Law. The CSECL recruits to this end a post-doctoral researcher.
The project aims to provide new reflections and insights into the
discussion on the legitimacy of post-national rulemaking starting from
three distinct but in this project uniquely combined legal perspectives. The main objective is to relate perspectives from public international law, European public law and European private law on post-national
rulemaking and to examine through a new lens any legitimacy concerns that may arise from the new arrangements. The project will further develop a normative framework for the analysis of post-national rulemaking applicable across all three areas. This will require
theoretical work on the concepts of rulemaking and legitimacy starting from the perspectives of the three different areas of law.
11.6 Dutch Ministry of Justice research Onderzoek kaderrichtlijnen In September the final version of the report Zoektocht naar de
aansluiting tussen het Nederlandse en Europese regelgevingsysteem was
written by members of the CSECL, the Amsterdam Centre for European Law and Governance (ACELG) and the Amsterdam Centre for
Environmental Law and Sustainability (ACELS). The research was funded by The Dutch Ministry of Justice and took 9 months. The
Ministry became interested in the subject because of its conclusion that the European and the Dutch legal orders were misconnected. The
research was intended to map the resulting problems. It focused on the questions which typical structural qualities the European and the
Dutch legal regime have, in particular where the European legislator has made use of the technique of a framework directive. Within the 92
area of European contract law, the relevant directive was the proposal
of a Consumer rights directive. This part of the study was written by
prof. Marco Loos. At the time the proposal was prepared it was thought
it would lead to a very fundamental change in (consumer) contract law, primarily because the proposal made use of the notion of full
harmonisation in consumer sales law and unfair terms legislation, two key areas of contract law. If adopted unamended, this approach would
have far-reaching implications on national contract law – also because sales law and unfair contract terms legislation to a very large extent is not different in B2C-contracts than in other contracts. For reasons of
internal coherence and consistency of Dutch contract law, amendment of the rules for B2C-contracts would seem to have to lead to an
amendment of the rules for other contracts as well. In the chapter it
was recommended that the government should investigate prior to the negotiations on the proposal and similar proposals which may have an impact on general contract law what the possible implications of a full harmonisation directive would be and whether for reasons of
coherence and consistency ‘spontaneous harmonisation’ – i.e. an
adjustment of the rules for contracts not covered by the directive in conformity with the changes caused by the directive – would be necessary.
