Di penghujung tahun 2006, Bursa Efek Jakarta (BEJ) menutup transaksi perdagangannya dengan mencatat Indeks Harga

Para pemegang saham yang terhormat, Tahun 2006 merupakan tahun yang luar biasa bagi Perseroan. Kami mencapai rekor baru atas tingginya tingkat produksi minyak kelapa sawit (CPO) yaitu sebesar 491.000 ton dan tingginya laba bersih yaitu sebesar Rp 628 milyar. Hal ini menyebabkan rasio laba terhadap ekuitas mencapai 24,4%. Kami sangat bangga atas kinerja yang sangat baik ini. Pada akhir tahun 2006, total areal tertanam Perseroan tercatat sebesar 118.000 hektar, dimana 78% diantaranya adalah lahan menghasilkan. Selama sepuluh tahun terakhir, Perseroan melakukan investasi yang cukup signifikan untuk mengembangkan suatu sistem manajemen perkebunan yang memungkinkan manajemen untuk mengelola dan mengawasi seluruh perkebunan Perseroan di Indonesia melalui informasi yang tepat waktu hanya dengan menekan tombol. Kami bangga dengan sistem manajemen ini dan hasilnya tercermin dalam kinerja Perseroan. Produksi CPO kami senantiasa meningkat dari tahun ke tahun sejak terdaftarnya saham Perseroan di Bursa Efek Jakarta dan Surabaya pada tahun 1992. Kinerja yang spektakular ini dapat tercapai meskipun tahun lalu terjadi kemarau panjang yang mempengaruhi beberapa perkebunan Perseroan. My Valued Shareholders, The year 2006 was an outstanding year for the Company. We reached a new record high crude palm oil (CPO) production of 491,000 tons and a record high net income of Rp 628 billion. This translated to a return on equity of 24.4%. We are very proud with this sterling performance. The Company’s total planted area stood at 118,000 hectares as of end 2006, 78% of which were mature estates. Over the last 10 years, the Company invested significantly in developing a plantation management system that enables management to manage and monitor the Company’s plantations all over Indonesia at the tip of our fingers, and in real time. We are proud of this achievement and the payback is clearly reflected in the Company’s results. The Company’s CPO production has been increasing year on year since our listing in the Jakarta and Surabaya Stock Exchange in 1992. This spectacular performance was achieved despite the drought which affected certain plantations of the Company last year.

Para pemegang saham yang terhormat, Perseroan mencapai kinerja yang sangat baik pada tahun 2006. Merupakan kebanggaan bagi saya, atas nama Dewan Direksi, untuk menyampaikan kinerja PT SMART Tbk dan anak perusahaan untuk tahun yang berakhir pada 31 Desember 2006 melalui Laporan Tahunan ini. Pada tahun 2006, kami mencapai rekor tertinggi atas kinerja keuangan dan operasi. Penjualan bersih kami mencapai Rp 4.708 milyar, sedikit meningkat sebesar 1,1% dibandingkan tahun lalu. Laba bersih meningkat secara signifikan mencapai Rp 628 milyar, naik sebesar 106,4% dari pencapaian tahun lalu, di mana sebagian besar disebabkan oleh meningkatnya produksi internal CPO dan naiknya harga CPO. Minyak kelapa sawit telah menjadi minyak nabati yang paling banyak dikonsumsi di dunia. Pertumbuhan permintaan yang tinggi ini disebabkan oleh ditariknya sistem kuota impor di Cina dan permintaan yang muncul dari pasar bio-diesel. Selama tahun 2006, harga minyak kelapa sawit meningkat tajam karena pasokan dunia tidak dapat memenuhi peningkatan permintaan. Harga CPO (FOB Belawan) pada akhir tahun 2006 mencapai US$ 565 per ton, harga tertinggi selama delapan tahun terakhir. Dear Shareholders, Our Company achieved an excellent performance in 2006. It is indeed great pleasure for me to present, on behalf of the Board of Directors, the performance of PT SMART Tbk and its subsidiaries for the year ended 31 December 2006 in this Annual Report. In 2006, we achieved record financial as well as operation performance. Our net sales of Rp 4,708 billion increased slightly by 1.1% from last year. Net income increased significantly to Rp 628 billion, an increase of 106.4% from last year’s performance, mainly due to higher internal CPO production and higher CPO prices. Palm oil continued to gain momentum as the world most consumed edible oil. The strong demand growth was boosted by China’s lifting of its import quota system and the emerging demand from the bio-diesel market. Palm oil prices went up significantly during 2006 as world supply was unable to meet rising global demand. We experienced an increase in the average CPO Price (FOB Belawan) from US$ 376 per ton in 2005 to US$ 416 per ton in 2006. FOB Belawan price of CPO at the end of 2006 closed at US$ 565 per ton, the highest price during the last 8 years.

Sepanjang tahun 2006, kami memproduksi CPO sebanyak 490.870 ton dan inti sawit sebanyak 103.911 ton, masingmasing meningkat sebesar 6,4% dan 6,3% dibandingkan tahun lalu. Peningkatan produksi internal CPO menghasilkan bahan baku CPO yang lebih murah bagi operasi hilir kami. Akibatnya, marjin laba kotor kami meningkat menjadi 18,2% dari 15,5% di tahun 2005. Perseroan berhasil meningkatkan nilai aktivanya menjadi Rp 5.312 milyar di tahun 2006 dari Rp 4.597 milyar di tahun 2005. Ekuitas mencapai Rp 2.577 milyar di tahun 2006, meningkat sebesar Rp 649 milyar dari tahun sebelumnya. Setelah enam tahun mengalami defisit, posisi laba ditahan kami pada akhir tahun 2006 mencapai posisi positif sebesar Rp 164 milyar. Kami mengusulkan pembagian deviden final sebesar Rp 46 per saham untuk disetujui oleh para pemegang saham pada Rapat Umum Pemegang Saham yang akan datang. Kinerja kami akan lebih baik jika tidak dikarenakan oleh banyaknya tantangan eksternal yang dihadapi Perseroan sepanjang tahun 2006. Musim kemarau yang panjang pada kwartal keempat, membawa dampak yang merugikan bagi produksi perkebunan kami. Sementara, peningkatan harga bahan bakar meningkatkan biaya produksi kami. Untuk mengatasi hal ini, kami sedang dalam proses konversi atas fasilitas produksi agar dapat menggunakan bahan bakar batu bara dan gas pada tahun 2007. Manajemen dengan bangga mengumumkan diperolehnya sertifikasi HACCP (Hazard Analysis and Critical Control Point) oleh kedua refinery kami pada bulan Januari 2006. Sertifikasi ini merupakan akreditasi atas pemenuhan standar keamanan internasional untuk minyak nabati dan menempatkan produk kami pada posisi yang lebih baik di pasar Indonesia maupun pasar internasional. Kami berkomitmen tinggi untuk menerapkan standar terbaik atas tata kelola perusahaan yang baik dan terus bekerja sama dengan Komite Audit untuk memastikan proses tata kelola perusahaan sejalan dengan praktek-praktek terbaik yang ada di dunia. Kami berkomitmen untuk mengembangkan bisnis utama kami dalam rangka memberikan nilai jangka panjang yang berkesinambungan bagi para pemegang saham. Kami sangat optimis dengan prospek bisnis kami. Untuk tahun 2007, kami menargetkan untuk menanam 15.000 sampai 20.000 hektar perkebunan kelapa sawit, yang sebagian besar terletak di Kalimantan. Kami terus merealisasikan aspirasi kami untuk menjadi pemasok one-stop-shop atas berbagai produk minyak nabati dan produk khusus berbahan dasar kelapa sawit di seluruh dunia. During 2006, we produced 490,870 tons of CPO and 103,911 tons of palm kernel, an increase of 6.4% and 6.3% from last year, respectively. The increase in internal production of CPO provided cheaper CPO materials to our downstream operations. Accordingly, our gross margin increased to 18.2% from 15.5% in 2005. The Company was able to grow the value of its assets to Rp 5,312 billion in 2006 from Rp 4,597 billion in 2005. Equity reached Rp 2,577 billion in 2006, an increase of Rp 649 billion from last year. After six years of experiencing deficits, our retained earnings at the end of 2006 turned around to a positive level of Rp 164 billion. We are pleased to propose a first and final dividend of Rp 46 per share subject to shareholders’ approval at the forthcoming Annual General Meeting of Shareholders. Our performance would have been better if not for the many external challenges experienced by the Company in 2006. The prolonged drought in the fourth quarter adversely affected the production of our estates. The increase of domestic fuel prices added up to our production cost. In response to this, we are in the process of converting our production facilities to be fueled by coal and gas by 2007. The management is pleased to announce the acceptance of Hazard Analysis and Critical Control Point (HACCP) certifications by both of our refineries in January 2006. This certificate is an accreditation for fulfilling international safety standards for edible oil, and places our products in a better position in both Indonesia and international markets. We are highly committed to employ the highest standard of good corporate governance and have been working very closely with our Audit Committee to ensure our corporate governance process is in line with best practices around the world. We are committed to grow our core businesses to yield long-term sustainable value to our stakeholders. We are very optimistic with our business outlook. In 2007, we target to plant about 15,000 to 20,000 hectares of palm plantations, mainly in Kalimantan. We are moving forward in realizing our aspiration to become a one-stop-shop supplier of a full range of palm based edible oils and specialty products in the world. In line with this, we are expanding our refining capacities through the on going construction of our new refinery in Tarjun, South Kalimantan. Once operational, this will facilitate direct exports of refined products from this area, thereby optimizing our overall profitability. We are building a Cocoa Butter Substitute facility in Belawan, Medan that will enable us to extend our product line and enhance margin contribution from our specialty fats business. In addition, we are planning to build a refinery in Jakarta, which will be close to our domestic customers for branded products. We are also exploring a number of strategic projects that will enable the Company to participate in the emerging bio-fuel market in a sustainable and profitable way.

Based on Article of Association, the BOC shall consist of at least three members. The appointment and dismissal of the BOC are carried out through the General Meeting of Shareholders. The term of the BOC shall end at the closing of the third AGM after the date of the appointment and can be reappointed for the another term. However, the General Meeting of Shareholders has the right to dismiss the members of BOC at any time, after allowing them to provide proper explanation and clarification. Currently, the members of the BOC consist of seven commissioners and will hold the position until 2007. Three of the BOC are the Independent Commissioners. This complies with the Bapepam and JSX regulations, where more than 30% of the BOC are Independent Commissioners.
