a. Pendirian perusahaan

GENERAL a. Company establishment

Perusahaan didirikan dengan nama "PT Petroneks" berdasarkan Akta Pendirian No.21 tanggal 14 Pebruari 1978, berikut Perubahan No.24 tanggal 11 Oktober 1978 dan Perubahan No.6 tanggal 4 April 1979, ketiganya dibuat di hadapan Edison Sianipar, S.H. Notaris di Jakarta. Akte Pendirian tersebut telah disahkan oleh Menteri Kehakiman Republik Indonesia dalam Surat No.Y.A.5/231/24 dan telah diumumkan dalam Berita Negara Nomor 51 Tambahan Berita Negara No.834/1986 tanggal 27 Juni 1986. Anggaran Dasar Perusahaan mengalami beberapa kali perubahan. Terakhir adalah berdasarkan Keputusan Pemegang Saham (RUPS) tanggal 17 Januari 2008 dengan Akta Notaris Sutjipto, S.H. No.22 tanggal 5 Pebruari 2008 yang telah disahkan oleh Menteri Hukum dan HAM RI melalui surat keputusan No. AHU-06707.AH.01.02 tahun 2008 tanggal 12 Pebruari 2008, Perusahaan telah mengubah nama menjadi PT Kertas Basuki Rachmat Indonesia, Tbk. (KBRI).

The Company was established under the name of "PT Petroneks" by Deed of Establishment No.21 dated February 14, 1978, including Deed of Changes No.24 dated October 11, 1978 and Deed of Changes No.4 dated April 11, 1978 of Edison Band, SH, Notary in Jakarta. This Establishment Deed has been approved by The Minister of Justice of Republic Indonesia by his Letter No.Y.A.5/231/24, and was published in the State Gazette dated June 27, 1986, No. 51 Supplement No. 834/1986. The Company's Article of Association has been ammended several times. Most recently based on the Deed No.22 regarding Decision of Shareholders (RUPS) on January 17, 2008 of Sutjipto, SH, notary in Jakarta, dated February 5, 2008 which has been approved by the Minister of Justice and Human Rights by its Decision Letter No. AHU-06707.AH.01.02 year 2008 dated February 12, 2008, the Company has changed its name to PT Kertas Basuki Rachmat Indonesia Tbk. (KBRI).

Kemudian perubahan Anggaran Dasar terakhir sesuai dengan Akta Pernyataan Keputusan Rapat Perubahan Anggaran Dasar No.30 tanggal 6 Juli 2009, dibuat dihadapan Notaris Sutjipto, SH dan telah disahkan oleh Menteri Hukum dan HAM Republik Indonesia melalui Surat Keputusan No.AHU-000357.AH.01.02.Tahun 2010 tanggal 6 Januari 2010.

Then the last amendment of the the Company's Article of Association is based on the Notary Deed of the Meeting of Changes on the Company's Article of Association Statement No.30 dated July 6, 2009, of Sutjipto, SH, Notary in Jakarta and has been approved by the Minister of Justice and Human Rights Republic of Indonesia by his Letter No.AHU000357.AH.01.02 . Year 2010 dated January 6, 2010.

Ruang lingkup kegiatan usaha Perusahaan dan Anak Perusahaan antara lain bergerak dalam industri dan distribusi kertas. Perusahaan berdomisili di Jakarta dengan kantor pusat berlokasi di Jl. Abdul Muis No. 46 Jakarta Pusat. Anak perusahaan berlokasi di Magelang dan Banyuwangi.

The scope of business activities of the Company and its Subsidiaries, is to engaged mainly in the production and distribution of paper. The Company is domiciled in Jakarta with the head office located in Jl. Abdul Muis No. 46 Central Jakarta. Its subsidiaries located in Magelang and Banyuwangi.

b. Penawaran umum saham perusahaan

b. Company's initial public offering

Pada tanggal 30 Juni 2008, berdasarkan Surat Ketua BAPEPAM No. S-4213/BL/2008, Perusahaan memperoleh pernyataan efektif untuk melakukan penawaran umum perdana kepada masyarakat sebanyak 1.360.000.000 saham.

On June 30, 2008 based on Letter of Chairman of Capital Market Supervisory Agency (BAPEPAM) No.S4213/BL/2008 on 30 June 2008, the Company obtained the notice of effectivity for public offering of common stock 1.360.000.000.

Pada tanggal 4, 5 dan 7 Juli 2008 Perusahaan telah melaksanakan penawaran umum perdana saham dengan hasil sebesar Rp 353.600.000.000. Jumlah saham yang dijual kepada investor publik adalah sebanyak 1.360.000.000 lembar saham seri B dengan harga Rp 260 per lembar.

On July 4, 5 and 7, 2008 the Company has conducted initial public offering with the results of Rp 353.600.000.000. The number of shares sold to public investors amounted to 1.360.000.000 series B shares at a price of Rp 260 per share.

The company also issued 875.000.000 Warrants Series I with the exercise price of Rp 265 per share, and with the condition that was each 272 shares from the public offering will receive 175 Warant Series I. Each holder of 1 (one) Warrants series 1 registered in the list warant holder has the right to purchase the new shares during the day of stock exchange within the period of execution.

Pada tanggal 31 Desember 2009 dan 2008, Perusahaan dan anak perusahaan mempunyai karyawan tetap sebanyak msing-masing 577 dan 606 orang (tidak diaudit).

Perubahan terakhir diperbaharui dengan Akta Sutjipto, SH No. 99 tanggal 6 Pebruari 1997 dan telah mendapat pengesahan oleh Menteri Kehakiman Republik Indonesia dengan Surat Keputusan Nomor C23953.HT.01.04.TH.1997 tanggal 20 Mei 1997. ACCOUNTING POLICY a. Presentation of consolidated financial statements

Laporan keuangan konsolidasi Perusahaan disusun sesuai dengan prinsip akuntansi yang berlaku umum di Indonesia, yaitu Pernyataan Standar Akuntansi Keuangan (PSAK) dan peraturan Badan Pengawas Pasar Modal dan Lembaga Keuangan (Bapepam-LK) Republik Indonesia.

The Company's consolidated financial statements prepared in conformity with generally accepted accounting principles in Indonesia, the Statement of Financial Accounting Standards (PSAK) and the regulations of The Capital Market Supervisory Agency and Financial Institution (Bapepam-LK) of the Republic of Indonesia.

Laporan keuangan konsolidasi disusun berdasarkan metode akrual menggunakan konsep harga perolehan.

Laporan arus kas konsolidasi disusun menggunakan metode langsung dengan mengklasifikasikan penerimaan dan pengeluaran kas dan setara kas ke dalam aktivitas operasi, investasi dan pendanaan.

The statements of consolidated cash flows are prepared based on direct method by classifying cash receipts and disbursements and cash equivalents into operating, investing and financing activities.

Angka dalam laporan keuangan disajikan dalam mata uang Rupiah penuh kecuali dinyatakan secara khusus.

Figures in the financial statements are presented in full amount of Rupiah currency unless otherwise stated specifically.

Saldo dan transaksi termasuk keuntungan atau kerugian yang belum direalisasi atas transaksi antar perusahaan dieliminasi untuk mencerminkan posisi keuangan dan hasil usaha Perusahaan dan anak perusahaan sebagai kesatuan usaha.

The consolidated financial statements include the financial statements of the Company and its Subsidiaries with the ownership of more than 50%, either directly or indirectly. Balances and transactions, including gains or unrealized losses on inter-company transactions are eliminated to reflect the financial position and results of operations of the Company and its subsidiaries as a business entity.

Pembukuan Perusahaan diselenggarakan dalam mata uang Rupiah. Transaksi dalam mata uang asing dibukukan dengan menggunakan kurs pada saat terjadinya transaksi. Pos aktiva dan kewajiban moneter dalam mata uang asing dilaporkan ke dalam mata uang Rupiah dengan menggunakan kurs tengah Bank Indonesia pada tanggal neraca ( 1 USD = Rp 9.400 pada tanggal 31 Desember 2009 dan Rp 10.950 pada tanggal 31 Desember 2008).

The Company’s books and records are maintained in Indonesian Rupiah. Transactions involving foreign currencies are recorded at the rates of exchange prevailing at the dates of the transactions. Monetary assets and liabilities denominated in foreign currencies at balance sheet date are translated into Rupiah at the middle rate of Bank Indonesia at that date (1US$ = Rp 9.400 as of December 31, 2009 and 1 US$ = Rp 10.950 as of December 31, 2008).

Sesuai Surat Dirjen Pajak No. S-73/PJ.312./1998 tertanggal 26 Maret 1998 mengenai pembebanan biaya bagi wajib pajak yang memiliki kegiatan yang dikenakan pajak penghasilan final dan tidak final selisih antara jumlah pajak penghasilan final yang telah dibayar dengan jumlah yang dibebankan sebagai beban pajak penghasilan final pada perhitungan laba rugi konsolidasi diakui sebagai pajak dibayar dimuka atau hutang pajak.

Non-final income taxes Current tax expense is determined based on taxable income in the period which is calculated based on prevailing tax rates. Assets and deferred tax liabilities are recognized for tax consequences in future years arising from differences in the number of recorded assets and liabilities according to financial reports with the tax base of assets and liabilities on the balance sheet date. Deferred tax liabilities are recognized for all taxable temporary differences and deferred tax assets are recognized for all temporary differences that may be deducted and accumulated fiscal losses, as long as most likely be used to reduce taxable income in the future.

Deferred tax Deferred tax is calculated using tax rates enacted or substantially have been enacted at balance sheet date. Deferred tax is charged or credited to the consolidated statements of income or the equity if the tax-related transactions are credited or charged directly to equity.

Dalam menyusun laporan keuangan sebagai induk Perusahaan, PT Kertas Basuki Rachmat Indonesia, Tbk menggunakan metode ekuitas untuk mencatat penyertaan saham dengan kepemilikan lebih dari 20%, dan metode harga perolehan untuk mencatat penyertaan kurang dari 20%.

Perusahaan dan anak perusahaan telah memilih untuk menggunakan model biaya sebagai kebijakan akuntansi pengukuran aset tetapnya.

Prior to January 1, 2008, fixed assets are stated at cost, except for fixed assets which have been revaluated based on the Government Regulation, net after accumulated depreciation. Effective January 1, 2008, the Company applies PSAK No.16 (revised 2007),"Fixed Assets", which superseded PSAK No.16 (1994), "Fixed Assets and Other Assets" and PSAK No.17 (1994), "Accounting for Depreciation" . Based on PSAK No.16 (revised 2007) an entity has to choose either the cost model or revaluation model as its accounting policy of fixed assets. The Company has chosen to use cost model as its accounting policy for fixed assets measurement.

Akumulasi harga perolehan akan dipindahkan ke masing-masing aset tetap yang bersangkutan pada saat aset tersebut selesai dikerjakan dan siap untuk digunakan. Beban penyusutan dibebankan sejak tanggal aset tersebut mulai digunakan. l. Aset lain-lain

Assets in progress are stated at cost and are presented as part of fixed assets. Accumulated acquisition cost will be transferred to each of the related fixed assets during the asset completed and ready for use. Depreciation is charged from the date the asset is began to use.

m. Borrowing costs capitalization

Sesuai dengan PSAK No. 26 (Revisi 1997), “Biaya Pinjaman”, beban bunga, rugi kurs yang timbul atas pinjaman dan biaya-biaya lainnya yang digunakan untuk membiayai pembangunan dan instalasi fasilitasfasilitas penting dikapitalisasi. Kapitalisasi biaya pinjaman berakhir pada saat aset dalam penyelesaian tersebut selesai dibangun dan aset tersebut siap digunakan atau pembangunan aset tersebut dihentikan sementara.

In accordance with PSAK No. 26 (Revised 1997), "Borrowing Costs", interest expense, foreign exchange losses incurred on loans and other costs that are used to finance the construction and installation of necessary facilities are capitalized. Capitalization of borrowing costs cease when the assets in the settlement completed and the asset is ready for use or development of these assets is suspended.

n. Estimasi kewajiban imbalan kerja karyawan

Perusahaan dan Anak perusahaan mengakui kewajiban diestimasi atas imbalan kerja karyawan berdasarkan Undang-Undang No.13 tahun 2003 tanggal 25 Maret 2003 tentang “Ketenagakerjaan” (UU No.13/2003). Berdasarkan undang-undang tersebut, Perusahaan dan Anak perusahaan diharuskan membayar uang pesangon, uang penghargaan masa kerja dan uang penggantian hak jika kondisi tertentu dalam UU terpenuhi. Perusahaan dan Anak Perusahaan menerapkan PSAK No.24 (revisi 2004) mengenai“Imbalan Kerja”, secara restrospektif dan mengubah metode akuntansi sebelumnya atas imbalan kerja karyawan.

The Company and its Subsidiaries recognize estimated liability for employee compensation under the Law No.13 of 2003 dated March 25, 2003 on "Employment" (Law No.13/2003). If there are indications of decline in asset values, the Company and its Subsidiaries required to determine the value of the recovered (recoverable value) of the relevant assets and depreciation of assets recorded as a loss on the consolidated income statement period.

Seluruh aset tetap perusahaan dan anak perusahan dijadikan jaminan hutang bank (catatan 15). Aset tetap anak perusahaan (PT Kertas Basuki Rachmat) dijaminkan kepada Quest Corporation Ltd., aset tetap Anak Perusahaan (PT Kertas Blabak) dijaminkan kepada Bank DBS.

All fixed assets of the Company and subsidiaries are used as collateral for bank loans (note 15). Fixed asset of PT Kertas Basuki Rachmat are pledged to Quest Corporation Ltd., and the fixed assets of PT Kertas Blabak are pledged to the Bank DBS.

Manajemen melakukan review atas nilai wajar aset tetap dan meyakini tidak ada indikasi penurunan nilai atas aset tetap tersebut.

Management has reviewed the fair value of fixed assets and believes there is no indication of decline in value of fixed assets.

Pada tahun 2009 aset tetap Perusahaan dan anak perusahaan diasuransikan dengan nilai pertanggungan sebesar Rp 84.646.800.000 terhadap kemungkinan kerugian "Property All Risk" kepada PT Asuransi Wahana Tata.

In 2009 fixed assets of the Company and its subsidiaries are insured with the insured value of Rp 84,646,800,000 against "Property All Risk" possible losses to PT Asuransi Wahana Tata.

Assets in progress of PT Kertas Basuki Rachmat

Aset dalam penyelesaian merupakan biaya yang terjadi sehubungan dengan pengadaan mesin dan pembangunan pabrik kertas baru Paper Mill Project-2 (PM-2) dan HTI untuk ekspansi kertas HVS, termasuk biaya pinjaman. Biaya pinjaman merupakan beban bunga dan biaya terkait dengan perolehan pinjaman yang digunakan untuk pembiayaan proyek selama periode konstruksi.

Assets in progress are costs incurred in connection with procurement of machinery and the construction of a new paper mill Paper Mill Project-2 (PM-2), the industrial plantation (HTI) including the cost of borrowing. Borrowing costs are interest and fees associated with the acquisition loans used to finance the project during the construction period.

Proyek PM-2 ini dimulai sejak tahun 1994. Akibat krisis ekonomi, pembangunan proyek ini telah dihentikan sejak Desember 1997 dengan prosentase penyelesaian 90%. Bunga pinjaman yang dikapitalisasi sebesar Rp 135.402.042.000. Perusahaan tetap merencanakan untuk melanjutkan pembangunan proyek ini.

This PM-2 project started in 1994. Due to the effect of the economic crisis, the construction of this project has been discontinued since December 1997 with the completion of 90%. The capitalized interest loans amounted to Rp 135.402.042.000. The Company still plans to continue the development of this project.

Perusahaan memiliki beberapa bidang tanah di Banyuwangi dan Surabaya dengan Hak Guna Usaha dan Hak Guna Bangunan berjangka waktu 20 tahun, jatuh tempo antara tahun 2004 dan 2015. Manajemen berpendapat tidak terdapat masalah dengan perpanjangan hak atas tanah tersebut.

The Company has several plots of land in Surabaya and Banyuwangi with Leasehold and Building Rignt 20-year term, maturing between 2004 and 2015. Management believes that there may be no problem with the extension of landright.

Proyek dalam pelaksanaan merupakan kerjasama Perusahaan dengan PT Pertamina (Persero) yang tertuang dalam Perjanjian Engineering, Procurement & Construction penggantian PLTG dan PLTD dengan 1 (satu) unit PLTU Kapasitas 14 MW di Kilang Unit Pengolahan II Dumai Penjelasan Proyek dalam Penyelesaian (PLTU). Manajemen mencadangkan denda atas proyek dalam penyelesaian sebesar 10% dari harga borongan pekerjaan. Manajemen memiliki keyakinan penyisihan yang telah dicadangkan cukup untuk mengkompensasi kerugian yang mungkin timbul jika Perusahaan tidak dapat menyelesaikan pekerjaan sesuai dengan jangka waktu yang telah ditentukan.

Projects in progress represents a project of a joint venture between the Company PT Pertamina (Persero) as stated in the Agreement of Engineering, Procurement & Construction for the replacement of 1 (one) unit of gas and diesel power plant with capacity of 14 MW at the Refinery Processing Unit II Dumai Explanation of Settlement Project (Power Plant). Management provides allowance for penalties of projects in progress at 10% of the wholesale price of the work. Management believes that the allowance is adequate to compensate for damages that may arise if the company can not complete the work in accordance with the time period specified.

On June 30, 2008, the Company entered a "Debt Agreement" with associated companies (PT Sinar Pedoman Abadi) of Rp 18.000.000.000 which ammended on July 10, 2008 with the amount of Rp 16.000.000.000 for working capital. These loan was from PT Sinar Pedoman Abadi that obtained from PT Bank Muamalat Indonesia Tbk under the scheme of Al Musharakah which was signed on June 30, 2008 amounted to Rp 18.000.000.000 with the collateral of land and buildings on Mampang Fuel station. Loan term is 72 months including a grace period of 12 months by a margin equivalent to 14.50% per annum.

Hutang Anak perusahaan (KBR) Tranche C kepada Quest Corporation kemudian dialihkan menjadi hutang Perusahaan kepada Quest Corporation Ltd., sesuai dengan perjanjian pengalihan hutang tanggal 11 Oktober 2007. Transaksi tersebut hanya merupakan pengalihan hutang piutang, sehingga sejak transaksi tersebut efektif Perusahaan memiliki hutang kepada Quest Corporation Ltd. dan piutang afiliasi ke Anak perusahaan (KBR).

Tranche C - Subsidiary Debt (KBR) to Quest Corporation was transferred becoming the Company's payable to Quest Corporation Ltd., in accordance with the debt transfer agreement dated October 11, 2007. The transaction is merely a transfer of receivables debt, so the transaction is effective since the Company has a debt to Quest Corporation Ltd. and accounts receivable to subsidiaries affiliates (KBR).

Pada tanggal 31 Maret 2008, perusahaan dan Quest Corporation mengadakan perjanjian pengalihan hak tagih Perusahaan kepada Pemegang Saham (Tuan Yusuf Ardhi dan ahli waris Tuan Budiono dan PT Sinar Semindo Rezeki (sekarang bernama PT Petroneks Energy, perusahaan afiliasi) menjadi hak tagih Quest Corporation Ltd.

Jumlah selisih perubahan ekuitas Anak perusahaan adalah Rp 1.648.357.377.138 yang merupakan selisih nilai aset bersih KBR yang merupakan bagian Perusahaan sesudah dan sebelum konversi hutang menjadi modal efektif.

36. PERJANJIAN-PERJANJIAN PENTING


36. SIGNIFICANT AGREEMENT

a. Perjanjian PT Kertas Basuki Rachmat (Anak perusahaan) dengan CV Putra Tunggal (pihak kedua) tanggal 8 Januari 2007, perjanjian ini telah diperpanjang pada tanggal 1 Pebruari 2009. KBR akan mengolah bahan baku (afval dan atau pulp) yang disediakan oleh CV Putra Tunggal, hasil produksinya akan diserahkan kembali kepada pihak kedua. KBR memperoleh jasa produksi sebesar Rp 2.390/kg kertas jadi. Pihak kedua menyediakan pinjaman modal kerja untuk menunjang operasional KBR.

a. The agreement between PT Kertas Basuki Rachmat (Subsidiaries) with CV Putra Tunggal (second party) on January 8, 2007, agreement was extended on 1 February 2009. KBR will process the raw material (or afval and pulp) which is provided by CV Putra Tunggal, their products will be returned to the second party. KBR obtain production services fee Rp 2.390/kg paper. The second party providing working capital loans to support the operation of KBR.

b. Surat Keputusan Menteri Kehutanan Republik Indonesia Nomor SK.59/Menhut-II/2007 tanggal 22 Pebruari 2007 PT KBR (Anak perusahaan) memperoleh Izin Usaha Pemanfaatan Hasil Hutan Kayu (IUPHHK) pada Hutan Tanaman Industri (HTI) atas areal hutan produksi seluas 100.150 hektar berlokasi di Provinsi Kalimantan Barat. terdiri dari Blok Air Hitam seluas 37.980 hektar dan Blok Kendawangan seluas 62.170 hektar.

b. The Decree of the Minister of Forestry of the Republic of Indonesia Number SK.59/Menhut-II/2007 dated 22 February 2007 PT KBR (subsidiary) obtain business license Timber Forest Product Utilization (IUPHHK) on Industrial Plantation Forest (HTI) for the production forest area covering 100,150 hectares located in the province of West Kalimantan, consist of Blok Air Hitam of 37,980 hectares and Blok Kendawangan of 62,170 hectares.

Saham PT Kertas Blabak yang dimiliki Negara Republik Indonesia dibeli dengan harga perolehan diatas nilai wajar aset bersihnya, sehingga menimbulkan goodwill positif yang diamortisasi selama 20 tahun. Perusahaan telah menyetor pembayaran atas pembelian saham tersebut dan pengalihan saham sesuai dengan Akta Jual Beli Saham No.26 tanggal 14 Januari 2010 dibuat dihadapan Aulia Taufani, SH selaku pengganti Sutjipto, SH, notaris di Jakarta

PT Kertas Blabak shares owned by the Republic of Indonesia were purchased with the acquisition price over the fair value of net assets, resulting in positive goodwill is amortized over 20 year. The Company has deposit the payment for the share purchase and the share transfer is in accordance with the Share Sale and Purchase Deed No.26 dated January 14, 2010 of Aulia Taufani, SH as a substitute notary of Sutjipto, SH, notary in Jakarta.

Setelah PT Kertas Basuki Rachmat Indonesia,Tbk memiliki seluruh saham PT Kertas Blabak, maka berdasarkan akte notaris No.77 tanggal 25 Januari 2010 oleh notaris Sutjipto,SH di Jakarta, PT Kertas Basuki Rachmat Indonesia,Tbk menjual seluruh saham yang dimilikinya sebanyak 63.531 lembar saham dengan nilai nominal Rp 1.000.000 per lembar saham, kepada PT Satya Mitra Mandiri dengan nilai penjualan sebesar Rp 8.874.500.000, dengan demikian kepemilikan PT Kertas Blabak telah dimiliki sepenuhnya oleh PT Satya Mitra Mandiri.

After PT Kertas Basuki Rachmat Indonesia Tbk owned all of the shares of PT Kertas Blabak, based on notarial deed No.77 dated January 25, 2010 by notary Sutjipto, SH in Jakarta, PT Kertas Basuki Rachmat Indonesia,Tbk sold all the shares held as many as 63,531 shares with par value Rp 1,000,000 per share, to PT Satya Mitra Mandiri with a sales value amounting to Rp 8,874,500,000, as such ownership of PT Kertas Blabak has been fully owned by PT Satya Mitra Mandiri.

38. NEW ACCOUNTING PRONOUNCEMENTS

Berikut ini ikhtisar revisi Pernyataan Standar Akuntansi Keuangan (PSAK) yang beru-baru ini diterbitkan oleh Ikatan Akuntan Indonesia:

The following summarize the revised Statements of Financial Accounting Standard (SFAS) which were recently issued by the Indonesia Institute of Accountants:

a. PSAK No.50 (Revisi 2006), "Instrumen Keuangan : Penyajian dan Pengungkapan", berisi persyaratan penyajian dari instrumen keuangan dan pengidentifikasian informasi yang harus diungkapkan. Persyaratan penyajian tersebut diterapkan terhadap klasifikasi instrumen keuangan, dari perspektif penerbit, dalam aset keuangan, kewajiban keuangan dan istrumen ekuitas; pengklasifikasian yang terkait dengan suku bunga, dividen, kerugian dan keuntungan, dan keadaan dimana aset keuangan dan kewajiban keuangan saling hapus.

a. PSAK No.50 (Revised 2006), " Financial Instruments: Presentations and Disclosures" contains the requirements for the presentations of financial isntruments and identifies the informations that should be disclosed. The presentation requirement apply to the classification of financial instruments, from the persepective of the issuer, into financial assets, financial liabilities and equity instruments; the classification of related interest, dividends, losses and gains, and the circumtances in which financial assets and financial liabilities should be offsets.

Pernyataan ini mensyaratkan pengungkapan, antara lain, informasi mengenai faktor yang mempengaruhi jumlah, waktu dan tingkat kepastian arus kas dimasa yang akan datang yang terkait dengan isntrumen keuangan dan kebijakan akuntansi yang diterapkan untuk instrumen keuangan tersebut. PSAK No.50 (Revisi 2006) ini menggantikan PSAK No.50 "Akuntansi Investasi Efek Tertentu" dan diterapkan secara prospektif untuk periode yang dimulai pada atau setelah tanggal 1 Januari 2010. Penerapan lebih dini diperkenankan dan harus diungkapkan.

This standard requires the disclose, among others, of information about factors that affect the amount, timing and certainty of an entity's future cash flows relating to financial isntruments and the accounting policies applied to those instruments. PSAK No.50 (Revised 2006) supersedes PSAK No.50 "Accouting for Certain Investments in Securities" and is to be applied prospectively for the periods beginning or after January 1, 2010. Earlier application is permitted and should be disclosed.

This standard provides for the definitions and characteristics of a derivative, the categories of financial instruments, recognizing and measurements, hedge accounting and determination of hedging relationships, among others. PSAK 55 (revised 2006) supersedes PSAK 55 "Accounting for Derivative Instruments and Hedging Activities", and to be applied prospectively for financial statements covering on or after January 1, 2010. Earlier application is permitted and should be disclosed.

c. PPSAK 4 "Pencabutan PSAK 31 (Revisi 2000): Akuntansi Perbankan, PSAK 42: Akuntansi Perusahaan Efek dan PSAK 49: Akuntansi Reksa Dana ". Berlaku untuk semua entitas yang menerapkan PSAK 31 (Revisi 2000), PSAK 42, dan PSAK 49.

c. PPSAK 4 "Revocation of PSAK 31 (Revised 2000): Accounting fo Banking Industry, PSAK 42: Accounting for Securities Company and PSAK 49: Accounting for Mutual Fund". Applicable for all entities that apply PSAK 31 (Revised 2000), PSAK 42 and PSAK 49.

d. PPSAK 5 "Pencabutan ISAK 06: Interpretasi atas Paragraf 12 dan 16 PSAK No.55 (1999) tentang Instrumen Derivatif Melekat pada Kontrak dalam Mata Uang Asing.

e. PSAK 48 (Revisi 2009) "Penurunan Nilai Aset". Menetapkan prosedur-prosedur yang ditetapkan agar aset dicatat tidak melebihi jumlah terpulihkan dan jika aset tersebut terjadi penurunan nilai, rugi penurunan nilai harus diakui.

Manajemen sedang mengevaluasi dampak yang mungkin timbul dari Standar, Interpretasi dan Pencabutan Standar yang direvisi dan yang baru tersebut dan belum menentukan dampaknya terhadap laporan keuangannya.

Dampak dari memburuknya kondisi perekonomian ini diperkirakan akan mulai mempengaruhi berbagai industri dan sektor rill industri di Indonesia pada tahun 2009.

Sisa dari IPO sebesar Rp 29.148.392.204 digunakan untuk modal kerja.

Referring to the mentioned condition and in order to maintain the continuity of the company and its subsidiaries, management has the following plans:

1. Melakukan divestasi anak perusahaan PT Kertas Blabak kepada pihak ketiga sebesar 99,16% saham yang dimiliki oleh Perusahaan (majority Stakeholder ) PT Satya Mandiri (lihat catatan 37).
