„Valná hromada Společnosti rozhoduje o tom, že v souladu s čl. 12 odst. 2 písm. w) stanov Společnosti schvaluje uzavření následujících smluv:/ The General Meeting of the Company decides that, in accordance of section 12, article 2, letter w) of the charter of the Company, gives consent with entering into further agreements: „ - kupní smlouva na pozemky nacházející se v katastrálním území Svinov, obec Ostrava.; / contract of sale for land in the cadastral area of Svinov, municipality of Ostrava. - smlouvy mezi Společností, jakožto oprávněným, o zřízení služebností cesty a stezky spočívající v právu průjezdu a přístupu na pozemky, které budou sloužit pro přístup k projektu Společnosti; / easement of way agreement between the Company as the grantee regarding the right of passage and access to land which will serve for the access to the Company´s project. - smlouva mezi Společností, jakožto oprávněným, o zřízení služebností: / easement agreement between the Company as the grantee regarding: o

- smlouva mezi Společností, jakožto povinným, o zřízení služebností cesty a stezky spočívající v právu průjezdu a přístupu k již vybudované čističce odpadních vod na pozemcích Společnosti, která nyní slouží pro provoz stávajícího areálu (pozemky pod čističkou odpadních vod budou nakoupeny Společností). / easement of way agreement between the Company as the grantee regarding the right of passage and access to land in current complex, which will serve for the access to the already built wastewater treatment plant, which currently serve for the complex (land beneath the wastewater plant will be bought by the Company). - Valná hromada ve smyslu výše uvedeného ustanovení stanov rozhoduje o výše uvedeném nabytí nemovitého majetku a zatížení nemovitostí služebnostmi ve smyslu výše uvedených smluv o zřízení služebností. / The General Meeting of the Company decides in accordance with above mention charter passage about the acquisition of above mention real-estate property including above mentioned easement agreements. K rozhodnutí o nabytí nemovitosti a její zatížení služebností dochází z důvodu realizace stavebního projektu v Ostravě a následným nabytím nemovitosti a její zatížení služebností. The reason for consent with above mentioned agreements is realization of the real-estate project in Ostrava and further acquisition of real-estate including easements. decides that, in accordance of section 12, article 2, letter bb) of the charter of the Company, gives consent with entering into loan agreements. „ K rozhodnutí o uzavření smluv o úvěru dochází z důvodů potřeby nabytí finančních prostředků na realizaci stavebního projektu v Ostravě. The reason for consent with entering into loan agreements is need for securing sufficient funding with respect of realization of the real-estate project in Ostrava. Navrhované usnesení valné hromady k bodu 5 pořadu jednání valné hromady: / Proposed decision of the General Meeting upon the point 5 of the agenda of the General Meeting: „Valná hromada Společnosti rozhoduje o tom, že v souladu s čl. 12 odst. 2 písm. aa) stanov Společnosti uděluje souhlas s uzavřením smlouvy o uzavření budoucí nájemní smlouvy. Valná hromada uděluje souhlas s uzavřením nájemní smlouvy, tak jak je specifikována v označené smlouvě o uzavření budoucí nájemní smlouvy. Předmětem nájemní smlouvy je pronájem objektu vybudovaného v rámci investičního záměru „Projekt Ostrava.“ The General Meeting of the Company decides that, in accordance of section 12, article 2, letter aa) of the charter of the Company, gives consent with entering into agreement of entering into future lease agreement. The General Meeting of the Company gives consent with entering into lease agreement as specified in above stated agreement of entering into future lease agreement. The subject of the leasing agreement is the leasing of the real-estate object constructed within the investment project “Project Ostrava.” K rozhodnutí o uzavření výše uvedené smlouvy dochází z důvodů realizace investičního záměru „Projekt Ostrava“. Petra Hanzlíka, č. osv. 1607 auditorem Společnosti za období 1.7.2013 až 30.6.2014.“ „The General Meeting of the Company decides that, in accordance with Section 17 of the Act no. 93/2009 Coll., the Act on Auditors, as amended, Mr. Ing. Navrhované usnesení valné hromady k bodu 7 pořadu jednání valné hromady: / Proposed decision of the General Meeting upon the point 7 of the agenda of the General Meeting: Valná hromada Společnosti rozhoduje o tom, že v souladu s čl. 12 odst. 2 písm. w) a z) stanov Společnosti uděluje souhlas s uzavřením smlouvy o dílo – Projekt Ostrava – Svinov, 1. etapa, hala, mezi Společností a stavební společností. Stavební společnost a celková hodnota smlouvy o dílo bude do smlouvy doplněna po ukončení aktuálně probíhajícího tendru a k datu konání valné hromady bude k dispozici ke schválení v rámci bodu 7 programu valné hromady. The General Meeting of the Company decides that, in accordance of section 12, article 2, letter w) and z) of the charter of the Company, gives consent with entering into agreement on work – Project
Ostrava, Svinov, first stage, hall, between the Company and Construction Company. The name of the Construction Company and total value of the agreement on work will be supplied after the completion of ongoing tender and will be given consent within the point 7 of the agenda of the General Meeting. K rozhodnutí o uzavření výše uvedené smlouvy dochází z důvodů realizace investičního záměru „Výstavba logistické haly v Ostravě“. The reason for consent with above mentioned agreement is realization of the investment project “Construction of the logistic park in Ostrava.” Navrhované usnesení valné hromady k bodu 8 pořadu jednání valné hromady: / Proposed decision of the General Meeting upon the point 8 of the agenda of the General Meeting: „Valná hromada Společnosti rozhoduje o tom, že v souladu s čl. 12 odst. 2 písm. bb) stanov Společnosti uděluje souhlas s uzavřením smluv o převodu dluhopisů. / The General Meeting of the Company decides that, in accordance of section 12, article 2, letter bb) of the charter of the Company, gives consent with entering into bond sale-purchase agreements. „ K rozhodnutí o uzavření smluv o převodu dluhopisů dochází z důvodů potřeby nabytí finančních prostředků na realizaci stavebního projektu v Ostravě. The reason for consent with bond sale-purchase agreements is need for securing sufficient funding with respect of realization of the real-estate project in Ostrava. Představenstvo v souladu s § 407 odst. 1 ZOK u každého bodu programu uvádí důvod k projednání každé záležitosti u každého bodu navrhovaného v programu. V případě bodů pořadu jednání valné hromady 1., 2. a 9. se jedná o věci procedurální povahy valné hromady, na něž není třeba zvláštní přípravy na straně akcionáře. Board of directors of the Company in accordance with § 407 article 1 of the Act on Business Corporations, states reason of discussion of every point of the agenda of the General Meeting. Points 1,2, and 9 are of procedural nature and there are no special preliminary actions needed on the side of the shareholders. Prezence akcionářů bude zahájena v 9:30 hod. v místě konání valné hromady. Práva spojená s akciemi Společnosti je oprávněn vykonávat ten, kdo je uveden v seznamu akcionářů Společnosti, nestanoví-li obchodní zákoník jinak. The registration of attending shareholders will begin at 9.30 a.m. at the venue of the General Meeting. Rights attached to the shares in the Company may be exercised by those who are registered as shareholders of the Company unless otherwise stated by Commercial Code. Akcionář - fyzická osoba uvedený v seznamu akcionářů se při prezenci akcionářů prokáže platným průkazem totožnosti. Akcionář – fyzická osoba vykonává svá práva osobně nebo v zastoupení. Zmocněnci jsou povinni předložit písemnou speciální plnou moc k zastupování akcionáře – fyzické osoby na valné hromadě, přičemž podpis zmocňujícího akcionáře musí být úředně ověřen. Upon registration, a shareholder – an individual registered as a shareholder of the Company shall prove his identity by presenting a valid identity card. The shareholder – individual shall exercise his rights in person or by proxy. The proxy is required to present a written power of attorney with certified signature of the shareholder - individual to represent the shareholder – individual at the General Meeting. Akcionář - právnická osoba uvedený v seznamu akcionářů se při prezenci akcionářů prokáže výpisem z obchodního rejstříku, případně ověřenou fotokopií výpisu z obchodního rejstříku ne starší tří měsíců. Akcionář – právnická osoba vykonává svá práva prostřednictvím svého statutárního orgánu nebo v zastoupení. Zmocněnci jsou povinni předložit písemnou speciální plnou moc k zastupování akcionáře - právnické osoby na valné hromadě, přičemž podpisy osob jednajících jménem zmocňujícího akcionáře musí být úředně ověřeny. Fyzická osoba jednající jménem nebo za akcionáře – právnickou osobu se dále prokáže platným průkazem totožnosti.
Upon registration, a shareholder – legal entity registered as a shareholder of the Company shall present a current copy of the entry in the Commercial Register or an authenticated photocopy of the entry in the Commercial Register no older than three months. The shareholder – legal entity shall exercise his rights by his authorised representative or by proxy. The proxy is required to present a written power of attorney to represent the shareholder – legal entity at the General Meeting. An individual acting on behalf of, or for, the shareholder – legal entity shall prove their identity by presenting a valid identity card. Akcionáři nepřísluší náhrada nákladů spojených s účastí na valné hromadě. The shareholders are not entitled to any reimbursement of expenses associated with the attendance at the General Meeting.
