GENERAL STATEMENT: This call anticipates on the innovation partnership in the new procurement directive. The new procurement directive will come into force in the Netherlands before or on April 18, 2016. Either via an amendment of the Aanbestedingswet 2012 or by lack thereof directly on April 18, 2016. As specified in the Call document, the official start of the negotiation procedure for an innovation partnership is foreseen to commence on May 21, 2016. All activities prior to that date (a structured dialogue with private entities that are interested to participate in the negotiation procedure for the innovation partnership Talking Traffic) are focussed on drafting the specifications that will be used during the negotiation procedure. The pre-qualification at this time is necessary to guarantee that participation during the dialogue is only open to private entities that are able to actually deliver the solutions we seek during the negotiation procedure. The pre-qualification criteria for all Clusters are limited to the technical capacity and capability op interested tenderers. All interested tenderers that meet this criteria are welcome to participate in de the dialogue phase. IMPORTANT MODIFICATION OF THE CALL DOCUMENT: As a result of the questions received, an important modification has been made to the Call document. All tenderers have the freedom, after initial pre-qualification, to participate in one or more clusters for which they have qualified during the pre-qualification, without a prior (definitive) choice for tendering in one cluster or the other at the time of the negotiation procedure. Once the formal negotiation procedure commences (after April 18, 2016) tenderers that have qualified for one, two or three Clusters can only submit a tender as the main contractor in one (1) Cluster. Nonetheless if they also participate in a temporary grouping in another Cluster(s) (which is allowed) provided that the following conditions are met: a) less than 25% of man hours within the work package will be performed by the tenderer as part of the temporary grouping in these other Cluster(s); b) the individual members of the temporary grouping have all qualified for these other Cluster(s) during the pre-qualification. For the avoidance of doubt, sub-contractors that are being used by eligible tenderers in the performance of the work packages (either via a main contractor or via a temporary grouping) are not allowed to provide more than 25% of man hours within the total work package in a (specific) Cluster. Sub-contractors do not need to submit a pre-qualification under this Call. By allowing all interested tenderers to actively participate in the dialogue phase for all of the Cluster(s) they might be interested in (which requires that they apply for these Clusters and can meet the qualification criteria thereof), without having to make a selection of a specific Cluster prior to the official start of the negotiation procedure (after April 18, 2016), we hope to start a constructive interactive dialogue focussed on cooperatively defining the work packages and related conditions. Please note that to maintain a level playing field for all tenderers, interested tenderers that currently (latest date being February 29, 2016) work for the national and regional public authorities issuing this 2

QUESTIONS AND ANSWERS: Question 1:
Is it permitted to apply for multiple clusters when being part of a ‘temporary grouping’?
Answer 1:

Is it permitted to apply for multiple clusters as subcontractor?

Is it permitted to subscribe both as subcontractor in cooperation X and as individual main contractor?

Yes provided the subcontractor and individual main contractor apply for different Clusters.
Question 4:
Is it permitted to amend the application in between the dialogue phase and the negotiation phase (e.g. to create a temporary grouping)?
Answer 4:
Only eligible participants (that have met the qualification criteria) within the Cluster they have qualified for, are allowed to create an alliance (including a temporary grouping) during the dialogue phase and only before submitting the draft proposal listed in step 4 in the call document. Once the negotiation phase has begun no new alliances (including temporary groupings) are allowed. The call document has been amended to encompass this answer.

Question 7:
While our general customer-facing entity will be the Tenderer and potential later contracting entity, the Tenderer will draw from resources and employees within the whole group of companies for development work and the provision of services, as with all customers and as is common business practice. We assume that this accepted practice is acknowledged, but to err on the side of caution would like to ask if there is any need to make this common business practice transparent in the application form.
Answer 7:
This common business practice is allowed and does not require modification of the application form.
Question 8:
If a Tenderer does not intend to use subcontractors for any particular major tasks in the performance of the contract but as part of its general mode of doing business uses numerous subcontractors for its general development work or for the provision of services for all its customers on a regular basis, without the ability to specify prior to a project which particular subcontractor of these “embedded” subcontractors will actually be involved. Can you confirm that this kind of customary commodity subcontracting is not addressed by section No.4?

Yes. Section Number 4 in Annex IV has been modified to: Only in the event you/your company intend(s) to rely on the capacities of the subcontractor to meet the qualification criteria listed in the contract notice, please provide a signed declaration from the subcontractor confirming that you/your company will have at your/its disposal the subcontractor’s resources and that the subcontractor agrees to perform the parts of the contract assigned to it if the contract is awarded to you/your company.

With regard to the terminology “Tenderer”, “Company/Institution 1” and “Company/Institution 2”: a) Does the requirement to name authorised signatories and to include proof of signing power also apply to the Tenderer itself, or only to companies/institutions in temporary groupings (as per No.2)? b)Would you require us to provide the information for the Tenderer in section No.3?

a) It applies to the tenderer itself. b) Only in the event tenderer intends to qualify together with another legal entity (thereby creating a temporary grouping) the requirement to name authorised signatories and to include proof of signing power applies to all legal entities in the temporary grouping.

Prequalification document, 4.3 Tender Process, page 10. Again, a legal entity can only apply and qualify for one (1) Cluster. Are legal entities allowed to act as general contractor for one Cluster and at the same time as sub-contractor for another cluster?

No as far as partners in a temporary grouping are concerned. But subcontractors can join qualified legal entities.

Wij achten dat bezwaarlijk en in strijd met het toepasselijke aanbestedingsrecht. De Staat is verplicht elke opdracht voor mededinging door elke potentiele gegadigde open te stellen. Door drie opdrachten samen te voegen in een aanbestedingsprocedure en dan te bepalen dat slechts met een daarvan mag worden meegedongen, sluit u feitelijk de mededinging af. U dient deze onrechtmatigheid aan te passen en alle clusters voor mededinging open te stellen.

Please note the important modification to the Call document. No competition is hindered or diminished by dividing the work in separate clusters and/or selecting the best of breed per cluster through objective qualification criteria. The tendering authority wishes to prevent black boxes where integrated verticals dominate the entire value chain and may hinder the development of an open eco-system. Off course alliances and other forms of cooperation between separate entities in the value chain is strongly encouraged. One of the purposes of the dialogue Phase 5
(where all eligible entities can participate after qualification without having to make a choice between clusters) is to facilitate these private entities to create alliances . Question 16:

Juist omdat er binnen elk cluster meerdere percelen zijn, is het al niet waarschijnlijk dat er afhankelijkheid of dominantie ontstaat. Wij wijzen u er op dat het niet alleen onrechtmatig, maar ook onredelijk bezwarend en ondoelmatig is om gegadigden nu te laten kiezen op welk cluster ze inschrijven. De beschikbare informatie is summier en een gegadigde kan onmogelijk bepalen waar de beste kansen liggen en voor welke opdracht hij de beste, innovatieve partner kan zijn. Het thans een keuze moeten maken dient ook geen enkel doel, omdat het de mededinging beperkt in plaats van vergroot. Wij verzoeken u de systematiek redelijker en rechtmatig te maken, door toe te staan dat gegadigden op elke cluster en elk perceel mogen inschrijven, en hoogstens in het kader van de gunning enige beperking wordt aangebracht in het aantal opdrachten dat een gegadigde gegund kan krijgen.

Marktpartijen op voorhand dwingen een keuze te maken voor een cluster zonder dat zij inzicht hebben in de inhoud van de betreffende clusters en verdere onderverdeling van de percelen in de volgende fases is onmogelijk. Alvorens deze procedure voort te zetten verzoeken wij u inschrijvers meer inzicht te verschaffen: a) Hoeveel onderliggende percelen er per cluster zijn b) Hoe die percelen opgedeeld zijn in termen van geografie en aantallen c) Hoeveel partijen per perceel kunnen inschrijven d) Hoeveel percelen 1 partij maximaal gegund kan krijgen.

The sentence “Our Ministry will allow eligible participants to create partnerships during the negotiations" has been modified to: “Our Ministry will allow eligible participants to create partnerships during the dialogue phase provided they have qualified for the Cluster where the partnership or temporary grouping intends to submit draft proposal listed in step 4 in the call document ".

to avoid prepotency during the development of the partnerships, legal entities interested to participate in this Call for Innovation Partnerships can only apply and qualify for one (1) of the three (3) clusters. In the event your company intends to involve other companies as subcontractors in the performance of the contract please list all subcontractors in attachment 4 including a specification of the responsibilities of each subcontractor. Our question is: Is it possible for a subcontractor to apply for more than one cluster?

There is no maximum of 14 tenderers at this time. The number 14 is/was an estimated number of tenderers. Depending on the actual number of tenderers applying to participate in this Call, we might need to a further round of prequalification. This situation is described in paragraph 4.3. of the Call document: “In the event of too many tenderers meeting the qualification criteria (thereby impeding an orderly and efficient negotiation procedure) of a specific Cluster, another round for pre-qualification might be carried out (based on objective criteria applicable to all eligible tenderers). How the tenderers will be divided over the three clusters in the negotiation phase will depend on the maximum number of applicants that meet the qualification criteria and their own choices regarding their preference to participate in a specific cluster. Please note that to maintain a level playing field for all tenderers, tenderers cannot simultaneously operate as tenderer while directly working for or having worked for in the last 6 months for the national and regional public authorities issuing this tender within the realm of the BB-themes and projects Data top 8, C-ITS, Travel Information services.
Question 28:
How will projects be awarded to / divided over tenderers in each of the clusters in the contract phase?
Answer 28:
The term “projects” is unclear to us. It is intended that the total value chain will be responsible for the delivery of the six (6) use cases so there will be no dividing between projects and/or clusters. In all clusters specific deliverables will need to be fulfilled by all responsible tenderers. The work packages that will be made available to all eligible tenderers after the pre-qualification, will disclose in detail what the proposed deliverables will be.

Question 31:
De Call is vooral gericht op datacommunicatie met VRI’s. Cluster 2 verwerkt echter naast data van de VRI’s ook data van andere bronnen (zoals FCD). Beperkt deze data van andere bronnen zich tot gegevens over het locale verkeer rondom de VRI of is dit ook brede(re) verkeersinformatie over HWN en OWN? (Hoe ‘breed’ is de data die Cluster 3 van Cluster 2 kan verwachten).

The Call is targeted on C-ITS use cases in which Traffic Light Installations and their 2way communication with different (groups of) road users is one of several use cases. The data in Cluster 2 includes numerous public and private data sources with relevant traffic related data and/or information including the use of national highways and adjoining urban and provincial roads. Please consult “ANNEX TABLE USE CASES TALKING TRAFFIC” where an indication of the public and private data sources are listed in the third column.
Question 32:
Is Cluster 3 gericht op services in relatie tot VRI’s of breder op algemene doorstroming op het wegennet?

b) we anticipate new services by service providers after two years; c) In the dialogue phase no reimbursement of private costs are foreseen. For the delivery of proposals a limited fixed reimbursement of expenses or loans, particularly for smaller businesses, can be a topic for discussion during the dialogue phase. After awarding contracts all financial rewards will be focused on performance and deliverables during the first 2 years (maximum). This will be differentiated for separate clusters. Question 34:

In the event the to be developed services are successful (according to the test and acceptation criteria), the deployment contracts can commence based on conditions agreed upon during the negotiation procedure.

Question for the avoidance of doubt, could you please confirm that parties agree on a contract (including ip ownership and usage rights) during the negotiation process and that parties can withdraw its participation if they cannot find an agreement?
Answer 36:
Yes, IP and usage rights will be topics of discussion during the dialogue phase. The conclusions of which will be part of the RFP’s. All tenderers have the freedom not to respond to these RFP’s or withdraw beforehand.

Again for the avoidance of doubt, could you please confirm that by submitting the application form, we basically agree with the tender process as described in the prequalification document and that there are no other terms and conditions where we submit ourselves to?

Annex IV has been amended. At this time we do not require interested tenderers to guarantee that Articles 2.86, 2.87, 2.88 and 2.99 of the Aanbestedingswet 2012 do not apply. During the formal negotiation process tenderers will be obligated to include the then existing ESPD. Tenderers are encouraged to study the progress on

Pre-qualification document, blz. 25, Annex IV onder 5. U vraagt allerlei verklaringen in het aanmeldingsformulier, onder meer ten aanzien van “ uitsluitingsgronden”. Uw werkwijze achten wij bezwaarlijk. a) In de eerste plaats maakt u niet duidelijke welke uitsluitingsgronden u exact bedoelt. Daardoor kunnen wij geen adequate verklaring afleggen. b) In de tweede plaats maakt u geen gebruik van de standaard Eigen Verklaring zoals die door de Aanbestedingswet 2012 verplicht is gesteld. Page 11: Explanation of the acquisition process: a) It states the outcome of Step 2 will be an “cooperatively agreed RFP” and that representatives of Clusters 1 & 3 will be participate. We have a concern of exposing internal/confidential details. How is Beter Benutten going to mitigate this? b) Draft proposals are submitted after we discuss with other participants. Again concerns for exposing confidential details. Is it expected that we have to make joint proposals with others?
Answer 41:
a) The ratio behind the participation of all clusters during the working sessions is to ensure that the interfaces between the clusters are optimised. We do not anticipate that disclosure of confidential information is necessary during the working sessions and expect tenderers to work together in the private value chain towards a mutually acceptable solution from source to end user and back, without divulging internal/confidential details with other private entities. b) The draft proposals will be kept strictly confidential. You are not required to make joint proposals with others.

The data topic has been detailed within the work packages (the questions raised are too broad to provide a precise answer in the Q&A document). Public data shall be open and enhanced and/or private data might be open or not. A topic of discussion during the dialogue phase will be the possibility of the sharing of certain data items and conditions of use thereof within the private value chain during the first maximum of 2 years development and initial testing and deployment for purposes of enhancing total quality and enhancement of all rendered services. A further topic will be the use of data by public authorities for internal purposes (policy development and monitoring, traffic management, asset management).

"… 'ownership' of installations…private enterprise; "In general, traffic light installations are owned by public entities (such as municipalities, provinces, or RWS) and ownership of these installations by private enterprises is limited. How does this relate to the fundamental choice as posed in 1)?

In general the BB program will not acquire ownership through its joint investment. This is the case within the boundaries and activities of this Call. In this interpretation geo-encoding hence relates to the content of the traffic data, where additional location information is added to the source data to facilitate further processing in subsequent parts of the value chain. • On the other hand, it can refer to addressing recipients of traffic data in a geographical manner instead of using their IP addresses (from the application point of view). In this interpretation geo-coding refers to the networking aspect of the system, providing mechanisms to distribute traffic data to all recipients in a desired geographical location.
